<subsection id="H51FB72C196244C2E842765F46EAE74EF"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 4 of the Commodity Exchange Act (7 U.S.C. 6) is amended by adding at the end the following:</text>
<quoted-block display-inline="no-display-inline" id="H08566E51DBD440A9825C7C44CD2EE44D" style="OLC">
<subsection id="H2D828AB73CD5467AA4DD05314F15A344"><enum>(e)</enum><header>Foreign boards of trade</header>
<paragraph id="H594611C3EB9A4CB18F5844E6F83E7FD5"><enum>(1)</enum><header>In general</header><text>The Commission may not permit a foreign board of trade to provide to the members of the foreign board of trade or other participants located in the United States direct access to the electronic trading and order matching system of the foreign board of trade with respect to an agreement, contract, or transaction that settles against any price (including the daily or final settlement price) of 1 or more contracts listed for trading on a registered entity, unless—</text>
<subparagraph id="H7600678792AB498085F2D0F7E4EC0892"><enum>(A)</enum><text display-inline="yes-display-inline">the foreign board of trade makes public daily trading information regarding the agreement, contract, or transaction that is comparable to the daily trading information published by the registered entity for the 1 or more contracts against which the agreement, contract, or transaction traded on the foreign board of trade settles; and</text></subparagraph>
<subparagraph id="H1F2ACF9B6A6E4FB7B019AD8D785D51F0"><enum>(B)</enum><text>the foreign board of trade (or the foreign futures authority that oversees the foreign board of trade)—</text>
<clause id="HBC9A1CE0EA4C46D48DE2A100F3071C84"><enum>(i)</enum><text display-inline="yes-display-inline">adopts position limits (including related hedge exemption provisions) for the agreement, contract, or transaction that are comparable, taking into consideration the relative sizes of the respective markets, to the position limits (including related hedge exemption provisions) adopted by the registered entity for the 1 or more contracts against which the agreement, contract, or transaction traded on the foreign board of trade settles;</text></clause>
<clause id="H667A86CB6FCA4D62AE3835D4E30425A3"><enum>(ii)</enum><text>has the authority to require or direct market participants to limit, reduce, or liquidate any position the foreign board of trade (or the foreign futures authority that oversees the foreign board of trade) determines to be necessary to prevent or reduce the threat of price manipulation, excessive speculation as described in section 4a, price distortion, or disruption of delivery or the cash settlement process;</text></clause>
<clause id="H11371FE6ACCD4604B5705F9C1920EC00"><enum>(iii)</enum><text display-inline="yes-display-inline">agrees to promptly notify the Commission, with regard to the agreement, contract, or transaction, of any change regarding—</text>
<subclause id="HB6D371799A2F4729877B25C4001EC8CD"><enum>(I)</enum><text>the information that the foreign board of trade will make publicly available;</text></subclause>
<subclause id="HAFE22A0DCED442E194B25CF271B7B3B5"><enum>(II)</enum><text>the position limits that the foreign board of trade or foreign futures authority will adopt and enforce;</text></subclause>
<subclause id="HB6ED60326BD84A3392655842ABA4C4C9"><enum>(III)</enum><text display-inline="yes-display-inline">the position reductions required to prevent manipulation, excessive speculation as described in section 4a, price distortion, or disruption of delivery or the cash settlement process; and</text></subclause>
<subclause id="H91C79A5EC6B14032A6419B37EB92BBE8"><enum>(IV)</enum><text>any other area of interest expressed by the Commission to the foreign board of trade or foreign futures authority;</text></subclause></clause>
<clause id="H8268B078782F439EBC99132E559FB114"><enum>(iv)</enum><text display-inline="yes-display-inline">provides information to the Commission regarding large trader positions in the agreement, contract, or transaction that is comparable to the large trader position information collected by the Commission for the 1 or more contracts against which the agreement, contract, or transaction traded on the foreign board of trade settles; and</text></clause>
<clause id="H8CCEC84BEAEA4A6F9BFD634F87F67140"><enum>(v)</enum><text display-inline="yes-display-inline">provides the Commission with information necessary to publish reports on aggregate trader positions for the agreement, contract, or transaction traded on the foreign board of trade that are comparable to such reports on aggregate trading positions for 1 or more contracts against which the agreement, contract, or transaction traded on the foreign board of trade settles.</text></clause></subparagraph></paragraph>
<paragraph id="H087E614D72414282AE881E1C534B9FA3"><enum>(2)</enum><header>Existing foreign boards of trade</header><text>Paragraph (1) shall not be effective with respect to any agreement, contract, or transaction executed on a foreign board of trade to which the Commission had granted direct access permission before the date of the enactment of this subsection until the date that is 180 days after such date of enactment.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection display-inline="no-display-inline" id="HB0BE191DE5324BF69500F66B53783083"><enum>(b)</enum><header>Liability of registered persons trading on a foreign board of trade</header>
<paragraph id="HCDDB1B1DE2DA487F9BF3EDF4D701A750"><enum>(1)</enum><text>Section 4(a) of such Act (7 U.S.C. 6(a)) is amended by inserting <quote>or by subsection (f)</quote> after <quote>Unless exempted by the Commission pursuant to subsection (c)</quote>.</text></paragraph>
<paragraph id="HAE495A4439BE4A588B6EAF628762DC36"><enum>(2)</enum><text>Section 4 of such Act (7 U.S.C. 6) is further amended by adding at the end the following:</text>

<subsection id="HD190AB3C62EA45689DD54E99125BD794"><enum>(f)</enum>
<paragraph id="H9D90F9CC1B3744F29903E7E198AD82B2" display-inline="yes-display-inline"><enum>(1)</enum><text>A person registered with the Commission, or exempt from registration by the Commission, under this Act may not be found to have violated subsection (a) with respect to a transaction in, or in connection with, a contract of sale of a commodity for future delivery if the person—</text>
<subparagraph id="HBBE7D3F72690458396475D9EF5E74D1" indent="up1"><enum>(A)</enum><text>has reason to believe the transaction and the contract is made on or subject to the rules of a board of trade that is—</text>
<clause id="H2DF38E52222A42459B7B12594F510758"><enum>(i)</enum><text>legally organized under the laws of a foreign country;</text></clause>
<clause id="HCBB8A0DD775F426A97C516D9FEC8B0C"><enum>(ii)</enum><text>authorized to act as a board of trade by a foreign futures authority; and</text></clause>
<clause id="HC8B7BDA50E4B41AD86EA3F5017675600"><enum>(iii)</enum><text>subject to regulation by the foreign futures authority; and</text></clause></subparagraph>
<subparagraph id="HF5E94475677D4EA9BAFC01E940833ED8" indent="up1"><enum>(B)</enum><text>has not been determined by the Commission to be operating in violation of subsection (a).</text></subparagraph></paragraph>
<paragraph id="H1F437AF2A7F14CA293E145CAD6872654" indent="up1"><enum>(2)</enum><text display-inline="yes-display-inline">Nothing in this subsection shall be construed as implying or creating any presumption that a board of trade, exchange, or market is located outside the United States, or its territories or possessions, for purposes of subsection (a).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection>
<subsection display-inline="no-display-inline" id="H067ABF858F0D4A36963BD1B8B8FA8577"><enum>(c)</enum><header>Contract enforcement for foreign futures contracts</header><text>Section 22(a) of such Act (7 U.S.C. 25(a)) is amended by adding at the end the following:</text>
<quoted-block id="H0D136F3799C04097B380A11D4D37A9D6" style="OLC">
<paragraph id="HDABD14D273F74C14AEE9B78FB6CA05A9"><enum>(5)</enum><text>A contract of sale of a commodity for future delivery traded or executed on or through the facilities of a board of trade, exchange, or market located outside the United States for purposes of section 4(a) shall not be void, voidable, or unenforceable, and a party to such a contract shall not be entitled to rescind or recover any payment made with respect to the contract, based on the failure of the foreign board of trade to comply with any provision of this Act.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section>
<section id="HFE7B773BE1D545F49CC8B5B8DB8B597"><enum>4.</enum><header>Detailed reporting and disaggregation of market data</header><text display-inline="no-display-inline">Section 4 of the Commodity Exchange Act (7 U.S.C. 6), as amended by section 3 of this Act, is amended by adding at the end the following:</text>
<quoted-block display-inline="no-display-inline" id="H9EB9D2EAF29447AFA51199BEA0D2B979" style="OLC">
<subsection id="H847F3449D2CA4889B52986C1267E4CCB"><enum>(g)</enum><header>Detailed reporting and disaggregation of market data</header>
<paragraph display-inline="no-display-inline" id="H690BAF4F49C646278804DEF3A62E45BD"><enum>(1)</enum><header>Index traders and swap dealers reporting</header><text display-inline="yes-display-inline">The Commission shall issue a proposed rule defining and classifying index traders and swap dealers (as those terms are defined by the Commission) for purposes of data reporting requirements and setting routine detailed reporting requirements for any positions of such entities in contracts traded on designated contract markets, derivatives transaction execution facilities, foreign boards of trade subject to section 4(e), and electronic trading facilities with respect to significant price discovery contracts not later than 90 days after the date of the enactment of this subsection, and issue a final rule within 180 days after such date of enactment.</text></paragraph>
<paragraph id="HCB8055EEB9EB42E5AF439E1032001750"><enum>(2)</enum><header>Disaggregation of index funds and other data in markets</header><text display-inline="yes-display-inline">Subject to section 8 and beginning within 60 days of the issuance of the final rule required by paragraph (1), the Commission shall disaggregate and make public monthly—</text>
<subparagraph id="H2D6B59AE0532477191E2AB54AA29E5F6"><enum>(A)</enum><text display-inline="yes-display-inline">the number of positions and total notional value of index funds and other passive, long-only and short-only positions (as defined by the Commission) in all markets to the extent such information is available; and</text></subparagraph>
<subparagraph id="HA7177F301DFE442B8DF11CD8E7FFE2EE"><enum>(B)</enum><text display-inline="yes-display-inline">data on speculative positions relative to bona fide hedgers in those markets to the extent such information is available.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section>
<section id="H28395C729E774607A2FC8792C8C19EA"><enum>5.</enum><header>Transparency and recordkeeping authorities</header>
<subsection id="HF81F02A4E3AA4C50816E9FBB62E14B04"><enum>(a)</enum><header>In general</header><text>Section 4g(a) of the Commodity Exchange Act (7 U.S.C. 6g(a)) is amended—</text>
<paragraph id="HACD179439F0945CC882495D4C8D5E7BE"><enum>(1)</enum><text>by inserting <quote>a</quote> before <quote>futures commission merchant</quote>; and</text></paragraph>
<paragraph id="HAAE6C256135646D6A9B1251D6BF94BF"><enum>(2)</enum><text display-inline="yes-display-inline">by inserting <quote>and transactions and positions traded pursuant to subsection (d), (g), (h)(1), or (h)(3) of section 2, or any exemption issued by the Commission by rule, regulation or order,</quote> after <quote>United States or elsewhere,</quote>.</text></paragraph></subsection>
<subsection id="H045F633570D84245A4722F3471596E00"><enum>(b)</enum><header>Reports of deals equal to or in excess of trading limits</header>
<paragraph id="HA2550996BDC543E5BAEC158592BF2CF1"><enum>(1)</enum><header>In general</header><text>Section 4i of such Act (7 U.S.C. 6i) is amended—</text>
<subparagraph id="H6B7945E555D94AB1838D2CB42E30A987"><enum>(A)</enum><text>in the first sentence—</text>
<clause id="HA5BEAFB2B28D4C8CA899C3D69CC00D2"><enum>(i)</enum><text>by inserting <quote>(a)</quote> before <quote>It shall</quote>; and</text></clause>
<clause id="H12F46A47353E4148BE9343006D6EC6F6"><enum>(ii)</enum><text>by inserting <quote>in the United States or elsewhere, and of transactions and positions in any such commodity entered into pursuant to subsection (d), (g), (h)(1), or (h)(3) of section 2, or any exemption issued by the Commission by rule, regulation or order</quote> before <quote>, and of cash or spot</quote>; and</text></clause></subparagraph>
<subparagraph id="HEC120E52E75644C50043BF52F1B40362"><enum>(B)</enum><text>by striking all that follows the 1st sentence and inserting the following:</text>
<quoted-block display-inline="no-display-inline" id="H4B5FCD9BE62F46EAA9249E87893F01F5" style="OLC">
<subsection id="H81C5C04862804C11B16FD11176CC4959"><enum>(b)</enum><text display-inline="yes-display-inline">Upon special call by the Commission, any person shall provide to the Commission, in a form and manner and within the period specified in the special call, books and records of all transactions and positions traded on or subject to the rules of any board of trade or electronic trading facility in the United States or elsewhere, or pursuant to subsection (d), (g), (h)(1), or (h)(3) of section 2, or any exemption issued by the Commission by rule, regulation, or order, as the Commission may determine appropriate to deter and prevent price manipulation or any other disruption to market integrity or to diminish, eliminate, or prevent excessive speculation as described in section 4a(a).</text></subsection>
<subsection id="H6114C17DFE064715A4241200A357BB00"><enum>(c)</enum><text display-inline="yes-display-inline">Such books and records described in subsections (a) and (b) shall show complete details concerning all such transactions, positions, inventories, and commitments, including the names and addresses of all persons having any interest therein, shall be kept for a period of 5 years, and shall be open at all times to inspection by any representative of the Commission or the Department of Justice. For the purposes of this section, the futures and cash or spot transactions and positions of any person shall include such transactions and positions of any persons directly or indirectly controlled by the person.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph>
<paragraph id="HAA085722D6D14FB1B564BB003249BFC5"><enum>(2)</enum><header>Notice and comment</header><text display-inline="yes-display-inline">Within 60 days after the date of the enactment of this subsection, the Commodity Futures Trading Commission shall conduct rulemaking, including an opportunity for notice and comment, on implementing the amendments made by paragraph (1).</text></paragraph></subsection>
<subsection id="H948DDD8C99FC4342BC4B291E4EE81E34"><enum>(c)</enum><header>Conforming amendments</header>
<paragraph id="H54DB841ACD3E43BAAFA51C6EDE652E94"><enum>(1)</enum><text display-inline="yes-display-inline">Section 2(d)(1) of such Act (7 U.S.C. 2(d)(1)) is amended by striking <quote>5b or 12(e)(2)(B)</quote> and inserting <quote>4g(a), 4i, 5b, or 12(e)(2)(B), and the regulations of the Commission pursuant to section 4i(b) requiring reporting in connection with commodity option transactions)</quote>.</text></paragraph>
<paragraph id="H22477B8163F647E79D6F9B00CC4373E"><enum>(2)</enum><text>Section 2(d)(2) of such Act (7 U.S.C. 2(d)(2)) is amended—</text>
<subparagraph id="H6723236330E94709A784ECF1E320963"><enum>(A)</enum><text>by inserting <quote>4g(a), 4i,</quote> before <quote>5a (to</quote>; and</text></subparagraph>
<subparagraph id="HE31C900769454B81AEBDC705AD842649"><enum>(B)</enum><text>by inserting <quote>, and the regulations of the Commission pursuant to section 4i(b) requiring reporting in connection with commodity option transactions</quote> after <quote>12(e)(2)(B)</quote>.</text></subparagraph></paragraph>
<paragraph id="H28AAFB0D8D0A497D89A353C0BD40F25B"><enum>(3)</enum><text display-inline="yes-display-inline">Section 2(g) of such Act (7 U.S.C. 2(g)) is amended—</text>
<subparagraph id="HABDA40C8BA7C4F02B62223D8A231D949"><enum>(A)</enum><text>by inserting <quote>4g(a), 4i,</quote> before <quote>5a (to</quote>; and</text></subparagraph>

<subsection id="H40BBD4DFCFD0457EA273FAC0014BFD83"><enum>(a)</enum><header>Position limits</header><text display-inline="yes-display-inline">Section 4a of the Commodity Exchange Act (7 U.S.C. 6a) is amended—</text>
<paragraph id="H4CF0B982CC67481A856819405CF2B8B8"><enum>(1)</enum><text>in subsection (a)—</text>
<subparagraph id="H1A18588F7A9141EBB4DC10F388BF2CB0"><enum>(A)</enum><text>by inserting <quote>(1)</quote> after <quote>(a)</quote>; and</text></subparagraph>
<subparagraph id="HDF3478E045414BE9AD4EDDA1C8B28617"><enum>(B)</enum><text>by adding after and below the end the following:</text>
<quoted-block display-inline="no-display-inline" id="H82C6DCFDA4C547439B6DEF6FF44C5F8D" style="OLC">
<paragraph id="H61F2E8D3603B4808B75B00664C1DB44C" indent="up1"><enum>(2)</enum>
<subparagraph commented="no" display-inline="yes-display-inline" id="H99A5B9F8DDF64FEBA640D2E968D6A3E"><enum>(A)</enum><text display-inline="yes-display-inline">In accordance with the standards set forth in paragraph (1) of this subsection and consistent with the good faith exception cited in subsection (b)(2), with respect to physical commodities other than excluded commodities as defined by the Commission, the Commission shall by rule, regulation, or order establish limits on the amount of positions, as appropriate, other than bona fide hedge positions, that may be held by any person with respect to contracts of sale for future delivery or with respect to options on such contracts or commodities traded on or subject to the rules of a contract market or derivatives transaction execution facility, or on an electronic trading facility as a significant price discovery contract.</text></subparagraph>
<subparagraph id="HDF2CEA9B29234A92BF5EA6D8476ED95C" indent="up1"><enum>(B)</enum>
<clause commented="no" display-inline="yes-display-inline" id="H500081D1E36A425AB48D9EB68200B4D7"><enum>(i)</enum><text>For exempt commodities, the limits shall be established within 180 days after the date of the enactment of this paragraph.</text></clause>
<clause id="HB52124594EA24AB1BC36E4F0A5D293E" indent="up1"><enum>(ii)</enum><text>For agricultural commodities, the limits shall be established within 270 days after the date of the enactment of this paragraph.</text></clause></subparagraph></paragraph>
<paragraph id="HD29D1D89EE374632A96BBB7D6740BD84" indent="up1"><enum>(3)</enum><text display-inline="yes-display-inline">In establishing the limits required in paragraph (2), the Commission, as appropriate, shall set limits—</text>
<subparagraph id="HD469DFF141334A8A84AF9837D815262B"><enum>(A)</enum><text>on the number of positions that may be held by any person for the spot month, each other month, and the aggregate number of positions that may be held by any person for all months;</text></subparagraph>
<subparagraph id="H6B9E360D69AA4175969941E9E164D2B1"><enum>(B)</enum><text>to the maximum extent practicable, in its discretion—</text>
<clause id="HAA43BD7B9EB547FD96CC752DA66C0040"><enum>(i)</enum><text>to diminish, eliminate, or prevent excessive speculation as described under this section;</text></clause>
<clause id="HD129BF77D481437788CE813061A5AEC1"><enum>(ii)</enum><text display-inline="yes-display-inline">to deter and prevent market manipulation, squeezes, and corners;</text></clause>
<clause id="H54E74F54A37948F29366FA4398A75427"><enum>(iii)</enum><text>to ensure sufficient market liquidity for bona fide hedgers; and</text></clause>
<clause id="H41A4A5D0A11D4F5EA78DBF67230342E0"><enum>(iv)</enum><text>to ensure that the price discovery function of the underlying market is not disrupted; and</text></clause></subparagraph>
<subparagraph id="H54DCB59739BB4FBBA07199AA918282B1"><enum>(C)</enum><text display-inline="yes-display-inline">to the maximum extent practicable, in its discretion, take into account the total number of positions in fungible agreements, contracts, or transactions that a person can hold in other markets.</text></subparagraph></paragraph>
<paragraph id="H600DED54A8FB4D78A068DF1817A60094" indent="up1"><enum>(4)</enum>
<subparagraph commented="no" display-inline="yes-display-inline" id="H82D44BEFCF3348C4998900EBD53FA078"><enum>(A)</enum><text display-inline="yes-display-inline">Not later than 150 days after the establishment of position limits pursuant to paragraph (2), and biannually thereafter, the Commission shall hold 2 public hearings, 1 for agriculture commodities and 1 for energy commodities as such terms are defined by the Commission, in order to receive recommendations regarding the position limits to be established in paragraph (2).</text></subparagraph>
<subparagraph id="HC618D272C6734E038DEB8F187DAE7F2B" indent="up1"><enum>(B)</enum><text>Each public hearing held pursuant to subparagraph (A) shall, at a minimum providing there is sufficient interest, receive recommendations from—</text>
<clause id="H6DE347A239064829A84B424570B878B1"><enum>(i)</enum><text>7 predominantly commercial short hedgers of the actual physical commodity for future delivery;</text></clause>
<clause id="HDD535A1AA0F94A3100E61EC35CFD88F5"><enum>(ii)</enum><text>7 predominantly commercial long hedgers of the actual physical commodity for future delivery;</text></clause>
<clause id="H0C7EB7D670724497BE85D34EDFC5AF1D"><enum>(iii)</enum><text>4 non-commercial participants in markets for commodities for future delivery; and</text></clause>
<clause id="H6FC43371D5F84129BCBDAE72E2BBF756"><enum>(iv)</enum><text>each designated contract market or derivatives transaction execution facility upon which a contract in the commodity for future delivery is traded, and each electronic trading facility that has a significant price discovery contract in the commodity.</text></clause></subparagraph>
<subparagraph id="HA9BF7CB0E671429A9059E95300AC5E95" indent="up1" display-inline="no-display-inline"><enum>(C)</enum><text display-inline="yes-display-inline">Within 60 days after each public hearing held pursuant to subparagraph (A), the Commission shall publish in the Federal Register its response to the recommendations regarding position limits heard at the hearing.</text></subparagraph></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph></paragraph>
<paragraph id="H2571310B2CC946DE99334345C33324E7"><enum>(2)</enum><text>in subsection (c)—</text>
<subparagraph id="HB91AEACAAAE7462B9BA970DD344F7E09"><enum>(A)</enum><text>by inserting <quote>(1)</quote> after <quote>(c)</quote>; and</text></subparagraph>
<subparagraph id="H2A5149A52B3F48DF8627FE900539EE88"><enum>(B)</enum><text>by adding after and below the end the following:</text>
<quoted-block display-inline="no-display-inline" id="HF09379FDEA724C41B0A006BAC923A83F" style="OLC">
<paragraph id="HADA56785496442898F7E5EE3C33E5345" indent="up1"><enum>(2)</enum><text display-inline="yes-display-inline">For the purposes of implementation of subsection (a)(2) for contracts of sale for future delivery and options on such contracts or commodities, the Commission shall define what constitutes a bona fide hedging transaction or position as a transaction or position that—</text>
<subparagraph id="H0FA73DEC4F3248C88FB16DC7EBB957F8"><enum>(A)</enum>
<clause commented="no" display-inline="yes-display-inline" id="HDB2733A66BDF43AB8DBC24FA32405535"><enum>(i)</enum><text>represents a substitute for transactions made or to be made or positions taken or to be taken at a later time in a physical marketing channel;</text></clause>
<clause id="H355526088F7A42B6A59B9221FB2F97E4" indent="up1"><enum>(ii)</enum><text display-inline="yes-display-inline">is economically appropriate to the reduction of risks in the conduct and management of a commercial enterprise; and</text></clause>
<clause id="H4A350427A32241F79000E44282A9001B" indent="up1"><enum>(iii)</enum><text display-inline="yes-display-inline">arises from the potential change in the value of—</text>
<subclause id="HA603219174E342ACB82844B94859D2E6"><enum>(I)</enum><text display-inline="yes-display-inline">assets that a person owns, produces, manufactures, processes, or merchandises or anticipates owning, producing, manufacturing, processing, or merchandising;</text></subclause>
<subclause id="H920705CB28FA44D69DCDC411979213A2"><enum>(II)</enum><text>liabilities that a person owns or anticipates incurring; or</text></subclause>
<subclause id="HBAC4EA2C13854C888B5B66B38FBFBEC4"><enum>(III)</enum><text>services that a person provides, purchases, or anticipates providing or purchasing; or</text></subclause></clause></subparagraph>
<subparagraph id="H953DB2A1EE2D441C9D2FB812B55FB02F"><enum>(B)</enum><text display-inline="yes-display-inline">reduces risks attendant to a position resulting from a transaction that—</text>
<clause id="H89968A37396844BB9CF41FC222F084B2"><enum>(i)</enum><text>was executed pursuant to subsection (g), (h)(1), or (h)(3) of section 2, or an exemption issued by the Commission by rule, regulation or order; and</text></clause>
<clause id="H3D3A53FC5B814E1600E765CF31326300"><enum>(ii)</enum>
<subclause commented="no" display-inline="yes-display-inline" id="H179BE7511347479C9369CF5DD7F4107D"><enum>(I)</enum><text>was executed opposite a counterparty for which the transaction would qualify as a bona fide hedging transaction pursuant to subparagraph (A); or</text></subclause>
<subclause id="H4FB17BE44F3F4A7F9198E349906EF300" indent="up1"><enum>(II)</enum><text display-inline="yes-display-inline">meets the requirements of subparagraph (A).</text></subclause></clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection>
<subsection id="H592B5E64CE1642C5A3FA42069F1140D2" display-inline="no-display-inline"><enum>(b)</enum><header>Conforming amendments</header>
<paragraph id="HE7AE1E8DEF0B4116A2CCCBAF2E21927C"><enum>(1)</enum><text display-inline="yes-display-inline">Section 5(d)(5) of such Act (7 U.S.C. 7(d)(5)) is amended to read as follows:</text>

<paragraph id="HDB2E8EB5C2BA43098F94A5DF8DB2A633"><enum>(2)</enum><text>Section 5a(d)(4) of such Act (7 U.S.C. 7a(d)(4)) is amended to read as follows:</text>

<subclause id="H8BBFC7DD71E04EBC8023C559D47802EC"><enum>(IV)</enum><text display-inline="yes-display-inline">The electronic trading facility shall adopt, where necessary and appropriate, position limitations or position accountability standards for speculators in significant price discovery contracts, taking into account positions in other agreements, contracts, and transactions that are treated by a derivatives clearing organization, whether registered or not registered, as fungible with such significant price discovery contracts to reduce the potential threat of market manipulation or congestion, especially during trading in the delivery month. For any contract that is subject to a position limitation established by the Commission pursuant to section 4a(a), the electronic trading facility shall set its position limitation at a level no higher than the Commission-established limitation.</text></subclause><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection></section>
<section id="HF5E0AF578DA04B72884B8FA3FFADB6CF"><enum>7.</enum><header>CFTC Administration</header><text display-inline="no-display-inline">Section 2(a)(7) of the Commodity Exchange Act (7 U.S.C. 2(a)(7)) is amended by adding at the end the following:</text>
<quoted-block display-inline="no-display-inline" id="HA9DC0733156546959100B81DC9B42559" style="OLC">
<subparagraph id="H32D3987812FA4F3293AA367C6FEFAD9"><enum>(D)</enum><header>Additional employees</header><text>As soon as practicable after the date of the enactment of this subparagraph, subject to appropriations, the Commission shall appoint a sufficient number of full-time employees (in addition to the employees employed by the Commission as of the date of the enactment of this subparagraph)—</text>
<clause id="HD435BADFD004493BA586851DC8AE0002"><enum>(i)</enum><text>to increase the public transparency of operations in markets;</text></clause>
<clause id="HD82ECC6A1E0F4C8BAD12CFA9ADB01D8B"><enum>(ii)</enum><text>to improve the enforcement of this Act in those markets;</text></clause>
<clause id="H063600796A2B4076B8EA7CDF93BD0B8"><enum>(iii)</enum><text>to enhance oversight of the trading and clearing of contracts, agreements, and transactions; and</text></clause>
<clause commented="no" display-inline="no-display-inline" id="H36630D770164420C8C924EA351622B00"><enum>(iv)</enum><text display-inline="yes-display-inline">to carry out the provisions of the Derivatives Markets Transparency and Accountability Act of 2009 and such other duties as are prescribed by the Commission.</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></section>
<section id="H4E6B536452FA48128B7F74BE879D22E3"><enum>8.</enum><header>Review of prior actions</header><text display-inline="no-display-inline">Notwithstanding any other provision of the Commodity Exchange Act, the Commodity Futures Trading Commission shall review, as appropriate, all regulations, rules, exemptions, exclusions, guidance, no action letters, orders, other actions taken by or on behalf of the Commission, and any action taken pursuant to the Commodity Exchange Act by an exchange, self-regulatory organization, or any other registered entity, that are currently in effect, to ensure that such prior actions are in compliance with the provisions of this Act.</text></section>
<section id="H2A34B5F6350947C3A40327B02C15F415"><enum>9.</enum><header>Review of over-the-counter markets</header>
<subsection id="H5B6FBEF509DE4588BE00CA611C7CAE12"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Commodity Futures Trading Commission shall conduct a study—</text>
<paragraph id="HE1F8DD9D99704A3A85B706236E2AADB"><enum>(1)</enum><text display-inline="yes-display-inline">to determine the efficacy, practicality, and consequences of establishing limits on the size of a position, other than bona fide hedge positions, that may be held by any person with respect to agreements, contracts, or transactions involving an agricultural or energy commodity, conducted in reliance on section 2(g) or 2(h) of the Commodity Exchange Act and of any exemption issued by the Commission by rule, regulation or order, that are fungible (as defined by the Commission) with agreements, contracts, or transactions traded on or subject to the rules of any board of trade or of any electronic trading facility with respect to a significant price discovery contract, as a means to deter and prevent price manipulation or any other disruption to market integrity or to diminish, eliminate, or prevent excessive speculation as described in section 4a of such Act for physical-based agricultural or energy commodities; and</text></paragraph>
<paragraph id="HAF09A887B23146918E6C4E6235D0D6CD"><enum>(2)</enum><text display-inline="yes-display-inline">to determine the efficacy, practicality, and consequences of establishing aggregate position limits for similar agreements, contracts, or transactions for physical-based agricultural or energy commodities traded—</text>
<subparagraph id="HEB4B3BABD8DF40E9A0EE6B7C0052BE81"><enum>(A)</enum><text>on designated contract markets;</text></subparagraph>
<subparagraph id="H74EFC77CBFDD42F4BF19BC44706EB7E"><enum>(B)</enum><text>on derivatives transaction execution facilities; and</text></subparagraph>
<subparagraph id="HD4FE81B5580A4F8000AB3C559EB2F235"><enum>(C)</enum><text>in reliance on such section 2(g) or 2(h) and of any exemption issued by the Commission by rule, regulation or order.</text></subparagraph></paragraph></subsection>
<subsection id="H5EDEECA8274343EDA92D1414D85C5F33"><enum>(b)</enum><header>Public hearings</header><text display-inline="yes-display-inline">The Commission shall provide for not less than 2 public hearings to take testimony, on the record, as part of the fact- gathering process in preparation of the report.</text></subsection>
<subsection id="H94FA3219F2644CEFBFF166AC1237EA32"><enum>(c)</enum><header>Report and Recommendations</header><text display-inline="yes-display-inline">Not less than 12 months after the date of the enactment of this section, the Commission shall provide to the Committee on Agriculture of the House of Representatives and the Committee on Agriculture, Nutrition, and Forestry of the Senate a report that—</text>
<paragraph id="HD8828472D02543FABA07907CBD1EBF8"><enum>(1)</enum><text>describes the results of the study; and</text></paragraph>
<paragraph id="HF3B5423D47FA4A0EBC968911503DF1FD"><enum>(2)</enum><text>provides recommendations on any actions necessary to deter and prevent price manipulation or any other disruption to market integrity or to diminish, eliminate, or prevent excessive speculation as described in section 4a of the Commodity Exchange Act for physical-based commodities, including—</text>
<subparagraph id="HD850FE5BA3BC4D89ACA9F1D00102225"><enum>(A)</enum><text>any additional statutory authority that the Commission determines to be necessary to implement the recommendations; and</text></subparagraph>
<subparagraph id="H4D9A9081549143B2AC7B4561C382DFCC"><enum>(B)</enum><text display-inline="yes-display-inline">a description of the resources that the Commission considers to be necessary to implement the recommendations.</text></subparagraph></paragraph></subsection></section>
<section id="H7C8FCBBC95684CE6A5E584CB00164E69"><enum>10.</enum><header>Study relating to international regulation of energy commodity markets</header>
<subsection id="H32271205DE7C4704ADD1F1F6D62D34FC"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Comptroller General of the United States shall conduct a study of the international regime for regulating the trading of energy commodity futures and derivatives.</text></subsection>
<subsection id="H1B2B2B6DD9D3426395244CF0FBC89BCB"><enum>(b)</enum><header>Analysis</header><text>The study shall include an analysis of, at a minimum—</text>
<paragraph id="H2AEAF34273A44D93A0527F6B4700D459"><enum>(1)</enum><text>key common features and differences among countries in the regulation of energy commodity trading, including with respect to market oversight and enforcement standards and activities;</text></paragraph>
<paragraph id="HCE7A74E31FDD4A36B28D05752F0045E9"><enum>(2)</enum><text display-inline="yes-display-inline">variations among countries with respect to the use of position limits, position accountability levels, or other thresholds to detect and prevent price manipulation, excessive speculation as described in section 4a of the Commodity Exchange Act, or other unfair trading practices;</text></paragraph>
<paragraph id="HF9D1D19CFC6746B688A7106E3291883"><enum>(3)</enum><text>variations in practices regarding the differentiation of commercial and noncommercial trading;</text></paragraph>
<paragraph id="H601DB16F36524BE18796C516F19CDEB1"><enum>(4)</enum><text display-inline="yes-display-inline">agreements and practices for sharing market and trading data among futures authorities and between futures authorities and the entities that the futures authorities oversee; and</text></paragraph>
<paragraph id="H3372F64C7E87487B9579031F30D716C8"><enum>(5)</enum><text>agreements and practices for facilitating international cooperation on market oversight, compliance, and enforcement.</text></paragraph></subsection>
<subsection id="H23D403BCEDB244E999F8BCEB1B80F6DC"><enum>(c)</enum><header>Report</header><text>Not later than 1 year after the date of the enactment of this Act, the Comptroller General shall submit to the Committee on Agriculture of the House of Representatives and the Committee on Agriculture, Nutrition, and Forestry of the Senate a report that—</text>
<paragraph id="H97F971B9EC054422AA118B909954E36C"><enum>(1)</enum><text>describes the results of the study;</text></paragraph>
<paragraph id="H12D6754562F24097A6C11D181E6956B6"><enum>(2)</enum><text>addresses whether there is excessive speculation, and if so, the effects of any such speculation and energy price volatility on energy futures; and</text></paragraph>
<paragraph id="HD20F26C3E13E4F12899E8747C6822506"><enum>(3)</enum><text>provides recommendations to improve openness, transparency, and other necessary elements of a properly functioning market in a manner that protects consumers in the United States.</text></paragraph></subsection></section>
<section id="HFEBB468AD38E44B2A2325DEBEE1B6DE5"><enum>11.</enum><header>Over-the-counter authority</header>
<subsection id="H484B0031CF9C4BFC8381BECD461E91E"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 2 of the Commodity Exchange Act (7 U.S.C. 2) is amended by adding at the end the following:</text>

<paragraph id="HE4E3BED713F344718581F3BEEB4AED"><enum>(1)</enum><text display-inline="yes-display-inline">Notwithstanding subsections (d), (g), (h)(1), and (h)(3) of section 2, and any exemption issued by the Commission by rule, regulation, or order, the Commission shall assess and issue a finding on whether agreements, contracts, or transactions entered into in reliance on subsection (d), (g), (h)(1), or (h)(3) of section 2 or any other exemption issued by the Commission by rule, regulation, or order, that are fungible (as defined by the Commission) with agreements, contracts, or transactions traded on or subject to the rules of any board of trade or electronic trading facility with respect to a significant price discovery contract, alone or in conjunction with other similar agreements, contracts, or transactions, have the potential to—</text>
<subparagraph id="H5FA149D1BE584E7FB5B577DC4DE8AAB0"><enum>(A)</enum><text display-inline="yes-display-inline">disrupt the liquidity or price discovery function on a registered entity;</text></subparagraph>
<subparagraph id="H14BA61267DF441319DF15B1D9EE813D2"><enum>(B)</enum><text>cause a severe market disturbance in the underlying cash or futures market; or</text></subparagraph>
<subparagraph id="HA9C1986C70134EE9B0CF00A599BDD34D"><enum>(C)</enum><text display-inline="yes-display-inline">prevent or otherwise impair the price of a contract listed for trading on a registered entity from reflecting the forces of supply and demand in any market.</text></subparagraph></paragraph>
<paragraph id="H80048D81887744B2AFA436000800AE9C"><enum>(2)</enum><text display-inline="yes-display-inline">If the Commission makes a finding pursuant to paragraph (1) of this subsection, the Commission may, in its discretion, utilize its authority under section 8a(9) to impose position limits (including, as appropriate and in its discretion, related hedge exemption provisions for bona fide hedging comparable to bona fide hedge provisions of section 4a(c)(2)) on agreements, contracts, or transactions involved, and take corrective actions to enforce the limits.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="H01587A9A85DC4DBEB5EB20212E1E015C"><enum>(b)</enum><header>Conforming amendments</header>
<paragraph id="H3E134A2F8A3B45E19FC67175E45E7B9"><enum>(1)</enum><text>Section 2(d)(1) of such Act (7 U.S.C. 2(d)(1)) is amended by inserting <quote>subsection (j) of this section, and</quote> after <quote>(other than</quote>.</text></paragraph>
<paragraph display-inline="no-display-inline" id="H0D19FEC94559466AA4B19D004D7E4578"><enum>(2)</enum><text>Section 2(d)(2) of such Act (7 U.S.C. 2(d)(2)) is amended by inserting <quote>subsection (j) of this section, and</quote> after <quote>(other than</quote>.</text></paragraph>
<paragraph display-inline="no-display-inline" id="H758FDE40B39E4024BA75EFFF97385C38"><enum>(3)</enum><text>Section 2(g) of such Act (7 U.S.C. 2(g)) is amended by inserting <quote>subsection (j) of this section, and</quote> after <quote>(other than</quote>.</text></paragraph>
<paragraph id="HC039FAC804A9476DAA26FE3463F34855"><enum>(4)</enum><text>Section 2(h)(2)(A) of such Act (7 U.S.C. 2(h)(2)(A)), as amended by section 5(c)(4) of this Act, is amended by inserting <quote>subsection (j) of this section and</quote> before <quote>sections</quote>.</text></paragraph>
<paragraph display-inline="no-display-inline" id="H45A5539DEA8D4C62A31776EC43691EC"><enum>(5)</enum><text>Section 2(h)(4)(A) of such Act (7 U.S.C. 2(h)(4)(A)), as amended by section 5(c)(5) of this Act, is amended by inserting <quote>subsection (j) of this section and</quote> before <quote>sections</quote>.</text></paragraph>

<section id="H577F6550DE294284BF346FBAE2F33185"><enum>12.</enum><header>Expedited process</header><text display-inline="no-display-inline">The Commodity Futures Trading Commission may use emergency and expedited procedures (including any administrative or other procedure as appropriate) to carry out this Act if, in its discretion, it deems it necessary to do so.</text></section>
<section id="H154ED3D96D924674AB5CDC5F817063ED"><enum>13.</enum><header>Certain exclusions and exemptions available only for certain transactions settled and cleared through registered derivatives clearing organizations</header>
<subsection id="H2B86FE6AD7004946AFA7B9745F22F5A"><enum>(a)</enum><header>In general</header>
<paragraph id="H72697300F5474C00A2CBE48DD6E23DCC"><enum>(1)</enum><header>Exclusion of certain derivative transactions</header>
<subparagraph id="H534F5DA2CCDF483D9EB4DB86B7009900"><enum>(A)</enum><text>Section 2(d)(1) of the Commodity Exchange Act (7 U.S.C. 2(d)(1)) is amended—</text>
<clause id="H73DEC2CD28AA4A8EAC09AB56849E81A3"><enum>(i)</enum><text>by striking <quote>and</quote> at the end of subparagraph (A);</text></clause>

<subsection id="HA2DEB42B3A0B483EB8E363A6CB28C5FD"><enum>(b)</enum><header>Alternatives to clearing through derivatives clearing organizations</header><text>Section 4 of such Act (7 U.S.C. 6), as amended by sections 3 and 4 of this Act, is amended by adding at the end the following:</text>

<subparagraph id="H18C57208CCAA4DCDB83B09CE679809DF"><enum>(A)</enum><text>An agreement, contract, or transaction, or class thereof, relating to an excluded commodity, that would otherwise be required to be settled and cleared by section 2(d)(1)(C), 2(d)(2)(D), or 2(g)(4) of this Act, or subsection (c)(1) of this section may be settled and cleared through an entity listed in section 409(b)(1) of the Federal Deposit Insurance Corporation Improvement Act of 1991.</text></subparagraph>
<subparagraph id="H3BB9B81540BD4BEEA1252F30653FCD32"><enum>(B)</enum><text display-inline="yes-display-inline">An agreement, contract, or transaction, or class thereof, that would otherwise be required to be settled and cleared by section 2(d)(1)(C), 2(d)(2)(D), 2(g)(4), 2(h)(1)(C), or 2(h)(3)(C) of this Act, or subsection (c)(1) of this section may be settled and cleared through an entity listed in section 409(b)(3) of the Federal Deposit Insurance Corporation Improvement Act of 1991.</text></subparagraph></paragraph>
<paragraph id="H11CD58B8FE5D444E84898F3CFB2F67F"><enum>(2)</enum><header>Waiver of clearing requirement</header>
<subparagraph id="HEEDD30D02C78490FA36173344B6296DA"><enum>(A)</enum><text display-inline="yes-display-inline">The Commission, in its discretion, may exempt an agreement, contract, or transaction, or class thereof, that would otherwise be required by section 2(d)(1)(C), 2(d)(2)(D), 2(g)(4), 2(h)(1)(C), or 2(h)(3)(C) of this Act, or subsection (c)(1) of this section to be settled and cleared through a derivatives clearing organization registered with the Commission from such requirement.</text></subparagraph>
<subparagraph id="H19878F39974C4AAB88B11CF12B2FC600"><enum>(B)</enum><text>In granting exemptions pursuant to subparagraph (A), the Commission shall consult with the Securities and Exchange Commission and the Board of Governors of the Federal Reserve System regarding exemptions that relate to excluded commodities or entities for which the Securities Exchange Commission or the Board of Governors of the Federal Reserve System serve as the primary regulator.</text></subparagraph>
<subparagraph id="HC1EAD8FB598D42D9967C4CA992B9BDEA"><enum>(C)</enum><text>Before granting an exemption pursuant to subparagraph (A), the Commission shall find that the agreement, contract, or transaction, or class thereof—</text>
<clause id="H3625F597EC544C83AD5594604DDFE534"><enum>(i)</enum><text>is highly customized as to its material terms and conditions;</text></clause>
<clause id="HB0361EEEB16B4B97B81B3CF5584E14C"><enum>(ii)</enum><text>is transacted infrequently;</text></clause>
<clause id="HE15D78F84FAD427FAC77B859AC2506E0"><enum>(iii)</enum><text>does not serve a significant price-discovery function in the marketplace; and</text></clause>
<clause id="HBD888AB6C8D446EAB5A816C4EF0044D0"><enum>(iv)</enum><text display-inline="yes-display-inline">is being entered into by parties who can demonstrate the financial integrity of the agreement, contract, or transaction and their own financial integrity, as such terms and standards are determined by the Commission. The standards shall include a net capital requirement associated with any agreement, contract, or transaction subject to an exemption from the clearing requirement that recognizes the risks associated with the absence of clearing.</text></clause></subparagraph>
<subparagraph id="H7A4E7C2CC1BA49BA818B8318F2001175"><enum>(D)</enum><text display-inline="yes-display-inline">Any agreement, contract, or transaction, or class thereof, which is exempted pursuant to subparagraph (A) shall be reported in a manner designated by the Commission to the Commission, the Securities and Exchange Commission, the Board of Governors of the Federal Reserve System, or such other entity the Commission deems appropriate.</text></subparagraph></paragraph></subsection>
<subsection id="H0B9519137D724FCD93010188A68FDB35"><enum>(i)</enum><header>Spot and forward exclusion</header><text display-inline="yes-display-inline">The settlement and clearing requirements of section 2(d)(1)(C), 2(d)(2)(D), 2(g)(4), 2(h)(1)(C), 2(h)(3)(C), or 4(c)(1) shall not apply to an agreement, contract, or transaction of any cash commodity for immediate or deferred shipment or delivery, as defined by the Commission.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="H109EC79BD0AF4286B3A300155DD4D816"><enum>(c)</enum><header>Additional requirements applicable to applicants for registration as a derivatives clearing organization</header><text>Section 5b(c)(2) of such Act (7 U.S.C. 7a–1(c)(2)) is amended by adding at the end the following:</text>
<quoted-block display-inline="no-display-inline" id="HD2C64F2C0343488C9BAC00E94E98F4C8" style="OLC">
<subparagraph display-inline="no-display-inline" id="H1A3747363AA24598820332887B3374AC"><enum>(O)</enum><header>Disclosure of general information</header><text>The applicant shall disclose publicly and to the Commission information concerning—</text>
<clause id="HC9C3B2D5A67C43E8889743B8F2A3399"><enum>(i)</enum><text>the terms and conditions of contracts, agreements, and transactions cleared and settled by the applicant;</text></clause>
<clause id="H3C3914C86EA94FC2B8B85896F8A28073"><enum>(ii)</enum><text>the conventions, mechanisms, and practices applicable to the contracts, agreements, and transactions;</text></clause>
<clause id="H2482CBAD2F4145DF872EBB65F3193914"><enum>(iii)</enum><text display-inline="yes-display-inline">the margin-setting methodology and the size and composition of the financial resource package of the applicant; and</text></clause>
<clause id="H322DCE3A3EA24BA4B78720CB001F4EFD"><enum>(iv)</enum><text>other information relevant to participation in the settlement and clearing activities of the applicant.</text></clause></subparagraph>
<subparagraph id="HDC32B1050CD54CB4BA65A842EBF4E9CD"><enum>(P)</enum><header>Daily publication of trading information</header><text display-inline="yes-display-inline">The applicant shall make public daily information on settlement prices, volume, and open interest for contracts settled or cleared pursuant to the requirements of section 2(d)(1)(C), 2(d)(2)(D), 2(g)(4), 2(h)(1)(C), 2(h)(3)(C) or 4(c)(1) of this Act by the applicant if the Commission determines that the contracts perform a significant price discovery function for transactions in the cash market for the commodity underlying the contracts.</text></subparagraph>
<subparagraph id="HB6AD7F822741472FAEAE6841B88F5479"><enum>(Q)</enum><header>Fitness standards</header><text>The applicant shall establish and enforce appropriate fitness standards for directors, members of any disciplinary committee, and members of the applicant, and any other persons with direct access to the settlement or clearing activities of the applicant, including any parties affiliated with any of the persons described in this subparagraph.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="HC2362F144A554A2DBC704C559823237E"><enum>(d)</enum><header>Amendments</header>
<paragraph id="HBAF1209CCF9F4E7793342D98D7A5D38D"><enum>(1)</enum><text>Section 409 of the Federal Deposit Insurance Corporation Improvement Act of 1991 (12 U.S.C. 4422) is amended—</text>
<subparagraph id="HDB96B2189081434D9589EE7B3E7404C1"><enum>(A)</enum><text display-inline="yes-display-inline">in subsection (a), by inserting after <quote>Federal Reserve Act</quote> the following: <quote>, and the person is registered as a clearing agency under the Securities Exchange Act of 1934 or as a derivatives clearing organization under the Commodity Exchange Act</quote>; and</text></subparagraph>
<subparagraph id="H335155B15447460190E169BAC3DA1D80"><enum>(B)</enum><text>in subsection (b)(3), by striking <quote>the Comptroller of the Currency, the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation,</quote>.</text></subparagraph></paragraph>
<paragraph id="H96409A2102B0452B99156989476E2142"><enum>(2)</enum><text display-inline="yes-display-inline">Section 407 of the Legal Certainty for Bank Products Act of 2000 (7 U.S.C. 27e) is amended by inserting <quote>and the settlement and clearing requirements of sections 2(d)(1)(C), 2(d)(2)(D), 2(g)(4), 2(h)(1)(C), 2(h)(3)(C), and 4(c)(1) of such Act</quote> after <quote>the clearing of covered swap agreements</quote>.</text></paragraph>
<paragraph id="H141C458090064860ACF94D6514FAE5F9"><enum>(3)</enum><text display-inline="yes-display-inline">Section 10 of the Federal Reserve Act is amended by adding at the end the following new provision:</text>
<quoted-block style="traditional" id="HAABACE93D42B400EB57640B2D052357E" display-inline="no-display-inline">
<subsection id="H621338993CB94FDC9DC1A35899DB771F"><enum><?xm-replace_text {enum}?></enum><text>The Board shall have no power to issue any rule, regulation, or order, or otherwise to establish the standards of regulation of any entity in its capacity as a multilateral clearing organization as defined in section 408 of the Federal Deposit Insurance Corporation Improvement Act of 1991.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph>
<paragraph id="H3162CCDF614A49A09690F3DB652B3900"><enum>(4)</enum><text>Section 5b(b) of the Commodity Exchange Act (7 U.S.C. 7a–1(b)) is amended—</text>
<subparagraph id="HC7780D8BFAD24899847E2278B81549F0"><enum>(A)</enum><text>by striking <quote>(b) <header-in-text level="subsection" style="OLC">Voluntary registration</header-in-text>.—A derivatives clearing organization</quote> and inserting the following:</text>

<subparagraph commented="no" display-inline="yes-display-inline" id="HF19AEEF9A4014AE7A02801EE023B9071"><enum>(A)</enum><text>A national bank, a State member bank, an insured State nonmember bank, an affiliate of a national bank, a State member bank, an insured State nonmember bank, or a corporation chartered under section 25A of the Federal Reserve Act may register with the Commission as a derivatives clearing organization.</text></subparagraph>
<subparagraph id="HB69143E6FA72458EB8E3B123952711A9" indent="up1"><enum>(B)</enum><text>The Commission shall expedite the application of any institution referred to in subparagraph (A) to the extent that, as of the date of enactment of this paragraph, the institution had received the approval of the Board of Governors of the Federal Reserve System to act as a multilateral clearing organization.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection>
<subsection id="H8D6D6DB11F844D07A8899EE3A421A4DD"><enum>(e)</enum><header>Effective date</header>
<paragraph id="H990BBC88FBB442F5B6D5DB10EFBF32C6"><enum>(1)</enum><header>In general</header><text>The amendments made by this section shall take effect 150 days after the date of the enactment of this Act.</text></paragraph>
<paragraph id="H827B366F03F5422C8619FF11F6A1C841"><enum>(2)</enum><header>Publication of guidelines</header><text display-inline="yes-display-inline">Before the amendments made by this section take effect, the Commission shall through rulemaking, after notice and comment, establish and publish guidelines outlining the terms and conditions that must apply for an agreement, contract, transaction, or class thereof, to qualify for the exemption cited in section 4(h)(2) of the Commodity Exchange Act.</text></paragraph></subsection>
<subsection id="HA9D20432201A4F95ABD1484346D2B99F"><enum>(f)</enum><header>Transition rule</header><text display-inline="yes-display-inline">Any agreement, contract, or transaction entered into before the date of the enactment of this Act or within 150 days after such date of enactment, in reliance on subsection (d), (g), (h)(1), or (h)(3) of section 2 of the Commodity Exchange Act or any other exemption issued by the Commodity Futures Trading Commission by rule, regulation, or order shall, within 150 days after such date of enactment, unless settled and cleared through an entity registered with the Commission as a derivatives clearing organization or another clearing entity pursuant to section 4(h) of such Act, be reported to the Commission in a manner designated by the Commission, or to such other entity as the Commission deems appropriate.</text></subsection></section>
<section id="H2300659D26044D45B49833EB89BF8E37"><enum>14.</enum><header>Treatment of emission allowances and offset credits</header>
<subsection id="HFDF648EEAC3C46EBA510B0DAE2E76C5"><enum>(a)</enum><text>Section 1a(14) of the Commodity Exchange Act (7 U.S.C. 1a(14)) is amended by striking <quote>or an agricultural commodity</quote> and inserting <quote>, an agricultural commodity, any allowance authorized under law to emit a greenhouse gas, and any credit authorized under law toward the reduction in greenhouse gas emissions or an increase in carbon sequestration</quote>.</text></subsection>
<subsection id="H8B537239288D449880582E8D5BF163C1"><enum>(b)</enum><text display-inline="yes-display-inline">Within 180 days after the date of the enactment of this section, the Commodity Futures Trading Commission shall enter into a memorandum of understanding with the Secretary of Agriculture which shall include provisions, consistent with section 1245 of the Food Security Act of 1985, ensuring that the development of any procedures and protocols for a market-based greenhouse gas contract on a board of trade designated as a contract market under section 5 of the Commodity Exchange Act are properly constructed and coordinated to maximize credits for carbon sequestration.</text></subsection></section>

<paragraph id="H1F27ECDAAF6E4A54AAC967A68DCFB079"><enum>(1)</enum><header>Effective date</header><text>The amendments made by this section shall take effect 30 days after the date of the enactment of this Act.</text></paragraph>
<paragraph id="HF8D7BDC730A348C9B312B9013EB7C03D"><enum>(2)</enum><header>Transition rule</header><text>An individual serving as Inspector General of the Commodity Futures Trading Commission on the effective date of this section pursuant to an appointment made under section 8G of the Inspector General Act of 1978 (5 U.S.C. App.)—</text>
<subparagraph id="HBBA9F7E3A17C4A0BB358445F74D08304"><enum>(A)</enum><text>may continue so serving until the President makes an appointment under section 3(a) of such Act consistent with the amendments made by this section; and</text></subparagraph>
<subparagraph id="H7D74F32E22FA4952B0C647F100996492"><enum>(B)</enum><text>shall, while serving under subparagraph (A), remain subject to the provisions of section 8G of such Act which apply with respect to the Commodity Futures Trading Commission.</text></subparagraph></paragraph></subsection></section>
<section id="HFDF4FA85BE514AD3A3B205B843F32147"><enum>16.</enum><header>Authority of Commodity Futures Trading Commission to suspend trading in credit default swaps</header>
<subsection id="H45D91D8C52154EADB01C227F6870AB93"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 4c of the Commodity Exchange Act (7 U.S.C. 6c) is amended by adding at the end the following:</text>

<subsection id="H1EDBE80D16174A96829E36CB86237300"><enum>(h)</enum><header>Authority of Commission To suspend trading of credit default swaps</header>
<paragraph id="H6D6A80CF2A9B4761AA9973E56243C4F3"><enum>(1)</enum><header>In general</header><text>If, in the opinion of the Commission, the public interest and the protection of investors so require, the Commission may, by order—</text>
<subparagraph id="H6F83C425A16547420000E4A301BC259C"><enum>(A)</enum><text>summarily suspend trading in any credit default swap; and</text></subparagraph>
<subparagraph id="HB105145E98334546B0CCB988CF4040BD"><enum>(B)</enum><text>summarily suspend all trading on any contract market, derivatives transaction execution facility, or otherwise, in credit default swaps.</text></subparagraph></paragraph>
<paragraph id="HDAA3491662FF4E03A2C5EE2DF1BDB864"><enum>(2)</enum><header>Limitation</header><text>An action described in paragraph (1) shall—</text>
<subparagraph id="H6AD33E6A400F4A7EA6B200076FC5D721"><enum>(A)</enum><text>not take effect unless the Commission notifies the President of its decision, and the President notifies the Commission that the President does not disapprove of the decision;</text></subparagraph>
<subparagraph id="H3CEEE33C42194A08A5B100CE832C8212"><enum>(B)</enum><text display-inline="yes-display-inline">only apply to credit default swaps that are related to securities subject to a short selling suspension order by the Securities and Exchange Commission, and such action must terminate when such suspension order terminates; and</text></subparagraph>
<subparagraph id="HFCBA54AD45644FF8B3A18735E00E69E"><enum>(C)</enum><text>only apply to credit default swaps purchased by persons who are not purchasing the credit default swap to reduce an existing credit risk directly related to the reference entity or its obligations.</text></subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="H7A67DB2BA22C4E52BF53C200AC2BBA5F"><enum>(b)</enum><header>Definition of credit default swap</header><text>Section 1a of such Act (7 U.S.C. 1a) is amended by adding at the end the following:</text>

<paragraph id="H2DA3E3A548D24FB8A0A7E8F5CC3EBBA"><enum>(34)</enum><header>Credit default swap</header><text display-inline="yes-display-inline">The term <term>credit default swap</term> means a contract which hedges a party to the contract against the risk that an entity may experience a loss of value as a result of an event specified in the contract, such as a default or credit downgrade. A credit default swap that is proposed to be traded or is traded on or proposed to be or is cleared by a registered entity pursuant to this Act shall be excluded from the definition of a security as defined in this Act and in section 2(a)(1) of the Securities Act of 1933 or section 3(a)(10) of the Securities Exchange Act of 1934, except as necessary solely for purposes of enforcing prohibitions against insider trading in sections 10 and 16 of the Securities Exchange Act of 1934.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection id="H728C977CEB95478FA1D9AB8939B5EBDF"><enum>(c)</enum><header>Effective date</header><text>The amendment made by subsection (b) shall be effective for credit default swaps entered into after 90 days after the date of the enactment of this section.</text></subsection></section>
<section id="H476937B115EB447EAA32D0A1F889A5B9"><enum>17.</enum><header>Authority of Commodity Futures Trading Commission to prosecute criminal violations of the Commodity Exchange Act</header><text display-inline="no-display-inline">Section 9 of the Commodity Exchange Act (7 U.S.C. 13) is amended by adding at the end the following:</text>

<subsection id="HEB5815AF022A4520B3F099EA4300F989"><enum>(f)</enum><text display-inline="yes-display-inline">Notwithstanding section 516 of title 28, United States Code, the Commission may initiate and conduct criminal litigation relating to a violation of this Act, and secure evidence therefor, if the Attorney General has declined to do so.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section>
<section id="H2C18187790CE4253B6B5954B5EC03F26"><enum>18.</enum><header>Diversity of directors of boards of trade</header><text display-inline="no-display-inline">Section 5(d) of the Commodity Exchange Act (7 U.S.C. 7(d)) is amended by adding at the end the following:</text>
