		<section id="H86D5645133B34466918DCEEE7B2AED8F" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Federal License for Reinsurers Act of
			 2010</short-title></quote>.</text>
		</section><section id="HB2775DADFB2E4CC9929EE62F50D4515E"><enum>2.</enum><header>Amendments to
			 title 31, United States Code</header><text display-inline="no-display-inline">Section 313 of title 31, United States Code,
			 is amended—</text>
			<paragraph id="HAE2680AC236A46B8A8E4663236393A93"><enum>(1)</enum><text>in subsection
			 (b)—</text>
				<subparagraph id="HAF5E4983F3034E82891DFEA7EADA7297"><enum>(A)</enum><text>by striking
			 <quote>The Office</quote> and inserting the following:</text>
					<quoted-block display-inline="no-display-inline" id="H8A94EF2A77F543D8AE0337047ABD90A9" style="OLC">
						<paragraph id="HD9180857394849B7962DA7763A4FC889"><enum>(1)</enum><header>Leadership</header><text display-inline="yes-display-inline">The
				Office</text>
						</paragraph><after-quoted-block>;
				and</after-quoted-block></quoted-block>
				</subparagraph><subparagraph id="H6AB6AC3C67324446B85667E3533E5C07"><enum>(B)</enum><text>by adding at the
			 end the following new paragraph:</text>
					<quoted-block display-inline="no-display-inline" id="HF50C5902B01E44ED9841FE343EBEFF2F" style="OLC">
						<paragraph id="HCBEA8DC8D15849F3AA860217B933E513"><enum>(2)</enum><header>Employees</header>
							<subparagraph id="H013530F62E4B4917BD2B6F59F62C7332"><enum>(A)</enum><header>Number and
				compensation</header><text display-inline="yes-display-inline">The Director
				shall fix the number of employees of the Office and the compensation of such
				employees, as necessary to carry out the provisions of this section without
				regard to chapter 51 or subchapter III of chapter 53 of title 5.</text>
							</subparagraph><subparagraph id="H00FD921A69284CB28732E5FA6E653166"><enum>(B)</enum><header>Additional
				compensation and benefits</header><text display-inline="yes-display-inline">Notwithstanding subparagraph (A), the
				Director may provide additional compensation and benefits if the same type of
				compensation or benefits are then being provided by any Federal banking agency
				or, if not then being provided, could be provided by any such agency under
				applicable provisions of law or regulation. In setting and adjusting the total
				amount of compensation and benefits for employees of the Office, the Director
				shall consult, and seek to maintain comparability with, the Federal banking
				agencies.</text>
							</subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block>
				</subparagraph></paragraph><paragraph id="H4ECCC2CDDC5C4510B14729AA741373B5"><enum>(2)</enum><text>in subsection
			 (c)(1)—</text>
				<subparagraph id="HB5B1C6CCF1FC47D99D24CF2EC5981769"><enum>(A)</enum><text>in subparagraph
			 (E), by striking <quote>subsection (r)</quote> and inserting <quote>subsection
			 (s)</quote>;</text>
				</subparagraph><subparagraph id="H67F35C6D52B04B848E761226A2288EA5"><enum>(B)</enum><text>by redesignating
			 subparagraphs (G) and (H) as subparagraphs (H) and (I), respectively;
			 and</text>
				</subparagraph><subparagraph id="H7954AEF64C854BCE91440CFB111F6AC9"><enum>(C)</enum><text>by inserting after
			 subparagraph (F) the following new subparagraph:</text>

						<subparagraph id="H1BF40B5D739C40F2BC7F73EBE9323DD3"><enum>(G)</enum><text display-inline="yes-display-inline">with respect to the business of
				reinsurance—</text>
							<clause id="H7EEB59BAAC634D8BA2E3163BCA18C2FB"><enum>(i)</enum><text>to
				license entities to transact the business of reinsurance as a national
				reinsurer pursuant to subsection (h)(1);</text>
							</clause><clause id="H22360B770CA94543883D2B6782DDED67"><enum>(ii)</enum><text>to revoke,
				suspend, or restrict a Federal license pursuant to (h)(1)(B);</text>
							</clause><clause id="H9FBCDE5E384949CABAA0B97493E6ED40"><enum>(iii)</enum><text>to coordinate
				Federal efforts and establish Federal policy on international matters related
				to reinsurance, including working with international regulatory and
				standard-setting bodies;</text>
							</clause><clause id="HC9BEF187F2AC4357B95BD6B19699FA53"><enum>(iv)</enum><text>to assist the
				Secretary in entering into supervisory arrangements authorized under subsection
				(h);</text>
							</clause><clause id="H45FE716F3CCB46128420B7A40A64331F"><enum>(v)</enum><text>to
				establish and enforce appropriate standards and requirements governing national
				reinsurers consistent with criteria in subsection (h)(5);</text>
							</clause><clause id="HDD12F3CB09AC46A5986A6D5C35625D0A"><enum>(vi)</enum><text>to determine that
				any State law, regulation, or action is preempted as being contrary to or
				inconsistent with the purposes of subsection (h) and this subparagraph;</text>
							</clause><clause id="H16BA53B3E06A4CB69ED6F0476A2157DC"><enum>(vii)</enum><text>to assess and
				collect reasonable fees from authorized foreign reinsurers for reimbursement of
				costs incurred by the Director related to supervisory arrangements; and</text>
							</clause><clause id="HE0F50CDF0D6C48A68A04F3C5E1166E85"><enum>(viii)</enum><text>to assess and
				collect reasonable fees from national reinsurers for the reimbursement of costs
				incurred by the Director for licensing and examination of national
				reinsurers;</text>
							</clause></subparagraph><after-quoted-block>;</after-quoted-block></quoted-block>
				</subparagraph></paragraph><paragraph id="H3D170829B94441CE97BFD885969FD492"><enum>(3)</enum><text>in subsection
			 (f)—</text>
				<subparagraph id="HBDBBA9FABEC24E2483572FD9996D05EF"><enum>(A)</enum><text>in paragraph (1),
			 by striking <quote>A State</quote> and inserting <quote>Except as provided in
			 subsection (h), a State</quote>; and</text>
				</subparagraph><subparagraph id="H4C8CAFD97A8E4E2586385085E4316181"><enum>(B)</enum><text>in paragraph
			 (2)(B), by inserting after <quote>insurance measures,</quote> the following:
			 <quote>except as provided in subsection (h),</quote>;</text>
				</subparagraph></paragraph><paragraph id="H32F65F45ECBC4E7AB48C222C1F8FE3B0"><enum>(4)</enum><text>in subsection (g),
			 by inserting after <quote>determination of inconsistency,</quote> the
			 following: <quote>except as provided in subsection (h),</quote>;</text>
			</paragraph><paragraph id="HC5A7F0B4470643A39742375984FC3368"><enum>(5)</enum><text display-inline="yes-display-inline">by redesignating subsections (h), (i), (j),
			 (k), (l), (m), (n), (o), (p), (q), (r), and (s) as subsections (i), (j), (k),
			 (l), (m), (n), (o), (p), (q), (r), (s), and (t), respectively;</text>
			</paragraph><paragraph id="HBD7E55A4D98345FC84636BCEC915CBB9"><enum>(6)</enum><text>by inserting after
			 subsection (g) the following new subsection:</text>
				<quoted-block display-inline="no-display-inline" id="H2CF32A5FFAE04B8A8D8F9E6DB0A0DA76" style="OLC">
					<subsection id="H0305C3E89FB74EC7BA42429293C44F6D"><enum>(h)</enum><header>Authority with
				respect to reinsurance</header>
						<paragraph id="HFA40A999C3BC49A985972B17FCE3000D"><enum>(1)</enum><header>Licensing of
				national reinsurers</header>
							<subparagraph id="H75E041F7FF134EBD9FE18AE44EEEF9C6"><enum>(A)</enum><header>Licensing</header>
								<clause id="H4878A6A35DE34F0C8A2AC15BA28E9145"><enum>(i)</enum><header>In
				general</header><text>The Director shall establish criteria necessary for the
				licensing and operation of a national reinsurer.</text>
								</clause><clause id="H99E64CCFEA844E00A166AE1247D0C25E"><enum>(ii)</enum><header>Eligibility</header><text>A
				United States entity shall be eligible to apply for a Federal license under
				this subsection to transact the business of reinsurance upon demonstration to
				the Director that the entity meets the definition of reinsurer under this
				section and all other criteria established by the Director.</text>
								</clause><clause id="H95EDE45888CC41D3AE7E48A2F683B96B"><enum>(iii)</enum><header>Non-United
				States entities</header><text>A non-United States entity may obtain a Federal
				license under this subsection through the establishment of a United States
				branch which meets the eligibility requirements under clause (ii) and such
				other regulations as the Director may prescribe.</text>
								</clause><clause id="HA21E4A2FB853482CA99A9BA06C6EC537"><enum>(iv)</enum><header>Issuance of
				license</header><text>If the Director determines that the applicant has
				satisfied the applicable eligibility requirements, the Director shall issue a
				Federal license to the applicant to transact the business of
				reinsurance.</text>
								</clause></subparagraph><subparagraph id="HD16FDD1A33C44BC1ABFFD905D0266A91"><enum>(B)</enum><header>Revocation,
				suspension, or restriction of Federal license</header><text>The Director may
				revoke, suspend, or restrict a Federal license whenever the Director determines
				that the licensed entity is no longer operating in a manner consistent with the
				criteria for licensing and operation established by the Director.</text>
							</subparagraph><subparagraph id="H709335B877B942A4915DD947FBA22E71"><enum>(C)</enum><header>Conversion to
				State license</header><text>A national reinsurer may convert to a
				State-licensed reinsurer in accordance with applicable State law if—</text>
								<clause id="H6B55789495DC4937A52A51BFF617EA63"><enum>(i)</enum><text>such entity
				notifies the Director of its intention to convert in accordance with such
				procedures as the Director may prescribe by regulation;</text>
								</clause><clause id="HAE62167C5A7348D89ACBB584025EE45B"><enum>(ii)</enum><text>after conducting
				an appropriate review, the Director approves the conversion.</text>
								</clause></subparagraph><subparagraph commented="no" id="H4881613D5B524AB4B02FEB6CB312B524"><enum>(D)</enum><header>Applicability of
				the Bankruptcy Code</header><text display-inline="yes-display-inline">A
				delinquency proceeding for the liquidation or reorganization of a United States
				national reinsurer shall proceed under the provisions of title 11.</text>
							</subparagraph></paragraph><paragraph id="H076EE4D4853E4BEC87EB07E9A4CCE8BE"><enum>(2)</enum><header>Supervisory
				arrangements</header>
							<subparagraph id="HDD8EC9877231433C9F000DFA2B545AB6"><enum>(A)</enum><header>Authority</header><text>In
				order to realize the efficiencies and consumer benefits of a more harmonized
				international reinsurance regulatory system, the Secretary and the United
				States Trade Representative, jointly, shall be authorized to enter into
				supervisory arrangements for the recognition of qualified reinsurance
				supervisory authorities of non-United States jurisdictions that provide a level
				of protection for United States reinsurance consumers that is substantially
				equivalent to the level of protection achieved by the Director pursuant to the
				provisions of this subsection.</text>
							</subparagraph><subparagraph id="H77CAE132CC3A4D53B2228A95864F8D47"><enum>(B)</enum><header>Exchange of
				information</header><text>The entry into supervisory arrangements with
				qualified supervisory authorities of non-United States jurisdictions shall be
				preceded by an exchange and evaluation of relevant information regarding the
				form and nature of regulation in each such jurisdiction and the Secretary’s
				determination that such jurisdiction’s supervisory authority maintains and
				applies legal standards, regulatory requirements, and enforcement capabilities
				substantially equivalent to those applied by the Director, and that the awards
				of arbitration panels and judgments of appropriate United States courts are
				enforceable and collectable in the jurisdiction, pursuant to treaty, other
				agreement, or operation of that jurisdiction’s law.</text>
							</subparagraph><subparagraph id="HFAB4A7B0890145349B43ABD89BED8E74"><enum>(C)</enum><header>Requirements for
				validity</header><text>The Secretary and the United States Trade Representative
				may enter into supervisory arrangements only in cases in which the Secretary
				has determined that the requirements of subparagraph (B) have been satisfied
				and the arrangement explicitly provides for all of the following:</text>
								<clause id="H05FB12BB874F443DB3BDAB5B11CF3FA4"><enum>(i)</enum><text>Identification of
				areas of regulation that will be the exclusive responsibility of the respective
				jurisdictions.</text>
								</clause><clause id="H4EFFB265E7CD4FF08E37815F42F32846"><enum>(ii)</enum><text>The reciprocal
				treatment of reinsurance entities in accordance with each subject
				jurisdiction’s rules and regulations.</text>
								</clause><clause id="H91749314E1364A2885C5FEAAE8EC303A"><enum>(iii)</enum><text>A commitment to
				exchange relevant information on an on-going basis.</text>
								</clause><clause id="H516DCA7637154E57927D83427444B55A"><enum>(iv)</enum><text>A
				process for resolving disputed issues.</text>
								</clause><clause id="H960470BA15114358B2833AA68139EC23"><enum>(v)</enum><text>The application of
				chapter 15 of title 11 to cross-border insolvency cases involving entities from
				the subject jurisdiction.</text>
								</clause><clause id="HEC64FEDC537F42A7A0580C29FD060186"><enum>(vi)</enum><text>The terms and
				conditions for terminating the supervisory arrangement.</text>
								</clause></subparagraph><subparagraph id="H004392AFD17B4F238944B0F69036AD5E"><enum>(D)</enum><header>Status of
				authorized foreign reinsurers</header><text>An authorized foreign reinsurer
				shall be authorized to transact the business of reinsurance to the extent
				authorized by the applicable supervisory arrangement.</text>
							</subparagraph></paragraph><paragraph id="HE74D959C4A9A47A792CA76DBB5B23D6F"><enum>(3)</enum><header>Preemption of
				State law</header>
							<subparagraph id="HDFC5765015F6416A829185E047A4FE51"><enum>(A)</enum><header>Inconsistent
				laws</header><text>All laws, regulations, provisions, or other actions of a
				State contrary to or inconsistent with the purposes of this subsection, except
				those which may be applicable to corporate taxes generally, are preempted to
				the extent that they apply to national reinsurers or authorized foreign
				reinsurers, or to their reinsurance agreements.</text>
							</subparagraph><subparagraph id="HD67E25C6FC83480A9C64A193B3024C76"><enum>(B)</enum><header>Laws with
				disparate treatment</header><text>All laws, regulations, provisions, or other
				actions of a State are preempted to the extent that national reinsurers or
				authorized foreign reinsurers receive more or less favorable treatment than
				State licensed insurers or reinsurers pursuant to such laws, regulations,
				provisions, or other actions, solely on the basis of an entity’s status as a
				national reinsurer or authorized foreign reinsurer.</text>
							</subparagraph><subparagraph id="H194FC4FDDF4E466CAD288483C8D8C435"><enum>(C)</enum><header>Prohibition of
				interference</header><text>No State shall interfere, directly or indirectly,
				with a United States insurer or reinsurer—</text>
								<clause id="HEA6D1FEBEF5D4D3989E30665CD1D6691"><enum>(i)</enum><text>applying for a
				Federal license or operating as a national reinsurer; or</text>
								</clause><clause id="HF5C4D9340E764F67A20A40E630DE8710"><enum>(ii)</enum><text>ceding insurance
				to a national reinsurer or an authorized foreign reinsurer for any purpose
				under this subsection.</text>
								</clause></subparagraph><subparagraph id="H556B33A6B27E486D8FDBE2D34E34D4C0"><enum>(D)</enum><header>Credit for
				reinsurance</header><text>No State shall deny credit, either as an asset or a
				reduction of liabilities, on account of reinsurance ceded to a national
				reinsurer or an authorized foreign reinsurer under this subsection.</text>
							</subparagraph><subparagraph commented="no" id="HD1E30DC68FB74F6A9DEE78E98D46DF46"><enum>(E)</enum><header>Prohibition of
				enforcement</header><text>No State shall enforce a State law, regulation,
				provision, or other action to the extent that it is preempted pursuant to this
				paragraph.</text>
							</subparagraph><subparagraph id="HC050BD3CB7814BACB590FD2894DABED9"><enum>(F)</enum><header>Determinations
				by Director</header>
								<clause id="H97DAD5BB77E44C269D90448BB73F30A9"><enum>(i)</enum><header>Preemption</header><text>The
				Director shall be authorized to determine that any State law, regulation,
				provision, or action shall be preempted pursuant to this paragraph.</text>
								</clause><clause id="H036FF7CE61CE49338F65E1DFEBF110EF"><enum>(ii)</enum><header>Judicial
				review</header><text>Any State or any other person aggrieved by action of the
				Director under this paragraph may seek judicial review in the manner specified
				in chapter 7 of title 5.</text>
								</clause></subparagraph></paragraph><paragraph id="H76A01171F3C4487A9AEC6C964886916B"><enum>(4)</enum><header>Cooperation
				between the Director and State insurance regulators</header><text>The Director
				shall—</text>
							<subparagraph id="HDB45537B50594291A5957C7B0864625D"><enum>(A)</enum><text>consult, as the
				Director deems appropriate, with the relevant State insurance regulators
				concerning regulatory matters;</text>
							</subparagraph><subparagraph id="H089CD96904064C969849C2949858ED10"><enum>(B)</enum><text>notify all State
				insurance regulators of supervisory arrangements entered into pursuant to
				paragraph (2); and</text>
							</subparagraph><subparagraph id="H2BC377B6F85C48A4980FC803E8737F03"><enum>(C)</enum><text>notify the
				relevant State insurance regulators of a change in the status of, or any
				administrative action taken by the Director against, a national reinsurer or an
				authorized foreign reinsurer.</text>
							</subparagraph></paragraph><paragraph id="H569554DA04C544439415CA5FD921E309"><enum>(5)</enum><header>Rules and
				regulations</header>
							<subparagraph id="HEE826172EB784A9A987B98EA41BF3A31"><enum>(A)</enum><header>In
				general</header><text>The Director shall adopt regulations implementing the
				provisions of this subsection. The Director may issue any other rules,
				regulations, orders, or interpretations as the Director determines to be
				necessary to carry out the purposes of this subsection.</text>
							</subparagraph><subparagraph id="HF2B580A4ABDF49A2869CE0B2604A971C"><enum>(B)</enum><header>Criteria</header><text>The
				rules and regulations prescribed under subparagraph (A) shall give due
				consideration to—</text>
								<clause id="H112C1212427240D6A237E9BA40A04757"><enum>(i)</enum><text>promoting
				financially secure reinsurance recoverables and capacity that protects the
				solvency of United States ceding insurers;</text>
								</clause><clause id="H3A2BD9111BC14905BCC0E42D0DBF5E50"><enum>(ii)</enum><text>the need for a
				competitive and healthy reinsurance market that provides sufficient capacity to
				meet ceding companies’ risk management needs through open market contracting
				and pricing practices;</text>
								</clause><clause id="HD6B5B0ED61464FDDA3839B58D8DD161C"><enum>(iii)</enum><text>global capital
				and risk management, taking into account capital adequacy, assessment of
				internal controls, recognition of qualified internal capital models, and
				effective corporate governance;</text>
								</clause><clause id="H778BA80BADBF4627B7170B00A2747466"><enum>(iv)</enum><text>financial
				transparency that encourages and supports the cedents’ ability to assess
				counter party credit risk, including information regarding the national
				reinsurer’s financial condition and the national reinsurer’s performance in
				paying covered claims;</text>
								</clause><clause id="H9EF47635E04B4D9891D1EB4C1C66B804"><enum>(v)</enum><text>access to all
				necessary financial information, with appropriate provision for the
				confidentiality of that information; and</text>
								</clause><clause id="H9BA0529775F140399C491021935C0EB3"><enum>(vi)</enum><text>harmonization
				with international standards for the prudential regulation of the business of
				reinsurance.</text>
								</clause></subparagraph></paragraph><paragraph id="HCFCE59869FC84DC4979701CD5C65670A"><enum>(6)</enum><header>Implementation</header>
							<subparagraph id="H47FE81C4D5844C459E40FE52E07ACCBF"><enum>(A)</enum><header>Licensing</header><text display-inline="yes-display-inline">The Director shall commence licensing of
				national reinsurers and the entry into supervisory arrangements after
				promulgation of final rules and regulations under this subsection, which shall
				occur not later than the expiration of the 2-year period beginning on the date
				of the enactment of this subsection.</text>
							</subparagraph><subparagraph id="HE5A973A44EA745B2AB790C7380B37361"><enum>(B)</enum><header>Applicability</header><text>The
				provisions of this subsection shall apply only to reinsurance agreements and
				supervisory arrangements entered into on or after the date of the enactment of
				this subsection.</text>
							</subparagraph></paragraph><paragraph id="H1F1D7137700C41D4907C059721DA131E"><enum>(7)</enum><header>Effect of
				status</header><text>There shall be no determination under section 113 of the
				Dodd-Frank Wall Street Reform and Consumer Protection Act that an entity is
				subject to supervision by the Board of Governors of the Federal Reserve System
				and subject to prudential standards (as such term is defined in such Act), in
				accordance with title I of such Act, on account of an entity’s status as a
				national reinsurer or authorized foreign
				reinsurer.</text>
						</paragraph></subsection><after-quoted-block>;</after-quoted-block></quoted-block>
			</paragraph><paragraph id="HA800D088339E41178AD487ED61962833"><enum>(7)</enum><text>in subsection
			 (k)(1), as so redesignated, by inserting <quote>except as provided in
			 subsection (h),</quote> before <quote>preempt—</quote>;</text>
			</paragraph><paragraph id="H534CEDA1824245EB901D19CA527A1F4F"><enum>(8)</enum><text display-inline="yes-display-inline">in subsection (l), as so redesignated, by
			 striking <quote>Nothing</quote> and inserting <quote>Except as provided in
			 subsections (c) and (h), nothing</quote>; and</text>
			</paragraph><paragraph id="H69B0DDE3B6A2420BA73D2EFD6BFD23FA"><enum>(9)</enum><text>in subsection (s),
			 as so redesignated—</text>
				<subparagraph id="H24D0193AB0B944AAA1685D180A22D5B8"><enum>(A)</enum><text>by redesignating
			 paragraphs (2), (3), (4), (5), (6), (7), (8), (9), and (10) as paragraphs (3),
			 (4), (6), (8), (9), (12), (13), (14), and (15), respectively;</text>
				</subparagraph><subparagraph id="HD602A5E17CB34CA6BE2F7D21B64E73EC"><enum>(B)</enum><text>by inserting after
			 paragraph (1) the following new paragraph:</text>
					<quoted-block display-inline="no-display-inline" id="H2A9B33D2535440C49238D6E653CE8100" style="OLC">
						<paragraph id="HBE19D99D8CEB4A658876A4906B1840CD"><enum>(2)</enum><header>Authorized
				foreign reinsurer</header><text display-inline="yes-display-inline">The term
				<quote>authorized foreign reinsurer</quote> means a reinsurer that is domiciled
				in and subject to the regulation of a non-United States jurisdiction’s
				supervisory authority that has entered into a supervisory arrangement with the
				Director.</text>
						</paragraph><after-quoted-block>;</after-quoted-block></quoted-block>

							<subparagraph id="HA0771FFBC0694EF8BABD52A2671A303A"><enum>(A)</enum><text>is principally
				engaged in the business of reinsurance;</text>
							</subparagraph><subparagraph id="H9EFC892888E2453EB792C664B2D74D3F"><enum>(B)</enum><text>does not conduct
				significant amounts of direct insurance as a percentage of its net premiums;
				and</text>
							</subparagraph><subparagraph id="HA0A6860FACAA4AC2AF9A9E7EFAEEB5B2"><enum>(C)</enum><text>is not engaged in
				an ongoing basis in the business of soliciting direct
				insurance.</text>

			 Dodd-Frank</header>
			<subsection id="HE7434E520B994A649F5CFA32C8820E34"><enum>(a)</enum><header>Section
			 111</header><text display-inline="yes-display-inline">Section 111(b) of the
			 Dodd-Frank Wall Street Reform and Consumer Protection Act is amended—</text>
				<paragraph id="HC638312591FF45D18A554D2A8C897B78"><enum>(1)</enum><text>in paragraph
			 (1)—</text>
					<subparagraph id="H67FAD8D75E5C4609822CFE525A945120"><enum>(A)</enum><text>in subparagraph
			 (I), by striking <quote>and</quote> at the end;</text>
