		<section id="H487926383B044D7CA410A155BF392AC7" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>SEC Transparency Act of
			 2010</short-title></quote>.</text>
		</section><section id="HA7252917786C41FFBEF5F242FF32409F"><enum>2.</enum><header>Repeal of section
			 929I of the Dodd-Frank Wall Street Reform and Consumer Protection Act</header>
			<subsection id="HE3E699445A6E4551ACCC8EAC12B19F7E"><enum>(a)</enum><header>Securities
			 Exchange Act of 1934</header><text display-inline="yes-display-inline">Section
			 24 of the Securities Exchange Act of 1934 (15 U.S.C. 78x) is amended—</text>
				<paragraph id="H744E4C4C7BC04FE883D82AE060B6193A"><enum>(1)</enum><text display-inline="yes-display-inline">in subsection (d), by striking
			 <quote>subsection (f)</quote> and inserting <quote>subsection
			 (e)</quote>;</text>
				</paragraph><paragraph id="H71A6D64E6FE84C63930DC1206B7AA3AA"><enum>(2)</enum><text>by striking
			 subsection (e); and</text>
				</paragraph><paragraph id="HF331AE22B3D4476791BBF55F7B7E2459"><enum>(3)</enum><text>by redesignating
			 subsection (f) as subsection (e).</text>
				</paragraph></subsection><subsection id="H221BF6C57C92468495C79032704CBCFF"><enum>(b)</enum><header>Investment
			 Company Act of 1940</header><text>Section 31 of the Investment Company Act of
			 1940 (15 U.S.C. 80a–30) is amended—</text>
				<paragraph id="H7D9C2BD7B07843E48F0ED3E2A8CEEB68"><enum>(1)</enum><text>by redesignating
			 subsections (d) and (e) as subsections (e) and (f), respectively; and</text>
				</paragraph><paragraph id="H771AF1988FA74AB9A0BC00D8E0028436"><enum>(2)</enum><text>by striking
			 subsection (c) and inserting after subsection (b) the following:</text>
					<quoted-block display-inline="no-display-inline" id="HFDFA74E77A51488FB930D52C669DAA73" style="traditional">
						<subsection id="HDBCAC27ABA9649709F5CD0FC271179D4"><enum>(c)</enum><header>Limitations on
				disclosure by Commission</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law,
				the Commission shall not be compelled to disclose any internal compliance or
				audit records, or information contained therein, provided to the Commission
				under this section. Nothing in this subsection shall authorize the Commission
				to withhold information from Congress or prevent the Commission from complying
				with a request for information from any other Federal department or agency
				requesting the information for purposes within the scope of the jurisdiction of
				that department or agency, or complying with an order of a court of the United
				States in an action brought by the United States or the Commission. For
				purposes of section 552 of title 5, this section shall be considered a statute
				described in subsection (b)(3)(B) of such section 552.</text>
						</subsection><subsection id="H81D30819DF39442787FD5D7CBDA2B561"><enum>(d)</enum><header>Definitions</header><text>For
				purposes of this section—</text>
							<paragraph id="HB7EAE2FDBA424E67B8E44F4BDA565951"><enum>(1)</enum><text>the term
				<term>internal compliance policies and procedures</term> means policies and
				procedures designed by subject persons to promote compliance with the Federal
				securities laws; and</text>
							</paragraph><paragraph id="HF2DB0327633049F0AEBE59AACFDEFB98"><enum>(2)</enum><text>the term
				<term>internal compliance and audit record</term> means any record prepared by
				a subject person in accordance with internal compliance policies and
				procedures.</text>

				</paragraph></subsection><subsection id="HB7421349DBB44C6184E579C08CFF3644"><enum>(c)</enum><header>Investment
			 advisers act of 1940</header><text display-inline="yes-display-inline">Section
			 210 of the Investment Advisers Act of 1940 (15 U.S.C. 80b–10) is amended by
			 striking subsection (d).</text>
