<official-title display="yes">To amend the Internal Revenue Code of 1986 to exempt certain stock of real estate investment trusts from the tax on foreign investment in United States real property interests, and for other purposes.</official-title>

<section id="HFE0B074B2ABC4AAEA0951A4EAE84FA60" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Real Estate Jobs and Investment Act of 2010</short-title></quote>.</text> </section> 
<section id="H7CAE1FF6FD1D4E87B1E0B376ECA52FF5"><enum>2.</enum><header>Exception from FIRPTA for certain stock of real estate investment trusts</header> 
<subsection id="HCA3B6A70CCCD45E1B1D76E0CE06EC5F9"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Paragraph (3) of <external-xref legal-doc="usc" parsable-cite="usc/26/897">section 897(c)</external-xref> of the Internal Revenue Code of 1986 is amended—</text> 
<paragraph id="HEEE4F7EB87E94FC5880B09708E1744CD"><enum>(1)</enum><text>by striking all that precedes <quote>If any class</quote> and inserting the following:</text>

<paragraph id="H8EFC81D6911E413AA2F06594F0779A24"><enum>(3)</enum><header>Exceptions for certain stock dispositions</header> 
<subparagraph id="H242D0E998BAD48BC91EFEB1866EC477A"><enum>(A)</enum><header>Exception for stock regularly traded on established securities markets</header> </subparagraph></paragraph><after-quoted-block>, </after-quoted-block></quoted-block> </paragraph> 
<paragraph id="HF59E8427C67F4C059E6BA21254F9DCC4"><enum>(2)</enum><text>by adding at the end of subparagraph (A) (as added by paragraph (1)) the following: <quote>In the case of any class of stock of a real estate investment trust, the preceding sentence shall be applied by substituting <quote>10 percent</quote> for <quote>5 percent</quote>.</quote>, and</text> </paragraph> 
<paragraph id="HB9AE2604B9B1477B9615D47407668763"><enum>(3)</enum><text>by adding at the end the following new subparagraph:</text>

<subparagraph id="HC2CC78A2F54C445CB3351169858E74C8"><enum>(B)</enum><header>Exception for certain stock in real estate investment trusts</header> 
<clause id="H1123C7FD634B475CB06D663BC21E6102"><enum>(i)</enum><header>In general</header><text>Stock of a real estate investment trust held by a qualified shareholder shall not be treated as a United States real property interest except to the extent that an investor in the qualified shareholder holds (directly or indirectly through the qualified shareholder) more than 10 percent of the stock of such real estate investment trust.</text> </clause> 
<clause id="H9B159ED8C9464D079250DE9B97DAD779"><enum>(ii)</enum><header>Qualified shareholder</header><text display-inline="yes-display-inline">For purposes of this subparagraph, the term <quote>qualified shareholder</quote> means a shareholder—</text> 
<subclause id="H5FD2794C17414597AF035764A94CCB34"><enum>(I)</enum><text>which would be eligible for a reduced rate of withholding under any income tax treaty of the United States with respect to ordinary dividends paid by the real estate investment trust even if such shareholder holds more than 10 percent of the stock of such real estate investment trust, and</text> </subclause> 
<subclause id="H0B71CD7188A145A4BC58D8E34FAD2638"><enum>(II)</enum><text>whose principal class of interests is listed and regularly traded on one or more recognized stock exchanges (as defined in the relevant income tax treaty referred to in subclause (I)).</text> </subclause></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection> 
<subsection id="HB7EDF79B119244A089001AF4D41F49C4"><enum>(b)</enum><header>Distributions of real estate investment trusts</header><text display-inline="yes-display-inline">Paragraph (1) of section 897(h) of such Code is amended—</text> 
<paragraph id="HC7B4917BF7BA45CEBAC03986B2E6334F"><enum>(1)</enum><text>by inserting <quote>(10 percent in the case of stock of a real estate investment trust)</quote> after <quote>5 percent of such class of stock</quote>, and</text> </paragraph> 
<paragraph id="H94FC4CFCF4614AB1B537F7C737C3A44D"><enum>(2)</enum><text>by inserting <quote>, and any distribution to a qualified shareholder (as defined in subsection (c)(3)(B)(ii)) shall not be treated as gain recognized from the sale or exchange of a United States real property interest to the extent that the stock of the real estate investment trust held by such qualified shareholder is not treated as a United States real property interest under subsection (c)(3)(B)</quote> before the period at the end.</text> </paragraph></subsection> 
<subsection id="HC5721E2602CB4C5FAB3E8E5D6C816966"><enum>(c)</enum><header>Conforming amendment</header><text>Subparagraph (C) of section 897(c)(6) of such Code is amended by striking <quote>more than 5 percent</quote> and inserting <quote>more than a particular percentage</quote>.</text> </subsection> 
<subsection id="HFEE6739B6FE2495AA3695AC5234BB6EF"><enum>(d)</enum><header>Effective date</header> 
<paragraph id="H2D074F7D9E184443A14EBF1FDC5E0525"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), the amendments made by this section shall apply to dispositions made after the date of the enactment of this Act.</text> </paragraph> 
<paragraph id="H758F938811B042E59D961E712D33552E"><enum>(2)</enum><header>Distributions of real estate investment trusts</header><text display-inline="yes-display-inline">The amendments made by subsection (b) shall apply to distributions made after the date of the enactment of this Act.</text> </paragraph></subsection></section> 
<section display-inline="no-display-inline" id="H0E35AC04287044E28160F0B3B9B17A31" section-type="subsequent-section"><enum>3.</enum><header>Application of continuous levy to tax liabilities of certain Federal contractors</header> 
<subsection id="H208A1D582CE04E5397B5482841A786CA"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Subsection (f) of <external-xref legal-doc="usc" parsable-cite="usc/26/6330">section 6330</external-xref> of the Internal Revenue Code of 1986 is amended by striking <quote>or</quote> at the end of paragraph (2), by inserting <quote>or</quote> at the end of paragraph (3), and by inserting after paragraph (3) the following new paragraph:</text>

<paragraph id="HAB31531C0CA242079B498F1B4F235A19"><enum>(4)</enum><text display-inline="yes-display-inline">the Secretary has served a Federal contractor levy,</text> </paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </subsection> 
<subsection id="HC949373BE5B342E48573373F39749413"><enum>(b)</enum><header>Federal contractor levy</header><text display-inline="yes-display-inline">Subsection (h) of section 6330 of such Code is amended—</text> 
<paragraph id="HF10A4442149E4EDB90415B0512A168C2"><enum>(1)</enum><text>by striking all that precedes <quote>any levy in connection with the collection</quote> and inserting the following:</text>

<subsection id="H3C4E8411CC1C4DDA940AC8832B48C627"><enum>(h)</enum><header>Definitions related to exceptions</header><text display-inline="yes-display-inline">For purposes of subsection (f)—</text> 
<paragraph id="HE7C509A512BB471A9111107A11272B5E"><enum>(1)</enum><header>Disqualified employment tax levy</header><text>A disqualified employment tax levy is</text> </paragraph></subsection><after-quoted-block>; and</after-quoted-block></quoted-block> </paragraph> 
<paragraph id="H8DADC018A789406CB45D2365AA2421A8"><enum>(2)</enum><text>by adding at the end the following new paragraph:</text> 
<quoted-block display-inline="no-display-inline" id="HC6135A5C046E41029E587BAD2FD378B7" style="OLC"> 
<paragraph id="H782CFDF15477439B988CCA27187D044F"><enum>(2)</enum><header>Federal contractor levy</header><text display-inline="yes-display-inline">A Federal contractor levy is any levy if the person whose property is subject to the levy (or any predecessor of such person) is a Federal contractor.</text> </paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection> 
<subsection id="H08196F162DBE4CFA9BDF5E40D9775E15"><enum>(c)</enum><header>Conforming amendment</header><text>The heading of subsection (f) of section 6330 of such Code is amended by striking <quote><header-in-text level="subsection" style="OLC">Jeopardy and State refund collection</header-in-text></quote> and inserting <quote><header-in-text level="subsection" style="OLC">Exceptions</header-in-text></quote>.</text> </subsection> 
<subsection id="HDCE4CD578B2E44DFBAE1E18FDDC389F3"><enum>(d)</enum><header>Effective date</header><text>The amendments made by this section shall apply to levies issued after December 31, 2010.</text> </subsection></section> 
<section display-inline="no-display-inline" id="H4DFD78E3250B47C1B0B0CB339730D3B0" section-type="subsequent-section"><enum>4.</enum><header>Paygo compliance</header><text display-inline="no-display-inline">The budgetary effects of this Act, for the purpose of complying with the Statutory Pay-As-You-Go Act of 2010, shall be determined by reference to the latest statement titled <quote>Budgetary Effects of PAYGO Legislation</quote> for this Act, submitted for printing in the Congressional Record by the Chairman of the House Budget Committee, provided that such statement has been submitted prior to the vote on passage.</text> </section>
