		  issuers to make disclosures related to Iranian investments, and for other

		<section id="H3FDA13C2C3CF4B5E8A67E677B2180433" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Iran Transparency and Accountability Act of
			 2010</short-title></quote> or the <quote><short-title>ITA Act of
			 2010</short-title></quote>.</text>
		</section><section id="H5584B80BDE42407BA7728DA3D20E97E1"><enum>2.</enum><header>Disclosures
			 required</header>
			<subsection id="H48EE9F773BF946E0873EEA9E4CD28F26"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">Section 13 of the
			 Securities Exchange Act of 1934 is amended by adding at the end the following
			 new subsection:</text>
				<quoted-block display-inline="no-display-inline" id="HCFAD3250F56D40A0914EC35AF85297E6" style="OLC">
					<subsection id="HB6D9397F4C2D4839BEAA6FDA8918BB44"><enum>(m)</enum><header>Disclosure of
				Iranian investments</header>
						<paragraph id="HA8DAA9B233E54E5191AE9511FBE6C518"><enum>(1)</enum><header>General
				disclosure required</header><text>Each issuer required to file an annual or
				quarterly report under subsection (a) shall include with such report a
				statement of whether, during the period since the issuer made the last such
				report, the issuer, or any subsidiary or affiliate of the issuer—</text>
							<subparagraph id="H26888AF8104D45C39D28913250854481"><enum>(A)</enum><text>engaged in any
				activity that is a covered activity;</text>
							</subparagraph><subparagraph commented="no" id="HE90D04876B8040A6A070232505CAF266"><enum>(B)</enum><text display-inline="yes-display-inline">knowingly engaged in an activity described
				under section 104(c)(2) of the Comprehensive Iran Sanctions, Accountability,
				and Divestment Act of 2010 or knowingly violated regulations prescribed under
				section 104(d)(1) or 104(e)(1) of such Act; or</text>
							</subparagraph><subparagraph id="HA53C748DEAE24C0B8C86B831E3DB529F"><enum>(C)</enum><text display-inline="yes-display-inline">has had any ties to a company designated by
				the Secretary of the Treasury or the Secretary of State under Executive Order
				13382 for contributing or supporting the proliferation activities of
				Iran.</text>
							</subparagraph></paragraph><paragraph id="H32F746C8B2844E1BA11B107EDF6F45C7"><enum>(2)</enum><header>Specific
				disclosure required</header><text display-inline="yes-display-inline">If the
				issuer, or any subsidiary or affiliate of the issuer, reports under paragraph
				(1)(A) that it has engaged in any activity that is a covered activity, then
				with respect to each such activity that is a covered entity, the issuer shall
				include with the statement described under paragraph (1) a detailed description
				of each such activity, including—</text>
							<subparagraph id="H09ABF312A49F4768A9EDD801974A5B5F"><enum>(A)</enum><text display-inline="yes-display-inline">the nature and extent of such
				activity;</text>
							</subparagraph><subparagraph id="H8A5B491560064F30B7EABE31FAF1316F"><enum>(B)</enum><text>the revenues and
				profits, if any, attributable to such activity; and</text>
							</subparagraph><subparagraph id="H9AE75E982C1C4CCBA01DCD1012FF784A"><enum>(C)</enum><text display-inline="yes-display-inline">whether the issuer, or the subsidiary or
				affiliate of the issuer, as applicable, intends to continue such
				activity.</text>
							</subparagraph></paragraph><paragraph id="HD878711AD5134186B75A715B12D70B21"><enum>(3)</enum><header>Investigation of
				disclosures</header><text display-inline="yes-display-inline">With respect to
				any issuer that, in a statement described under paragraph (1), states that the
				issuer, or any subsidiary or affiliate of the issuer, engaged in any activity
				that is a covered activity, the President shall carry out an investigation upon
				receipt of such report to determine if the issuer, or the subsidiary or
				affiliate of the issuer, should be subject to sanctions under section 5 of the
				Iran Sanctions Act of 1996.</text>
						</paragraph><paragraph id="H92A5033145CF4CF49650E68875F88B48"><enum>(4)</enum><header>Public
				disclosure of information</header><text>With respect to any information
				received by the Commission pursuant to paragraph (1) or (2), the Commission
				shall—</text>
							<subparagraph id="H73B02952CF764D6187020104269E635E"><enum>(A)</enum><text>make such
				information available to the public, including on a dedicated location on the
				Commission’s website that lists all issuers from which the Commission received
				information pursuant to paragraph (1) or (2);</text>
							</subparagraph><subparagraph id="H0E018B45D065432697F7A1763934CF42"><enum>(B)</enum><text>provide a copy of
				such information to the Secretary of State;</text>
							</subparagraph><subparagraph id="H204E177FAC31457C8E6410F9E152DDE0"><enum>(C)</enum><text>provide a copy of
				such information to the Secretary of the Treasury;</text>
							</subparagraph><subparagraph id="HB869763D38F94F0DA2F263BF01192385"><enum>(D)</enum><text display-inline="yes-display-inline">provide a copy of such information to the
				Administrator of the General Services Administration; and</text>
							</subparagraph><subparagraph id="H35D82C774F5B4261AA7D4BC8C38DBFE7"><enum>(E)</enum><text display-inline="yes-display-inline">provide a copy to the Committees on Foreign
				Affairs and Financial Services of the House of Representatives and the
				Committees on Foreign Relations and Banking, Housing, and Urban Affairs of the
				Senate.</text>
							</subparagraph></paragraph><paragraph id="H3EB4AE6CB05944619BC3943B3EB94EA2"><enum>(5)</enum><header>Covered activity
				defined</header><text>For purposes of this subsection, the term <quote>covered
				activity</quote> means an activity is of a type and involving an amount that
				could subject the issuer, or the subsidiary or affiliate of the issuer, as
				applicable, to sanctions under section 5 of the Iran Sanctions Act of
				1996.</text>
						</paragraph><paragraph id="H0A83722D3A2C40AB97A19062B4378A0C"><enum>(6)</enum><header>Sunset</header><text display-inline="yes-display-inline">The provisions of this subsection shall
				terminate on the date on which the President certifies to Congress that—</text>
							<subparagraph id="HBC575985B08D46CC9362AEFABD05C38E"><enum>(A)</enum><text>the Government of
				Iran has ceased providing support for acts of international terrorism and no
				longer satisfies the requirements for designation as a state sponsor of
				terrorism under—</text>
								<clause id="H01F9D01A4D6D476BBB71256D27782CFE"><enum>(i)</enum><text>section 6(j)(1)(A)
				of the Export Administration Act of 1979 (50 U.S.C. App. 2405(j)(1)(A));</text>
								</clause><clause id="HFF7D3262235B4D88BBE52AD45B8C7D33"><enum>(ii)</enum><text>section 40(d) of
				the Arms Export Control Act (22 U.S.C. 2780(d)); or</text>
								</clause><clause id="HF0B1F3C7358A4332AA028D001496682A"><enum>(iii)</enum><text>section 620A(a)
				of the Foreign Assistance Act of 1961 (22 U.S.C. 2371(a)); and</text>
								</clause></subparagraph><subparagraph id="HA7AD754E1DAE42CF8E756D31AE3B5E65"><enum>(B)</enum><text>Iran has ceased
				the pursuit, acquisition, and development of nuclear, biological, and chemical
				weapons and ballistic missiles and ballistic missile launch
				technology.</text>
							</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H0ED10DF9C76E46059AC4622E5ED41647"><enum>(b)</enum><header>Effective
			 date</header><text>The amendment made by subsection (a) shall take effect with
			 respect to reports required to be filed with the Securities and Exchange Act
			 after the end of the 90-day period beginning on the date of the enactment of
			 this Act.</text>
