		<official-title>To amend the Antitrust Criminal Penalty Enhancement and
		  Reform Act of 2004 to extend the operation of such Act for a 5-year period
		  ending June 22, 2015, and for other purposes.</official-title>

		<section id="HEA951B8F6D1B4468B35AA4C145667E7D" section-type="section-one"><enum>1.</enum><header>Delay of sunset</header><text display-inline="no-display-inline">Section 211(a) of the Antitrust Criminal
			 Penalty Enhancement and Reform Act of 2004 (Public Law 108–237; 15 U.S.C. 1
			 note) is amended—</text>
			<paragraph id="H16D088F5FE4A4A8FB047BCE5F4CA5CC5"><enum>(1)</enum><text>in subsection
			 (a)—</text>
				<subparagraph id="H6F8BC93DDB2949849ABE83B7FF70811B"><enum>(A)</enum><text>by inserting
			 <quote>of this subtitle</quote> after <quote>214</quote>, and</text>
				</subparagraph><subparagraph id="HC5652F2D61D04785A4ACD466155DC524"><enum>(B)</enum><text>by striking
			 <quote>6 years</quote> and inserting <quote>11 years</quote>, and</text>
				</subparagraph></paragraph><paragraph id="H6E89729831C642458EC5603E993DC260"><enum>(2)</enum><text display-inline="yes-display-inline">by amending subsection (b) to read as
			 follows:</text>
				<quoted-block display-inline="no-display-inline" id="H0CD26A31E5674527BA9D47999D9C16E3" style="OLC">
					<subsection id="HFA6A824F9135463FB4ABF31B9EE39769"><enum>(b)</enum><header>Exceptions</header><text display-inline="yes-display-inline">With respect to—</text>
						<paragraph id="HC15C2733261C4D54ABF895478A9DFE12"><enum>(1)</enum><text>a person who
				receives a marker on or before the date on which the provisions of section 211
				through 214 of this subtitle shall cease to have effect that later results in
				the execution of an antitrust leniency agreement, or</text>
						</paragraph><paragraph id="H8255145E68BF4FE79B054DC1862912B8"><enum>(2)</enum><text>an applicant who
				has entered into an antitrust leniency agreement on or before the date on which
				the provisions of sections 211 through 214 of this subtitle shall cease to have
				effect,</text>
						</paragraph><continuation-text continuation-text-level="subsection">the
				provisions of sections 211 through 214 of this subtitle shall continue in
				effect.</continuation-text></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="HC8250CF8C46344F09554D46999744413"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">Section 212 of the Antitrust Criminal
			 Penalty Enhancement and Reform Act of 2004 (Public Law 108–237; 15 U.S.C. 1
			 note) is amended—</text>
			<paragraph id="HEC81B6EC2D514FDBA8CB6E56D1627E4E"><enum>(1)</enum><text>by redesignating
			 paragraph (6) as paragraph (7), and</text>
			</paragraph><paragraph id="HAF9F4606987B4FA4B895422A72D84A91"><enum>(2)</enum><text>by inserting after
			 paragraph (5) the following:</text>
				<quoted-block display-inline="no-display-inline" id="HFD5C1B3DC11C4901B00725D03C11B855" style="OLC">
					<paragraph id="H27AF9ED774C74BF5B23214F335AEC266"><enum>(6)</enum><header>Marker</header><text>The
				term <term>marker</term> means an assurance given by the Antitrust Division to
				a candidate for corporate leniency that no other company will be considered for
				leniency, for some finite period of time, while the candidate is given an
				opportunity to perfect its leniency
				application.</text>
					</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="H6BA286EA491B4E108E79991666350EA8"><enum>3.</enum><header>Timeliness;
			 cooperation after termination of stay or protective order</header>
			<subsection id="H7BA14532E6674F9DA8331B413802F7FF"><enum>(a)</enum><header>Timeliness</header><text display-inline="yes-display-inline">Section 213(c) of the Antitrust Criminal
			 Penalty Enhancement and Reform Act of 2004 (Public Law 108–237; 15 U.S.C. 1
			 note) is amended to read as follows:</text>
				<quoted-block display-inline="no-display-inline" id="HB8910991A71A4F6BBF01C745EF1C131F" style="OLC">
					<subsection id="H01C5DE6B5D4E4C78A056AEDE2D9ED45D"><enum>(c)</enum><header>Timeliness</header><text display-inline="yes-display-inline">The court shall consider, in making the
				determination concerning satisfactory cooperation described in subsection (b),
				the timeliness of the applicant's or cooperating individual’s cooperation with
				the
				claimant.</text>
					</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HF4B072487FFD4F23A107D14876385DAC"><enum>(b)</enum><header>Cooperation
			 after termination of stay or protective order</header><text display-inline="yes-display-inline">Section 213 of the Antitrust Criminal
			 Penalty Enhancement and Reform Act of 2004 (Public Law 108–237; 15 U.S.C. 1
			 note) is amended by adding at the end the following—</text>
				<paragraph id="H03E839F8C2C8443F91D0C677F826C545"><enum>(1)</enum><text>by redesignating
			 subsection (d) as subsection (e), and</text>
				</paragraph><paragraph id="H34025BC59C734044ACE96A690DB077C3"><enum>(2)</enum><text>by inserting after
			 subsection (c) the following:</text>
					<quoted-block display-inline="no-display-inline" id="H550EC43CD268410A96266B840C92713C" style="OLC">
						<subsection id="H02E3EDCF2364492F9F049C5908E1F089"><enum>(d)</enum><header>Cooperation
				after expiration of stay or protective order</header><text display-inline="yes-display-inline">If the Antitrust Division does obtain a
				stay or protective order in a civil action based on conduct covered by an
				antitrust leniency agreement, once the stay or protective order, or a portion
				thereof, expires or is terminated, the antitrust leniency applicant and
				cooperating individuals shall provide without unreasonable delay any
				cooperation described in paragraphs (1) and (2) of subsection (b) that was
				prohibited by the expired or terminated stay or protective order, or the
				expired or terminated portion thereof, in order for the cooperation to be
				deemed satisfactory under such paragraphs.</text>
						</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection></section><section id="H5B6242EC897D4D799725765A69B85FD0"><enum>4.</enum><header>Technical
			 corrections</header><text display-inline="no-display-inline">Section 214 of the
			 Antitrust Criminal Penalty Enhancement and Reform Act of 2004 (Public Law
			 108–237; 15 U.S.C. 1 note) is amended—</text>
			<paragraph id="HFE238149015B4573863EB43FD8557F1E"><enum>(1)</enum><text>in paragraph (1)
			 by inserting <quote>of this subtitle</quote> after <quote>213(b)</quote>,
			 and</text>
			</paragraph><paragraph id="H8A2D31060A84443AB059E7473F073F28"><enum>(2)</enum><text>in paragraph
			 (3)—</text>
				<subparagraph id="HF78FC27837804F2CBEE648F44196CF68"><enum>(A)</enum><text display-inline="yes-display-inline">by inserting <quote>of this
			 subtitle</quote> after <quote>213(a)</quote> the 1st place it appears,
			 and</text>
				</subparagraph><subparagraph id="HE3CB185FB2B1474CBEE0FF3375EB459E"><enum>(B)</enum><text>by striking
			 <quote>title</quote> and inserting <quote>subtitle</quote>.</text>
				</subparagraph></paragraph></section><section id="H1D60A1D8ECBE4E75915B43325A2C02BF"><enum>5.</enum><header>GAO
			 report</header><text display-inline="no-display-inline">Not later than 1 year
			 after the date of enactment of this Act, the Comptroller General shall submit,
			 to the Committee on the Judiciary of the House of Representatives and the
			 Committee on the Judiciary of the Senate, a report on the effectiveness of the
			 Antitrust Criminal Penalty Enhancement and Reform Act of 2004, both in criminal
			 investigation and enforcement by the Department of Justice, and in private
			 civil actions. Such report should include study of, inter alia—</text>
			<paragraph id="HB4D3DCBA409443278E028FF500A98B3C"><enum>(1)</enum><text>the
			 appropriateness of the addition of qui tam proceedings to the antitrust
			 leniency program; and</text>
			</paragraph><paragraph id="H26E7F1C12C0E41E19210525743E1EF1F"><enum>(2)</enum><text>the
			 appropriateness of creating anti-retaliatory protection for employees who
			 report illegal anticompetitive conduct.</text>
			</paragraph></section><section id="HF701A011433C4317A882DFE8A617576E"><enum>6.</enum><header>Effective date of
			 amendment</header><text display-inline="no-display-inline">The amendment made
			 by section 2 shall take effect immediately before June 22, 2010.</text>
