<official-title>To amend the Internal Revenue Code of 1986 to allow companies to utilize existing alternative minimum tax credits to create and maintain United States jobs, and for other purposes.</official-title>

<section id="HBAEB6B15FCDA4C2A915B6016A8AB3EC9" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>American Job Creation and Investment Act</short-title></quote>.</text></section> 
<section id="HF1231AE1315D4C1790CAACA412083D94"><enum>2.</enum><header>Election to temporarily utilize unused AMT credits determined by domestic wages and domestic investment</header> 
<subsection id="H0618BEA591CE486E9F34103A0111930E"><enum>(a)</enum><header>In general</header><text>Section 53 of the Internal Revenue Code of 1986 is amended by adding at the end the following new subsection:</text>

<subsection id="H0FB656D9C2C14B458AFB1F73E800978F"><enum>(g)</enum><header>Election for corporations with unused credits</header> 
<paragraph id="H843789B587B241CFBAA6B69E7911D913"><enum>(1)</enum><header>In general</header><text>If a corporation elects to have this subsection apply, then notwithstanding any other provision of law, the limitation imposed by subsection (c) for any such taxable year shall be increased by the AMT credit adjustment amount.</text></paragraph> 
<paragraph id="H0D7B4B559DFE46E1820B2F4DA3494A25"><enum>(2)</enum><header>AMT credit adjustment amount</header><text>For purposes of paragraph (1), the term <term>AMT credit adjustment amount</term> means with respect to any taxable year beginning in 2010 or 2011, the lesser of—</text> 
<subparagraph id="HA66A535B23AD4316821CA305B6DF6F1C"><enum>(A)</enum><text>a corporation’s minimum tax credit determined under subsection (b), or</text></subparagraph> 
<subparagraph id="HA632FC138BCB45AB81206288580F9509"><enum>(B)</enum><text>the sum of—</text> 
<clause id="H77C48CA7A54E46EA938BD3AE3CDDC791"><enum>(i)</enum><text>20 percent of new qualifying domestic compensation paid during such taxable year, determined by taking into account not more than $100,000 for each employee, plus</text></clause> 
<clause id="HC170B1EBF1354737B3935FA297A163FC"><enum>(ii)</enum><text>20 percent of new domestic investments made during such taxable year, plus</text></clause> 
<clause id="HFC66D62A0EAF40FEBB090E3D3829583E"><enum>(iii)</enum><text>10 percent of qualifying domestic compensation paid during the preceding taxable year, determined by taking into account not more than $100,000 for each employee.</text></clause></subparagraph></paragraph> 
<paragraph id="H8D9468F22CF94F4EAB7CC77718AB8918"><enum>(3)</enum><header>Qualifying domestic compensation</header><text>For purposes of this subsection, the term <term>qualifying domestic compensation</term> means, with respect to any person for any taxable year of such person, the sum of the amounts described in paragraphs (3), (8), and (9) of section 6051(a) paid by such person with respect to employment of citizens or residents of the United States (within the meaning of section 7701(a)(30)(A)) by such person during the calendar year ending during such taxable year.</text></paragraph> 
<paragraph id="H7AE499D6A00E43599F924911AEEF564E"><enum>(4)</enum><header>New qualifying domestic compensation</header><text>For purposes of this subsection, the term <term>new qualifying domestic compensation</term> means qualifying domestic compensation paid with respect to employment of individuals the hiring date (or, in the case of furloughed employees, the recall date) of whom occurs during the taxable year. For purposes of the preceding sentence, rules similar to the rules of section 51(i)(1) shall apply.</text></paragraph> 
<paragraph id="HEBF3D7ACF96545F082B48E4D02CD4BF8"><enum>(5)</enum><header>New domestic investments</header><text>For purposes of this subsection, the term <term>new domestic investments</term> means the cost of qualified property (as defined in section 168(k)(2)(A)(i))—</text> 
<subparagraph id="H97A81472075C48968B9A0A9EF0E30E83"><enum>(A)</enum><text>the original use of which commences with the taxpayer during the taxable year, and</text></subparagraph> 
<subparagraph id="H136A84C95DB9481CB11B75F2AE533535"><enum>(B)</enum><text>which is placed in service in the United States by the taxpayer during such taxable year.</text></subparagraph></paragraph> 
<paragraph id="HA20CF748E11F415FA0D612C16B20DA15"><enum>(6)</enum><header>Special maintenance of workforce rule</header> 
<subparagraph id="H9EC00E2996D842B6A2C550EB3415D193"><enum>(A)</enum><header>In general</header><text>In any taxable year beginning in 2011, paragraph (2)(B)(iii) shall apply only if the taxpayer’s qualifying domestic compensation in such taxable year is at least 100 percent of such compensation in the preceding taxable year.</text></subparagraph> 
<subparagraph id="H43757A3A2B0343A6A23161C1CB44EB4A"><enum>(B)</enum><header>Acquisitions, etc</header><text>For purposes of subparagraph (A), in determining the qualifying domestic compensation for the preceding taxable year, rules similar to the rules under subparagraphs (A) and (B) of section 41(f)(3) shall apply to adjust the compensation for acquisitions and dispositions (taxable or otherwise) of any major portion of a trade or business or any major portion of a separate unit of a trade or business.</text></subparagraph></paragraph> 
<paragraph id="HDE321522DA044872B9B6DE1A08393E0B"><enum>(7)</enum><header>Credit refundable</header><text>For purposes of subsections (b) and (c) of section 6401, the aggregate increase in the credits allowable under part IV of subchapter A for any taxable year resulting from the application of this subsection shall be treated as allowed under subpart C of such part (and not to any other subpart).</text></paragraph> 
<paragraph id="H682D1E410A91491981BDEDEDF6C778E9"><enum>(8)</enum><header>Election</header> 
<subparagraph id="HF96C74E34F384BCE9601A7DA33095B32"><enum>(A)</enum><header>In general</header><text>An election under this subsection shall be made at such time and in such manner as prescribed by the Secretary, and once effective, may be revoked only with the consent of the Secretary.</text></subparagraph> 
<subparagraph id="H2850942DBCD7441C9E6F5421BA312CD9"><enum>(B)</enum><header>Interim elections</header><text display-inline="yes-display-inline">Until such time as the Secretary prescribes a manner for making an election under this subsection, a taxpayer is treated as having made a valid election by providing written notification to the Secretary and the Commissioner of Internal Revenue of such election.</text></subparagraph> 
<subparagraph id="HD0ED7C8FA6D741D09D611ACCB84C98F2"><enum>(C)</enum><header>Election to increase limitation in earlier year</header><text>A corporation may elect to increase the limitation under subsection (c) for its taxable year which includes December 31, 2009. The increase in the limitation under subsection (c) to which an election under this subparagraph applies shall not exceed the AMT credit adjustment amount (as determined under paragraph (2)) as of the date of such election is made. Any AMT credit adjustment amount not included in such election will be included in the corporation’s return for its first taxable year beginning after December 31, 2009. Such election, once made, is irrevocable. Such election may be made only if the corporation files such amended returns (and pays such tax) as is necessary to comply with paragraph (11). </text></subparagraph></paragraph> 
<paragraph id="H3C8F6E8A6D5E48FD9243A47B151301BC"><enum>(9)</enum><header>Aggregation rule</header><text>For purposes of this subsection—</text> 
<subparagraph id="HFD30E40C4F2E46CABA0DB404484E09C5"><enum>(A)</enum><text>all corporations which are members of an affiliated group of corporations filing a consolidated tax return, and</text></subparagraph> 
<subparagraph id="HECF2DBB8294B4C2B9CC37C1E4CA0C3E0"><enum>(B)</enum><text>all partnerships in which more than 50 percent of the capital and profits interest in the partnership are owned by the corporation (directly or indirectly) at all times during the taxable year in which an election under this subsection is in effect,</text></subparagraph><continuation-text continuation-text-level="paragraph">shall be treated as a single corporation.</continuation-text></paragraph> 
<paragraph id="H6FB696461AD9404E934076495F4626B0"><enum>(10)</enum><header>Application to partnerships</header><text>In the case of a partnership—</text> 
<subparagraph id="H8F04BEACD9324D05854FE8ED29F9742D"><enum>(A)</enum><text>this subsection shall be applied at the partner level, and</text></subparagraph> 
<subparagraph id="HDE9AD6EC9D58446BA555ED14554AD2F7"><enum>(B)</enum><text>each partner shall be treated as having for the taxable year an amount equal to such partner’s allocable share of the qualifying domestic compensation, new qualifying domestic compensation, and new domestic investments of the partnership for such taxable year (as determined under regulations prescribed by the Secretary).</text></subparagraph></paragraph> 
<paragraph id="HFFA2BEDFC6A0418BBAF7B93A8F2178EE"><enum>(11)</enum><header>No double benefit</header><text>Notwithstanding clause (iii)(II) of section 172(b)(1)(H), any taxpayer which has previously made an election under such section shall be deemed to have revoked such election by the making of its first election under this subsection.</text></paragraph> 
<paragraph id="H05932F72466C49F7984ADFD43568D4EF"><enum>(12)</enum><header>Regulations</header><text>The Secretary may issue such regulations or other guidance as may be necessary or appropriate to carry out the purposes of this subsection, including to prevent fraud and abuse under this subsection.</text></paragraph> 
<paragraph id="HD8849C6CFB7B4F56897B52FB0E9EA132"><enum>(13)</enum><header>Termination</header><text>This subsection shall not apply to any taxable year that begins after December 31, 2011.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H9B12EA6FA25D4CED97122CC5FC469F3D"><enum>(b)</enum><header>Quick refund of refundable credit</header><text>Section 6425 of the Internal Revenue Code of 1986 is amended by adding at the end the following new subsection:</text>

<subsection id="HAA8ADE1CAA674BF4A649E56B9C12CDC9"><enum>(e)</enum><header>Allowance of AMT credit adjustment amount</header><text>The amount of an adjustment under this section as determined under subsection (c)(2) for any taxable year may be increased to the extent of the corporation’s AMT credit adjustment amount determined under section 53(g) for such taxable year.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H81194C6B38D64C03B35218843F905057"><enum>(c)</enum><header>Effective date</header> 
<paragraph id="H7AA7E05929AB48FF99A2AA595E449675"><enum>(1)</enum><header>Subsection <enum-in-header>(a)</enum-in-header></header><text>The amendment made by subsection (a) shall apply to taxable years ending after December 30, 2009.</text></paragraph> 
<paragraph id="HD7B083FC626D45FAB8BC9A1F2255F603"><enum>(2)</enum><header>Subsection <enum-in-header>(b)</enum-in-header></header><text>The amendment made by subsection (b) shall apply to taxable years beginning after December 31, 2009.</text></paragraph></subsection></section>
