<official-title display="yes">To amend the Securities Exchange Act of 1934 to require shareholder authorization before a public company may make certain political expenditures, and for other purposes.<pagebreak/></official-title>

<section id="H70840B4DA75742BCA2FA0D23ABC2627A" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Shareholder Protection Act of 2010</short-title></quote>.</text> </section> 
<section id="H1DD3E1563C874C5D82EA84614562D50A"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text> 
<paragraph id="HCDD71AAD4AC24B8E9F9BF612E5C6F491"><enum>(1)</enum><text display-inline="yes-display-inline">Corporations make significant political contributions and expenditures that directly or indirectly influence the election of candidates and support or oppose political causes. Decisions to use corporate funds for political contributions and expenditures are usually made by corporate boards and executives, rather than shareholders.</text> </paragraph> 
<paragraph id="HD4EC4472B86E4818AA568F3BD70C33FA"><enum>(2)</enum><text>Corporations, acting through their boards and executives, are obligated to conduct business for the best interests of their owners, the shareholders.</text> </paragraph> 
<paragraph id="HFEB092F68C3240C9BC086D426E303A2C"><enum>(3)</enum><text>Historically, shareholders have not had a way to know, or to influence, the political activities of corporations they own. Shareholders and the public have a right to know how corporations are spending their funds to make political contributions or expenditures benefitting candidates, political parties, and political causes.</text> </paragraph> 
<paragraph id="H9AFF8068EE724CF185881C0F2FFA500E"><enum>(4)</enum><text>Corporations should be accountable to their shareholders in making political contributions or expenditures affecting Federal governance and public policy. Requiring the express approval of a corporation’s shareholders prior to making political contributions or expenditures will establish necessary accountability.</text> </paragraph></section> 
<section id="H16261BB24D9C41A7A1BDE151223BF42F"><enum>3.</enum><header>Shareholder approval of corporate political activity</header><text display-inline="no-display-inline">The Securities Exchange Act of 1934 is amended by inserting after section 14B the following new section:</text>

<section id="HD6217E92C35A409D880492C21B24351A"><enum>14C.</enum><header>Shareholder approval of certain political expenditures and disclosure of votes of institutional investors</header> 
<subsection id="HD3E394CFA3144119984FBAE623BC57C7"><enum>(a)</enum><header>Shareholder authorization for political expenditures</header><text display-inline="yes-display-inline">Any solicitation of any proxy or consent or authorization in respect of any security of an issuer shall—</text> 
<paragraph id="HA6A7AFCF80F04E47A1FFA0F93C7F4C99"><enum>(1)</enum><text>contain a description of the specific nature of any expenditures for political activities proposed to be made by the issuer for the forthcoming fiscal year not previously approved, to the extent the specific nature is known to the issuer and including the total amount of such proposed expenditures; and</text> </paragraph> 
<paragraph id="HCDE3BDFAF7504B4A87E69A908AEDF131"><enum>(2)</enum><text display-inline="yes-display-inline">provide for a separate shareholder vote to authorize such proposed expenditures in such amount.</text> </paragraph></subsection> 
<subsection id="H8EA69FA9F5934B808094418141C9A4A3"><enum>(b)</enum><header>Requirements for expenditures</header><text>No issuer shall make any expenditure for political activities in any fiscal year unless—</text> 
<paragraph id="H4573848D63C94589AEC124D9C61C381C"><enum>(1)</enum><text display-inline="yes-display-inline">such expenditure is of the nature of those proposed by the issuer pursuant to subsection (a)(1); and</text> </paragraph> 
<paragraph id="H52AAB05EF6B340EEA3F40498EA72E624"><enum>(2)</enum><text>authorization for such expenditures has been granted by votes representing a majority of outstanding shares pursuant to subsection (a)(2).</text> </paragraph></subsection> 
<subsection display-inline="no-display-inline" id="HB66BFA74FC7E4EB894C45FD857464E67"><enum>(c)</enum><header>fiduciary duty; liability</header><text display-inline="yes-display-inline">A violation of subsection (b) shall be considered a breach of a fiduciary duty of the officers and directors who authorized such an expenditure. The officers and directors who authorize such an expenditure without first obtaining such authorization of shareholders shall be jointly and severally liable in any action brought in any court of competent jurisdiction to any individual or class of individuals who held shares at the time such expenditure was made for an amount equal to 3 times the amount of such expenditure.</text> </subsection> 
<subsection id="H8007BF9B3BFA4273A4715F9DE47EBE9F"><enum>(d)</enum><header>Definition of expenditure for political activities</header><text display-inline="yes-display-inline">As used in this section:</text> 
<paragraph id="HEA3A35FA5F8049C2B1B60DF9B0FF2838"><enum>(1)</enum><text>The term <term>expenditure for political activities</term> means—</text> 
<subparagraph id="HC5380778401845F1A69093840B1C377C"><enum>(A)</enum><text>an independent expenditure, as such term is defined in section 301(17) of the Federal Election Campaign Act of 1971 (2 U.S.C. 431(17));</text> </subparagraph> 
<subparagraph id="H1073F4850BED48FDA0EDC4EE74FEF379"><enum>(B)</enum><text display-inline="yes-display-inline">an electioneering communication, as such term is defined in section 304(f)(3) of such Act (2 U.S.C. 434(f)(3)) and any other public communication (as such term is defined in section 301(22) of such Act (2 U.S.C. 431(22))) that would be an electioneering communication if it were a broadcast, cable, or satellite communication; or</text> </subparagraph> 
<subparagraph id="H7021D06E5EEA4A65B9C94BAEA48F0037"><enum>(C)</enum><text display-inline="yes-display-inline">dues or other payments to trade associations or other tax exempt organizations that are, or could reasonably be anticipated to be, used or transferred to another association or organization for the purposes described in subparagraph (A) or (B).</text> </subparagraph></paragraph> 
<paragraph id="H124192FD325C425385489AC5153BC08C"><enum>(2)</enum><text>Such term shall not include—</text> 
<subparagraph id="H69874BB056564B7D8919C449E0A4F5AF"><enum>(A)</enum><text display-inline="yes-display-inline">direct lobbying efforts through registered lobbyists employed or hired by the issuer;</text> </subparagraph> 
<subparagraph id="HB02C119EEE24459989C1F11B60B64B83"><enum>(B)</enum><text>communications by an issuer to its shareholders and executive or administrative personnel and their families; or</text> </subparagraph> 
<subparagraph commented="no" id="H80FC08BB225445FCB7A83823009E0971"><enum>(C)</enum><text>the establishment and administration of contributions to a separate segregated fund to be utilized for political purposes by a corporation.</text> </subparagraph></paragraph></subsection> 
<subsection id="H2147D4E80BAB4A9D998922B896AB199C"><enum>(e)</enum><header>Disclosure of votes</header><text display-inline="yes-display-inline">Every institutional investment manager subject to section 13(f) shall report at least annually how it voted on any shareholder vote pursuant to subsection (a), unless such vote is otherwise required to be reported publicly by rule or regulation of the Commission. Not later than 6 months after the date of enactment of this section, the Commission shall issue rules and regulations to implement this subsection. Such rules shall require that such report be made not later than 30 days after such a vote and be made available to the public through the EDGAR system as soon as practicable.</text> </subsection> 
<subsection id="H1D6DEE9DF131480A9D16309217F59EDA"><enum>(f)</enum><header>Safe harbor for certain divestment decisions</header><text display-inline="yes-display-inline">Notwithstanding any other provision of Federal or State law, no person may bring any civil, criminal, or administrative action against any institutional investment manager, or any employee, officer, or director thereof, based solely upon a decision of the investment manager to divest from, or not to invest in, securities of an issuer because of expenditures for political activities made by that issuer. This subsection shall not apply to any institutional investment manager, or any employee, officer, or director thereof, unless the institutional investment manager makes disclosures in accordance with regulations prescribed by the Commission.</text> </subsection></section><after-quoted-block>.</after-quoted-block></quoted-block> </section> 
<section id="HCC859408F0C24B7DAB7DF66599F1CA81"><enum>4.</enum><header>Required board vote on corporate expenditures for political activities</header> 
<subsection id="HB7BD02448D5247A9B7C809E729233949"><enum>(a)</enum><header>Required Vote</header><text display-inline="yes-display-inline">The Securities Exchange Act of 1934 is amended by adding after section 16 the following new section:</text>

<section id="H89FF0C606EB5494482873059D5349A28"><enum>16A.</enum><header>Required board vote on corporate expenditures for political activities</header> 
<subsection id="H2C60B610AF914774BAEB96E349CCA1FE"><enum>(a)</enum><header>Listing on exchanges</header><text display-inline="yes-display-inline">Effective not later than 180 days after the date of enactment of this section, the Commission shall, by rule, direct the national securities exchanges and national securities associations to prohibit the listing of any class of equity security of an issuer that is not in compliance with the requirements of any portion of subsection (b).</text> </subsection> 
<subsection id="H603D9AB99DB44484AABBB6773697CEE4"><enum>(b)</enum><header>Requirement for vote in corporate bylaws</header><text display-inline="yes-display-inline">The corporate bylaws of an issuer shall expressly provide for a vote of the directors of the issuer on any individual expenditure for political activities (as such term is defined in section 14C(d)(1)) in excess of $50,000, or any expenditure that makes the total amount spent by the issuer for the particular election (as such term is defined in section 301(1) of the Federal Election Campaign Act of 1971 (2 U.S.C. 431(1))) $50,000 or more. An issuer shall make publicly available the individual votes of the directors required by the preceding sentence within 48 hours of the vote, including in a clear and conspicuous location on the Internet website of the issuer.</text> </subsection></section><after-quoted-block>.</after-quoted-block></quoted-block> </subsection> 
<subsection id="H700809480D834C4AB65FB9BC992A541A"><enum>(b)</enum><header>No Effect on Determination of Coordination With Candidates or Campaigns</header><text display-inline="yes-display-inline">For purposes of determining whether an expenditure for political activities by an issuer under the Securities Exchange Act of 1934 is an independent expenditure under the Federal Election Campaign Act of 1971, the expenditure may not be treated as made in concert or cooperation with, or at the request or suggestion of, any candidate or committee solely on the grounds that any director of the issuer voted on the expenditure as required under section 16A(b) of the Securities Exchange Act of 1934 (as added by subsection (a)).</text> </subsection></section> 
<section commented="no" id="H7D4215D5E73647BBABB817383E432442"><enum>5.</enum><header>Reporting requirements</header><text display-inline="no-display-inline">Section 13 of the Securities Exchange Act of 1934 (15 U.S.C. 78m) is amended by adding at the end the following:</text>

<subsection commented="no" id="H9A9BACAE82ED4B3A9D41963D7F2D6EC6"><enum>(r)</enum><header>Reporting requirements relating to certain political expenditures</header> 
<paragraph commented="no" id="H369062A525E140AE837EB87C4CA5ED3D"><enum>(1)</enum><header>Quarterly reports</header><text display-inline="yes-display-inline">Not later than 180 days after the date of enactment of this subsection, the Commission shall modify its reporting rules under this section to require issuers to disclose quarterly any expenditure for political activities (as such term is defined in section 14C(d)(1)) made during the preceding quarter and the individual votes by board members authorizing such expenditures as required under section 16A(b). Such a report shall be filed with the Commission and provided to shareholders and shall include—</text> 
<subparagraph commented="no" id="HBCB19F18A63E49C2AFDE3A4F30897E72"><enum>(A)</enum><text display-inline="yes-display-inline">the date of each expenditure;</text> </subparagraph> 
<subparagraph commented="no" id="HB9BE53EC6DE847DE8EEBCF39696BAF72"><enum>(B)</enum><text>the amount of each expenditure;</text> </subparagraph> 
<subparagraph commented="no" id="HFF3B619ADB1444CEBDF52F55AC688129"><enum>(C)</enum><text>if the expenditure was made for or against a candidate, the name of the candidate, the office sought by and the political party affiliation of the candidate; and</text> </subparagraph> 
<subparagraph id="HC2DBBBDE43C5473F96F2ECED9A3BF0B0"><enum>(D)</enum><text display-inline="yes-display-inline">the name or identity of trade associations or other tax-exempt organizations which receive dues or other payments as described in section 14C(d)(1)(B).</text> </subparagraph></paragraph> 
<paragraph id="H9B8EF404257047418AFC41828071DB10"><enum>(2)</enum><header>Annual reports</header><text display-inline="yes-display-inline">Not later than 180 days after the date of enactment of this subsection, the Commission shall, by rule, require each issuer to include in its annual report to shareholders an annual summary of all expenditures for political activities (as such term is defined in section 14C(d)(1)) made during the preceding year in excess of $10,000.</text> </paragraph> 
<paragraph display-inline="no-display-inline" id="H01D19E1BC7BF4674915AC9947505B525"><enum>(3)</enum><header>Disclosure of materials purchased by political expenditures</header><text display-inline="yes-display-inline">The Commission shall, by rule, require each issuer to obtain and disclose in the reports required under this section, any materials created with or purchased by any expenditure for political activities (as such term is defined in section 14C(d)) made by the issuer. Such rule shall also require that each issuer disclose such materials in a clear and conspicuous location on the Internet website of the issuer within 48 hours of obtaining the materials.</text> </paragraph> 
<paragraph commented="no" id="H971C429B802B4DBD8F2951BAF7147549"><enum>(4)</enum><header>Public availability</header><text display-inline="yes-display-inline">The Commission shall ensure that, to the greatest extent practicable, the quarterly reports required by this subsection are publicly available through the Commission website and through the EDGAR system in a manner that is searchable, sortable, and downloadable, consistent with the requirements of section 24.</text> </paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block> </section> 
<section id="H8A428A3ED6A24336B58DE7F95AD28ABC"><enum>6.</enum><header>Reports</header><text display-inline="no-display-inline">The Securities and Exchange Commission shall annually assess the compliance of public corporations and their management with the requirements of the amendments made by this Act, and shall transmit to Congress an annual report of its findings. The Comptroller General of the United States shall periodically evaluate and report to Congress on the effectiveness of the Securities and Exchange Commission’s oversight of the reporting and disclosure requirements of the amendments made by this Act.</text> </section> 
<section id="HBEC6BB87FE1241829CB37BF3685DC3CB"><enum>7.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this Act, an amendment made by this Act, or the application of such provision or amendment to any person or circumstance is held to be unconstitutional, the remainder of this Act, the amendments made by this Act, and the application of such provision or amendment to any person or circumstance shall not be affected thereby.</text> </section>
