		<official-title>To direct the Secretary of the Treasury to make publicly
		  available on the Internet the electronic communications of certain TARP
		  recipients.</official-title>

		<section id="HCEE0D5A3A0EA42F9A68947F7C06C99A6" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Financial Crisis Public Disclosure Act
			 of 2010</short-title></quote>.</text>
		</section><section id="H5BEAC858AB9649248846FB7748610F3F"><enum>2.</enum><header>Public
			 disclosure</header><text display-inline="no-display-inline">Not later than 120
			 days after the date of the enactment of this Act, the Secretary of the Treasury
			 shall make publicly available on the Internet the electronic communications of
			 certain employees at large TARP-recipient firms.</text>
		</section><section id="HD2A69163206B4291B12449F3F5725043"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline">For purposes of this Act:</text>
			<paragraph id="HCB8FF26D47CE4D678EA665BF51537456"><enum>(1)</enum><header>Certain
			 employees</header><text display-inline="yes-display-inline">The term
			 <term>certain employees</term> means a firm’s officers, directors, and those
			 employees of the firm engaged in the trading or selling of derivatives,
			 securities, or swaps.</text>
			</paragraph><paragraph id="HB4F560AF55F74F5083B40D431E436717"><enum>(2)</enum><header>Electronic
			 communication</header><text>The term <term>electronic communication</term>
			 means e-mail and attached files whose subject matter concerns activities
			 related in any way to the current financial and economic crisis in the United
			 States (within the scope of the meaning of such term as used in section 5 of
			 the Fraud Enforcement Recovery Act of 2009), including communications related
			 to the structuring, trading, sale, or other use of complex financial
			 instruments like swaps, structured finance transactions, and other
			 derivatives.</text>
			</paragraph><paragraph id="HE1FED0CF14C4477EB31B5444BF7664F4"><enum>(3)</enum><header>Large
			 TARP-recipient firms</header><text>The term <term>large TARP-recipient
			 firms</term> means a company—</text>
				<subparagraph id="HF8C0C41D6546469D9B4BD1D5D575566C"><enum>(A)</enum><text>that received
			 assistance under the Troubled Asset Relief Program under title I of the
			 Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5211 et seq.);
			 and</text>
				</subparagraph><subparagraph id="H47C3F9F0D217429A82FA2D8978382669"><enum>(B)</enum><text display-inline="yes-display-inline">that has more than $60,000,000,000 of such
			 assistance outstanding on the date that the Financial Crisis Public Disclosure
			 Act of 2010 was introduced in the House of Representatives.</text>
				</subparagraph></paragraph><paragraph id="HB4C15AC2F1B74711A05AA987A6FF31F8"><enum>(4)</enum><header>Publicly
			 available</header><text>The term <term>publicly available</term> means
			 available to the general public free of charge on a Web site that allows for
			 the communications subject to this Act to be used in a format that is easily
			 searchable and manipulable.</text>
			</paragraph></section><section id="H47C9F7135A5E4F9980EF42D334459412"><enum>4.</enum><header>Privacy
			 exemption</header><text display-inline="no-display-inline">An electronic
			 communication is exempt from the disclosure requirements under section 2 if
			 such communication is of a purely personal nature or would otherwise be
			 privileged.</text>
