		<official-title>To amend the Internal Revenue Code of 1986 to impose a
		  tax on certain securities transactions to fund job creation and deficit
		  reduction.</official-title>

		<section id="H0EE5456580E84599970EE72850E252AF" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Let Wall Street Pay for the
			 Restoration of Main Street Act of 2009</short-title></quote>.</text>
		</section><section id="H5B0667EBDB13411C8E8641BFC8440842"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds the following:</text>
			<paragraph id="HA03913EE995047E29A6C1110331417DB"><enum>(1)</enum><text>Our Nation
			 continues to be hamstrung by a recession that led to the current jobless
			 recovery and record deficits.</text>
			</paragraph><paragraph id="H483FEE377FB94E40B587FDD3339D302D"><enum>(2)</enum><text>The unemployment
			 rate is now 10.2 percent and most economists expect it to climb higher.</text>
			</paragraph><paragraph id="HBE171C0C0F4647E79389929220A4381F"><enum>(3)</enum><text>The Federal
			 deficit has reached $1,400,000,000,000 for 2009.</text>
			</paragraph><paragraph id="HDE5FC3993FD14916B8EE62561F24EA8E"><enum>(4)</enum><text>The jobless
			 recovery suggests that the Federal Government must continue to prime the
			 economy, but the record deficit is a real obstacle.</text>
			</paragraph><paragraph id="H0D9583FEAF76459994557CA538C17622"><enum>(5)</enum><text>Following their
			 $700,000,000,000 bailout, Wall Street is now enjoying a resurgence in profits
			 and bonuses.</text>
			</paragraph><paragraph id="H0CA39344685C407A984A46337E7233BB"><enum>(6)</enum><text>A
			 robust economy needs more than Wall Street profits. Main Street America is
			 strengthened by good paying jobs for all Americans, not just Wall Street
			 bankers.</text>
			</paragraph><paragraph id="HCF525469AF2A4AA7B67C32770C423079"><enum>(7)</enum><text>To restore Main
			 Street America, a small securities transaction tax on Wall Street should be
			 invested in job creation for Main Street America.</text>
			</paragraph><paragraph id="HC94735BB0B334226B4B18EA8532B78EB"><enum>(8)</enum><text>A
			 securities transaction tax on Wall Street has a negligible impact on the
			 average investor and pension funds.</text>
			</paragraph><paragraph id="H2A62651C0905476F9111FA0AA7F0D46A"><enum>(9)</enum><text>This transfer tax
			 would be assessed on the sale and purchase of financial instruments such as
			 stocks, options, and futures. A quarter percent (0.25 percent) tax on financial
			 transactions could raise approximately $150,000,000,000 a year.</text>
			</paragraph><paragraph id="H74F10F89BD4B4F8681913BAC717D0355"><enum>(10)</enum><text>The United States
			 had a transfer tax from 1914 to 1966. The Revenue Act of 1914 (Act of Oct. 22,
			 1914 (ch. 331, 38 Stat. 745)) levied a 0.2 percent tax on all sales or
			 transfers of stock. In 1932, Congress more than doubled the tax to help
			 financial recovery and job creation during the Great Depression.</text>
			</paragraph><paragraph id="H6E84700734AB4A078568BA2DD298332D"><enum>(11)</enum><text>Half the revenue
			 generated by this transaction tax will be used to directly reduce the
			 deficit.</text>
			</paragraph><paragraph id="HDE899B8D67384EBB94BD1CC935E29B4E"><enum>(12)</enum><text>Half of the
			 revenue generated by this transaction tax will deposited in a Job Creation
			 Reserve to fund the creation of good paying jobs and put Americans back to work
			 rebuilding our Nation.</text>
			</paragraph></section><section id="H0BD80AACC93442CEBF0DA460C45833C2"><enum>3.</enum><header>Job creation
			 reserve for investments in middle class jobs</header>
			<subsection id="H8B7473C7599441D7B9AB2CD96CF65B32"><enum>(a)</enum><header>In
			 general</header><text>For budgetary purposes, half the additional Federal
			 receipts by reason of the enactment of this Act shall be held in a separate
			 account to be known as the <quote>Job Creation Reserve</quote>. The Job
			 Creation Reserve shall be available to offset the additional costs from the
			 Surface Transportation Authorization Act of 2009 and subsequent legislation to
			 fund job creation in the United States provided that the subsequent
			 legislation—</text>
				<paragraph id="H3445F1DD7A5446888F20097F582526ED"><enum>(1)</enum><text>promotes jobs that
			 pay at least the median wage of the United States;</text>
				</paragraph><paragraph id="HFAA05EB812034E02B93C4FE14FBBCA43"><enum>(2)</enum><text>promotes
			 manufacturing and other jobs we are losing to unfair overseas competition;
			 and</text>
				</paragraph><paragraph id="HFB0E7CDBCC4043A58BD849AADD1CC14C"><enum>(3)</enum><text>prohibits any
			 recipient of the Troubled Asset Relief Program from directly benefitting from
			 any funds in this reserve.</text>
				</paragraph></subsection><subsection id="H1FCEA27D3AB9427AA05FA81143716C25"><enum>(b)</enum><header>Procedure for
			 Adjustments</header>
				<paragraph id="HE92F7CAD1A364305A8D2B5F99F9F90AA"><enum>(1)</enum><header>Budget committee
			 chairman</header><text>After the reporting of a bill or joint resolution, or
			 the offering of an amendment thereto or the submission of a conference report
			 thereon, providing funding for the purposes set forth in subsection (a) in
			 excess of the amounts provided for those purposes for fiscal year 2010, the
			 chairman of the Committee on the Budget of the applicable House of Congress
			 shall make the adjustments set forth in paragraph (2) for the amount of new
			 budget authority and outlays in that measure and the outlays flowing from that
			 budget authority.</text>
				</paragraph><paragraph id="H0C112926B35042C69D689059FA9221A3"><enum>(2)</enum><header>Matters to be
			 adjusted</header><text>The adjustments referred to in paragraph (1) are to be
			 made to—</text>
					<subparagraph id="H6DD4B074963E409EBFFEB747E44C015C"><enum>(A)</enum><text>the discretionary
			 spending limits, if any, set forth in the appropriate concurrent resolution on
			 the budget;</text>
					</subparagraph><subparagraph id="H043968ED242D40599AF503FF73E5E5DA"><enum>(B)</enum><text>the allocations
			 made pursuant to the appropriate concurrent resolution on the budget pursuant
			 to section 302(a) of the Congressional Budget Act of 1974; and</text>
					</subparagraph><subparagraph id="H6EEE0367E7664E0CB9539655160914CF"><enum>(C)</enum><text>the budget
			 aggregates contained in the appropriate concurrent resolution on the budget as
			 required by section 301(a) of the Congressional Budget Act of 1974.</text>
					</subparagraph></paragraph><paragraph id="H6BE962A686AE42E49AFD552FAB125960"><enum>(3)</enum><header>Amounts of
			 adjustments</header><text>The adjustments referred to in paragraphs (1) and (2)
			 shall not exceed half the receipts estimated by the Congressional Budget Office
			 that are attributable to this Act for the fiscal year in which the adjustments
			 are made.</text>
				</paragraph></subsection></section><section id="HB9AB89C091684400A2F15330475D6A1D"><enum>4.</enum><header>Deficit
			 reduction</header><text display-inline="no-display-inline">It is the Sense of
			 Congress that half the additional Federal receipts by reason of the enactment
			 of this Act shall not be expended and therefore reduce the Federal deficit. The
			 Committee on the Budget shall clearly report this deficit reduction in the
			 committee report for the budget resolution.</text>
		</section><section id="H58F2F679095A4365B60E223EE2A4CDBD"><enum>5.</enum><header>Recoupment of
			 Wall Street Bailout</header>
			<subsection id="H5300119312BA497D8C25EDB532994BEB"><enum>(a)</enum><header>In
			 general</header><text>Chapter 36 of the Internal Revenue Code of 1986 is
			 amended by inserting after subchapter B the following new subchapter:</text>

				Transactions</header>
						<toc container-level="subchapter-container" idref="H94CB0A6A280541B5A7EF01CF5EF7BDEC" lowest-bolded-level="division-lowest-bolded" lowest-level="section" quoted-block="no-quoted-block" regeneration="yes-regeneration">
							<toc-entry idref="HB495D580258E4974AEB38FC981E822B8" level="section">Sec. 4475. Tax on securities transactions.</toc-entry>
						</toc>
						<section id="HB495D580258E4974AEB38FC981E822B8"><enum>4475.</enum><header>Tax on
				securities transactions</header>
							<subsection id="H202669903EEB4F01B78FDCF9944CCE3E"><enum>(a)</enum><header>Imposition of
				tax</header>
								<paragraph id="H7771572F52494A498DEE4F1C0E313192"><enum>(1)</enum><header>Stocks</header><text display-inline="yes-display-inline">There is hereby imposed a tax on each
				covered transaction in a stock contract of 0.25 percent of the value of the
				instruments involved in such transaction.</text>
								</paragraph><paragraph id="H048029F41C8546FDA7C8C148C3F39306"><enum>(2)</enum><header>Futures</header><text>There
				is hereby imposed a tax on each covered transaction in a futures contract of
				0.02 percent of the value of the instruments involved in such
				transaction.</text>
								</paragraph><paragraph id="HF48F1C144C6D4AC1B5583D020478BB8D"><enum>(3)</enum><header>Swaps</header><text>There
				is hereby imposed a tax on each covered transaction in a swaps contract of 0.02
				percent of the value of the instruments involved in such transaction.</text>
								</paragraph><paragraph id="HE2C97396F20645D2A8A24CEB2D88F33E"><enum>(4)</enum><header>Credit default
				swaps</header><text>There is hereby imposed a tax on each covered transaction
				in a credit default swaps contract of 0.02 percent of the value of the
				instruments involved in such transaction.</text>
								</paragraph><paragraph id="H4E037E933FB64D4D9BDAC04FCE4419FC"><enum>(5)</enum><header>Options</header><text>There
				is hereby imposed a tax on each covered transaction in an options contract with
				respect to a transaction described in paragraph (1), (2), (3), or (4)
				of—</text>
									<subparagraph id="H0E8E6CD99CBB4F5C832940E75B93D37C"><enum>(A)</enum><text>the rate imposed
				with respect to such underlying transaction under paragraph (1), (2), (3), or
				(4) (as the case may be), multiplied by</text>
									</subparagraph><subparagraph id="H7278FF35C9ED45FBAFFB174F2248BE96"><enum>(B)</enum><text>the premium paid
				on such option.</text>
									</subparagraph></paragraph></subsection><subsection id="HCD9D32D3D27344AB9BC74DA218C0C377"><enum>(b)</enum><header>Exception for
				retirement accounts, etc</header><text display-inline="yes-display-inline">No
				tax shall be imposed under subsection (a) with respect to any stock contract,
				futures contract, swaps contract, credit default swap, or options contract
				which is held in any plan, account, or arrangement described in section 220,
				223, 401(a), 403(a), 403(b), 408, 408A, 529, or 530.</text>
							</subsection><subsection id="H481D343FA46746CF93EDA147C27981F5"><enum>(c)</enum><header>Exception for
				interests in mutual funds</header><text>No tax shall be imposed under
				subsection (a) with respect to the purchase or sale of any interest in a
				regulated investment company (as defined in section 851) or of any derivative
				of such an interest.</text>
							</subsection><subsection id="HA916DF2C3B2441F1B92C3B49784AAA6E"><enum>(d)</enum><header>By whom
				paid</header>
								<paragraph id="H4FF07A86F03F4F27BE88E66DF58BE7C3"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">The tax imposed by
				this section shall be paid by—</text>
									<subparagraph id="HC54EF6A2B3EA4C9D919EF24A5D92E5B6"><enum>(A)</enum><text>in the case of a
				transaction which occurs on a trading facility located in the United States,
				such trading facility, or</text>
									</subparagraph><subparagraph id="H7632DBA7C618483F94A7D3BCA659D39E"><enum>(B)</enum><text>in any other case,
				the purchaser with respect to the transaction.</text>
									</subparagraph></paragraph><paragraph id="H039C238C073A4CED97A7A90C792F5526"><enum>(2)</enum><header>Withholding if
				buyer is not a United States person</header><text>See section 1447 for
				withholding by seller if buyer is a foreign person.</text>
								</paragraph></subsection><subsection id="H65A8FCE29F984C1B87674A49957DDBEB"><enum>(e)</enum><header>Covered
				transaction</header><text>The term <quote>covered transaction</quote> means any
				purchase or sale if—</text>
								<paragraph id="H26C7B42BE03B440EB0A640C611A3FC6B"><enum>(1)</enum><text>such purchase or
				sale occurs on a trading facility located in the United States, or</text>
								</paragraph><paragraph id="H9440E57228844D14A49F1DC2541E0748"><enum>(2)</enum><text>the purchaser or
				seller is a United States person.</text>
								</paragraph></subsection><subsection id="H6B858E33A0F1427DB575F18F681EA42C"><enum>(f)</enum><header>Administration</header><text>The
				Secretary shall carry out this section in consultation with the Securities and
				Exchange Commission and the Commodity Futures Trading
				Commission.</text>
							</subsection></section></subchapter><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection display-inline="no-display-inline" id="HA76FB0B22E7247BDA3485D0D49BEAD88"><enum>(b)</enum><header>Credit for first
			 $100,000 of stock transactions per year</header><text display-inline="yes-display-inline">Subpart C of part IV of subchapter A of
			 chapter 1 of such Code is amended by inserting after section 36A the following
			 new section:</text>
				<quoted-block display-inline="no-display-inline" id="HDF5D729F3C1E4AA2B4042217DD403A78" style="OLC">
					<section id="HFA702987E27D4188A2E7B31672417247"><enum>36B.</enum><header>Credit for
				securities transaction taxes</header>
						<subsection id="H57285D0EE76F4D1FAF9256517F91BFAC"><enum>(a)</enum><header>Allowance of
				credit</header><text display-inline="yes-display-inline">In the case of any
				purchaser with respect to a covered transaction, there shall be allowed as a
				credit against the tax imposed by this subtitle for the taxable year an amount
				equal to the lesser of—</text>
							<paragraph id="H55C2265E09C4496CB0476A4648B2D19A"><enum>(1)</enum><text>the aggregate
				amount of tax imposed under section 4475 on covered transactions during the
				taxable year with respect to which the taxpayer is the purchaser, or</text>
							</paragraph><paragraph id="H60F00FFE1A5A45B1A8744E95B0322010"><enum>(2)</enum><text>$250 ($500 in the
				case of a joint return).</text>
							</paragraph></subsection><subsection id="H4277183A5B28404AAB46B55D6A8A0B85"><enum>(b)</enum><header>Aggregation
				rule</header><text>For purposes of this section, all persons treated as a
				single employer under subsection (a) or (b) of section 52, or subsection (m) or
				(o) of section 414, shall be treated as one taxpayer.</text>
						</subsection><subsection id="H65623DDAA02B4EC3A40F295501DD43F9"><enum>(c)</enum><header>Definitions</header><text display-inline="yes-display-inline">For purposes of this section, any term used
				in this section which is also used in section 4475 shall have the same meaning
				as when used in section
				4475.</text>
						</subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HC699C3900A4A439DADEF9FFE0C0AC2BF"><enum>(c)</enum><header>Withholding</header><text>Subchapter
			 A of chapter 3 of such Code is amended by adding at the end the following new
			 section:</text>

					<section id="H767438BE83784384854377AA20F987AB"><enum>1447.</enum><header>Withholding on
				securities transactions</header>
						<subsection id="HC05A836DE0004F829E65313920D09588"><enum>(a)</enum><header>In
				general</header><text display-inline="yes-display-inline">In the case of any
				outbound securities transaction, the transferor shall deduct and withhold a tax
				equal to the tax imposed under section 4475 with respect to such
				transaction.</text>
						</subsection><subsection id="H41525A198F0F414F8E395046EED5804D"><enum>(b)</enum><header>Outbound
				securities transaction</header><text>For purposes of this section, the term
				<quote>outbound securities transaction</quote> means any covered transaction to
				which section 4475(a) applies if—</text>
							<paragraph id="H804D0001747740CBA0AA0FE00DC27E3A"><enum>(1)</enum><text>such transaction
				does not occur on a trading facility located in the United States, and</text>
							</paragraph><paragraph id="H74F2B8006A6847EDA5E5918CE088F179"><enum>(2)</enum><text>the purchaser with
				respect to such transaction in not a United States
				person.</text>
							</paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HFD3F3BE83C6A4132ABD1D03EDB7ACABE"><enum>(d)</enum><header>Conforming
			 amendments</header>
				<paragraph id="HC0E3CC6A5CCD45039F701F0BEEC7ADF3"><enum>(1)</enum><text display-inline="yes-display-inline">Section 6211(b)(4)(A) of such Code is
			 amended by inserting <quote>36B,</quote> after <quote>36A,</quote>.</text>
				</paragraph><paragraph id="HEEABC041740C407593966CFA15A8C52B"><enum>(2)</enum><text>Section 1324(b)(2)
			 of title 31, United States Code, is amended by inserting <quote>36B,</quote>
