		<section id="H6D0C92E9D1C5430AA1AC97EBE2DE8977" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Taxpayer Investment Protection Act of
			 2009</short-title></quote>.</text>
		</section><section id="H19E3040C879A4C08A8FD70D7E9BEBAE6"><enum>2.</enum><header>Definition</header><text display-inline="no-display-inline">For purposes of this Act, the following
			 definitions shall apply:</text>
			<paragraph id="H1A5C3B4F8E4A4FEB92D21319BDCFFEBC"><enum>(1)</enum><header>Ownership
			 interest</header><text>The term <quote>ownership interest</quote> means an
			 interest in a troubled asset described in section 3(9)(B) of the Emergency
			 Economic Stabilization Act of 2008 (12 U.S.C. 5202(a)(1)), as in effect on the
			 day before the date of the enactment of this Act, that was purchased by the
			 Secretary under section 101(a)(1) of such Act (12 U.S.C. 5211(a)(1)).</text>
			</paragraph><paragraph id="HDD5D280B800243C4A5E99883646D7CA9"><enum>(2)</enum><header>Secretary</header><text>The
			 term <quote>Secretary</quote> means the Secretary of the Treasury.</text>
			</paragraph></section><section id="HCAC84AC9746E4452A0BB2353927116C8"><enum>3.</enum><header>Sale of Federal
			 corporate property</header>
			<subsection id="HB7429FC4EB2F496D9F03EC1A9C86CE1D"><enum>(a)</enum><header>Divestiture</header><text>Except
			 as provided in subsection (b), the Secretary shall divest the Federal
			 Government of any ownership interest not later than December 31, 2010.</text>
			</subsection><subsection id="H67ECB203C8A54297888304B7F2E23ED8"><enum>(b)</enum><header>Conforming
			 amendment</header><text>Section 3(9) of the Emergency Economic Stabilization
			 Act of 2008 (12 U.S.C. 5202(9)) is amended—</text>
				<paragraph id="H6B262CD9D3294C6087D732F5B42973DC"><enum>(1)</enum><text>in subparagraph
			 (A), by striking <quote>; and</quote> at the end and inserting a period;</text>
				</paragraph><paragraph id="H13DCBCDD005D4923818B84AC27160A93"><enum>(2)</enum><text>by striking
			 <quote>means—</quote> and all that follows through <quote>residential</quote>
			 in subparagraph (A) and inserting <quote>means residential</quote>; and</text>
				</paragraph><paragraph id="HEC24BBC31B834EDB937FC2A02AE7C67C"><enum>(3)</enum><text>by striking
			 subparagraph (B).</text>
				</paragraph></subsection><subsection id="HD7B55AD473A84C7EAEA02BBCF7C3ACC5"><enum>(c)</enum><header>Deposit of
			 funds</header>
				<paragraph id="H4D6CDB3D31084079AB8EF131FF0E0B18"><enum>(1)</enum><header>In
			 general</header><text>Section 115(a)(3) of the Emergency Economic Stabilization
			 Act of 2008 (12 U.S.C. 5225(a)(3)) is amended by striking <quote>outstanding at
			 any one time</quote>.</text>
				</paragraph><paragraph id="H4AF5C80990B0468BA6AF3C9929E4BC7E"><enum>(2)</enum><header>Deposit of funds
			 into treasury</header>
					<subparagraph id="H9DE4B55202944BDA9098B8DF66749CFD"><enum>(A)</enum><header>In
			 general</header><text>On and after the date of enactment of this Act, all
			 repayments of obligations arising under the Emergency Economic Stabilization
			 Act of 2008 (12 U.S.C. 5201 et seq.), and all proceeds from the sale of assets
			 acquired by the Federal Government under that Act, shall be paid into the
			 general fund of the Treasury for reduction of the public debt, in accordance
			 with section 106(d) of that Act (12 U.S.C. 5216(d)), as amended by this
			 subsection.</text>
					</subparagraph><subparagraph id="HA8F4F5BFF28D4574A85D1DA77C5E1B5B"><enum>(B)</enum><header>Conforming
			 amendment</header><text>Section 106(d) of the Emergency Economic Stabilization
			 Act of 2008 (12 U.S.C. 5216(d)) is amended by inserting <quote>, and repayments
			 of obligations arising under this Act,</quote> after <quote>section
			 113</quote>.</text>
					</subparagraph></paragraph></subsection><subsection id="HD142A5920A754F35994F924430731313"><enum>(d)</enum><header>Federal Deposit
			 Insurance Corporation</header><text>No provision of this Act may be construed
			 so as to impede the ability of the Federal Deposit Insurance Corporation to
			 maintain the stability of the banking system.</text>
			</subsection></section><section id="HFED0D145AAEE4EF78EEEF9E337C7B3EE"><enum>4.</enum><header>Oversight by
			 Financial Stability Oversight Board</header><text display-inline="no-display-inline">Section 104(a) of the Emergency Economic
			 Stabilization Act of 2008 (12 U.S.C. 5214(a)) is amended—</text>
			<paragraph id="HCD1F295C91084220BFD9833AA961CE6B"><enum>(1)</enum><text>in paragraph (2),
			 by striking <quote>and</quote> at the end;</text>
			</paragraph><paragraph id="H7417F5F649C54CA9BA9B8E6A6E411D93"><enum>(2)</enum><text>in paragraph (3),
			 by striking the semicolon at the end and inserting <quote>; and</quote>;
			 and</text>
			</paragraph><paragraph id="H3E10C49914564A178CEE2E5113953DE3"><enum>(3)</enum><text>by adding at the
			 end the following:</text>
				<quoted-block id="H83B2B6CA07D0469EA3C7DFE1E73E8BC8" style="OLC">
					<paragraph id="HA4D1AF76D99D4D6098B6513F219447C1"><enum>(4)</enum><text>reviewing the
				implementation of section 3 of the Taxpayer Investment Protection Act of
				2009.</text>
					</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="H428C3C442ABF4F838C738A731839780E"><enum>5.</enum><header>Reports
			 required</header>
			<subsection id="H4C7288E711C540718EA64AC73C86BB86"><enum>(a)</enum><header>Reports on
			 winding down or divestment required</header><text>The Secretary shall submit to
			 the Congress periodic reports on the plans of the Secretary for compliance with
			 this Act, providing detail on equity divestiture plans and return of capital
			 for the following corporate investments:</text>
				<paragraph id="HFE89CAAF5EE244BFA6B83B84D6869D36"><enum>(1)</enum><text>Bank of America:
			 $35,000,000,000 in notes and preferred stock.</text>
				</paragraph><paragraph id="H4203173FB6554D57ABE921EA41CFE4B5"><enum>(2)</enum><text>Chrysler:
			 $12,500,000,000 in common equity and notes.</text>
				</paragraph><paragraph id="HC09D29F2B7A44555816A404A0A4B65ED"><enum>(3)</enum><text>General Motors:
			 $49,500,000,000 in common and preferred equity, notes.</text>
				</paragraph><paragraph id="HD65CFC6CC3EB4FFD8787250080F545B2"><enum>(4)</enum><text>Citigroup:
			 $45,000,000,000 in common stock and notes.</text>
				</paragraph><paragraph id="H57AC5B4E3C2849848C6D29290826D539"><enum>(5)</enum><text><?xm-replace_text "?>AIG:
			 $40,000,000,000 applied to acquire 79.9 percent of equity, plus amounts
			 outstanding on a $30,000,000,000 line of credit.</text>
				</paragraph><paragraph id="H58128F338010409486241B1C3422D82B"><enum>(6)</enum><text display-inline="yes-display-inline">Hartford Financial Services: $3,400,000,000
			 in preferred stock.</text>
				</paragraph><paragraph id="H9F186F2BBE774728ACFE68C67D8BBB13"><enum>(7)</enum><text>Lincoln National
			 Corporation: $950,000,000 in preferred stock.</text>
				</paragraph><paragraph id="HB78E08607F394450B9CB87811FA56B7A"><enum>(8)</enum><text>GMAC: $884,000,000
			 in common equity.</text>
				</paragraph></subsection><subsection id="H48206A177C054D02BB39EACD0442D22F"><enum>(b)</enum><header>Timing of
			 reports</header><text>The Secretary shall submit the reports under subsection
			 (a)—</text>
				<paragraph id="HA3C9C794E44149638838F5122A6B7B1C"><enum>(1)</enum><text>not later than
			 January 1, 2010; and</text>
				</paragraph><paragraph id="H5463C4EF88024C8EAA91BEFF6D9831E5"><enum>(2)</enum><text>each month
			 thereafter until all ownership interests are divested under section
			 3(a).</text>
				</paragraph></subsection></section></legis-body>
