<section id="HC8D237E049D94FE19DF1A0935D02BFC7" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Government Ownership Exit Plan Act of 2009</short-title></quote>.</text></section>
<section id="H19DAF5266C7A48B28D1B8AA31C4C525C"><enum>2.</enum><header>Definition</header><text display-inline="no-display-inline">In this Act—</text>
<paragraph id="H23B57CFF14FA42FDAD818C68A7C8A868"><enum>(1)</enum><text display-inline="yes-display-inline">the term <term>ownership interest</term> means an interest in a troubled asset described in section 3(9)(B) of the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5202(a)(1)), as in effect on the day before the date of enactment of this Act, that was purchased by the Secretary under section 101(a)(1) of such Act (12 U.S.C. 5211(a)(1)); and</text></paragraph>
<paragraph id="HEF024489A3E541CFB380FC7D10B79CDF"><enum>(2)</enum><text>the term <term>Secretary</term> means the Secretary of the Treasury.</text></paragraph></section>
<section id="H53926C7E9F20429FBE79F20B0CC17D5A"><enum>3.</enum><header>Re-privatization of private entities</header>
<subsection id="H635F7444451D4331860E65BC44CB93BD"><enum>(a)</enum><header>Prohibition on Federal Government holding ownership interests</header>
<paragraph id="H55CBE32A59444666A33DE7AEA14FCE7A"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Beginning on the date of enactment of this Act, the Federal Government may not acquire, directly or indirectly, any ownership interest.</text></paragraph>
<paragraph id="HD56AE2E6B5E04C8C898D20582DAB20BC"><enum>(2)</enum><header>Divestiture</header><text>Except as provided in subsection (b), the Secretary shall divest the Federal Government of any ownership interest not later than July 1, 2010.</text></paragraph></subsection>
<subsection id="HEE43A9275406447E9C62701E748DDC7D"><enum>(b)</enum><header>Limited Authority</header>
<paragraph id="H666421F7EE2E41E6AFF8001C97092985"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Beginning on July 1, 2010, the Secretary may hold an ownership interest with respect to a particular entity for a period of not more than 6 months if, not later than July 1, 2010, the Secretary submits a report to Congress with respect to that entity stating that—</text>
<subparagraph id="H22D2F44461D34C10980401A134BF22DA"><enum>(A)</enum><text display-inline="yes-display-inline">compliance with subsection (a)(2) with respect to such entity would have a significant adverse impact on the taxpayers of the United States; and</text></subparagraph>
<subparagraph id="HC1386512E9FF42368D9B9C3E1213D914"><enum>(B)</enum><text display-inline="yes-display-inline">there is a reasonable expectation that a waiver of subsection (a)(2) would allow the Secretary to recover the cost to the Federal Government of acquiring such ownership interest.</text></subparagraph></paragraph>
<paragraph id="HD6AAF9D1DF1C43A8B58A11D0B0A82DA1"><enum>(2)</enum><header>Single renewal</header><text display-inline="yes-display-inline">The Secretary may renew an extension under paragraph (1) for a single period of not more than 6 months, if the Secretary submits to Congress a report stating that the conditions described in subparagraphs (A) and (B) of paragraph (1) still exist with respect to the subject ownership interest.</text></paragraph></subsection>
<subsection commented="no" display-inline="no-display-inline" id="H06C78C3C0B3F45DA8DE44A1555A975DC"><enum>(c)</enum><header>Conforming amendment</header><text>Section 3(9) of the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5202(9)) is amended—</text>
<paragraph commented="no" display-inline="no-display-inline" id="HD98AFFD942724188AE066BF74C11A0BC"><enum>(1)</enum><text>in subparagraph (A), by striking <quote>; and</quote> at the end and inserting a period;</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="HDC1F744A4E2F422D94D1B696E51262A3"><enum>(2)</enum><text>by striking <quote>means—</quote> and all that follows through <quote>residential</quote> in subparagraph (A) and inserting <quote>means residential</quote>; and</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="H283547729CFB4535822C9C7B9E715841"><enum>(3)</enum><text>by striking subparagraph (B).</text></paragraph></subsection>
<subsection commented="no" display-inline="no-display-inline" id="H95FD36979B9146B28EE16FDFA603AF89"><enum>(d)</enum><header>Deposit of funds</header>
<paragraph id="HEDB488FF7C4A4CD996707F35A64AEA69"><enum>(1)</enum><header>In general</header><text>Section 115(a)(3) of the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5225(a)(3)) is amended by striking <quote>outstanding at any one time</quote>.</text></paragraph>
<paragraph id="H82CD59C0896543CF9C07957F05402FE3"><enum>(2)</enum><header>Deposit of funds into Treasury</header>
<subparagraph id="H6A7BF376F52544AEBCD1C759C238DEEC"><enum>(A)</enum><header>In general</header><text>On and after the date of enactment of this Act, all repayments of obligations arising under the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5201 et seq.), and all proceeds from the sale of assets acquired by the Federal Government under that Act, shall be paid into the general fund of the Treasury for reduction of the public debt, in accordance with section 106(d) of that Act (12 U.S.C. 5216(d)), as amended by this subsection.</text></subparagraph>
<subparagraph id="H8F23E3967ADC4552971DF28E26001DEC"><enum>(B)</enum><header>Conforming amendment</header><text>Section 106(d) of the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5216(d)) is amended by inserting <quote>, and repayments of obligations arising under this Act,</quote> after <quote>section 113</quote>.</text></subparagraph></paragraph></subsection>
<subsection commented="no" display-inline="no-display-inline" id="H47811128BA6F43DAB120613CE168362A"><enum>(e)</enum><header>Influence of management decisions</header><text>Title I of the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5211 et seq.) is amended by adding at the end the following:</text>

<section id="H83BA39807A7D453FBC25DD48DEF024CA"><enum>137.</enum><header>Influence of management decisions</header>
<subsection id="HA5FB3BCE128F4C26BE89401D3DB72F0C"><enum>(a)</enum><header>Definitions</header><text>For purposes of this section, the following definitions shall apply:</text>
<paragraph id="H54D92AE3E06042A3BBE32C2D4F2FF1D1"><enum>(1)</enum><header>Covered person</header><text>The term <term>covered person</term> means any person who is an officer or employee (including a special Government employee (as defined in section 202(a) of title 18, United States Code)) of the executive branch of the United States (including any independent agency of the United States).</text></paragraph>
<paragraph id="HF5238B0813B245B58D8133B51601DD4E"><enum>(2)</enum><header>Significant management decision</header><text>The term <term>significant management decision</term> includes the appointment of senior executives or board members, business strategies relating to production and manufacturing, plant closings, the relocation of the headquarters of an entity, the modification of labor contracts, and other financial decisions.</text></paragraph></subsection>
<subsection commented="no" display-inline="no-display-inline" id="H90EE4010FC60436B98E6D3A6580F4B9C"><enum>(b)</enum><header>Influence prohibited</header>
<paragraph commented="no" display-inline="no-display-inline" id="H5723C3C5C1784F72905BC0272727E00C"><enum>(1)</enum><header>In general</header><text>It shall be unlawful for any covered person to knowingly make, with the intent to influence, a communication regarding a significant management decision of a recipient of assistance under this title to any officer or employee of the recipient.</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="HAAE58BA8170948BBA595C2BC1171048D"><enum>(2)</enum><header>Criminal penalty</header><text>Any covered person who violates paragraph (1) shall be fined under title 18, United States Code, imprisoned for not more than 1 year, or both.</text></paragraph></subsection>
<subsection commented="no" display-inline="no-display-inline" id="H111BA87759B1419CAE59562CFF5A3826"><enum>(c)</enum><header>Civil actions</header>
<paragraph commented="no" display-inline="no-display-inline" id="H449D5AD656BF48ECBC1F1149DFE41166"><enum>(1)</enum><header>In general</header><text>The Attorney General of the United States may bring a civil action in an appropriate United States district court against any covered person to enforce subsection (b).</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="HE16522D019E94CA1A8090349812DA4EB"><enum>(2)</enum><header>Civil penalty</header><text>Any covered person who, upon proof by a preponderance of the evidence, violates subsection (b) shall be subject to a civil penalty of not more than $50,000 for each violation. The imposition of a civil penalty under this paragraph shall not preclude any other criminal or civil statutory, common law, or administrative remedy, which is available by law to the United States or any other person.</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="H1EA1781CD91F487E9E47524879A9CA16"><enum>(3)</enum><header>Orders</header><text>If the Attorney General of the United States has reason to believe that a covered person is engaging in conduct that violates subsection (b), the Attorney General may petition an appropriate United States district court for an order prohibiting the covered person from engaging in the conduct. The court may issue an order prohibiting the covered person from engaging in the conduct if the court finds that the conduct constitutes a violation of subsection (b). The filing of a petition under this paragraph shall not preclude any other remedy which is available by law to the United States or any other person.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></subsection>
<subsection commented="no" display-inline="no-display-inline" id="HE6DB4B82874C4474AFDB55BE242B3EB3"><enum>(f)</enum><header>Federal Deposit Insurance Corporation</header><text>Nothing in this Act may be construed to impede the ability of the Federal Deposit Insurance Corporation to maintain the stability of the banking system.</text></subsection></section>
<section commented="no" display-inline="no-display-inline" id="HA8D40CC5866345C08ED36F26E0EA3042"><enum>4.</enum><header>Oversight by Financial Stability Oversight Board</header><text display-inline="no-display-inline">Section 104(a) of the Emergency Economic Stabilization Act of 2008 (12 U.S.C. 5214(a)) is amended—</text>
<paragraph commented="no" display-inline="no-display-inline" id="H4FEF6BF6EC84465C9FEEA86977F62905"><enum>(1)</enum><text>in paragraph (2), by striking <quote>and</quote> at the end;</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="H5534F13559AF461493D825A3D5C15242"><enum>(2)</enum><text>in paragraph (3), by striking the semicolon at the end and inserting <quote>; and</quote>; and</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="HD8D5A12686634F89A5B0F9199D463BDC"><enum>(3)</enum><text>by adding at the end the following:</text>

<paragraph commented="no" display-inline="no-display-inline" id="HA2FBFC97DCDC468AA65DB28B62886900"><enum>(4)</enum><text>reviewing the implementation of section 3 of the <short-title>Government Ownership Exit Plan Act of 2009</short-title>.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section>
<section id="H3C1335ABEAB64332AA3C0A61C66720BA"><enum>5.</enum><header>Reports Required</header>
<subsection id="HD0256E85B3EB4423835C0736C80AB57A"><enum>(a)</enum><header>Report on Federal Government ownership</header>
<paragraph id="H2B431AB29800436DA30F502C5F04A419"><enum>(1)</enum><header>Reports required</header><text>The Secretary shall make (and shall publicly disclose) periodic reports detailing any ownership interest held by the Federal Government, including any loan or loan guarantee made by the Board of Governors of the Federal Reserve System.</text></paragraph>
<paragraph id="H6B5E789385104F1BAA0DE012AFABCDA4"><enum>(2)</enum><header>Timing of reports</header><text>The Secretary shall submit the reports under paragraph (1)—</text>
<subparagraph id="H31844DE782E64BD88D8721D1A1021D5B"><enum>(A)</enum><text>not later than October 1, 2009; and</text></subparagraph>
<subparagraph id="H26A6E803FA684676BB8410FBB691CA7A"><enum>(B)</enum><text>each quarter of the fiscal year thereafter.</text></subparagraph></paragraph></subsection>
<subsection id="HDA864A4FC1AD49A1ACEE04B3E07423E5"><enum>(b)</enum><header>Reports on winding down or divestment</header>
<paragraph id="HA69697A26C4240E59925D5262BC9F48A"><enum>(1)</enum><header>Reports required</header><text>The Secretary shall submit to Congress periodic reports on the plans of the Secretary for compliance with this Act, including any plans to wind down or divest an ownership interest.</text></paragraph>
<paragraph id="H0C79D73BAB9343328CB7064A3A5B392B"><enum>(2)</enum><header>Timing of reports</header><text>The Secretary shall submit the reports under paragraph (1)—</text>
<subparagraph id="HFFC5BC89D5194618A6F3A329066A4327"><enum>(A)</enum><text>not later than April 1, 2010; and</text></subparagraph>
<subparagraph id="H04B87913039945248CA1C5F735699B13"><enum>(B)</enum><text>each month thereafter until all ownership interests are divested under section 3(a)(2).</text></subparagraph></paragraph></subsection></section>
<section id="H9C7DAD690F694E3E832AFC43668593A1"><enum>6.</enum><header>Plan for Government Sponsored Enterprises</header><text display-inline="no-display-inline">Not later than 90 days after the date of enactment of this Act, the Secretary shall submit to Congress a report describing a plan of the Secretary—</text>
<paragraph id="H8C3452360BC0486384984E6C45CB2EE5"><enum>(1)</enum><text>to end the conservatorship by the Federal Government of the Federal National Mortgage Association and the Federal Home Loan Mortgage Corporation; and</text></paragraph>
<paragraph id="H06EFFE4FE3C746718110D6B56B625AF0"><enum>(2)</enum><text>to eliminate any form of direct ownership by the Federal Government of the Federal National Mortgage Association and the Federal Home Loan Mortgage Corporation.</text></paragraph></section>
