		<section id="HD07CA722248644C4AA6A3EF6C583A62C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Investing in Tomorrow’s Technology
			 Act</short-title></quote>.</text>
		</section><section id="H0041726B140C4C0993D3E11213B221FE"><enum>2.</enum><header>Extension of
			 termination dates</header>
			<subsection id="HA51FC101A6A1452883E879260BF38A49"><enum>(a)</enum><header>SBIR</header><text display-inline="yes-display-inline">Section 9(m) of the Small Business Act (15
			 U.S.C. 638(m)) is amended by striking <quote>2008</quote> and inserting
			 <quote>2011</quote>.</text>
			</subsection><subsection commented="no" id="HF4B0954B0EAC498DAC1B77F9AE27D696"><enum>(b)</enum><header>STTR</header><text display-inline="yes-display-inline">Section 9(n)(1)(A) of the Small Business
			 Act (15 U.S.C. 638(n)(1)(A)) is amended by striking <quote>2009</quote> and
			 inserting <quote>2011</quote>.</text>
			</subsection></section><section id="HC07CC8D48C9644BEBF226F1385F40343"><enum>3.</enum><header>Ensuring that
			 innovative small businesses with substantial investment from venture capital
			 operating companies are able to participate in the SBIR and STTR
			 programs</header><text display-inline="no-display-inline">Section 9 of the
			 Small Business Act (15 U.S.C. 638) is amended by adding at the end the
			 following:</text>
			<quoted-block display-inline="no-display-inline" id="H63F4DF1A175445D59B88583497D5C286" style="OLC">
				<subsection id="H897A0643F9704043875A45B1124D50B9"><enum>(aa)</enum><header>Venture capital
				operating companies</header><text display-inline="yes-display-inline">Effective
				only for the SBIR and STTR programs the following shall apply:</text>
					<paragraph id="H0437739614494AF492FE009F9AD5D8AE"><enum>(1)</enum><text>A business concern
				that has more than 500 employees shall not qualify as a small business
				concern.</text>
					</paragraph><paragraph id="H90934FD473694ABB8639ADC8A521193A"><enum>(2)</enum><text display-inline="yes-display-inline">In determining whether a small business
				concern is independently owned and operated under section 3(a)(1) or meets the
				small business size standards instituted under section 3(a)(2), the
				Administrator shall not consider a business concern to be affiliated with a
				venture capital operating company (or with any other business that the venture
				capital operating company has financed) if—</text>
						<subparagraph id="H19A9761582DD445FA3A30D4315D1C308"><enum>(A)</enum><text>the venture
				capital operating company does not own 50 percent or more of the business
				concern; and</text>
						</subparagraph><subparagraph id="HFC90FCA17DF64BBFA82775E45EC193B5"><enum>(B)</enum><text>employees of the
				venture capital operating company do not constitute a majority of the board of
				directors of the business concern.</text>
						</subparagraph></paragraph><paragraph display-inline="no-display-inline" id="HC64EAC6D93A4492981E18826650175F0"><enum>(3)</enum><text>A business concern
				shall be deemed to be <quote>independently owned and operated</quote>
				if—</text>
						<subparagraph id="HE6EA7C944F0644B298079EE7E9DFE491"><enum>(A)</enum><text>it is owned in
				majority part by one or more natural persons or venture capital operating
				companies;</text>
						</subparagraph><subparagraph id="H5BE7DF8801FC4BABBF0458B249E962AA"><enum>(B)</enum><text>there is no single
				venture capital operating company that owns 50 percent or more of the business
				concern; and</text>
						</subparagraph><subparagraph id="HD40DD739824B47569E235911981E8A35"><enum>(C)</enum><text>there is no single
				venture capital operating company the employees of which constitute a majority
				of the board of directors of the business concern.</text>
						</subparagraph></paragraph><paragraph display-inline="no-display-inline" id="H37185DC3C87F4D05B27D6BF1D624F3D2"><enum>(4)</enum><text display-inline="yes-display-inline">If a venture capital operating company
				controlled by a business with more than 500 employees (in this paragraph
				referred to as a <quote>VCOC under large business control</quote>) has an
				ownership interest in a small business concern that is owned in majority part
				by venture capital operating companies, the small business concern is eligible
				to receive an award under the SBIR or STTR program only if—</text>
						<subparagraph id="HA542C021B4E743FF9B8398880CC576B5"><enum>(A)</enum><text>not more than two
				VCOCs under large business control have an ownership interest in the small
				business concern;</text>
						</subparagraph><subparagraph id="HA265F6BA30E24AD4AE1A0ABB7147BC66"><enum>(B)</enum><text>the VCOCs under
				large business control do not collectively own more than 20 percent of the
				small business concern; and</text>
						</subparagraph><subparagraph id="H0725BC3F64974F4FB54DE28E073C59DE"><enum>(C)</enum><text>the VCOCs under
				large business control do not collaborate with each other to exercise more
				control over the small business concern than they could otherwise exercise
				individually.</text>
						</subparagraph></paragraph><paragraph display-inline="no-display-inline" id="H61037283524C4264899659327D88C885"><enum>(5)</enum><text>The term
				<term>venture capital operating company</term> means a business concern—</text>
						<subparagraph id="HD7F4DAD1DB174BBCB4361FC902FC59FA"><enum>(A)</enum><text>that—</text>
							<clause id="H34C9E5FC3BA743EB9F6D2A024AC55B00"><enum>(i)</enum><text>is
				a Venture Capital Operating Company, as that term is defined in regulations
				promulgated by the Secretary of Labor; or</text>
							</clause><clause id="H5799C548815243C8BD0F8FCE3DCD08EF"><enum>(ii)</enum><text>is an entity
				that—</text>
								<subclause id="H824B1C43B38147419AA1CED408F8C25E"><enum>(I)</enum><text>is registered
				under the Investment Company Act of 1940 (15 U.S.C. 80a–51 et seq.); or</text>
								</subclause><subclause id="H89540FAA7E4D4EA38757D126354627E4"><enum>(II)</enum><text>is an investment
				company, as defined in section 3(c)(14) of such Act (15 U.S.C. 80a–3(c)(14)),
				which is not registered under such Act because it is beneficially owned by less
				than 100 persons; and</text>
								</subclause></clause></subparagraph><subparagraph id="HF76A59D0B4B24B16B5B0CEA4FF21B12C"><enum>(B)</enum><text>that is itself
				organized or incorporated and domiciled in the United States, or is controlled
				by a business concern that is incorporated and domiciled in the United
				States.</text>
						</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
