		<official-title>To amend the Federal Deposit Insurance Act to require the
		  appropriate Federal banking agencies to prescribe capital standards for certain
		  special purpose entities.</official-title>

		<section id="H970309B1AB2841B4AA39EBAC0E936058" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Regulatory Capital Enhancement Act of
			 2009</short-title></quote>.</text>
		</section><section id="H7D19AF71C40148CBB90083CC5D7641D6"><enum>2.</enum><header>Regulation of
			 Special purpose entities</header><text display-inline="no-display-inline">The
			 Federal Deposit Insurance Act (12 U.S.C. 1811 et seq.) is amended by inserting
			 after section 38 the following new section:</text>

				<section id="H198CEDE88D2246F483FF725A59FF8F51"><enum>38A</enum><header>Capital
				standards for certain special purpose entities</header>
					<subsection id="HDCDF1DEB12924A0CBE4E87992E823752"><enum>(a)</enum><header>In
				general</header><text display-inline="yes-display-inline">Each appropriate
				Federal banking agency shall prescribe capital standards, including a leverage
				limit and a risk-based capital requirement, for special purpose entities, or
				similar types of vehicles or entities, that are sponsored by insured depository
				institutions regulated by such agency. Such capital standards shall conform, to
				the extent practicable, with the capital standards prescribed for such
				institution under section 38(c).</text>
					</subsection><subsection id="HE9284B9734144E13830AB714FB96A6E0"><enum>(b)</enum><header>Additional
				measures</header><text display-inline="yes-display-inline">An appropriate
				Federal banking agency may, by regulation, establish any additional relevant
				capital measures for special purpose entities, or similar types of vehicles or
				entities, that are sponsored by insured depository institutions that such
				agency determines necessary to guard against the risk that such special purpose
				entities, or similar types of vehicles or entities, become
				undercapitalized.</text>
					</subsection><subsection id="HB7FA9EEEC9924B07ACBFF9B3381EBEAE"><enum>(c)</enum><header>Determination of
				sponsorship</header><text display-inline="yes-display-inline">For purposes of
				subsection (a), a special purpose entity, or similar type of vehicle or entity,
				is sponsored by an insured depository institution if the finances of the
				special purpose entity, or similar type of vehicle or entity, and the insured
				depository institution are intertwined such that the failure of the special
				purpose entity, or similar type of vehicle or entity, would have a significant
				impact on the insured depository institution.</text>
					</subsection><subsection id="H6CA9C12078014AC2ACB932FE18D00396"><enum>(d)</enum><header>Special purpose
				entity defined</header><text display-inline="yes-display-inline">The
				appropriate Federal banking agencies shall jointly define the term
				<quote>special purpose entity</quote> for purposes of this section. In defining
				such term, the appropriate Federal banking agencies shall focus on trusts and
				other legal entities established by or for an insured depository institution to
				fulfill narrow, specific, or temporary objectives, including—</text>
						<paragraph id="H2F724A0064BB46F7B5D2DA8499EB0C4A"><enum>(1)</enum><text>the holding of
				financial assets transferred during a securitization process;</text>
						</paragraph><paragraph id="HB0CD805A3CFD49B29CD7EB01CD8395D1"><enum>(2)</enum><text>issuing applicable
				securities representing claims on such assets;</text>
						</paragraph><paragraph id="HCA8DF6EA783D42ADA8190EC94B77B3C1"><enum>(3)</enum><text>receiving and
				reinvesting cash flows from such assets; and</text>
						</paragraph><paragraph id="H7D43A3D1381743548CF1762E17C04996"><enum>(4)</enum><text>distributing
				proceeds to holders of the
				securities.</text>
