		<section display-inline="no-display-inline" id="HBBE1AE8EB3CA48F19378A3D9D774FC0C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Railroad Antitrust Enforcement Act of
			 2009</short-title></quote>.</text>
		</section><section id="H3041F2388A3E47BFA0AB4F3A439E1FEB"><enum>2.</enum><header>Application of the
			 antitrust laws to rail carriers</header>
			<subsection id="H4B16E85594AB48E89B8CB74E95FC9638"><enum>(a)</enum><header>Mergers and
			 acquisitions</header><text>The last undesignated paragraph of section 7 of the
			 Clayton Act (15 U.S.C. 18) is amended by inserting <quote>(excluding
			 transactions involving a rail carrier as defined in section 10102 of title 49
			 of the United States Code)</quote> after <quote>Surface Transportation
			 Board</quote>.</text>
			</subsection><subsection id="H822C6F3C0DDD4BB89DA545B74ED6DDC1"><enum>(b)</enum><header>Vesting of authority in
			 antitrust agencies</header><text>Section 11(a) of the Clayton Act (15 U.S.C.
			 21(a)) is amended by inserting <quote>(excluding a rail carrier as defined in
			 section 10102 of such title)</quote> after <quote>Code</quote>.</text>
			</subsection><subsection id="H3E5713CB192942C1B37D4DEEA8AEBD59"><enum>(c)</enum><header>Injunctions</header><text>The
			 proviso in section 16 of the Clayton Act (15 U.S.C. 26) is amended by inserting
			 <quote>, except against a rail carrier (as defined in section 10102 of such
			 title)</quote> after <quote>Code</quote>.</text>
			</subsection><subsection id="HF8764B027F994C85B248D6B0184EB6CD"><enum>(d)</enum><header>Federal Trade
			 Commission authority</header><text>Section 5(a)(2) of the Federal Trade
			 Commission Act (15 U.S.C. 45(a)(2)) is amended by adding at the end the
			 following:</text>

			</subsection></section><section id="H6BF37F79D5C44D4A8CC66F8C1F23A17F"><enum>3.</enum><header>Termination of antitrust
			 exemptions in title <enum-in-header>49</enum-in-header></header>
			<subsection id="H6ECEAB781EA94040B051C6A8C50C4953"><enum>(a)</enum><header>In
			 general</header><text>Section 10706 of title 49, United States Code, is
			 amended—</text>
				<paragraph id="H8F5036356D2B47CCA91521FD83F42AA8"><enum>(1)</enum><text>in subsection (a)—</text>
					<subparagraph id="HD4054F09581A40AE91AB68D5473F0C37"><enum>(A)</enum><text>beginning in the 3d
			 sentence of paragraph (2)(A) by striking <quote>, and the Sherman Act (15
			 U.S.C. 1, et seq.),</quote> and all that follows through <quote>However,
			 the</quote> and inserting <quote>. The</quote>,</text>
					</subparagraph><subparagraph id="HF552087CD790495792FFCCF67C76D22B"><enum>(B)</enum><text>in paragraph
			 (3)(B)—</text>
						<clause id="H14462F86C68F4DBCB5FF7765981DF610"><enum>(i)</enum><text>by striking
			 <quote>(i)</quote>, and</text>
						</clause><clause id="HF2D4C6E331484713860DFAC5646D34BA"><enum>(ii)</enum><text>by striking clause
			 (ii),</text>
						</clause></subparagraph><subparagraph id="HDA029D0BBA994464B8BC9600934A1E3D"><enum>(C)</enum><text>in paragraph (4)—</text>
						<clause id="H98188BE3EA064057AE0AE33ED49BBB01"><enum>(i)</enum><text>by striking the 2d
			 sentence, and</text>
						</clause><clause id="HCDA5BAF820BE4FD5A41899BFAB5F2278"><enum>(ii)</enum><text>in the 3d sentence by
			 striking <quote>However, the</quote> and inserting <quote>The</quote>,
			 and</text>
						</clause></subparagraph><subparagraph id="HE8C37793102942ADB969B6C9F9066DF8"><enum>(D)</enum><text>in paragraph (5)(A) by
			 striking <quote>, and the antitrust laws set forth in paragraph (2) of this
			 subsection do not apply to parties and other persons with respect to making or
			 carrying out the agreement</quote>,</text>
					</subparagraph></paragraph><paragraph id="H413CAAE8AA934324B393215ECFB196A1"><enum>(2)</enum><text>in subsection (d) by
			 striking the last sentence, and</text>
				</paragraph><paragraph id="HE51E50A01FF340A9B9AFD434E42A3F2D"><enum>(3)</enum><text>by striking subsection
			 (e) and inserting the following:</text>
					<quoted-block changed="added" committee-id="HJU00" display-inline="no-display-inline" id="HB2E4F62DED7A405FAEB085686D613C3B" reported-display-style="italic" style="traditional">
						<subsection commented="no" id="H6A58E2849A8F44ADAA9CF346742B563A"><enum>(e)</enum><text display-inline="yes-display-inline">Nothing in this section exempts an
				agreement approved, or submitted for approval, under subsection (a) from the
				application of the antitrust laws (as defined in subsection (a) of the 1st
				section of the Clayton Act, but including section 5 of the Federal Trade
				Commission Act to the extent such section 5 applies to unfair methods of
				competition).</text>
						</subsection><subsection commented="no" id="H3B7445DB7AAD45FDAA6C7F442C3E5F16"><enum>(f)</enum><text display-inline="yes-display-inline">In reviewing any agreement submitted for
				approval under subsection (a), the Board shall take into account, among any
				other considerations, the impact of such agreement on shippers, consumers, and
				affected communities. The Board shall make findings regarding such impact,
				which shall be—</text>
							<paragraph commented="no" id="HD2009FB1F8F547B2A2253813FC4D2E7F"><enum>(1)</enum><text>made part of the
				administrative record;</text>
							</paragraph><paragraph commented="no" id="HA42FF830AFF5425DA2B3A156950EEEBA"><enum>(2)</enum><text>submitted to any other
				reviewing agency for consideration in making its determination; and</text>
							</paragraph><paragraph commented="no" id="H56D5A0E669C14847B0FE6E5E6657A6DE"><enum>(3)</enum><text>available in any judicial
				review of the Board’s decision regarding such
				agreement.</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="HBB8C196A35AA4DA6BE9017702E50870B"><enum>(b)</enum><header>Combinations</header><text>Section
			 11321 of title 49, United States Code, is amended—</text>
				<paragraph id="H00A7B0D37FDB4ED2A050D425EF4E6FA2"><enum>(1)</enum><text>in subsection (a)—</text>
					<subparagraph id="H9853FF8B49AE41A2AFE8ACF9AEF8C30D"><enum>(A)</enum><text>by striking <quote>The
			 authority</quote> and inserting <quote>Subject to subsection (c), the
			 authority</quote>, and</text>
					</subparagraph><subparagraph id="HB1BF5E1556E94D4B98284DA79695B63E"><enum>(B)</enum><text>in the 3d sentence by
			 striking <quote>is exempt from the antitrust laws and from all other
			 law,</quote> and inserting <quote>is exempt from all other law (except the laws
			 referred to in subsection (c)),</quote>, and</text>
					</subparagraph></paragraph><paragraph id="HF454C964EE0C4DA8866974D22516D133"><enum>(2)</enum><text>by adding at the end the
			 following:</text>
					<quoted-block changed="added" committee-id="HJU00" display-inline="no-display-inline" id="HAC413669BF544451B04D859BB74C8DCF" reported-display-style="italic" style="traditional">
						<subsection id="H2EC33981AA514414BCFBF6EACF1708C2"><enum>(c)</enum><text display-inline="yes-display-inline">Nothing in this subchapter exempts a
				transaction described in subsection (a) from the application of the antitrust
				laws (as defined in subsection (a) of the 1st section of the Clayton Act, but
				including section 5 of the Federal Trade Commission Act to the extent such
				section 5 applies to unfair methods of competition). The preceding sentence
				shall not apply to any transaction relating to the pooling of railroad cars
				approved by the Surface Transportation Board or its predecessor agency pursuant
				to section 11322.</text>
						</subsection><subsection commented="no" id="H237DB5EA510445649F0B74EF5670A00F"><enum>(d)</enum><text>In reviewing any
				transaction described in subsection (a), the Board shall take into account,
				among any other considerations, the impact of the transaction on shippers and
				affected
				communities.</text>
						</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="HABF43568BE3B4A19B0615BC163FD9596"><enum>(c)</enum><header>Conforming
			 amendments</header>
				<paragraph id="H73465CC4206F434DAB01DA6BEFC97FCE"><enum>(1)</enum><header>Heading</header><text>The
			 heading for section 10706 of title 49, United States Code, is amended to read
			 as follows: <quote><header-in-text level="section" style="USC">Rate
			 agreements</header-in-text></quote>.</text>
				</paragraph><paragraph id="H2CCA7245BC5045A6BD3A580B0CAAD73D"><enum>(2)</enum><header>Analysis of
			 sections</header><text>The analysis of sections of chapter 107 of such title is
			 amended by striking the item relating to section 10706 and insert the
			 following:</text>

				</paragraph></subsection></section><section id="HC91B48C8C0164A9D879F5939B82AFC3E"><enum>4.</enum><header>Clarifications regarding
			 applicability of regulatory doctrines</header>
			<subsection id="H0282451B135A4D57B9BE875223AD6538"><enum>(a)</enum><header>Filed rate
			 doctrine</header><text display-inline="yes-display-inline">The antitrust laws
			 shall apply to a rail carrier (as defined in section 10102 of title 49 of the
			 United States Code), without regard to whether such rail carrier filed a rate
			 or whether a complaint challenging a rate is filed.</text>
			</subsection><subsection id="H46C141C347B04BCF9CD559D08A327780"><enum>(b)</enum><header>Doctrine of primary
			 jurisdiction</header><text>In any civil action under the antitrust laws against
			 a rail carrier (as defined in section 10102 of title 49 of the United States
			 Code), the district court shall retain the discretion to defer to the
			 jurisdiction of the Surface Transportation Board.</text>
			</subsection><subsection id="H4FB391747DDC4DDBAF749936F8301E62"><enum>(c)</enum><header>Definition</header><text display-inline="yes-display-inline">For purposes of subsections (a) and (b),
			 the term <quote>antitrust laws</quote> has the meaning given it in subsection
			 (a) of the 1st section of the Clayton Act (15 U.S.C. 12(a)), but includes
			 section 5 of the Federal Trade Commission Act to the extent such section 5
			 applies to unfair methods of competition.</text>
			</subsection></section><section id="HCC7054C71A6C47F6A826410B9C4F1011"><enum>5.</enum><header>Effective date</header>
			<subsection id="H413AC25CF5E24F6F95BBF374EF47E5C7"><enum>(a)</enum><header>In
			 general</header><text>Except as provided in subsections (b) and (c), this Act
			 and the amendments made by this Act shall take effect on the date of enactment
			 of this Act.</text>
			</subsection><subsection id="H98B0B8C7B52E44AC92B3092718AB23A6"><enum>(b)</enum><header>Limitation</header><text>No
			 civil action under the antitrust laws may be filed with respect to any conduct
			 or activity, including any agreement or provision thereof, that—</text>
				<paragraph id="H9B5479B820EA49C0965C88E03E7333D3"><enum>(1)</enum><text>concluded or terminated
			 before the expiration of the 180-day period beginning on the date of the
			 enactment of this Act, and</text>
				</paragraph><paragraph id="H84DFB31A4B9C439DBB0BFE0CA026A453"><enum>(2)</enum><text>was exempted by statute
			 from the antitrust laws as the result of an order of the Interstate Commerce
			 Commission or the Surface Transportation Board issued before the date of the
			 enactment of this Act.</text>
				</paragraph></subsection><subsection id="H470B01210877447F8843B0A256199E02"><enum>(c)</enum><header>Exclusion</header><text>No
			 civil action under the antitrust laws may be filed for the purpose of
			 dissolving or otherwise undoing any merger, acquisition, or transfer of control
			 consummated before the date of the enactment of this Act that was exempted by
			 statute from the antitrust laws as the result of an order described in
			 subsection (b)(2).</text>
			</subsection><subsection id="H537108F3A6BC4DAF9E1FECE837CD22E4"><enum>(d)</enum><header>Definition</header><text>For
			 purposes of subsections (b) and (c), the term <quote>antitrust laws</quote> has
			 the meaning given it in subsection (a) of the 1st section of the Clayton Act
			 (15 U.S.C. 12(a)), but includes section 5 of the Federal Trade Commission Act
			 (15 U.S.C. 45) to the extent such section 5 applies to unfair methods of
			 competition.</text>
