<official-title>To amend title I of the Employee Retirement Income Security Act of 1974 to provide for independent investment advice for participants and beneficiaries under individual account plans.</official-title>

<section id="HE616C56F8C60456D9883B3E5A5F3EE11" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Conflicted Investment Advice Prohibition Act of 2009</short-title></quote>.</text> </section>
<section id="H8DDA6453E49A41D9A8DF5F6CBA3B83FA"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">The Congress finds as follows:</text> 
<paragraph id="H71A7FFA395CB40EAB35B25758DCCCD06"><enum>(1)</enum><text display-inline="yes-display-inline">The market downturn of 2008 had a devastating effect on the retirement security income of millions of American workers.</text> </paragraph>
<paragraph id="HE3864BCE9110486A95CC52F6E6078792"><enum>(2)</enum><text>According to the Congressional Budget Office, $2 trillion of Americans’ retirement savings was wiped out over a 15-month period starting in 2008.</text> </paragraph>
<paragraph id="H2D185F4770A24D279F5B2B2457392AD2"><enum>(3)</enum><text>According to Congressional Budget Office estimates, the value of pension funds and retirement accounts dropped by roughly $1 trillion last year.</text> </paragraph>
<paragraph id="HDBDFC9F936CF41F98CA674C6770D8BCD"><enum>(4)</enum><text>Individual average losses of participants in 401(k) plans ranged from 7.2 percent to 11.2 percent in the first nine months of 2008, according to an Employee Benefit Research Institute analysis of 2.2 million retirements account participants.</text> </paragraph>
<paragraph id="H0A9F06D4F467415F9EC1E818066D40B1"><enum>(5)</enum><text>During the first nine months of 2008, stocks were down, with the S&amp;P 500 index losing more than 19 percent. With over two-thirds of the assets in 401(k)-style defined contribution plans invested in equities, either directly or through mutual funds, participants are exposed to increased risk and lack meaningful access to independent investment advise to help them better plan for their retirement.</text> </paragraph>
<paragraph id="HDDA677BDD9C448DC888240B8C8A408BA"><enum>(6)</enum><text>Currently, 401(k) plan account holders have access to a self-interested or conflicted investment adviser.</text> </paragraph>
<paragraph id="H256DD73A3AC249FF8BFFE7B946BD57FB"><enum>(7)</enum><text>In 2007, the Government Accountability Office concluded that conflicts of interest can have an adverse affect on defined benefit and defined contribution plans.</text> </paragraph></section>
<section id="HAAB66D51B1FB440484C26C5ECF55591E"><enum>3.</enum><header>Independent investment advisers for individual account plans</header> 
<subsection id="HEB142C33946A4307B0EF2DB5BF8CB403"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 3 of the Employee Retirement Income Security Act of 1974 (29 U.S.C. 1002) is amended by adding at the end the following new paragraph:</text>

<paragraph id="H8A32B2A3EB1C4187AEDBC9CEBAF312B0"><enum>(43)</enum><header>Independent investment adviser</header> 
<subparagraph id="HBF6726B708E84C059600D7DDE4B70A05"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The term <term>independent investment adviser</term> means, with respect to an individual account plan that permits a participant or beneficiary to direct the investment of assets in their individual account, a person who is a fiduciary of the plan by reason of the provision of investment advice referred to in section 3(21)(A)(ii) by the person to the plan or a participant or beneficiary of the plan and who meets the requirements of either subparagraph (B) or (C).</text> </subparagraph>
<subparagraph id="H6782A05270B944B695B8AD2B2C168020"><enum>(B)</enum><header>Requirements applicable to investment adviser</header><text>An investment adviser meets the requirements of this subparagraph, if—</text> 
<clause id="HED54C494411046F48C4D76B3D7BB094A"><enum>(i)</enum><text>such adviser is—</text> 
<subclause id="HCDCDD3EFEA524307BA4AFF09A1414EDE"><enum>(I)</enum><text>registered as an investment adviser under the Investment Advisers Act of 1940 (15 U.S.C. 80b–1 et seq.) or under the laws of the State in which the adviser maintains its principal office and place of business,</text> </subclause>
<subclause id="H7C650E7DBAB542AFA2C8094EA75730FA"><enum>(II)</enum><text>a bank or similar financial institution referred to in section 408(b)(4) or a savings association (as defined in section 3(b)(1) of the Federal Deposit Insurance Act (12 U.S.C. 1813(b)(1))), but only if the investment advice referred to in section 3(21)(A)(ii) which is provided by such bank or institution is provided through a trust department of the bank or similar financial institution or savings association which is subject to periodic examination and review by Federal or State banking authorities, or</text> </subclause>
<subclause id="H1037F243F27B48CE9F4F39123AAF574C"><enum>(III)</enum><text>any other person, but only if every individual providing the investment advice referred to in section 3(21)(A)(ii) on behalf of such person (or on behalf of any affiliate thereof) is a registered representative,</text> </subclause></clause>
<clause id="H19A9129276ED45B09D5A02F1D392CA41"><enum>(ii)</enum><text>such adviser (and any affiliate thereof) does not provide or manage any investments in which plan assets of any individual account plan is invested,</text> </clause>
<clause id="H6C59BEF65D85494CB86F46330D44042A"><enum>(iii)</enum><text>the fees or other compensation received, directly or indirectly, by such adviser (and any affiliate thereof) with respect to the provision of investment advice to any individual account plan or the participants or beneficiaries of such a plan either—</text> 
<subclause id="H24702E422A8B4057ADBEAAF2BD696E2D"><enum>(I)</enum><text>are not received from any person or persons (or anyone affiliated with such persons) that market, sell, manage or provide investments in which plan assets of any individual account plan are invested, or</text> </subclause>
<subclause id="HA3707F4EC06F40F399785A43082F390D"><enum>(II)</enum><text>do not vary depending on the basis of any investment option selected, and are calculated pursuant to one or more of the following bases—</text> 
<item id="H9E9F72639E4D482BB6B34D9A04DD1BBA"><enum>(aa)</enum><text>a flat-dollar basis,</text> </item>
<item id="H9184140DAF2447F688CECEFD89F8B53F"><enum>(bb)</enum><text>a flat percentage of total plan assets basis, or</text> </item>
<item id="HE5135CA518524DD8B22AF08A88743DB5"><enum>(cc)</enum><text>a per-participant basis, and</text> </item></subclause></clause>
<clause id="HC04037D194BD439F8AD503F4877BAE28"><enum>(iv)</enum><text>such adviser provides the investment advice pursuant to a written arrangement with the individual account plan that—</text> 
<subclause id="H1528625B2A274A52A30AB073D6CCD793"><enum>(I)</enum><text>provides that the investment adviser is a fiduciary of the plan with respect to the provision of the advice,</text> </subclause>
<subclause id="H0A2C2F6906BB4483A9C6FA3B99B417C9"><enum>(II)</enum><text>requires that the advice be provided only by registered representatives of the investment adviser or an affiliate thereof,</text> </subclause>
<subclause id="HB5F3CD6608DF411B892B872C66FC2EFD"><enum>(III)</enum><text>discloses whether the investment adviser or any affiliate thereof has any material financial, referral, or other relationship or arrangement with a money manager, broker, other client of the investment adviser or any affiliate thereof, other service provider to the plan, or any other entity that creates or may create a conflict of interest for the investment adviser in performing services pursuant to the arrangement with the plan and, if so, includes a description of such relationship or arrangement,</text> </subclause>
<subclause id="H316BAC710CC944068D1517FAB5E7CCB6"><enum>(IV)</enum><text>includes a representation by the investment adviser that, before the arrangement was entered into (or extended or renewed), the investment adviser provided to the plan fiduciary that has authority to cause the employee benefit plan to enter into (or extend or renew) the arrangement a written statement disclosing all fees or other compensation that the investment adviser or any affiliate thereof anticipates to receive with respect to the advice during the first year, or other period if less than a year, of the arrangement, and</text> </subclause>
<subclause id="H44789A27479D4D8E92ED9C820E37362D"><enum>(V)</enum><text>provides that the investment adviser will provide to such plan fiduciary (and the participant and beneficiary receiving the advice, if applicable) a statement annually disclosing all fees or other compensation that the investment adviser or any affiliate thereof has received with respect to the advice during the prior year.</text> </subclause></clause></subparagraph>
<subparagraph id="H07F549129AAD4FB288FCE187117323B9"><enum>(C)</enum><header>Advice provided to participants and beneficiaries under an investment advice program meeting requirements</header><text>An investment adviser meets the requirements of this subparagraph if the investment advice provided by the adviser, to the extent that such advice is provided to participants and beneficiaries of individual account plans, is provided under an investment advice program with respect to which the requirements of clauses (i) through (x) are met.</text> 
<clause id="HDD5197F680B742939BFB90459B5A7BB9"><enum>(i)</enum><header>Adviser requirements</header><text>The requirements of this clause are met if the investment adviser providing the investment advice under the program is—</text> 
<subclause id="H9EE87BB1899F41F69646C8262177BD29"><enum>(I)</enum><text>described in subclauses (I) or (II) of subparagraph (B)(i),</text> </subclause>
<subclause id="HE923421FE8DC4B7D94EBEEB0891C994A"><enum>(II)</enum><text>an insurance company qualified to do business under the laws of a State,</text> </subclause>
<subclause id="H4FF39788DB74463F8B7B72452D3AC354"><enum>(III)</enum><text>a person registered as a broker or dealer under the Securities Exchange Act of 1934 (15 U.S.C. 78a et seq.),</text> </subclause>
<subclause id="HA109B6CBC2B24C8495EF79FB2B927A69"><enum>(IV)</enum><text>an affiliate of a person described in any of subclauses (I) through (III), or</text> </subclause>
<subclause id="H5B20857357D34847B6DD5D5822079E37"><enum>(V)</enum><text>an employee, agent, or registered representative of a person described in subclauses (I) through (IV) who satisfies the requirements of applicable insurance, banking, and securities laws relating to the provision of the advice.</text> </subclause></clause>
<clause id="H0215714B940447569017306BFD179BA2"><enum>(ii)</enum><header>Computer model</header><text>The requirements of this clause are met if the investment advice provided under the investment advice program is provided pursuant to a computer model that—</text> 
<subclause id="HE4B5005F83274155976C85C74024601B"><enum>(I)</enum><text>applies generally accepted investment theories that take into account the historic returns of different asset classes over defined periods of time,</text> </subclause>
<subclause id="H2F206D82077344B1AC9421C8784C3D3A"><enum>(II)</enum><text>utilizes relevant information about the participant, which may include age, life expectancy, retirement age, risk tolerance, other assets or sources of income, and preferences as to certain types of investments,</text> </subclause>
<subclause id="H6F4CB5ABF98A40EC99EF5B2EACC23BEC"><enum>(III)</enum><text>utilizes prescribed objective criteria to provide asset allocation portfolios comprised of investment options available under the plan,</text> </subclause>
<subclause id="H7ED09152D8F74AECAC47C7A3B87F965B"><enum>(IV)</enum><text>operates in a manner that is not biased in favor of investments offered by the investment adviser or any person with a material affiliation or contractual relationship with the investment adviser, and</text> </subclause>
<subclause id="H93BA068B33C547978D8E66E34C117B7F"><enum>(V)</enum><text>takes into account all investment options under the plan in specifying how a participant's account balance should be invested and is not inappropriately weighted with respect to any investment option.</text> </subclause></clause>
<clause id="H546AF8DDD32146C6B54BE3193309CCDA"><enum>(iii)</enum><header>Certification</header> 
<subclause id="HA3243E8123894FCC9569F23ACB535F13"><enum>(I)</enum><header>In general</header><text>The requirements of this clause are met with respect to the program if an eligible investment expert certifies, prior to the utilization of the computer model and in accordance with rules prescribed by the Secretary, that the computer model meets the requirements of clause (ii).</text> </subclause>
<subclause id="H797B27DBFB99455580ABF10B8ED56B91"><enum>(II)</enum><header>Renewal of certifications</header><text>If, as determined under regulations prescribed by the Secretary, there are material modifications to the computer model, the requirements of this subparagraph are met only if a certification described in subclause (I) is obtained with respect to the computer model as so modified.</text> </subclause>
<subclause id="H8F4044A94ACB4AF58EE4292EBBE72B1C"><enum>(III)</enum><header>Eligible investment expert</header><text>For purposes of this clause, the term ‘eligible investment expert’ means any person—</text> 
<item id="H73AD034575F247199B89B9A6FA016903"><enum>(aa)</enum><text>which meets such requirements as the Secretary may provide, and</text> </item>
<item id="H529754D740D44DB089B00C373B998958"><enum>(bb)</enum><text>does not bear any material affiliation or contractual relationship with any investment adviser or a related person thereof (or any employee, agent, or registered representative of the investment adviser or related person).</text> </item></subclause></clause>
<clause id="HA2B6AF66EDF841AF9DA0FB2BB4430ABD"><enum>(iv)</enum><header>Exclusivity of recommendation</header><text>The requirements of this clause are met with respect to the program, if—</text> 
<subclause id="HB7DFF2632D594106B2A4DD752B4DCE7F"><enum>(I)</enum><text>the only investment advice provided under the program is the advice generated by the computer model described in clause (ii), and</text> </subclause>
<subclause id="H79F08DD11F7949AA96FDE55DC4DAC02F"><enum>(II)</enum><text>any transaction pursuant to the investment advice occurs solely at the direction of the participant or beneficiary.</text> </subclause></clause>
<clause id="H63C808DA1F8141DDB5BBC5EA128B74E5"><enum>(v)</enum><header>Express authorization by separate fiduciary</header><text>The requirements of this clause are met with respect to the program if the program is expressly authorized by a plan fiduciary other than—</text> 
<subclause id="HFF04B69A97BE43938F5D73A3D276513C"><enum>(I)</enum><text>the person offering the program,</text> </subclause>
<subclause id="H17EC5B1D89BB437C834432BD4069FAA9"><enum>(II)</enum><text>any person providing investment options under the plan, and</text> </subclause>
<subclause id="HEDC0CA2618984E46B0CBDDFD8ACCD6C3"><enum>(III)</enum><text>any affiliate of either person described in subclause (I) or (II).</text> </subclause></clause>
<clause id="H57B8753FF77D426996D410C633028437"><enum>(vi)</enum><header>Annual audit</header><text>The requirements of this clause are met with respect to the program if an independent auditor, who has appropriate technical training or experience and proficiency and so represents in writing—</text> 
<subclause id="HFB7247D61FE245BBB10426144DE43877"><enum>(I)</enum><text>conducts an annual audit of the program for compliance with the requirements of this subparagraph, and</text> </subclause>
<subclause id="H2F4542A488C6439D844BB2EC937C054D"><enum>(II)</enum><text>following completion of the annual audit, issues a written report to the fiduciary who authorized use of the program which presents its specific findings regarding compliance of the program with the requirements of this subsection.</text> </subclause><continuation-text continuation-text-level="clause">For purposes of this clause, an auditor is considered independent if it is not related to the person offering the program to the plan and is not affiliated with any person providing investment options under the plan.</continuation-text></clause>
<clause id="H69F766080AC04F4A9734E8F023C31275"><enum>(vii)</enum><header>Disclosure</header><text>The requirements of this clause are met with respect to the program, if—</text> 
<subclause id="HD7565B874025451FAA7C9698918755B2"><enum>(I)</enum><text>the investment adviser provides to the participant or beneficiary receiving investment advice under the program with regard to any security or other property offered as an investment option, before providing the advice, a written notification (which may consist of notification by means of electronic communication)—</text> 
<item id="H5DF7187900A5495AB9A6154F413E5C74"><enum>(aa)</enum><text>of the role of any party that has a material affiliation or contractual relationship with the investment adviser in the development of the investment advice program and in the selection of investment options available under the plan,</text> </item>
<item id="HB68975837B44472FAE03412EEBA8F474"><enum>(bb)</enum><text>of all fees or other compensation relating to the advice that the investment adviser or any affiliate thereof is to receive (including compensation provided by any third party) in connection with the provision of the advice or in connection with the sale, acquisition, or holding of the security or other property,</text> </item>
<item id="HB96F2FE23F3A4457BEAD54B128134F93"><enum>(cc)</enum><text>of any material affiliation or contractual relationship of the investment adviser or affiliates thereof in the security or other property,</text> </item>
<item id="HA5DC674E42294ADB93BB1D7CC141196A"><enum>(dd)</enum><text>of the manner, and under what circumstances, any information relating to the participant or beneficiary which is provided under the program will be used or disclosed,</text> </item>
<item id="H569A2DFA2FCC48BCA4E63207EA0D0377"><enum>(ee)</enum><text>of the types of services provided by the investment adviser in connection with the provision of investment advice by the investment adviser, and</text> </item>
<item id="H47A2774879D94B2E86065660AAE16418"><enum>(ff)</enum><text>that a recipient of the advice may separately arrange for the provision of advice by another adviser, that could have no material affiliation with, and could receive no fees or other compensation, in connection with the security or other property, and</text> </item></subclause>
<subclause id="H564DE339FADF4C6DAD6D989420DB971E"><enum>(II)</enum><text>at all times during the provision of advisory services to the participant or beneficiary, the investment adviser—</text> 
<item id="H680C13BA4EA24082BEF6C02C3EE22F01"><enum>(aa)</enum><text>maintains the information described in subclause (I) in accurate form and in the manner described in clause (ix),</text> </item>
<item id="H458545B14EA94D82A6E2559425305487"><enum>(bb)</enum><text>provides, without charge, accurate information to the recipient of the advice no less frequently than annually,</text> </item>
<item id="H7872D3BED9C34915B7DB9E51B0454983"><enum>(cc)</enum><text>provides, without charge, accurate information to the recipient of the advice upon request of the recipient, and</text> </item>
<item id="HA1C0C3119B85440CBC0A987834EC2030"><enum>(dd)</enum><text>provides, without charge, accurate information to the recipient of the advice concerning any material change to the information required to be provided to the recipient of the advice at a time reasonably contemporaneous to the change in information.</text> </item></subclause></clause>
<clause id="H4831231BF6C64F26AA54F8F46C4FBFFA"><enum>(viii)</enum><header>Other conditions</header><text>The requirements of this clause are met with respect to the program, if—</text> 
<subclause id="H6DC2E398CD1842E6841BA367B1A2D3EF"><enum>(I)</enum><text>the investment adviser provides appropriate disclosure, in connection with the sale, acquisition, or holding of the security or other property with respect to which the investment advice is provided under the program, in accordance with all applicable securities laws,</text> </subclause>
<subclause id="H0E40AE194BD0499CB1972D0F2231CFDE"><enum>(II)</enum><text>the sale, acquisition, or holding occurs solely at the direction of the recipient of the advice,</text> </subclause>
<subclause id="H79FD09E6F707418789EEA37F8F167CE9"><enum>(III)</enum><text>the compensation received by the investment adviser and affiliates thereof in connection with the sale, acquisition, or holding of the security or other property is reasonable, and</text> </subclause>
<subclause id="H3B09FF00A00147978591C7E754C2D2A9"><enum>(IV)</enum><text>the terms of the sale, acquisition, or holding of the security or other property are at least as favorable to the plan as an arm's length transaction would be.</text> </subclause></clause>
<clause id="H5C0AE91698BC40ECB907774CC6C20DEE"><enum>(ix)</enum><header>Standards for presentation of information</header> 
<subclause id="HC2BEC6ABD4874A64AFF35ED519677AEF"><enum>(I)</enum><header>In general</header><text>The requirements of this clause are met with respect to the program if the notification required to be provided to participants and beneficiaries under clause (vii)(I) is written in a clear and conspicuous manner and in a manner calculated to be understood by the average plan participant and is sufficiently accurate and comprehensive to reasonably apprise such participants and beneficiaries of the information required to be provided in the notification.</text> </subclause>
<subclause id="H64D8D7FEE9594D2088C89496260D7A61"><enum>(II)</enum><header>model form for disclosure of fees and other compensation</header><text>The Secretary shall issue a model form for the disclosure of fees and other compensation required in clause (vii)(I)(bb) which meets the requirements of subclause (I).</text> </subclause></clause>
<clause id="H5D61DBEA3102423C8DE1144F4E197F09"><enum>(x)</enum><header>Maintenance for 6 years of evidence of compliance</header><text>The requirements of this clause are met with respect to the program if the investment adviser who provides advice under the program maintains, for a period of not less than 6 years after the provision of the advice, any records necessary for determining whether the requirements of the preceding provisions of this subparagraph and of subsection (b)(14) have been met. A transaction prohibited under section 406 shall not be considered to have occurred solely because the records are lost or destroyed prior to the end of the 6-year period due to circumstances beyond the control of the investment adviser.</text> </clause></subparagraph>
<subparagraph id="H83B094D318B145869B267FDA12DEC27E"><enum>(D)</enum><header>Definitions</header><text>For purposes of this paragraph—</text> 
<clause id="H9C91B995C37847F2994C79DD46C12BD4"><enum>(i)</enum><header>Affiliate</header><text>The term <quote>affiliate</quote> of an investment adviser means any person directly or indirectly (through one or more intermediaries) controlling, controlled by, or under common control with the investment adviser, or any officer, director, agent, or employee of, or partner with, the investment adviser.</text> </clause>
<clause id="H67BFDDC020B74B37AD57317E57263586"><enum>(ii)</enum><header>Registered representative</header><text>The term <quote>registered representative</quote> of another entity means a person described in section 3(a)(18) of the Securities Exchange Act of 1934 (15 U.S.C. 78c(a)(18)) (substituting the entity for the broker or dealer referred to in such section) or a person described in section 202(a)(17) of the Investment Advisers Act of 1940 (15 U.S.C. 80b–2(a)(17)) (substituting the entity for the investment adviser referred to in such section).</text> </clause>
<clause id="H5BC3CB11F39A434AB717658D9253605F"><enum>(iii)</enum><header>Fees or other compensation</header><text>The term <quote>fees or other compensation</quote> includes money or any other thing of monetary value (for example, gifts, awards, and trips) received, or to be received, directly from the plan or plan sponsor or indirectly (i.e., from any source other than the plan or the plan sponsor) by the investment adviser or any affiliate thereof in connection with the advice to be provided pursuant to the arrangement or because of the investment adviser's or any affiliate's position with the plan. Fees or other compensation may be expressed in terms of a monetary amount, percentage of the plan's assets, or per capita charge for each participant or beneficiary of the plan. The manner in which compensation or fees are expressed shall contain sufficient information to enable the plan fiduciary to evaluate the reasonableness of such compensation or fees.</text> </clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </subsection>
<subsection id="H129950ACAA4D465EAE23BDB328C0E699"><enum>(b)</enum><header>Fiduciary duties with respect to investment advice</header><text>Section 404(a) of such Act (29 U.S.C. 1104(a)) is amended by adding at the end the following new paragraph:</text>

<paragraph id="HCB51061F9A90461AB5025BA736C77FB1" indent="up1"><enum>(3)</enum>
<subparagraph commented="no" display-inline="yes-display-inline" id="H430A76BAC64C464B8CD8E773FD2982C4"><enum>(A)</enum><text>The fiduciary of an individual account plan that permits a participant or beneficiary to direct the investment of assets in the individual account shall not appoint, contract with, or otherwise arrange for an investment adviser to provide investment advice referred to in section 3(21)(A)(ii) to the plan or the participant or beneficiary unless the investment adviser is an independent investment adviser (as defined in section 3(43)(A)).</text> </subparagraph>
<subparagraph id="H1ECAF19FE1E743A88D2F7B68AE559CAB" indent="up1"><enum>(B)</enum><text>The independent investment adviser providing investment advice to a plan or to a participant or beneficiary shall provide, before the initial provision of the advice, a written notification (which may consist of notification by means of electronic communication)—</text> 
<clause id="H75F00A1CD4CB430AA5D6027E81510C3F"><enum>(i)</enum><text>of the past performance and historical rates of return of the investment options available with respect to the plan and comparisons of such options to relevant benchmarks, and</text> </clause>
<clause id="H6C22B44A4A2B47779F39BBA5AC0C15A2"><enum>(ii)</enum><text>that the investment adviser is acting as a fiduciary of the plan in connection with the provision of the advice.</text> </clause></subparagraph>
<subparagraph id="H145E2155F9F84F01ABE5786794916A95" indent="up1"><enum>(C)</enum><text>Nothing in this paragraph shall be construed to exempt a plan sponsor or other person who is a fiduciary from any requirement of this part for the prudent selection and periodic review of an independent investment adviser with whom the plan sponsor or other person enters into an arrangement for the provision of investment advice referred to in section 3(21)(A)(ii). The plan sponsor or other person who is a fiduciary has no duty under this part to monitor the specific investment advice given by the independent investment adviser to any particular recipient of the advice.</text> </subparagraph>
<subparagraph id="HE2DD229B55C04E2483FA4542BB5FE8CE" indent="up1"><enum>(D)</enum><text>Nothing in this part shall be construed to preclude the use of plan assets to pay for reasonable expenses in providing investment advice referred to in section 3(21)(A)(ii).</text> </subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </subsection>
<subsection id="H13166754B76045FB943D6493C299C88F"><enum>(c)</enum><header>Conforming amendments</header><text>Section 408 of such Act (29 U.S.C. 1108) is amended—</text> 
<paragraph id="H9DCAE808055A417CBCD3F6D3E58474AB"><enum>(1)</enum><text>by striking subsection (g); and</text> </paragraph>
<paragraph id="H750E8E5C26874F2B85A5349B2D13DF70"><enum>(2)</enum><text>by striking subsection (b)(14)(B) and inserting the following:</text> 
<quoted-block display-inline="no-display-inline" id="HE6DFB3B053AF49819E671F7CEA0DDEDC" style="traditional"> 
<subparagraph id="H0B603D3B1FFC40DBA54A35071838372B"><enum>(B)</enum><text display-inline="yes-display-inline">the investment advice is provided by an independent investment adviser (as defined in section 3(43)).</text> </subparagraph><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection>
<subsection id="H6A15C24598074CE6BC5AE3C02AB292D4"><enum>(d)</enum><header>Regulatory authority</header><text display-inline="yes-display-inline">The Secretary of Labor may issue regulations providing that an investment adviser can still be considered as meeting the requirements of section 3(43)(B) of the Employee Retirement Income Security Act of 1974 despite the receipt of a de minimus amount of compensation that fails to meet the requirements of section 3(43)(B)(iii) of such Act due to the existence of previously existing contracts.</text> </subsection>
<subsection id="HE7D9C1A750D44362B4E5C192F013AE67"><enum>(e)</enum><header>Effective date</header><text display-inline="yes-display-inline">The amendments made by this section shall apply to plan years beginning after one year after the date of the enactment of this Act.</text> </subsection></section>
