<official-title>To amend the Emergency Economic Stabilization Act of 2008 to prohibit the Secretary of the Treasury from receiving common stock or certain other voting stock under the Troubled Asset Relief Program, and for other purposes.</official-title>

<section id="HA56C9FAD7F8A42E58911EFD2373FBD66" section-type="section-one"><enum>1.</enum><header>Prohibition on the receipt of common stock and the exercise of stock voting power</header><text display-inline="no-display-inline">Title I of the Emergency Economic Stabilization Act of 2008 is amended by adding at the end the following new section:</text>

<section id="H3C6CDA820782451EBB5D741C96AC9595"><enum>137.</enum><header>Prohibition on the receipt of common stock and the exercise of stock voting power</header> 
<subsection id="H67CF005D169B4FD085B935F34D707E77"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Notwithstanding any other provision of this title, in carrying out this title the Secretary shall not make any purchase for which the Secretary receives control-diluting stock.</text> </subsection> 
<subsection id="H33D5B02573434EEF882DC38874A70F6C"><enum>(b)</enum><header>Application</header><text display-inline="yes-display-inline">Subsection (a) shall apply to purchases made by the Secretary under this title on or after the date of the enactment of this section.</text></subsection> 
<subsection id="H58DC3F5A89D94C62BFC1742D557C0A57"><enum>(c)</enum><header>Conversion of certain securities received by the Secretary</header><text display-inline="yes-display-inline">Notwithstanding any other provision of this title, the Secretary shall not convert any security received by the Secretary under this title, other than a warrant, into control-diluting stock.</text></subsection> 
<subsection id="H233C2CD1B54C4C5FB2BEF3706CAB2479"><enum>(d)</enum><header>Control-diluting stock defined</header><text>For purposes of this section, the term <quote>control-diluting stock</quote> means—</text> 
<paragraph id="H09B7E79176BC460FBA3285CF782D267D"><enum>(1)</enum><text>common stock of a financial institution;</text></paragraph> 
<paragraph id="H351775A3C45B48769D2745EE00184AB2"><enum>(2)</enum><text>any other voting stock of a financial institution, other than voting stock that the Secretary agrees not to exercise the voting power of such stock; or</text></paragraph> 
<paragraph id="H553C8048DCA94A5888136EF43682092D"><enum>(3)</enum><text>a warrant giving the right to the Secretary to receive stock described in paragraph (1) or (2).</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block></section>
