		<section commented="no" display-inline="no-display-inline" id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Oil Industry Merger Antitrust
			 Enforcement Act</short-title></quote>.</text>
		</section><section commented="no" display-inline="no-display-inline" id="id5EF7A05BFB19466CB970B4AAC5C5F9F9" section-type="subsequent-section"><enum>2.</enum><header>Statement of findings
			 and declarations of purposes</header>
			<subsection commented="no" display-inline="no-display-inline" id="idFC9A604235474EC8AFD8F3284807440E"><enum>(a)</enum><header>Findings</header><text display-inline="yes-display-inline">Congress finds the following:</text>
				<paragraph commented="no" display-inline="no-display-inline" id="IDde9bc6179db549189d13afab9d449a9d"><enum>(1)</enum><text display-inline="yes-display-inline">American consumers are suffering from
			 excessively high prices for gasoline, natural gas, heating oil, and other
			 energy products.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID6efb810cb8d84f0c9f35e0aa0167c4e2"><enum>(2)</enum><text display-inline="yes-display-inline">These excessively high energy prices have
			 been caused, at least in substantial part, by undue concentration among
			 companies involved in the production, refining, distribution, and retail sale
			 of oil, gasoline, natural gas, heating oil, and other petroleum-related
			 products.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID5648915c97c84cfd87657ebb6cde639b"><enum>(3)</enum><text display-inline="yes-display-inline">There has been a sharp consolidation caused
			 by mergers and acquisitions among oil companies over the last decade, and the
			 antitrust enforcement agencies (the Federal Trade Commission and the Department
			 of Justice Antitrust Division) have failed to employ the antitrust laws to
			 prevent this consolidation, to the detriment of consumers and competition. This
			 consolidation has caused substantial injury to competition and has enabled the
			 remaining oil companies to gain market power over the sale, refining, and
			 distribution of petroleum-related products.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID3c6121ab94574326bcf004e7c934387b"><enum>(4)</enum><text display-inline="yes-display-inline">The demand for oil, gasoline, and other
			 petroleum-based products is highly inelastic so that oil companies can easily
			 utilize market power to raise prices.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID119234eea6a1485fb33fd6eec9b60255"><enum>(5)</enum><text display-inline="yes-display-inline">Maintaining competitive markets for oil,
			 gasoline, natural gas, and other petroleum-related products is in the highest
			 national interest.</text>
				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="IDb6aef7fe769b48669c2abcb8f3965d01"><enum>(b)</enum><header>Purposes</header><text display-inline="yes-display-inline">The purposes of this Act are to—</text>
				<paragraph commented="no" display-inline="no-display-inline" id="ID9aab9a7256a84edeae376dcb2becf1d6"><enum>(1)</enum><text display-inline="yes-display-inline">ensure vigorous enforcement of the
			 antitrust laws in the oil industry;</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID3fcb5dbe60ef49deb2806712ac395b09"><enum>(2)</enum><text display-inline="yes-display-inline">restore competition to the oil industry and
			 to the production, refining, distribution, and marketing of gasoline and other
			 petroleum-related products; and</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID083f0df42e3f47c2bd0a75c1dd2e7725"><enum>(3)</enum><text display-inline="yes-display-inline">prevent the accumulation and exercise of
			 market power by oil companies.</text>
				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="ID38add870ae9542d7adbb8df41e647379" section-type="subsequent-section"><enum>3.</enum><header>Burden of
			 proof</header><text display-inline="no-display-inline">Section 7 of the Clayton
			 Act (15 U.S.C. 18) is amended by adding at the end the following:</text>
			<quoted-block display-inline="no-display-inline" id="id65BE1CFF6512486AA7557D40B8433B94" style="OLC">
				<subsection commented="no" display-inline="no-display-inline" id="id88B7E10580AF40FB9BC38B6C4CF2EC2E"><enum></enum><text display-inline="yes-display-inline">In any civil action brought against any
				person for violating this section in which the plaintiff—</text>
					<paragraph commented="no" display-inline="no-display-inline" id="id7242C77358E84BFBB991219D41175AB6"><enum>(1)</enum><text display-inline="yes-display-inline">alleges that the effect of a merger,
				acquisition, or other transaction affecting commerce may be to substantially
				lessen competition, or to tend to create a monopoly, in the business of
				exploring for, producing, refining, or otherwise processing, storing,
				marketing, selling, or otherwise making available petroleum, oil, or natural
				gas, or products derived from petroleum, oil, or natural gas; and</text>
					</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id575AA68CA73049BCA9BB5D2E0D8A98F6"><enum>(2)</enum><text display-inline="yes-display-inline">establishes that a merger, acquisition, or
				transaction is between or involves persons competing in the business of
				exploring for, producing, refining, or otherwise processing, storing,
				marketing, selling, or otherwise making available petroleum, oil, or natural
				gas, or products derived from petroleum, oil, or natural gas;</text>
					</paragraph><continuation-text commented="no" continuation-text-level="subsection">the burden of proof shall be on the
				defendant or defendants to establish by a preponderance of the evidence that
				the merger, acquisition, or transaction at issue will not substantially lessen
				competition or tend to create a
				monopoly.</continuation-text></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section commented="no" display-inline="no-display-inline" id="IDa7592f63e5824269bcd93cc9fb0f4d53" section-type="subsequent-section"><enum>4.</enum><header>Ensuring full and free
			 competition</header>
			<subsection commented="no" display-inline="no-display-inline" id="ID8bb40b6df57344b69d1c88fdf27200cc"><enum>(a)</enum><header>Review</header><text display-inline="yes-display-inline">The Federal Trade Commission and the
			 Antitrust Division of the Department of Justice shall jointly review and revise
			 all enforcement guidelines and policies, including the Horizontal Merger
			 Guidelines issued April 2, 1992 and revised April 8, 1997, and the
			 Non-Horizontal Merger Guidelines issued June 14, 1984, and modify those
			 guidelines in order to—</text>
				<paragraph commented="no" display-inline="no-display-inline" id="id51B4A4013FBD4CDDB5D484C6A1B59E7C"><enum>(1)</enum><text display-inline="yes-display-inline">specifically address mergers and
			 acquisitions in oil companies and among companies involved in the production,
			 refining, distribution, or marketing of oil, gasoline, natural gas, heating
			 oil, or other petroleum-related products; and</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idEA2D106E9B1D4D239EBB8E2A1C0F806C"><enum>(2)</enum><text display-inline="yes-display-inline">ensure that the application of these
			 guidelines will prevent any merger and acquisition in the oil industry, when
			 the effect of such a merger or acquisition may be to substantially lessen
			 competition, or to tend to create a monopoly, and reflect the special
			 conditions prevailing in the oil industry described in subsection (b).</text>
				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="IDe5ea790f6f4743cc990424e55abdc97a"><enum>(b)</enum><header>Special
			 conditions</header><text display-inline="yes-display-inline">The guidelines
			 described in subsection (a) shall be revised to take into account the special
			 conditions prevailing in the oil industry, including—</text>
				<paragraph commented="no" display-inline="no-display-inline" id="id66C56CE5CF8D40CE98B35A957069230A"><enum>(1)</enum><text display-inline="yes-display-inline">the high inelasticity of demand for oil and
			 petroleum-related products;</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id997F1106A04A49D8ADB95ED048C70B81"><enum>(2)</enum><text display-inline="yes-display-inline">the ease of gaining market power in the oil
			 industry;</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idD4E1E6D866B049C18562DDBB98C1910D"><enum>(3)</enum><text display-inline="yes-display-inline">supply and refining capacity limits in the
			 oil industry;</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id726FD5CDF09F4246BD8EF90F07177C49"><enum>(4)</enum><text display-inline="yes-display-inline">difficulties of market entry in the oil
			 industry; and</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id85D71EA989AC444FBFBF1FA2D87BB378"><enum>(5)</enum><text display-inline="yes-display-inline">unique regulatory requirements applying to
			 the oil industry.</text>
				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID35ac88cdd27b47078d900e8a965f4151"><enum>(c)</enum><header>Competition</header><text display-inline="yes-display-inline">The review and revision of the enforcement
			 guidelines required by this section shall be completed not later than 6 months
			 after the date of enactment of this Act.</text>
			</subsection><subsection commented="no" display-inline="no-display-inline" id="ID58ab702444534f5e9f86235de504b958"><enum>(d)</enum><header>Report</header><text display-inline="yes-display-inline">Not later than 6 months after the date of
			 enactment of this Act, the Federal Trade Commission and the Antitrust Division
			 of the Department of Justice shall jointly report to the Committee on the
			 Judiciary of the Senate and the Committee on the Judiciary of the House of
			 Representatives regarding the review and revision of the enforcement guidelines
			 mandated by this section.</text>
			</subsection></section><section commented="no" display-inline="no-display-inline" id="IDa266c2fced4e4bd1bdd168e1981bcef7" section-type="subsequent-section"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text>
			<paragraph commented="no" display-inline="no-display-inline" id="IDc268db1e9cc24bb5b8c8ff0907644748"><enum>(1)</enum><header>Oil
			 industry</header><text display-inline="yes-display-inline">The term <term>oil
			 industry</term> means companies and persons involved in the production,
			 refining, distribution, or marketing of oil or petroleum-based products.</text>
			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDb545cbf65c00471bbac17d86e55668e8"><enum>(2)</enum><header>Petroleum-based
			 product</header><text display-inline="yes-display-inline">The term
			 <term>petroleum-based product</term> means gasoline, diesel fuel, jet fuel,
			 home heating oil, natural gas, or other products derived from the refining of
			 oil or petroleum.</text>
