		<section id="idAA1A367BF6124984A4072B355683973C" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>United States Nuclear Fuel Management
			 Corporation Establishment Act of 2008</short-title></quote>.</text>
		</section><section id="id97AE80679A154451BA4DF39962B03530" section-type="subsequent-section"><enum>2.</enum><header>United States Nuclear
			 Fuel Management Corporation</header>
			<subsection id="idD0203C423886472CB8AFDADB360255D3"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">The Atomic Energy Act
			 of 1954 (42 U.S.C. 2011 et seq.) is amended by adding at the end the
			 following:</text>
				<quoted-block display-inline="no-display-inline" id="id32C5305D1A7546A5AE4DE2BF38C0070B" style="OLC">
					<title id="id26554037B4BF467D91835638D4AB4FFA"><enum>III</enum><header>United States
				Nuclear Fuel Management Corporation</header>
						<section id="ID13dbecf3f68a4d7993f20b63c4fb7777"><enum>3001.</enum><header>Purpose</header><text display-inline="no-display-inline">The purpose of this title is to establish a
				corporation—</text>
							<paragraph id="ID2d1dd9cbbf864236bbae6630276f171f"><enum>(1)</enum><text>to manage, on a
				self-sustaining and efficient basis, a spent nuclear fuel enterprise to
				eliminate the need for Federal funding (other than funding provided pursuant to
				this title) for the management of spent nuclear fuel;</text>
							</paragraph><paragraph id="IDd0918ad73cbe44499b3dd88806837011"><enum>(2)</enum><text>to assume
				responsibility for the activities, obligations, and resources of the Federal
				Government with respect to spent nuclear fuel management, including the duties
				and powers of—</text>
								<subparagraph id="id9EA9ED15182E4C1386745CBB7012876B"><enum>(A)</enum><text>the Secretary
				relating to the Nuclear Waste Fund; and</text>
								</subparagraph><subparagraph id="id2A54A03C817040299E90C965CA0D5674"><enum>(B)</enum><text>the Office of
				Civilian Radioactive Waste Management under section 304 of that Act (42 U.S.C.
				10224);</text>
								</subparagraph></paragraph><paragraph id="IDfc328927beaa44c6818c3ccf1e27f8ef"><enum>(3)</enum><text>to ensure in the
				United States—</text>
								<subparagraph id="idDE423F0122A340A48E5CD3724B882B22"><enum>(A)</enum><text>the common
				defense and security; and</text>
								</subparagraph><subparagraph id="id455854FBE0D84835B0D406093BE12602"><enum>(B)</enum><text>the enforcement
				of laws and policies concerning nonproliferation of atomic weapons and other
				nonpeaceful uses of atomic energy;</text>
								</subparagraph></paragraph><paragraph id="ID4658534ebe0e42d3baaa3670e11143e2"><enum>(4)</enum><text>to advance
				technologies and facilities that will recycle spent nuclear fuel into useable
				reactor fuel which will—</text>
								<subparagraph id="ID38bf32786abb42e6ba485e7148fdf567"><enum>(A)</enum><text>address global
				counterproliferation and counterterrorism;</text>
								</subparagraph><subparagraph id="ID9bc36cb38b9f46ef87fef51f1966c52d"><enum>(B)</enum><text>promote efficient
				utilization of nuclear fuel resources; and</text>
								</subparagraph><subparagraph id="ID79bac6d1021946648271dc6387c6c78d"><enum>(C)</enum><text>provide for safe,
				secure disposal of nuclear materials;</text>
								</subparagraph></paragraph><paragraph id="ID2d30ddd2689c4368947d681d6358b9cc"><enum>(5)</enum><text>to maintain a
				reliable and economical domestic source of spent nuclear fuel management
				services and sustain and expand the role of nuclear energy in meeting United
				States requirements for clean, safe, reliable, and affordable energy;</text>
							</paragraph><paragraph id="ID18c047edbfa74d038b2d21dacc630cd4"><enum>(6)</enum><text>to provide spent
				nuclear fuel management and related services to—</text>
								<subparagraph id="id3FBDD923460C4E358499C6B648494E5E"><enum>(A)</enum><text>the Department of
				Energy for governmental purposes; and</text>
								</subparagraph><subparagraph id="IDed71987a498841d5871545a98ef719e8"><enum>(B)</enum><text>domestic persons;
				and</text>
								</subparagraph></paragraph><paragraph id="IDa6480f693f0b486fb39105dabdfbd7b6"><enum>(7)</enum><text>to carry out
				other activities to advance the purposes described in this section.</text>
							</paragraph></section><section id="id320270B4EE6D413993C53013C157D7FB"><enum>3002.</enum><header>Definitions</header><text display-inline="no-display-inline">In this title:</text>
							<paragraph id="ID0e0a2c29cb76431897a84693e95cf6ae"><enum>(1)</enum><header>Board</header><text>The
				term <term>Board</term> means the Board of Directors of the Corporation
				established under section 3103.</text>
							</paragraph><paragraph id="IDc17d8c66ea5343d69f99b31cf9889382"><enum>(2)</enum><header>Corporation</header><text>The
				term <term>Corporation</term> means the United States Spent Nuclear Fuel
				Corporation established by section 3101(a).</text>
							</paragraph><paragraph id="IDfba63a4f411648ad896989a407a2087d"><enum>(3)</enum><header>Corporation
				Fund</header><text>The term <term>Corporation Fund</term> means the United
				States Nuclear Fuel Management Corporation Fund established by section
				3107.</text>
							</paragraph><paragraph id="ID4305b6177d464e41bb5fe559abcffa29"><enum>(4)</enum><header>Decommissioning;
				decontamination</header><text>The terms <term>decommissioning</term> and
				<term>decontamination</term>, with respect to an activity, include any activity
				other than a response action or corrective action carried out for purposes of
				decontaminating or decommissioning a facility for spent nuclear fuel management
				that has residual radioactive or mixed radioactive and hazardous chemical
				contamination (including depleted tailings).</text>
							</paragraph><paragraph id="IDf7f6c099a77047d09c6cd106f2e1ddd1"><enum>(5)</enum><header>Department</header><text>The
				term <term>Department</term> means the Department of Energy.</text>
							</paragraph><paragraph id="id2FDE258FDBE7488998B8D30893656F2A"><enum>(6)</enum><header>Nuclear Waste
				Fund</header><text>The term <term>Nuclear Waste Fund</term> means the Nuclear
				Waste Fund established under section 302 of the Nuclear Waste Policy Act of
				1982 (42 U.S.C. 10222).</text>
							</paragraph><paragraph id="IDb0831c8b2e8e4d1283cd0101f5c5b060"><enum>(7)</enum><header>Secretary</header><text>The
				term <term>Secretary</term> means the Secretary of Energy.</text>
							</paragraph><paragraph id="ID548cd913c5b54a0cba64ac2c83e13f4a"><enum>(8)</enum><header>Spent fuel
				disposal contract</header><text>The term <term>spent fuel disposal
				contract</term> means a contract between the Secretary and a person entered
				into pursuant to section 302(a) of the Nuclear Waste Policy Act of 1982 (42
				U.S.C. 10222(a)).</text>
							</paragraph><paragraph id="ID86c7367649ce4612bf6e8f6639f7503c"><enum>(9)</enum><header>Spent nuclear
				fuel</header><text>The term <term>spent nuclear fuel</term> means any nuclear
				fuel or highly radioactive waste that has been irradiated in a domestic,
				commercial nuclear power reactor pursuant to a spent fuel disposal
				contract.</text>
							</paragraph><paragraph id="ID99aee5a9507948e992bf38d9ecbeec0b"><enum>(10)</enum><header>Spent nuclear
				fuel management</header><text>The term <term>spent nuclear fuel
				management</term> means any activity involving—</text>
								<subparagraph id="id172FC0B28DBE4557B0680ACFF5F0E833"><enum>(A)</enum><text>the storage,
				transportation, reprocessing, processing, treatment, fabrication, or sale of a
				product derived from spent nuclear fuel; or</text>
								</subparagraph><subparagraph id="idFBB8FF7D67904020883CBC4FB37812B4"><enum>(B)</enum><text>the disposal of
				spent nuclear fuel.</text>
								</subparagraph></paragraph><paragraph id="IDc64a68f05b5645c18a3d585ef239b4bc"><enum>(11)</enum><header>Technology for
				spent nuclear fuel management</header><text>The term <term>technology for spent
				nuclear fuel management</term> means any technology used to transport, store,
				process, reprocess, or dispose of spent nuclear fuel.</text>
							</paragraph><paragraph id="IDa5eb2fe16c3e4d83a4d7b3fac8ae6b5f"><enum>(12)</enum><header>Transfer
				date</header><text>The term <term>transfer date</term> means, with respect to
				any asset, property, right, liability, or obligation transferred from the
				Department to the Corporation pursuant to this title, the date selected by the
				Corporation and the Department for the transfer.</text>
							</paragraph></section><subtitle id="id16EF566009234358B4DFEA9D1186B76E"><enum>A</enum><header>Establishment,
				powers, and organization</header>
							<section id="id14EC260B192C46F5BECC1592F0DA2F61"><enum>3101.</enum><header>Establishment</header>
								<subsection id="ID6d98c938e3524b01bac2a1bcdb8ede74"><enum>(a)</enum><header>In
				general</header><text>There is established a corporation, to be known as the
				<quote>United States Nuclear Fuel Management Corporation</quote>.</text>
								</subsection><subsection id="ID344ff7cb29544538858bbc26c8f0009d"><enum>(b)</enum><header>Treatment</header><text>Except
				as otherwise provided in this title, the Corporation shall be—</text>
									<paragraph id="id1A402CB54EFB4E27880F515C4D25170A"><enum>(1)</enum><text>a wholly owned
				Federal corporation, subject to chapter 91 of title 31, United States Code;
				and</text>
									</paragraph><paragraph id="id1F6D7AF8BB094B819E03428C893FB361"><enum>(2)</enum><text>considered to be
				a Federal agency.</text>
									</paragraph></subsection><subsection id="ID3b1871644bf04d3197d2eb3b051a8640"><enum>(c)</enum><header>Corporate
				offices</header>
									<paragraph id="idA4C6E17D65B64D6A87588FA134AAE181"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">The Corporation
				shall—</text>
										<subparagraph id="id66E0D4F69FAE4C3DB95C5511C7C272A4"><enum>(A)</enum><text display-inline="yes-display-inline">for the service of process and papers,
				maintain an office in the District of Columbia; and</text>
										</subparagraph><subparagraph id="id6E5E770E33734E419B28FF98C3B297F9"><enum>(B)</enum><text display-inline="yes-display-inline">for purposes of venue in civil actions, be
				considered to be a resident of the District of Columbia.</text>
										</subparagraph></paragraph><paragraph id="id3EBE2D53C87744E392B84C13DB3017C1"><enum>(2)</enum><header>Other
				offices</header><text display-inline="yes-display-inline">The Corporation may
				establish offices in such other locations as the Corporation determines to be
				appropriate.</text>
									</paragraph></subsection></section><section id="IDa7b3c9410e864a2b9cc5642cbb5652fc"><enum>3102.</enum><header>Powers</header>
								<subsection id="id2283A1581BD94BE5871942DE18CAE62C"><enum>(a)</enum><header>In
				general</header><text display-inline="yes-display-inline">The
				Corporation—</text>
									<paragraph id="IDf3fc7db8e22a4f6ea3d564007423ad7a"><enum>(1)</enum><text>except as
				otherwise provided in this title or applicable Federal law, shall have all the
				powers of a private corporation incorporated under the District of Columbia
				Business Corporation Act (D.C. Code section 29–301 et seq.).;</text>
									</paragraph><paragraph id="ID464ed95ab9ee4cea907c2642310f9250"><enum>(2)</enum><text>shall have the
				priority of the United States with respect to the payment of debts from
				bankrupt, insolvent, and decedent persons or estates;</text>
									</paragraph><paragraph id="ID1b7bc9b03a8e40a5a4f5b86c407666f2"><enum>(3)</enum><text>may obtain from
				the Administrator of General Services the services provided by the
				Administrator to Federal agencies on the same basis as those services are so
				provided;</text>
									</paragraph><paragraph id="IDc94b6ac90fd241f5aa2613b3294b0f93"><enum>(4)</enum><text>shall have the
				authority to manage spent nuclear fuel, provide for the management of spent
				nuclear fuel by others, and acquire spent nuclear fuel or materials necessary
				to reprocess spent nuclear fuel or fabricate reactor fuel from spent nuclear
				fuel;</text>
									</paragraph><paragraph id="idF470CFC590A14C58B994B82095165863"><enum>(5)</enum><text>shall have the
				authority necessary to carry out, in accordance with subsection (b), the
				activities, obligations, and use of resources of the Federal Government with
				respect to spent nuclear fuel management, including the duties and powers
				of—</text>
										<subparagraph id="idC48AF0AD843049FA890ED2DFA00A2A90"><enum>(A)</enum><text>the Secretary
				relating to the Nuclear Waste Fund; and</text>
										</subparagraph><subparagraph id="id42AC248DD27F4EE98D4987AE7E0B3725"><enum>(B)</enum><text>the Office of
				Civilian Radioactive Waste Management under section 304 of that Act (42 U.S.C.
				10224); and</text>
										</subparagraph></paragraph><paragraph commented="no" id="ID2756b568cc5b4f1a95b963363e915060"><enum>(6)</enum><text>shall—</text>
										<subparagraph commented="no" id="idC15D47EFDCE644C29CA47CCAF7E6225A"><enum>(A)</enum><text>construct spent
				fuel reprocessing and fuel fabrication facilities required to conduct
				engineering-scale demonstrations of nuclear fuel reprocessing research and
				development conducted by the Department or by public or private
				organizations;</text>
										</subparagraph><subparagraph commented="no" id="ID3bf2711ee54c476caad3a999f2aff803"><enum>(B)</enum><text>use the
				facilities to develop the required licensing basis documentation and technical
				criteria necessary to obtain a construction and operating license from the
				Nuclear Regulatory Commission for full commercial-scale used nuclear fuel
				reprocessing and fuel fabrication facilities;</text>
										</subparagraph><subparagraph commented="no" id="ID080acf2a9467408ea9caeaec50a6fcf9"><enum>(C)</enum><text>develop used
				nuclear fuel reprocessing and fuel fabrication technologies the Corporation
				considers commercially promising that—</text>
											<clause commented="no" id="ID0928f409626545da9a47f49f488147b7"><enum>(i)</enum><text>do not seek to
				separate pure plutonium;</text>
											</clause><clause commented="no" id="ID7afb50b5053c4472adfd94d7a5be8496"><enum>(ii)</enum><text>reduce the
				burden on geological repositories for ultimate waste disposal;</text>
											</clause><clause commented="no" id="ID72c97e5e8a7f4d7f8427fbd899119063"><enum>(iii)</enum><text>promote
				extraction of additional useful energy from used nuclear fuel through recycling
				or reuse; and</text>
											</clause><clause commented="no" id="ID6cdc539d2a6b44c3bedbf2d1edbe5794"><enum>(iv)</enum><text>produce fuel for
				use in civilian nuclear power reactors; and</text>
											</clause></subparagraph><subparagraph commented="no" id="IDd67b7cc7b88a4b5a8357c3592a5b1281"><enum>(D)</enum><text>use funds of the
				Corporation to license, construct, and operate the reprocessing and fuel
				fabrication demonstration facilities.</text>
										</subparagraph></paragraph></subsection><subsection id="id838DF09CAC304631A6ED28B39909E008"><enum>(b)</enum><header>Inclusions</header><text>The
				authority of the Corporation described in subsection (a)(5) includes
				authority—</text>
									<paragraph id="ID6a2e9af3989a4757971b4da047c3928c"><enum>(1)</enum><text>for the
				identification, development, licensing, construction, operation,
				decommissioning, and post-decommissioning maintenance and monitoring of any
				repository, interim storage facility, monitored retrievable storage facility,
				reprocessing facility, fuel fabrication facility, or test and evaluation
				facility constructed under title III of the Nuclear Waste Policy Act of 1982
				(42 U.S.C. 10221 et seq.), except that the limitations imposed on a monitored
				retrievable storage facility under section 141(g) of that Act (42 U.S.C.
				10161(g)) shall not apply to an interim storage facility developed by the
				Corporation;</text>
									</paragraph><paragraph id="ID6b95eccd45aa4eb08ceb065ee72de373"><enum>(2)</enum><text>for the
				administration of the high-level radioactive waste disposal program of the
				Department;</text>
									</paragraph><paragraph id="ID40b494725720431dbb1d2bf7c16c4863"><enum>(3)</enum><text>to enter into a
				new spent fuel disposal contract under section 302(a) of the Nuclear Waste
				Policy Act of 1982 (42 U.S.C. 10222(a)) for a commercial nuclear power reactor
				not yet licensed by the Nuclear Regulatory Commission;</text>
									</paragraph><paragraph id="ID6b2d57145686468aa336c7e6a37a5c74"><enum>(4)</enum><text>to assume all
				responsibilities of the Department under spent fuel disposal contracts in
				existence on the date of enactment of this title, except that (as provided in
				section 3205) liability for failure to perform under those contracts shall not
				be assumed by the Corporation until the date that is 15 years after the date of
				enactment of this title; and</text>
									</paragraph><paragraph id="ID6825695dfdf2423597e3f08ff98b3230"><enum>(5)</enum><text>to recommend
				changes to the nuclear waste fee provided by section 302(a)(4) of the Nuclear
				Waste Policy Act of 1982 (42 U.S.C. 10222(a)(4)) and spent fuel disposal
				contracts, except that the Corporation may not implement any changes in the fee
				schedule except as authorized by Act of Congress;</text>
									</paragraph><paragraph id="ID241f4744341145de9dcc5f659c51eaa6"><enum>(6)</enum><text>for the
				acquisition, design, modification, replacement, operation, and construction of
				facilities at a repository site, reprocessing facility site, reprocessed fuel
				fabrication facility site, monitored retrievable storage site, or test and
				evaluation facility site necessary or incident to a repository, reprocessing
				facility, reprocessed fuel fabrication facility, monitored retrievable storage
				facility, or test and evaluation facility;</text>
									</paragraph><paragraph id="IDdbf551b57eda489b8ebdcfa8c23ccb35"><enum>(7)</enum><text>to carry out such
				nongeneric research, development, and demonstration activities relating to
				evaluating, improving, and testing existing technologies for spent nuclear fuel
				management and related processes and activities as the Corporation considers to
				be necessary or advisable to achieve the purposes of this title;</text>
									</paragraph><paragraph id="id28B439C2061546F5BCF05124D35DABF1"><enum>(8)</enum><text>to carry out
				transactions regarding spent nuclear fuel management, uranium, enriched
				uranium, plutonium, other special nuclear material, fissionable nuclear
				material, fertile nuclear material, fission byproducts, actinides, or depleted
				uranium with any person—</text>
										<subparagraph id="idA8799402257D428E9C15E6B9F9BF46D6"><enum>(A)</enum><text>licensed under
				section 53, 63, 103, or 104, in accordance with the applicable license;</text>
										</subparagraph><subparagraph id="ID5b3e43a4239749d48f57e6fb4a1e0f0e"><enum>(B)</enum><text>in accordance
				with, and during the period provided for, an agreement for cooperation under
				section 123; or</text>
										</subparagraph><subparagraph id="ID51a87ef973ba4dcaa0f81daadea202c8"><enum>(C)</enum><text>otherwise
				authorized by law to enter into a transaction described in subparagraph (A) or
				(B);</text>
										</subparagraph></paragraph><paragraph id="ID59ff30cdcc714e808aabdc75afe3d1c0"><enum>(9)</enum><text>to enter into
				contracts or other agreements with—</text>
										<subparagraph id="id957760829A73479BB742E15E866BD73E"><enum>(A)</enum><text>any person
				licensed under section 53, 63, 103, or 104, for such period as the Corporation
				considers to be appropriate to provide services supporting the mission and
				purpose of the Corporation under this title; and</text>
										</subparagraph><subparagraph id="ID5e059abef93140e5b399168e70e1dd6d"><enum>(B)</enum><text>the Department in
				accordance with this title for spent nuclear fuel management and related
				services that the Department determines to be required—</text>
											<clause id="idD76449CA85EE49D6A769C124351D9B03"><enum>(i)</enum><text>to carry out
				Presidential directives and authorizations; and</text>
											</clause><clause id="IDcb8aafe65db84dacac95c28076c1d0e8"><enum>(ii)</enum><text>to conduct other
				Department programs;</text>
											</clause></subparagraph></paragraph><paragraph id="IDb744f80c969c47f9a9baa8eeb5d146fc"><enum>(10)</enum><text>to adopt, alter,
				and use a corporate seal, which shall be judicially noticed;</text>
									</paragraph><paragraph id="IDb8eb291449b345478e4e54e74c66460e"><enum>(11)</enum><text>to sue and be
				sued in the corporate name and be represented by an attorney in all
				administrative and judicial proceedings, including, on approval of the Attorney
				General, appeals from decisions of United States courts, except that the United
				States Court of Federal Claims shall have exclusive jurisdiction over a claim
				against the Corporation and a decision or action of the Corporation shall not
				be subject to review under section 119 of the Nuclear Waste Policy Act of 1982
				(42 U.S.C. 10139);</text>
									</paragraph><paragraph id="IDd8c8162225334520a0a591ae5a419feb"><enum>(12)</enum><text>to indemnify
				directors, officers, attorneys, agents, and employees of the Corporation for
				liabilities and expenses relating to corporate activities;</text>
									</paragraph><paragraph id="IDfe630a1a74354eb3bba82fcd943c8ed7"><enum>(13)</enum><subparagraph commented="no" display-inline="yes-display-inline" id="id6D349C0A620B4EBAB78701C931F3500C"><enum>(A)</enum><text>to acquire, purchase,
				lease, and hold real and personal property, including patents and proprietary
				data, as the Corporation determines to be necessary in the transaction of
				business; and</text>
										</subparagraph><subparagraph id="id393E0ED80BB74287ADE722E62D190620" indent="up1"><enum>(B)</enum><text>to sell, lease, grant, and dispose of
				such real and personal property as the Corporation determines to be necessary
				to achieve the purposes of this title;</text>
										</subparagraph></paragraph><paragraph id="id0A65234EBB7A4200BA625CAF45E4CEBE"><enum>(14)</enum><text>on consent of
				each unit of government concerned, to employ the services, records, facilities,
				or personnel of any State or local government agency or instrumentality or
				voluntary or uncompensated personnel to perform appropriate functions on behalf
				of the Corporation;</text>
									</paragraph><paragraph id="ID81103cb59dd54df4ad06a434e0059a64"><enum>(15)</enum><text>to enter into
				and carry out such contracts, leases, cooperative agreements, or other
				transactions as are necessary to conduct business, on a reimbursable basis,
				with—</text>
										<subparagraph id="idF49E203D028443F1848363947F7960CA"><enum>(A)</enum><text>any Federal
				department or agency;</text>
										</subparagraph><subparagraph id="id3091CB3178CD44E0B0A5C8471C59E91D"><enum>(B)</enum><text>any State,
				territory, or possession (or any political subdivision thereof) of the United
				States; or</text>
										</subparagraph><subparagraph id="idFAF7FBCCB3924E188CCFE7BFBF4507DD"><enum>(C)</enum><text>any individual,
				firm, association, or corporation;</text>
										</subparagraph></paragraph><paragraph id="IDa058be999a1f4966a1ad74f2b5862e29"><enum>(16)</enum><text>to determine the
				character of, and the necessity for, the obligations and expenditures of the
				Corporation and the manner in which the obligations and expenditures will be
				incurred, allowed, and paid, subject to this title and other Federal law
				specifically applicable to wholly owned Federal corporations;</text>
									</paragraph><paragraph id="IDfa38533854c54f75a4e1ba4db81c4ace"><enum>(17)</enum><text>to retain and
				use the revenues of the Corporation to achieve the purposes of this title,
				including research and development and capital investment, in a manner that
				ensures that the retention and use shall not be subject to apportionment under
				subchapter II of chapter 15 of title 31, United States Code;</text>
									</paragraph><paragraph id="ID58a47d31a00f4de59a37a22e3598b097"><enum>(18)</enum><text>to settle and
				adjust claims—</text>
										<subparagraph id="id0FD3FBE72EB945EB9E00B89E09980852"><enum>(A)</enum><text>held by the
				Corporation against other parties; or</text>
										</subparagraph><subparagraph id="id24141CEA23FD4887A23CBEA2DC7F5F5D"><enum>(B)</enum><text>held by other
				parties against the Corporation;</text>
										</subparagraph></paragraph><paragraph id="ID3ec511e5640345c199c983802e17439a"><enum>(19)</enum><text>to accept gifts
				or donations of services and real, personal, mixed, tangible, or intangible
				property to achieve the purposes of this title;</text>
									</paragraph><paragraph id="ID7c3e907eec5348ee9faf4d0cfae5cfb2"><enum>(20)</enum><text>to execute, in
				accordance with applicable bylaws and regulations, appropriate
				instruments;</text>
									</paragraph><paragraph id="ID0ab10f0342434e52abd5a894701369eb"><enum>(21)</enum><text>to provide for
				liability insurance by contract or self-insurance; and</text>
									</paragraph><paragraph id="ID72ea56d2ce994b7c8a9484c8cef40c11"><enum>(22)</enum><text>subject to this
				subsection and section 3205, to pay any settlement or judgment entered against
				the Corporation from the Corporation Fund and not from funds made available
				pursuant to section 1304 of title 31, United States Code.</text>
									</paragraph></subsection><subsection commented="no" id="ID50b9f69fd9e4425a86ca3e86b8d90123"><enum>(c)</enum><header>Colocation with
				interim storage facilities</header><text>If the Corporation determines that an
				interim used nuclear fuel storage facility is needed, the Corporation shall
				consider the colocation of commercial-scale used nuclear fuel recycling
				facilities with the interim storage facility in the siting and engineering of
				the interim storage facility.</text>
								</subsection></section><section id="ID480bd732af8d4f51bd71c73e90923970"><enum>3103.</enum><header>Board of
				Directors</header>
								<subsection id="id3210EC7603C84C18A9CCDCF0C94CFBDA"><enum>(a)</enum><header>In
				general</header><text>The Corporation shall be headed by a Board of
				Directors.</text>
								</subsection><subsection id="IDde2682735931486ba2b92deae9c6f6fc"><enum>(b)</enum><header>Membership</header>
									<paragraph id="ID1781281fb15049fa8ddd65dd9b85f9d1"><enum>(1)</enum><header>Appointment</header><text>The
				Board shall be composed of 7 members, to be appointed by the President by and
				with the advice and consent of the Senate.</text>
									</paragraph><paragraph id="IDc76137e46697466db3776561fbf5e4d1"><enum>(2)</enum><header>Chairperson</header><text>The
				members of the Board shall elect 1 member to act as Chairperson of the
				Board.</text>
									</paragraph></subsection><subsection id="ID8ebf0bc9384b49d49c9f9bcf70c0e8e4"><enum>(c)</enum><header>Qualifications</header><text>To
				be eligible to be appointed as a member of the Board, an individual—</text>
									<paragraph id="ID5bdbfa3f08db4bc38a889e17b2d669b5"><enum>(1)</enum><text>shall be a
				citizen of the United States;</text>
									</paragraph><paragraph id="IDd973723188074ece8617e4dd5fb870f1"><enum>(2)</enum><text>shall have
				management expertise relating to large organizations;</text>
									</paragraph><paragraph id="ID278fa95dfb3d4906a7e8ce33738160a2"><enum>(3)</enum><text>shall not be an
				employee of the Corporation;</text>
									</paragraph><paragraph id="IDe806b099f2fb46c78db00db48ec08288"><enum>(4)</enum><text>shall make full
				disclosure to Congress of any investment or other financial interest that the
				individual holds in the energy industry;</text>
									</paragraph><paragraph id="ID3818cacf05bc4feb980a8f8f1f937560"><enum>(5)</enum><text>shall affirm
				support for the purposes of the Corporation; and</text>
									</paragraph><paragraph id="ID3ba983da251945e68bc0e7f705bd87be"><enum>(6)</enum><text>may be a
				representative of and have fiduciary obligations to, 1 or more parties
				currently or previously contributing to the Nuclear Waste Fund or the
				Corporation Fund, with the association not considered a conflict of
				interest.</text>
									</paragraph></subsection><subsection id="idB4E2BA39DDEF4C7FB56D2AEEE164664B"><enum>(d)</enum><header>Terms</header>
									<paragraph id="IDac05f84963924702913c85ccbd10462c"><enum>(1)</enum><header>In
				general</header><text>Except as provided in paragraph (2), a member of the
				Board shall serve for a term of not more than 5 years.</text>
									</paragraph><paragraph id="IDe16d17e127964e98bf64c8637e7df816"><enum>(2)</enum><header>Initial
				members</header><text>Of the members first appointed to the Board—</text>
										<subparagraph id="ID216b18f2199e4a9e90807b817a0d70e6"><enum>(A)</enum><text>1 shall be
				appointed for a 1-year term;</text>
										</subparagraph><subparagraph id="ID9e5d9276ed5d4be48de59a7c2b864164"><enum>(B)</enum><text>2 shall be
				appointed for a 2-year term;</text>
										</subparagraph><subparagraph id="IDa7512d0c925f4857ba70f1e0b756f4c5"><enum>(C)</enum><text>2 shall be
				appointed for a 3-year term; and</text>
										</subparagraph><subparagraph id="IDac086deaadc44268a6dd6beab975b292"><enum>(D)</enum><text>2 shall be
				appointed for a 4-year term.</text>
										</subparagraph></paragraph><paragraph id="ID3ac0e5066fc6477b80455d1c91a7ac92"><enum>(3)</enum><header>Reappointment</header><text>A
				member of the Board the term of service of whom has expired may be reappointed
				by the President, by and with the advice and consent of the Senate.</text>
									</paragraph><paragraph id="idF87483D8B6D044C6851B47E019DF59D1"><enum>(4)</enum><header>Expiration</header><text>A
				member of the Board the term of service of whom has expired may continue to
				serve on the Board until the earlier of—</text>
										<subparagraph id="id5C2A046A72F44ADAADAFDADEE0B7D447"><enum>(A)</enum><text>the date on which
				a successor member is appointed; and</text>
										</subparagraph><subparagraph id="id6D38047562F74DD69C32C1BD8FEFB5F1"><enum>(B)</enum><text>the date on which
				the session of Congress during which the term of the member expires
				ends.</text>
										</subparagraph></paragraph></subsection><subsection id="IDF9EBBD586A6D43A2814C9D7D8FAF76A8"><enum>(e)</enum><header>Vacancies</header><text>A
				vacancy on the Board—</text>
									<paragraph id="IDA9631872155B4CE58B499962B1D0217B"><enum>(1)</enum><text>shall not affect
				the powers of the Board; and</text>
									</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID22AE9E5E9568490B908023D1C2BCBD2E"><enum>(2)</enum><text>shall be filled
				in the same manner as the original appointment was made.</text>
									</paragraph></subsection><subsection id="IDD209FD1ED0F9443ABD8B94A9D757B60B"><enum>(f)</enum><header>Meetings</header><text>The
				Board shall meet in accordance with the bylaws of the Corporation—</text>
									<paragraph id="idCBE53735FE29439E8D3725843636DD12"><enum>(1)</enum><text>at the call of
				the Chairperson; and</text>
									</paragraph><paragraph id="id51956C36387643BE8FB00F0876DC1510"><enum>(2)</enum><text>not less
				frequently than once each quarter.</text>
									</paragraph></subsection><subsection id="IDFA8C485DEF7E44919228ECD7C7403119"><enum>(g)</enum><header>Quorum</header><text>5
				members of the Board shall constitute a quorum.</text>
								</subsection><subsection id="idA54DCCDFA4B847E3A7DA9A63A8926B5A"><enum>(h)</enum><header>Bylaws</header><text>A
				majority of the members of the Board may amend the bylaws of the
				Corporation.</text>
								</subsection><subsection id="ID2806C7831D624B0282FF382049442273"><enum>(i)</enum><header>Compensation</header><text>A
				member of the Board shall be allowed travel expenses, including per diem in
				lieu of subsistence, at rates authorized for an employee of an agency under
				subchapter I of chapter 57 of title 5, United States Code, while away from the
				home or regular place of business of the member in the performance of the
				duties of the Board.</text>
								</subsection></section><section id="ID6e6ec26dbbe64b3699498e105937d7a6"><enum>3104.</enum><header>Management</header>
								<subsection id="id23C6C24D5FEC4A8A99031549A48E812C"><enum>(a)</enum><header>Chief executive
				officer</header>
									<paragraph id="IDd23fa5448793427c90148d472a678069"><enum>(1)</enum><header>Appointment</header><text>The
				Board shall appoint an individual to serve as chief executive officer of the
				Corporation.</text>
									</paragraph><paragraph id="IDe00af2eab82b4e38bdcdbcf35c4808ee"><enum>(2)</enum><header>Qualifications</header>
										<subparagraph id="IDb97f9c921992474d95a230118ca703b8"><enum>(A)</enum><header>In
				general</header><text>To be eligible serve as chief executive officer of the
				Corporation, an individual—</text>
											<clause id="IDee40276706ab4e7f9423b0f5e3ad4935"><enum>(i)</enum><text>shall have senior
				executive-level management experience in large, complex organizations;</text>
											</clause><clause id="IDb8be07367ff2415f9ece372937f13f5d"><enum>(ii)</enum><text>shall
				not—</text>
												<subclause id="idCA8A3CFD4F484B3D853E0F9CA9BC4BDB"><enum>(I)</enum><text>be a member of
				the Board; or</text>
												</subclause><subclause id="id208A64BB011645C2AD46511C3A1C8534"><enum>(II)</enum><text>have served as a
				member of the Board during the 2-year period ending on the date of appointment
				as chief executive officer; and</text>
												</subclause></clause><clause id="ID3d6f51309c6c40dead22106daef4effc"><enum>(iii)</enum><text>shall comply
				with the conflict of interest policy adopted by the Board.</text>
											</clause></subparagraph><subparagraph id="ID773f0c33251d43aa8347bccda997f58d"><enum>(B)</enum><header>Expertise</header><text>In
				appointing a chief executive officer, the Board shall give particular
				consideration to appointing an individual with—</text>
											<clause id="id5D2FC1448E304158947B4B5E1E74031C"><enum>(i)</enum><text>expertise in the
				nuclear industry; and</text>
											</clause><clause id="id341B7E0A5D774AE99055942467E340A8"><enum>(ii)</enum><text>strong financial
				skills.</text>
											</clause></subparagraph></paragraph><paragraph id="IDe0ff95abe64f4e71b59893a096ef9f1e"><enum>(3)</enum><header>Tenure</header><text>The
				chief executive officer shall serve at the pleasure of the Board.</text>
									</paragraph><paragraph id="ID99ccafacea234185ae5f1ca9c5fd5a53"><enum>(4)</enum><header>Authorities and
				duties</header><text>The chief executive officer shall—</text>
										<subparagraph id="id1753100990534279B8F744938DB5B096"><enum>(A)</enum><text>be responsible
				for the management of the Corporation; and</text>
										</subparagraph><subparagraph id="id04954A4F72084D10B323036982BCF712"><enum>(B)</enum><text>report to, and be
				under the direct authority of, the Board.</text>
										</subparagraph></paragraph><paragraph id="IDc281284355ec418b8586fbe9ce1c5689"><enum>(5)</enum><header>Corporate
				officers</header><text>The chief executive officer shall appoint such managers,
				assistant managers, employees, attorneys, and agents as are necessary to carry
				out the powers of the Corporation—</text>
										<subparagraph id="idA38700631A204797AE762A16A0069ACC"><enum>(A)</enum><text>with the advice
				and consent of the Board; and</text>
										</subparagraph><subparagraph id="id878BDB14538D4825953DE3568A077934"><enum>(B)</enum><text>without regard to
				the civil service laws applicable to officers and employees of the United
				States.</text>
										</subparagraph></paragraph></subsection><subsection id="ID31184cfbaf684d22b8430d480c1b5276"><enum>(b)</enum><header>Compensation
				plan</header>
									<paragraph id="ID5448815fddc940a6aeefbbbaef04c064"><enum>(1)</enum><header>In
				general</header><text>Without regard to section 5301 of title 5, United States
				Code, the Board shall establish—</text>
										<subparagraph id="id83A78EAC84C9456FA176C8ACF00773ED"><enum>(A)</enum><text>the duties of and
				compensation for all officers and employees of the Corporation; and</text>
										</subparagraph><subparagraph id="id254CD76BE81C4190948DF6359A22D465"><enum>(B)</enum><text>a system of
				organization to describe those responsibilities and promote efficiency.</text>
										</subparagraph></paragraph><paragraph id="IDbe297a2a16cf49d895caff0bf6854a71"><enum>(2)</enum><header>Applicable
				criteria</header><text>The Board shall ensure that—</text>
										<subparagraph id="id0725E230413847AFB8D3FD2567B86525"><enum>(A)</enum><text>officers and
				employees are appointed, promoted, and assigned on the basis of capability and
				fitness; and</text>
										</subparagraph><subparagraph id="id1D7E1F807F1448299A610BD5F4821707"><enum>(B)</enum><text>other personnel
				actions are consistent with the principles of fairness and due process, without
				regard to the provisions of title 5, United States Code, relating to
				appointments and other personnel actions in the competitive service.</text>
										</subparagraph></paragraph><paragraph id="IDe240c3a408bc401b9a776b4e0c22bdec"><enum>(3)</enum><header>Protection of
				Department employees</header>
										<subparagraph id="ID549459f3b07a4a109caa8fb54edea048"><enum>(A)</enum><header>Purpose</header><text>The
				purpose of this paragraph is to ensure that the establishment of the
				Corporation does not result in any inequitable effect on the employment rights,
				wages, or benefits of Department employees in carrying out the functions
				transferred from the Department to the Corporation pursuant to this
				title.</text>
										</subparagraph><subparagraph id="id8FB48E3082F249DABD7E4E8EDFABE12D"><enum>(B)</enum><header>Measures of
				protection</header><text>The compensation, benefits, and other terms and
				conditions of employment in effect on the day before the applicable transfer
				date for activities previously carried out by the Department pursuant to any
				law or regulation shall continue to apply to officers and employees of the
				Department or any other Federal department or agency who are detailed to the
				Corporation until the date on which the officers or employees are no longer
				detailed to the Board.</text>
										</subparagraph></paragraph></subsection><subsection id="ID5f8c7fba50ce46cf831407ee87dc09f9"><enum>(c)</enum><header>Transferees and
				detailees</header>
									<paragraph id="id6020205B2A314E9598BA0FBA0C90099D"><enum>(1)</enum><header>In
				general</header><text>On request of the Board and subject to the approval of
				the Secretary, an employee of the Department may be transferred or detailed to
				the Corporation in accordance with section 3112 without any loss in accrued
				benefits or standing within the Civil Service System.</text>
									</paragraph><paragraph id="id1BF7458198EE48FAA5BC21A71ECC2045"><enum>(2)</enum><header>Benefits</header>
										<subparagraph id="id30135001E1804CCD96DB0466C06AD9E7"><enum>(A)</enum><header>In
				general</header><text>An employee who accepts a transfer to the Corporation may
				elect—</text>
											<clause id="id1629A0695D4A43308700E8CE0819C151"><enum>(i)</enum><text>to have any
				accrued retirement benefits transferred to a retirement system established by
				the Corporation; or</text>
											</clause><clause id="id2D02B8DAFFF04EE68B93257540CB36B8"><enum>(ii)</enum><text>to retain
				coverage under, as applicable—</text>
												<subclause id="id1E6500AE1CAC42978D0C943CC588CF52"><enum>(I)</enum><text>the Civil Service
				Retirement System; or</text>
												</subclause><subclause id="id8257CA6E834646C2AEE14369A5E2D2E0"><enum>(II)</enum><text>the Federal
				Employees Retirement System.</text>
												</subclause></clause></subparagraph><subparagraph id="idC40180006B6049D0A7BF2FD06C9C7C59"><enum>(B)</enum><header>Withholding</header><text>With
				respect to an employee who elects to retain coverage under subparagraph
				(A)(ii), the Corporation shall—</text>
											<clause id="idD20C958E2366468EADB5EE554D3ED932"><enum>(i)</enum><text>withhold a
				portion of the payment of the employee; and</text>
											</clause><clause id="idF1E4F3465D45482C9E01ECFCFC27B509"><enum>(ii)</enum><text>use the amounts
				withheld to make such payments as are required under the applicable Federal
				retirement system.</text>
											</clause></subparagraph></paragraph><paragraph id="id301659B8468A4EE18FC1D805F1BA6708"><enum>(3)</enum><header>Detailees</header><text>The
				Department shall offer any employee of the Department who is detailed to the
				Board a position of like grade, compensation, and proximity to the official
				duty station of the employee beginning on the date on which the services of the
				employee are no longer required by the Corporation.</text>
									</paragraph></subsection></section><section id="ID06fe672bd7724eac88329e8a883c45cf"><enum>3105.</enum><header>Audits</header>
								<subsection id="ID703bc9f5883b40c89c003e7e6a0cad90"><enum>(a)</enum><header>Independent
				audits</header>
									<paragraph id="IDe128ca4b87a045238a76e8fe08840920"><enum>(1)</enum><header>In
				general</header><text>The financial statements of the Corporation shall
				be—</text>
										<subparagraph id="idBEED29DC5DE1484F905A4DE45DEE6F58"><enum>(A)</enum><text>prepared in
				accordance with generally accepted accounting principles; and</text>
										</subparagraph><subparagraph id="id81924C949E2F4A2680F396147E9BBA52"><enum>(B)</enum><text>audited annually
				by an independent certified public accountant in accordance with—</text>
											<clause id="idFF0C053D9606484AA0E516725C1D5B36"><enum>(i)</enum><text>auditing
				standards issued by the Comptroller General of the United States; and</text>
											</clause><clause id="id7645498929C744BCA6D09009F21FCD02"><enum>(ii)</enum><text>generally
				accepted auditing standards of the private sector.</text>
											</clause></subparagraph></paragraph><paragraph id="IDf389fe2ab43944a0a98ccc7f3e8d669f"><enum>(2)</enum><header>Review by
				GAO</header><text>The Comptroller General—</text>
										<subparagraph id="idBAB4F03FD0C2445F99DB9190E31465BD"><enum>(A)</enum><text>may review any
				audit under paragraph (1); and</text>
										</subparagraph><subparagraph id="id71DC486BF82A4F87A30C189A85BBCBA2"><enum>(B)</enum><text>shall submit to
				Congress and the Corporation a report describing the results of each review
				under subparagraph (A), including appropriate recommendations, if any.</text>
										</subparagraph></paragraph></subsection><subsection id="ID2a0846b937e64764886a2c6d937c1ac3"><enum>(b)</enum><header>GAO
				audits</header>
									<paragraph id="ID3eff6b5352d4418ab0ff76937b13fd7c"><enum>(1)</enum><header>In
				general</header><text>The Comptroller General may audit the financial
				statements of the Corporation for any year in accordance with subsection
				(a)(1).</text>
									</paragraph><paragraph id="IDf9fb57011bf7497db51e56bf131ced52"><enum>(2)</enum><header>Reimbursement
				by Corporation</header><text>The Corporation shall reimburse the Comptroller
				General for the cost of any audit conducted under this subsection, as
				determined by the Comptroller General.</text>
									</paragraph></subsection><subsection id="IDc4133a33d6b943d0a9d34e1f482bec3f"><enum>(c)</enum><header>Availability of
				books and records</header><text>Subject to section 3111, all books, accounts,
				financial records, reports, files, papers, and other property belonging to, or
				in use by, the Corporation or an auditor of the Corporation that the
				Comptroller General considers to be necessary to conduct an audit or review
				under this section shall be made available to the Comptroller General.</text>
								</subsection><subsection id="ID0b3baf05f4ad46e8933183f7703ce9ac"><enum>(d)</enum><header>Treatment of
				GAO audits</header><text>An audit or review by the Comptroller General under
				this section shall be in lieu of any other audit of the financial transactions
				of the Corporation required to be carried out by the Comptroller General under
				chapter 91 of title 31, United States Code, or other applicable law.</text>
								</subsection></section><section id="IDdb8941f546c04de58321e2e305357528"><enum>3106.</enum><header>Annual
				reports</header>
								<subsection id="ID02fe025618394f7f9779d16dee39716d"><enum>(a)</enum><header>In
				general</header><text>Not less frequently than once each year, the Corporation
				shall submit to the President and Congress a report describing the activities
				carried out by the Corporation during the preceding fiscal year,
				including—</text>
									<paragraph id="ID3e87b7815de741318551de0f311178f6"><enum>(1)</enum><text>a general
				description of the operations of the Corporation;</text>
									</paragraph><paragraph id="IDb9e8d4c844fe404eb7476e88fbc3ff71"><enum>(2)</enum><text>a summary of the
				operating and financial performance of the Corporation, including an
				explanation of the decision whether to pay dividends; and</text>
									</paragraph><paragraph id="IDb12e67c1a56f466699054e06cef96199"><enum>(3)</enum><text>a copy of each
				audit report prepared for the applicable fiscal year under section 3105.</text>
									</paragraph></subsection><subsection id="ID5b33912e8f5a4b59a769f039cf94314f"><enum>(b)</enum><header>Deadline</header><text>A
				report under subsection (a) shall—</text>
									<paragraph id="id91F1F836F60A44B1AEBBD701E6895D6A"><enum>(1)</enum><text>be completed by
				not later than 150 days after the end of each fiscal year of the Corporation;
				and</text>
									</paragraph><paragraph id="id23C76AD84C974EA59C857D0975530B79"><enum>(2)</enum><text>accurately
				reflect the financial position of the Corporation as of that date.</text>
									</paragraph></subsection></section><section id="IDe17da8a21a244a82ae0de0e9eac5f768"><enum>3107.</enum><header>United States
				Nuclear Fuel Management Corporation Fund</header>
								<subsection id="ID1d00a7db29794068b1529e52c4094762"><enum>(a)</enum><header>Establishment</header>
									<paragraph id="id1F63A1722561449196616D2B4B8FB37B"><enum>(1)</enum><header>In
				general</header><text>There is established in the Treasury of the United States
				a revolving fund, to be known as the <quote>United States Nuclear Fuel
				Management Corporation Fund</quote>—</text>
										<subparagraph id="id9C1D498B8EFE4E39997636949B8B7F93"><enum>(A)</enum><text>to be made
				available to the Corporation to carry out this title without appropriation or
				fiscal year limitation; and</text>
										</subparagraph><subparagraph id="id5FFCD3D4162E46CB848BC6A619E819CF"><enum>(B)</enum><text>which shall not
				be subject to apportionment under subchapter II of chapter 15 of title 31,
				United States Code.</text>
										</subparagraph></paragraph></subsection><subsection id="ID2b99429f5d27486f90571be458cd7ff2"><enum>(b)</enum><header>Transfer of
				unexpended balances</header><text>On the applicable transfer date, the
				Secretary shall deposit in the Corporation Fund, without further appropriation,
				the unexpended balance of appropriations and other funds available to the
				Department (including funds set aside for accounts payable), and accounts
				receivable, relating to functions and activities assumed by the Corporation
				from the Department pursuant to this title, including all advance
				payments.</text>
								</subsection><subsection id="ID9de6f30a9abd41fe949b23ce4b6b3579"><enum>(c)</enum><header>Nuclear Waste
				Fund transfer</header><text>The Secretary of the Treasury, without further
				appropriation, shall deposit in the Corporation Fund the unexpended balance of
				the Nuclear Waste Fund in accordance with the following schedule:</text>
									<paragraph id="ID7b919f46ffa947e7bf3f0c953af58188"><enum>(1)</enum><text>On the date of
				enactment of this title, any unfunded balance of the unexpended balance shall
				be credited to the Corporation Fund as an unfunded asset, which will continue
				to accrue interest at rates and maturities determined by the Secretary of
				Treasury, including—</text>
										<subparagraph id="ID97bfefbb607e487cbe56f86a74a8f8f5"><enum>(A)</enum><text>all receipts,
				proceeds, and recoveries received by the Nuclear Waste Fund under subsections
				(a), (b), and (e) of section 302 of the Nuclear Waste Policy Act of 1982 (42
				U.S.C. 10222); and</text>
										</subparagraph><subparagraph id="id667C77C634F047A3B45410CAE974C1C4"><enum>(B)</enum><text>any
				appropriations made to the Nuclear Waste Fund.</text>
										</subparagraph></paragraph><paragraph id="IDc41e00994bdb45ad9c9e2ce1e8c9af31"><enum>(2)</enum><text>Beginning on the
				date of enactment of this title, all receipts, proceeds, interest, and
				recoveries received on or after that date under subsections (a), (b), and (e)
				of section 302 of that Act (42 U.S.C. 10222).</text>
									</paragraph></subsection><subsection id="ID67f298dc361344d49214109783ff9d9b"><enum>(d)</enum><header>Use of
				Corporation Fund</header>
									<paragraph id="id03B58D7AD9424BDF97D1A9F01F54092B"><enum>(1)</enum><header>In
				general</header><text>The Corporation may make expenditures from the
				Corporation Fund only to carry out the purposes of this title.</text>
									</paragraph><paragraph id="idDF707F7A387E46D98D289B97B87EC61E"><enum>(2)</enum><header>Relationship to
				other provisions</header><text>Expenditures from the Corporation Fund shall not
				be subject to section 302(d) of the Nuclear Waste Policy Act of 1982 (42 U.S.C.
				10222(d)).</text>
									</paragraph></subsection><subsection id="IDc4165a1319404f839717807f323cc2ad"><enum>(e)</enum><header>Administration
				of Corporation Fund</header>
									<paragraph id="ID90a27a26a9124cf9ae823145f4cbc7e0"><enum>(1)</enum><header>In
				general</header><text>The Secretary of the Treasury shall—</text>
										<subparagraph id="id2FAC83ACCD544927B9E3E8AC9B70D912"><enum>(A)</enum><text>administer the
				Corporation Fund; and</text>
										</subparagraph><subparagraph id="id374EEDE476E64B38A0D857B3DD84478B"><enum>(B)</enum><text>in consultation
				with the Corporation, submit to Congress annual reports describing the
				financial condition and operations of the Corporation Fund during the preceding
				fiscal year.</text>
										</subparagraph></paragraph><paragraph id="ID17952c17805b4bde82a80f39bf60fbcd"><enum>(2)</enum><header>Treatment</header><text>The
				Corporation Fund shall not be subject to—</text>
										<subparagraph id="IDab14211414d54aaf9b846c6c1401e813"><enum>(A)</enum><text>the allocations
				for discretionary spending under section 302(a) of the Congressional Budget Act
				of 1974 (2 U.S.C. 633(a)); or</text>
										</subparagraph><subparagraph id="IDe5cd7f7a2c6c4c6ead8ab78daec8af7a"><enum>(B)</enum><text>the
				suballocations of appropriations committees under section 302(b) of that Act (2
				U.S.C. 633(b)).</text>
										</subparagraph></paragraph><paragraph id="IDf45a4e6495584e03b3d76cc44822d7e3"><enum>(3)</enum><header>Investment</header><text>If
				the Corporation determines that the Corporation Fund contains at any time
				amounts in excess of the needs of the Corporation, the Corporation may request
				the Secretary of the Treasury to invest such portion of the excess amounts as
				the Corporation determines to be appropriate in obligations of the United
				States—</text>
										<subparagraph id="id044BECEBA4BB4E11AA0E4DF3AB0EEE10"><enum>(A)</enum><text>having maturities
				determined by the Secretary of the Treasury to be appropriate to the needs of
				the Corporation Fund; and</text>
										</subparagraph><subparagraph id="id56835EA7F58C4516989968613753ABBD"><enum>(B)</enum><text>bearing interest
				at rates determined to be appropriate by the Secretary of the Treasury, taking
				into consideration the current average market yield on outstanding marketable
				obligations of the United States with remaining periods to maturity comparable
				to the maturities of the investments, except that the interest rate on the
				investments shall not exceed the average interest rate applicable to existing
				borrowings.</text>
										</subparagraph></paragraph><paragraph id="IDdefa0b1b1d3840c48117d426161791b3"><enum>(4)</enum><header>Annual
				apportionment</header><text>Receipts, proceeds, and recoveries realized by the
				Corporation under this section and expenditures of amounts from the Corporation
				Fund shall be exempt from annual apportionment under section 1511 of title 31,
				United States Code.</text>
									</paragraph><paragraph id="IDfb9637fefd00474cbbb2bb1ac545d3a0"><enum>(5)</enum><header>Insufficient
				amounts</header>
										<subparagraph id="id2ED87B8F7811416DBB576501DF4DA8ED"><enum>(A)</enum><header>In
				general</header><text>If at any time amounts available in the Corporation Fund
				are insufficient to enable the Corporation to carry out this title, the
				Corporation shall issue to the Secretary of the Treasury obligations in such
				forms and denominations, bearing such maturities, and subject to such terms and
				conditions as may be agreed to by the Corporation and the Secretary of the
				Treasury.</text>
										</subparagraph><subparagraph id="id5E4156A6CD4246C68B69BE5FA8AC1309"><enum>(B)</enum><header>Redemption</header><text>Redemption
				of an obligation under subparagraph (A) shall be made by the Corporation from
				amounts available in the Corporation Fund.</text>
										</subparagraph><subparagraph id="id83B2427715CB44B693B6DEBF72EE4975"><enum>(C)</enum><header>Interest</header><text>Obligations
				under subparagraph (A) shall bear interest at a rate determined by the
				Secretary of the Treasury, which shall be not less than a rate determined
				taking into consideration the average market yield on outstanding marketable
				obligations of the United States of comparable maturities during the month
				preceding the issuance of the obligations under this paragraph.</text>
										</subparagraph><subparagraph id="id8644E835AECA4243BA5F51220A7B4EAA"><enum>(D)</enum><header>Purchase</header>
											<clause id="id3E1900D82BAE4DC5B854C9D546E18F93"><enum>(i)</enum><header>In
				general</header><text>The Secretary of the Treasury shall purchase any
				obligations issued under this paragraph, using as a public debt transaction the
				proceeds from the sale of any securities issued under section 3101 of title 31,
				United States Code.</text>
											</clause><clause id="id60AEFD37003949F7BCF87A606C88EA9D"><enum>(ii)</enum><header>Treatment</header><text>The
				purposes for which securities may be issued under section 3101 of title 31,
				United States Code, shall be considered to include any purchase of an
				obligation under this subparagraph.</text>
											</clause></subparagraph><subparagraph id="id2267CBE1A9E54D8CA3B2698DD700435B"><enum>(E)</enum><header>Sale</header><text>The
				Secretary of the Treasury may at any time sell an obligation acquired pursuant
				to this paragraph.</text>
										</subparagraph><subparagraph id="id93BB6A0BD00F4232B53C5BEE629ACCD4"><enum>(F)</enum><header>Treatment</header><text>Each
				redemption, purchase, and sale by the Secretary of the Treasury of an
				obligation under this paragraph shall be considered to be a public debt
				transaction of the United States.</text>
										</subparagraph></paragraph><paragraph id="IDbe23ca040f9d48418a8989fe333cd675"><enum>(6)</enum><header>Repayment</header>
										<subparagraph id="id9DE57729AA5A4A4FA02454596CB983E6"><enum>(A)</enum><header>In
				general</header><text>Any appropriated amounts deposited in the Corporation
				Fund for a purpose described in subsection 302(d) of the Nuclear Waste Policy
				Act of 1982 (42 U.S.C. 10222(d)) shall be repaid into the general fund of the
				Treasury, together with interest accrued during the period beginning on the
				date on which the amounts are made available and ending on the date of
				repayment.</text>
										</subparagraph><subparagraph id="idF7BFBBF299864538A46693BB2A71062B"><enum>(B)</enum><header>Interest</header><text>The
				interest required under subparagraph (A) shall be an amount equal to the
				difference between—</text>
											<clause id="idEB033504C1D748B4B5C7DD657D4FBDB1"><enum>(i)</enum><text>the cumulative
				amount of appropriations available to the Corporation Fund; and</text>
											</clause><clause id="id714F7FB817BB4846B989FAA69E6A4809"><enum>(ii)</enum><text>the average
				undisbursed cash balance in the Corporation Fund for the applicable fiscal
				year.</text>
											</clause></subparagraph><subparagraph id="idAE33966872D849649F1595E1382D46E6"><enum>(C)</enum><header>Rate</header><text>The
				rate of interest under this paragraph shall be determined by the Secretary of
				the Treasury, taking into consideration the average market yield during the
				month preceding the first date of each fiscal year on outstanding marketable
				obligations of the United States of comparable maturity.</text>
										</subparagraph><subparagraph id="id577915D367664F5FBB8B55D6D62E7EA5"><enum>(D)</enum><header>Deferral</header>
											<clause id="id7A3C4E4EC1784B3F82142D631A4336C7"><enum>(i)</enum><header>In
				general</header><text>An interest payment under this paragraph may be deferred
				on approval of the Secretary of the Treasury.</text>
											</clause><clause id="id96BDB4AA57E94CA0AEEA180F1397166C"><enum>(ii)</enum><header>Interest</header><text>An
				interest payment deferred under clause (i) shall bear interest.</text>
											</clause></subparagraph></paragraph></subsection></section><section id="idD220D4ED05364EC5AF9BA9A00EA11FB0"><enum>3108.</enum><header>Issuance of
				bonds</header>
								<subsection id="ID436c1515a8924190a60d8651b4de5105"><enum>(a)</enum><header>Issuance</header>
									<paragraph id="IDb4dc15a2f7ed4e5188dc74787ed59271"><enum>(1)</enum><header>In
				general</header><text>The Corporation may issue and sell bonds, notes, and
				other evidences of indebtedness (referred to in this section as
				<term>bonds</term>).</text>
									</paragraph><paragraph id="ID9107fd82bdf94ec6807ea2221d26494f"><enum>(2)</enum><header>Use of
				revenue</header><text>The Corporation may pledge and use revenues of the
				Corporation for—</text>
										<subparagraph id="id86CEBE9B9F2F411FA89F4A284036F7B4"><enum>(A)</enum><text>payment of the
				principal and interest on the bonds;</text>
										</subparagraph><subparagraph id="id9FBE87972B154D34B8A0F143F16595B5"><enum>(B)</enum><text>purchase or
				redemption of additional bonds; and</text>
										</subparagraph><subparagraph id="idEF197E2884854F15AD13EFA7C552B2F7"><enum>(C)</enum><text>other purposes
				incidental to the functions described in subparagraphs (A) and (B), including
				creation of reserve funds and other funds that may be similarly pledged and
				used.</text>
										</subparagraph></paragraph><paragraph id="ID7d46216296ce4889b53821a273162dd8"><enum>(3)</enum><header>Agreements with
				holders and trustees</header><text>The Corporation may enter into binding
				agreements with the holders and trustees of bonds with respect to activities to
				enhance the marketability of the bonds, including—</text>
										<subparagraph id="IDa9a8eb018a7b447ea8d8d4e858497e01"><enum>(A)</enum><text>the establishment
				of reserve funds and other funds;</text>
										</subparagraph><subparagraph id="ID448999ef16884fba8376a34fc4186dd9"><enum>(B)</enum><text>stipulations
				concerning the subsequent issuance of bonds; and</text>
										</subparagraph><subparagraph id="ID9d5940541bd2446980f9c2fd87621d10"><enum>(C)</enum><text>other activities
				in accordance with this title.</text>
										</subparagraph></paragraph></subsection><subsection id="ID7db62c938b4e4ea7a14e437a24ebe816"><enum>(b)</enum><header>Not obligations
				of United States</header>
									<paragraph id="idE7E072CEEB29496287050B04018ACA30"><enum>(1)</enum><header>In
				general</header><text>A bond issued by the Corporation under this section shall
				not be considered to be an obligation of, or guaranteed as to principal or
				interest by, the United States.</text>
									</paragraph><paragraph id="idB89C5A58BCD84CEDA060D105FF551ABA"><enum>(2)</enum><header>Notice</header><text>Each
				bond of the Corporation shall contain a notice of the consideration described
				in paragraph (1).</text>
									</paragraph></subsection><subsection id="IDb99bf1207c3d448ebdf0eecf74263378"><enum>(c)</enum><header>Terms and
				conditions</header>
									<paragraph id="IDd4b01b7cdcc44f0887aee7c8905de796"><enum>(1)</enum><header>Negotiability;
				maturity</header><text>A bond issued by the Corporation under this section
				shall—</text>
										<subparagraph id="idC207BB49350A4D06B29653DF620E68D7"><enum>(A)</enum><text>be a negotiable
				instrument unless otherwise specified in the bond; and</text>
										</subparagraph><subparagraph id="idA953AF56FCB94BC89A16EC9D31E7725C"><enum>(B)</enum><text>mature not later
				than 50 years after the date of issuance.</text>
										</subparagraph></paragraph><paragraph id="IDfcbe5f79a63c4e1495cc25f88c89cf22"><enum>(2)</enum><header>Role of
				Secretary of Treasury</header>
										<subparagraph id="id086BD4B7B536449B8694402CF49B9096"><enum>(A)</enum><header>Right of
				disapproval</header>
											<clause id="id015021FBD174459C987087C2A87A75CD"><enum>(i)</enum><header>In
				general</header><text>Not later than 15 days after the date on which the
				Corporation submits to the Secretary of the Treasury a notification of the
				establishment of a term or condition on a bond under this section described in
				clause (ii), the Secretary of the Treasury may disapprove the term or
				condition.</text>
											</clause><clause id="idBA609512B1CE4E6281E2576B07476A8A"><enum>(ii)</enum><header>Description</header><text>The
				terms and conditions referred to in clause (i) are terms and conditions
				relating to—</text>
												<subclause id="IDd2270e1e17b34b18a2cbb88e47d54909"><enum>(I)</enum><text>the form or
				denomination of a bond;</text>
												</subclause><subclause id="ID28d7312ed3a14c8b88cdf90980c3adbe"><enum>(II)</enum><text>the time,
				amount, or price at which a bond is sold;</text>
												</subclause><subclause id="ID894b72ea337c440a89af754853ceb3f1"><enum>(III)</enum><text>the rate of
				interest of the bond;</text>
												</subclause><subclause id="ID1b055a3056af4b978161697ffe9a03a8"><enum>(IV)</enum><text>the terms by
				which the bond may be redeemed by the Corporation before maturity;</text>
												</subclause><subclause id="ID1124f0e308e94af8aa52f1f0e53f93de"><enum>(V)</enum><text>the priority of
				claims on the net revenues of the Corporation with respect to principal and
				interest payments; and</text>
												</subclause><subclause id="ID21629e3ea3a546d9866cbdc7fd9c3320"><enum>(VI)</enum><text>any other term
				or condition the Secretary of the Treasury determines to be appropriate.</text>
												</subclause></clause></subparagraph><subparagraph id="ID2c182a6f4c914174b21f2cf15bccbab4"><enum>(B)</enum><header>Inapplicability
				of right to prescribe terms</header><text>Section 9108(a) of title 31, United
				States Code, shall not apply to the Corporation.</text>
										</subparagraph></paragraph></subsection><subsection id="ID9aa513c5153e4a80bcf1249980234efa"><enum>(d)</enum><header>Inapplicability
				of securities requirements</header><text>The Corporation—</text>
									<paragraph id="idCE34ACFE01F8459B86753BBF9234391D"><enum>(1)</enum><text>shall be
				considered to be an executive department of the United States for purposes of
				section 3(c) of the Securities Exchange Act of 1934 (15 U.S.C. 78c(c));
				and</text>
									</paragraph><paragraph id="id74FE7C539F534553996BCE2529AD3D69"><enum>(2)</enum><text>may register the
				securities and maintain the books of the Corporation in accordance with—</text>
										<subparagraph id="id34FB9E8B80DC457AB3474B0A4A659BDA"><enum>(A)</enum><text>the Securities
				Act of 1933 (15 U.S.C. 77a et seq.);</text>
										</subparagraph><subparagraph id="id8761AAA491E94F27B785071147B3C633"><enum>(B)</enum><text>the Securities
				Exchange Act of 1934 (15 U.S.C. 78a et seq.); and</text>
										</subparagraph><subparagraph id="id629218042FC8489DB53C3532A0FB7841"><enum>(C)</enum><text>applicable
				regulations of the Securities and Exchange Commission.</text>
										</subparagraph></paragraph></subsection><subsection id="IDd37ab4557c3f4c82b5b6c1abcf172239"><enum>(e)</enum><header>Use of Federal
				Financing Bank</header><text>The Corporation may issue or sell any bond to the
				Federal Financing Bank.</text>
								</subsection></section><section id="ID785be95d7d114f379e7731b59aa13c93"><enum>3109.</enum><header>Exemption
				from taxation and payments in lieu of taxes</header>
								<subsection id="ID077eea93cb124eedb8cb717f990cb331"><enum>(a)</enum><header>Exemption from
				taxation</header><text>The Corporation shall be exempt from taxation in any
				manner or form by any State, county, or other entity of local government,
				including State, county, or local sales tax.</text>
								</subsection><subsection id="IDbb7e3a5571c34589862128b26d0bd0e8"><enum>(b)</enum><header>Payments in
				lieu of taxes</header>
									<paragraph id="idD944312DFAF34737ACE6B6A4E5511066"><enum>(1)</enum><header>In
				general</header><text>The Corporation shall make annual payments, in such
				amounts as the Corporation determines to be fair and reasonable, to each State
				and local governmental agency with tax jurisdiction over any area in which a
				facility of the Corporation is located.</text>
									</paragraph><paragraph id="id8AED3D126DB349BC90FD54A7D1A8330E"><enum>(2)</enum><header>Determination</header><text>In
				making a determination under paragraph (1), the Corporation shall take into
				consideration—</text>
										<subparagraph id="IDc7cd470f69ac4e0d9b0646b5da979fdf"><enum>(A)</enum><text>the customs and
				practices prevailing in the applicable area with respect to appraisal,
				assessment, and classification of industrial property and any special
				considerations extended to large-scale industrial operations; and</text>
										</subparagraph><subparagraph id="ID2a9757e9b46946cc8e8633b00378587f"><enum>(B)</enum><text>the requirement
				that any payment made to a taxing authority for any period shall be not less
				than the payments that would have been made to the taxing authority for the
				same period by the Department and contractors of the Department on behalf of
				the Department with respect to property and operations of the
				Corporation.</text>
										</subparagraph></paragraph></subsection><subsection id="ID526f7d2d562c4e7197f8459f6547f748"><enum>(c)</enum><header>Time of
				payments</header><text>Each payment under this section shall be made by the
				Corporation on the date on which payments of taxes by taxpayers to each taxing
				authority are due and payable.</text>
								</subsection><subsection id="IDc225290ff7ea4a579a1804e98f031c32"><enum>(d)</enum><header>Determination
				of amount due</header><text>A determination by the Corporation of an amount due
				under this section shall be final and conclusive.</text>
								</subsection></section><section id="IDef88004640284525b41a84a1af42b7c3"><enum>3110.</enum><header>Nonapplicability
				of certain Federal law</header>
								<subsection id="IDe147d0eab67549cea3e3fa27ac3395cf"><enum>(a)</enum><header>Antitrust
				laws</header><text>The Corporation shall not be subject to—</text>
									<paragraph id="ID7aad464a531e41938f0ce38c322c7ad4"><enum>(1)</enum><text>the Sherman Act
				(15 U.S.C. 1 et seq.);</text>
									</paragraph><paragraph id="ID1e80f4b34f4146e283e24de502c37ae4"><enum>(2)</enum><text>the Clayton Act
				(15 U.S.C. 12 et seq.); or</text>
									</paragraph><paragraph id="IDd5c2c78dd1b24a57b034e8b2c7de9623"><enum>(3)</enum><text>section 73 or 74
				of the Wilson Tariff Act (15 U.S.C. 8, 9).</text>
									</paragraph></subsection><subsection id="IDc7f287bc27044fb8aa7940307d2e4260"><enum>(b)</enum><header>Environmental,
				occupational, and public health and safety licensing laws</header>
									<paragraph id="id0A2496EE5C3F4229BDD294D8B1A39B4B"><enum>(1)</enum><header>In
				general</header><text>The Corporation shall comply with the National
				Environmental Policy Act of 1969 (42 U.S.C. 4321 et seq.).</text>
									</paragraph><paragraph id="idFB193A669FAF4DD5A3BD3D78888359D2"><enum>(2)</enum><header>Jurisdiction</header><text>The
				Commission shall have exclusive jurisdiction over the facilities and operations
				of the Corporation with respect to licensing, permitting, rulemaking,
				compliance, or operations under all Federal, State, interstate, and local
				environmental, occupational, and public health and safety laws.</text>
									</paragraph><paragraph id="id8CBDDD70B0E24F38B9F1D182274D8F65"><enum>(3)</enum><header>Enforcement</header>
										<subparagraph id="idA2601D527CC747F2AC67A4612538E52D"><enum>(A)</enum><header>In
				general</header><text>A requirement included in a license of the Commission or
				a substantive requirement (including any injunctive relief, administrative
				order, or civil or administrative penalty or fine) may be enforced against the
				Corporation only by the Commission (or a designee).</text>
										</subparagraph><subparagraph id="id4E58E642B0A04C48BD6983A002785C38"><enum>(B)</enum><header>Waiver</header><text>The
				United States waives any immunity otherwise applicable to the
				Corporation.</text>
										</subparagraph></paragraph></subsection><subsection id="IDecb79735fe6b4c3ab2caf77b859d8b94"><enum>(c)</enum><header>Energy
				Reorganization Act requirements</header>
									<paragraph id="id03DC87EC82CE44EFAC0B1C8BDE8993E3"><enum>(1)</enum><header>In
				general</header><text>The Corporation shall be subject to section 210 of the
				Energy Reorganization Act of 1974 (42 U.S.C. 5850).</text>
									</paragraph><paragraph id="idA5310607190F4ED4BE6303EBCC80B84C"><enum>(2)</enum><header>Leased
				facilities</header><text>With respect to the operation of any facility leased
				by the Corporation, section 206 of that Act (42 U.S.C. 5846) shall apply to the
				directors and officers of the Corporation.</text>
									</paragraph></subsection><subsection id="IDda425b81bb9c468db691395c700eebb2"><enum>(d)</enum><header>Exemption from
				Federal property and procurement requirements</header><text>The Corporation
				shall not be subject to—</text>
									<paragraph id="id4B912CAFD4694EC3AB0B92C165BA320D"><enum>(1)</enum><text>subtitle I of
				title 40, United States Code;</text>
									</paragraph><paragraph id="id11ABC58CD7EB4189A3EDD65B554F46AE"><enum>(2)</enum><text>title III of the
				Federal Property and Administrative Services Act of 1949 (41 U.S.C. 251 et
				seq.); or</text>
									</paragraph><paragraph id="id578DCD23B4B445E889429CB277B51405"><enum>(3)</enum><text>any other law
				requiring conformance with the Federal Acquisition Regulations contained in
				title 48, Code of Federal Regulations.</text>
									</paragraph></subsection><subsection id="ID2621c6d3652c426789ef177be01ebf75"><enum>(e)</enum><header>Export control
				laws</header><text>No transaction of the Corporation shall be subject to the
				export control laws if the transaction is carried out in accordance with an
				agreement between the United States and a foreign country.</text>
								</subsection></section><section id="IDea13a8d1afda4f3aa86c092a1028c5e4"><enum>3111.</enum><header>Protection of
				information</header>
								<subsection id="ID76fd3cd1f43a4df6a12c87a66ca36b99"><enum>(a)</enum><header>In
				general</header><text>Subject to subsection (b), the Corporation shall protect
				information classified under this Act, trade secrets, and commercial or
				financial information to the same extent as a Federal agency or private
				corporation, in accordance with applicable law, including section 1905 of title
				18, United States Code.</text>
								</subsection><subsection id="ID4c69c968309340c992d7366aca351ef8"><enum>(b)</enum><header>Other
				applicable laws</header><text>Section 552(d) of title 5, United States Code,
				shall not apply to the Corporation.</text>
								</subsection></section><section id="ID1fe740ad1d1644faa719ac5af26a4d5e"><enum>3112.</enum><header>Transition
				and transfer requirements</header>
								<subsection id="IDa34b927d4d2a40cf8ed19eb5714a85ab"><enum>(a)</enum><header>Transition
				manager</header><text>Not later than 30 days after the date of enactment of
				this title, the President shall appoint a Transition Manager, who shall serve
				at the pleasure of the President during the period beginning on the date of
				appointment and ending on the date on which a quorum of the Board has been
				appointed under section 3103.</text>
								</subsection><subsection id="ID353ad0354af64f5d92f4cf417a8fcc7a"><enum>(b)</enum><header>Duties</header>
									<paragraph id="id806917B2E4E64142AF32B0D20F56ACC0"><enum>(1)</enum><header>In
				general</header><text>The Transition Manager shall carry out the powers and
				duties of the Board, including any activity required to transfer spent nuclear
				fuel management obligations, functions, personnel, and funds from the Secretary
				to the Corporation effective on the transition date.</text>
									</paragraph><paragraph id="ID71e369c78b8f4703b73ce7452c64b304"><enum>(2)</enum><header>Continuation
				until quorum</header><text>The Transition Manager shall carry out this section
				regardless of whether a quorum of the Board is appointed under section 3103 by
				the transition date.</text>
									</paragraph></subsection><subsection id="ID1295738ac9784a1fae26540b7eb99773"><enum>(c)</enum><header>Ratification of
				actions</header><text>Each action carried out by the Transition Manager shall
				be subject to ratification by the Board.</text>
								</subsection><subsection id="IDd09edaa34ace44f4960d7115a8d1e742"><enum>(d)</enum><header>Responsibilities
				of Secretary</header><text>During the period beginning on the date of enactment
				of this title and ending on the transition date, the Secretary shall—</text>
									<paragraph id="IDb565570f5d40441a9f9bb3f5185489f4"><enum>(1)</enum><text>retain
				responsibility for spent nuclear fuel management in accordance with applicable
				Federal law;</text>
									</paragraph><paragraph id="ID72143dae21f647268346eb04ad473dac"><enum>(2)</enum><text>to the extent
				provided in appropriations Acts, provide funds to the Transition Manager to pay
				relevant salaries and expenses;</text>
									</paragraph><paragraph id="IDf53b9f22ec0f4eb8928331ec0f0c6946"><enum>(3)</enum><text>assign employees
				of the Department to assist the Transition Manager in carrying out this
				section; and</text>
									</paragraph><paragraph id="ID487d1fd77a2d4cbba5677e48423028af"><enum>(4)</enum><text>assist and
				cooperate with the Transition Manager in preparing for the transfer to the
				Corporation of spent nuclear fuel management functions of the Department on the
				transition date.</text>
									</paragraph></subsection><subsection id="ID48c164cceb4d4d0aa77d556f31adbc14"><enum>(e)</enum><header>Detail of
				personnel</header>
									<paragraph id="id025CE052DE784B04A885BA36E0E779E6"><enum>(1)</enum><header>In
				general</header><text>Beginning on the date of the enactment of this title, for
				the purpose of achieving continuity of operations, maintenance, and authority,
				the Secretary shall detail in an acting capacity, for a period of not more than
				18 months, appropriate personnel of the Department as the Secretary determines
				to be necessary until the later of—</text>
										<subparagraph id="id9D574AF36E904EB9BF97758187C2B616"><enum>(A)</enum><text>the date on which
				each member of the Board is appointed; and</text>
										</subparagraph><subparagraph id="idA9F2B6892FFB4E18A2C3C3C2A76A9082"><enum>(B)</enum><text>the date on which
				the head officers of the Corporation are hired.</text>
										</subparagraph></paragraph><paragraph id="idC322BA7DA34640628A30444EC4523CCD"><enum>(2)</enum><header>Reimbursement</header><text>The
				Corporation shall reimburse the Secretary and any applicable contractor of the
				Department for the detail of personnel under paragraph (1).</text>
									</paragraph></subsection></section><section id="ID14948487658a41928e4f815a1b7d1e90"><enum>3113.</enum><header>Working
				Capital Account</header><text display-inline="no-display-inline">The Board
				shall establish within the Corporation an account, to be known as the
				<quote>Working Capital Account</quote>, in which the Corporation may retain all
				revenue necessary for legitimate business expenses or investments of the
				Corporation in carrying out this title.</text>
							</section></subtitle><subtitle id="id064879269B8B4EAC92D40ABD4949F101"><enum>B</enum><header>Rights,
				privileges, and assets</header>
							<section id="id78157B5CEA2A4BFD85675165918D63CD"><enum>3201.</enum><header>Marketing and
				contracting authority</header>
								<subsection id="IDaa3807044e8542d1a6965b19e68bf974"><enum>(a)</enum><header>Exclusive
				marketing agent</header>
									<paragraph id="idE2AD88B5B08A4406B66172D8405BBD37"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">The Corporation shall
				act as the exclusive marketing agent on behalf of the United States for
				entering into contracts to provide spent nuclear fuel management and related
				products and services.</text>
									</paragraph><paragraph id="idFFA2F1E704C24157B9D0AC554E379656"><enum>(2)</enum><header>Effect on
				Department</header><text display-inline="yes-display-inline">Beginning on the
				transition date, the Department may not market spent nuclear fuel management or
				any related service.</text>
									</paragraph></subsection><subsection id="ID01de9c05241b4e5ba1901fdaf1586563"><enum>(b)</enum><header>Transfer of
				contracts</header><text>Each spent nuclear fuel management contract, agreement,
				and lease executed by the Department before the transition date relating to
				spent nuclear fuel management or a related service shall be transferred to the
				Corporation.</text>
								</subsection></section><section id="IDc8ceda8b05c3457f8fc7c2d58ccb14b5"><enum>3202.</enum><header>Pricing</header>
								<subsection id="idD1AF780144B24473B27D3F0D5131FD52"><enum>(a)</enum><header>Services
				provided to commercial customers</header>
									<paragraph id="id7A236853F8B847FA8969C66E5E2C3E28"><enum>(1)</enum><header>In
				general</header><text display-inline="yes-display-inline">The Corporation shall
				establish prices for products, materials, and services provided by the
				Corporation to customers other than the Department, and for services other than
				those provided under a spent fuel disposal contract, on a basis sufficient
				to—</text>
										<subparagraph id="id66BD9F567C554AE1ACF814CA0B202502"><enum>(A)</enum><text display-inline="yes-display-inline">recover the costs of the Corporation;
				and</text>
										</subparagraph><subparagraph id="idBC27F73B982146FC99B44D6391FB37F5"><enum>(B)</enum><text display-inline="yes-display-inline">operate on a self-sustaining basis.</text>
										</subparagraph></paragraph><paragraph id="id47E6341DCA2B4F00873596C0DB333691"><enum>(2)</enum><header>Approval</header><text display-inline="yes-display-inline">Each price established under paragraph (1)
				shall be subject to review and approval by the Board.</text>
									</paragraph></subsection><subsection id="ID0827b9c70dd249e3985a018198641da6"><enum>(b)</enum><header>Services
				provided to Department</header><text>The Corporation shall charge the
				Department fees for spent nuclear fuel management services provided under
				section 3102(b)(7) on a basis sufficient to recover the costs of the
				Corporation, on a yearly basis, of providing the services.</text>
								</subsection></section><section id="IDea968fc10b144374a941928bdefb5b2f"><enum>3203.</enum><header>Acquisition
				of Department land and facilities</header>
								<subsection id="id23118B24013C4894B7DD860AA4C05673"><enum>(a)</enum><header>In
				general</header><text display-inline="yes-display-inline">The
				Corporation—</text>
									<paragraph id="idFE4D82B4B2984F77BFD48D93E7CCB93C"><enum>(1)</enum><text display-inline="yes-display-inline">shall have the exclusive option to lease or
				otherwise access required portions of Department or other Federal land (other
				than land within the National Park System, the National Forest System, or the
				National Wildlife Refuge System or land managed by the Bureau of land
				Management that is within a conservation system unit), facilities, and property
				useful for spent nuclear fuel management purposes, including property or
				facilities of the Department necessary for storage, processing, or fuel
				fabrication involving materials containing plutonium; and</text>
									</paragraph><paragraph id="id9E816D4773F5418E80C08C4664298480"><enum>(2)</enum><text display-inline="yes-display-inline">may acquire or lease any required portion
				of State or private land, facilities, or property useful for spent nuclear fuel
				management purposes.</text>
									</paragraph></subsection><subsection id="ID99d725512e894186ac988f23ec73afab"><enum>(b)</enum><header>Terms of
				lease</header>
									<paragraph id="id138F11AF428147E18F155B9443020925"><enum>(1)</enum><header>In
				general</header><text>The Corporation and the Department shall establish
				mutually agreeable terms for any lease under subsection (a)(1), including
				specifying annual payments to be made to the Department by the
				Corporation.</text>
									</paragraph><paragraph id="id0BB747DC19C0480FA06C3CFE9F96A580"><enum>(2)</enum><header>Payments</header><text>The
				amount of annual payments for a lease under subsection (a)(1) shall be equal to
				the cost incurred by the Department in administering the lease and providing to
				the Corporation services relating to the lease (excluding depreciation and
				imputed interest on original plant investments and costs under subsection
				(c)).</text>
									</paragraph></subsection><subsection id="IDd99dcbdcb51842ddae354ac9e02641cf"><enum>(c)</enum><header>Department
				responsibility for preexisting conditions</header><text>The payment of any
				costs of decontamination and decommissioning, actions for response (as defined
				in section 101 of the Comprehensive Environmental Response, Compensation, and
				Liability Act of 1980 (42 U.S.C. 9601)), or corrective actions (as defined by
				the Administrator of the Environmental Protection Agency under section 3004(u)
				of the Solid Waste Disposal Act (42 U.S.C. 6924(u))), with respect to
				conditions existing before the transition date, in connection with property of
				the Department leased under subsection (a)(1), shall remain the sole
				responsibility of the Department.</text>
								</subsection><subsection id="ID839ecfa0e68f4f999f9bf5d1ae85552a"><enum>(d)</enum><header>Environmental
				audit</header><text>The Secretary, in consultation with the Administrator of
				the Environmental Protection Agency, shall conduct a comprehensive
				environmental audit to identify the environmental conditions that will remain
				the responsibility of the Department under subsection (c) after leasing the
				applicable land or facility.</text>
								</subsection><subsection id="ID5f03b211008a4c419748a2d047752663"><enum>(e)</enum><header>Treatment under
				Price-Anderson</header><text>Any lease executed between the Secretary and the
				Corporation under this section shall be considered to be a contract for
				purposes of section 170 d.</text>
								</subsection><subsection id="IDf6a9c1f8591c40bdae815eff9489f4dc"><enum>(f)</enum><header>Waiver of EIS
				requirement</header><text>A lease executed between the Corporation and the
				Department under this section shall not be considered to be a major Federal
				action significantly affecting the quality of the human environment for
				purposes of section 102 of the National Environmental Policy Act of 1969 (42
				U.S.C. 4332).</text>
								</subsection></section><section id="ID7ac4274ca5a748848b0d8e6febadc107"><enum>3204.</enum><header>Patents and
				inventions</header>
								<subsection id="ID298f36312526441f811d576304470294"><enum>(a)</enum><header>Grant of
				rights</header>
									<paragraph id="idD269100E0BDF46EB9FBB868696EEE621"><enum>(1)</enum><header>In
				general</header><text>The Corporation may use—</text>
										<subparagraph id="idFBFB8339A56E4CA49A2D655F836EDEE6"><enum>(A)</enum><text>efficacious and
				economical processes for spent nuclear fuel management; and</text>
										</subparagraph><subparagraph id="id0977C8D806EF4905A7A2E1DDBD1E958E"><enum>(B)</enum><text>any method of
				improving the production of nuclear power.</text>
										</subparagraph></paragraph><paragraph id="id0201F4D095AA429C94863E294BAD345C"><enum>(2)</enum><header>Infringement</header><text>Except
				as provided in paragraph (3), an owner of a patent the patent rights of which
				are copied, used, infringed, or employed by the Corporation pursuant to this
				subsection shall have as the exclusive remedy a cause of action against the
				Corporation to be instituted and prosecuted, as a case in equity, in the
				appropriate United States district court for the recovery of reasonable
				compensation for the infringement.</text>
									</paragraph><paragraph id="id207E0E8F7E984ACEB7D57FF067970B5C"><enum>(3)</enum><header>Federal
				employees</header><text>This section shall not apply to any art, machine,
				method of manufacture, or composition of matter discovered or invented by an
				employee during the period of employment by the Corporation or the Federal
				Government.</text>
									</paragraph></subsection><subsection id="IDaac8c5cf027c4702b3415bd0b1a785f0"><enum>(b)</enum><header>Exclusive right
				To commercialize</header><text>The Corporation shall have the exclusive
				commercial right to deploy and use any spent nuclear fuel management patent or
				process of the Corporation.</text>
								</subsection><subsection id="id61964118256F4DBF8EC33751F66B7D1D"><enum>(c)</enum><header>Research and
				development</header><text>On request of the Corporation, the Secretary shall
				provide, on a reimbursable basis, research and development of alternative
				technologies for spent nuclear fuel management.</text>
								</subsection></section><section id="id8A20AA8413234070A458A419010AD2E2"><enum>3205.</enum><header>Liabilities</header>
								<subsection id="ID70abf807b9294419801bff3756b66f69"><enum>(a)</enum><header>Liabilities
				based on operations before transition</header><text>Except as otherwise
				provided in this title, each liability attributable to spent nuclear fuel
				management or property transferred to the Corporation before the applicable
				transition date shall remain a liability of the Department.</text>
								</subsection><subsection id="IDb85dcb8b30344919b567634a275e73dc"><enum>(b)</enum><header>Judgments based
				on operations before transition</header><text>Except as otherwise agreed to by
				the Corporation and the Department, a judgment entered against the Department
				imposing liability arising out of a spent nuclear fuel management obligation of
				the Department under the Nuclear Waste Policy Act of 1982 (42 U.S.C. 10101 et
				seq.) or a spent fuel disposal contract shall be considered to be a judgment
				against, and payable solely by, the Department.</text>
								</subsection><subsection id="IDd33adbddc92840d0a4dd661e4427ba71"><enum>(c)</enum><header>Representation</header><text>With
				respect to any claim to impose liability under subsection (a) or (b)—</text>
									<paragraph id="id99F114F96C6F44AD9E3ADB2FB6747A9A"><enum>(1)</enum><text>the United States
				shall be represented by the Department of Justice; and</text>
									</paragraph><paragraph id="id70FB82CBFF64460B8188228C45E74795"><enum>(2)</enum><text>the Corporation
				shall be represented by a counsel selected by the Corporation.</text>
									</paragraph></subsection><subsection id="ID6eb325689e204ad690018ba72a394e0e"><enum>(d)</enum><header>Judgments and
				liabilities based on operations after transition</header>
									<paragraph id="idE31E29B33E8A4D9BB136147E3B38F825"><enum>(1)</enum><header>In
				general</header><text>Except as otherwise provided in this subsection, a
				judgment entered against the Corporation arising from operations of the
				Corporation on or after the transition date shall be payable solely by the
				Corporation from funds of the Corporation.</text>
									</paragraph><paragraph id="idA470649248664A5991EECFC1F30F2FFA"><enum>(2)</enum><header>Existing spent
				fuel disposal contracts</header>
										<subparagraph id="id3BB86DE5F5134BB982B8FB0DE13DF700"><enum>(A)</enum><header>In
				general</header><text>Paragraph (1) shall not apply to a liability or judgment
				that—</text>
											<clause id="id7B5475C950784EC78CC81F26C87EC36A"><enum>(i)</enum><text>is based on a
				spent fuel disposal contract in existence on the date of enactment of this
				title; and</text>
											</clause><clause id="idFF2A47B00F2A4BB8BAF6157ACF620B12"><enum>(ii)</enum><text>accrues during
				the 15 year-period beginning on the date of enactment of this title.</text>
											</clause></subparagraph><subparagraph id="idCAA9729BAF4A4AF4998A8731FB1875C1"><enum>(B)</enum><header>Payment</header><text>A
				liability or judgment described in subparagraph (A) shall continue to
				be—</text>
											<clause id="id251811CAB66F4EFBADDE929F1A697769"><enum>(i)</enum><text>the
				responsibility of the Department; and</text>
											</clause><clause id="id653DBDCF66DD445A8E7B9072BA802231"><enum>(ii)</enum><text>payable pursuant
				to section 1304 of title 31, United States Code.</text>
											</clause></subparagraph></paragraph><paragraph id="id8B7C32B0F5C747C7808C4B33BE01CE46"><enum>(3)</enum><header>Relationship to
				other provisions</header><text>Payments from the funds of the Corporation
				described in paragraph (1) shall not be subject to the Nuclear Waste Policy Act
				of 1982 (42 U.S.C. 10101 et seq.), including section 302(d) of that Act (42
				U.S.C. 10222(d)).</text>
									</paragraph><paragraph id="id41B38D8501444DCC87BBEF7FF0A6B2F4"><enum>(4)</enum><header>Treatment</header><text>The
				Corporation shall not be considered to be a Federal agency for purposes of
				chapter 171 of title 28, United States Code.</text>
									</paragraph></subsection></section><section id="IDb7e3362ddd7046f0815fbd4d57eb8943"><enum>3206.</enum><header>Predeployment
				activities by Corporation</header><text display-inline="no-display-inline">The
				Corporation, in coordination with the Department, may carry out such activities
				as are necessary to prepare for the provision of spent nuclear fuel management
				services, including—</text>
								<paragraph id="ID566cfe64b0954ed6a89a59ea7d53d98b"><enum>(1)</enum><text>completion of
				preapplication activities with the Commission;</text>
								</paragraph><paragraph id="IDe1250d928ca5485086917b4cfb616025"><enum>(2)</enum><text>confirmation of
				technical performance;</text>
								</paragraph><paragraph id="IDa940c5a115a74124a87f71f7236de4d0"><enum>(3)</enum><text>validation of
				economic projections;</text>
								</paragraph><paragraph id="ID640405e3b0cb4842ad56097109db56db"><enum>(4)</enum><text>completion of
				feasibility and risk studies;</text>
								</paragraph><paragraph id="ID27ccfc6cefee4cb28519a8a286334ec7"><enum>(5)</enum><text>initiation of
				preliminary plant design and engineering; and</text>
								</paragraph><paragraph id="IDdda88c3d5f034c2a9358eb1ac5971785"><enum>(6)</enum><text>site selection,
				site characterization, and environmental documentation activities.</text>
								</paragraph></section><section id="ID84b79d111f024802a13c2e281954d848"><enum>3207.</enum><header>Construction
				of facilities</header>
								<subsection id="id9AD9D4C46CF541698D4E59062B893FD5"><enum>(a)</enum><header>Establishment</header><text display-inline="yes-display-inline">If the Corporation elects to proceed with
				the construction of a facility for spent nuclear fuel management, the
				Corporation may enter into a contract with 1 or more contractors for the
				construction.</text>
								</subsection><subsection id="ID2f92c34505754db98d6c1b80298cde17"><enum>(b)</enum><header>Transactions
				between Corporation and contractors</header>
									<paragraph id="IDe2703856c4954439abd94b9d6bc6b6b9"><enum>(1)</enum><header>Grants</header><text>The
				Corporation may make grants or loans to 1 or more contractors to carry out any
				duty of the Corporation under this title.</text>
									</paragraph><paragraph id="ID68cbba221464414c9632a0d310222678"><enum>(2)</enum><header>Licensing
				agreement</header><text>The Corporation may license to a contractor any right,
				title, or interest of the Corporation under this title.</text>
									</paragraph><paragraph id="ID03387a3a3ef0428d8d2569d8ddf9f0c4"><enum>(3)</enum><header>Purchase
				agreement</header><text>The Corporation may enter into a commitment to purchase
				any spent nuclear fuel management service, nuclear material, or fuel product
				produced at a facility operated by a contractor.</text>
									</paragraph><paragraph id="ID64cab5d58e07451d91b7461725f2f5c7"><enum>(4)</enum><header>Additional
				assistance</header><text>The Corporation may provide to a contractor such
				additional personnel, services, and equipment as the Corporation determines to
				be appropriate.</text>
									</paragraph></subsection></section><section id="IDdfec462a011b4c4a84abf532ddcca50b"><enum>3208.</enum><header>Price-Anderson
				coverage</header>
								<subsection id="id38D6FEFE68F74C6F95D3765EA1900002"><enum>(a)</enum><header>In
				general</header><text display-inline="yes-display-inline">Section 170 shall
				apply to any spent nuclear fuel management facility—</text>
									<paragraph id="id641F2ED234B44FF7902CCB264C3F2B08"><enum>(1)</enum><text display-inline="yes-display-inline">owned or operated by, or under contract
				with, the Corporation;</text>
									</paragraph><paragraph id="idE274E66A0B894A9D8E9C3EA62A931904"><enum>(2)</enum><text display-inline="yes-display-inline">licensed under section 53, 63, or 103;
				and</text>
									</paragraph><paragraph id="id2DD557903A9440FB824D9A348AA6B546"><enum>(3)</enum><text display-inline="yes-display-inline">constructed after the date of enactment of
				this title.</text>
									</paragraph></subsection><subsection id="id8D40EA886A3C4D90895DC0FDEBDBB401"><enum>(b)</enum><header>Indemnity
				agreements</header><text display-inline="yes-display-inline">The Secretary,
				pursuant to section 170, may enter in to any indemnity agreement with the
				Corporation or a contractor of the Corporation as the Secretary determines to
				be necessary.</text>
								</subsection></section><section id="id2083FF6F358A4663B31C18F387E83D8B"><enum>3209.</enum><header>References</header><text display-inline="no-display-inline">Any reference to the Commission or the
				Department contained in section 161 k., 221 a., or 230 shall be considered to
				include the Corporation.</text>
							</section><section id="ID3809ecf39c304637add13e819c778dbc"><enum>3210.</enum><header>Severability</header><text display-inline="no-display-inline">If any provision of this title or the
				application of any such provision to any entity, person, or circumstance is for
				any reason judged by a court of competent jurisdiction to be invalid, the
				remainder of this title and the application of this title shall not be
				affected.</text>
