		<official-title>To amend the Commodity Exchange Act to provide for the
		  oversight of large trades of over-the-counter energy and agricultural contracts
		  to prevent price manipulation and excessive speculation, and for other
		  purposes.</official-title>

		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short
			 title</header><text display-inline="no-display-inline">This Act may be cited as
			 the <quote><short-title>Over-the-Counter Speculation
			 Act</short-title></quote>.</text>
		</section><section id="id60ACE729D28F44F0B5A2FE195412DFD6"><enum>2.</enum><header>Large
			 over-the-counter transactions</header><text display-inline="no-display-inline">Section 2 of the Commodity Exchange Act (7
			 U.S.C. 2) is amended by adding at the end the following:</text>
			<quoted-block display-inline="no-display-inline" id="id33046525C54B48A19CC8E689BACC7EFA" style="OLC">
				<subsection id="id3D4EDC4DE34B493BB2CB2064EE865653"><enum>(j)</enum><header>Commission
				oversight of over-the-counter transactions</header>
					<paragraph id="idF572E68B5E6C405DA382A18A8BA882CE"><enum>(1)</enum><header>Over-the-counter
				transactions</header>
						<subparagraph id="id3E06ADDCB9674B38A187C1CC2C45D094"><enum>(A)</enum><header>Definition</header><text>The
				term <term>over-the-counter transaction</term> means a contract, agreement, or
				transaction in an exempt or agricultural commodity that is—</text>
							<clause id="id9194242B779C43D1B1B50C4A500DDF3E"><enum>(i)</enum><text>entered into only
				between persons that are eligible contract participants at the time the persons
				enter into the agreement, contract, or transaction;</text>
							</clause><clause id="id289F2AFB4F4643E2BD055F4A22935CA3"><enum>(ii)</enum><text>not entered into
				on a trading facility; and</text>
							</clause><clause id="id1970356DEB874A08BBB6E7EDE3020A0E"><enum>(iii)</enum><text>not a sale of
				any cash commodity for deferred shipment or delivery.</text>
							</clause></subparagraph><subparagraph id="idCF088F2FF65E4F2687462ED75D7CE0D9"><enum>(B)</enum><header>All OTC
				transactions included</header><text>Notwithstanding subsections (g) and (h) and
				any exemption issued by the Commission under section 4(c), each
				over-the-counter transaction shall be subject to this subsection.</text>
						</subparagraph></paragraph><paragraph id="id6464A933BC424F5C9C1BFD2CAA1859CF"><enum>(2)</enum><header>Commission
				oversight authority</header>
						<subparagraph id="id534F01870E01453A99179722E3917530"><enum>(A)</enum><header>In
				general</header><text>In the case of a major market disturbance, as determined
				by the Commission, the Commission may require any trader required to report
				information under paragraph (3) to take such action as the Commission considers
				to be necessary to maintain or restore orderly trading in any contract listed
				for trading on a registered entity, including—</text>
							<clause id="idA9D9E6383E144F4BBAF92322029F65BC"><enum>(i)</enum><text>the liquidation
				of any over-the-counter transaction; and</text>
							</clause><clause id="id1F215F8E44414ACEB1D9CEE2EBC7E9EE"><enum>(ii)</enum><text>the fixing of
				any limit that may apply to a market position involving any over-the-country
				transaction acquired in good faith before the date of the determination of the
				Commission.</text>
							</clause></subparagraph><subparagraph id="id9CDAD291289F4B3CBF6EB0388E418343"><enum>(B)</enum><header>Major market
				disturbance</header><text>The term <term>major market disturbance</term> means
				any market disturbance in a commodity market that prevents the commodity market
				from accurately reflecting the forces of supply and demand for a commodity,
				including—</text>
							<clause id="idF2D535F31D474A38A963103F5ED61415"><enum>(i)</enum><text>a
				threatened or actual market manipulation or corner;</text>
							</clause><clause id="idAF84BF9DEF4F40119CFD9C0FE43DE1D5"><enum>(ii)</enum><text>excessive
				speculation; and</text>
							</clause><clause id="id7CDB71B3033B4526AC04E0C247B99763"><enum>(iii)</enum><text>any action of
				the United States or a foreign government that affects a commodity.</text>
							</clause></subparagraph><subparagraph id="id18C38CA36EF64CD8993D0E6E5FC87503"><enum>(C)</enum><header>Market
				disturbance</header><text>The term <term>market disturbance</term> shall be
				interpreted in a manner consistent with section 8a(9).</text>
						</subparagraph><subparagraph id="id737E1F906FAE4A60BF859EDBB0BFB6BD"><enum>(D)</enum><header>Judicial
				review</header><text>Any action taken by the Commission under subparagraph (A)
				shall be subject to judicial review carried out in accordance with section
				8a(9).</text>
						</subparagraph></paragraph><paragraph id="idAC93CFA15C024CD68CDE25C0CD8C864A"><enum>(3)</enum><header>Reporting;
				recordkeeping</header>
						<subparagraph id="id8D60B5CBBCB44D648C7A3503A3644A31"><enum>(A)</enum><header>In
				general</header><text>The Commission shall require each covered person to
				submit to the Commission a report at such times and in such manner as the
				Commission determines appropriate, and containing the information required
				under subparagraph (C) to assist the Commission in detecting and preventing
				potential price manipulation of, or excessive speculation in, any contract
				listed for trading on a registered entity.</text>
						</subparagraph><subparagraph id="id0D761814CB674A5C8776F676731FFADC"><enum>(B)</enum><header>Covered
				person</header><text>In this subsection, the term <term>covered person</term>
				means a person that enters into an over-the-counter transaction the reporting
				of which is required as the result of a determination made under paragraph
				(D).</text>
						</subparagraph><subparagraph id="id41BA7F8CC12A4B4E8863BFED3F528D49"><enum>(C)</enum><header>Contents of
				report</header><text>A report required under subparagraph (A) shall
				contain—</text>
							<clause id="idB166CC535B944F5E9E1CE63AF176ACAD"><enum>(i)</enum><text>information
				describing large trading positions of the covered person obtained through 1 or
				more over-the-counter transactions that involve—</text>
								<subclause id="id3299363551F64AA3961173E04BEC7291"><enum>(I)</enum><text>substantial
				quantities of a commodity in the cash market; or</text>
								</subclause><subclause id="id8033A5923DFB4567843211FAE4B03379"><enum>(II)</enum><text>substantial
				positions, investments, or trades in agreements or contracts relating to the
				commodity; and</text>
								</subclause></clause><clause id="idC8C26B5924D3480C86D3DDDFE45B42A0"><enum>(ii)</enum><text>any other
				information relating to each covered over-the-counter transaction carried out
				by the covered person that the Commission determines to be necessary to
				accomplish the purposes described in subparagraph (A).</text>
							</clause></subparagraph><subparagraph id="id478BD289A9AD4BE38C88B126F8E9C4DD"><enum>(D)</enum><header>Large
				transactions</header><text>The Commission shall identify the large
				over-the-counter transactions or class of large over-the-counter transactions
				the reporting of which the Commission determines to be appropriate to assist
				the Commission in detecting and preventing potential price manipulation of, or
				excessive speculation in, any contract listed for trading on a registered
				entity. In making the determinations as to which over-the-counter transactions
				shall be reported, the Commission shall consider the extent to which one or
				more of the following criteria applies—</text>
							<clause id="id38EF92CC1C564A2DB0559765131290F0"><enum>(i)</enum><text>a
				standardized agreement is used to execute the transaction;</text>
							</clause><clause id="id25BD9DC1BCBC4401A214108D8F7C9AD0"><enum>(ii)</enum><text>the transaction
				settles against any price (including the daily or final settlement price) of 1
				or more contracts listed for trading on a registered entity;</text>
							</clause><clause id="idE2B1B28958314A42B1E5C70603C4E602"><enum>(iii)</enum><text>the price of
				the transaction is reported to a third party, published, or otherwise
				disseminated;</text>
							</clause><clause id="idF197CFBFB18E4A9EABEE5B39E53AF00F"><enum>(iv)</enum><text>the price of the
				transaction is referenced in any other transaction;</text>
							</clause><clause id="idDCA72068BE2243DD83CC910EFC7C81D2"><enum>(v)</enum><text>there is a
				significant volume of transactions; and</text>
							</clause><clause id="id1F294FAEDC004A11AD7E3F3F3B0E4573"><enum>(vi)</enum><text>any other factor
				that the Commission determines to be appropriate.</text>
							</clause></subparagraph><subparagraph id="idD0A12D4529B3414D871D532F2AE22883"><enum>(E)</enum><header>Recordkeeping</header><text>The
				Commission, by rule, shall require each covered person—</text>
							<clause id="idCEBB5BC790C34E76B1B9F76386993918"><enum>(i)</enum><text>in accordance
				with section 4i, to maintain such records as directed by the Commission for a
				period of 5 years, or longer, if directed by the Commission; and</text>
							</clause><clause id="id962C32378975445BA227C3F643E0300D"><enum>(ii)</enum><text>to provide such
				records upon request to the Commission or the Department of Justice.</text>
							</clause></subparagraph></paragraph><paragraph id="idF1202726C08E440B93A5503132253C6B"><enum>(4)</enum><header>Protection of
				proprietary information</header><text>In carrying out this subsection, the
				Commission may not—</text>
						<subparagraph id="id346D519C428445F89B0F19AD3283FB87"><enum>(A)</enum><text>require the
				real-time publication of any proprietary information;</text>
						</subparagraph><subparagraph id="id6687D11740E04610B167A747CC837399"><enum>(B)</enum><text>prohibit the
				commercial sale or licensing of any real-time proprietary information;
				and</text>
						</subparagraph><subparagraph id="id55D47BC1595D4DC4A768082AB342BD38"><enum>(C)</enum><text>except as
				provided in section 8, publicly disclose any information relating to any market
				position, business transaction, trade secret, or name of any customer of a
				covered person.</text>
						</subparagraph></paragraph><paragraph id="id4A3F109669B54FBC93325107CF39AFC1"><enum>(5)</enum><header>Rulemaking</header>
						<subparagraph id="id1AB77AF9D7674C6DB05FF1E95A1B24CA"><enum>(A)</enum><header>Proposed
				rulemaking</header><text>Not later than 180 days after the date of enactment of
				this subsection, the Commission shall issue a notice of proposed rulemaking to
				specify the information required to be provided and maintained by a covered
				person under this subsection.</text>
						</subparagraph><subparagraph id="idF6716CEB2C6D487FBCA75FBC9DD35CDE"><enum>(B)</enum><header>Final
				rule</header><text>Not later than 1 year after the date of enactment of this
				subsection, the Commission shall promulgate a final rule to accomplish the
				purpose described in subparagraph
				(A).</text>
