		<official-title display="yes">To make ineligible for Federal contract
		  awards any expatriated corporations and any companies that do business with, or
		  own foreign subsidiaries that do business with, state sponsors of terrorism or
		  foreign terrorist organizations.</official-title>

		<section commented="no" display-inline="no-display-inline" id="IDD16A131D26354640AC4414338FA0A78D" section-type="section-one"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Restoring Integrity in Contracting Act
			 of 2007</short-title></quote>.</text>
		</section><section commented="no" display-inline="no-display-inline" id="idEFF5BC80DBFE4562B3F1F5DA16EE5A78" section-type="subsequent-section"><enum>2.</enum><header display-inline="yes-display-inline">Definitions</header>
			<subsection commented="no" display-inline="no-display-inline" id="id6DEAD58EBBC44543805F8CB1AB804CFC"><enum>(a)</enum><header display-inline="yes-display-inline">Corporate expatriation transaction
			 defined</header>
				<paragraph commented="no" display-inline="no-display-inline" id="id42865EFF7F4F4971A361E4DF929E0EE0"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">In this Act, the term <term>corporate
			 expatriation transaction</term>—</text>
					<subparagraph commented="no" display-inline="no-display-inline" id="id0896A996D0574597A5DF55348F3BA0DF"><enum>(A)</enum><text display-inline="yes-display-inline">means any transaction in which—</text>
						<clause commented="no" display-inline="no-display-inline" id="id21269F8667A74779AA4DCFB41A165D8E"><enum>(i)</enum><text display-inline="yes-display-inline">a foreign corporation (referred to in this
			 section as the <quote>acquiring corporation</quote>) acquires, as a result of
			 such transaction, directly or indirectly substantially all of the properties
			 held directly or indirectly by a domestic corporation; and</text>
						</clause><clause commented="no" display-inline="no-display-inline" id="id41669E7F2C1F475D88313AB64C071D6D"><enum>(ii)</enum><text display-inline="yes-display-inline">immediately after the transaction, more
			 than 80 percent of the stock (by vote or value) of the acquiring corporation is
			 held by former shareholders of the domestic corporation by reason of holding
			 stock in the domestic corporation; and</text>
						</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3956ED19A8DF4A30A9A9FAAFD13B3206"><enum>(B)</enum><text display-inline="yes-display-inline">includes any transaction in which—</text>
						<clause commented="no" display-inline="no-display-inline" id="id3867EADDDCB84CC29F2278DFC1FF79E3"><enum>(i)</enum><text display-inline="yes-display-inline">a foreign corporation acquires, as a result
			 of such transaction, directly or indirectly properties constituting a trade or
			 business of a domestic partnership; and</text>
						</clause><clause commented="no" display-inline="no-display-inline" id="id24F69901FA4A402F8E8D1BC17F4C0561"><enum>(ii)</enum><text display-inline="yes-display-inline">immediately after the transaction, more
			 than 80 percent of the stock (by vote or value) of the acquiring corporation is
			 held by former partners of the domestic partnership or related foreign
			 partnership (determined without regard to stock of the acquiring corporation
			 which is sold in a public offering related to the transaction).</text>
						</clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idDDB11808447A4A058036D60F03B67388"><enum>(2)</enum><header display-inline="yes-display-inline">Lower stock ownership threshold for certain
			 acquiring corporations</header><text display-inline="yes-display-inline">Clause
			 (ii) of paragraph (1)(A) shall be applied by substituting <quote>50
			 percent</quote> for <quote>80 percent</quote> with respect to any foreign
			 corporation if—</text>
					<subparagraph commented="no" display-inline="no-display-inline" id="id04B0E5F3C66A4114859A82F3AD38202B"><enum>(A)</enum><text display-inline="yes-display-inline">such corporation does not have substantial
			 business activities (when compared to the total business activities of the
			 expanded affiliated group) in the foreign country in which or under the law of
			 which the corporation is created or organized; and</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id1F6C80F8C19947DFA10826FC4EC396E6"><enum>(B)</enum><text display-inline="yes-display-inline">the stock of the corporation is publicly
			 traded and the principal market for the public trading of such stock is in the
			 United States.</text>
					</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idA6851A9A3E09418790CADB933303CEF3"><enum>(3)</enum><header display-inline="yes-display-inline">Rules for determining ownership and scope
			 of transaction</header><text display-inline="yes-display-inline">For purposes
			 of this subsection—</text>
					<subparagraph commented="no" display-inline="no-display-inline" id="id44659310BD3C4CEE92450700C53AFA75"><enum>(A)</enum><text display-inline="yes-display-inline">a series of related transactions shall be
			 treated as 1 transaction; and</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id02021FB152534BD98FA29C5E5AEC671E"><enum>(B)</enum><text display-inline="yes-display-inline">stock held by members of the expanded
			 affiliated group which includes the acquiring corporation shall not be taken
			 into account in determining ownership.</text>
					</subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idBCFEC6DEC5BA44489B6FC4B190F5E0A9"><enum>(b)</enum><header display-inline="yes-display-inline">Other definitions</header><text display-inline="yes-display-inline">In this Act:</text>
				<paragraph commented="no" display-inline="no-display-inline" id="id1F3F72BBF821455E80EB3A9186AB053F"><enum>(1)</enum><header display-inline="yes-display-inline">Domestic</header><text display-inline="yes-display-inline">The term <term>domestic</term> means
			 created or organized in the United States or under the law of the United States
			 or of any State.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id97F7B2C1B12044EF83F2B9D419D89CD8"><enum>(2)</enum><header display-inline="yes-display-inline">Executive agency</header><text display-inline="yes-display-inline">The term <term>executive agency</term> has
			 the meaning given the term in <external-xref legal-doc="usc" parsable-cite="usc/31/102">section 102</external-xref> of title 31, United States
			 Code.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id413CBF5800AE457EB23FC50CA7CDA5A3"><enum>(3)</enum><header display-inline="yes-display-inline">Expanded affiliated group</header><text display-inline="yes-display-inline">The term <term>expanded affiliated
			 group</term> means an affiliated group as defined in section 1504(a) of the
			 Internal Revenue Code of 1986, without regard to section 1504(b) of such
			 Code.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id53C46B5F990E4F448E9769BCD02C2079"><enum>(4)</enum><header display-inline="yes-display-inline">Foreign subsidiary</header><text display-inline="yes-display-inline">The term <term>foreign subsidiary</term>
			 means any foreign entity owned or controlled (directly or indirectly) by a
			 potential contractor.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id13F1ECBE1822482CB61EE41118EFA1FA"><enum>(5)</enum><header display-inline="yes-display-inline">State sponsor of terrorism</header><text display-inline="yes-display-inline">The term <term>state sponsor of
			 terrorism</term> means any government which the Secretary of State has
			 determined, for purposes of section 6(j) of the <act-name parsable-cite="EAA79">Export Administration Act of 1979</act-name> (50 U.S.C.
			 App. 2405(j)), section 620A of the <act-name parsable-cite="FAA61">Foreign
			 Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371</external-xref>)</act-name>, section 40 of the
			 <act-name parsable-cite="AECA">Arms Export Control Act</act-name> (22 U.S.C.
			 2780), or any other provision of law, to be a government that has provided
			 support for acts of international terrorism.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id561E6FB69EEC41DE878F50404323395B"><enum>(6)</enum><header display-inline="yes-display-inline">Foreign terrorist
			 organization</header><text display-inline="yes-display-inline">The term
			 <term>foreign terrorist organization</term> means a foreign terrorist
			 organization designated under section 219 of the <act-name parsable-cite="INA">Immigration and Nationality Act</act-name> (8 U.S.C.
			 1189).</text>
				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="IDDFD8D4B0AE594C6C8CE46BA179125B99" section-type="subsequent-section"><enum>3.</enum><header display-inline="yes-display-inline">Ineligibility of expatriated corporations
			 for Federal contract awards</header>
			<subsection commented="no" display-inline="no-display-inline" id="ID6CE8CCFE8FB94B02AF9543C79A6062DC"><enum>(a)</enum><header display-inline="yes-display-inline">In General</header><text display-inline="yes-display-inline">No acquiring corporation or any subsidiary
			 of such a corporation that enters into a corporate expatriation transaction
			 after the date of the enactment of this Act shall be eligible to be awarded a
			 Federal contract for the 5-year period beginning on the date that a disclosure
			 regarding such transaction is made under section 5.</text>
			</subsection><subsection commented="no" display-inline="no-display-inline" id="idC4FFA52DF8B8468AA35F97F8EECD0B56"><enum>(b)</enum><header display-inline="yes-display-inline">Penalties for failure to
			 disclose</header><text display-inline="yes-display-inline">In the event that
			 the Administrator for Federal Procurement Policy determines that an entity is
			 ineligible for a Federal contract under subsection (a) as a result of a
			 corporate expatriation transaction that the entity fails to disclose under
			 section 5(a), the period of ineligibility—</text>
				<paragraph commented="no" display-inline="no-display-inline" id="idA05F99DB03DB495ABD8BB169D94F2120"><enum>(1)</enum><text display-inline="yes-display-inline">shall begin on the date that the
			 Administrator makes such determination; and</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id9F01244170C34F0DA9C908089E22E969"><enum>(2)</enum><text display-inline="yes-display-inline">may be extended by the Administrator for a
			 period that is longer than the period otherwise applicable under subsection (a)
			 as a penalty for such failure to disclose.</text>
				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID8A6406B7201642809CC313D3C1525F58"><enum>(c)</enum><header display-inline="yes-display-inline">Waiver</header>
				<paragraph commented="no" display-inline="no-display-inline" id="ID6A5F202E8ABE4A53ADA46173FA61F98F"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Subject to paragraph (2), the President may
			 waive this section with respect to any specific contract if the President
			 certifies to Congress that the waiver is required in the interest of national
			 security.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID2AA6BC4F1C8940FBA08782191A139158"><enum>(2)</enum><header display-inline="yes-display-inline">Report</header><text display-inline="yes-display-inline">The President may not carry out a waiver
			 under paragraph (1) until a period of 30 days has expired after the President
			 submits to Congress a report containing the certification described in
			 paragraph (1) and setting forth the rationale for the waiver.</text>
				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="ID9393E8CE0D284179BDDA2F22BDBB49F4" section-type="subsequent-section"><enum>4.</enum><header display-inline="yes-display-inline">Ineligibility for Federal contract awards
			 of companies doing business with, and companies with foreign subsidiaries doing
			 business with, State sponsors of terrorism or foreign terrorist
			 organizations</header>
			<subsection commented="no" display-inline="no-display-inline" id="ID5DB278BF7A9143CAB7ECA382771CC749"><enum>(a)</enum><header display-inline="yes-display-inline">Ineligibility</header>
				<paragraph commented="no" display-inline="no-display-inline" id="id60C0E7EC9C774CCDA652C894093BAAA6"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Except as provided under paragraph (2), any
			 entity doing business with, or having a parent or subsidiary doing business
			 with, a state sponsor of terrorism or foreign terrorist organization after the
			 date of the enactment of this Act shall be ineligible to be awarded a Federal
			 contract for the period described in subsection (b).</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8234E39E6A5F460A9900EA98C07CE7AA"><enum>(2)</enum><header display-inline="yes-display-inline">Exception for entities doing business in
			 compliance with the Trade Sanctions Reform and Export Enhancement Act of
			 2000</header>
					<subparagraph commented="no" display-inline="no-display-inline" id="idC4B50104A86947398D93DD681AD4812C"><enum>(A)</enum><header display-inline="yes-display-inline">Authority unaffected</header><text display-inline="yes-display-inline">Nothing in this section shall be construed
			 to prohibit or restrict an entity from selling food, agricultural commodities,
			 medicine, or medical products to a state sponsor of terrorism or foreign
			 terrorist organization pursuant to section 906 of the Trade Sanctions Reform
			 and Export Enhancement Act of 2000 (<external-xref legal-doc="usc" parsable-cite="usc/22/7205">22 U.S.C. 7205</external-xref>).</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idB145C93F1EED418481E0CAC46CD883A3"><enum>(B)</enum><header display-inline="yes-display-inline">Eligibility for contracts
			 unaffected</header><text display-inline="yes-display-inline">No entity selling
			 food, agricultural commodities, medicine, or medical products to a state
			 sponsor of terrorism or foreign terrorist organization in full compliance with
			 the requirements of section 906 of the Trade Sanctions Reform and Export
			 Enhancement Act of 2000 (<external-xref legal-doc="usc" parsable-cite="usc/22/7205">22 U.S.C. 7205</external-xref>), or any parent or subsidiary of such
			 entity, shall be deemed ineligible to be awarded a Federal contract under
			 subsection (a) as a result of conducting such business.</text>
					</subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID93372E9336674D59A6F3758AF3EE7732"><enum>(b)</enum><header display-inline="yes-display-inline">Period of Ineligibility</header>
				<paragraph commented="no" display-inline="no-display-inline" id="id5DEDD22DB610412FA11E3B112BE58650"><enum>(1)</enum><header display-inline="yes-display-inline">Duration</header><text display-inline="yes-display-inline">The period of ineligibility referred to in
			 subsection (a)(1), as determined by the Administrator for Federal Procurement
			 Policy, in cooperation with the Secretary of State, shall be—</text>
					<subparagraph commented="no" display-inline="no-display-inline" id="ID68D9451FEC3248BC95F26FC42A18C1DA"><enum>(A)</enum><text display-inline="yes-display-inline">5 years for a first offense;</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID40024E9454CB4909B85EF05FD0A3C96B"><enum>(B)</enum><text display-inline="yes-display-inline">10 years for a second offense; and</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID681DAD4D97904193B13FC9F2AA61B0B9"><enum>(C)</enum><text display-inline="yes-display-inline">15 years for any offense after a second
			 offense.</text>
					</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id068028BAB0E44B5E9AE95CE70CF79916"><enum>(2)</enum><header display-inline="yes-display-inline">Commencement</header><text display-inline="yes-display-inline">The period of ineligibility under this
			 subsection shall begin on the date that a contractor makes a disclosure under
			 section 5 that, according to the criteria under such section, the contractor is
			 doing or has done business with, or has a subsidiary that is doing or has done
			 business with, a state sponsor of terrorism or foreign terrorist
			 organization.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id5F1FBAD6F8D644FFB995E073EB70FDDB"><enum>(3)</enum><header display-inline="yes-display-inline">Penalties for failure to
			 disclose</header><text display-inline="yes-display-inline">In the event that
			 the Administrator for Federal Procurement Policy determines that an entity is
			 ineligible for a Federal contract under subsection (a) as a result of a
			 transaction or activity that the entity fails to disclose under section 5(a),
			 the period of ineligibility—</text>
					<subparagraph commented="no" display-inline="no-display-inline" id="id305665DC6CD549929722B72B409FCCBB"><enum>(A)</enum><text display-inline="yes-display-inline">shall begin on the date that the
			 Administrator makes such determination; and</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0D2D2C4C80A347448B96D252D09DC3F0"><enum>(B)</enum><text display-inline="yes-display-inline">may be extended by the Administrator for a
			 period longer than the period otherwise applicable under paragraph (1) as a
			 penalty for such failure to disclose.</text>
					</subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID23E2F9675EC44C378A33A61D9BEE7AA9"><enum>(c)</enum><header display-inline="yes-display-inline">Complaints</header>
				<paragraph commented="no" display-inline="no-display-inline" id="ID4872AE5B67D7433EBCB1EC1463EC3B04"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Any United States citizen may file a
			 complaint with an executive agency regarding a Federal contractor that has
			 committed an offense under this section.</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDDC2EEC9A20484F4B891ABB8CCC4A1015"><enum>(2)</enum><header display-inline="yes-display-inline">Report</header><text display-inline="yes-display-inline">The head of each executive agency shall
			 submit to Congress an annual report on the complaints received by citizens
			 under this subsection, including the nature of the complaint and the manner in
			 which the agency handled the complaint.</text>
				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id001E442D22B4463E829DB6AA2EE7D6BE" section-type="subsequent-section"><enum>5.</enum><header display-inline="yes-display-inline">Disclosure requirements</header>
			<subsection commented="no" display-inline="no-display-inline" id="idC4ED237FA90C41ADACA593B2E680F63F"><enum>(a)</enum><header display-inline="yes-display-inline">Certification</header><text display-inline="yes-display-inline">Not later than 180 days after the date of
			 the enactment of this Act, the Federal Acquisition Regulation issued pursuant
			 to section 25 of the Office of Federal Procurement Policy Act (<external-xref legal-doc="usc" parsable-cite="usc/41/421">41 U.S.C. 421</external-xref>)
			 shall be revised to require that every contractor that submits a bid for a
			 government contract shall be required to submit with such bid a certification
			 describing—</text>
				<paragraph commented="no" display-inline="no-display-inline" id="id644617AD1A6B4939B9EE59359F6B6031"><enum>(1)</enum><text display-inline="yes-display-inline">whether the contractor or the contractor’s
			 parent company has entered into a corporate expatriation transaction after the
			 date of the enactment of this Act; and</text>
				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id0F239A6C0B78415C8A4DB49120C3B385"><enum>(2)</enum><text display-inline="yes-display-inline">whether the contractor, the contractor’s
			 domestic parent company, or any other domestic subsidiaries of the domestic
			 parent company are doing business, or own a foreign subsidiary that is doing
			 business, or has done business since the date of the enactment of this Act,
			 with a state sponsor of terrorism or a foreign terrorist organization.</text>
				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id9E7C374F8A6E46B4AD8DCBDA4003E706"><enum>(b)</enum><header display-inline="yes-display-inline">Information sharing</header><text display-inline="yes-display-inline">The head of each executive agency shall
			 regularly transmit information disclosed pursuant to subsection (a) to the
			 Administrator for Federal Procurement Policy.</text>
			</subsection><subsection commented="no" display-inline="no-display-inline" id="id130421CC3EF84346BB1EE283AEAF399E"><enum>(c)</enum><header display-inline="yes-display-inline">Database</header><text display-inline="yes-display-inline">The Office of Federal Procurement Policy
			 Act (<external-xref legal-doc="usc" parsable-cite="usc/41/403">41 U.S.C. 403 et seq.</external-xref>) is amended by adding at the end the following new
			 section:</text>
				<quoted-block act-name="" display-inline="no-display-inline" id="id87BBB1CB31B8438EB72F7556BD219B2F" style="OLC">
					<section commented="no" display-inline="no-display-inline" id="id315D5C4E609B433FBC83FEEF8536BD03" section-type="subsequent-section"><enum>43.</enum><header display-inline="yes-display-inline">Database of corporate expatriation
				transactions and transactions with state sponsors of terrorism or foreign
				terrorist organizations</header>
						<subsection commented="no" display-inline="no-display-inline" id="id864E5A2099AC462C92D8E0676ED5165F"><enum>(a)</enum><header display-inline="yes-display-inline">Database</header><text display-inline="yes-display-inline">The Administrator for Federal Procurement
				Policy shall establish and maintain a database listing each contractor that,
				after the date of the enactment of the <short-title>Restoring Integrity in Contracting Act of
				2007</short-title>—</text>
							<paragraph commented="no" display-inline="no-display-inline" id="idB80138F5E21A4B15BE4C1938C93C0838"><enum>(1)</enum><text display-inline="yes-display-inline">has entered into a corporate expatriation
				transaction, or has a parent company that has entered into such a transaction;
				or</text>
							</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idFBB6951A994C45698221D5D291FE00C7"><enum>(2)</enum><text display-inline="yes-display-inline">has done business with, or owns a foreign
				subsidiary that has done business with, a state sponsor of terrorism or a
				foreign terrorist organization, or has a domestic parent company that has done,
				or has any other domestic subsidiaries that have done, such business.</text>
							</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idDB0BCEDDFE5E426E9A8F5F4AD76A580D"><enum>(b)</enum><header display-inline="yes-display-inline">Collection of information</header><text display-inline="yes-display-inline">The Administrator shall establish and
				maintain the database under subsection (a) using information compiled from
				certifications submitted by contractors pursuant to section 5(a) of the
				<short-title>Restoring Integrity in Contracting Act of
				2007</short-title>.</text>
						</subsection><subsection commented="no" display-inline="no-display-inline" id="id00DEF7EA9F1B4A0999E1B704A795429B"><enum>(c)</enum><header display-inline="yes-display-inline">Corporate expatriation transaction
				defined</header>
							<paragraph commented="no" display-inline="no-display-inline" id="id9EFE46FE38C6415A87FD14D365A1FDC4"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">In this section, the term <term>corporate
				expatriation transaction</term>—</text>
								<subparagraph commented="no" display-inline="no-display-inline" id="id26981FAFF2154311A5A63120F81FDA17"><enum>(A)</enum><text display-inline="yes-display-inline">means any transaction in which—</text>
									<clause commented="no" display-inline="no-display-inline" id="idFB4C9899AF1E46F990522019D9607562"><enum>(i)</enum><text display-inline="yes-display-inline">a foreign corporation (referred to in this
				section as the <quote>acquiring corporation</quote>) acquires, as a result of
				such transaction, directly or indirectly substantially all of the properties
				held directly or indirectly by a domestic corporation; and</text>
									</clause><clause commented="no" display-inline="no-display-inline" id="idA251831250B247AEBFA9EA959C907298"><enum>(ii)</enum><text display-inline="yes-display-inline">immediately after the transaction, more
				than 80 percent of the stock (by vote or value) of the acquiring corporation is
				held by former shareholders of the domestic corporation by reason of holding
				stock in the domestic corporation; and</text>
									</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id11E423D86932467890F5B2A6BD775119"><enum>(B)</enum><text display-inline="yes-display-inline">includes any transaction in which—</text>
									<clause commented="no" display-inline="no-display-inline" id="id418F99846368433399AD348FA252446C"><enum>(i)</enum><text display-inline="yes-display-inline">a foreign corporation acquires, as a result
				of such transaction, directly or indirectly properties constituting a trade or
				business of a domestic partnership; and</text>
									</clause><clause commented="no" display-inline="no-display-inline" id="id27F9117BA2BF4442902D0803DBF90D5D"><enum>(ii)</enum><text display-inline="yes-display-inline">immediately after the transaction, more
				than 80 percent of the stock (by vote or value) of the acquiring corporation is
				held by former partners of the domestic partnership or related foreign
				partnership (determined without regard to stock of the acquiring corporation
				which is sold in a public offering related to the transaction).</text>
									</clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idDF598A93BE2E43F8994726B89A0D0836"><enum>(2)</enum><header display-inline="yes-display-inline">Lower stock ownership threshold for certain
				acquiring corporations</header><text display-inline="yes-display-inline">Clause
				(ii) of paragraph (1)(A) shall be applied by substituting <quote>50
				percent</quote> for <quote>80 percent</quote> with respect to any foreign
				corporation if—</text>
								<subparagraph commented="no" display-inline="no-display-inline" id="idF66F855241154E4DA6B426EB2520B51C"><enum>(A)</enum><text display-inline="yes-display-inline">such corporation does not have substantial
				business activities (when compared to the total business activities of the
				expanded affiliated group) in the foreign country in which or under the law of
				which the corporation is created or organized; and</text>
								</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id12CB44F32A714A9681C8D9DBD9BFB447"><enum>(B)</enum><text display-inline="yes-display-inline">the stock of the corporation is publicly
				traded and the principal market for the public trading of such stock is in the
				United States.</text>
								</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idA847F2E33B46432A940FCA5AA9CF04F3"><enum>(3)</enum><header display-inline="yes-display-inline">Rules for determining ownership and scope
				of transaction</header><text display-inline="yes-display-inline">For purposes
				of this subsection—</text>
								<subparagraph commented="no" display-inline="no-display-inline" id="idE6456CF4D18F450694ADF50A227BFDB9"><enum>(A)</enum><text display-inline="yes-display-inline">a series of related transactions shall be
				treated as 1 transaction; and</text>
								</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id08024932FDA94A52AD21B3D372D5CE1E"><enum>(B)</enum><text display-inline="yes-display-inline">stock held by members of the expanded
				affiliated group which includes the acquiring corporation shall not be taken
				into account in determining ownership.</text>
								</subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id338328022A7F46979FDD85412914A789"><enum>(d)</enum><header display-inline="yes-display-inline">Other definitions</header><text display-inline="yes-display-inline">In this section:</text>
							<paragraph commented="no" display-inline="no-display-inline" id="id0486A93932E04704849AAAD233708158"><enum>(1)</enum><header display-inline="yes-display-inline">Domestic</header><text display-inline="yes-display-inline">The term <term>domestic</term> means
				created or organized in the United States or under the law of the United States
				or of any State.</text>
							</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id1E594F98B9814394A8F53B365F057F64"><enum>(2)</enum><header display-inline="yes-display-inline">Expanded affiliated group</header><text display-inline="yes-display-inline">The term <term>expanded affiliated
				group</term> means an affiliated group as defined in section 1504(a) of the
				Internal Revenue Code of 1986, without regard to section 1504(b) of such
				Code.</text>
							</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id2E989047B6204BEB92E773C0C3C9675D"><enum>(3)</enum><header display-inline="yes-display-inline">Foreign subsidiary</header><text display-inline="yes-display-inline">The term <term>foreign subsidiary</term>
				means any foreign entity owned or controlled (directly or indirectly) by a
				potential contractor.</text>
							</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idA07450E1926540CC865948A8A8BEF1E2"><enum>(4)</enum><header display-inline="yes-display-inline">State sponsor of terrorism</header><text display-inline="yes-display-inline">The term <term>state sponsor of
				terrorism</term> means any government which the Secretary of State has
				determined, for purposes of section 6(j) of the <act-name parsable-cite="EAA79">Export Administration Act of 1979</act-name> (50 U.S.C.
				App. 2405(j)), section 620A of the <act-name parsable-cite="FAA61">Foreign
				Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371</external-xref>)</act-name>, section 40 of the
				<act-name parsable-cite="AECA">Arms Export Control Act</act-name> (22 U.S.C.
				2780), or any other provision of law, to be a government that has provided
				support for acts of international terrorism.</text>
							</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id844D5F21B645428794D8C6CE409A87B0"><enum>(5)</enum><header display-inline="yes-display-inline">Foreign terrorist
				organization</header><text display-inline="yes-display-inline">The term
				<term>foreign terrorist organization</term> means a foreign terrorist
				organization designated under section 219 of the <act-name parsable-cite="INA">Immigration and Nationality Act</act-name> (8 U.S.C.
				1189).</text>
