		<official-title>To amend the Sarbanes-Oxley Act of 2002 to require
		  officers to repay bonus amounts received during a year in which their company
		  is subject to a taxpayer bailout, as well as the two previous
		  years.</official-title>

		<section id="H10AF2D6FC4084D20901173088385D901" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Taxpayer Bailout Protection Act of
			 2008</short-title></quote>.</text>
		</section><section id="HCFEAB00C97E14D5EAEA5593BFF5008B"><enum>2.</enum><header>Repayment of bonus
			 in case of taxpayer bailout</header>
			<subsection id="H4B11151C17A6475081F746009F913EA6"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">Section 304 of the
			 Sarbanes-Oxley Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/15/7243">15 U.S.C. 7243</external-xref>) is amended by adding at the end the
			 following new subsection:</text>
				<quoted-block display-inline="no-display-inline" id="H13D55F80F360466F937E28CC39E70754" style="OLC">
					<subsection id="H43CA207C14AD44EA8347AB649C5668DA"><enum>(c)</enum><header>Repayment of
				bonus in case of taxpayer bailout</header>
						<paragraph id="HFCC2B23C043146DD8EB7F400D6088CED"><enum>(1)</enum><header>In
				general</header><text>An officer of an issuer shall pay to the Department of
				the Treasury any amounts received by such officer during a year as a bonus or
				other incentive-based or equity-based compensation from the issuer
				during—</text>
							<subparagraph id="H436F66ABFC3C4CDB9719D4C5F4F10BA"><enum>(A)</enum><text>a year in which the
				issuer is subject to a taxpayer bailout; and</text>
							</subparagraph><subparagraph id="H1264F1621E954C78B37136E9F70020A6"><enum>(B)</enum><text>the two years
				prior to a year in which the issuer is subject to a taxpayer bailout.</text>
							</subparagraph></paragraph><paragraph id="HCB0BD0C2355C4D54B6BD95D0D028DDE5"><enum>(2)</enum><header>Taxpayer bailout
				defined</header><text display-inline="yes-display-inline">For purposes of this
				subsection, and with respect to an issuer, the term <quote>taxpayer
				bailout</quote> means—</text>
							<subparagraph id="HAE11506098C24FAA8E4480A2EC33A21D"><enum>(A)</enum><text display-inline="yes-display-inline">the placement of the issuer under
				conservatorship, receivership, or other assumption of the management,
				governance, and control of the issuer by the Department of the Treasury or the
				Board of Governors of the Federal Reserve; or</text>
							</subparagraph><subparagraph id="H610ACDAD52884BF8BA6264EA681B5266"><enum>(B)</enum><text display-inline="yes-display-inline">an emergency loan of public funds made to
				the issuer by the Department of the Treasury or the Board of Governors of the
				Federal Reserve, if the Chairman of the Board of Governors of the Federal
				Reserve determines that such a loan is necessary to prevent the imminent
				failure of the
				issuer.</text>
							</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H23BB57A0163D4315B56EDE2D5E57B0A5"><enum>(b)</enum><header>Effective
			 date</header><text>The amendment made by this section shall take effect with
			 respect to bonuses and other incentive-based or equity-based compensation
			 received by an officer after the date of the enactment of this Act.</text>
