		<section id="HE08329BAC8014C529700DE96F60018D2" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Accountability in Deferred Prosecution
			 Act of 2008</short-title></quote>.</text>
		</section><section id="H74BA461363164A0CBC35189F12231D47"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act—</text>
			<paragraph id="HD79427450EEE43DA88B54ED8300750D3"><enum>(1)</enum><text>the term
			 <quote>deferred prosecution agreement</quote> means an agreement between a
			 Federal prosecutor and an organization to conditionally defer prosecution of
			 that organization in a criminal case in which charges are filed;</text>
			</paragraph><paragraph id="H66DC54CAED77444ABD3B481D346CF479"><enum>(2)</enum><text display-inline="yes-display-inline">the term <quote>nonprosecution
			 agreement</quote> means an agreement between a Federal prosecutor and an
			 organization to conditionally decide not to file criminal charges against the
			 organization;</text>
			</paragraph><paragraph id="H88D1776E55A24BDB96669DAE678FAB67"><enum>(3)</enum><text>the term
			 <quote>organization</quote> means a person or entity other than an individual;
			 and</text>
			</paragraph><paragraph id="HC5FFD8519897409FAB3BF3599CC1D11"><enum>(4)</enum><text>the term
			 <quote>independent monitor</quote> means a person or entity outside the
			 Department of Justice that is selected to oversee the implementation of a
			 deferred prosecution agreement or nonprosecution agreement.</text>
			</paragraph></section><section id="HBCC6C525D13B44049205080449EBB060"><enum>3.</enum><header>Legal equivalence
			 of nonprosecution agreement and deferred prosecution agreement</header><text display-inline="no-display-inline">A nonprosecution agreement shall be subject
			 to all the requirements this Act and other law imposes on deferred prosecution
			 agreements.</text>
		</section><section id="H7AF45A07F48C43FFB7012901DD63CBA2"><enum>4.</enum><header>Administrative
			 guidelines on agreements</header>
			<subsection id="HA9F659B9457D450093B2B53B9087C9E0"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">In order to promote
			 uniformity and to assist prosecutors and organizations as they negotiate and
			 implement deferred prosecution agreements and nonprosecution agreements, the
			 Attorney General shall, not later than 90 days after the date of the enactment
			 of this Act, issue public written guidelines for deferred prosecution
			 agreements and nonprosecution agreements.</text>
			</subsection><subsection id="H7FA5EB16AB1347B680073570EDF7A5B5"><enum>(b)</enum><header>Matters
			 guidelines To cover</header><text display-inline="yes-display-inline">The
			 guidelines issued under this section shall provide direction in the following
			 areas:</text>
				<paragraph id="H871D6DDD99BB4E58B9A2BCC1125FB44D"><enum>(1)</enum><text>The circumstances
			 in which an independent monitor is warranted for the agreement, the duties and
			 authority of such a monitor, and to whom the monitor owes those duties.</text>
				</paragraph><paragraph id="HFA5ACD9556AF4B2EA7B8926CC05C6864"><enum>(2)</enum><text>What terms and
			 conditions are appropriate in the agreement, including when, whether, and the
			 degree to which Federal prosecutors should seek monetary penalties,
			 restitution, civil settlements, and post-monitoring conditions.</text>
				</paragraph><paragraph id="H24E5D1A0E9CE4009BFD2A5C857314C2"><enum>(3)</enum><text>Whether the
			 agreement should include some or all of the requirements of section 8B2.1 of
			 the United States Sentencing Guidelines for compliance and ethics
			 programs.</text>
				</paragraph><paragraph id="H7B50142E179346F9AD2ECD09A3871193"><enum>(4)</enum><text>The process by
			 which the Department of Justice decides that the organization has successfully
			 satisfied the terms of the agreement.</text>
				</paragraph><paragraph id="HED573DD9860145AC8DEDBC9473D1EE80"><enum>(5)</enum><text>The manner and
			 method for determining a breach of the agreement.</text>
				</paragraph><paragraph id="HB964796833014022972BE1E18D6DE27D"><enum>(6)</enum><text>The extent of
			 joint involvement of regulatory agencies in connection with the agreement and
			 the division of responsibilities with those agencies.</text>
				</paragraph><paragraph id="H49AF26E65F454FE79EABA0F46F8CA780"><enum>(7)</enum><text>The period during
			 which the agreement should remain in effect.</text>
				</paragraph><paragraph id="H5CE94994F20E42769D55C4D4E5C73D5F"><enum>(8)</enum><text>What constitutes
			 the cooperation, if any, required by the agreement from the organization and
			 its employees with respect to any ongoing criminal investigations, including
			 the length of the obligation to cooperate.</text>
				</paragraph><paragraph id="HCB7F6F096F0A450894B000765E2B9F62"><enum>(9)</enum><text>When and why it
			 would be appropriate for Federal prosecutors to enter into a nonprosecution
			 agreement rather than a deferred prosecution agreement.</text>
				</paragraph></subsection></section><section id="HA854110856A24775921515A2EB3393F"><enum>5.</enum><header>Selection and
			 compensation of independent monitors of agreements</header>
			<subsection id="H832AC9D6D1F64AFC89834E05A4AE2CF1"><enum>(a)</enum><header>Rules for
			 selection of monitors</header><text display-inline="yes-display-inline">The
			 Attorney General shall establish rules for the selection of independent
			 monitors in connection with deferred prosecution agreements.</text>
			</subsection><subsection id="H3AC8A299FB4F4D27AF13218934D34C00"><enum>(b)</enum><header>National list of
			 possible monitors</header><text>Such rules shall provide for the creation of a
			 national list of organizations and individuals who have the expertise and
			 specialized skills necessary to serve as independent monitors. The Attorney
			 General shall place the list on the public website of the Department of
			 Justice.</text>
			</subsection><subsection id="H1540BF2CE84947C8B727FDA43CF6C4D5"><enum>(c)</enum><header>Open selection
			 process</header><text display-inline="yes-display-inline">Such rules shall also
			 provide for an open, public, and competitive process for the selection of such
			 monitors. The Department of Justice shall, subject to the approval of the
			 court, appoint the independent monitor from the national list created under
			 this section.</text>
			</subsection><subsection id="H73617BC350E34A239CC5E669C16D6EA"><enum>(d)</enum><header>Compensation</header><text>The
			 Attorney General shall establish a fee schedule for the compensation of
			 independent monitors and their support staff, and place that fee schedule on
			 the public website of the Department of Justice. Before a deferred prosecution
			 agreement that entails monitoring is entered into, this schedule shall also be
			 provided to each organization that is to be monitored pursuant to that
			 agreement.</text>
			</subsection></section><section id="H0F84717C5B944899B907B46E443E6372"><enum>6.</enum><header>Restrictions
			 relating to agreements</header>
			<subsection id="HB14E10FCC56646A3A00470D956D9CD5F"><enum>(a)</enum><header>Payments to
			 unrelated third parties</header><text display-inline="yes-display-inline">A
			 deferred prosecution agreement shall not require an organization to pay money
			 to a third party, other than a monitor or the monitor’s staff, if the payment
			 is unrelated to the harm caused by the defendant’s conduct that is the basis
			 for the agreement.</text>
			</subsection><subsection id="H7A2CFFB6874B4EEE98517BE99E678965"><enum>(b)</enum><header>Impartiality in
			 selection of independent monitors</header><text display-inline="yes-display-inline">Attorneys who are or might participate in
			 the prosecution of the case against an organization to be monitored shall have
			 no role in the selection of the independent monitor, other than suggesting
			 qualifications for the monitor.</text>
			</subsection><subsection id="HC70720D7DC5747788BF74B8B3B286414"><enum>(c)</enum><header>Treatment of
			 violations as conflicts of interest</header><text>The Attorney General shall
			 take appropriate steps to treat a violation of this section as a conflict of
			 interest and to remedy any such conflicts of interest.</text>
			</subsection></section><section id="HFB6F090C4B9A4DDBAD2EA3F4522D3B00"><enum>7.</enum><header>Judicial
			 oversight of agreements</header>
			<subsection id="H732000232F48457B95AC749426E55B37"><enum>(a)</enum><header>Court approval
			 of agreement</header><text>The Government shall file each deferred prosecution
			 agreement in an appropriate United States district court. The court shall
			 approve the agreement if the court determines the agreement is consistent with
			 the guidelines for such agreements and is in the interests of justice. The
			 agreement shall take effect on the approval of the court.</text>
			</subsection><subsection id="H926FC4901C9E44ABBC45C4F2915737F0"><enum>(b)</enum><header>Quarterly
			 reports</header><text>Each party to the agreement and any independent monitor
			 required under the agreement shall submit to the court in which the agreement
			 is filed quarterly reports on the progress made toward the completion of the
			 agreement, and describing any concern the filer has about the implementation of
			 the agreement. In the final quarterly report, the independent monitor shall
			 include a full and itemized statement of the work done and the compensation
			 earned for that work.</text>
			</subsection><subsection id="HE425795A6CB848DA8CD5C129EB24E578"><enum>(c)</enum><header>Court
			 review</header><text>The court shall, on motion of any party or the independent
			 monitor if there is one, review the implementation or termination of the
			 agreement, and take any appropriate action, to assure that the implementation
			 or termination is consistent with the interests of justice.</text>
			</subsection></section><section id="H13D7F14E190D4145B663CBBBE7EDAC4D"><enum>8.</enum><header>Public disclosure
			 relating to deferred prosecution agreements</header>
			<subsection id="H04223782C80547ED902D629374EAC600"><enum>(a)</enum><header>Disclosure on
			 Department of Justice website</header><text display-inline="yes-display-inline">Upon the taking effect of a deferred
			 prosecution agreement, the Attorney General shall place the text of the
			 agreement on the public website of the Department of Justice, together with all
			 the terms and conditions of any agreement or understanding between an
			 independent monitor appointed pursuant to that agreement and the organization
			 monitored.</text>
			</subsection><subsection id="HD0B7CE687EC042D5A86404655B8BFE85"><enum>(b)</enum><header>Exceptions
			 approved by court</header><text>Subject to the limitation in subsection (c),
			 the court may, upon petition of any interested party, approve an exception to
			 the requirements of this section for good cause shown. Good cause includes that
			 the information proposed to be excepted from the requirements is proprietary,
			 confidential, or a trade secret.</text>
			</subsection><subsection id="HC8569CAD1D534BE48E76523B77006797"><enum>(c)</enum><header>Minimum
			 disclosure</header><text>The court may not approve an exception from the
			 requirements of this section for the fact that the deferred prosecution
			 agreement has been filed with the court, the name of the organization to which
			 it pertains, or the identity and financial terms agreed upon with respect to
			 any independent monitor chosen in connection with the agreement.</text>
			</subsection></section></legis-body>
