<section commented="no" display-inline="no-display-inline" id="H23233225F72746CB98D815CFAB14E12D" section-type="section-one"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stop Business with Terrorists Act of 2008</short-title></quote>.</text></section>
<section commented="no" display-inline="no-display-inline" id="HEBD64F5E4DA043189FB4C75204DBB399" section-type="subsequent-section"><enum>2.</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="no-display-inline">In this Act:</text>
<paragraph commented="no" display-inline="no-display-inline" id="H30F64E69F08F427C0073776E691D4285"><enum>(1)</enum><header display-inline="yes-display-inline">Entity</header><text display-inline="yes-display-inline">The term <term>entity</term> means a partnership, association, trust, joint venture, corporation, or other organization.</text></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="H987E8C11472A4C0284245D1EF650CED0"><enum>(2)</enum><header display-inline="yes-display-inline">Parent company</header><text display-inline="yes-display-inline">The term <term>parent company</term> means an entity that is a United States person and—</text>
<subparagraph commented="no" display-inline="no-display-inline" id="HD389506FDB574BC382107FFA3B2F7728"><enum>(A)</enum><text display-inline="yes-display-inline">the entity owns, directly or indirectly, more than 50 percent of the equity interest by vote or value in another entity;</text></subparagraph>
<subparagraph commented="no" display-inline="no-display-inline" id="H8D359B38F145440F8DBF3528A5C9EB67"><enum>(B)</enum><text display-inline="yes-display-inline">board members or employees of the entity hold a majority of board seats of another entity; or</text></subparagraph>
<subparagraph commented="no" display-inline="no-display-inline" id="HF182C6DED90642C992D392C8AF2400AC"><enum>(C)</enum><text display-inline="yes-display-inline">the entity otherwise controls or is able to control the actions, policies, or personnel decisions of another entity.</text></subparagraph></paragraph>
<paragraph commented="no" display-inline="no-display-inline" id="H4B70152ABF3741E2B46C349B1E40FFC9"><enum>(3)</enum><header display-inline="yes-display-inline">United States person</header><text display-inline="yes-display-inline">The term <term>United States person</term> means—</text>
<subparagraph commented="no" display-inline="no-display-inline" id="HE62598334D094FAC87D58DA4D44206B9"><enum>(A)</enum><text display-inline="yes-display-inline">a natural person who is a citizen of the United States or who owes permanent allegiance to the United States; and</text></subparagraph>
<subparagraph commented="no" display-inline="no-display-inline" id="H3351FC1AC47C4FE9A07400B56F13B0B0"><enum>(B)</enum><text display-inline="yes-display-inline">an entity that is organized under the laws of the United States, any State or territory thereof, or the District of Columbia, if natural persons described in subparagraph (A) own, directly or indirectly, more than 50 percent of the outstanding capital stock or other beneficial interest in such entity.</text></subparagraph></paragraph></section>
<section commented="no" display-inline="no-display-inline" id="HCDAFFB2371E349B493A9DF255FE662D0" section-type="subsequent-section"><enum>3.</enum><header display-inline="yes-display-inline">Liability of parent companies for violations of sanctions by foreign entities</header>
<subsection commented="no" display-inline="no-display-inline" id="HBC4EE98348C1449100C9849CF4A11D1B"><enum>(a)</enum><header display-inline="yes-display-inline">In General</header><text display-inline="yes-display-inline">In any case in which an entity engages in an act outside the United States that, if committed in the United States or by a United States person, would violate the provisions of Executive Order 12959 (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701</external-xref> note) or Executive Order 13059 (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701</external-xref> note), or any other prohibition on transactions with respect to Iran imposed under the authority of the International Emergency Economic Powers Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701 et seq.</external-xref>), the parent company of the entity shall be subject to the penalties for the act to the same extent as if the parent company had engaged in the act.</text></subsection>
<subsection commented="no" display-inline="no-display-inline" id="HF154B9D4D56E449880F91452B5E803A2"><enum>(b)</enum><header display-inline="yes-display-inline">Applicability</header><text display-inline="yes-display-inline">Subsection (a) shall not apply to a parent company of an entity on which the President imposed a penalty for a violation described in subsection (a) that was in effect on the date of the enactment of this Act if the parent company divests or terminates its business with such entity not later than 90 days after such date of enactment.</text></subsection></section>
