<section id="HB185E4D41D9A4E4BAA5B364E1474B2C1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Reinsurance International Solvency Standards Evaluation Board Act of 2008</short-title></quote>.</text> </section>
<section id="HE45660C346F649C0AA103F98AE9700A8"><enum>2.</enum><header>Establishment</header><text display-inline="no-display-inline">There is established the Reinsurance International Solvency Standards Evaluation Board, to evaluate the reinsurance supervisory systems of the States of the United States and jurisdictions outside the United States to determine, on a uniform basis, whether such systems provide adequate capital and risk management standards and an acceptable level of prudential supervision over their domiciled reinsurers.</text> </section>
<section id="H97E6099F6B1146EC92F548BCD543BE89"><enum>3.</enum><header>Corporate status</header> 
<subsection id="H0E86058B1D9E42AEAF002956CAA37CC7"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Board shall—</text> 
<paragraph id="H6375E9649367412F96B3C8C223E8D82"><enum>(1)</enum><text display-inline="yes-display-inline">be a nonprofit corporation;</text> </paragraph>
<paragraph id="HC7B412DE836643A8B42369E26346E97B"><enum>(2)</enum><text>have succession until dissolved by an Act of Congress;</text> </paragraph>
<paragraph id="H6F984D364D36424DACD6DFCE888B5F07"><enum>(3)</enum><text>not be an agency or establishment of the United States Government; and</text> </paragraph>
<paragraph id="HF279627955684523AF3C8009EFC2FCB"><enum>(4)</enum><text>except as otherwise provided in this Act, be subject to, and have all the powers conferred upon a nonprofit corporation by, the District of Columbia Nonprofit Corporation Act.</text> </paragraph></subsection>
<subsection id="HB7E6C1B58A0949A4A25F2BAF40EB5122"><enum>(b)</enum><header>Nongovernmental employees</header><text display-inline="yes-display-inline">No member or person employed by, or who is an agent for, the Board shall be considered to be an officer or employee of or agent for the Federal Government by reason of such service.</text> </subsection></section>
<section id="HEC96C2B7ADB043DCBF5D3B562637713D"><enum>4.</enum><header>Membership and oversight</header> 
<subsection id="HFCEC3B0B54944C33B3234716AE0042B6"><enum>(a)</enum><header>Appointment</header><text display-inline="yes-display-inline">The Board shall have seven members as follows:</text> 
<paragraph id="H7CA76C9FC87B46889215A8F73B884E82"><enum>(1)</enum><text>All members shall be appointed by the President from among individuals who have demonstrated expertise in reinsurance matters and shall serve at the pleasure of the President.</text> </paragraph>
<paragraph id="H202C855340344E30AB6CBEA5716C7570"><enum>(2)</enum><text display-inline="yes-display-inline">A majority of the members of the Board shall be selected from among the lists of individuals having reinsurance regulatory expertise that may be submitted to the President by any State insurance regulatory authority or any association representing such authorities, subject only to the submission of multiple such lists and the inclusion in each list submitted of a reasonable number of names of individuals.</text> </paragraph></subsection>
<subsection id="H61155DE8344E4E278F005F4F57411F72"><enum>(b)</enum><header>Terms</header> 
<paragraph id="H0A66EEEB58D843279DCF565204A42700"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided in paragraph (2), each member of the Board shall be appointed for a term of seven years.</text> </paragraph>
<paragraph id="H68C76E40A15842FDAA346D6DA8FB357B"><enum>(2)</enum><header>Terms of initial appointees</header><text display-inline="yes-display-inline">As designated by the President at the time of appointment, of the members of the Board first appointed, one each shall be appointed for a term of one year, for a term of two years, for a term of three years, for a term of four years, for a term of five years, and for a term of six years.</text> </paragraph></subsection>
<subsection id="HBC30F4C60A594FC19CFA054BA4627227"><enum>(c)</enum><header>Oversight</header><text display-inline="yes-display-inline">The President, or the President’s designee, may prohibit or suspend the effectiveness of any action of the Board that the President or such designee determines, after advance public notice and comment where appropriate, is significantly contrary to the public interest.</text> </subsection></section>
<section id="H220CB5BEE4604DF1B2F719F528C16498"><enum>5.</enum><header>Duties</header><text display-inline="no-display-inline">The duties of the Board shall be—</text> 
<paragraph id="HEFA8A365A5214C7B8027ECD1F6B32CB"><enum>(1)</enum><text>to establish standards and procedures to evaluate the reinsurance supervisory systems of the States and foreign jurisdictions in accordance with section 6;</text> </paragraph>
<paragraph id="HE5D48351C4D1449593158444AE72D78E"><enum>(2)</enum><text>to conduct such evaluations;</text> </paragraph>
<paragraph id="H13B5F2715C4B452AB23C67B147BA83E"><enum>(3)</enum><text>to certify, pursuant to section 6(c), reinsurance supervisory systems that comply with such standards;</text> </paragraph>
<paragraph id="H474DB2C80A5843B889FF468B4F8DA765"><enum>(4)</enum><text>to facilitate the development of uniform standards for regulation of reinsurance;</text> </paragraph>
<paragraph id="H156AC16510764837B737D08FA625E11B"><enum>(5)</enum><text display-inline="yes-display-inline">to perform such other duties or functions as the Board determines are necessary or appropriate to carry out this Act; and</text> </paragraph>
<paragraph id="HB520032F15704CDDAA45BC83E277C8E6"><enum>(6)</enum><text>to establish the budget and manage the operations of the Board and the staff of the Board.</text> </paragraph></section>
<section id="HF868230D0B1A49558DD2904057CA6B87"><enum>6.</enum><header>Evaluation and certification of reinsurance supervisory systems</header> 
<subsection id="H692065CEE03648D4BAA6F046D6AEDDD6"><enum>(a)</enum><header>Standards</header><text display-inline="yes-display-inline">The Board shall establish uniform standards for reinsurance supervisory systems of States and foreign jurisdictions that ensure that any such system that complies with such standards provides adequate capital and risk management standards and an acceptable level of prudential supervision over reinsurers domiciled in such State or jurisdiction.</text> </subsection>
<subsection id="HF68B2D0E49B1424CB98742091E827B4F"><enum>(b)</enum><header>Procedures</header><text display-inline="yes-display-inline">The Board shall establish procedures for any entity to make a request for evaluation of the reinsurance supervisory system of a State or foreign jurisdiction to determine compliance of such system with the standards established by the Board pursuant to subsection (a). Such procedures shall provide that an evaluation shall be conducted only upon payment to the Board of a fee in the amount established pursuant to subsection (c).</text> </subsection>
<subsection id="HBAEDF85C31384E8C95DFC04FEC13AA8C"><enum>(c)</enum><header>Fees</header><text>The Board shall establish a fee for conducting evaluations under this section in the amount such that the aggregate of fees collected covers all costs of conducting evaluations under this section and all other costs of the establishment and operation of the Board.</text> </subsection>
<subsection id="H21334518C76C424C9DF9FB00B941282D"><enum>(d)</enum><header>Certification</header><text>If, upon conducting of an evaluation under this section with respect to the reinsurance supervisory system of any State or foreign jurisdiction, the Board determines that the system complies with the standards established pursuant to subsection (a), the Board shall certify such compliance and publish notice and evidence of such certification in an appropriate manner. Such certification shall be effective for a term of 12 months from the date of initial certification.</text> </subsection>
<subsection id="HC60E011937404CC887D117B9BCABC916"><enum>(e)</enum><header>Public notice and comment</header><text display-inline="yes-display-inline">In developing standards, procedures, and fee levels pursuant to subsections (a) through (c) and making determinations pursuant to subsection (d), the Board shall provide appropriate advance public notice and opportunity for public comment.</text> </subsection></section>
<section id="HF342E3EB4C7645148378497FCD4862D4"><enum>7.</enum><header>Treatment of certified reinsurance supervisory systems</header> 
<subsection id="H885F784DC2F04AA1A2D4C26A887AC64"><enum>(a)</enum><header>Credit for reinsurance</header><text display-inline="yes-display-inline">The domiciliary State of a ceding insurer may not treat a reinsurer domiciled in any other domestic or foreign jurisdiction differently from reinsurers domiciled and in good standing in such domiciliary State for the purpose of determining credit for reinsurance for that ceding insurer, if—</text> 
<paragraph id="HF621AC9056E54618BE261DFC98A051C8"><enum>(1)</enum><text>the domestic or foreign jurisdiction is certified pursuant to section 6(d); and</text> </paragraph>
<paragraph id="HDB028AE0C9C848DB94732C3433FAEB99"><enum>(2)</enum><text>the reinsurer is in good standing in such other jurisdiction.</text> </paragraph></subsection>
<subsection id="H71651C488C254C8AA0DC71141C1DB72E"><enum>(b)</enum><header>Preemption of inconsistent State laws</header><text>All laws, regulations, provisions, or other actions of a State are preempted to the extent that they are inconsistent with subsection (a).</text> </subsection></section>
<section id="HDF6D986D10DD46828E006823F8F4D77B"><enum>8.</enum><header>Facilitation of uniform reinsurance standards</header> 
<subsection id="HA621CC097A3A43539256ECE1D7EFF804"><enum>(a)</enum><header>Development of proposed standards</header><text>The Board shall periodically develop proposed uniform standards to improve various aspects of reinsurance regulation, particularly where a domestic or international consensus standard or conflict of law has emerged.</text> </subsection>
<subsection id="H7303D4B974294999BE1B5E2D00A54808"><enum>(b)</enum><header>Reporting of proposed standards</header><text>The Board shall report any standards proposed under subsection (a) to the appropriate State and Federal entities, including proposed enacting or implementing language, as appropriate.</text> </subsection></section>
<section id="H34C2B0B86E7F47A7BCFC5712F4456579"><enum>9.</enum><header>Powers of Board</header><text display-inline="no-display-inline">In addition to any other authority granted to the Board in this Act, the Board shall have the power—</text> 
<paragraph id="HD809D4B0535D4DD89173007B758CE987"><enum>(1)</enum><text>to sue and be sued, complain and defend, in its corporate name and through its own counsel, with the approval of the President, in any Federal, State, or other court;</text> </paragraph>
<paragraph id="H9EC71185CE894975B8A64D7C202B4FF8"><enum>(2)</enum><text>to conduct its operations and maintain offices, and to exercise all other rights and powers authorized by this Act, in any State, without regard to any qualification, licensing, or other provision of law in effect in such State (or a political subdivision thereof);</text> </paragraph>
<paragraph id="H0AA075AD02F94EF8A8D17F673B4C3269"><enum>(3)</enum><text>to lease, purchase, accept gifts or donations of or otherwise acquire, improve, use, sell, exchange, or convey, all of or an interest in any property, wherever situated;</text> </paragraph>
<paragraph id="H614263918CD54D4DA0B7A90081C7C43E"><enum>(4)</enum><text display-inline="yes-display-inline">to hire employees, professionals, and specialists, and elect or appoint officers, and to fix their compensation, define their duties, determine their qualification, and give them appropriate authority to carry out the purposes of the Act; and to establish the personnel policies and programs for the Board relating to conflicts of interest, rates of compensation, and such other matters as the Board considers appropriate;</text> </paragraph>
<paragraph id="H326315AE35DA47B0B2598FC03CBB9574"><enum>(5)</enum><text>to allocate, assess, and collect fees established pursuant to section 6(c); and</text> </paragraph>
<paragraph id="HC9D8C55CA68E46008140D8E3B7F516A6"><enum>(6)</enum><text>to enter into agreements, incur liabilities, and do any and all other acts and things necessary, appropriate, or incidental to the conduct of its operations and the exercise of its obligations, rights, and powers imposed or granted by this Act.</text> </paragraph></section>
<section id="HA434F3D5D8B145639822AB4411A933AD"><enum>10.</enum><header>Rules and bylaws</header><text display-inline="no-display-inline">The Board shall establish such rules and bylaws as the Board determines necessary—</text> 
<paragraph id="H6C3CE882E7824042B28CB83BEA71F844"><enum>(1)</enum><text>to provide for the operation and administration of the Board, the exercise of its authority, and the performance of its responsibilities under this Act;</text> </paragraph>
<paragraph id="H5E43D27EDF2C457F9ECCE3D0197D3912"><enum>(2)</enum><text>to permit, as the Board determines necessary or appropriate, delegation by the Board of any of its functions to an individual member or employee of the Board, or to a division of the Board, including functions with respect to hearing, determining, ordering, certifying, reporting, or otherwise acting as to any matter; and</text> </paragraph>
<paragraph id="HB444ABED9D2A41DD9804EAE1178123D4"><enum>(3)</enum><text>to otherwise carry out this Act.</text> </paragraph></section>
<section id="H8FA371CE514F40CBAF8683A695B4C29"><enum>11.</enum><header>Consultation with Federal agencies</header><text display-inline="no-display-inline">The Board shall coordinate with other Federal and State agencies as necessary to assist and advise the Board in performing its duties under this Act.</text> </section>
<section id="H30D1E3AFDD644DD1A6652EAB73EF0022"><enum>12.</enum><header>Definitions</header><text display-inline="no-display-inline">For purposes of this Act, the following definitions shall apply:</text> 
<paragraph id="H6967A2FF906D4B05A41CBC22A63E6D32"><enum>(1)</enum><header>Board</header><text display-inline="yes-display-inline">The term <term>Board</term> means the Reinsurance International Solvency Standards Evaluation Board established by section 2.</text> </paragraph>
<paragraph id="H2525EB8138284D19A0463656DB756FBD"><enum>(2)</enum><header>Ceding insurer</header><text>The term <term>ceding insurer</term> means an insurer that purchases reinsurance.</text> </paragraph>
<paragraph id="H56039FC70D0C4340B621FCB6115B976"><enum>(3)</enum><header>Domiciled</header><text display-inline="yes-display-inline">The term <term>domiciled</term> means, with respect to an insurer or reinsurer, to be incorporated or entered through, and licensed.</text> </paragraph>
<paragraph id="H78B0BCA234C74A23A0A28D540726C571"><enum>(4)</enum><header>Domiciliary state</header><text>The term <term>domiciliary State</term> means, with respect to an insurer or reinsurer, the State in which the insurer or reinsurer is domiciled.</text> </paragraph>
<paragraph id="H6F1174F635D44403ABEB7D629065B6D9"><enum>(5)</enum><header>Insurance</header><text>The term <term>insurance</term> means any product, other than title insurance, defined or regulated as insurance by the appropriate State insurance regulatory authority.</text> </paragraph>
<paragraph id="H500A53C768A5455B884FF98D511956EE"><enum>(6)</enum><header>Reinsurance</header><text>The term <term>reinsurance</term> means the assumption by an insurer of all or part of a risk undertaken by another insurer.</text> </paragraph>
<paragraph id="H4107F53C01AD40A0878DC83D00009501"><enum>(7)</enum><header>Reinsurance supervisory system</header><text>The term <term>reinsurance supervisory system</term> means, with respect to a State or foreign jurisdiction, the agency, board, commission, or other entity that has primary regulatory authority over the business of reinsurance for the State or jurisdiction.</text> </paragraph>
<paragraph id="HEAEF365961D74D87931FC72800BE4439"><enum>(8)</enum><header>State</header><text display-inline="yes-display-inline">The term <term>State</term> means the States of the United States, the District of Columbia, the Commonwealth of Puerto Rico, the Commonwealth of the Northern Mariana Islands, Guam, the Virgin Islands, American Samoa, any other territory or possession of the United States.</text> </paragraph>
<paragraph id="HE711FAEB402F4DF6B9DAAE00A8412B1"><enum>(9)</enum><header>State insurance regulatory authority</header><text>The term <term>State insurance regulatory authority</term> means, with respect to a State, the officer, agency, board, commission, or other entity of a State that has primary regulatory authority over the business of insurance for the State.</text> </paragraph></section>
<section id="H59445669765C4EE0BC4D774C5DDFC006"><enum>13.</enum><header>Loan for initial funding</header> 
<subsection id="H8BCC5D1F1E3A4257BED0B5181688F247"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Upon the initial appointment of all of the members of the Board, the Secretary of the Treasury shall make a direct loan to the Board of $10,000,000, which shall be available only for use for operational and administrative costs of the Board in carrying out its duties under this Act.</text> </subsection>
<subsection id="HF721A2A198604B7AA2576BF7F58F5D2D"><enum>(b)</enum><header>Terms</header><text>The loan under this section shall—</text> 
<paragraph id="H674B77481B0743CBB300095231F7CB00"><enum>(1)</enum><text>be repaid not later than the expiration of the 5-year period beginning upon the making of the loan; and</text> </paragraph>
<paragraph id="H268AF30E8FE148F4A97FE0FD27158800"><enum>(2)</enum><text>bear interest at the annual rate of interest paid under marketable obligations of the United States having comparable maturities and most recently issued by the Secretary of the Treasury before the making of the loan under this section.</text> </paragraph></subsection>
<subsection id="HEBBEAE3EAAAF4EBB81C8397BD9241CE"><enum>(c)</enum><header>Authorization of appropriations for costs</header><text display-inline="yes-display-inline">There is authorized to be appropriated such sums as may be necessary for the costs (as such term is defined in section 502 of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661a">2 U.S.C. 661a</external-xref>)) of the loan under this section.</text> </subsection></section>
