		  promote legal certainty, enhance competition, and reduce systemic risk in
		  markets for futures and over-the-counter derivatives, and for other

		<section id="HA98CF78406354BDD97C4ED424640F78F" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>CFTC Reauthorization Act of
			 2007</short-title></quote>.</text>
		</section><title id="H0E573996184F4837AEC4906BA15C9F00"><enum>I</enum><header>GENERAL
			 PROVISIONS</header>
			<section id="HB279D1F80A5544BB997EA5273B4F3D09"><enum>101.</enum><header>Commission
			 authority over agreements, contracts or transactions in foreign
			 currency</header>
				<subsection id="HEB7F961C099E403BA162C29E33582F1D"><enum>(a)</enum><header>In
			 General</header><text>Section 2(c)(2) of the <act-name parsable-cite="COMEX">Commodity Exchange Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/7/2">7 U.S.C. 2(c)(2)</external-xref>) is
			 amended by striking subparagraphs (B) and (C) and inserting the
			 following:</text>
					<quoted-block act-name="Commodity Exchange Act" id="HBB8988ADE2B9484E9D7B409772BEEEF6" style="OLC">
						<subparagraph id="HE5345529E8944C1983B800DD77444B9"><enum>(B)</enum><header>Agreements,
				contracts, and transactions in retail foreign currency</header>
							<clause id="HC3D1DB5473214504874240D518855D07"><enum>(i)</enum><text>This Act applies
				to, and the Commission shall have jurisdiction over, an agreement, contract, or
				transaction in foreign currency that—</text>
								<subclause id="H879EC0444C3949D1ACAB62AE44764D44"><enum>(I)</enum><text>is a contract of
				sale of a commodity for future delivery (or an option on such a contract) or an
				option (other than an option executed or traded on a national securities
				exchange registered pursuant to section 6(a) of the
				<act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name> (15
				U.S.C. 78f(a))); and</text>
								</subclause><subclause id="HDA4FF5303ADB41E8B2CA287F8E1FF61D"><enum>(II)</enum><text>is offered to, or
				entered into with, a person that is not an eligible contract participant,
				unless the counterparty, or the person offering to be the counterparty, of the
				person is—</text>
									<item id="H4482967D04FB419C91085B79796FD7C0"><enum>(aa)</enum><text>a
				financial institution;</text>
									</item><item id="HD8AC6B1FDC39427BBEA648560828B1F"><enum>(bb)</enum><subitem commented="no" display-inline="yes-display-inline" id="HEDDD5E931C894DC900D8FFDB52FB711C"><enum>(AA)</enum><text>a broker or dealer
				registered under section 15(b) (except paragraph (11) thereof) or 15C of the
				<act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name> (15
				U.S.C. 78o(b), 78o–5); or</text>
										</subitem><subitem id="H7FAE9FE5AB8048DF8BD432C1BDF07A7" indent="up1"><enum>(BB)</enum><text>an associated person of a broker or dealer
				registered under section 15(b) (except paragraph (11) thereof) or 15C of the
				<act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name> (15
				U.S.C. 78o(b), 78o–5) concerning the financial or securities activities of
				which the broker or dealer makes and keeps records under section 15C(b) or
				17(h) of the <act-name parsable-cite="SEA34">Securities Exchange Act of
				1934</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/78o-5">15 U.S.C. 78o–5(b)</external-xref>, 78q(h));</text>
										</subitem></item><item id="H724D51C486E849859CC9F1BF303FBAC6"><enum>(cc)</enum><subitem commented="no" display-inline="yes-display-inline" id="H72C2FC0435E24F38AA78014883E10296"><enum>(AA)</enum><text display-inline="yes-display-inline">a futures commission merchant that is
				primarily or substantially engaged in the business activities described in
				section 1a(20) of this Act, is registered under this Act, is not a person
				described in item (bb) of this subclause, and maintains adjusted net capital
				equal to or in excess of $20,000,000; or</text>
										</subitem><subitem id="H87E609B99C41469481C2F3CA72D800" indent="up1"><enum>(BB)</enum><text>an affiliated person of a futures
				commission merchant that is primarily or substantially engaged in the business
				activities described in section 1a(20) of this Act, is registered under this
				Act, and is not a person described in item (bb) of this subclause, if the
				affiliated person maintains adjusted net capital equal to or in excess of
				$20,000,000 and is not a person described in such item (bb), and the futures
				commission merchant makes and keeps records under section 4f(c)(2)(B) of this
				Act concerning the futures and other financial activities of the affiliated
				person;</text>
										</subitem></item><item id="H7ECAB05456CC4CE7A01EC6C4FA8E7635"><enum>(dd)</enum><text>an
				insurance company described in section 1a(12)(A)(ii) of this Act, or a
				regulated subsidiary or affiliate of such an insurance company;</text>
									</item><item id="H6303844EF518434B911633ECEBFD8DDE"><enum>(ee)</enum><text>a
				financial holding company (as defined in section 2 of the
				<act-name parsable-cite="BHC65">Bank Holding Company Act of
				1956</act-name>);</text>
									</item><item id="H1B8DCE4C345145429CEEA4007259FF4"><enum>(ff)</enum><text>an
				investment bank holding company (as defined in section 17(i) of the
				<act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name> (15
				U.S.C. 78q(i))); or</text>
									</item><item id="H910DD1D6C8214AB7B32949E515BE73D5"><enum>(gg)</enum><text display-inline="yes-display-inline">a retail foreign exchange dealer that
				maintains adjusted net capital equal to or in excess of $20,000,000 and is
				registered in such capacity with the Commission, subject to such terms and
				conditions as the Commission shall prescribe.</text>
									</item></subclause></clause><clause id="H22888CD6758648288CDD63104CA21B7F"><enum>(ii)</enum><text display-inline="yes-display-inline">Notwithstanding items (cc) and (gg) of
				clause (i)(II) of this subparagraph, agreements, contracts, or transactions
				described in clause (i) of this subparagraph shall be subject to subsection
				(a)(1)(B) of this section and sections 4(b), 4b, 4c(b), 4o, 6(c) and 6(d)
				(except to the extent that sections 6(c) and 6(d) prohibit manipulation of the
				market price of any commodity in interstate commerce, or for future delivery on
				or subject to the rules of any market), 6c, 6d, 8(a), 13(a), and 13(b) if the
				agreements, contracts, or transactions are offered, or entered into, by a
				person that is registered as a futures commission merchant or retail foreign
				exchange dealer, or an affiliated person of a futures commission merchant
				registered under this Act that is not also a person described in any of item
				(aa), (bb), (dd), (ee), or (ff) of clause (i) of this subparagraph.</text>
							</clause><clause id="HA41C0E6CBD284F1D9967B3D2A15DD32"><enum>(iii)</enum><subclause commented="no" display-inline="yes-display-inline" id="HA104663710DA4F9DA8247645FA4F573D"><enum>(I)</enum><text display-inline="yes-display-inline">Notwithstanding items (cc) and (gg) of
				clause (i)(II), a person, unless registered in such capacity as the Commission
				by rule, regulation, or order shall determine and a member of a futures
				association registered under section 17, shall not—</text>
									<item id="H6FD03F1CF6654AE5A884510027484200" indent="up1"><enum>(aa)</enum><text display-inline="yes-display-inline">solicit or accept orders from any person
				that is not an eligible contract participant in connection with agreements,
				contracts, or transactions described in clause (i) entered into with or to be
				entered into with a person who is not described in item (aa), (bb), (dd), (ee),
				or (ff) of clause (i);</text>
									</item><item id="HA195090378C147DF9EC17700DA818CC5" indent="up1"><enum>(bb)</enum><text>exercise discretionary trading
				authority or obtain written authorization to exercise discretionary trading
				authority over any account for or on behalf of any person that is not an
				eligible contract participant in connection with agreements, contracts, or
				transactions described in clause (i) entered into with or to be entered into
				with a person who is not described in item (aa), (bb), (dd), (ee), or (ff) of
				clause (i); or</text>
									</item><item id="H7E740EA7C1824C7D00FF36504499B51" indent="up1"><enum>(cc)</enum><text>operate or solicit funds, securities,
				or property for any pooled investment vehicle that is not an eligible contract
				participant in connection with agreements, contracts, or transactions described
				in clause (i) entered into with or to be entered into with a person who is not
				described in item (aa), (bb), (dd), (ee), or (ff) of clause (i).</text>
									</item></subclause><subclause id="HF18578F35CD94A90A2007176A688B19D" indent="up1"><enum>(II)</enum><text>Subclause (I) shall not apply to—</text>
									<item id="HE19717D8573F483FBE744BC7C4245BE"><enum>(aa)</enum><text>any person described in any of item
				(aa), (bb), (dd), (ee), or (ff) of subparagraph (B)(i)(II);</text>
									</item><item id="H28415D72D0EF4485B67E5215B5022608"><enum>(bb)</enum><text>any such person’s associated persons;
				or</text>
									</item><item id="HDF15893112BE4FB2A81EBCEF89841F9C"><enum>(cc)</enum><text display-inline="yes-display-inline">any person who would be exempt from
				registration if engaging in the same activities in connection with transactions
				conducted on or subject to the rules of a contract market or a derivatives
				transaction execution facility.</text>
									</item></subclause><subclause id="HCBAFA5112AD94C948453280300005CE1" indent="up1"><enum>(III)</enum><text display-inline="yes-display-inline">Notwithstanding items (cc) and (gg) of
				clause (i)(II), the Commission may make, promulgate, and enforce such rules and
				regulations as, in the judgment of the Commission, are reasonably necessary to
				effectuate any of the provisions of, or to accomplish any of the purposes of,
				this Act in connection with the activities of persons subject to subclause
				(I).</text>
								</subclause><subclause id="H3B6D186AC26741EE99AA303E17A0A25B" indent="up1"><enum>(IV)</enum><text>Subclause (III) shall not apply
				to—</text>
									<item id="H712AC18686354456BA2E92B331BFE067"><enum>(aa)</enum><text display-inline="yes-display-inline">any person described in any of item (aa)
				through (ff) of subparagraph (B)(i)(II);</text>
									</item><item id="H87CFD5906DA847C0B85DE086E176CA08"><enum>(bb)</enum><text>any such person’s associated persons;
				or</text>
									</item><item id="H921F8D9DEF08476D8C23FA9700D4FBB"><enum>(cc)</enum><text>any person who would be exempt from
				registration if engaging in the same activities in connection with transactions
				conducted on or subject to the rules of a contract market or a derivatives
				transaction execution facility.</text>
									</item></subclause></clause><clause display-inline="no-display-inline" id="H85A06EDF99F048A2B015B3B4F7CF600"><enum>(iv)</enum><text display-inline="yes-display-inline">Notwithstanding items (cc) and (gg) of
				clause (i)(II), the Commission may make, promulgate, and enforce such rules and
				regulations as, in the judgment of the Commission, are reasonably necessary to
				effectuate any of the provisions of, or to accomplish any of the purposes of,
				this Act in connection with agreements, contracts, or transactions described in
				clause (i) which are offered, or entered into, by a person described in item
				(cc) or (gg) of clause (i)(II).</text>
							</clause></subparagraph><subparagraph id="HA6A2D298BA7A4A8C00E9ED228645903F"><enum>(C)</enum><clause commented="no" display-inline="yes-display-inline" id="HA0C19CEB808C423684399BD0265828B2"><enum>(i)</enum><subclause commented="no" display-inline="yes-display-inline" id="H27EC5196CE854484881D4B71014C3D66"><enum>(I)</enum><text>This subparagraph shall
				apply to any agreement, contract, or transaction in foreign currency that
				is—</text>
									<item id="HA738E3074E9B4F6B90BADCB88713A96B" indent="up1"><enum>(aa)</enum><text>offered to, or entered into with, a
				person that is not an eligible contract participant (except that this
				subparagraph shall not apply if the counterparty, or the person offering to be
				the counterparty, of the person that is not an eligible contract participant is
				a person described in any of item (aa), (bb), (dd), (ee), or (ff) of
				subparagraph (B)(i)(II)); and</text>
									</item><item id="H0155EC3552DA4B5C8C8E29ED720642C7" indent="up1"><enum>(bb)</enum><text>offered, or entered into, on a
				leveraged or margined basis, or financed by the offeror, the counterparty, or a
				person acting in concert with the offeror or counterparty on a similar
				basis.</text>
									</item></subclause><subclause id="H0F65463F36C3450191C0337F6DB18F81" indent="up2"><enum>(II)</enum><text>Subclause (I) shall not apply
				to—</text>
									<item id="H82624F37E0454C92ABF129207FE1EA00"><enum>(aa)</enum><text>a security that is not a security
				futures product; or</text>
									</item><item id="HE5754DBC18EC436A820300912265EB68"><enum>(bb)</enum><text>a contract of sale that—</text>
										<subitem id="HD7DCF577C7624A1C9604CC7F28010D9"><enum>(AA)</enum><text>results in actual delivery within 2
				days; or</text>
										</subitem><subitem id="HEF179085313141828BCA863782FFCE97"><enum>(BB)</enum><text>creates an enforceable obligation to
				deliver between a seller and buyer that have the ability to deliver and accept
				delivery, respectively, in connection with their line of business.</text>
										</subitem></item></subclause></clause><clause id="HACF742159DF9482700600265A2D70492" indent="up1"><enum>(ii)</enum><subclause commented="no" display-inline="yes-display-inline" id="H2127442E64494F5A8D4F7F0704F24637"><enum>(I)</enum><text>Agreements, contracts,
				or transactions described in clause (i) of this subparagraph shall be subject
				to subsection (a)(1)(B) of this section and sections 4(b), 4b, 4c(b), 4o, 6(c)
				and 6(d) (except to the extent that sections 6(c) and 6(d) prohibit
				manipulation of the market price of any commodity in interstate commerce, or
				for future delivery on or subject to the rules of any market), 6c, 6d, 8(a),
				13(a), and 13(b).</text>
								</subclause><subclause id="H00AC78E7690B4FB5A600FD55BE4DE15C" indent="up1"><enum>(II)</enum><text>Subclause (I) of this clause shall
				not apply to—</text>
									<item id="H1D463FBC934A4BD784C6315983A2A13F"><enum>(aa)</enum><text>any person described in any of item
				(aa), (bb), (dd), (ee), or (ff) of subparagraph (B)(i)(II); or</text>
									</item><item id="HA82207C27C0A4115AD6702C6E42B5DE6"><enum>(bb)</enum><text>any such person’s associated
				persons.</text>
									</item></subclause><subclause id="H3B388B3C74EF4A00ABF7C14257F9E950" indent="up1"><enum>(III)</enum><text display-inline="yes-display-inline">The Commission may make, promulgate, and
				enforce such rules and regulations as, in the judgment of the Commission, are
				reasonably necessary to effectuate any of the provisions of or to accomplish
				any of the purposes of this Act in connection with agreements, contracts, or
				transactions described in clause (i) of this subparagraph if the agreements,
				contracts, or transactions are offered, or entered into, by a person that is
				not described in item (aa) through (ff) of subparagraph (B)(i)(II).</text>
								</subclause></clause><clause id="H87BE64E3361C4E179659C81002C433E0" indent="up1"><enum>(iii)</enum><subclause commented="no" display-inline="yes-display-inline" id="H98682FB58B154671A68000F51D820437"><enum>(I)</enum><text display-inline="yes-display-inline">A person, unless registered in such
				capacity as the Commission by rule, regulation, or order shall determine and a
				member of a futures association registered under section 17, shall not—</text>
									<item id="H815C035DC2CB49FBAEACBF762BF8C97B" indent="up1"><enum>(aa)</enum><text>solicit or accept orders from any person
				that is not an eligible contract participant in connection with agreements,
				contracts, or transactions described in clause (i) of this subparagraph entered
				into with or to be entered into with a person who is not described in item
				(aa), (bb), (dd), (ee), or (ff) of subparagraph (B)(i);</text>
									</item><item id="H8CBB4F377E944A8AB5BBC3EEBAB33905" indent="up1"><enum>(bb)</enum><text>exercise discretionary trading authority
				or obtain written authorization to exercise written trading authority over any
				account for or on behalf of any person that is not an eligible contract
				participant in connection with agreements, contracts, or transactions described
				in clause (i) of this subparagraph entered into with or to be entered into with
				a person who is not described in item (aa), (bb), (dd), (ee), or (ff) of
				subparagraph (B)(i); or</text>
									</item><item id="HF88A154C0AB8470D9B4DC6160116FBB" indent="up1"><enum>(cc)</enum><text>operate or solicit funds, securities, or
				property for any pooled investment vehicle that is not an eligible contract
				participant in connection with agreements, contracts, or transactions described
				in clause (i) of this subparagraph entered into with or to be entered into with
				a person who is not described in item (aa), (bb), (dd), (ee), or (ff) of
				subparagraph (B)(i).</text>
									</item></subclause><subclause id="HD6EF0324905A455A8D6D36BA00CA8B8E" indent="up1"><enum>(II)</enum><text>Subclause (I) shall not apply
				to—</text>
									<item id="HB297FD51A9784E368DF1D7864CA32B54"><enum>(aa)</enum><text>any person described in item (aa), (bb),
				(dd), (ee), or (ff) of subparagraph (B)(i)(II);</text>
									</item><item id="H122054EDB3F5474F9D5E41EF3474A541"><enum>(bb)</enum><text>any such person’s associated persons;
				or</text>
									</item><item id="HBA1A173B64984129BD4F39EDA1C5B5D"><enum>(cc)</enum><text display-inline="yes-display-inline">any
				person who would be exempt from registration if engaging in the same activities
				in connection with transactions conducted on or subject to the rules of a
				contract market or a derivatives transaction execution facility.</text>
									</item></subclause><subclause id="H79C4F233D3404C9EBD3D7964A89C8114" indent="up1"><enum>(III)</enum><text display-inline="yes-display-inline">The Commission may make, promulgate, and
				enforce such rules and regulations as, in the judgment of the Commission, are
				reasonably necessary to effectuate any of the provisions of, or to accomplish
				any of the purposes of, this Act in connection with the activities of persons
				subject to subclause (I).</text>
								</subclause><subclause id="H0352EFC0F4FD4192B15740AC4CBE22E5" indent="up1"><enum>(IV)</enum><text display-inline="yes-display-inline">Subclause (III) shall not apply to—</text>
									<item id="H89A87BB69EFA4B89AAE502912CB83014"><enum>(aa)</enum><text>any person described in item (aa)
				through (ff) of subparagraph (B)(i)(II);</text>
									</item><item id="H9AE94B0E8BB14803B700CDD2C5BC9D8C"><enum>(bb)</enum><text>any such person’s associated persons;
				or</text>
									</item><item id="HC20A412046654DBE89FDE8F0D119BF54"><enum>(cc)</enum><text>any person who would be exempt from
				registration if engaging in the same activities in connection with transactions
				conducted on or subject to the rules of a contract market or a derivatives
				transaction execution facility.</text>
									</item></subclause></clause><clause id="HC47AD3366A4A41DD822C1B47B51274E1" indent="up1"><enum>(iv)</enum><text>Sections 4(b) and 4b shall apply
				to any agreement, contract, or transaction described in clause (i) of this
				subparagraph as if the agreement, contract, or transaction were a contract of
				sale of a commodity for future delivery.</text>
							</clause><clause id="H95951027057C4DAC9348399FC800033" indent="up1"><enum>(v)</enum><text>This subparagraph shall not be
				construed to limit any jurisdiction that the Commission may otherwise have
				under any other provision of this Act over an agreement, contract, or
				transaction that is a contract of sale of a commodity for future
				delivery.</text>
							</clause><clause id="H49BE1BDF520A418EAA97F451185666A3" indent="up1"><enum>(vi)</enum><text>This subparagraph shall not be
				construed to limit any jurisdiction that the Commission or the Securities and
				Exchange Commission may otherwise have under any other provision of this Act
				with respect to security futures products and persons effecting transactions in
				security futures
				products.</text>
							</clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</subsection><subsection id="HA956D867CDE04C690030FA83EC7C497C"><enum>(b)</enum><header>Effective
			 date</header><text>The following provisions of the
			 <act-name parsable-cite="COMEX">Commodity Exchange Act</act-name>, as amended
			 by subsection (a) of this section, shall be effective 120 days after the date
			 of the enactment of this Act or at such other time as the Commodity Futures
			 Trading Commission shall determine:</text>
					<paragraph id="H7E68102C435A4EAE83C51C589024A5E0"><enum>(1)</enum><text>Subparagraphs
			 (B)(i)(II)(gg), (B)(iii), and (C)(iii) of section 2(c)(2).</text>
					</paragraph><paragraph id="HE7B9E47C8B054AF2B99795BBFA63B6E1"><enum>(2)</enum><text display-inline="yes-display-inline">The provisions of section
			 2(c)(2)(B)(i)(II)(cc) that set forth adjusted net capital requirements, and the
			 provisions of such section that require a futures commission merchant to be
			 primarily or substantially engaged in certain business activities.</text>
					</paragraph></subsection></section><section id="H0E2E5F69DBF74D5E837CEA50362334B3"><enum>102.</enum><header>Antifraud
			 authority</header><text display-inline="no-display-inline">Section 4b of the
			 <act-name parsable-cite="COMEX">Commodity Exchange Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/7/6b">7 U.S.C. 6b</external-xref>)
			 is amended—</text>
				<paragraph id="H4E0FA31078B345EC003420854B8C4F56"><enum>(1)</enum><text>by redesignating
			 subsections (b) and (c) as subsections (c) and (d), respectively; and</text>
				</paragraph><paragraph id="HF1AEFD55FA6541F5AB918F6FF6F117BE"><enum>(2)</enum><text>by striking
			 <quote>SEC. 4b.</quote> and all that follows through the end of subsection (a)
			 and inserting the following:</text>
					<quoted-block id="HD922DDD4F04C439E9EC7B695ED88B4B" style="OLC">
						<section id="HE6BFF2DDCF1F4E0CA2A700E97D61DECB"><enum>4b.</enum><header>Contracts
				designed to defraud or mislead</header>
							<subsection id="HBC7EC5BA8ACC4FB18F1EBC629C3D3876"><enum>(a)</enum><header>Unlawful
				actions</header><text>It shall be unlawful—</text>
								<paragraph id="HFB90870CB335421792EE1C5EE8EA7306"><enum>(1)</enum><text>for any person, in
				or in connection with any order to make, or the making of, any contract of sale
				of any commodity in interstate commerce or for future delivery that is made, or
				to be made, on or subject to the rules of a designated contract market, for or
				on behalf of any other person; or</text>
								</paragraph><paragraph id="H212C67FF281246D0B3A0CD4D5CDC905"><enum>(2)</enum><text>for any person, in
				or in connection with any order to make, or the making of, any contract of sale
				of any commodity for future delivery, or other agreement, contract, or
				transaction subject to paragraphs (1) and (2) of section 5a(g), that is made,
				or to be made, for or on behalf of, or with, any other person, other than on or
				subject to the rules of a designated contract market—</text>
									<subparagraph id="HBC81FC3E0B2C434DA500C01300C9263B"><enum>(A)</enum><text>to cheat or
				defraud or attempt to cheat or defraud the other person;</text>
									</subparagraph><subparagraph id="H83DC2E88108E4E48A8008F189CF73198"><enum>(B)</enum><text>willfully to make
				or cause to be made to the other person any false report or statement or
				willfully to enter or cause to be entered for the other person any false
				record;</text>
									</subparagraph><subparagraph id="H11367C39A13A4A94A1BC53BD3E173266"><enum>(C)</enum><text>willfully to
				deceive or attempt to deceive the other person by any means whatsoever in
				regard to any order or contract or the disposition or execution of any order or
				contract, or in regard to any act of agency performed, with respect to any
				order or contract for or, in the case of paragraph (2), with the other person;
				or</text>
									</subparagraph><subparagraph id="HDE0BC5F1EA1F4ED9BE1EEF807000896F"><enum>(D)</enum><clause commented="no" display-inline="yes-display-inline" id="H4DFB5DC4FE21422C803640468C00F845"><enum>(i)</enum><text>to bucket an order if
				the order is represented by the person as an order to be executed, or is
				required to be executed, on or subject to the rules of a designated contract
				market; or</text>
										</clause><clause id="HD0B728070C674399908000F0F9954F80" indent="up1"><enum>(ii)</enum><text>to fill an order by offset against
				the order or orders of any other person, or willfully and knowingly and without
				the prior consent of the other person to become the buyer in respect to any
				selling order of the other person, or become the seller in respect to any
				buying order of the other person, if the order is represented by the person as
				an order to be executed, or is required to be executed, on or subject to the
				rules of a designated contract market unless the order is executed in
				accordance with the rules of the designated contract market.</text>
										</clause></subparagraph></paragraph></subsection><subsection id="HFFE3C41923BE475CB6A9316B8CD38CA8"><enum>(b)</enum><header>Clarification</header><text>Subsection
				(a)(2) of this section shall not obligate any person, in or in connection with
				a transaction in a contract of sale of a commodity for future delivery, or
				other agreement, contract or transaction subject to paragraphs (1) and (2) of
				section 5a(g), with another person, to disclose to the other person nonpublic
				information that may be material to the market price, rate, or level of the
				commodity or transaction, except as necessary to make any statement made to the
				other person in or in connection with the transaction, not misleading in any
				material
				respect.</text>
							</subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></section><section id="HC2875DCB17A4480D8E8D5092AF62A3EC"><enum>103.</enum><header>Authorization
			 of appropriations</header><text display-inline="no-display-inline">Section
			 12(d) of the <act-name parsable-cite="COMEX">Commodity Exchange Act</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/7/16">7 U.S.C. 16(d)</external-xref>) is amended to read as follows:</text>

			 powers of the commission</header><text>Section 6(c) of the
			 <act-name parsable-cite="COMEX">Commodity Exchange Act</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/7/9">7 U.S.C. 9</external-xref>,
			 15) is amended in clause (3) of the 10th sentence—</text>
					<paragraph id="HC630AD20AD554025A1EA9D471C6E4382"><enum>(1)</enum><text>by inserting
			 <quote>(A)</quote> after <quote>assess such person</quote>; and</text>

					</paragraph></subsection><subsection id="HF4D6524BA85D4A31A46B28D703228840"><enum>(b)</enum><header>Nonenforcement
			 of rules of government or other violations</header><text>Section 6b of such Act
			 (<external-xref legal-doc="usc" parsable-cite="usc/7/13a">7 U.S.C. 13a</external-xref>) is amended—</text>
					<paragraph id="HF39EC0D916A94DA6AF6BDD40F9429E8E"><enum>(1)</enum><text>in the 1st
			 sentence, by inserting <quote>, or, in any case of manipulation or attempted
			 manipulation in violation of section 6(c), 6(d), or 9(a)(2), a civil penalty of
			 not more than $1,000,000 for each such violation</quote> before the period;
			 and</text>
					</paragraph><paragraph id="H32A508D2F09440028FAC06B2752653DC"><enum>(2)</enum><text>in the 2nd
			 sentence, by inserting <quote>, except that if the failure or refusal to obey
			 or comply with the order involved any offense under section 9(a)(2), the
			 registered entity, director, officer, agent, or employee shall be guilty of a
			 felony and, on conviction, shall be subject to penalties under section
			 9(a)(2)</quote> before the period.</text>
					</paragraph></subsection><subsection id="HEFE65E8FE0B843D98DB254528BDB3D07"><enum>(c)</enum><header>Action To enjoin
			 or restrain violations</header><text>Section 6c(d) of such Act (7 U.S.C.
			 13a–1(d)) is amended by striking <quote>(d)</quote> and all that follows
			 through the end of the paragraph (1) and inserting the following:</text>
					<quoted-block id="H6B4CC94770B0455EB995A4514512C7DC" style="OLC">
						<subsection id="H0BCEBB90EA4B477FBC9439D1B07665C4"><enum>(d)</enum><header>Civil
				Penalties</header><paragraph commented="no" display-inline="yes-display-inline" id="HC7E4EB7454AC44098BB48FC1112CAE59"><enum>(1)</enum><text>In any action brought
				under this section, the Commission may seek and the court shall have
				jurisdiction to impose, on a proper showing, on any person found in the action
				to have committed any violation—</text>
								<subparagraph id="H0ABD2733F61243A0A6F2D9522B28B899" indent="up1"><enum>(A)</enum><text>a civil penalty in the amount of not
				more than the greater of $100,000 or triple the monetary gain to the person for
				each violation; or</text>
								</subparagraph><subparagraph id="H44905A20283B411582E1DE2B058D6051" indent="up1"><enum>(B)</enum><text>in any case of manipulation or
				attempted manipulation in violation of section 6(c), 6(d), or 9(a)(2), a civil
				penalty in the amount of not more than the greater of $1,000,000 or triple the
				monetary gain to the person for each
				violation.</text>
								</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</subsection><subsection id="H534E215429BF473400BCD1A66F47E6F"><enum>(d)</enum><header>Violations
			 generally</header><text>Section 9(a) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/7/13">7 U.S.C. 13(a)</external-xref>) is
			 amended—</text>
					<paragraph id="HBFA2798B47AC41249B8C797454763E6B"><enum>(1)</enum><text>by striking
			 <quote>(or $500,000 in the case of a person who is an individual)</quote>;
			 and</text>

			 MARKETS</header>
			<section id="H68801C3E6B264CFABA188F70FAF1C0C4" section-type="subsequent-section"><enum>201.</enum><header>Significant price
			 discovery contracts</header>
				<subsection id="HFDFD40DFEFFC4769958D22D5CE158E9"><enum>(a)</enum><header>Definition</header><text display-inline="yes-display-inline">Section 1a of the Commodity Exchange Act (7
			 U.S.C. 1a) is amended by redesignating paragraph (33) as paragraph (34) and by
			 inserting after paragraph (32) the following:</text>
					<quoted-block display-inline="no-display-inline" id="H6A55371C082548C89DEA46D7B8800BC" style="OLC">
						<paragraph id="H03E94428AB6846048902B2CF33B62931"><enum>(33)</enum><header>Significant
				price discovery contract</header><text display-inline="yes-display-inline">The
				term <term>significant price discovery contract</term> means an agreement,
				contract, or transaction subject to section
				2(h)(7).</text>
						</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</subsection><subsection id="H0CC7CF4C93C344E9A8A2559275C58F4B"><enum>(b)</enum><header>Standards
			 applicable to significant price discovery contracts</header><text>Section 2(h)
			 of such Act (<external-xref legal-doc="usc" parsable-cite="usc/7/2">7 U.S.C. 2(h)</external-xref>) is amended by adding at the end the
			 following:</text>
					<quoted-block display-inline="no-display-inline" id="HDB54924330CA4913A040BF663CB0059" style="OLC">
						<paragraph id="H32B735320FEA40EFB46CABC1AEAFD2AA"><enum>(7)</enum><header>Significant
				price discovery contracts</header>
							<subparagraph display-inline="no-display-inline" id="HCB2ED45D39D145BDBF5C7E19815500EA"><enum>(A)</enum><header>In
				general</header><text display-inline="yes-display-inline">An agreement,
				contract, or transaction conducted in reliance on the exemption provided in
				paragraph (3) shall be subject to subparagraphs (B) through (D) of this
				paragraph, under such rules and regulations as the Commission shall promulgate
				if the Commission determines that the agreement, contract, or transaction
				performs a significant price discovery function as described in subparagraph
				(B) of this paragraph.</text>
							</subparagraph><subparagraph id="H1714D1822EBC4D50AA47EEF5102E03B9"><enum>(B)</enum><header>Significant
				price discovery determination</header><text>In determining whether an
				agreement, contract, or transaction performs a significant price discovery
				function, the Commission shall consider, as appropriate, the following:</text>
								<clause id="HCAE60B6EAD0E4092A0D3EE8362007B62"><enum>(i)</enum><header>Price
				linkage</header>
									<subclause display-inline="no-display-inline" id="HBF8894E16AC94A0385EBB9571B57E1C6"><enum>(I)</enum><text>Whether the
				agreement, contract, or transaction uses or otherwise relies on a daily or
				final settlement price, or other major price parameter, of a contract listed
				for trading on or subject to the rules of a designated contract market or a
				derivatives transaction execution facility, or a significant price discovery
				contract traded on an electronic trading facility, to value a position,
				transfer or convert a position, cash or financially settle a position, or close
				out a position.</text>
									</subclause><subclause id="HC56B5F4979ED45B79E172E6395616690"><enum>(II)</enum><text>Whether the price
				for the agreement, contract, or transaction is sufficiently related to the
				price of a contract listed for trading on or subject to the rules of a
				designated contract market or derivatives transaction execution facility so as
				to permit market participants to effectively arbitrage between the markets by
				simultaneously maintaining positions or executing trades in the contracts on
				the electronic trading facility and the designated contract market or
				derivatives transaction execution facility on a frequent and recurring
				basis.</text>
									</subclause></clause><clause id="H92423AF6B0044E868DA0C98874AB6860"><enum>(ii)</enum><header>Material price
				reference</header><text>Whether, on a frequent and recurring basis, bids,
				offers, or transactions in a commodity are directly based on, or are determined
				by referencing, the prices generated by agreements, contracts, or transactions
				being traded or executed on the electronic trading facility.</text>
								</clause><clause id="HE89280EC04F8469EB6BAF4C8BDE385A6"><enum>(iii)</enum><header>Material
				liquidity</header><text>Whether the volume of agreements, contracts, or
				transactions in the commodity being traded on the electronic trading facility
				is sufficient to have a material effect on other agreements, contracts, or
				transactions listed for trading on or subject to the rules of a designated
				contract market, a derivatives transaction execution facility, or an electronic
				trading facility operating in reliance on the exemption provided in paragraph
				(3).</text>
								</clause><clause id="H0B4F40B398E24C4F893165334000FC31"><enum>(iv)</enum><header>Other material
				factors</header><text>Such other material factors as the Commission specifies
				in its rules and regulations as relevant to the determination.</text>
								</clause></subparagraph><subparagraph id="H17066CC6D1B5418AA23421EC14E3A6F9"><enum>(C)</enum><header>Core principles
				applicable to significant price discovery contracts</header><text display-inline="yes-display-inline">An electronic trading facility on which
				significant price discovery contracts are traded or executed shall, with
				respect to the contracts, comply with the core principles specified in this
				subparagraph. The electronic trading facility shall have reasonable discretion
				in establishing the manner in which it complies with the following core
				principles:</text>
								<clause id="H0F8DC1D9DC654877B2D73EB2366E03D2"><enum>(i)</enum><header>Contracts not
				readily susceptible to manipulation</header><text>The electronic trading
				facility shall list only significant price discovery contracts that are not
				readily susceptible to manipulation.</text>
								</clause><clause id="HD3CCA9E3C1B2437D8C8C40AF5E3B7964"><enum>(ii)</enum><header>Monitoring of
				trading</header><text display-inline="yes-display-inline">The electronic
				trading facility shall monitor trading in significant price discovery contracts
				to prevent market manipulation, price distortion, and disruptions of the
				delivery or cash-settlement process through market surveillance, compliance,
				and disciplinary practices and procedures, including methods for conducting
				real-time monitoring of trading and comprehensive and accurate trade
				reconstructions.</text>
								</clause><clause id="HC5E2ED0016324D6EB3CC85B4917D7930"><enum>(iii)</enum><header>Ability to
				obtain information</header><text display-inline="yes-display-inline">The
				electronic trading facility shall establish and enforce rules that will allow
				the electronic trading facility to obtain any necessary information to perform
				any of the functions described in this subparagraph, shall provide such
				information to the Commission on request, and shall have the capacity to carry
				out such international information-sharing agreements as the Commission may
				require.</text>
								</clause><clause id="HBC31779576B64BDAB969DEC93F619DC"><enum>(iv)</enum><header>Position
				limitations or accountability</header><text>The electronic trading facility
				shall adopt position limitations or position accountability for speculators in
				significant price discovery contracts, where necessary and appropriate to
				reduce the potential threat of market manipulation or congestion, especially
				during trading in the delivery month.</text>
								</clause><clause id="H577B378DD9A84D47B2C1B9E736E0BF51"><enum>(v)</enum><header>Emergency
				authority</header><text>The electronic trading facility shall adopt rules to
				provide for the exercise of emergency authority, in consultation or cooperation
				with the Commission, where necessary and appropriate, including the authority
				to—</text>
									<subclause id="H79CBF895E67E45488F51B0B27E37FCB"><enum>(I)</enum><text>liquidate open
				positions in a significant price discovery contract; and</text>
									</subclause><subclause id="H47A7E25DD6D94D9E9F219E149339EA12"><enum>(II)</enum><text>suspend or
				curtail trading in a significant price discovery contract.</text>
									</subclause></clause><clause id="H4568E548880046EB8BC66FE331C03CFA"><enum>(vi)</enum><header>Daily
				publication of trading information</header><text display-inline="yes-display-inline">The electronic trading facility shall make
				public daily information on price, trading volume, and other trading data to
				the extent appropriate for significant price discovery contracts.</text>
								</clause><clause id="HC5472A40E7EF413D8752B59E8BCE78B"><enum>(vii)</enum><header>Compliance with
				rules</header><text>The electronic trading facility shall monitor and enforce
				compliance with any rules of the electronic trading facility applicable to
				significant price discovery contracts, including the terms and conditions of
				the contracts and any limitations on access to the electronic trading facility
				with respect to the contracts.</text>
								</clause><clause id="H31872708C7D74FE8897F7F7B1953D1CB"><enum>(viii)</enum><header>Conflict of
				interest</header><text display-inline="yes-display-inline">The electronic
				trading facility shall establish and enforce rules to minimize conflicts of
				interest in its decision-making process, and establish a process for resolving
				the conflicts.</text>
								</clause></subparagraph><subparagraph id="HB583FC5FF09843288B22C798AA76FBEE"><enum>(D)</enum><header>Implementation</header>
								<clause id="HDB2CFF62CB31406BBB759BFDEE7C73B2"><enum>(i)</enum><text>An
				electronic trading facility may implement any rule or rule amendment relating
				to a significant price discovery contract, including the terms and conditions
				of such a contract, by providing to the Commission a written certification that
				the rule or rule amendment complies with the requirements of this subsection
				(including regulations under this subsection).</text>
								</clause><clause id="H964E3CDF7EE34ADD8DAD56DC5E363235"><enum>(ii)</enum><text display-inline="yes-display-inline">With respect to the core principles
				described in clauses (iv) and (v) of subparagraph (C), the Commission shall
				take into account the differences between cleared and non-cleared significant
				price discovery
				contracts.</text>
								</clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
				</subsection></section><section id="H4EC52D3CC4A84C0700C11C29555F044D"><enum>202.</enum><header>Large trader
			 reporting</header>
				<subsection id="H2B80CB47CF6B46F3BA9C7200FFC0099"><enum>(a)</enum><text display-inline="yes-display-inline">Section 4g(a) of the Commodity Exchange Act
			 (<external-xref legal-doc="usc" parsable-cite="usc/7/6g">7 U.S.C. 6g(a)</external-xref>) is amended by striking <quote>elsewhere</quote> and inserting
			 <quote>elsewhere, and in any significant price discovery contract traded or
			 executed on an electronic trading facility</quote>.</text>
				</subsection><subsection id="H8905B7837DA4464CAF25FDCADDDAE56"><enum>(b)</enum><text>Section 4i of such
			 Act (<external-xref legal-doc="usc" parsable-cite="usc/7/6i">7 U.S.C. 6i</external-xref>) is amended—</text>
					<paragraph id="HB304F84459B6497CBEC9E0DF31A9A981"><enum>(1)</enum><text>by inserting
			 <quote>, or any significant price discovery contract on an electronic trading
			 facility</quote> before <quote>—</quote> ; and</text>
					</paragraph><paragraph id="HFD434CA037FD4EF595A257906D47902B"><enum>(2)</enum><text>by inserting after
			 <quote>board of trade</quote> the following: <quote>or electronic trading
			 facility</quote>.</text>

			 Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/2">7 U.S.C. 2(a)(1)(A)</external-xref>) is amended by striking <quote>of this
			 Act</quote> and inserting <quote>, and significant price discovery contracts
			 traded or executed on an electronic trading facility</quote>.</text>
				</subsection><subsection id="H8D8D624472224450B2A3B59DEDD913B1"><enum>(b)</enum><text>Section 2(h)(3) of
			 such Act (<external-xref legal-doc="usc" parsable-cite="usc/7/2">7 U.S.C. 2(h)(3)</external-xref>) is amended by striking <quote>paragraph (4)</quote>
			 and inserting <quote>paragraphs (4) and (7)</quote>.</text>
				</subsection><subsection id="H8B692B38E10F487798CEB594F7CF983E"><enum>(c)</enum><text display-inline="yes-display-inline">Section 2(h)(4) of such Act (7 U.S.C.
			 2(h)(4)) is amended—</text>
					<paragraph id="H1209286FB05A49F9B648737DD1D39249"><enum>(1)</enum><text>in subparagraph
			 (B), by inserting <quote>and</quote> after the semicolon;</text>

			 and</quote> and inserting a period; and</text>

					</paragraph></subsection><subsection id="HC6D9036C22F9407B0058A7EFEF1325AD"><enum>(d)</enum><text>Section

				</subsection><subsection id="H4F4DFCDAA35B4ECF8583119D5E9B246D"><enum>(e)</enum><text>Section 5c(a)(1)
			 of such Act (<external-xref legal-doc="usc" parsable-cite="usc/7/7a-2">7 U.S.C. 7a–2(a)(1)</external-xref>), as amended by section 104(e) of this Act, is
			 amended by inserting after <quote>5b(c)(2)</quote> the following: <quote>, and
			 section 2(h)(7) with respect to significant price discovery

				</subsection><subsection id="HE62C161E7DF0416ABC243908024B8F00"><enum>(f)</enum><text>Section 5c(b) of
