		<section display-inline="no-display-inline" id="HF154D673F2F14C18B73947D536BF70CE" section-type="section-one"><enum>1.</enum><header>Nonrecognition of gain on
			 qualified sales of telecommunications businesses</header>
			<subsection id="H05F4924239154304B1B7D42611C44545"><enum>(a)</enum><header>In
			 general</header><text>Subchapter O of chapter 1 of the Internal Revenue Code of
			 1986 (relating to gain or loss on disposition of property) is amended by
			 inserting after part IV the following new part:</text>

					<part id="H5C9493EF49D74ABD96E578DC73E4DDDD"><enum>V</enum><header>CERTAIN SALES OF
				TELECOMMUNICATIONS BUSINESSES</header>
						<toc container-level="legis-body-container" lowest-level="section" quoted-block="no-quoted-block" regeneration="no-regeneration">
							<toc-entry level="section">Sec. 1071. Nonrecognition of gain on
				  certain sales of telecommunications businesses.</toc-entry>
						</toc>
						<section id="H9DAF4E166F35445EA94D36597500E1F8"><enum>1071.</enum><header>Nonrecognition
				of gain on certain sales of telecommunications businesses</header>
							<subsection id="H0467D0078F26459200BED55CF56B5CAA"><enum>(a)</enum><header>In
				general</header><text>In the case of any qualified telecommunications sale, at
				the election of the taxpayer, such sale shall be treated as an involuntary
				conversion of property within the meaning of section 1033.</text>
							</subsection><subsection id="H5F89217AD33047B98206384192FE9811"><enum>(b)</enum><header>Limitation on
				amount of gain on which tax may be deferred</header><text>The amount of gain on
				any qualified telecommunications sale which is not recognized by reason of this
				section shall not exceed $50,000,000.</text>
							</subsection><subsection id="HA06919678501443E909B2EBE9057498E"><enum>(c)</enum><header>Qualified
				telecommunications sale</header><text>For purposes of this section, the term
				<term>qualified telecommunications sale</term> means any sale to a qualified
				business of—</text>
								<paragraph id="H5A8480653E8846FEA8851D1D7D8500FC"><enum>(1)</enum><text>the assets of a
				telecommunications business, or</text>
								</paragraph><paragraph id="H4C4DF2E2F6E14FF0826E1DF7521551CA"><enum>(2)</enum><text>stock in a
				corporation if, immediately after such sale—</text>
									<subparagraph id="HFC33D181BEC64766B86FD34CA01C3FCB"><enum>(A)</enum><text>the qualified
				business controls (within the meaning of section 368(c)) such corporation,
				and</text>
									</subparagraph><subparagraph id="H9A7268BE8E8B42098947F3A99C2FFBA8"><enum>(B)</enum><text>substantially all
				of the assets of such corporation are assets of 1 or more telecommunications
				businesses.</text>
									</subparagraph></paragraph></subsection><subsection id="H99AE8582EB3E4803BEC47457E17E7143"><enum>(d)</enum><header>Qualified
				business</header><text>For purposes of this section—</text>
								<paragraph id="HDB692255E7E546978FF197A0A0010D7"><enum>(1)</enum><header>In
				general</header><text>The term <term>qualified business</term> means—</text>
									<subparagraph id="H5495437636ED4C529B54432C481C677C"><enum>(A)</enum><text>in the case of a
				telecommunications sale which includes the sale of any interest in a broadcast
				station (as defined in section 3(5) of the <act-name parsable-cite="CA34">Communications Act of 1934</act-name>), any person
				if—</text>
										<clause id="HC4F5B9E388E74359970025EFC8F2376"><enum>(i)</enum><text>such person owns,
				directly or indirectly, a qualified interest in 10 or fewer broadcast stations
				(as so defined), and</text>
										</clause><clause id="H89FD0F535C944075817EB0636495D937"><enum>(ii)</enum><text>the fair market
				value of the aggregate interests of such person in broadcast stations (as so
				defined) is equal to or greater than 50 percent of the net assets of such
				entity, and</text>
										</clause></subparagraph><subparagraph id="HA35DEA542EBA4AFF9462AD511EFC09C4"><enum>(B)</enum><text>in the case of any
				other telecommunications sale—</text>
										<clause id="HAACA7B3A032F46DA84FEE5710166547F"><enum>(i)</enum><text>any individual,
				and</text>
										</clause><clause id="H4C0D9FECB9874D3FB8EF96F20076D370"><enum>(ii)</enum><text>any partnership
				or corporation if—</text>
											<subclause id="H6F1BAE7FACA345D7869866236601002F"><enum>(I)</enum><text>the net assets of
				such entity do not exceed $30,000,000, and</text>
											</subclause><subclause id="HBB14EC0AD8554FC8846245A0F4415061"><enum>(II)</enum><text>the average
				after-tax income of such entity for the preceding 2 taxable years does not
				exceed $10,000,000.</text>
											</subclause></clause></subparagraph></paragraph><paragraph id="H06FCCBEB9D95412EB993A7EAB58E5CC"><enum>(2)</enum><header>Qualified
				interest in broadcast stations</header><text>An interest in a broadcast station
				shall be treated as qualified if such interest represents 50 percent or more of
				the total assets of the station.</text>
								</paragraph><paragraph id="H1C88F952875F41BDBFD9BB4380F2E84"><enum>(3)</enum><header>Each business
				limited to 3 purchases</header><text>A person shall not be a qualified business
				with respect to a qualified telecommunications sale if such person (or any
				predecessor) was the purchaser in more than 2 prior qualified
				telecommunications sales for which an election under this section was made by
				the seller.</text>
								</paragraph><paragraph id="H36A2145DDD8849FBB58FFDB47B45BAE5"><enum>(4)</enum><header>Special rules
				for qualified business determination</header><text>For purposes of paragraph
				(1)—</text>
									<subparagraph id="HDE093ACE2C4149DF8D6D52E2C351598"><enum>(A)</enum><header>Net
				assets</header><text>The term <term>net assets</term> means the excess of the
				aggregate gross assets (as defined in section 1202(d)(2)) of the entity over
				the indebtedness of such entity.</text>
									</subparagraph><subparagraph id="H33AC8F58588447738E8FA3C2594C77F"><enum>(B)</enum><header>After-tax
				income</header><text>The term <term>after-tax income</term> means taxable
				income reduced by the net income tax for the taxable year. For purposes of the
				preceding sentence, the term <term>net income tax</term> means the tax imposed
				by this chapter reduced by the sum of the credits allowable under part IV of
				subchapter A of this chapter. Rules similar to the rules of subparagraphs (A),
				(B), and (D) of section 448(c)(3) shall apply in determining average after-tax
				income.</text>
									</subparagraph></paragraph><paragraph id="H80CC13D969414E0CAF2661ABD126007E"><enum>(5)</enum><header>Aggregation
				rules</header><text>For purposes of this subsection, all persons treated as a
				single employer under subsection (a) or (b) of section 52 or subsection (m) or
				(o) of section 414 shall be treated as one person.</text>
								</paragraph></subsection><subsection id="H215B3B4DAF574D309F23270324428750"><enum>(e)</enum><header>Telecommunications
				business</header><text>The term <term>telecommunications business</term> means
				any business providing communication services by wire, cable, radio, satellite,
				or other technology if the providing of such services is governed by the
				<act-name parsable-cite="CA34">Communications Act of 1934</act-name> or the
				Telecommunications Act of 1996.</text>
							</subsection><subsection id="H769EF7ABB93A4980BBF7B14256742B28"><enum>(f)</enum><header>Special
				rules</header>
								<paragraph id="HA6B215CC3074456981C491D4096EDD0"><enum>(1)</enum><header>In
				general</header><text>In applying section 1033 for purposes of subsection (a)
				of this section, stock of a corporation operating a telecommunications
				business, whether or not representing control of such corporation, shall be
				treated as property similar or related in service or use to the property sold
				in the qualified telecommunications sale.</text>
								</paragraph><paragraph id="HFDA85284FF4C449B8E161E4E4654F9B2"><enum>(2)</enum><header>Election to
				reduce basis rather than recognize remainder of gain</header><text>If—</text>
									<subparagraph id="H75E8AB46EA274AA083CF603CA49CC4F4"><enum>(A)</enum><text>a taxpayer elects
				the treatment under subsection (a) with respect to any qualified
				telecommunications sale, and</text>
									</subparagraph><subparagraph id="HF082ED5687DA4705BF24E708326B6903"><enum>(B)</enum><text>an amount of gain
				would (but for this paragraph) be recognized on such sale other than by reason
				of subsection (b),</text>
									</subparagraph><continuation-text continuation-text-level="paragraph">then the
				amount of such gain shall not be recognized to the extent that the taxpayer
				elects to reduce the basis of depreciable property (as defined in section
				1017(b)(3)) held by the taxpayer immediately after the sale or acquired in the
				same taxable year. The manner and amount of such reduction shall be determined
				under regulations prescribed by the Secretary.</continuation-text></paragraph><paragraph id="H530520E5BE934F9DB3F276634C7D0004"><enum>(3)</enum><header>Basis</header><text>For
				basis of property acquired on a sale or exchange treated as an involuntary
				conversion under subsection (a), see section 1033(b).</text>
								</paragraph></subsection><subsection id="H64685763386542C4A21B7FFD659CAEA0"><enum>(g)</enum><header>Recapture of tax
				benefit if telecommunications business resold within 5 years, etc</header>
								<paragraph id="H2A6A6E101DD8499CBAE470B26625B7A5"><enum>(1)</enum><header>In
				general</header><text>If, within 5 years after the date of any qualified
				telecommunications sale, there is a recapture event with respect to the
				property involved in such sale, then the purchaser’s tax imposed by this
				chapter for the taxable year in which such event occurs shall be increased by
				20 percent of the lesser of the consideration furnished by the purchaser in
				such sale or the dollar limitation of subsection (b).</text>
								</paragraph><paragraph id="HA8BD4D00DE3B481DBD5BEF7D07914C1"><enum>(2)</enum><header>Exception for
				reinvested amounts</header><text>Paragraph (1) shall not apply to any recapture
				event which is a sale if—</text>
									<subparagraph id="H58E1F6967608456FA769D6BCF3E07CED"><enum>(A)</enum><text>the sale is a
				qualified telecommunications sale, or</text>
									</subparagraph><subparagraph id="H5784E823740E4780B723887E22C028E6"><enum>(B)</enum><text>during the 60-day
				period beginning on the date of such sale, the taxpayer is the purchaser in
				another qualified telecommunications sale in which the consideration furnished
				by the taxpayer is not less than the amount realized on the recapture event
				sale.</text>
									</subparagraph></paragraph><paragraph id="H6C0150BDE96449EF9B115E849E2CB36F"><enum>(3)</enum><header>Recapture
				event</header><text>For purposes of this subsection, the term <term>recapture
				event</term> means, with respect to any qualified telecommunications
				sale—</text>
									<subparagraph id="HF34771DADF49437299DB8EB3E0E03ED1"><enum>(A)</enum><text>any sale or other
				disposition of the assets or stock referred to in subsection (c) which were
				acquired by the taxpayer in such sale, and</text>
									</subparagraph><subparagraph id="H42E4A020F5D34841B318F72EFDEF808"><enum>(B)</enum><text>in the case of a
				qualified telecommunications sale described in subsection (c)(2)—</text>
										<clause id="HB1EBFD71D0064C5CB9C398E161D1E336"><enum>(i)</enum><text>any sale or other
				disposition of a telecommunications business by the corporation referred to in
				such subsection, or</text>
										</clause><clause id="H150A6E8DA90E4508AF009C4198B777BD"><enum>(ii)</enum><text>any other
				transaction which results in the qualified business not having control (as
				defined in subsection (c)(2)(A)) of such corporation.</text>
										</clause></subparagraph><continuation-text continuation-text-level="paragraph">Such term
				shall not include any sale or other disposition resulting from the default, or
				imminent default, of any indebtedness of the
				taxpayer.</continuation-text></paragraph></subsection></section></part><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H3283527E69524BB29275F577D3975C3F"><enum>(b)</enum><header>Clerical
			 amendment</header><text>The table of parts for subchapter O of chapter 1 of
			 such Code is amended by inserting after the item relating to part IV the
			 following new item:</text>

						<toc-entry level="part">Part V. Certain Sales of Telecommunications
				Businesses.</toc-entry>
					</toc>
					<after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HD6DA809E56F34D158FFC77ED00DF4F12"><enum>(c)</enum><header>Effective
			 date</header><text>The amendments made by this section shall apply to sales in
			 taxable years beginning after the date of the enactment of this Act.</text>
			</subsection></section><section id="H2807D594BBAE411E99591FA036C965FE"><enum>2.</enum><header>Loan guarantee
			 program to encourage diversity of ownership of telecommunications
			 businesses</header>
			<subsection id="HD63CBAA3160D488B882E16FA47E85F25"><enum>(a)</enum><header>In
			 general</header><text>The Administrator of the Small Business Administration
			 may guarantee any loan made to a qualified business for the purchase of assets
			 or stock described in <external-xref legal-doc="usc" parsable-cite="usc/26/1071">section 1071(c)</external-xref> of the Internal Revenue Code of 1986
			 (relating to qualified telecommunications sale).</text>
			</subsection><subsection id="H748D7167A8134C45AF4D19BC7F572B22"><enum>(b)</enum><header>Limitations</header>
				<paragraph id="H95DA0C0E72B9412AA09D9925CC58EF41"><enum>(1)</enum><header>Security</header><text>The
			 Administrator shall not guarantee any loan under subsection (a) unless the
			 guaranteed portion of such loan is secured by a first lien position or first
			 mortgage on the stock or assets financed by the loan.</text>
				</paragraph><paragraph id="H806A32306CE3453CAAFB67AB676215F2"><enum>(2)</enum><header>Guarantee
			 percentage</header><text>The amount of any loan guaranteed by the Administrator
			 under subsection (a) shall not exceed 95 percent of the balance of the
			 financing outstanding at the time of disbursement of the loan.</text>
				</paragraph><paragraph id="H101447476DD542B6AEA7DD3E00B115AF"><enum>(3)</enum><header>Fees</header><text>With
			 respect to each loan guaranteed under subsection (a) (other than a loan that is
			 repayable in 1 year or less), the Administrator may collect a guarantee fee,
			 which shall be payable by the participating lender, and may be charged to the
			 borrower.</text>
				</paragraph><paragraph id="H5EA23E59BA6D4AA6B895BE3BCADFC27D"><enum>(4)</enum><header>Forfeiture of
			 FCC license</header><text>The Administrator shall not guarantee any loan under
			 subsection (a) unless such loan provides that any license issued by the Federal
			 Communications Commission to the borrower shall be returned and forfeited by
			 the borrower to the Federal Communications Commission immediately upon a
			 finding by the Administrator that such borrower is in default under such
			 loan.</text>
				</paragraph></subsection><subsection id="H3F433123611140878C384CC3E5755E61"><enum>(c)</enum><header>General
			 authority</header><text>For purposes of carrying out this section, the
			 Administrator may—</text>
				<paragraph id="HB555ECEE15F54DA2987415AB737D11F6"><enum>(1)</enum><text>enter into
			 contracts with private and Federal entities for professional and other
			 services;</text>
				</paragraph><paragraph id="HF4A15A00F94948D0AA6D1650302438B8"><enum>(2)</enum><text>enter into
			 memorandums of understanding with other Federal agencies; and</text>
				</paragraph><paragraph id="H8CD442A8A1DF4D009587C025F7ECA241"><enum>(3)</enum><text>issue regulations,
			 including regulations regarding—</text>
					<subparagraph id="HE9A1821B5E2C48B58297AB6065236FC1"><enum>(A)</enum><text>notice of and
			 opportunity to cure a default;</text>
					</subparagraph><subparagraph id="H04A9DBF76DC445FD00A9623E93F19B"><enum>(B)</enum><text>procedures related
			 to foreclosure; and</text>
					</subparagraph><subparagraph id="H8B289179CB464925B05C43A8D92CFCE"><enum>(C)</enum><text>such other matters
			 as the Administrator considers appropriate.</text>
					</subparagraph></paragraph></subsection><subsection id="H2DA1B3ACC12E490D836CE060A66B5C00"><enum>(d)</enum><header>Definitions</header><text>For
			 purposes of this section:</text>
				<paragraph id="H60ADBD81B2924A80954F69BA67BE7164"><enum>(1)</enum><header>Administrator</header><text>The
			 term <term>Administrator</term> means the Administrator of the Small Business
			 Administration.</text>
				</paragraph><paragraph id="H12E96B8670CF42958CDD4129FC44695C"><enum>(2)</enum><header>Qualified
			 business</header><text>The term <term>qualified business</term> has the meaning
			 given such term in <external-xref legal-doc="usc" parsable-cite="usc/26/1071">section 1071(d)</external-xref> of the Internal Revenue Code of 1986.</text>
				</paragraph></subsection><subsection id="HA8E666B551F44A8AB1C5A093C8BC62E7"><enum>(e)</enum><header>Authorization of
			 appropriations</header><text>There are authorized to be appropriated such sums
			 as may be necessary to carry out the purposes of this section.</text>
