<section display-inline="no-display-inline" id="H6ADA748D981C4C998547FCA3D9D8E124" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Angels Nurture Growing Entrepreneurs into Long-term Successes (ANGELS) Act</short-title></quote>.</text> </section>
<section id="HAB41B59C501643E48E4E6F29C804EF8"><enum>2.</enum><header>Establishment of Angel Investment Program</header> 
<subsection id="H8D5BB9333F324E55A98B475F06E921C"><enum>(a)</enum><header>Establishment</header><text>Title III of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681 et seq.</external-xref>) is amended by adding at the end the following new part:</text>

<part id="H3B9D01EB8F3746E18C7E00B948F8907"><enum>C</enum><header>Angel Investment Program</header> 
<section id="H183C468BB8E64A7AB286D8788E32003C"><enum>380.</enum><header>Office of Angel Investment</header> 
<subsection id="H98164FBC83C441E18E1335A819AA979F"><enum>(a)</enum><header>Establishment</header><text>There is established, in the Investment Division of the Small Business Administration, the Office of Angel Investment.</text> </subsection>
<subsection id="H0B829A96451D4CBBA356339B01E86086"><enum>(b)</enum><header>Director</header><text>The head of the Office of Angel Investment is the Director of Angel Investment.</text> </subsection>
<subsection id="HABF3898806C44E769E08105FE4E2B21"><enum>(c)</enum><header>Duties</header><text>Subject to the direction of the Secretary, the Director shall perform the following functions:</text> 
<paragraph id="H49C141B4C62845048B1EA5622E5C8E66"><enum>(1)</enum><text>Provide support for the development of angel investment opportunities for small business concerns.</text> </paragraph>
<paragraph id="HFC82003F74ED4B918904002100654C55"><enum>(2)</enum><text>Administer the Angel Finance Program under section 381 of this Act.</text> </paragraph>
<paragraph id="HABEA4F2B0749489A844CDACD4BA36627"><enum>(3)</enum><text>Administer the Federal Angel Network under section 382 of this Act.</text> </paragraph>
<paragraph id="HA49BA3F4297842FFB2C42184DD4C81F4"><enum>(4)</enum><text>Administer the grant program for the development of angel groups under section 383 of this Act.</text> </paragraph>
<paragraph id="HF8145F209DEB4D748BC7443320D835D6"><enum>(5)</enum><text display-inline="yes-display-inline">Perform such other duties consistent with this section as the Administrator shall prescribe.</text> </paragraph></subsection></section>
<section id="H2009408D5CD143F5802817FE6C607F53"><enum>381.</enum><header>Angel Finance Program</header> 
<subsection id="HDC555881958B4FB08D1B3DE7F81A8F4"><enum>(a)</enum><header>In general</header><text>The Director of Angel Investment shall establish and carry out a program, to be known as the Angel Finance Program, to provide financing to approved angel groups.</text> </subsection>
<subsection id="HEE8188C4D39644CBBD22F0B2F5B20074"><enum>(b)</enum><header>Eligibility</header><text>To be eligible to receive financing under this section, an angel group shall—</text> 
<paragraph id="H79DF133465E446A0BDE9D9B2947F8139"><enum>(1)</enum><text>have demonstrated experience making investments in local or regional small business concerns;</text> </paragraph>
<paragraph id="H98E5A83438E842D891BDC89BD065CAF9"><enum>(2)</enum><text>have established protocols and a due diligence process for determining its investment strategy;</text> </paragraph>
<paragraph id="H26088515BAF749DABEACF21493E8FCC5"><enum>(3)</enum><text>have an established code of ethics; and</text> </paragraph>
<paragraph id="HA5767DF2331547C9BE5F5FE7B28D7C00"><enum>(4)</enum><text>submit an application to the Director of Angel Investment at such time and containing such information and assurances as the Director may require.</text> </paragraph></subsection>
<subsection id="H57FB021D653B45E9000583E29822A700"><enum>(c)</enum><header>Use of funds</header><text>An angel group that receives financing under this section shall use the amounts received to make investments in small business concerns—</text> 
<paragraph id="HB98621B46AEC4A859109D046118DFA7D"><enum>(1)</enum><text>that have been in existence for less than 5 years as of the date on which the investment is made;</text> </paragraph>
<paragraph id="HB472F04617E14D0691C5A800B4B55EC9"><enum>(2)</enum><text display-inline="yes-display-inline">that have fewer than 75 employees as of the date on which the investment is made; and</text> </paragraph>
<paragraph id="H9B624E48EA514016A3DA5B61F88CB70"><enum>(3)</enum><text display-inline="yes-display-inline">more than 50 percent of the employees of which perform substantially all of their services in the United States as of the date on which the investment is made.</text> </paragraph></subsection>
<subsection id="H6B90E13F34E54FBFBBD400B0DAAB400"><enum>(d)</enum><header>Limitation on amount</header><text>No angel group receiving financing under this section shall receive more than $2,000,000.</text> </subsection>
<subsection id="H5127154FED5447B2B4922E90F816656"><enum>(e)</enum><header>Priority in providing financing</header><text display-inline="yes-display-inline">In providing financing under this section, the Director shall give priority to angel groups that invest in small business concerns owned and controlled by veterans, small business concerns owned and controlled by women, and socially and economically disadvantaged small business concerns.</text> </subsection>
<subsection id="HC84C25C2E3194385A1007C4288D1B8CB"><enum>(f)</enum><header>Geographic distribution of financing</header><text>In providing financing under this section, the Director shall, to the extent practicable, provide financing to angel groups that are located in a variety of geographic areas.</text> </subsection>
<subsection id="HE435B84641C64694BB53E0CE843E23C7"><enum>(g)</enum><header>Matching requirement</header><text>As a condition of receiving financing under this section, the Director shall require that for each small business concern in which the angel group receiving such financing invests, the angel group shall invest an amount that is equal to or greater than the amount of financing received under this section from a source other than the Federal Government that is equal to the amount of the financing provided under this section that the angel group invests in that small business concern.</text> </subsection>
<subsection id="HA09F1FE5A9FC4BFF8FA3549498C912D6"><enum>(h)</enum><header>Repayment of financing</header><text display-inline="yes-display-inline">As a condition of receiving financing under this section, the Director shall require an angel group to repay the Director for any investment on which the angel group makes a profit an amount equal to the percentage of the profit that is equal to the percentage of the total amount invested by the angel group that consisted of financing received under this section.</text> </subsection>
<subsection id="HBBC464924D7D4B5B84ED18D372550014"><enum>(i)</enum><header>Angel Investment Fund</header> 
<paragraph id="H8F02AD1FE71045BA84E16BA1252EEED6"><enum>(1)</enum><header>Establishment</header><text>There is in the Treasury a fund to be known as the Angel Investment Fund.</text> </paragraph>
<paragraph id="H4E8D538CDFD643B2B5CBF7561B5299E2"><enum>(2)</enum><header>Deposit of certain amounts</header><text>Amounts collected under subsection (h) shall be deposited in the fund.</text> </paragraph>
<paragraph id="H6C248A52F5AE402BA65E87A300E18C8E"><enum>(3)</enum><header>Use of deposits</header><text display-inline="yes-display-inline">Deposits in the fund shall be available for the purpose of providing financing under this section in the amounts specified in annual appropriation laws without regard to fiscal year limitations.</text> </paragraph></subsection>
<subsection id="HC1E6E4521CD048DABB36062296D6858D"><enum>(j)</enum><header>Definitions</header><text>In this section:</text> 
<paragraph id="HD2D403E20D254E6CBEECEDB7E37E17EB"><enum>(1)</enum><text>The term <quote>small business concern owned and controlled by veterans</quote> has the meaning given that term under section 3(q)(3) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632(q)(3)</external-xref>).</text> </paragraph>
<paragraph id="H9AB63896F20348C3ABAD9708C682055B"><enum>(2)</enum><text>The term <quote>small business concern owned and controlled by women</quote> has the meaning given that term under section 8(d)(3)(D) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(d)(3)(D)</external-xref>).</text> </paragraph>
<paragraph id="HF210CE73903447E5B5A83C257699CA3B"><enum>(3)</enum><text>The term <quote>socially and economically disadvantaged small business concern</quote> has the meaning given that term under section 8(a)(4)(A) of such Act (<external-xref legal-doc="usc" parsable-cite="usc/15/637">15 U.S.C. 637(a)(4)(A)</external-xref>).</text> </paragraph></subsection>
<subsection id="H2203E264236342BF9C5952AF68D62446"><enum>(k)</enum><header>Authorization of appropriations</header><text>There is authorized to be appropriated to carry out this section—</text> 
<paragraph id="H33403EFFF2CD427BA21C81B86CC4F2E1"><enum>(1)</enum><text display-inline="yes-display-inline">$25,000,000 for fiscal year 2008;</text> </paragraph>
<paragraph id="H03DF38795BE8447C9913A724147FD774"><enum>(2)</enum><text>$50,000,000 for fiscal year 2009; and</text> </paragraph>
<paragraph id="H43B3CE2FC2444C1D98000096455760FC"><enum>(3)</enum><text>$75,000,000 for fiscal year 2010.</text> </paragraph></subsection></section>
<section id="HD910D499F95342CF93B7237706257980"><enum>382.</enum><header>Federal Angel Network</header> 
<subsection id="HBEA99B1BF892419AB408E0DAA9FC6FB"><enum>(a)</enum><header>In general</header><text>Subject to the succeeding provisions of this subsection, the Director of the Office of Angel Investment shall establish and maintain a searchable database, to be known as the Federal Angel Network, to assist small business concerns in identifying angel investors.</text> </subsection>
<subsection id="HCA2014258C134AA5A4F2A4F1E82DE510"><enum>(b)</enum><header>Network contents</header><text>The Federal Angel Network shall include—</text> 
<paragraph id="HA95E7929CE774899B7DA007F48F39D47"><enum>(1)</enum><text>a list of the names and addresses of angel groups and angel investors;</text> </paragraph>
<paragraph id="HC639846156694142AFBA342412469E87"><enum>(2)</enum><text>information about the types of investments each angel group or angel investor has made; and</text> </paragraph>
<paragraph id="HDEA27FA257C24BFB9F0596D4EE9D9DAE"><enum>(3)</enum><text>information about other public and private resources and registries that provide information about angel groups or angel investors.</text> </paragraph></subsection>
<subsection id="H48964CF3F03C4887BB4B6E494DD1FB97"><enum>(c)</enum><header>Collection of information</header> 
<paragraph id="H003BB223248B4A85B4FBAF337BCE5CF1"><enum>(1)</enum><header>In general</header><text>The Director shall collect the information to be contained in the Federal Angel Network and shall ensure that such information is updated regularly.</text> </paragraph>
<paragraph id="HF388C5612072477589C8AA77D6B6E4D"><enum>(2)</enum><header>Request for exclusion of information</header><text>The Director shall not include such information concerning an angel investor if that investor contacts the Director to request that such information be excluded from the Network.</text> </paragraph></subsection>
<subsection id="HFEDA4EA8F97341049654BB8E31D86C60"><enum>(d)</enum><header>Availability</header><text>The Director shall make the Federal Angel Network available on the Internet website of the Administration.</text> </subsection>
<subsection id="HCB07F3E4BBB4406FBA2694F011B29C5E"><enum>(e)</enum><header>Authorization of appropriations</header><text>There is authorized to be appropriated to carry out this section $1,000,000, to remain available until expended.</text> </subsection></section>
<section id="HDE5236AE264A480C8E9C2C38EEA2E506"><enum>383.</enum><header>Grant program for development of angel groups</header> 
<subsection id="HC88D360DEAB949E99F09C200B0BEBEE5"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Director of the Office of Angel Investment shall establish and carry out a grant program to make grants to eligible entities for the development of new or existing angel groups and to increase awareness and education about angel investing.</text> </subsection>
<subsection id="HBA4E7BBD7DD64DB3B77378AA5528A6D3"><enum>(b)</enum><header>Eligible entities</header><text>In this section, the term <quote>eligible entity</quote> means—</text> 
<paragraph id="H677578640E834D11B0BF9600AFA6445D"><enum>(1)</enum><text>a State or unit of local government;</text> </paragraph>
<paragraph id="H8E00849D75CD4BF483B37B4847477E29"><enum>(2)</enum><text>a nonprofit organization;</text> </paragraph>
<paragraph id="H96444B29CE464419A8B66FAC8D9DFB19"><enum>(3)</enum><text>a state mutual benefit corporation;</text> </paragraph>
<paragraph id="HBB631D741A8D42CA9EB6DB6467433F"><enum>(4)</enum><text>a Small Business Development Center established pursuant to section 21 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/648">15 U.S.C. 648</external-xref>); or</text> </paragraph>
<paragraph id="H5891E05C12F34399B98BCD89AE2D6218"><enum>(5)</enum><text>a women’s business center established pursuant to section 29 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/656">15 U.S.C. 656</external-xref>).</text> </paragraph></subsection>
<subsection id="H457709AC80E141988F2DEF7BE8B46E7B"><enum>(c)</enum><header>Application</header><text>To receive a grant under this section, an eligible entity shall submit an application that contains—</text> 
<paragraph id="H127765DFAFAE4FD1B5FE71EFD9AE3BC5"><enum>(1)</enum><text>a proposal describing how the grant would be used; and</text> </paragraph>
<paragraph id="H75DEAB893DD740E187DC51EEC7BA0018"><enum>(2)</enum><text>any other information or assurances as the Director may require.</text> </paragraph></subsection>
<subsection id="HE009B2EB73A349C9AD6F54CFE6F3EA69"><enum>(d)</enum><header>Report</header><text>Not later than 3 years after the date on which an eligible entity receives a grant under this section, such eligible entity shall submit a report to the Administrator describing the use of grant funds and evaluating the success of the angel group developed using the grant funds.</text> </subsection>
<subsection id="H2167460581CC47A68DFF4BAB3E9C8464"><enum>(e)</enum><header>Authorization of appropriations</header><text>There is authorized to be appropriated to carry out this section $1,500,000, for each of fiscal years 2008 through 2010.</text> </subsection></section>
<section id="HC1699B0AB0CF427490B75B9B53006EA0"><enum>384.</enum><header>Definitions</header><text display-inline="no-display-inline">In this part:</text> 
<subsection id="HDFCE0CC305F940E8BA722E46AE002CE6"><enum>(a)</enum><text>The term <quote>angel group</quote> means two or more angel investors organized for the purpose of making investments in local or regional small business concerns that—</text> 
<paragraph id="HCC2C8FBB3514441C98428B98EEECECD"><enum>(1)</enum><text>consists primarily of angel investors;</text> </paragraph>
<paragraph id="HFF9D2EF10FD2478BA777CEC374A7FDDF"><enum>(2)</enum><text>requires angel investors to be accredited investors; and</text> </paragraph>
<paragraph id="HA267D939CE8E42FAA2517DBA9953FAFF"><enum>(3)</enum><text>actively involves the angel investors in evaluating and making decisions about making investments.</text> </paragraph></subsection>
<subsection id="H229E90A5978F4196BC9CA2E22D0050E6"><enum>(b)</enum><text>The term <quote>angel investor</quote> means an individual who—</text> 
<paragraph id="HDFA54F2B666F465EAD557C3BABA0942B"><enum>(1)</enum><text>on the basis of such factors as financial sophistication, income, net worth, knowledge, and experience in financial matters, or amount of assets under management, qualifies as an accredited investor under rules and regulations prescribed by the Commissioner of the Securities and Exchange Commission; and</text> </paragraph>
<paragraph id="H23F1107CADF8410496C3FDB1F9657E9"><enum>(2)</enum><text>provides capital to or makes investments in a small business concern.</text> </paragraph></subsection></section></part><after-quoted-block>.</after-quoted-block></quoted-block> </subsection></section>
<section display-inline="no-display-inline" id="HC06E8A3DD8D948DAB1EFE0ADF80046A0" section-type="subsequent-section"><enum>3.</enum><header>Tax credit for small business investment</header> 
<subsection id="H613020C64FCE4F4BA816724BE6D5BFDD"><enum>(a)</enum><header>In general</header><text>Subpart A of part IV of subchapter A of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 (relating to nonrefundable personal credits) is amended by inserting after section 25D the following new section:</text> 
<quoted-block display-inline="no-display-inline" id="H60090590416F4F45BB8DC16113505484" style="OLC"> 
<section id="HFAB8DBD57604401AB658C4EC30650371"><enum>25E.</enum><header>Small business investment</header> 
<subsection id="HC129511F5A214B2484A5760066C943A8"><enum>(a)</enum><header>In general</header><text>In the case of an individual, there shall be allowed as a credit against the tax imposed by this chapter an amount equal to 20 percent of the amount paid or incurred for qualified small business investments during the taxable year.</text> </subsection>
<subsection id="H1A5010BE2EB44201BD4DAE12D2F45AE"><enum>(b)</enum><header>Limitation</header><text>With respect to any qualified small business investment in any corporation or partnership, the amount paid or incurred by any taxpayer which is taken into account under subsection (a) shall not exceed $250,000 ($500,000 in the case of a joint return), reduced by the amount taken into account under such subsection with respect to investments by the taxpayer in such corporation or partnership for all prior taxable years.</text> </subsection>
<subsection id="H6DC16F1B2389499782439809858C4623"><enum>(c)</enum><header>Qualified small business investment</header><text>For purposes of this section—</text> 
<paragraph id="HBA0D1F4FCE3142CEA1EFDC8E4F00D917"><enum>(1)</enum><header>In general</header><text>The term <quote>qualified small business investment</quote> means any small business stock and any small business partnership interest.</text> </paragraph>
<paragraph id="H244FCF8EC7B241CCB04C94DE257925A9"><enum>(2)</enum><header>Small business stock</header><text>The term <quote>small business stock</quote> means any stock in a domestic corporation acquired by the taxpayer at its original issue (directly or through an underwriter) solely in exchange for cash, if—</text> 
<subparagraph commented="no" id="H33BBF2F5D62347AC96914D26EE70477C"><enum>(A)</enum><text display-inline="yes-display-inline">such corporation is an eligible small business (as defined in section 41(b)(3)(D)(ii));</text> </subparagraph>
<subparagraph id="H0D32ED6FD99A46C6B6B60071357CE4AE"><enum>(B)</enum><text>such corporation is engaged primarily in the trade or business of manufacturing, processing, assembling, or researching and developing products or in the trade or business of agriculture, technology, or life science;</text> </subparagraph>
<subparagraph id="HA2948BF9CECB40308BAB678EAC66DF9"><enum>(C)</enum><text>such corporation has been in existence for less than 5 years as of such acquisition;</text> </subparagraph>
<subparagraph id="H9125691FAACE47D2B834AD11344E2682"><enum>(D)</enum><text>such corporation has fewer than 75 employees as of such acquisition;</text> </subparagraph>
<subparagraph id="HD2C3A498006A4FEEA5C53FB45DA85082"><enum>(E)</enum><text>more than 50 percent of the corporation’s employees perform substantially all of their services in the United States as of such acquisition; and</text> </subparagraph>
<subparagraph id="H79F6F82393F44A3F91F4C73136B41C94"><enum>(F)</enum><text>such stock is designated by the corporation for purposes of this paragraph.</text> </subparagraph><continuation-text continuation-text-level="paragraph">For purposes of subparagraph (E), stock shall not be treated as designated if such designation would result in the aggregate amount which may be taken into account under this section with respect to stock issued by such corporation to exceed $750,000, taking into account all taxpayers for all taxable years.</continuation-text></paragraph>
<paragraph id="H54A6856B123F49B4B085689C86884CEC"><enum>(3)</enum><header>Small business partnership interest</header><text>The term <quote>small business partnership interest</quote> means any capital or profits interest in a domestic partnership acquired by the taxpayer from the partnership solely in exchange for cash, if—</text> 
<subparagraph id="H36751D702A26445EACE70E154C68339"><enum>(A)</enum><text display-inline="yes-display-inline">such partnership is an eligible small business (as defined in section 41(b)(3)(D)(ii));</text> </subparagraph>
<subparagraph id="H459733300EB643AF9626A204998441CD"><enum>(B)</enum><text>such partnership is engaged primarily in the trade or business of manufacturing, processing, assembling, or researching and developing products or in the trade or business of agriculture, technology, or life science;</text> </subparagraph>
<subparagraph id="HB16ABC7344204BA6863CE1FF3FDA4553"><enum>(C)</enum><text>such partnership has been in existence for less than 5 years as of such acquisition;</text> </subparagraph>
<subparagraph id="H3F5B90F85DA8424B986F52BD599D1909"><enum>(D)</enum><text>such partnership has fewer than 75 employees as of such acquisition;</text> </subparagraph>
<subparagraph id="H746B8AA4BFE24AFAA9AC7E9C5B00155D"><enum>(E)</enum><text display-inline="yes-display-inline">more than 50 percent of the partnership’s employees perform substantially all of their services in the United States as of such acquisition; and</text> </subparagraph>
<subparagraph id="H4B2D296F00E545A2998C92DE6EECFBB7"><enum>(F)</enum><text>such capital or profits interest is designated by partnership for purposes of this paragraph.</text> </subparagraph><continuation-text continuation-text-level="paragraph">For purposes of subparagraph (E), a capital or profits interest shall not be treated as designated if such designation would result in the aggregate amount which may be taken into account under this section with respect to interests in such partnership to exceed $750,000, taking into account all taxpayers for all taxable years.</continuation-text></paragraph></subsection>
<subsection id="H49F6DBA1E0B04AFB99A7F6DABF4C5EF6"><enum>(d)</enum><header>Carryforward of unused credit</header><text>If the credit allowable under subsection (a) exceeds the limitation imposed by section 26(a) for such taxable year reduced by the sum of the credits allowable under this subpart (other than this section), such excess shall be carried to the succeeding taxable year and added to the credit allowable under this section. Such excess shall not be taken into account under this subsection for such succeeding taxable year or any taxable year succeeding such year.</text> </subsection></section><after-quoted-block>.</after-quoted-block></quoted-block> </subsection>

<subsection id="HC7FC3749D6DB4829BBD27FDBD4AFEF1D"><enum>(c)</enum><header>Report to Congress</header><text>The Secretary of the Treasury shall conduct a study and report to Congress on the effectiveness of the credit allowed under <external-xref legal-doc="usc" parsable-cite="usc/26/25E">section 25E</external-xref> of the Internal Revenue Code of 1986 (as added by this section), and similar State tax credits, in providing incentives for investment in qualified small businesses. There are authorized to be appropriated $500,000 to carry out the purposes of this subsection.</text> </subsection>
<subsection commented="no" id="HCDF478C2C6E4448D8701915CA264B45D"><enum>(d)</enum><header>Effective date</header><text>The amendments made by this section shall apply to taxable years beginning after the date of the enactment of this Act.</text> </subsection></section>
