<section id="H33B9BA2D9258443D845E72BA741C95D9" section-type="section-one" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stop Trading on Congressional Knowledge Act</short-title></quote>.</text></section> 
<section id="H9A413FCF1AF3482A95B6ACB5984DF5E3"><enum>2.</enum><header>Nonpublic information relating to Congress</header> 
<subsection id="H5D819698FCC74D3BA305E4799D9F003C"><enum>(a)</enum><header>Securities transactions</header><text display-inline="yes-display-inline">Section 10 of the Securities Exchange Act of 1934 is amended by adding at the end the following:</text> 
<quoted-block style="OLC" id="HDCAD34612141404900DE42115FD5D158" display-inline="no-display-inline"> 
<subsection id="HC3D0917E1AF341AE9C664BD1219EE33"><enum>(c)</enum><header>Nonpublic information relating to Congress</header><text display-inline="yes-display-inline"> Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any person from buying or selling the securities of any issuer while such person is in possession of material nonpublic information, as defined by the Commission, relating to any pending or prospective legislative action relating to such issuer if—</text>
<paragraph id="HA7A9800233104423946B86B738C21878"><enum>(1)</enum><text>such information was obtained by reason of such person being a Member or employee of Congress; or</text></paragraph>
<paragraph id="H259AF08CE6CB42E8B1CEEE2F93FB75B2"><enum>(2)</enum><text>such information was obtained from a Member or employee of Congress, and such person knows that the information was so obtained.</text> </paragraph></subsection>
<subsection id="H41C36FADE28A40278E75FCA1104C8EF7"><enum>(d)</enum><header>Nonpublic information relating to other Federal employees</header>
<paragraph id="H047BC6C805E742EA00322204A45C6C45"><enum>(1)</enum><header>Rulemaking</header><text>Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any person from buying or selling the securities of any issuer while such person is in possession of material nonpublic information derived from Federal employment and relating to such issuer if—</text>
<subparagraph id="H2B7632B923C44033823090BC48B8DD89"><enum>(A)</enum><text>such information was obtained by reason of such person being an employee of an agency, as such term is defined in <external-xref legal-doc="usc" parsable-cite="usc/5/551">section 551(1)</external-xref> of title 5, United States Code; or</text></subparagraph>
<subparagraph id="H1A43EFBFA98440CC855797053B0764DB"><enum>(B)</enum><text>such information was obtained from such an employee, and such person knows that the information was so obtained.</text></subparagraph></paragraph>
<paragraph id="H32E648D7676B47E6BCE64BE80040FABE"><enum>(2)</enum><header>Material nonpublic information</header><text display-inline="yes-display-inline">For purposes of this subsection, the term <quote>material nonpublic information</quote> means any information that an employee of an agency (as such term is defined in <external-xref legal-doc="usc" parsable-cite="usc/5/551">section 551(1)</external-xref> of title 5, United States Code) gains by reason of Federal employment and that such employee knows or should know has not been made available to the general public, including information that—</text>
<subparagraph id="HAB7501855D634C8EB30200B96420AA12"><enum>(A)</enum><text>is routinely exempt from disclosure under <external-xref legal-doc="usc" parsable-cite="usc/5/552">section 552</external-xref> of title 5, United States Code, or otherwise protected from disclosure by statute, Executive order, or regulation;</text></subparagraph>
<subparagraph id="HBA5F737F4A7C46BCAD115496B256E28C"><enum>(B)</enum><text>is designated as confidential by an agency; or</text></subparagraph>
<subparagraph id="HCCBB86D81DBD456F9CEB6B12FD758B1B"><enum>(C)</enum><text>has not actually been disseminated to the general public and is not authorized to be made available to the public on request.</text> </subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HE2B02AE3E640404A9ED8EFF93F06E970" commented="no"><enum>(b)</enum><header>Commodities transactions</header><text>Section 4c of the Commodities Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/6c">7 U.S.C. 6c</external-xref>) is amended by adding at the end the following:</text>

<subsection id="H845220AE4AAB4B8B9858FE5D309300DB" commented="no"><enum>(h)</enum><header>Nonpublic information relating to Congress</header><text display-inline="yes-display-inline"> Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any person from buying or selling any commodity for future delivery while such person is in possession of material nonpublic information, as defined by the Commission, relating to any pending or prospective legislative action relating to such commodity if—</text>
<paragraph id="H668EA539FE9F4393BF1EBBE6CFDE2C00"><enum>(1)</enum><text>such information was obtained by reason of such person being a Member or employee of Congress; or</text></paragraph>
<paragraph id="HE681DF258BE04425A7853D00A9864462"><enum>(2)</enum><text>such information was obtained from a Member or employee of Congress, and such person knows that the information was so obtained.</text></paragraph></subsection>
<subsection id="HAFAD474432B94F529D6F36256DB300D6"><enum>(i)</enum><header>Nonpublic information relating to other Federal employees</header> 
<paragraph id="HDACA7315C2954ED69CC3D85D85A4566C"><enum>(1)</enum><header>Rulemaking</header><text display-inline="yes-display-inline">Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any person from buying or selling any commodity for future delivery while such person is in possession of material nonpublic information derived from Federal employment and relating to such commodity if—</text>
<subparagraph id="HA14FF0CA5D254C50AFFCD5E1F27BB26B"><enum>(A)</enum><text>such information was obtained by reason of such person being an employee of an agency, as such term is defined in <external-xref legal-doc="usc" parsable-cite="usc/5/551">section 551(1)</external-xref> of title 5, United States Code; or</text></subparagraph>
<subparagraph id="H405C5DBEA23D409895682F3BBB557608"><enum>(B)</enum><text>such information was obtained from such an employee, and such person knows that the information was so obtained.</text></subparagraph></paragraph>
<paragraph id="HF2C21909469C40E58C5F019ED30090E7"><enum>(2)</enum><header>Material nonpublic information</header><text display-inline="yes-display-inline">For purposes of this subsection, the term <quote>material nonpublic information</quote> means any information that an employee of an agency (as such term is defined in <external-xref legal-doc="usc" parsable-cite="usc/5/551">section 551(1)</external-xref> of title 5, United States Code) gains by reason of Federal employment and that such employee knows or should know has not been made available to the general public, including information that—</text>
<subparagraph id="HC85FFE134DC842DBA04C4F34FE5E9562"><enum>(A)</enum><text>is routinely exempt from disclosure under <external-xref legal-doc="usc" parsable-cite="usc/5/552">section 552</external-xref> of title 5, United States Code, or otherwise protected from disclosure by statute, Executive order, or regulation;</text></subparagraph>
<subparagraph id="HBE713F1B08CD4FF995CAC58FAB98132E"><enum>(B)</enum><text>is designated as confidential by an agency; or</text></subparagraph>
<subparagraph id="H782079A5FAAC42A0A1F83552B1EC949B"><enum>(C)</enum><text>has not actually been disseminated to the general public and is not authorized to be made available to the public on request.</text> </subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section> 
<section id="H5977552950A44A7087FCDC38477CE023" section-type="subsequent-section"><enum>3.</enum><header>Amendment to the Rules of the House of Representatives regarding securities trading based on nonpublic information</header><text display-inline="no-display-inline">Rule XXIII (known as the <quote>Code of Official Conduct</quote>) of the Rules of the House of Representatives is amended by redesignating clause 18 as clause 19 and by inserting after clause 17 the following new clause:</text> 
<quoted-block style="OLC" id="H9B899A7CE28C4AD60028E339E0C90087" display-inline="no-display-inline"> 
<paragraph id="H2BBA0B432456407CB1FDF1D0B211E449"><enum>18. </enum><text>A Member, Delegate, Resident Commissioner, officer, or employee of the House shall not—</text> 
<subparagraph id="HCE6BF930AE82482990F851FD85B0905"><enum>(a)</enum><text display-inline="yes-display-inline">disclose material nonpublic information relating to any pending or prospective legislative action relating to any publicly-traded company if that Member, Delegate, Resident Commissioner, officer, or employee has reason to believe that the information will be used to buy or sell the securities of such publicly-traded company based on such information; or</text></subparagraph> 
<subparagraph id="HE3C0DCF61A3F48628FC0B2C15517EAF0" commented="no"><enum>(b)</enum><text display-inline="yes-display-inline">disclose material nonpublic information relating to any pending or prospective legislative action relating to any commodity if that Member, Delegate, Resident Commissioner, officer, or employee has reason to believe that the information will be used to buy or sell such commodity for future delivery based on such information.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </section> 
<section id="H9BDC4392EE734703B700C93780E0006C" section-type="subsequent-section"><enum>4.</enum><header>Timely reporting of securities transactions</header> 
<subsection id="H2DE3F09A15D4435784B4AC21515B65CC"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">Section 103 of the Ethics in Government Act of 1978 is amended by adding at the end the following subsection:</text> 
<quoted-block style="OLC" id="HE33BD01C8B724CB0B4A9FB67BB9B8F87" display-inline="no-display-inline"> 
<subsection id="H4B595A99F61548B2A04D766D617BE41C"><enum>(l)</enum><text>Within 90 days after the purchase, sale, or exchange of any stocks, bonds, commodities futures, or other forms of securities that are otherwise required to be reported under this Act and the transaction of which involves at least $1000 by any Member of Congress or officer or employee of the legislative branch required to so file, that Member, officer, or employee shall file a report of that transaction with the Clerk of the House of Representatives in the case of a Representative in Congress, a Delegate to Congress, or the Resident Commissioner from Puerto Rico, or with the Secretary of the Senate in the case of a Senator.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H237B4630215F4ED89BA374455727A356"><enum>(b)</enum><header>Effective date</header><text>The amendment made by subsection (a) shall apply to transactions occurring on or after the date that is 90 days after the date of the enactment of this Act.</text></subsection></section> 
<section id="H3D6B387D912D4020B119C238123EDD40"><enum>5.</enum><header>Registration of political intelligence firms</header> 
<subsection id="H8E7AE19B5E52409CAF97ADFC9BF6D8A7"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">Section 3 of the Lobbying Disclosure Act of 1995 (<external-xref legal-doc="usc" parsable-cite="usc/2/1602">2 U.S.C. 1602</external-xref>) is amended—</text> 
<paragraph id="H0EDE6A819E864034B6D64C343F6ED63B"><enum>(1)</enum><text>in paragraph (2)—</text> 
<subparagraph id="HC510F58E626D44E2B8D4681C5189DADB"><enum>(A)</enum><text>by inserting after <quote>lobbying activities</quote> both places such term appears the following: <quote>or political intelligence activities</quote>; and</text></subparagraph> 
<subparagraph id="H15548E211B0A403A00DA02710194A11F"><enum>(B)</enum><text>by inserting after <quote>lobbyists</quote> the following: <quote>or political intelligence consultants</quote>; and</text></subparagraph></paragraph> 
<paragraph id="H4A3CF01F82594696BA97887CC2A152C5"><enum>(2)</enum><text>by adding at the end the following new paragraphs:</text>

<paragraph id="H7F4A81EFEB64441C9C00679F2CEDAE6"><enum>(17)</enum><header>Political intelligence activities</header><text>The term <quote>political intelligence activities</quote> means political intelligence contacts and efforts in support of such contacts, including preparation and planning activities, research and other background work that is intended, at the time it is performed, for use in contacts, and coordination with the political intelligence activities of others.</text></paragraph> 
<paragraph id="H6ED8E1D41DC94DDC9EA9B09F883E664C"><enum>(18)</enum><header>Political intelligence contact</header> 
<subparagraph id="HD93E6CA17E1040510072E3C4E39BD5B1"><enum>(A)</enum><header>Definition</header><text>The term <quote>political intelligence contact</quote> means any oral or written communication (including an electronic communication) to or from a covered executive branch official or a covered legislative branch official, the information derived from which is intended for use in analyzing securities or commodities markets, that is made on behalf of a client with regard to—</text>
<clause id="H8A23EE3D03464D828000BBE3067DE214"><enum>(i)</enum><text>the formulation, modification, or adoption of Federal legislation (including legislative proposals);</text></clause>
<clause id="H707A7BBB2A9B454EB803A9FC04CAF2E"><enum>(ii)</enum><text display-inline="yes-display-inline">the formulation, modification, or adoption of a Federal rule, regulation, Executive order, or any other program, policy, or position of the United States Government; or</text></clause>
<clause id="H4F22A7CC3BFB4879AE16024334FA98A1"><enum>(iii)</enum><text>the administration or execution of a Federal program or policy (including the negotiation, award, or administration of a Federal contract, grant, loan, permit, or license).</text></clause></subparagraph> 
<subparagraph id="H623C37C80FF940DCA6A3341F8B3CEE8"><enum>(B)</enum><header>Exception</header><text>The term <quote>political intelligence contact</quote> does not include a communication that is made by or to a representative of a media organization if the purpose of the communication is gathering and disseminating news and information to the public.</text></subparagraph></paragraph> 
<paragraph id="H0B8A98227AFA41C293A2C971E875005E"><enum>(19)</enum><header>Political intelligence firm</header><text>The term <quote>political intelligence firm</quote> means a person or entity that has 1 or more employees who are political intelligence consultants to a client other than that person or entity.</text></paragraph> 
<paragraph id="HF165BBD7EB704E4AAF66A562FA0855B"><enum>(20)</enum><header>Political intelligence consultant</header><text>The term <quote>political intelligence consultant</quote> means any individual who is employed or retained by a client for financial or other compensation for services that include one or more political intelligence contacts.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H47D0249159BD457B8C0058F9C7003B11"><enum>(b)</enum><header>Registration requirement</header><text>Section 4 of that Act (<external-xref legal-doc="usc" parsable-cite="usc/2/1603">2 U.S.C. 1603</external-xref>) is amended—</text> 
<paragraph id="H23F154CE32EA4D9F9488003386294072"><enum>(1)</enum><text>in subsection (a)(1)—</text> 
<subparagraph id="H627277E94C5A493ABAD1C3F0A3CF3EF2"><enum>(A)</enum><text>by inserting after <quote>whichever is earlier,</quote> the following: <quote>or a political intelligence consultant first makes a political intelligence contact,</quote>; and</text></subparagraph>

<subsection id="H86BA8F8BC86E4171B132CFAFF84DE16"><enum>(c)</enum><header>Reports by registered political intelligence consultants</header><text>Section 5 of the Lobbying Disclosure Act of 1995 (<external-xref legal-doc="usc" parsable-cite="usc/2/1604">2 U.S.C. 1604</external-xref>) is amended—</text> 
<paragraph id="H6D518B7D9CC2450AA0BFF6D188DB7C4F"><enum>(1)</enum><text>in subsection (a), by inserting after <quote>lobbying activities</quote> the following: <quote>and political intelligence activities</quote>;</text></paragraph>

<subsection id="HE572F531EDBD465DAD40832972342400"><enum>(d)</enum><header>Disclosure and enforcement</header><text>Section 6 of the Lobbying Disclosure Act of 1995 (<external-xref legal-doc="usc" parsable-cite="usc/2/1605">2 U.S.C. 1605</external-xref>) is amended—</text>
