<official-title display="yes">To amend the Federal antitrust laws to provide expanded coverage and to eliminate exemptions from such laws that are contrary to the public interest with respect to railroads.</official-title>

<section display-inline="no-display-inline" id="H8279C829B5F84C5CBC69BE35B67DBD78" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Railroad Antitrust Enforcement Act of 2008</short-title></quote>.</text> </section>
<section id="H179E12B9D7E648AC97108D88DBD2FDDA"><enum>2.</enum><header>Application of the antitrust laws to rail common carriers</header> 
<subsection id="HB64096A9F55C4129A43BC41BE1E36AF"><enum>(a)</enum><header>Application of the antitrust laws</header><text display-inline="yes-display-inline">The antitrust laws shall apply to a common carrier by railroad that is subject to the jurisdiction of the Surface Transportation Board under subtitle IV of title 49, United States Code, without regard to whether such common carrier filed a rate or whether a complaint challenging a rate is filed.</text> </subsection>
<subsection id="HC99E43A65AF5427F807C787200E07800"><enum>(b)</enum><header>Definition</header><text display-inline="yes-display-inline">The term <quote>antitrust laws</quote> has the meaning given it in subsection (a) of the 1st section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12(a)</external-xref>), but includes section 5 of the Federal Trade Commission Act to the extent such section 5 applies to unfair methods of competition.</text> </subsection></section>
<section id="HBBB0479821C7445D00F9938C699FC481"><enum>3.</enum><header>Mergers and acquisitions of railroads</header><text display-inline="no-display-inline">The last undesignated paragraph of section 7 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/18">15 U.S.C. 18</external-xref>) is amended by inserting <quote>(excluding transactions described in <external-xref legal-doc="usc" parsable-cite="usc/49/11321">section 11321</external-xref> of title 49 of the United States Code)</quote> after <quote>Surface Transportation Board</quote>.</text> </section>
<section id="H97831307A0244D63A1E894D3F512CA1D"><enum>4.</enum><header>Antitrust enforcement authority</header><text display-inline="no-display-inline">Section 11(a) of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/21">15 U.S.C. 21(a)</external-xref>) is amended by inserting <quote>(excluding agreements described in section 10706 of such title and transactions described in section 11321 of such title)</quote> after <quote>Code</quote>.</text> </section>
<section id="HB527198BCA8747578F23A69076BEDCDE"><enum>5.</enum><header>Injunctions against railroad common carriers</header><text display-inline="no-display-inline">The proviso in section 16 of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/26">15 U.S.C. 26</external-xref>) is amended by inserting <quote>(excluding a common carrier by railroad)</quote> after <quote>Board</quote>.</text> </section>
<section id="H2427BCFD5BC94569ABE8ECE794481D00"><enum>6.</enum><header>Removal of primary jurisdiction as limitation</header><text display-inline="no-display-inline">The Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12 et seq.</external-xref>) is amended by adding at the end thereof the following:</text>

<section id="H512351E04B2D4C9380E6EBB5A17CB4B7"><enum>29.</enum><text>In any civil action against a common carrier railroad under section 4, 4A, 4C, 15, or 16, the district court shall not be required to defer to the jurisdiction of the Surface Transportation Board.</text> </section><after-quoted-block>.</after-quoted-block></quoted-block> </section>
<section id="H7422E893856B483487A280E96E13D0F9"><enum>7.</enum><header>Unfair methods of competition</header><text display-inline="no-display-inline">Section 5(a)(2) of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45(a)(2)</external-xref>) is amended by adding at the end the following:</text>

<quoted-block-continuation-text quoted-block-continuation-text-level="section">For purposes of this paragraph with respect to unfair methods of competition, the term <quote>common carrier</quote> excludes a common carrier by railroad that is subject to jurisdiction of the Surface Transportation Board under subtitle IV of title 49 of the United States Code.</quoted-block-continuation-text><after-quoted-block>.</after-quoted-block></quoted-block> </section>
<section id="HE65908846C8F4185A0C838B767228E42"><enum>8.</enum><header>Termination of exemptions in title <enum-in-header>49</enum-in-header></header> 
<subsection id="H55B8CAA4FFE44C1CBEA700F3739F9B99"><enum>(a)</enum><header>In general</header><text><external-xref legal-doc="usc" parsable-cite="usc/49/10706">Section 10706</external-xref> of title 49, United States Code, is amended—</text> 
<paragraph id="H2B666EA8645445F3933C0700001FAA9E"><enum>(1)</enum><text>in subsection (a)—</text> 
<subparagraph id="H2D58A4EED85641E48FD806F766E5C541"><enum>(A)</enum><text>in the 3d sentence of paragraph (2)(A) by striking <quote>, and the Sherman Act (<external-xref legal-doc="usc" parsable-cite="usc/15/1">15 U.S.C. 1 et seq.</external-xref>),</quote> and all that follows through <quote>or carrying out the agreement</quote>,</text> </subparagraph>
<subparagraph id="HE179CB266A5C43C49D71FD33D6F7ECE6"><enum>(B)</enum><text>in paragraph (4)—</text> 
<clause id="HED207FABA4B1483FB78820C46BB25E98"><enum>(i)</enum><text>by striking the 2d sentence, and</text> </clause>
<clause id="H9908C6E74F8D4770AE8D14AAF4052E3E"><enum>(ii)</enum><text>in the 3d sentence by striking <quote>However, the</quote> and inserting <quote>The</quote>, and</text> </clause></subparagraph>
<subparagraph id="H7C087DFCBCBC4D3088B2D9A22875A3C7"><enum>(C)</enum><text>in paragraph (5)(A) by striking <quote>, and the antitrust laws set forth in paragraph (2) of this subsection do not apply to parties and other persons with respect to making or carrying out the agreement</quote>,</text> </subparagraph></paragraph>
<paragraph id="H3673442F182D4DF0A1E9F0D05041D9F1"><enum>(2)</enum><text>in subsection (d) by striking the last sentence, and</text> </paragraph>
<paragraph id="H565859837D7645D3A224AAB04C855BAC"><enum>(3)</enum><text>by striking subsection (e) and inserting the following:</text>

<subsection commented="no" id="H4DDE51C087CB4DF8A6DEF0274E00D915"><enum>(e)</enum><text display-inline="yes-display-inline">Nothing in this section exempts a proposed agreement described in subsection (a) from the application of the antitrust laws (as defined in subsection (a) of the 1st section of the Clayton Act, but including section 5 of the Federal Trade Commission Act to the extent such section 5 applies to unfair methods of competition).</text> </subsection>
<subsection commented="no" id="H0E42DB64F8DD4747BACAA9D3D6662DFC"><enum>(f)</enum><text display-inline="yes-display-inline">In reviewing any proposed agreement described in subsection (a), the Board shall take into account, among any other considerations, the impact of the proposed agreement on shippers, consumers, and affected communities. The Board shall make findings regarding such impact, which shall be—</text> 
<paragraph commented="no" id="HB3110942F4C14F999F3525C54CCAEB7E"><enum>(1)</enum><text>made part of the administrative record;</text> </paragraph>
<paragraph commented="no" id="H43BBFCA3EF954790877851A5B2F93754"><enum>(2)</enum><text>submitted to any other reviewing agency for consideration in making its determination; and</text> </paragraph>
<paragraph commented="no" id="HE97AA77340054640958F7B35463F25C"><enum>(3)</enum><text>available in any judicial review of the Board’s decision regarding such agreement.</text> </paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection>
<subsection id="H047602B0D7274236930517CC79F1A236"><enum>(b)</enum><header>Combinations</header><text><external-xref legal-doc="usc" parsable-cite="usc/49/11321">Section 11321</external-xref> of title 49, United States Code, is amended—</text> 
<paragraph id="HAD53F458E02F4DAFA1B24C996E8C2768"><enum>(1)</enum><text>in subsection (a)—</text> 
<subparagraph id="HC5B0F2E057494A6D839547973B931F01"><enum>(A)</enum><text>by striking <quote>The authority</quote> and inserting <quote>Except as provided in sections 4, 4A, 4C, 15, and 16 of the Clayton Act, the authority</quote>; and</text> </subparagraph>
<subparagraph id="H36019E61C1E44E45A001D6391C5C153B"><enum>(B)</enum><text>in the 3d sentence by striking <quote>is exempt from the antitrust laws and from all other law,</quote> and inserting <quote>is exempt from all other law (except the laws referred to in subsection (c)),</quote>, and</text> </subparagraph></paragraph>
<paragraph id="HD119C17833654FE0A6BAAC25CFA43C5C"><enum>(2)</enum><text>by adding at the end the following:</text>

<subsection id="H300D4B0FE1BE4E04B38CEF27A92629F4"><enum>(c)</enum><text display-inline="yes-display-inline">Nothing in this subchapter exempts a transaction described in subsection (a) from the application of the antitrust laws (as defined in subsection (a) of the 1st section of the Clayton Act, but including section 5 of the Federal Trade Commission Act to the extent such section 5 applies to unfair methods of competition). The preceding sentence shall not apply to any transaction relating to the pooling of railroad cars approved by the Surface Transportation Board or its predecessor agency pursuant to section 11322.</text> </subsection>
<subsection commented="no" id="H9315F52F4B8E4BA599C85E03EB10555"><enum>(d)</enum><text>In reviewing any transaction described in subsection (a), the Board shall take into account, among any other considerations, the impact of the transaction on shippers and affected communities.</text> </subsection><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection>
<subsection id="H1ABEFBB3363E444B8664B851C7D78E00"><enum>(c)</enum><header>Conforming amendments</header> 
<paragraph id="H181EB890FB7A4F4EB2A1FC14001509EE"><enum>(1)</enum><header>Heading</header><text>The heading for <external-xref legal-doc="usc" parsable-cite="usc/49/10706">section 10706</external-xref> of title 49, United States Code, is amended to read as follows: <quote><header-in-text level="section" style="USC">Rate agreements</header-in-text></quote>.</text> </paragraph>
<paragraph id="H0CD3B5396B1F4892AFB53B008C213C84"><enum>(2)</enum><header>Analysis of sections</header><text>The analysis of sections of chapter 107 of such title is amended by striking the item relating to section 10706 and insert the following:</text>

<section id="HE99BF5FB625040E5A67189754EA97839"><enum>9.</enum><header>Effective date</header> 
<subsection id="HA6ADE483C6A544C1B2682F512FF9D6E8"><enum>(a)</enum><header>In general</header><text>Except as provided in subsection (b), this Act and the amendments made by this Act shall take effect on the date of enactment of this Act.</text> </subsection>
<subsection id="H8F35CA0BF21C4436A7C975147B5878BA"><enum>(b)</enum><header>Limitation</header><text display-inline="yes-display-inline">A civil action under section 4, 4A, 4C, 15, or 16 of the Clayton Act, or a complaint under section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent such section 5 applies to unfair methods of competition, may not be filed with respect to any conduct or activity that—</text> 
<paragraph id="HF138DC17A21145B5B974B77720D0E952"><enum>(1)</enum><text>occurs before the expiration of the 180-day period beginning on the date of enactment of this Act; and</text> </paragraph>
<paragraph id="HA3337584EC2F4A14B7D322D9057E0900"><enum>(2)</enum><text>was exempted from the antitrust laws (as defined in subsection (a) of the 1st section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12(a)</external-xref>), but including section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent such section 5 applies to unfair methods of competition) by an order of the Interstate Commerce Commission or the Surface Transportation Board issued before the date of the enactment of this Act and pursuant to law.</text> </paragraph></subsection></section>
