		<section changed="deleted" committee-id="SSBK00" id="ID91DCCED8F64D4B848F45045C0B9BD9AF" reported-display-style="strikethrough" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Military Personnel Financial Services
			 Protection Act</short-title></quote>.</text>
		</section><section changed="deleted" committee-id="SSBK00" id="ID5F0B6BFBBA774C45A76DDE9C958D0E8C" reported-display-style="strikethrough"><enum>2.</enum><header>Congressional
			 findings</header><text display-inline="no-display-inline">Congress finds the
			 following:</text>
			<paragraph id="ID3E6B22F0F6AE4807939FF7DC5F76EC5E"><enum>(1)</enum><text>Our military personnel perform
			 great sacrifices in protecting our Nation in the War on Terror and promoting
			 democracy abroad.</text>
			</paragraph><paragraph id="IDD4C5D94E3FAE415F9E7CF35A4900BDEC"><enum>(2)</enum><text>Our brave men and women in uniform
			 deserve to be offered first-rate financial products in order to provide for
			 their families and to save and invest for retirement.</text>
			</paragraph><paragraph id="ID8A547BF95BE7411ABF9626908288634D"><enum>(3)</enum><text>Our military personnel are being
			 offered high-cost securities and life insurance products by some financial
			 services companies engaging in abusive and misleading sales practices.</text>
			</paragraph><paragraph id="ID0E798D1355B7420CB83679FDB208CAE0"><enum>(4)</enum><text>One securities product being
			 offered to our service members, the contractual plan, has largely disappeared
			 from the civilian market since the 1980s, due to its excessive sales charges. A
			 50 percent sales commission is assessed against the first year of
			 contributions, even though the average commission on other securities products
			 such as mutual funds is less than 6 percent on each sale.</text>
			</paragraph><paragraph id="ID09A357164E03459FB0831F3701DDB006"><enum>(5)</enum><text>The excessive sales charges of the
			 contractual plan makes it susceptible to abusive and misleading sales
			 practices.</text>
			</paragraph><paragraph id="ID732F1A7DB7354F61AD26F77F27C09A06"><enum>(6)</enum><text>Certain life insurance products
			 being offered to our service members are being improperly marketed as
			 investment products. These products provide very low death benefits for very
			 high premiums that are front-loaded in the first few years, making them
			 completely inappropriate for most military personnel.</text>
			</paragraph><paragraph id="ID4D22DFE2726B4E6E8D4660725C305856"><enum>(7)</enum><text>Regulation of these securities and
			 life insurance products and their sale on military bases has been clearly
			 inadequate and requires Congressional legislation to address.</text>
			</paragraph></section><section changed="deleted" committee-id="SSBK00" id="IDA1B7A19E3FD8481A9A4F43FCC382BF58" reported-display-style="strikethrough"><enum>3.</enum><header>Prohibition on
			 future sales of periodic payment plans</header>
			<subsection id="ID16D206E03D6C47E4972623FA15E1444E"><enum>(a)</enum><header>Amendment</header><text><external-xref legal-doc="act" parsable-cite="ICA40/27">Section 27</external-xref> of the
			 <act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-27">15 U.S.C.
			 80a–27</external-xref>) is amended by adding at the end the following new
			 subsection:</text>
				<quoted-block act-name="Investment Company Act of 1940" committee-id="SSBK00" id="ID1FFE8A6632594E3D965CAFCBE8221914">
					<subsection id="ID38ED2EDD8DDB41F4BDAC9AF03202C1FE"><enum>(j)</enum><header>Termination of
				sales</header>
						<paragraph changed="deleted" committee-id="SSBK00" id="ID3FB48296C9C14D889F030E1D5C46BEF5" reported-display-style="strikethrough"><enum>(1)</enum><header>Termination</header><text>Effective
				30 days after the date of enactment of the Military Personnel Financial
				Services Protection Act, it shall be unlawful, subject to subsection
				(i)—</text>
							<subparagraph id="IDD5664058AEE44A6FB7D3F689879410CF"><enum>(A)</enum><text>for any registered investment
				company to issue any periodic payment plan certificate; or</text>
							</subparagraph><subparagraph id="ID74A3AEDF94EF4323B3F19CCD032FA3AC"><enum>(B)</enum><text>for such company, or any depositor
				of or underwriter for any such company, or any other person, to sell such a
				certificate.</text>
							</subparagraph></paragraph><paragraph changed="deleted" committee-id="SSBK00" id="IDBD74E34EB62F4217989A343C84810F84" reported-display-style="strikethrough"><enum>(2)</enum><header>No invalidation
				of existing certificates</header><text>Paragraph (1) shall not be construed to
				alter, invalidate, or otherwise affect any rights or obligations, including
				rights of redemption, under any periodic payment plan certificate issued and
				sold before 30 days after such date of
				enactment.</text>
						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection changed="deleted" committee-id="SSBK00" id="IDC3B0F547297C4A8E941DFB872A9C2D43" reported-display-style="strikethrough"><enum>(b)</enum><header>Technical
			 amendment</header><text><external-xref legal-doc="act" parsable-cite="ICA40/27(i)(2)(B)">Section 27(i)(2)(B)</external-xref> of the
			 <act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-27(i)(2)(B)">15
			 U.S.C. 80a–27(i)(2)(B)</external-xref>) is amended by striking <quote>section
			 26(e)</quote> each place that term appears and inserting <quote>section
			 26(f)</quote>.</text>
			</subsection><subsection changed="deleted" committee-id="SSBK00" id="ID513DC494688E40BE9A1A6FC5F21EF006" reported-display-style="strikethrough"><enum>(c)</enum><header>Report on
			 refunds, sales practices, and revenues from periodic payment
			 plans</header><text>Not later than 6 months after the date of enactment of this
			 Act, the Securities and Exchange Commission shall submit to the Committee on
			 Financial Services of the House of Representatives and the Committee on
			 Banking, Housing, and Urban Affairs of the Senate, a report describing—</text>
				<paragraph id="ID34A4EED926AC4E279EC42B881CC81FA8"><enum>(1)</enum><text>any measures taken by a broker or
			 dealer registered with the Securities and Exchange Commission pursuant to
			 <external-xref legal-doc="act" parsable-cite="SEA34/15(b)">section
			 15(b)</external-xref> of the <act-name parsable-cite="SEA34">Securities
			 Exchange Act of 1934</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/78">15 U.S.C.
			 78</external-xref><added-phrase>o</added-phrase>(b)) to voluntarily refund
			 payments made by military service members on any periodic payment plan
			 certificate, and the amounts of such refunds;</text>
				</paragraph><paragraph id="IDF590AFAA0A75414EAE039DC5AA448DDB"><enum>(2)</enum><text>after such consultation with the
			 Secretary of Defense, as the Commission considers appropriate, the sales
			 practices of such brokers or dealers on military installations over the past 5
			 years and any legislative or regulatory recommendations to improve such
			 practices; and</text>
				</paragraph><paragraph id="IDF9648B7DD3FF4B2188DE63AA80E43C9D"><enum>(3)</enum><text>the revenues generated by such
			 brokers or dealers in the sales of periodic payment plan certificates over the
			 past 5 years and what products such brokers or dealers market to replace the
			 revenue generated from the sales of periodic payment plan certificates
			 prohibited under subsection (a).</text>
				</paragraph></subsection></section><section changed="deleted" committee-id="SSBK00" id="ID2455FA26283545E5B602445A988971B8" reported-display-style="strikethrough"><enum>4.</enum><header>Method of
			 maintaining broker and dealer registration, disciplinary, and other
			 data</header><text display-inline="no-display-inline">Section 15A(i) of the
			 <act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o-3(i)">15 U.S.C.
			 78o–3(i)</external-xref>) is amended to read as follows:</text>
			<quoted-block act-name="Securities Exchange Act of 1934" committee-id="SSBK00" id="ID93C67693CBA84F268943978BB40586A8">
				<subsection id="ID2089AB8A0BE34F76929A2376A424BA37"><enum>(i)</enum><header>Obligation to
				maintain registration, disciplinary, and other data</header>
					<paragraph changed="deleted" committee-id="SSBK00" id="ID36A9D702565E4CD5B2C45CF7514C8ABF" reported-display-style="strikethrough"><enum>(1)</enum><header>Maintenance of
				system to respond to inquiries</header><text>A registered securities
				association shall—</text>
						<subparagraph changed="deleted" committee-id="SSBK00" id="ID526F8993205C4CDDA46C4EAD91DC1662" reported-display-style="strikethrough"><enum>(A)</enum><text>establish and
				maintain a system for collecting and retaining registration information;</text>
						</subparagraph><subparagraph changed="deleted" committee-id="SSBK00" id="IDC5DC84DEB2B94302BD773F48A8FF1A37" reported-display-style="strikethrough"><enum>(B)</enum><text>establish and
				maintain a toll-free telephone listing, and a readily accessible electronic or
				other process, to receive and promptly respond to inquiries regarding—</text>
							<clause id="ID02239F2DD02E4F58B8F5640CE8D78B24"><enum>(i)</enum><text>registration information on its
				members and their associated persons; and</text>
							</clause><clause id="ID43FE52339B914329AEF0508C2F6E0C9E"><enum>(ii)</enum><text>registration information on the
				members and their associated persons of any registered national securities
				exchange that uses the system described in subparagraph (A) for the
				registration of its members and their associated persons; and</text>
							</clause></subparagraph><subparagraph changed="deleted" committee-id="SSBK00" id="ID06C52F3C43E64BAE9A053863FDB12126" reported-display-style="strikethrough"><enum>(C)</enum><text>adopt rules
				governing the process for making inquiries and the type, scope, and
				presentation of information to be provided in response to such inquiries in
				consultation with any registered national securities exchange providing
				information pursuant to subparagraph (B)(ii).</text>
						</subparagraph></paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID322AAFDD55974ED4B68457840D036974" reported-display-style="strikethrough"><enum>(2)</enum><header>Recovery of
				costs</header><text>A registered securities association may charge persons
				making inquiries described in paragraph (1)(B), other than individual
				investors, reasonable fees for responses to such inquiries.</text>
					</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID19E8C56A2B59490BA5A56194030E31F5" reported-display-style="strikethrough"><enum>(3)</enum><header>Process for
				disputed information</header><text>Each registered securities association shall
				adopt rules establishing an administrative process for disputing the accuracy
				of information provided in response to inquiries under this subsection in
				consultation with any registered national securities exchange providing
				information pursuant to paragraph (1)(B)(ii).</text>
					</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="IDD1CC896262AF4F05ADC69742BD83334B" reported-display-style="strikethrough"><enum>(4)</enum><header>Limitation on
				liability</header><text>A registered securities association, or an exchange
				reporting information to such an association, shall not have any liability to
				any person for any actions taken or omitted in good faith under this
				subsection.</text>
					</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID1BAFA0A623C24F68AC16F9B0A7A0131F" reported-display-style="strikethrough"><enum>(5)</enum><header>Definition</header><text>For
				purposes of this subsection, the term <term>registration information</term>
				means the information reported in connection with the registration or licensing
				of brokers and dealers and their associated persons, including disciplinary
				actions, regulatory, judicial, and arbitration proceedings, and other
				information required by law, or exchange or association rule, and the source
				and status of such
				information.</text>
					</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section changed="deleted" committee-id="SSBK00" id="ID213286E88C5E45809901FCBC033280CE" reported-display-style="strikethrough"><enum>5.</enum><header>Filing
			 depositories for investment advisers</header>
			<subsection changed="deleted" committee-id="SSBK00" id="IDD5DB6575E9BA427EAF4DE4449C9F240A" reported-display-style="strikethrough"><enum>(a)</enum><header>Investment
			 advisers</header><text><external-xref legal-doc="act" parsable-cite="IAA40/204">Section 204</external-xref> of the
			 <act-name parsable-cite="IAA40">Investment Advisers Act of 1940</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-4">15 U.S.C.
			 80b–4</external-xref>) is amended—</text>
				<paragraph id="ID0515A966D18444F09006776B28E772C0"><enum>(1)</enum><text>by striking <quote>Every
			 investment</quote> and inserting the following:</text>

						<subsection id="IDFB46798FEA8445F2AFAD4EAB734374E8"><enum>(b)</enum><header>Filing
				depositories</header><text>The Commission may, by rule, require an investment
				adviser—</text>
							<paragraph id="ID6728494D05C448009CC7AC6838875F40"><enum>(1)</enum><text>to file with the
				Commission any fee, application, report, or notice required to be filed by this
				title or the rules issued under this title through any entity designated by the
				Commission for that purpose; and</text>
							</paragraph><paragraph id="IDFE51994214AD4807861CBCBCEC725544"><enum>(2)</enum><text>to pay the
				reasonable costs associated with such filing and the establishment and
				maintenance of the systems required by subsection (c).</text>
							</paragraph></subsection><subsection id="IDBE1B48B54426455CB18C0A8724AA53A2"><enum>(c)</enum><header>Access to
				disciplinary and other information</header>
							<paragraph id="ID22B8CD63C143478897ADBAD3B2787E4E"><enum>(1)</enum><header>Maintenance of
				system to respond to inquiries</header><text>The Commission shall require the
				entity designated by the Commission under subsection (b)(1) to establish and
				maintain a toll-free telephone listing, or a readily accessible electronic or
				other process, to receive and promptly respond to inquiries regarding
				registration information (including disciplinary actions, regulatory, judicial,
				and arbitration proceedings, and other information required by law or rule to
				be reported) involving investment advisers and persons associated with
				investment advisers.</text>
							</paragraph><paragraph id="ID11E022FA8E2C4C0FA63984C43EA514A7"><enum>(2)</enum><header>Recovery of
				costs</header><text>An entity designated by the Commission under subsection
				(b)(1) may charge persons making inquiries, other than individual investors,
				reasonable fees for responses to inquiries described in paragraph (1).</text>
							</paragraph><paragraph id="ID124851F31DE84ACFB2C58DE902D86A7B"><enum>(3)</enum><header>Limitation on
				liability</header><text>An entity designated by the Commission under subsection
				(b)(1) shall not have any liability to any person for any actions taken or
				omitted in good faith under this
				subsection.</text>
							</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="IDE70820C1B40E422292C82ABFBB239D86" reported-display-style="strikethrough"><enum>(b)</enum><header>Conforming
			 amendments</header>
				<paragraph changed="deleted" committee-id="SSBK00" id="IDF4879EA8663749B8A4439D9406CFB740" reported-display-style="strikethrough"><enum>(1)</enum><text><external-xref legal-doc="act" parsable-cite="IAA40/203A">Section 203A</external-xref> of the
			 <act-name parsable-cite="IAA40">Investment Advisers Act of 1940</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-3a">15 U.S.C.
			 80b–3a</external-xref>) is amended—</text>
					<subparagraph id="ID03A816921E734B63B1C887DE768810BA"><enum>(A)</enum><text>by striking subsection (d);
			 and</text>
					</subparagraph><subparagraph id="ID4B16489E75E341C8BA736D901FB4E687"><enum>(B)</enum><text>by redesignating subsection (e) as
			 subsection (d).</text>
					</subparagraph></paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID791463D85BCB4088BCF18844D62ABE03" reported-display-style="strikethrough"><enum>(2)</enum><text>Section 306 of the
			 National Securities Markets Improvement Act of 1996 (<external-xref legal-doc="usc" parsable-cite="usc/15/80b-10, note">15 U.S.C. 80b–10,
			 note</external-xref>) is repealed.</text>
				</paragraph></subsection></section><section changed="deleted" committee-id="SSBK00" id="ID535876DC5B0B491EB35CB7CD9D1E263A" reported-display-style="strikethrough"><enum>6.</enum><header>State insurance
			 jurisdiction on military installations</header>
			<subsection changed="deleted" committee-id="SSBK00" id="ID57A835FDAE684D1BAF3A9FE4609A3063" reported-display-style="strikethrough"><enum>(a)</enum><header>Clarification of
			 jurisdiction</header><text>Any law, regulation, or order of a State with
			 respect to regulating the business of insurance shall apply to insurance
			 activities conducted on Federal land or facilities in the United States and
			 abroad, including military installations, except to the extent that such law,
			 regulation, or order—</text>
				<paragraph id="IDBBA84E05DA0A46D3930A51EE48E54870"><enum>(1)</enum><text>directly conflicts with any
			 applicable Federal law, regulation, or authorized directive; or</text>
				</paragraph><paragraph id="ID83E2F3F5F8F94213BDBFF3899341915D"><enum>(2)</enum><text>would not apply if such activity
			 were conducted on State land.</text>
				</paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="ID2CE20B564326499EA9F1419D92B4768B" reported-display-style="strikethrough"><enum>(b)</enum><header>Primary State
			 jurisdiction</header><text>To the extent that multiple State laws would
			 otherwise apply pursuant to subsection (a) to an insurance activity of an
			 individual or entity on Federal land or facilities, the State having the
			 primary duty to regulate such activity and the laws of which shall apply to
			 such activity in the case of a conflict shall be—</text>
				<paragraph changed="deleted" committee-id="SSBK00" id="ID96F7CDED770B43358423C07BD33AAD78" reported-display-style="strikethrough"><enum>(1)</enum><text>the State within
			 which the Federal land or facility is located; or</text>
				</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="IDD9334E3CAFD24060849E5CE0C5753953" reported-display-style="strikethrough"><enum>(2)</enum><text>if the Federal
			 land or facility is located outside of the United States, the State in
			 which—</text>
					<subparagraph id="ID3CE5E88829734EF691042F36D8EF74FC"><enum>(A)</enum><text>in the case of an individual
			 engaged in the business of insurance, such individual has been issued a
			 resident license; or</text>
					</subparagraph><subparagraph id="IDC52D6BC1F4414457A9980D64EFE6D591"><enum>(B)</enum><text>in the case of an entity engaged in
			 the business of insurance, such entity is domiciled.</text>
					</subparagraph></paragraph></subsection></section><section changed="deleted" committee-id="SSBK00" id="IDAFA5B07948C2481C83C51EF20CCE90BD" reported-display-style="strikethrough"><enum>7.</enum><header>Required
			 development of military personnel protection standards regarding insurance
			 sales</header>
			<subsection changed="deleted" committee-id="SSBK00" id="IDDCB8730485AC420EA004FD624913E1A7" reported-display-style="strikethrough"><enum>(a)</enum><header>State
			 standards</header><text>Congress intends that—</text>
				<paragraph id="ID17D526A9639641B7B0223015214B8663"><enum>(1)</enum><text>the States collectively work with
			 the Secretary of Defense to ensure implementation of appropriate standards to
			 protect members of the Armed Forces from dishonest and predatory insurance
			 sales practices while on a military installation of the United States
			 (including installations located outside of the United States); and</text>
				</paragraph><paragraph id="IDAB32C26CE7CB494AA46E91F8C47B9AD2"><enum>(2)</enum><text>each State identify its role in
			 promoting the standards described in paragraph (1) in a uniform manner, not
			 later than 12 months after the date of enactment of this Act.</text>
				</paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="ID69805AA782EE4A048EABED09AF13E12C" reported-display-style="strikethrough"><enum>(b)</enum><header>State
			 report</header><text>It is the sense of Congress that the NAIC should, after
			 consultation with the Secretary of Defense and, not later than 12 months after
			 the date of enactment of this Act, conduct a study to determine the extent to
			 which the States have met the requirement of subsection (a), and report the
			 results of such study to the Committee on Financial Services of the House of
			 Representatives and the Committee on Banking, Housing, and Urban Affairs of the
			 Senate.</text>
			</subsection></section><section changed="deleted" committee-id="SSBK00" id="ID3786874EEF524CB89CB96151112D1E57" reported-display-style="strikethrough"><enum>8.</enum><header>Required
			 disclosures regarding life insurance</header>
			<subsection changed="deleted" committee-id="SSBK00" id="ID1FD64A9BF36949C98C6ECD01FE9AC1D7" reported-display-style="strikethrough"><enum>(a)</enum><header>Requirement</header><text>Except
			 as provided in subsection (d), no insurer or producer may sell or solicit, in
			 person, any life insurance product to any member of the Armed Forces on a
			 military installation of the United States, unless a disclosure in accordance
			 with this section is provided to such member before the sale of such
			 insurance.</text>
			</subsection><subsection changed="deleted" committee-id="SSBK00" id="IDE3A01D3033BB4D2791304F3BECDD6EBE" reported-display-style="strikethrough"><enum>(b)</enum><header>Disclosure</header><text>A
			 disclosure in accordance with this section is a written disclosure that—</text>
				<paragraph id="ID4F24576203E64A53AF2E6C1937806B34"><enum>(1)</enum><text>states that subsidized life
			 insurance may be available to the member of the Armed Forces from the Federal
			 Government;</text>
				</paragraph><paragraph id="ID60107372746241939477C32B240C89F9"><enum>(2)</enum><text>states that the United States
			 Government has in no way sanctioned, recommended, or encouraged the sale of the
			 product being offered;</text>
				</paragraph><paragraph id="ID14ABF51860674DD5A6125FBE3DDCF3DF"><enum>(3)</enum><text>is made in plain and readily
			 understandable language and in a type font at least as large as the font used
			 for the majority of the policy; and</text>
				</paragraph><paragraph id="ID68A536ED44CF4A5DA79726338704E7FD"><enum>(4)</enum><text>with respect to a sale or
			 solicitation on Federal land or facilities located outside of the United States
			 by an individual or entity engaged in the business of insurance, except to the
			 extent otherwise specifically provided by the laws of such State in reference
			 to this Act, lists the address and phone number where consumer complaints are
			 received by the State insurance commissioner for the State in which the
			 individual has been issued a resident license or the entity is domiciled, as
			 applicable.</text>
				</paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="ID27DA7013AAAE481DABCA401D3E29ABF5" reported-display-style="strikethrough"><enum>(c)</enum><header>Enforcement</header><text>If
			 it is determined by a State or Federal agency, or in a final court proceeding,
			 that any individual or entity has intentionally failed to provide a disclosure
			 required by this section, such individual or entity shall be prohibited from
			 further engaging in the business of insurance with respect to employees of the
			 Federal Government on Federal land, except—</text>
				<paragraph id="ID2E31B69F596849288DE87E1BC5BC9C3C"><enum>(1)</enum><text>with respect to existing policies;
			 and</text>
				</paragraph><paragraph id="ID17A58F31EF844EAF96839420C908DCCC"><enum>(2)</enum><text>to the extent required by the
			 Federal Government pursuant to previous commitments.</text>
				</paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="ID2DC44C4376054ABC9EA9A0165FA12B3F" reported-display-style="strikethrough"><enum>(d)</enum><header>Exceptions</header>
				<paragraph changed="deleted" committee-id="SSBK00" id="ID116FB2B577BD49A285C2E000B4792041" reported-display-style="strikethrough"><enum>(1)</enum><header>Federal and
			 State insurance activity</header><text>This section shall not apply to
			 insurance activities—</text>
					<subparagraph id="ID37E4DDAAC2BF44A4AC4F7CEF5D259B30"><enum>(A)</enum><text>specifically contracted by or
			 through the Federal Government or any State government; or</text>
					</subparagraph><subparagraph id="ID403DB7FC17A14258ABB9DEB3C26FF86A"><enum>(B)</enum><text>specifically exempted from the
			 applicability of this Act by a Federal or State law, regulation, or order that
			 specifically refers to this paragraph.</text>
					</subparagraph></paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID5235DF3599274F53953EA4364928D416" reported-display-style="strikethrough"><enum>(2)</enum><header>Uniform State
			 standards</header><text>If a majority of the States have adopted, in materially
			 identical form, a standard setting forth the disclosures required under this
			 section that apply to insurance solicitations and sales to military personnel
			 on military installations of the United States, after the expiration of the
			 2-year period beginning on the date of such majority adoption, such standard
			 shall apply in lieu of the requirements of this section to all insurance
			 solicitations and sales to military personnel on military installations, with
			 respect to such States, to the extent that such standards do not directly
			 conflict with any applicable authorized Federal regulation or directive.</text>
				</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID5BA7C38848BF4661935883C6D9390833" reported-display-style="strikethrough"><enum>(3)</enum><header>Materially
			 identical form</header><text>For purposes of this subsection, standards adopted
			 by more than one State shall be considered to have materially identical form to
			 the extent that such standards require or prohibit identical conduct with
			 respect to the same activity, notwithstanding that the standards may differ
			 with respect to conduct required or prohibited with respect to other
			 activities.</text>
				</paragraph></subsection></section><section changed="deleted" committee-id="SSBK00" id="ID3A930F81D47B40F68C6E76AA9B187758" reported-display-style="strikethrough"><enum>9.</enum><header>Improving life
			 insurance product standards</header>
			<subsection id="ID1DF0E836514F4BF798534314516146BD"><enum>(a)</enum><header>In general</header><text>It is
			 the sense of Congress that the NAIC should, after consultation with the
			 Secretary of Defense, and not later than 12 months after the date of enactment
			 of this Act, conduct a study and submit a report to the Committee on Financial
			 Services of the House of Representatives and the Committee on Banking, Housing,
			 and Urban Affairs of the Senate on ways of improving the quality of and sale of
			 life insurance products sold by insurers and producers on military
			 installations of the United States, which may include limiting sales authority
			 to companies and producers that are certified as meeting appropriate best
			 practices procedures or creating standards for products specifically designed
			 for members of the Armed Forces regardless of the sales location.</text>
			</subsection><subsection id="ID273E55349F5E45C082A92D235C39C461"><enum>(b)</enum><header>Conditional GAO
			 report</header><text>If the NAIC does not submit the report as described in
			 subsection (a), the Comptroller General of the United States shall study any
			 proposals that have been made to improve the quality and sale of life insurance
			 products sold by insurers and producers on military installations of the United
			 States and report to the Committee on Financial Services of the House of
			 Representatives and the Committee on Banking, Housing, and Urban Affairs of the
			 Senate on such proposals not later than 6 months after the expiration of the
			 period referred to in subsection (a).</text>
			</subsection></section><section changed="deleted" committee-id="SSBK00" id="ID9BBA8838F9C24FC28135DEF46CA57A41" reported-display-style="strikethrough"><enum>10.</enum><header>Required
			 reporting of disciplined insurance agents</header>
			<subsection changed="deleted" committee-id="SSBK00" id="ID03C0574FE17A440BA00D68D42D296749" reported-display-style="strikethrough"><enum>(a)</enum><header>Reporting by
			 insurers</header><text>After the expiration of the 2-year period beginning on
			 the date of enactment of this Act, no insurer may enter into or renew a
			 contractual relationship with a producer that solicits or sells life insurance
			 on military installations of the United States, unless the insurer has
			 implemented a system to report, to the State insurance commissioner of the
			 State of the domicile of the insurer and the State of residence of the
			 insurance producer, disciplinary actions taken against the producer with
			 respect to the producer’s sales or solicitation of insurance on a military
			 installation of the United States, as follows:</text>
				<paragraph id="IDFB416E267D984784B863EC9036D41D5D"><enum>(1)</enum><text>Any disciplinary action taken by
			 any government entity that the insurer knows has been taken.</text>
				</paragraph><paragraph id="ID45EC6EE034D147C9BC1D6FB833EF8BFB"><enum>(2)</enum><text>Any significant disciplinary action
			 taken by the insurer.</text>
				</paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="IDFC36DDDFF27F403A959DE8001ADF1D67" reported-display-style="strikethrough"><enum>(b)</enum><header>Reporting by
			 States</header><text>It is the sense of Congress that, not later than 2 years
			 after the date of enactment of this Act, the States should collectively
			 implement a system to—</text>
				<paragraph id="ID4907456528DD40B3B8083EE99BBDBCC3"><enum>(1)</enum><text>receive reports of disciplinary
			 actions taken against insurance producers by insurers or government entities
			 with respect to the producers’ sale or solicitation of insurance on a military
			 installation; and</text>
				</paragraph><paragraph id="ID2EC8A98F16FD4FB5913243219E1D14C8"><enum>(2)</enum><text>disseminate such information to all
			 other States and to the Secretary of Defense.</text>
				</paragraph></subsection></section><section changed="deleted" committee-id="SSBK00" id="ID9A481C148AA045AB9E2787FD12FBED3D" reported-display-style="strikethrough"><enum>11.</enum><header>Reporting barred
			 persons selling insurance or securities</header>
			<subsection changed="deleted" committee-id="SSBK00" id="ID334B06AABBFE40759E12A62D83CB4DEF" reported-display-style="strikethrough"><enum>(a)</enum><header>Establishment</header><text>The
			 Secretary of Defense shall maintain a list of the name, address, and other
			 appropriate information of persons engaged in the business of securities or
			 insurance that have been barred, banned, or otherwise limited in any manner
			 that is not generally applicable to all such type of persons, from any or all
			 military installations of the United States.</text>
			</subsection><subsection changed="deleted" committee-id="SSBK00" id="ID2FEE73815F954772AEB7333D03A7B4B3" reported-display-style="strikethrough"><enum>(b)</enum><header>Notice and
			 access</header><text>The Secretary of Defense shall ensure that—</text>
				<paragraph changed="deleted" committee-id="SSBK00" id="IDCA341B50DB67427B9C602C28A87C508A" reported-display-style="strikethrough"><enum>(1)</enum><text>the appropriate
			 Federal and State agencies responsible for securities and insurance regulation
			 are promptly notified upon the inclusion in or removal from the list required
			 by subsection (a) of a person under such agencies’ jurisdiction; and</text>
				</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID11021049FA844476AD0A331E0C342C26" reported-display-style="strikethrough"><enum>(2)</enum><text>the list is kept
			 current and easily accessible—</text>
					<subparagraph id="ID0659059013964D638BF48E87DBC2F20E"><enum>(A)</enum><text>for use by such agencies;
			 and</text>
					</subparagraph><subparagraph id="ID0EDB83A8407445CC842455A6047B7DFF"><enum>(B)</enum><text>for purposes of enforcing or
			 considering any such bar, ban, or limitation by the appropriate Federal
			 personnel, including commanders of military installations.</text>
					</subparagraph></paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="IDD3FD5CE827A64406951972D576B44B40" reported-display-style="strikethrough"><enum>(c)</enum><header>Regulations</header>
				<paragraph changed="deleted" committee-id="SSBK00" id="ID0AB30B4EED3146959325A33E6D091EAD" reported-display-style="strikethrough"><enum>(1)</enum><header>In
			 general</header><text>The Secretary of Defense shall issue regulations in
			 accordance with this subsection to provide for the establishment and
			 maintenance of the list required by this section, including appropriate due
			 process considerations.</text>
				</paragraph><paragraph changed="deleted" committee-id="SSBK00" id="ID8FCFC03C104F492890AE2F0D0BA57506" reported-display-style="strikethrough"><enum>(2)</enum><header>Timing</header>
					<subparagraph id="ID09A2A6BFCFF14BFAB9458FC66CA66160"><enum>(A)</enum><header>Proposed
			 regulations</header><text>Not later than the expiration of the 60-day period
			 beginning on the date of enactment of this Act, the Secretary of Defense shall
			 prepare and submit to the appropriate Committees a copy of the regulations
			 under this subsection that are proposed to be published for comment. The
			 Secretary may not publish such regulations for comment in the Federal Register
			 until the expiration of the 15-day period beginning on the date of such
			 submission to the appropriate Committees.</text>
					</subparagraph><subparagraph id="ID6D6B7041A8684B7DBC3FAC7BE2F46928"><enum>(B)</enum><header>Final
			 regulations</header><text>Not later than 90 days after the date of enactment of
			 this Act, the Secretary of Defense shall submit to the appropriate Committees a
			 copy of the regulations under this section to be published in final
			 form.</text>
					</subparagraph><subparagraph id="ID0DE33E30318E4AC4AA59B3D9FAFB3135"><enum>(C)</enum><header>Effective date</header><text>Such
			 regulations shall become effective upon the expiration of the 30-day period
			 beginning on the date of such submission to the appropriate Committees.</text>
					</subparagraph></paragraph></subsection><subsection changed="deleted" committee-id="SSBK00" id="IDFF0AAAD5594043ACABE3E8AC8DC9D3F9" reported-display-style="strikethrough"><enum>(d)</enum><header>Definition</header><text>For
			 purposes of this section, the term <term>appropriate Committees</term>
			 means—</text>
				<paragraph id="idE66ABE2246224872AD55B844E3317176"><enum>(1)</enum><text>the Committee on Financial Services
			 and the Committee on Armed Services of the House of Representatives; and</text>
				</paragraph><paragraph id="ID0109A22C19954A179664DB28D68D72B5"><enum>(2)</enum><text>the Committee on Banking, Housing,
			 and Urban Affairs and the Committee on Armed Services of the Senate.</text>
				</paragraph></subsection></section><section changed="deleted" committee-id="SSBK00" id="ID740BE03A6419478D833033AB164D7350" reported-display-style="strikethrough"><enum>12.</enum><header>Sense of
			 Congress</header><text display-inline="no-display-inline">It is the sense of
			 the Congress that the Federal and State agencies responsible for insurance and
			 securities regulation should provide advice to the appropriate Federal entities
			 to consider—</text>
			<paragraph id="ID729DD352FA2A40C2AE103B2D494AD11F"><enum>(1)</enum><text>significantly increasing the life
			 insurance coverage made available through the Federal Government to members of
			 the Armed Forces;</text>
			</paragraph><paragraph id="ID88E587B492E64E048D55267DD4CEAB42"><enum>(2)</enum><text>implementing appropriate procedures
			 to encourage members of the Armed Forces to improve their financial literacy
			 objectives; and</text>
			</paragraph><paragraph id="IDACE6E3078E08434F8D8A93B1D962387C"><enum>(3)</enum><text>improving the benefits and matching
			 contributions provided under the Federal Thrift Savings Plan (established under
			 section 8437 of title 5, United States Code) to members of the Armed
			 Forces.</text>
			</paragraph></section><section changed="deleted" committee-id="SSBK00" id="ID54085747028D4E24823625747B16E755" reported-display-style="strikethrough"><enum>13.</enum><header>Definitions</header><text display-inline="no-display-inline">For purposes of this Act, the following

			 means, with respect to a State, the officer, agency, or other entity of the
			 State that has primary regulatory authority over the business of insurance and
			 over any person engaged in the business of insurance, to the extent of such

			 findings</header><text display-inline="no-display-inline">Congress finds
			 that—</text>
			<paragraph id="id0b94ff37-897e-49e1-be48-985b7c8639a9"><enum>(1)</enum><text>members of the Armed Forces perform
			 great sacrifices in protecting our Nation in the War on Terror;</text>
			</paragraph><paragraph id="id479574a0-3dad-4bc0-ba9d-dca25363ef4d"><enum>(2)</enum><text>the
			 brave men and women in uniform deserve to be offered first-rate financial
			 products in order to provide for their families and to save and invest for
			 retirement;</text>
			</paragraph><paragraph id="id2ba8f125-8aeb-438c-b704-9b91211284f2"><enum>(3)</enum><text>members of the Armed Forces are
			 being offered high-cost securities and life insurance products by some
			 financial services companies engaging in abusive and misleading sales
			 practices;</text>
			</paragraph><paragraph id="ide0696117-c25e-4bd5-8dbb-3936223f8198"><enum>(4)</enum><text>one
			 securities product offered to service members, known as the <quote>mutual fund
			 contractual plan</quote>, largely disappeared from the civilian market in the
			 1980s, due to excessive sales charges;</text>
			</paragraph><paragraph id="id93C5A5DA56324890AE855643C95CFF09"><enum>(5)</enum><text>with respect to a mutual fund
			 contractual plan, a 50 percent sales commission is assessed against the first
			 year of contributions, despite an average commission on other securities
			 products of less than 6 percent on each sale;</text>
			</paragraph><paragraph id="ide5039d30-99d1-42f8-b037-478394ba7d88"><enum>(6)</enum><text>excessive sales charges allow
			 abusive and misleading sales practices in connection with mutual fund
			 contractual plan;</text>
			</paragraph><paragraph id="idd0a66435-2bff-4221-a02c-b143c267eb2d"><enum>(7)</enum><text>certain life insurance products
			 being offered to members of the Armed Forces are improperly marketed as
			 investment products, providing minimal death benefits in exchange for excessive
			 premiums that are front-loaded in the first few years, making them entirely
			 inappropriate for most military personnel; and</text>
			</paragraph><paragraph id="id99eefefb-960a-4a0b-b008-189ba7940526"><enum>(8)</enum><text>the
			 need for regulation of the marketing and sale of securities and life insurance
			 products on military bases necessitates Congressional action.</text>
			</paragraph></section><section changed="added" committee-id="SSBK00" id="id65408655-e723-4b28-b9b6-cd8fa58baaba" reported-display-style="italic"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline">For purposes of this Act, the following
			 definitions shall apply:</text>

			 product</header>
				<subparagraph changed="added" committee-id="SSBK00" id="IDF79F324C411E41E5B9757E7966CBBBF7" reported-display-style="italic"><enum>(A)</enum><header>In
			 general</header><text>The term <term>life insurance product</term> means any
			 product, including individual and group life insurance, funding agreements, and
			 annuities, that provides insurance for which the probabilities of the duration
			 of human life or the rate of mortality are an element or condition of
			 insurance.</text>
				</subparagraph><subparagraph changed="added" committee-id="SSBK00" id="IDF0B955D9A7814F2DAB4BA1CDFBCFA2F4" reported-display-style="italic"><enum>(B)</enum><header>Included
			 insurance</header><text>The term <term>life insurance product</term> includes
			 the granting of—</text>
					<clause id="IDB64BF3F48BD144788CA92E83C114BD52"><enum>(i)</enum><text>endowment benefits;</text>
					</clause><clause id="IDD3E025F0D858426EB4AA9886F35FB430"><enum>(ii)</enum><text>additional benefits in the event
			 of death by accident or accidental means;</text>
					</clause><clause id="ID92B42088EEA14488A0920FBB6ABFE3B6"><enum>(iii)</enum><text>disability income
			 benefits;</text>
					</clause><clause id="IDA7A947E0B92C4402B30FB1498A99C007"><enum>(iv)</enum><text>additional disability benefits
			 that operate to safeguard the contract from lapse or to provide a special
			 surrender value, or special benefit in the event of total and permanent
			 disability;</text>
					</clause><clause id="IDC1A200A0007F4CBAA8655C4BEC4D5DDD"><enum>(v)</enum><text>benefits that provide payment or
			 reimbursement for long-term home health care, or long-term care in a nursing
			 home or other related facility;</text>
					</clause><clause id="ID405F66C4096048539A14309A8A91D5FA"><enum>(vi)</enum><text>burial insurance; and</text>
					</clause><clause id="ID893C4F2305C74B8686B158CCE5C3F1B3"><enum>(vii)</enum><text>optional modes of settlement or

			 80a–27</external-xref>) is amended by adding at the end the following new
			 subsection:</text>

							<subparagraph id="ide0d17b2f-4681-4029-a299-993d391a6a85"><enum>(A)</enum><text>for any registered investment
				company to issue any periodic payment plan certificate; or</text>
							</subparagraph><subparagraph id="id0a6a8a7a-2fcc-4c0c-9b94-48782a484d4e"><enum>(B)</enum><text>for such company, or any depositor
				of or underwriter for any such company, or any other person, to sell such a
				certificate.</text>
							</subparagraph></paragraph><paragraph changed="added" committee-id="SSBK00" id="id8de5da96-2387-45e0-a820-35b085a1595f" reported-display-style="italic"><enum>(2)</enum><header>No invalidation of
				existing certificates</header><text>Paragraph (1) shall not be construed to
				alter, invalidate, or otherwise affect any rights or obligations, including
				rights of redemption, under any periodic payment plan certificate issued and
				sold before 30 days after such date of

			 sales practices, and revenues from periodic payment plans</header><text>Not
			 later than 6 months after the date of enactment of this Act, the Securities and
			 Exchange Commission shall submit to the Committee on Financial Services of the
			 House of Representatives and the Committee on Banking, Housing, and Urban
			 Affairs of the Senate, a report describing—</text>
				<paragraph id="id27986c78-eb63-402d-8b32-de10a9cab527"><enum>(1)</enum><text>any
			 measures taken by a broker or dealer registered with the Securities and
			 Exchange Commission pursuant to
			 <external-xref legal-doc="act" parsable-cite="SEA34/15(b)">section
			 15(b)</external-xref> of the <act-name parsable-cite="SEA34">Securities
			 Exchange Act of 1934</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/78">15 U.S.C.
			 78</external-xref><added-phrase>o</added-phrase>(b)) to voluntarily refund
			 payments made by military service members on any periodic payment plan
			 certificate, and the amounts of such refunds;</text>
				</paragraph><paragraph id="idea647a1a-2bd3-4b0a-b439-16568f8a2c42"><enum>(2)</enum><text>after such consultation with the
			 Secretary of Defense, as the Commission considers appropriate, the sales
			 practices of such brokers or dealers on military installations over the 5 years
			 preceding the date of submission of the report and any legislative or
			 regulatory recommendations to improve such practices; and</text>
				</paragraph><paragraph id="idcd0b7839-f751-4e01-94b4-b51266a7b9d6"><enum>(3)</enum><text>the
			 revenues generated by such brokers or dealers in the sales of periodic payment
			 plan certificates over the 5 years preceding the date of submission of the
			 report, and the products marketed by such brokers or dealers to replace the
			 revenue generated from the sales of periodic payment plan certificates
			 prohibited under subsection (a).</text>
				</paragraph></subsection></section><section changed="added" committee-id="SSBK00" id="IDBDA269F461E84174885F470857786769" reported-display-style="italic"><enum>5.</enum><header>Required disclosures
			 regarding offers or sales of securities on military installations</header><text display-inline="no-display-inline">Section 15A(b) of the
			 <act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name> (15
			 U.S.C. 78o-3(b)) is amended by inserting immediately after paragraph (13) the
			 following:</text>
			<quoted-block act-name="Securities Exchange Act of 1934" committee-id="SSBK00" display-inline="no-display-inline" id="ID5C273EA268A2475B9029A033DB0105C3" style="OLC">

				being offered or provided by the broker or dealer on behalf of the Federal
				Government, and that its offer is not sanctioned, recommended, or encouraged by

						</clause><clause id="IDBE434FB6AF1A49FBB60EBDD729168434"><enum>(ii)</enum><text>the identity of the registered
				broker-dealer offering the securities;</text>
						</clause></subparagraph><subparagraph changed="added" committee-id="SSBK00" id="ID2D03527B6F0D471FB41B19C557D4805D" reported-display-style="italic"><enum>(B)</enum><text>such broker or dealer to
				perform an appropriate suitability determination, including consideration of
				costs and knowledge about securities, prior to making a recommendation of a
				security to a member of the Armed Forces or a dependant thereof; and</text>
					</subparagraph><subparagraph changed="added" commented="no" committee-id="SSBK00" display-inline="no-display-inline" id="ID28C9A1E864E74695ADD191AA4C62C825" reported-display-style="italic"><enum>(C)</enum><text>that no person receive
				any referral fee or incentive compensation in connection with a sale or offer
				of sale of securities, unless such person is an associated person of a
				registered broker or dealer and is qualified pursuant to the rules of a
				self-regulatory
				organization.</text>
					</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section changed="added" committee-id="SSBK00" id="id572d8599-d269-4bec-89b1-11b4b7805adf" reported-display-style="italic"><enum>6.</enum><header>Method of maintaining
			 broker and dealer registration, disciplinary, and other data</header><text display-inline="no-display-inline">Section 15A(i) of the
			 <act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name>
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o-3(i)">15 U.S.C.
			 78o–3(i)</external-xref>) is amended to read as follows:</text>

				members and their associated persons of any registered national securities
				exchange that uses the system described in subparagraph (A) for the
				registration of its members and their associated persons; and</text>
							</clause></subparagraph><subparagraph changed="added" committee-id="SSBK00" id="ida29687c6-17c9-4801-86c1-a2bb8449a38e" reported-display-style="italic"><enum>(C)</enum><text>adopt rules governing the
				process for making inquiries and the type, scope, and presentation of

						</subparagraph></paragraph><paragraph changed="added" committee-id="SSBK00" id="idb032818d-37ec-44ae-a13f-7d7e5d11a2a7" reported-display-style="italic"><enum>(2)</enum><header>Recovery of
				costs</header><text>A registered securities association may charge persons
				making inquiries described in paragraph (1)(B), other than individual
				investors, reasonable fees for responses to such inquiries.</text>
					</paragraph><paragraph changed="added" committee-id="SSBK00" id="id8d2c3997-e725-46c2-956e-f7846c85a390" reported-display-style="italic"><enum>(3)</enum><header>Process for disputed
				information</header><text>Each registered securities association shall adopt
				rules establishing an administrative process for disputing the accuracy of
				information provided in response to inquiries under this subsection in
				consultation with any registered national securities exchange providing
				information pursuant to paragraph (1)(B)(ii).</text>
					</paragraph><paragraph changed="added" committee-id="SSBK00" id="idd47cd659-8d63-413c-950c-e4cc0748ea7f" reported-display-style="italic"><enum>(4)</enum><header>Limitation on
				liability</header><text>A registered securities association, or an exchange
				reporting information to such an association, shall not have any liability to
				any person for any actions taken or omitted in good faith under this
				subsection.</text>
					</paragraph><paragraph changed="added" committee-id="SSBK00" id="idb064d576-a841-4737-8bf0-66546232740b" reported-display-style="italic"><enum>(5)</enum><header>Definition</header><text>For
				purposes of this subsection, the term <term>registration information</term>
				means the information reported in connection with the registration or licensing
				of brokers and dealers and their associated persons, including disciplinary
				actions, regulatory, judicial, and arbitration proceedings, and other
				information required by law, or exchange or association rule, and the source
				and status of such
				information.</text>
					</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section changed="added" committee-id="SSBK00" id="id107fe578-18f8-488f-b88c-2022fab39859" reported-display-style="italic"><enum>7.</enum><header>Filing depositories for
			 investment advisers</header>
			<subsection changed="added" committee-id="SSBK00" id="ide52ab91b-efc5-4e4d-be7f-107a8f40bfa9" reported-display-style="italic"><enum>(a)</enum><header>Investment
			 advisers</header><text><external-xref legal-doc="act" parsable-cite="IAA40/204">Section 204</external-xref> of the

				to respond to inquiries</header>
								<subparagraph commented="no" display-inline="no-display-inline" id="id59201E2F7A53400C9E0C8592BE884619"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">The Commission shall require the entity
				designated by the Commission under subsection (b)(1) to establish and maintain
				a toll-free telephone listing, or a readily accessible electronic or other
				process, to receive and promptly respond to inquiries regarding registration
				information (including disciplinary actions, regulatory, judicial, and
				arbitration proceedings, and other information required by law or rule to be
				reported) involving investment advisers and persons associated with investment
				advisers.</text>
								</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id76EC040CB045430CB3621E4E7D236254"><enum>(B)</enum><header>Applicability</header><text display-inline="yes-display-inline">This subsection shall apply to any
				investment adviser (and the persons associated with that adviser), whether the
				investment adviser is registered with the Commission under section 203 or
				regulated solely by a State, as described in section 203A.</text>
								</subparagraph></paragraph><paragraph changed="added" committee-id="SSBK00" id="id7e610da0-2fc5-4f42-a368-f758c523e0bb" reported-display-style="italic"><enum>(2)</enum><header>Recovery of
				costs</header><text>An entity designated by the Commission under subsection
				(b)(1) may charge persons making inquiries, other than individual investors,

			 securities jurisdiction on military installations</header>
			<subsection changed="added" committee-id="SSBK00" id="idb5345026-93ab-49a6-afb2-b125ad72dc4a" reported-display-style="italic"><enum>(a)</enum><header>Clarification of
			 jurisdiction</header><text>Any provision of law, regulation, or order of a
			 State with respect to regulating the business of insurance or securities shall
			 apply to insurance or securities activities conducted on Federal land or
			 facilities in the United States and abroad, including military installations,
			 except to the extent that such law, regulation, or order—</text>
				<paragraph id="id31be1196-9a7b-413e-a391-e3e1c2099593"><enum>(1)</enum><text>directly conflicts with any
			 applicable Federal law, regulation, or authorized directive; or</text>
				</paragraph><paragraph id="id278f05ae-c301-44c5-99cc-ca5a38a479fb"><enum>(2)</enum><text>would not apply if such activity
			 were conducted on State land.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id9dab2498-b6e2-46c1-8b7a-e11ff41deda8" reported-display-style="italic"><enum>(b)</enum><header>Primary State
			 jurisdiction</header><text>To the extent that multiple State laws would
			 otherwise apply pursuant to subsection (a) to an insurance or securities
			 activity of an individual or entity on Federal land or facilities, the State
			 having the primary duty to regulate such activity and the laws of which shall
			 apply to such activity in the case of a conflict shall be—</text>
				<paragraph changed="added" committee-id="SSBK00" id="id6e8c91e7-aa6f-47ca-86e7-5eba71e763db" reported-display-style="italic"><enum>(1)</enum><text>the State within which
			 the Federal land or facility is located; or</text>
				</paragraph><paragraph changed="added" committee-id="SSBK00" id="id344051f1-3b63-4297-ba47-9e190171ec51" reported-display-style="italic"><enum>(2)</enum><text>if the Federal land or
			 facility is located outside of the United States, the State in which—</text>
					<subparagraph id="idb38b552d-d325-43a6-865a-077fc66c5fd1"><enum>(A)</enum><text>in
			 the case of an individual engaged in the business of insurance, such individual
			 has been issued a resident license;</text>
					</subparagraph><subparagraph id="id496b1e64-4511-4e58-8e4f-fdfebdadfd28"><enum>(B)</enum><text>in
			 the case of an entity engaged in the business of insurance, such entity is
			 domiciled;</text>
					</subparagraph><subparagraph id="ID18F06657ADDB42EE9C9E3A8B6ED55A34"><enum>(C)</enum><text>in
			 the case of an individual engaged in the offer or sale (or both) of securities,
			 such individual is registered or required to be registered to do business or
			 the person solicited by such individual resides; or</text>
					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID04BC44ABC5E64C83AC65E1BBF9C9EAAB"><enum>(D)</enum><text>in
			 the case of an entity engaged in the offer or sale (or both) of securities,
			 such entity is registered or is required to be registered to do business or the
			 person solicited by such entity resides.</text>
					</subparagraph></paragraph></subsection></section><section changed="added" committee-id="SSBK00" id="id2f53441a-e96a-4067-8fd3-3badcb3e03c1" reported-display-style="italic"><enum>9.</enum><header>Required development of
			 military personnel protection standards regarding insurance sales;
			 administrative coordination</header>
			<subsection changed="added" committee-id="SSBK00" id="id97b5bc6a-7042-49a6-b454-0a76ff682511" reported-display-style="italic"><enum>(a)</enum><header>State
			 standards</header><text>Congress intends that—</text>
				<paragraph id="id39df00ae-f6c2-49dd-9386-f87d19efd88f"><enum>(1)</enum><text>the
			 States collectively work with the Secretary of Defense to ensure implementation
			 of appropriate standards to protect members of the Armed Forces from dishonest
			 and predatory insurance sales practices while on a military installation of the
			 United States (including installations located outside of the United States);
			 and</text>
				</paragraph><paragraph id="id012dbbe9-f834-4311-a406-8eb41869a020"><enum>(2)</enum><text>each State identify its role in
			 promoting the standards described in paragraph (1) in a uniform manner, not
			 later than 12 months after the date of enactment of this Act.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="idfb65dcc4-730e-4cac-aeeb-c235df42c3c5" reported-display-style="italic"><enum>(b)</enum><header>State
			 report</header><text>It is the sense of Congress that the NAIC should, after
			 consultation with the Secretary of Defense and, not later than 12 months after
			 the date of enactment of this Act, conduct a study to determine the extent to
			 which the States have met the requirement of subsection (a), and report the
			 results of such study to the Committee on Financial Services of the House of
			 Representatives and the Committee on Banking, Housing, and Urban Affairs of the
			 Senate.</text>
			</subsection><subsection changed="added" committee-id="SSBK00" id="ID9bd161d3f6e740e187eee761bf1b5dcb" reported-display-style="italic"><enum>(c)</enum><header>Administrative
			 coordination; sense of congress</header><text>It is the sense of the Congress
			 that senior representatives of the Secretary of Defense, the Securities and
			 Exchange Commission, and the NAIC should meet not less frequently than twice a
			 year to coordinate their activities to implement this Act and monitor the
			 enforcement of relevant regulations relating to the sale of financial products
			 on military installations of the United States.</text>
			</subsection></section><section changed="added" committee-id="SSBK00" id="id367738ee-34c9-4f85-82f2-cd439a958559" reported-display-style="italic"><enum>10.</enum><header>Required disclosures
			 regarding life insurance products</header>
			<subsection changed="added" committee-id="SSBK00" id="idb18cd436-d35f-4a46-9f0f-c0ae44d24e8a" reported-display-style="italic"><enum>(a)</enum><header>Requirement</header><text>Except
			 as provided in subsection (e), no person may sell, or offer for sale, any life
			 insurance product to any member of the Armed Forces or a dependant thereof on a
			 military installation of the United States, unless a disclosure in accordance
			 with this section is provided to such member or dependent at the time of the
			 sale or offer.</text>
			</subsection><subsection changed="added" committee-id="SSBK00" id="id017e09bb-6a38-432c-8abc-96c1b0e9f435" reported-display-style="italic"><enum>(b)</enum><header>Disclosure</header><text>A
			 disclosure in accordance with this section is a written disclosure that—</text>
				<paragraph id="id6c19d594-f76c-4436-a8e2-580d44788b8f"><enum>(1)</enum><text>states that subsidized life
			 insurance is available to the member of the Armed Forces from the Federal
			 Government under the Servicemembers' Group Life Insurance program (also
			 referred to as <quote>SGLI</quote>), under subchapter III of chapter 19 of
			 title 38, United States Code;</text>
				</paragraph><paragraph id="id41E5F9F5979343E380E4C18E7FD44F40"><enum>(2)</enum><text>states the amount of insurance
			 coverage available under the SGLI program, together with the costs to the
			 member of the Armed Forces for such coverage;</text>
				</paragraph><paragraph id="id58e3c72b-14ad-4eb4-987d-6614dc80bce1"><enum>(3)</enum><text>states that the life insurance
			 product that is the subject of the disclosure is not offered or provided by the
			 Federal Government, and that the Federal Government has in no way sanctioned,
			 recommended, or encouraged the sale of the life insurance product being
			 offered;</text>
				</paragraph><paragraph id="IDa3b340bd9c9a46f596af74d6eb4add65"><enum>(4)</enum><text>fully discloses any terms and
			 circumstances under which amounts accumulated in a savings fund or savings
			 feature under the life insurance product that is the subject of the disclosure
			 may be diverted to pay, or reduced to offset, premiums due for continuation of
			 coverage under such product;</text>
				</paragraph><paragraph id="idA24F5B09190C42828D5842666A564F31"><enum>(5)</enum><text>states that no person has received
			 any referral fee or incentive compensation in connection with the offer or sale
			 of the life insurance product, unless such person is a licensed agent of the
			 person engaged in the business of insurance that is issuing such
			 product;</text>
				</paragraph><paragraph id="idB8C2EF1011B845F08E19B7B40BCABD7F"><enum>(6)</enum><text>is
			 made in plain and readily understandable language and in a type font at least
			 as large as the font used for the majority of the solicitation material used
			 with respect to or relating to the life insurance product; and</text>
				</paragraph><paragraph id="id1f0ee75e-2802-47e1-a6dd-ba13d3bb4cb6"><enum>(7)</enum><text>with respect to a sale or
			 solicitation on Federal land or facilities located outside of the United
			 States, lists the address and phone number at which consumer complaints are
			 received by the State insurance commissioner for the State having the primary
			 jurisdiction and duty to regulate the sale of such life insurance products
			 pursuant to section 8.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id90CF2D165969423EADA74820CA852BA7" reported-display-style="italic"><enum>(c)</enum><header>Voidability</header><text>The
			 sale of a life insurance product in violation of this section shall be voidable
			 from its inception, at the sole option of the member of the Armed Forces, or
			 dependent thereof, as applicable, to whom the product was sold.</text>
			</subsection><subsection changed="added" committee-id="SSBK00" id="id5c495694-d09e-4fb7-9ff2-dd2ad945fdf4" reported-display-style="italic"><enum>(d)</enum><header>Enforcement</header><text>If
			 it is determined by a Federal or State agency, or in a final court proceeding,
			 that any person has intentionally violated, or willfully disregarded the
			 provisions of, this section, in addition to any other penalty under applicable
			 Federal or State law, such person shall be prohibited from further engaging in
			 the business of insurance with respect to employees of the Federal Government
			 on Federal land, except—</text>
				<paragraph id="ide355328f-e5e2-4226-a0d1-352e653acdb2"><enum>(1)</enum><text>with respect to existing policies;
			 and</text>
				</paragraph><paragraph id="id513b0909-04fe-41d0-b2ae-dc9a6f21d7b8"><enum>(2)</enum><text>to
			 the extent required by the Federal Government pursuant to previous
			 commitments.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id9c391b47-8a44-461c-bc71-143381951a23" reported-display-style="italic"><enum>(e)</enum><header>Exceptions</header><text>This
			 section shall not apply to any life insurance product specifically contracted
			 by or through the Federal Government.</text>
			</subsection></section><section changed="added" committee-id="SSBK00" id="idadf0fc03-eef7-4252-913d-32e86813b3bb" reported-display-style="italic"><enum>11.</enum><header>Improving life
			 insurance product standards</header>
			<subsection changed="added" committee-id="SSBK00" id="idd71e16f9-66a5-4133-9c57-48859fcdea5c" reported-display-style="italic"><enum>(a)</enum><header>In
			 general</header><text>It is the sense of Congress that the NAIC should, after
			 consultation with the Secretary of Defense, and not later than 6 months after
			 the date of enactment of this Act, conduct a study and submit a report to the
			 Committee on Banking, Housing, and Urban Affairs of the Senate and the
			 Committee on Financial Services of the House of Representatives on—</text>
				<paragraph changed="added" committee-id="SSBK00" id="idAF40AB75E0A040A99167ABF1E99A450A" reported-display-style="italic"><enum>(1)</enum><text>ways of improving the
			 quality of and sale of life insurance products sold on military installations
			 of the United States, which may include—</text>
					<subparagraph id="id2FCB596B7C7E48458FB149BC1040A094"><enum>(A)</enum><text>limiting such sales authority to
			 persons that are certified as meeting appropriate best practices procedures;
			 and</text>
					</subparagraph><subparagraph id="idB631E05801304DC183B9FE19242C8E14"><enum>(B)</enum><text>creating standards for products
			 specifically designed to meet the particular needs of members of the Armed
			 Forces, regardless of the sales location; and</text>
					</subparagraph></paragraph><paragraph changed="added" committee-id="SSBK00" id="id785AB071624742B3A8AF30BC4BDC1CC5" reported-display-style="italic"><enum>(2)</enum><text>the extent to which life
			 insurance products marketed to members of the Armed Forces comply with
			 otherwise applicable provisions of State law.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id75c14c6f-707c-4382-807c-0437e517f36f" reported-display-style="italic"><enum>(b)</enum><header>Conditional GAO
			 report</header><text>If the NAIC does not submit the report as described in
			 subsection (a), the Comptroller General of the United States shall—</text>
				<paragraph id="idC89057A2FA8A4D92A60E59181AD193B7"><enum>(1)</enum><text>study any proposals that have been
			 made to improve the quality of and sale of life insurance products sold on
			 military installations of the United States; and</text>
				</paragraph><paragraph id="id5EC6198AB91F4827BAFDB0B58F5C1E6E"><enum>(2)</enum><text>not
			 later than 6 months after the expiration of the period referred to in
			 subsection (a), submit a report on such proposals to the Committee on Banking,
			 Housing, and Urban Affairs of the Senate and the Committee on Financial
			 Services of the House of Representatives.</text>
				</paragraph></subsection></section><section changed="added" committee-id="SSBK00" id="id51570ec4-fcd2-4f43-bcf8-df31bdae6ce3" reported-display-style="italic"><enum>12.</enum><header>Required reporting of
			 disciplinary actions</header>
			<subsection changed="added" committee-id="SSBK00" id="id61baeb9e-4189-439d-80bb-a9c2716559d8" reported-display-style="italic"><enum>(a)</enum><header>Reporting by
			 insurers</header><text>Beginning 1 year after the date of enactment of this
			 Act, no insurer may enter into or renew a contractual relationship with any
			 other person that sells or solicits the sale of any life insurance product on
			 any military installation of the United States, unless the insurer has
			 implemented a system to report to the State insurance commissioner of the State
			 of domicile of the insurer and the State of residence of that other
			 person—</text>
				<paragraph id="id59799e7e-c7d0-4bf1-bc03-8c193144a3e5"><enum>(1)</enum><text>any
			 disciplinary action taken by any Federal or State government entity with
			 respect to sales or solicitations of life insurance products on a military
			 installation that the insurer knows, or in the exercise of due diligence should
			 have known, to have been taken; and</text>
				</paragraph><paragraph id="idfb556188-587f-4921-b217-e6c23c1022e2"><enum>(2)</enum><text>any
			 significant disciplinary action taken by the insurer with respect to sales or
			 solicitations of life insurance products on a military installation of the
			 United States.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="ide3b9a03d-7b62-4adc-b56b-ed6a2a32cc84" reported-display-style="italic"><enum>(b)</enum><header>Reporting by
			 States</header><text>It is the sense of Congress that, not later than 1 year
			 after the date of enactment of this Act, the States should collectively
			 implement a system to—</text>
				<paragraph id="ida68fadae-6eda-40df-8b13-96edf624df54"><enum>(1)</enum><text>receive reports of disciplinary
			 actions taken against persons that sell or solicit the sale of any life
			 insurance product on any military installation of the United States by insurers
			 or Federal or State government entities with respect to such sales or
			 solicitations; and</text>
				</paragraph><paragraph id="idd8aabbe4-1801-4dd9-b3c2-4fcf190fc411"><enum>(2)</enum><text>disseminate such information to all
			 other States and to the Secretary of Defense.</text>
				</paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id815B5F3829464AEDA8FA999FA01F2820" reported-display-style="italic"><enum>(c)</enum><header>Definition</header><text>As
			 used in this section, the term <quote>insurer</quote> means a person engaged in
			 the business of insurance.</text>
			</subsection></section><section changed="added" committee-id="SSBK00" id="id7fc24b85-f750-4c87-b3b7-c0fb9a1cca82" reported-display-style="italic"><enum>13.</enum><header>Reporting barred
			 persons selling insurance or securities</header>
			<subsection changed="added" committee-id="SSBK00" id="id4cbdecd7-a0f6-4ca1-b12a-984152ed42f9" reported-display-style="italic"><enum>(a)</enum><header>Establishment</header><text>The
			 Secretary of Defense shall maintain a list of the name, address, and other
			 appropriate information relating to persons engaged in the business of
			 securities or insurance that have been barred or otherwise limited in any
			 manner that is not generally applicable to all such type of persons, from any
			 or all military installations of the United States, or that have engaged in any
			 transaction that is prohibited by this Act.</text>
			</subsection><subsection changed="added" committee-id="SSBK00" id="id0dc64460-4f36-4a32-bf28-e250ba746f34" reported-display-style="italic"><enum>(b)</enum><header>Notice and
			 access</header><text>The Secretary of Defense shall ensure that—</text>
				<paragraph changed="added" committee-id="SSBK00" id="idea3b8fcb-9d42-44db-a079-b7f258a681ea" reported-display-style="italic"><enum>(1)</enum><text>the appropriate Federal
			 and State agencies responsible for securities and insurance regulation are
			 promptly notified upon the inclusion in or removal from the list required by
			 subsection (a) of a person under the jurisdiction of one or more of such
			 agencies; and</text>
				</paragraph><paragraph changed="added" committee-id="SSBK00" id="iddc0f546a-47c6-4a2b-8fea-3f131e1f5eaf" reported-display-style="italic"><enum>(2)</enum><text>the list is kept current
			 and easily accessible—</text>
					<subparagraph id="id7fea97ca-f5d8-46e6-9204-c2ae5117f7bb"><enum>(A)</enum><text>for
			 use by such agencies; and</text>
					</subparagraph><subparagraph id="id04bbdb96-24cd-42d3-83c1-1f381a38ebea"><enum>(B)</enum><text>for
			 purposes of enforcing or considering any such bar or limitation by the
			 appropriate Federal personnel, including commanders of military
			 installations.</text>
					</subparagraph></paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id8e78bbe7-4cf8-42d9-8726-dc354c731de1" reported-display-style="italic"><enum>(c)</enum><header>Regulations</header>
				<paragraph changed="added" committee-id="SSBK00" id="id5d9e3df6-460b-4aed-bf3f-3703e5dd9a2c" reported-display-style="italic"><enum>(1)</enum><header>In
			 general</header><text>The Secretary of Defense shall issue regulations in
			 accordance with this subsection to provide for the establishment and
			 maintenance of the list required by this section, including appropriate due
			 process considerations.</text>
				</paragraph><paragraph changed="added" committee-id="SSBK00" id="id1bb2a731-cd6b-4b1c-8eda-fdb57379c883" reported-display-style="italic"><enum>(2)</enum><header>Timing</header>
					<subparagraph id="id362057ef-277b-41ac-9bf9-c6ec463e14a2"><enum>(A)</enum><header>Proposed
			 regulations</header><text>Not later than the expiration of the 60-day period
			 beginning on the date of enactment of this Act, the Secretary of Defense shall
			 prepare and submit to the appropriate Committees of Congress a copy of the
			 regulations required by this subsection that are proposed to be published for
			 comment. The Secretary may not publish such regulations for comment in the
			 Federal Register until the expiration of the 15-day period beginning on the
			 date of such submission to the appropriate Committees of Congress.</text>
					</subparagraph><subparagraph id="id291771cb-1d80-4d0e-89df-8cf86cadaff4"><enum>(B)</enum><header>Final
			 regulations</header><text>Not later than 90 days after the date of enactment of
			 this Act, the Secretary of Defense shall submit to the appropriate Committees
			 of Congress a copy of the regulations under this section to be published in
			 final form.</text>
					</subparagraph><subparagraph id="idca1bd638-005f-468d-925a-64b3cffeff5d"><enum>(C)</enum><header>Effective
			 date</header><text>Final regulations under this paragraph shall become
			 effective 30 days after the date of their submission to the appropriate
			 Committees of Congress under subparagraph (B).</text>
					</subparagraph></paragraph></subsection><subsection changed="added" committee-id="SSBK00" id="id3c69ea89-27eb-4fd7-8c83-0629bfd65947" reported-display-style="italic"><enum>(d)</enum><header>Definition</header><text>For
			 purposes of this section, the term <term>appropriate Committees of
			 Congress</term> means—</text>
				<paragraph id="idc8eb7b3a-1080-4a1f-ae1e-e77522569448"><enum>(1)</enum><text>the
			 Committee on Financial Services and the Committee on Armed Services of the
			 House of Representatives; and</text>
				</paragraph><paragraph id="idd429d782-0885-4195-85f9-693b09604b58"><enum>(2)</enum><text>the
			 Committee on Banking, Housing, and Urban Affairs and the Committee on Armed
			 Services of the Senate.</text>
				</paragraph></subsection></section><section changed="added" committee-id="SSBK00" id="id7B8B273AB934424C91CA63054CC21E74" reported-display-style="italic"><enum>14.</enum><header>Study and reports by
			 Inspector General of the Department of Defense</header>
			<subsection id="idA696D11AD0064855B935E6F7DBAD38DB"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Inspector General of the Department of
			 Defense shall conduct a study on the impact of Department of Defense
			 Instruction 1344.07 (as in effect on the date of enactment of this Act) and the
			 reforms included in this Act on the quality and suitability of sales of
			 securities and insurance products marketed or otherwise offered to members of
			 the Armed Forces.</text>
			</subsection><subsection id="idF10A95DE23C24D66B2EA2794F32BF8E4"><enum>(b)</enum><header>Reports</header><text display-inline="yes-display-inline">Not later than 12 months after the date of
			 enactment of this Act, the Inspector General of the Department of Defense shall
			 submit an initial report on the results of the study conducted under subsection
			 (a) to the Committee on Banking, Housing, and Urban Affairs of the Senate and
			 the Committee on Financial Services of the House of Representatives, and shall
			 submit followup reports to those committees on December 31, 2008 and December
			 31, 2010.</text>
