<official-title>To assist small business concerns in complying with the Sarbanes-Oxley Act of 2002.</official-title>

<section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Small Business Sarbanes-Oxley Compliance Assistance Act of 2006</short-title></quote>.</text> </section>
<section id="idA9CDDC5E6947421E8F3B4BF81BAF83C5"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act—</text> 
<paragraph id="idF876761482AC4857989F485F4668BB79"><enum>(1)</enum><text>the terms <term>Administration</term> and <term>Administrator</term> mean the Small Business Administration and the Administrator thereof, respectively;</text> </paragraph>
<paragraph id="idDCE8B59B34CB4C66832397D99B83E784"><enum>(2)</enum><text>the term <term>Commission</term> means the Securities and Exchange Commission;</text> </paragraph>
<paragraph id="id8ADA2DB548634D149F8C18270F76F28C"><enum>(3)</enum><text>the terms <term>issuer</term> and <term>securities</term> have the same meanings as in section 3 of the Securities Exchange Act of 1934 (15 U.S.C. 78c);</text> </paragraph>
<paragraph id="idCE5B7B6BB5334AF8A2BB435B41EE898E"><enum>(4)</enum><text>the term <term>qualified small public company</term> means a small business concern that has either registered or applied for registration under either the Securities Act of 1933 (15 U.S.C. 77a et seq.) or the Securities Exchange Act of 1934 (15 U.S.C. 78a et seq.) and is considered a non-accelerated filer under rule 12b–2 of the Commission;</text> </paragraph>
<paragraph id="idA1D04988762F44D0870494D9BA852E8A"><enum>(5)</enum><text>the term <term>small business concern</term> has the same meaning as in section 3 of the Small Business Act (15 U.S.C. 632); and</text> </paragraph>
<paragraph id="idA43AD5FC4574495B83B13F5C68F054F0"><enum>(6)</enum><text>the term <term>task force</term> means the task force established under section 4(a).</text> </paragraph></section>
<section id="id5B71EF74CAC04D528F28802BEC92C9F8"><enum>3.</enum><header>Grants</header> 
<subsection id="id8E4F78A0A1EA41F78B7D855F7D7C7EE0"><enum>(a)</enum><header>In general</header><text>The Administrator may make grants to qualified small public companies and small business concerns for the costs of compliance with the Sarbanes-Oxley Act of 2002 (Public Law 107–204; 116 Stat. 745), subject to such rules as the Administrator may establish.</text> </subsection>
<subsection id="idD37E730E4E1542098F31A913B5AAB4AF"><enum>(b)</enum><header>Authorization of appropriations</header><text>There are authorized to be appropriated to the Administration to carry out this section $5,000,000 for each of fiscal years 2007 through 2011.</text> </subsection></section>
<section id="id35D03E9AF5014460B6A0CBB9F40071E0"><enum>4.</enum><header>Task force</header> 
<subsection id="id06618AD8B84745B189F9308DBE9948CB"><enum>(a)</enum><header>In general</header><text>Not later than 6 months after the date of enactment of this Act, the Chief Counsel for Advocacy of the Administration shall establish a task force regarding compliance with the Sarbanes-Oxley Act of 2002 (Public Law 107–204; 116 Stat. 745) by small public companies.</text> </subsection>
<subsection id="id2C24883E62F44F6190FB08EC1A3ACF56"><enum>(b)</enum><header>Members</header><text>The task force shall include officials from the Commission and appropriate bank regulatory agencies.</text> </subsection>
<subsection id="id05002B3854DF4998B70AD5F8016C8958"><enum>(c)</enum><header>Report</header> 
<paragraph id="idA8ACEA55931443A089026F4D54DC6818"><enum>(1)</enum><header>In general</header><text>Not later than 6 months after the date of enactment of this Act, and every 2 years thereafter, the task force shall submit to Congress a report regarding how to assist small public companies in complying with the Sarbanes-Oxley Act of 2002.</text> </paragraph>
<paragraph id="id38FE7CF38DF44A479ABE9ABA8FCBBA72"><enum>(2)</enum><header>Consideration of rules</header><text>In preparing a report under paragraph (1), the task force shall take into account any rules issued by the Commission providing additional guidance for small business concerns regarding financial reporting.</text> </paragraph>
<paragraph id="id7E9D74C17D3C4008BCFCEFDD65A47029"><enum>(3)</enum><header>Contents</header><text>Each report submitted under paragraph (1) shall—</text> 
<subparagraph id="ID266c7f1a509b468c9e3fe17f301111e8"><enum>(A)</enum><text>evaluate upgrades or technological alternatives to the Electronic Data Gathering Analysis Retrieval System of the Commission for small public companies, so that such companies may submit required filings to the Commission without the need for third party intervention;</text> </subparagraph>
<subparagraph id="ID80ddc4d7fb0b44b9bb36916bc3ae1f25"><enum>(B)</enum><text>describe ways of reducing inefficiencies relating to filings by small public companies with the Commission and other Federal agencies; and</text> </subparagraph>
<subparagraph id="ID7d1d979d0f654ef7abc9613ea1c5048a"><enum>(C)</enum><text>evaluate—</text> 
<clause id="idB44AB5B0F5FD4AF7B979CBA18A153CA7"><enum>(i)</enum><text>the feasibility of synchronizing filing requirements for small public companies involving substantially similar information, including financial statements;</text> </clause>
<clause id="ID10ebb61b4d214b5bb900d30f175997f2"><enum>(ii)</enum><text>whether the Commission and appropriate bank regulatory agencies should commit additional resources and professional staff to assist small public companies;</text> </clause>
<clause id="IDea16fa8315eb4bbea126398a6a4172e6"><enum>(iii)</enum><text>whether the Commission should publish guidance on reporting and legal requirements aimed at assisting smaller companies; and</text> </clause>
<clause id="IDa2e5086fb3164d27922f13a64fa41f3a"><enum>(iv)</enum><text>the feasibility of extending incorporation by reference privileges to other Government filings containing substantially equivalent information.</text> </clause></subparagraph></paragraph></subsection></section>
