		<official-title>To improve ratings quality for the protection of
		  investors and in the public interest by fostering accountability, transparency,
		  and competition in the credit rating agency industry.</official-title>

		<section display-inline="no-display-inline" id="HBB09AEC032974A908728E5D216ACFA70" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Credit Rating Agency Reform Act of
			 2006</short-title></quote>.</text>
		</section><section id="HA55D27BABF7F45E3911B8EB8FBCE83C"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Upon the basis of facts disclosed by the
			 record and report of the Securities and Exchange Commission made pursuant to
			 section 702 of the Sarbanes-Oxley Act of 2002 (116 Stat. 797), hearings before
			 the Committee on Banking, Housing, and Urban Affairs of the Senate and the
			 Committee on Financial Services of the House of Representatives during the
			 108th and 109th Congresses, comment letters to the concept releases and
			 proposed rules of the Commission, and facts otherwise disclosed and
			 ascertained, Congress finds that credit rating agencies are of national
			 importance, in that, among other things—</text>
			<paragraph id="H11C530C1144C4C5291136E811F9050DF"><enum>(1)</enum><text>their ratings,
			 publications, writings, analyses, and reports are furnished and distributed,
			 and their contracts, subscription agreements, and other arrangements with
			 clients are negotiated and performed, by the use of the mails and other means
			 and instrumentalities of interstate commerce;</text>
			</paragraph><paragraph id="H52710741D394415995E06C49EF7618A9"><enum>(2)</enum><text display-inline="yes-display-inline">their ratings, publications, writings,
			 analyses, and reports customarily relate to the purchase and sale of securities
			 traded on securities exchanges and in interstate over-the-counter markets,
			 securities issued by companies engaged in business in interstate commerce, and
			 securities issued by national banks and member banks of the Federal Reserve
			 System;</text>
			</paragraph><paragraph id="HFA996118F6A44F5600630914A3AEC092"><enum>(3)</enum><text>the foregoing
			 transactions occur in such volume as substantially to affect interstate
			 commerce, the securities markets, the national banking system, and the national
			 economy;</text>
			</paragraph><paragraph id="HB205443C673348549F6F7EBCBCCDF23B"><enum>(4)</enum><text display-inline="yes-display-inline">the oversight of such credit rating
			 agencies serves the compelling interest of investor protection;</text>
			</paragraph><paragraph id="IDef728bbb945e43e893ac6665fb5444c6"><enum>(5)</enum><text>the 2 largest
			 credit rating agencies serve the vast majority of the market, and additional
			 competition is in the public interest; and</text>
			</paragraph><paragraph id="ID76baa211a2e74d6489d1b74283314d01"><enum>(6)</enum><text>the Commission
			 has indicated that it needs statutory authority to oversee the credit rating
			 industry.</text>
			</paragraph></section><section id="HD98869BDF1994A71BFB00FEB0FCF9AE"><enum>3.</enum><header>Definitions</header>
			<subsection id="id52C6C1E634B041B39E894672F944DC23"><enum>(a)</enum><header>Securities
			 Exchange Act of 1934</header><text display-inline="yes-display-inline">Section
			 3(a) of the Securities Exchange Act of 1934 (15 U.S.C. 78c(a)) is amended by
			 adding at the end the following new paragraphs:</text>
				<quoted-block display-inline="no-display-inline" id="H3D585808193842BC8E00B0B316C63F49" style="OLC">
					<paragraph id="HB46B307570394EED89931449CD222C2D"><enum>(60)</enum><header>Credit
				rating</header><text display-inline="yes-display-inline">The term ‘credit
				rating’ means an assessment of the creditworthiness of an obligor as an entity
				or with respect to specific securities or money market instruments.</text>
					</paragraph><paragraph id="H616EA33907AE4DD3BA5FF5A74BB217C1"><enum>(61)</enum><header>Credit rating
				agency</header><text>The term ‘credit rating agency’ means any person—</text>
						<subparagraph id="HD487401CA894410EBC6B74BAAED6185"><enum>(A)</enum><text display-inline="yes-display-inline">engaged in the business of issuing credit
				ratings on the Internet or through another readily accessible means, for free
				or for a reasonable fee, but does not include a commercial credit reporting
				company;</text>
						</subparagraph><subparagraph id="HDCCF0BDFC3054581924993BAD175A882"><enum>(B)</enum><text>employing either a
				quantitative or qualitative model, or both, to determine credit ratings;
				and</text>
						</subparagraph><subparagraph id="H4BA656B6337B49A9B34DE63BE2060363"><enum>(C)</enum><text>receiving fees
				from either issuers, investors, or other market participants, or a combination
				thereof.</text>
						</subparagraph></paragraph><paragraph id="H20251FA8D74C4010A33465E4423ECD24"><enum>(62)</enum><header>Nationally
				recognized statistical rating organization</header><text>The term ‘nationally
				recognized statistical rating organization’ means a credit rating agency
				that—</text>
						<subparagraph id="HD498BD7336AB475586B3AB8B4680D844"><enum>(A)</enum><text>has been in
				business as a credit rating agency for at least the 3 consecutive years
				immediately preceding the date of its application for registration under
				section 15E;</text>
						</subparagraph><subparagraph id="idF53099D155B8443E925D79A2374AFC99"><enum>(B)</enum><text>issues credit
				ratings certified by qualified institutional buyers, in accordance with section
				15E(a)(1)(B)(ix), with respect to—</text>
							<clause id="id4F40D236B9AE4C1599693EAD51B36BF3"><enum>(i)</enum><text>financial
				institutions, brokers, or dealers;</text>
							</clause><clause id="idB252E033E25E41AC93A5DC0679EF628E"><enum>(ii)</enum><text>insurance
				companies;</text>
							</clause><clause id="idD29FF07AB885455C8967541CA06C4625"><enum>(iii)</enum><text>corporate
				issuers;</text>
							</clause><clause id="id53DFB6B3CDDD477A985A4EBF2D239DF9"><enum>(iv)</enum><text>issuers of
				asset-backed securities (as that term is defined in section 1101(c) of part 229
				of title 17, Code of Federal Regulations, as in effect on the date of enactment
				of this paragraph);</text>
							</clause><clause id="idBE02F5415E2347E98400745B46ED1D39"><enum>(v)</enum><text>issuers of
				government securities, municipal securities, or securities issued by a foreign
				government; or</text>
							</clause><clause id="id8F83302ACA8A460DA596A716AA12977F"><enum>(vi)</enum><text>a combination of
				one or more categories of obligors described in any of clauses (i) through (v);
				and</text>
							</clause></subparagraph><subparagraph id="H716D337979464E6F899C00F50819579E"><enum>(C)</enum><text>is registered
				under section 15E.</text>
						</subparagraph></paragraph><paragraph id="H1C540E4CB4B744039FC7A4F35680FA35"><enum>(63)</enum><header>Person
				associated with a nationally recognized statistical rating
				organization</header><text>The term <quote>person associated with</quote> a
				nationally recognized statistical rating organization means any partner,
				officer, director, or branch manager of a nationally recognized statistical
				rating organization (or any person occupying a similar status or performing
				similar functions), any person directly or indirectly controlling, controlled
				by, or under common control with a nationally recognized statistical rating
				organization, or any employee of a nationally recognized statistical rating
				organization.</text>
					</paragraph><paragraph id="idA3251AB4A4FA4CA1BB6B8F4A40D05D21"><enum>(64)</enum><header>Qualified
				institutional buyer</header><text>The term <quote>qualified institutional
				buyer</quote> has the meaning given such term in section 230.144A(a) of title
				17, Code of Federal Regulations, or any successor
				thereto.</text>
					</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="idB6898F478CE647F892556EF79A963CAB"><enum>(b)</enum><header>Applicable
			 definitions</header><text>As used in this Act—</text>
				<paragraph id="id2D0B7C24F184463BBDA23B55F48905C5"><enum>(1)</enum><text>the term
			 <quote>Commission</quote> means the Securities and Exchange Commission;
			 and</text>
				</paragraph><paragraph id="id68569C5792534AE0A081E8DBAC5C9957"><enum>(2)</enum><text>the term
			 <quote>nationally recognized statistical rating organization</quote> has the
			 same meaning as in section 3(a)(62) of the Securities Exchange Act of 1934, as
			 added by this Act.</text>
				</paragraph></subsection></section><section id="H11969C21E3DC4A9E84C7AA77D5C2D4F9"><enum>4.</enum><header>Registration of
			 nationally recognized statistical rating organizations</header>
			<subsection id="HDCEC72FB7BC1491000A212036D714933"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">The Securities Exchange Act of 1934 is
			 amended by inserting after section 15D (15 U.S.C. 78o–6) the following new
			 section:</text>
				<quoted-block display-inline="no-display-inline" id="HFD7B80E4B9824FB4A123EE4EB7DB6553" style="OLC">
					<section id="HB55BCC470D9E4679B93C68476E9D3DCB"><enum>15E.</enum><header>Registration of
				nationally recognized statistical rating organizations</header>
						<subsection id="H677B6822349146F198EAC240C987BD21"><enum>(a)</enum><header>Registration
				procedures</header>
							<paragraph id="H338CF306F5AB45DC99AB5D710080B988"><enum>(1)</enum><header>Application for
				registration</header>
								<subparagraph commented="no" id="id49D649524A3A4899A0AC8047F82330E4"><enum>(A)</enum><header>In
				general</header><text display-inline="yes-display-inline">A credit rating
				agency that elects to be treated as a nationally recognized statistical rating
				organization for purposes of this title (in this section referred to as the
				<quote>applicant</quote>), shall furnish to the Commission an application for
				registration, in such form as the Commission shall require, by rule or
				regulation issued in accordance with subsection (n), and containing the
				information described in subparagraph (B).</text>
								</subparagraph><subparagraph id="idBECD56C8E93F44F7AC72C80B59BE6A42"><enum>(B)</enum><header>Required
				information</header><text>An application for registration under this section
				shall contain information regarding—</text>
									<clause id="HD579A348D7D141CE804567FE2DBABED"><enum>(i)</enum><text display-inline="yes-display-inline">credit ratings performance measurement
				statistics over short-term, mid-term, and long-term periods (as applicable) of
				the applicant;</text>
									</clause><clause id="HF7FEDAE4FAB24D1DBB817CA288139524"><enum>(ii)</enum><text>the procedures
				and methodologies that the applicant uses in determining credit ratings;</text>
									</clause><clause id="H71270AAD25FE4021998E45B07CDB66C9"><enum>(iii)</enum><text display-inline="yes-display-inline">policies or procedures adopted and
				implemented by the applicant to prevent the misuse, in violation of this title
				(or the rules and regulations hereunder), of material, nonpublic
				information;</text>
									</clause><clause id="H9D382C2F645C4564B04113CB074EA100"><enum>(iv)</enum><text display-inline="yes-display-inline">the organizational structure of the
				applicant;</text>
									</clause><clause id="id1F2D2965B9D842F093EB9F05607A3213"><enum>(v)</enum><text display-inline="yes-display-inline">whether or not the applicant has in effect
				a code of ethics, and if not, the reasons therefor;</text>
									</clause><clause id="HF955BF435A1C4BF593E0AB156600F26B"><enum>(vi)</enum><text display-inline="yes-display-inline">any conflict of interest relating to the
				issuance of credit ratings by the applicant;</text>
									</clause><clause id="id1A3F5CAFD25C4CCC9D93EE7DC70073D5"><enum>(vii)</enum><text>the categories
				described in any of clauses (i) through (v) of section 3(a)(62)(B) with respect
				to which the applicant intends to apply for registration under this
				section;</text>
									</clause><clause id="id114262EADCFE4D54A7029997EDF34F4C"><enum>(viii)</enum><text>on a
				confidential basis, a list of the 20 largest issuers and subscribers that use
				the credit rating services of the applicant, by amount of net revenues received
				therefrom in the fiscal year immediately preceding the date of submission of
				the application;</text>
									</clause><clause id="id954DAD560DC249A6B79DDD70B7F70974"><enum>(ix)</enum><text>on a
				confidential basis, as to each applicable category of obligor described in any
				of clauses (i) through (v) of section 3(a)(62)(B), written certifications
				described in subparagraph (C); and</text>
									</clause><clause id="id1C73D65C9D8A4AD6B028CE39266C75E6"><enum>(x)</enum><text display-inline="yes-display-inline">any other information and documents
				concerning the applicant and any person associated with such applicant as the
				Commission, by rule, may prescribe as necessary or appropriate in the public
				interest or for the protection of investors.</text>
									</clause></subparagraph><subparagraph id="id15F77DC65E684263B70BD0948B7FDBF3"><enum>(C)</enum><header>Written
				certifications</header><text display-inline="yes-display-inline">Written
				certifications required by subparagraph (B)(ix)—</text>
									<clause id="id3C92FD22999B4D28AC134247496F936B"><enum>(i)</enum><text display-inline="yes-display-inline">shall be provided from not fewer than 10
				qualified institutional buyers, none of which is affiliated with the
				applicant;</text>
									</clause><clause id="id405C27EB907D4744A3E099B93ECAAA9B"><enum>(ii)</enum><text display-inline="yes-display-inline">may address more than one category of
				obligors described in any of clauses (i) through (v) of section
				3(a)(62)(B);</text>
									</clause><clause id="id26E147C901264983B9A989419054CA67"><enum>(iii)</enum><text display-inline="yes-display-inline">shall include not fewer than 2
				certifications for each such category of obligor; and</text>
									</clause><clause id="idCA467320FB0E4CDA98486E841631E34D"><enum>(iv)</enum><text display-inline="yes-display-inline">shall state that the qualified
				institutional buyer—</text>
										<subclause id="idC397B277D11B402A985A23E78C0BA11F"><enum>(I)</enum><text>meets the
				definition of a qualified institutional buyer under section 3(a)(64);
				and</text>
										</subclause><subclause id="id7CDC9827F4F4402190C42B737E28B8DA"><enum>(II)</enum><text>has used the
				credit ratings of the applicant for at least the 3 years immediately preceding
				the date of the certification in the subject category or categories of
				obligors.</text>
										</subclause></clause></subparagraph><subparagraph id="idA83168D68187479080675CCF88C6AF40"><enum>(D)</enum><header>Limitation on
				liability of qualified institutional buyers</header><text>No qualified
				institutional buyer shall be liable in any private right of action for any
				opinion or statement expressed in a certification made pursuant to subparagraph
				(B)(ix).</text>
								</subparagraph></paragraph><paragraph id="H11CE4A983EBF4640B1C71D3EEABD4747"><enum>(2)</enum><header>Review of
				application</header>
								<subparagraph id="H68CFDDE4EE694473B8391B59A320A4D4"><enum>(A)</enum><header>Initial
				determination</header><text display-inline="yes-display-inline">Not later than
				90 days after the date on which the application for registration is furnished
				to the Commission under paragraph (1) (or within such longer period as to which
				the applicant consents) the Commission shall—</text>
									<clause id="H96C56D8B5C24419BA4426B9D6CDE57C1"><enum>(i)</enum><text>by
				order, grant such registration for ratings in the subject category or
				categories of obligors, as described in clauses (i) through (v) of section
				3(a)(62)(B); or</text>
									</clause><clause id="H841FF1967169436DB3D2419C3D70EDDD"><enum>(ii)</enum><text>institute
				proceedings to determine whether registration should be denied.</text>
									</clause></subparagraph><subparagraph id="H81A5C867E0D4462CB501EDB9859B5193"><enum>(B)</enum><header>Conduct of
				proceedings</header>
									<clause id="id95B9462F40814F62BC4434DF2AFB45F1"><enum>(i)</enum><header>Content</header><text display-inline="yes-display-inline">Proceedings referred to in subparagraph
				(A)(ii) shall—</text>
										<subclause id="id0AEDD72F1A3348BAB2C50EB841D378B7"><enum>(I)</enum><text display-inline="yes-display-inline">include notice of the grounds for denial
				under consideration and an opportunity for hearing; and</text>
										</subclause><subclause id="id2FA0E8724706436EB45115B979BF81CF"><enum>(II)</enum><text display-inline="yes-display-inline">be concluded not later than 120 days after
				the date on which the application for registration is furnished to the
				Commission under paragraph (1).</text>
										</subclause></clause><clause id="idA6013BDB70BD425A96AA36778E5FC34B"><enum>(ii)</enum><header>Determination</header><text display-inline="yes-display-inline">At the conclusion of such proceedings, the
				Commission, by order, shall grant or deny such application for
				registration.</text>
									</clause><clause id="id07F1BE1BA3AD4EFDA10652DE76A0D713"><enum>(iii)</enum><header>Extension
				authorized</header><text display-inline="yes-display-inline">The Commission may
				extend the time for conclusion of such proceedings for not longer than 90 days,
				if it finds good cause for such extension and publishes its reasons for so
				finding, or for such longer period as to which the applicant consents.</text>
									</clause></subparagraph><subparagraph id="H852C6B4E7C974F5ABA79C0DCBAA32405"><enum>(C)</enum><header>Grounds for
				decision</header><text display-inline="yes-display-inline">The Commission shall
				grant registration under this subsection—</text>
									<clause id="idAD5C543A651140C5A2D52F4A59B860EC"><enum>(i)</enum><text display-inline="yes-display-inline">if the Commission finds that the
				requirements of this section are satisfied; and</text>
									</clause><clause id="idCAA66D49B9AB4FA48806E5F42D64DA35"><enum>(ii)</enum><text display-inline="yes-display-inline">unless the Commission finds (in which case
				the Commission shall deny such registration) that—</text>
										<subclause id="id0291E418E9464DCEBAFF2FA75FB8A670"><enum>(I)</enum><text display-inline="yes-display-inline">the applicant does not have adequate
				financial and managerial resources to consistently produce credit ratings with
				integrity and to materially comply with the procedures and methodologies
				disclosed under paragraph (1)(B) and with subsections (g), (h), (i), and (j);
				or</text>
										</subclause><subclause id="id92022A6AFB584504B7B1EF2ABDEB43F5"><enum>(II)</enum><text display-inline="yes-display-inline">if the applicant were so registered, its
				registration would be subject to suspension or revocation under
				<internal-xref idref="H0C9BB0E70CC04B25A14034D41CB7849F" legis-path="15E.(b)">subsection (d)</internal-xref>.</text>
										</subclause></clause></subparagraph></paragraph><paragraph id="H5AB0BF4F83664B9FB500A6BD3F6477B4"><enum>(3)</enum><header>Public
				availability of information</header><text display-inline="yes-display-inline">Subject to section 24, the Commission
				shall, by rule, require a nationally recognized statistical rating
				organization, upon the granting of registration under this section, to make the
				information and documents submitted to the Commission in its completed
				application for registration, or in any amendment submitted under paragraph (1)
				or (2) of
				<internal-xref idref="H4DD04D3248244B56A09BAA90F79CCBB" legis-path="15E.(b)(1)">subsection (b)</internal-xref>, publicly available on
				its website, or through another comparable, readily accessible means, except as
				provided in clauses (viii) and (ix) of paragraph (1)(B).</text>
							</paragraph></subsection><subsection id="H0C9BB0E70CC04B25A14034D41CB7849F"><enum>(b)</enum><header>Update of
				registration</header>
							<paragraph id="H4DD04D3248244B56A09BAA90F79CCBB"><enum>(1)</enum><header>Update</header><text display-inline="yes-display-inline">Each nationally recognized statistical
				rating organization shall promptly amend its application for registration under
				this section if any information or document provided therein becomes materially
				inaccurate, except that a nationally recognized statistical rating organization
				is not required to amend—</text>
								<subparagraph id="id1052F1771F124889AA1FDCEEFF224595"><enum>(A)</enum><text display-inline="yes-display-inline">the information required to be furnished
				under
				<internal-xref idref="HD579A348D7D141CE804567FE2DBABED" legis-path="15E.(a)(1)(C)">subsection (a)(1)(B)(i)</internal-xref> by
				furnishing information under this paragraph, but shall amend such information
				in the annual submission of the organization under
				<internal-xref idref="H5050E4874E5142F7A22BF5A5E4F0A713" legis-path="15E.(b)(2)">paragraph (2)</internal-xref> of this subsection;
				or</text>
								</subparagraph><subparagraph id="id5F7FFA246CFD4A929B0CD63B31F99431"><enum>(B)</enum><text>the
				certifications required to be provided under subsection (a)(1)(B)(ix) by
				furnishing information under this paragraph.</text>
								</subparagraph></paragraph><paragraph id="H5050E4874E5142F7A22BF5A5E4F0A713"><enum>(2)</enum><header>Certification</header><text>Not
				later than 90 days after the end of each calendar year, each nationally
				recognized statistical rating organization shall furnish to the Commission an
				amendment to its registration, in such form as the Commission, by rule, may
				prescribe as necessary or appropriate in the public interest or for the
				protection of investors—</text>
								<subparagraph id="H81D7A170B42D4D54876DC4698B3E7F50"><enum>(A)</enum><text>certifying that
				the information and documents in the application for registration of such
				nationally recognized statistical rating organization (other than the
				certifications required under subsection (a)(1)(B)(ix)) continue to be
				accurate; and</text>
								</subparagraph><subparagraph id="H79BC9B5E4C754811BDBA57E638310F8"><enum>(B)</enum><text>listing any
				material change that occurred to such information or documents during the
				previous calendar year.</text>
								</subparagraph></paragraph></subsection><subsection id="H7DD4F54D108747A19200332C8D02C5BB"><enum>(c)</enum><header>Accountability
				for ratings procedures</header>
							<paragraph id="H0F65AFFE8088494AB8C73B015D60E24C"><enum>(1)</enum><header>Authority</header><text>The
				Commission shall have the authority to enforce the provisions of this section
				in accordance with this title with respect to any nationally recognized
				statistical rating organization, if such nationally recognized statistical
				rating organization issues credit ratings in material contravention of those
				procedures relating to such nationally recognized statistical rating
				organization, including procedures relating to the prevention of misuse of
				nonpublic information and conflicts of interest, that such nationally
				recognized statistical rating organization—</text>
								<subparagraph id="H2FCE08FFAAFA451885A74F34F2635608"><enum>(A)</enum><text>includes in its
				application for registration under
				<internal-xref idref="HD579A348D7D141CE804567FE2DBABED" legis-path="15E.(a)(1)(C)">subsection (a)(1)(B)(ii)</internal-xref>; or</text>
								</subparagraph><subparagraph id="HF2D5BE8BFB804E7C8018A0003791AE15"><enum>(B)</enum><text display-inline="yes-display-inline">makes and disseminates in reports pursuant
				to section 17(a) or the rules and regulations thereunder.</text>
								</subparagraph></paragraph><paragraph id="H18105B99B3E4468FB4FD51771FF03592"><enum>(2)</enum><header>Limitation</header><text display-inline="yes-display-inline">The rules and regulations that the
				Commission may prescribe pursuant to this title, as they apply to nationally
				recognized statistical rating organizations, shall be narrowly tailored to meet
				the requirements of this title applicable to nationally recognized statistical
				rating organizations, and shall not purport to regulate the substance of credit
				ratings or the procedures and methodologies by which such nationally recognized
				statistical rating organizations determine credit ratings.</text>
							</paragraph></subsection><subsection id="H4BD10E1CDAD9461AB7B3823C6F3F17DE"><enum>(d)</enum><header>Censure, denial,
				or suspension of registration; notice and hearing</header><text display-inline="yes-display-inline">The Commission, by order, shall censure,
				place limitations on the activities, functions, or operations of, suspend for a
				period not exceeding 12 months, or revoke the registration of any nationally
				recognized statistical rating organization if the Commission finds, on the
				record after notice and opportunity for hearing, that such censure, placing of
				limitations, suspension, or revocation is necessary for the protection of
				investors and in the public interest and that such nationally recognized
				statistical rating organization, or any person associated with such an
				organization, whether prior to or subsequent to becoming so associated—</text>
							<paragraph id="H71C3D8DA61A64797A6F77C255689630"><enum>(1)</enum><text display-inline="yes-display-inline">has committed or omitted any act, or is
				subject to an order or finding, enumerated in subparagraph (A), (D), (E), (H),
				or (G) of section 15(b)(4), has been convicted of any offense specified in
				section 15(b)(4)(B), or is enjoined from any action, conduct, or practice
				specified in subparagraph (C) of section 15(b)(4), during the 10-year period
				preceding the date of commencement of the proceedings under this subsection, or
				at any time thereafter;</text>
							</paragraph><paragraph id="H1E177335901E4271B605E8F92B978C95"><enum>(2)</enum><text>has been convicted
				during the 10-year period preceding the date on which an application for
				registration is furnished to the Commission under this section, or at any time
				thereafter, of—</text>
								<subparagraph id="HF30F89D36E8B49F789051CA119135665"><enum>(A)</enum><text>any crime that is
				punishable by imprisonment for 1 or more years, and that is not described in
				section 15(b)(4)(B); or</text>
								</subparagraph><subparagraph id="HDCF29140A67843E8AA35AFDB5E6BF0BA"><enum>(B)</enum><text>a substantially
				equivalent crime by a foreign court of competent jurisdiction;</text>
								</subparagraph></paragraph><paragraph id="HD244DF302E5C4B958ECB75B315D8DE5C"><enum>(3)</enum><text>is subject to any
				order of the Commission barring or suspending the right of the person to be
				associated with a nationally recognized statistical rating organization;</text>
							</paragraph><paragraph id="id46FE04D9F5714BF2912BD9428A3CD350"><enum>(4)</enum><text>fails to furnish
				the certifications required under subsection (b)(2); or</text>
							</paragraph><paragraph id="idC23CFC2C1D5A4A97A0FB6DB307ED5D5B"><enum>(5)</enum><text>fails to maintain
				adequate financial and managerial resources to consistently produce credit
				ratings with integrity.</text>
							</paragraph></subsection><subsection id="HFC0ECDE792B148C18346AD802BD61E51"><enum>(e)</enum><header>Termination of
				registration</header>
							<paragraph id="idD973FB7D5DF6461EBC25E0531FEBD8AA"><enum>(1)</enum><header>Voluntary
				withdrawal</header><text display-inline="yes-display-inline">A nationally
				recognized statistical rating organization may, upon such terms and conditions
				as the Commission may establish as necessary in the public interest or for the
				protection of investors, withdraw from registration by furnishing a written
				notice of withdrawal to the Commission.</text>
							</paragraph><paragraph id="idF3FEC6DE02CC48CBA0E5F1EE7A8373D7"><enum>(2)</enum><header>Commission
				authority</header><text display-inline="yes-display-inline">In addition to any
				other authority of the Commission under this title, if the Commission finds
				that a nationally recognized statistical rating organization is no longer in
				existence or has ceased to do business as a credit rating agency, the
				Commission, by order, shall cancel the registration under this section of such
				nationally recognized statistical rating organization.</text>
							</paragraph></subsection><subsection id="H016980DDD984492BA35632177D9F4CBE"><enum>(f)</enum><header>Representations</header>
							<paragraph id="H942AB76C33DC44A2BFF9AF622D6D8162"><enum>(1)</enum><header>Ban on
				representations of sponsorship by United States or agency thereof</header><text display-inline="yes-display-inline">It shall be unlawful for any nationally
				recognized statistical rating organization to represent or imply in any manner
				whatsoever that such nationally recognized statistical rating organization has
				been designated, sponsored, recommended, or approved, or that the abilities or
				qualifications thereof have in any respect been passed upon, by the United
				States or any agency, officer, or employee thereof.</text>
							</paragraph><paragraph id="H13310B4743F54A029DCD89C6D419CB18"><enum>(2)</enum><header>Ban on
				representation as NRSRO of unregistered credit rating agencies</header><text display-inline="yes-display-inline">It shall be unlawful for any credit rating
				agency that is not registered under this section as a nationally recognized
				statistical rating organization to state that such credit rating agency is a
				nationally recognized statistical rating organization registered under this
				title.</text>
							</paragraph><paragraph id="HE84B3634726C4FA4BFE3911100E127A2"><enum>(3)</enum><header>Statement of
				registration under Securities Exchange Act of 1934 provisions</header><text display-inline="yes-display-inline">No provision of
				<internal-xref idref="H942AB76C33DC44A2BFF9AF622D6D8162" legis-path="15E.(f)(1)">paragraph (1)</internal-xref> shall be construed to
				prohibit a statement that a nationally recognized statistical rating
				organization is a nationally recognized statistical rating organization under
				this title, if such statement is true in fact and if the effect of such
				registration is not misrepresented.</text>
							</paragraph></subsection><subsection id="H8745444ACABD429C91D607D37370C8A0"><enum>(g)</enum><header>Prevention of
				misuse of nonpublic information</header>
							<paragraph id="idF295A618BC8747BB9BCD1595D731B8ED"><enum>(1)</enum><header>Organization
				policies and procedures</header><text display-inline="yes-display-inline">Each
				nationally recognized statistical rating organization shall establish,
				maintain, and enforce written policies and procedures reasonably designed,
				taking into consideration the nature of the business of such nationally
				recognized statistical rating organization, to prevent the misuse in violation
				of this title, or the rules or regulations hereunder, of material, nonpublic
				information by such nationally recognized statistical rating organization or
				any person associated with such nationally recognized statistical rating
				organization.</text>
							</paragraph><paragraph id="id2A61CAC5443F495BAA558429B45CB943"><enum>(2)</enum><header>Commission
				authority</header><text display-inline="yes-display-inline">The Commission
				shall issue final rules in accordance with subsection (n) to require specific
				policies or procedures that are reasonably designed to prevent misuse in
				violation of this title (or the rules or regulations hereunder) of material,
				nonpublic information.</text>
							</paragraph></subsection><subsection id="H979E8EF5771E463FAFE7BE7BCB5E8314"><enum>(h)</enum><header>Management of
				conflicts of interest</header>
							<paragraph id="idD458AAB68C354B10AC1F56DE8B097FBC"><enum>(1)</enum><header>Organization
				policies and procedures</header><text display-inline="yes-display-inline">Each
				nationally recognized statistical rating organization shall establish,
				maintain, and enforce written policies and procedures reasonably designed,
				taking into consideration the nature of the business of such nationally
				recognized statistical rating organization and affiliated persons and
				affiliated companies thereof, to address and manage any conflicts of interest
				that can arise from such business.</text>
							</paragraph><paragraph id="idB88D8A3B04FE4AD08F42EECAF360B782"><enum>(2)</enum><header>Commission
				authority</header><text display-inline="yes-display-inline">The Commission
				shall issue final rules in accordance with subsection (n) to prohibit, or
				require the management and disclosure of, any conflicts of interest relating to
				the issuance of credit ratings by a nationally recognized statistical rating
				organization, including, without limitation, conflicts of interest relating
				to—</text>
								<subparagraph id="H01714CB4C4BA4F9D8C234F3D2D02A2F8"><enum>(A)</enum><text>the manner in
				which a nationally recognized statistical rating organization is compensated by
				the obligor, or any affiliate of the obligor, for issuing credit ratings or
				providing related services;</text>
								</subparagraph><subparagraph id="HCD6EDBBAE03147B2A0AB1E773FFC00BE"><enum>(B)</enum><text display-inline="yes-display-inline">the provision of consulting, advisory, or
				other services by a nationally recognized statistical rating organization, or
				any person associated with such nationally recognized statistical rating
				organization, to the obligor, or any affiliate of the obligor;</text>
								</subparagraph><subparagraph id="HD3EEF5B1D4774CC3B844308E22AAD2FB"><enum>(C)</enum><text>business
				relationships, ownership interests, or any other financial or personal
				interests between a nationally recognized statistical rating organization, or
				any person associated with such nationally recognized statistical rating
				organization, and the obligor, or any affiliate of the obligor;</text>
								</subparagraph><subparagraph id="H982E5FDE698C497CA16CC745B433EA7"><enum>(D)</enum><text>any affiliation of
				a nationally recognized statistical rating organization, or any person
				associated with such nationally recognized statistical rating organization,
				with any person that underwrites the securities or money market instruments
				that are the subject of a credit rating; and</text>
								</subparagraph><subparagraph id="id1394BEB992264465A203FD74F7237596"><enum>(E)</enum><text>any other
				potential conflict of interest, as the Commission deems necessary or
				appropriate in the public interest or for the protection of investors.</text>
								</subparagraph></paragraph></subsection><subsection id="H7ED5638FCFDA4CD0BA0515B4D39E5F"><enum>(i)</enum><header>Prohibited
				Conduct</header>
							<paragraph id="HE24E85C8BFAF4C64B37939DC8496E059"><enum>(1)</enum><header>Prohibited acts
				and practices</header><text display-inline="yes-display-inline">The Commission
				shall issue final rules in accordance with subsection (n) to prohibit any act
				or practice relating to the issuance of credit ratings by a nationally
				recognized statistical rating organization that the Commission determines to be
				unfair, coercive, or abusive, including any act or practice relating to—</text>
								<subparagraph id="HD780AC48E01C4FDBB912BFFC7076671D"><enum>(A)</enum><text>conditioning or
				threatening to condition the issuance of a credit rating on the purchase by the
				obligor or an affiliate thereof of other services or products, including
				pre-credit rating assessment products, of the nationally recognized statistical
				rating organization or any person associated with such nationally recognized
				statistical rating organization;</text>
								</subparagraph><subparagraph id="HB57597323B4649E1BBEF5E23EF22046E"><enum>(B)</enum><text>lowering or
				threatening to lower a credit rating on, or refusing to rate, securities or
				money market instruments issued by an asset pool or as part of any asset-backed
				or mortgage-backed securities transaction, unless a portion of the assets
				within such pool or part of such transaction, as applicable, also is rated by
				the nationally recognized statistical rating organization; or</text>
								</subparagraph><subparagraph id="H488885C60BA945B994B343AD45E58101"><enum>(C)</enum><text>modifying or
				threatening to modify a credit rating or otherwise departing from its adopted
				systematic procedures and methodologies in determining credit ratings, based on
				whether the obligor, or an affiliate of the obligor, purchases or will purchase
				the credit rating or any other service or product of the nationally recognized
				statistical rating organization or any person associated with such
				organization.</text>
								</subparagraph></paragraph><paragraph id="HBA3CEC092CAD42DA88C0B71F8BA2EA72"><enum>(2)</enum><header>Rule of
				construction</header><text>Nothing in
				<internal-xref idref="HE24E85C8BFAF4C64B37939DC8496E059" legis-path="15E.(i)(1)">paragraph (1)</internal-xref>, or in any rules or
				regulations adopted thereunder, may be construed to modify, impair, or
				supersede the operation of any of the antitrust laws (as defined in the first
				section of the Clayton Act, except that such term includes section 5 of the
				Federal Trade Commission Act, to the extent that such section 5 applies to
				unfair methods of competition).</text>
							</paragraph></subsection><subsection id="H956947D22FFC48F7BE652298EFF83576"><enum>(j)</enum><header>Designation of
				Compliance Officer</header><text display-inline="yes-display-inline">Each
				nationally recognized statistical rating organization shall designate an
				individual responsible for administering the policies and procedures that are
				required to be established pursuant to
				<internal-xref idref="H8745444ACABD429C91D607D37370C8A0" legis-path="15E.(g)">subsections (g)</internal-xref> and
				<internal-xref idref="H979E8EF5771E463FAFE7BE7BCB5E8314" legis-path="15E.(h)">(h)</internal-xref>, and for ensuring compliance with the
				securities laws and the rules and regulations thereunder, including those
				promulgated by the Commission pursuant to this section.</text>
						</subsection><subsection id="HC8E12CCBA5BA454299D819D00D56242"><enum>(k)</enum><header>Statements of
				Financial Condition</header><text>Each nationally recognized statistical rating
				organization shall, on a confidential basis, furnish to the Commission, at
				intervals determined by the Commission, such financial statements, certified
				(if required by the rules or regulations of the Commission) by an independent
				public accountant, and information concerning its financial condition, as the
				Commission, by rule, may prescribe as necessary or appropriate in the public
				interest or for the protection of investors.</text>
						</subsection><subsection id="H29A094D8DE684367BDF16056BCFBD37C"><enum>(l)</enum><header>Sole method of
				registration</header>
							<paragraph id="id52EB6A4CB2494595AFB71D115D91D68B"><enum>(1)</enum><header>In
				general</header><text>On and after the effective date of this section, a credit
				rating agency may only be registered as a nationally recognized statistical
				rating organization for any purpose in accordance with this section.</text>
							</paragraph><paragraph commented="no" id="HD7398CA74DA14D66AD2219D036D59043"><enum>(2)</enum><header>Prohibition on
				reliance on no-action relief</header><text>On and after the effective date of
				this section—</text>
								<subparagraph commented="no" id="id5A7B3A446A3B44A19BBB40CB1C51341A"><enum>(A)</enum><text>an entity that,
				before that date, received advice, approval, or a no-action letter from the
				Commission or staff thereof to be treated as a nationally recognized
				statistical rating organization pursuant to the Commission rule at section
				240.15c3–1 of title 17, Code of Federal Regulations, may represent itself or
				act as a nationally recognized statistical rating organization only—</text>
									<clause commented="no" id="idF6AB5FDAF54C49D39A77420A66DD6844"><enum>(i)</enum><text>during Commission
				consideration of the application, if such entity has furnished an application
				for registration under this section; and</text>
									</clause><clause commented="no" id="idB35A00F74B7048E290A380CECEE551B6"><enum>(ii)</enum><text>on and after the
				date of approval of its application for registration under this section;
				and</text>
									</clause></subparagraph><subparagraph commented="no" id="id3208CCCAE8F349A8B4466851EBA9219E"><enum>(B)</enum><text>the advice,
				approval, or no-action letter described in subparagraph (A) shall be
				void.</text>
								</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H1ADC0EEDFA8B4688B4F6D016C600A64"><enum>(3)</enum><header>Notice to other
				agencies</header><text display-inline="yes-display-inline">Not later than 30
				days after the date of enactment of this section, the Commission shall give
				notice of the actions undertaken pursuant to this section to each Federal
				agency which employs in its rules and regulations the term <term>nationally
				recognized statistical rating organization</term> (as that term is used under
				Commission rule 15c3–1 (17 C.F.R. 240.15c3–1), as in effect on the date of
				enactment of this section).</text>
							</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id7F8A3FA307EC4418A702D95E62B491E9"><enum>(m)</enum><header>Rules of
				construction</header>
							<paragraph commented="no" display-inline="no-display-inline" id="id7544E87DEB564049A8644F675FE72F34"><enum>(1)</enum><header>No waiver of
				rights, privileges, or defenses</header><text>Registration under and compliance
				with this section does not constitute a waiver of, or otherwise diminish, any
				right, privilege, or defense that a nationally recognized statistical rating
				organization may otherwise have under any provision of State or Federal law,
				including any rule, regulation, or order thereunder.</text>
							</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id33697E0ED9374B1CBC0AB2DC91964ABC"><enum>(2)</enum><header>No private
				right of action</header><text>Nothing in this section may be construed as
				creating any private right of action, and no report furnished by a nationally
				recognized statistical rating organization in accordance with this section or
				section 17 shall create a private right of action under section 18 or any other
				provision of law.</text>
							</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id2DC633F064C84331B6E1A8D02D0DB43E"><enum>(n)</enum><header>Regulations</header>
							<paragraph commented="no" display-inline="no-display-inline" id="id74958736B5114C11AD887CE0085213EE"><enum>(1)</enum><header>New
				provisions</header><text>Such rules and regulations as are required by this
				section or are otherwise necessary to carry out this section, including the
				application form required under subsection (a)—</text>
								<subparagraph commented="no" display-inline="no-display-inline" id="id5B1A34A30B8A4ABB9210E5F5FDAAC198"><enum>(A)</enum><text>shall be issued
				by the Commission in final form, not later than 270 days after the date of
				enactment of this section; and</text>
								</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id569ACF9D747F4967B97D85CD22EB1E1C"><enum>(B)</enum><text>shall become
				effective not later than 270 days after the date of enactment of this
				section.</text>
								</subparagraph></paragraph><paragraph id="H6CE482C89CF8425EB28C6D5745BFBBC3"><enum>(2)</enum><header>Review of
				existing regulations</header><text display-inline="yes-display-inline">Not
				later than 270 days after the date of enactment of this section, the Commission
				shall—</text>
								<subparagraph id="idA43DABE3FC4847CA8DA124516D8A4153"><enum>(A)</enum><text display-inline="yes-display-inline">review its existing rules and regulations
				which employ the term <quote>nationally recognized statistical rating
				organization</quote> or <quote>NRSRO</quote>; and</text>
								</subparagraph><subparagraph commented="no" id="id1FE8BF807F6A4F07B9762792908C69A0"><enum>(B)</enum><text display-inline="yes-display-inline">amend or revise such rules and regulations
				in accordance with the purposes of this section, as the Commission may
				prescribe as necessary or appropriate in the public interest or for the
				protection of investors.</text>
								</subparagraph></paragraph></subsection><subsection commented="no" id="id5F17414FA0C4436C9B051CB118A367D3"><enum>(o)</enum><header>Effective
				date</header><text display-inline="yes-display-inline">This section shall
				become effective on the earlier of—</text>
							<paragraph commented="no" id="idDD01060F86434BEABC2F8D03C825CEF0"><enum>(1)</enum><text display-inline="yes-display-inline">the date on which regulations are issued in
				final form under subsection (n)(1); or</text>
							</paragraph><paragraph commented="no" id="idBD22170A13F240F09B266079A49FFCF4"><enum>(2)</enum><text display-inline="yes-display-inline">270 days after the date of enactment of
				this
				section.</text>

			 nationally recognized statistical rating organization</quote> and inserting
			 <quote>registered with the Securities and Exchange Commission as a nationally
			 recognized statistical rating organization, as that term is defined in section
			 3(a) of the Securities Exchange Act of 1934</quote>.</text>
				</paragraph></subsection></section><section id="H6AA92AB0BE0C4CFEB0B6FC08963C2228"><enum>5.</enum><header>Annual and other
			 reports</header><text display-inline="no-display-inline">Section 17(a)(1) of
			 the Securities Exchange Act of 1934 (15 U.S.C. 78q(a)(1)) is amended—</text>
			<paragraph id="idC04DFAC18C554B658865FA7D6BEF9948"><enum>(1)</enum><text display-inline="yes-display-inline">by inserting <quote>nationally recognized
			 statistical rating organization,</quote> after <quote>registered transfer
			 agent,</quote>; and</text>
			</paragraph><paragraph id="idB5DD8E70001D40C59F2277F6D395D4F9"><enum>(2)</enum><text>by adding at the
			 end the following: <quote>Any report that a nationally recognized statistical
			 rating organization is required by Commission rules under this paragraph to
			 make and disseminate to the Commission shall be deemed furnished to the
			 Commission.</quote>.</text>
			</paragraph></section><section id="HFEC2AD77A915428E80C5A47FF4707593"><enum>6.</enum><header>Commission annual
			 report</header><text display-inline="no-display-inline">The Commission shall
			 submit an annual report to the Committee on Banking, Housing, and Urban Affairs
			 of the Senate and the Committee on Financial Services of the House of
			 Representatives that, with respect to the year to which the report
			 relates—</text>
			<paragraph id="id192874F93FBE4E908B22C99A7B6A25E3"><enum>(1)</enum><text>identifies
			 applicants for registration under section 15E of the Securities Exchange Act of
			 1934, as added by this Act;</text>
			</paragraph><paragraph id="id96EF1664C3CE4B529368C199F599B3B5"><enum>(2)</enum><text>specifies the
			 number of and actions taken on such applications; and</text>
			</paragraph><paragraph id="id2A58488BB155497EAB64931C7F28550E"><enum>(3)</enum><text>specifies the
			 views of the Commission on the state of competition, transparency, and
			 conflicts of interest among nationally recognized statistical rating
			 organizations.</text>
			</paragraph></section><section id="ID478ae31bac68479ab6b7b50f61a2a55b"><enum>7.</enum><header>GAO study and
			 report regarding nationally recognized statistical rating
			 organizations</header>
			<subsection id="IDe014ab3c9a544b29a8da66c5ec5815be"><enum>(a)</enum><header>Study
			 required</header><text>The Comptroller General of the United States shall
			 conduct a study—</text>
				<paragraph id="ID223b443372324d518e454d25243c3270"><enum>(1)</enum><text>to determine the
			 impact of this Act and the amendments made by this Act on—</text>
					<subparagraph id="ID6c49bafd9e2f445a90946600fae90d4c"><enum>(A)</enum><text>the quality of
			 credit ratings issued by nationally recognized statistical ratings
			 organizations;</text>
					</subparagraph><subparagraph id="IDc16691781b034eecbe0df593181c76f1"><enum>(B)</enum><text>the financial
			 markets;</text>
					</subparagraph><subparagraph id="IDfad7955ff0f24db5bc63fde83bc0ee1b"><enum>(C)</enum><text>competition among
			 credit rating agencies;</text>
					</subparagraph><subparagraph id="ID0c4c2ba52c514a6fbcfc2cbcf63cc474"><enum>(D)</enum><text>the incidence of
			 inappropriate conflicts of interest and sales practices by nationally
			 recognized statistical rating organizations;</text>
					</subparagraph><subparagraph id="ID75331aff12c74f008fd98ad3956c83ac"><enum>(E)</enum><text>the process for
			 registering as a nationally recognized statistical rating organization;
			 and</text>
					</subparagraph><subparagraph id="IDdc95f48c86964405ac0b5d6145fd1043"><enum>(F)</enum><text>such other
			 matters relevant to the implementation of this Act and the amendments made by
			 this Act, as the Comptroller General deems necessary to bring to the attention
			 of the Congress;</text>
					</subparagraph></paragraph><paragraph id="ID94da51b973ab40edae3d12e3229de2c5"><enum>(2)</enum><text>to identify
			 problems, if any, that have resulted from the implementation of this Act and
			 the amendments made by this Act; and</text>
				</paragraph><paragraph id="IDda601b351e904a7088bc9712de34075a"><enum>(3)</enum><text>to recommend
			 solutions, including any legislative or regulatory solutions, to any problems
			 identified under paragraphs (1) and (2).</text>
				</paragraph></subsection><subsection id="ID2b803e1651ac46f3b1f8c994148f005f"><enum>(b)</enum><header>Report
			 required</header><text>Not earlier than 3 years nor later than 4 years after
			 the date of enactment of this Act, the Comptroller General shall submit a
			 report on the results of the study required by this section to the Committee on
			 Banking, Housing, and Urban Affairs of the Senate and the Committee on
			 Financial Services of the House of Representatives.</text>
			</subsection></section><section id="idD2B05A2578DE460FA98214D97ED04A57"><enum>8.</enum><header>Effective
			 date</header><text display-inline="no-display-inline">This Act and the
			 amendments made by this Act shall become effective on the date determined under
			 section 15E(o) of the Securities Exchange Act of 1934, as added by this
			 Act.</text>
