		<official-title>To protect consumers, creditors, workers, pensioners,

		  shareholders, and small businesses, by reforming the rules governing venue in

		  bankruptcy cases to combat forum shopping by corporate

		  debtors.</official-title>

		<section id="idE9D45EBABCC9456C9B71F291DD5221F9" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the

			 <quote><short-title>Fairness in Bankruptcy Litigation Act

			 of 2005</short-title></quote>.</text>

		</section><section id="id1912A9A6E6364D5B8DF26DDF6ACC58B8" section-type="subsequent-section"><enum>2.</enum><header>Venue in bankruptcy

			 cases</header><text display-inline="no-display-inline">Section 1408 of title

			 28, United States Code, is amended—</text>

			<paragraph id="id14EA778A59F345DF80536AB3CF86C2C0"><enum>(1)</enum><text>by inserting

			 <quote>(a)</quote> before <quote>Except</quote>;</text>

			</paragraph><paragraph id="id3F0537C8FC164CDBBF98094680C2D006"><enum>(2)</enum><text>in paragraph (1),

			 by striking <quote>or</quote> at the end; and</text>

			</paragraph><paragraph id="idF97742150ADE4245A11DF94B0F5FB647"><enum>(3)</enum><text>by striking

			 paragraph (2) and inserting the following:</text>

				<quoted-block display-inline="no-display-inline" id="idB3537BB8C7D1446A9B0BA5544CF31C71" style="OLC">

					<paragraph id="id377AC37120FE4ADAB9433B0083C5FE22"><enum>(2)</enum><text>in which a case

				under title 11 concerning the controlling corporation is pending, if—</text>

						<subparagraph id="id5944B71C004946C7BC9550286A2A8D03"><enum>(A)</enum><text>the debtor is

				controlled by another corporation;</text>

						</subparagraph><subparagraph id="idA060EF08E1E44AB2A2D441C0A0A1D347"><enum>(B)</enum><text>within the 730

				days before the date of the debtor's filing under title 11, the financial

				statements of the debtor have been consolidated with those of the controlling

				corporation in 1 or more reports filed under section 13 or 15(d) of the

				Securities Exchange Act of 1934; and</text>

						</subparagraph><subparagraph id="id5E0416142F164E54B39847369AD18A9A"><enum>(C)</enum><text>the controlling

				corporation is a debtor in a proceeding under title 11; or</text>

						</subparagraph></paragraph><paragraph id="id2684BCB4EEF44721BD939220472353F4"><enum>(3)</enum><text>in which a case

				under title 11 concerning the controlling corporation is pending, if—</text>

						<subparagraph id="id5B80A937DAF5406A92CE09F571AFD12F"><enum>(A)</enum><text>the debtor is a

				corporation other than a corporation described in paragraph (2);</text>

						</subparagraph><subparagraph id="id5C8C9960602F4C619964E207413BF35D"><enum>(B)</enum><text>the debtor has

				been controlled by another corporation for not less than 365 days before the

				date of the filing of the debtor's petition under title 11; and</text>

						</subparagraph><subparagraph id="idC41658F484D24C0EAC63F2241CB60E28"><enum>(C)</enum><text>the controlling

				corporation is a debtor in a proceeding under title 11.</text>

						</subparagraph></paragraph><subsection id="id02DAFB2253EA4418B713928663EE1E81"><enum>(b)</enum><text>For purposes of

				subsection (a)—</text>

						<paragraph id="id970385A25A614222A695E19E003CA398"><enum>(1)</enum><text>if the debtor is

				a corporation, the domicile and residence of the debtor are located where the

				debtor's principal place of business is located; and</text>

						</paragraph><paragraph id="id8708C1A30ECF485487A8B69D638479E9"><enum>(2)</enum><text>the term

				<quote>control</quote> has the meaning given that term in section 2 of the Bank

				Holding Company Act of 1956 (12 U.S.C. 1841).</text>

						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

			</paragraph></section><section id="id8E3DB253D4C8425D9DC0F344FAA84F46"><enum>3.</enum><header>Cure or waiver

			 of defects</header><text display-inline="no-display-inline">Section 1406(c) of

			 title 28, United States Code, is amended to read as follows:</text>

			<quoted-block display-inline="no-display-inline" id="id80B83230D38344E1B1F3B73CABE4637E" style="OLC">

				<subsection id="id0B68C223C9AF476BA15D73EA23DD2BE1"><enum>(c)</enum><text>As used in this

				section—</text>

					<paragraph id="idE5B6FF677D1C4682A33A5B9B728395A7"><enum>(1)</enum><text>the term

				<quote>district court</quote>—</text>

						<subparagraph id="id0D8691E2D34C4DFCB26E43DDDC9559D6"><enum>(A)</enum><text>includes the

				District Court of Guam, the District Court of the Northern Mariana Islands, and

				the District Court of the Virgin Islands; and</text>

						</subparagraph><subparagraph id="idE42F8ACD3D294A1E8223B507615A826B"><enum>(B)</enum><text>with regard to

				cases pending before a bankruptcy court, includes a bankruptcy court;

				and</text>

						</subparagraph></paragraph><paragraph id="id0E25662FB7D74BB98CFB25A1F0D7C041"><enum>(2)</enum><text>the term

				<quote>district</quote> includes the territorial jurisdiction of each district

				court.</text>
