		  of section 404 of the Sarbanes-Oxley Act of 2002.</official-title>

		<section commented="no" display-inline="no-display-inline" id="H8758DC9B9EAF4E5CB83848F0506118CC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Competitive and Open Markets that
			 Protect and Enhance the Treatment of Entrepreneurs Act</short-title></quote> or
			 the <quote><short-title>COMPETE
			 Act</short-title></quote>.</text>
		</section><section commented="no" display-inline="no-display-inline" id="H53A1A6543E904E60A14608C976058BB" section-type="subsequent-section"><enum>2.</enum><header>Implementation of
			 internal control reporting and assessment</header><text display-inline="no-display-inline">Section 404 of the Sarbanes-Oxley Act of
			 2002 (15 U.S.C. 7262) is amended—</text>
			<paragraph commented="no" display-inline="no-display-inline" id="H9B96F170B9FE46BD8663E545EE63722B"><enum>(1)</enum><text display-inline="yes-display-inline">in subsection (a), by striking <quote>The
			 Commission</quote> and inserting <quote>Subject to subsections (c) and (d), the
			 Commission</quote>;</text>
			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H18BB67C5D6384EB5B8C41BE497E3726"><enum>(2)</enum><text display-inline="yes-display-inline">in subsection (b), by inserting <quote>,
			 subject to subsections (c) and (d),</quote> after <quote>for the issuer
			 shall</quote>; and</text>
			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H6BE66279DBA44E5A9DD6BFCDD41F001B"><enum>(3)</enum><text display-inline="yes-display-inline">by adding at the end the following new
			 subsections:</text>
				<quoted-block display-inline="no-display-inline" id="HF4D19C680A1B4C02928145F2F0D3635C" style="OLC">
					<subsection commented="no" display-inline="no-display-inline" id="H57CD858EB1BD4DF38644EB626D3009E3"><enum>(c)</enum><header>Smaller Public
				Company Exemption</header><text display-inline="yes-display-inline">The rules
				of the Commission under subsection (a) shall permit an issuer to elect
				voluntarily not to provide the assessment described in subsection (a)(2) and
				the attestation thereof described in subsection (b), if the issuer—</text>
						<paragraph commented="no" display-inline="no-display-inline" id="H7B36E4D2E391452CBFCDEDC8CE09E80"><enum>(1)</enum><text display-inline="yes-display-inline">has a total market capitalization for the
				relevant reporting period of less than $700,000,000;</text>
						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H5D05B51FD35843AB80ABB5215E81E3B2"><enum>(2)</enum><text display-inline="yes-display-inline">has total product revenue for that
				reporting period of less than $125,000,000;</text>
						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="HE0CB5C42474244CFBEF9F7894811CA09"><enum>(3)</enum><text display-inline="yes-display-inline">has fewer than 1500 record beneficial
				holders of securities;</text>
						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H9662034B96B14E2CA03DB65E02AD44A5"><enum>(4)</enum><text display-inline="yes-display-inline">has been subject to the requirements of
				sections 13(a) or 15(d) of the Securities Exchange Act of 1934 for a period of
				less than 12 calendar months; or</text>
						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="HBC3C33A557AD4994965EC469FFA5D435"><enum>(5)</enum><text display-inline="yes-display-inline">has not filed, and was not required to
				file, an annual report pursuant to section 13(a) or 15(d) of the Securities
				Exchange Act of 1934.</text>
						</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="HF970CE4AAACE4BF68C5FED2BABB1E1F4"><enum>(d)</enum><header>De Minimus
				Standard; Additional Guidance; Independence</header><text display-inline="yes-display-inline">In implementing the requirements of this
				section, the Commission and the Board—</text>
						<paragraph commented="no" display-inline="no-display-inline" id="HF06685A02793459AACA7311928170030"><enum>(1)</enum><text display-inline="yes-display-inline">shall alter the standard for review from a
				remote likelihood standard for noting weaknesses under this section to a 5
				percent de minimus material weakness criteria (based on 5 percent of net
				profits);</text>
						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="H815AA00AC516435C822478B9BBF31DF"><enum>(2)</enum><text display-inline="yes-display-inline">shall establish specific guidelines for
				measuring the terms <quote>reasonable</quote>, <quote>significant</quote>, and
				<quote>sufficient</quote> in the context of internal control over financial
				reporting for issuers, including—</text>
							<subparagraph commented="no" display-inline="no-display-inline" id="H5E793B5861B347F1BAD3A853D1497219"><enum>(A)</enum><text display-inline="yes-display-inline">reference to specific examples of the
				appropriate application of those terms; and</text>
							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H2AAD96D4FC214425A5B93B00C546263B"><enum>(B)</enum><text display-inline="yes-display-inline">establishment of a means for timely
				response by the Commission or the Board, as applicable, to requests by issuers
				and registered public accounting firms for guidance as to the appropriate
				application of those terms; and</text>
							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H040C57FD64D14438AAE4424C00FD2654"><enum>(3)</enum><text display-inline="yes-display-inline">shall modify the rules concerning the
				independence of registered public accounting firms to perform assessments under
				subsection (b) to allow prudent interaction between such firms and internal
				consultants.</text>
						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section commented="no" display-inline="no-display-inline" id="H85E66B90E5CD40D68C5425AAD016D168" section-type="subsequent-section"><enum>3.</enum><header>British accounting
			 system study and report</header><text display-inline="no-display-inline">The
			 Securities and Exchange Commission and the Public Company Accounting Oversight
			 Board shall jointly conduct a study comparing and contrasting the
			 principles-based Turnbull Guidance under the securities laws of the United
			 Kingdom to the implementation of section 404 of the Sarbanes-Oxley Act of 2002.
			 The Commission and the Board shall submit a report on the results of such study
			 to Congress not later than 1 year after the date of enactment of this
			 Act.</text>
