				<paragraph commented="no" display-inline="no-display-inline" id="idEC6424A24FBB4022BA34F89A6ABEB35B"><enum>(1)</enum><text display-inline="yes-display-inline">the terms <term>Administration</term> and

			 <term>Administrator</term> means the Small Business Administration and the

			 Administrator thereof, respectively;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idDE8907E08FD542308F46301A617A638B"><enum>(2)</enum><text display-inline="yes-display-inline">the term <term>Premier Certified Lenders

			 Program</term> means the program established under section 508(a) of the Small

			 Business Investment Act of 1958 (15 U.S.C. 697e(a)); and</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id537F601000D6426EB7C5760C81AF13F0"><enum>(3)</enum><text display-inline="yes-display-inline">the term <term>504 Loan Program</term>

			 means the program to provide financing to small business concerns by guarantees

			 of loans under title V of the Small Business Investment Act of 1958 (15 U.S.C.

			 695 et seq.), which are funded by debentures guaranteed by the

			 Administrator.</text>

				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id61FDF2628E31400DBBB3271E072AAC14" section-type="subsequent-section"><enum>2.</enum><header>Findings and

			 purposes</header>

			<subsection commented="no" display-inline="no-display-inline" id="id6F60944A984747B0A6F9B24F2F98B35D"><enum>(a)</enum><header>Findings</header><text display-inline="yes-display-inline">Congress finds that—</text>

				<paragraph commented="no" display-inline="no-display-inline" id="ID546bf5178f844949ad388483503fc024"><enum>(1)</enum><text display-inline="yes-display-inline">in pursuing its mission of aiding small

			 businesses, the Administration provides small businesses with access to credit,

			 primarily by guaranteeing loans through its 7(a) and 504 Loan Programs;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDe493d8df56334d9cac0de0ae9f911371"><enum>(2)</enum><text display-inline="yes-display-inline">the 504 Loan Program provides long-term,

			 fixed-rate financing to growing small businesses for expansion or

			 modernization, primarily of real estate and large equipment;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID0d5e33416a004473aed9dd552d833795"><enum>(3)</enum><text display-inline="yes-display-inline">the 504 financing is delivered through

			 certified development companies (in this section referred to as

			 <quote>CDCs</quote>), about 270 typically preexisting nonprofit corporations,

			 established to contribute to the economic development of their

			 communities;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDb7d45201ff8f4851b00b3b38769d2988"><enum>(4)</enum><text display-inline="yes-display-inline">during the 5 years preceding the date of

			 enactment of this Act, 504 loans have slightly increased to Hispanics and

			 Asians, but have been flat-level funded to African Americans, with 2 percent of

			 the loans, and have decreased in loans to women, from 19 percent to 15

			 percent;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID0c35620c6f514a2ea7f191b40b45043b"><enum>(5)</enum><text display-inline="yes-display-inline">the CDC industry and the 504 Loan Program

			 have experienced unprecedented structural changes, such as the shift of all 504

			 loan processing, loan servicing and liquidation from 70 Administration district

			 offices to 1 or 2 centers in the country;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID1db478caa6b54d5794447be9082851f5"><enum>(6)</enum><text display-inline="yes-display-inline">in 2004, the Administration adopted

			 regulations that allowed for Statewide and multistate CDC operations, resulting

			 in increased competition and program growth in many areas of the country, with

			 limited accountability measures to ensure that CDCs are investing in local

			 economic development activities in each State as they expand; and</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID1c1931332c9241d0a5b4a39215938e1d"><enum>(7)</enum><text display-inline="yes-display-inline">such changes require Congress to examine

			 the 504 Loan Program and the industry and set a statutory course that ensures

			 that the intent and the mission of CDCs and the 504 Loan Program for the future

			 are clearly established as local economic development.</text>

				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID4e65e6c35ba04bcb91263ef558e9d7b7"><enum>(b)</enum><header>Purposes</header><text display-inline="yes-display-inline">The purpose and intent of this Act

			 are—</text>

				<paragraph commented="no" display-inline="no-display-inline" id="IDd53b583f27274dea8b3ae15be55fc573"><enum>(1)</enum><text display-inline="yes-display-inline">to make a clear distinction between

			 nonprofit and for-profit lending practices through the preservation of the CDCs

			 as non-profit economic development intermediaries that are an essential element

			 in Congress’ and the Administration’s mission to assist small businesses to

			 foster local economic development through job creation and investment in all

			 our communities;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDcdf3646f229d41e587f21852c2a12bb9"><enum>(2)</enum><text display-inline="yes-display-inline">to reconfirm the statutory intent of CDCs

			 as originally established in 1958 to provide small business programs, services,

			 and assistance that for-profit lenders do not provide;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID1f60d3e54b6c4702bcfafe8ca9e818f8"><enum>(3)</enum><text display-inline="yes-display-inline">to direct the Administration within 90 days

			 of the date of enactment of this Act to report to the Committee on Small

			 Business and Entrepreneurship of the Senate and the Committee on Small Business

			 of the House of Representatives on how the Administration could implement 1

			 closing, rather than 2 in the 504 Loan Program, and potentially save the

			 borrower thousands in funds and retain outstanding participation of private

			 lenders;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID25a0b0e59d9c47b3a428041ee4de14e6"><enum>(4)</enum><text display-inline="yes-display-inline">to direct the Administration to report on

			 the utilization of the Premier Certified Lender Program over the past 3 years,

			 specifically outlining how many 504 loans have been processed through the

			 program, what difficulties have been encountered in making these loans, and how

			 the number of loans in the program could be increased or streamlined;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID4cc0917e66c74a3fa2141962f4bb10e5"><enum>(5)</enum><text display-inline="yes-display-inline">to establish the expansion of business in

			 low-income communities as a separate public policy goal to highlight the need

			 for CDCs to include such goal as a primary objective in future projects and

			 outreach to underserved populations;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID9b052e0c43d64ccab8777f7bc3e32652"><enum>(6)</enum><text display-inline="yes-display-inline">to ensure accountability as CDC operations

			 expand into contiguous States through timely authorizations by the

			 Administrator to operate in multistates and require that CDCs use excess funds

			 for local economic development projects in the area of operations where such

			 funds were generated and submit an annual report to the Administrator of such

			 projects in each State of operation;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDc8f1964a032345b9b53ac7e1de4ea8e7"><enum>(7)</enum><text display-inline="yes-display-inline">to provide small businesses which need both

			 long-term fixed asset financing through the 504 Loan Program and shorter term

			 working capital and equipment financing through the 7(a) loan program the

			 option of utilizing both Administration loan guaranty programs to their maximum

			 amount;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID3efd1e8e4f0f4a338c4a270390926fd3"><enum>(8)</enum><text display-inline="yes-display-inline">to direct the Administration to require

			 that 504 defaulted loan liquidations and recoveries be processed by CDCs or

			 their designated third-party contractors, and that CDCs be compensated for the

			 cost of such liquidation activities; and</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id838DA99284F844EAB380A70E79720639"><enum>(9)</enum><text display-inline="yes-display-inline">to direct the Administration to establish

			 an incentive program directed to CDCs that foreclose and liquidate defaulted

			 loans.</text>

				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="id334B76C652DC4654B010A3C7320BECE5" section-type="subsequent-section"><enum>3.</enum><header>Authorizations for 504

			 Loan Program</header><text display-inline="no-display-inline">Section 20 of the

			 Small Business Act (20 U.S.C. 631 note) is amended by adding at the end the

			 following:</text>

			<quoted-block display-inline="no-display-inline" id="idCDE714B0D7184430A9D25FF7167B2B58" style="OLC">

				<subsection commented="no" display-inline="no-display-inline" id="IDd3833c8b66944a4db44396df36662286"><enum>(f)</enum><header>Fiscal Year

				2007</header><text display-inline="yes-display-inline">For the program

				authorized under section 7(a)(13) and the 504 Loan Program, the Administrator

				is authorized to make $8,500,000,000 in financings, and there are authorized to

				be appropriated to the Administrator such sums as are necessary to carry out

				such programs.</text>

				</subsection><subsection commented="no" display-inline="no-display-inline" id="ID9647b5b72a6044cbbd977211377ddb3d"><enum>(g)</enum><header>Fiscal Year

				2008</header><text display-inline="yes-display-inline">For the program

				authorized under section 7(a)(13) and the 504 Loan Program, the Administrator

				is authorized to make $9,500,000,000 in financings, and there are authorized to

				be appropriated to the Administrator such sums as are necessary to carry out

				such programs.</text>

				</subsection><subsection commented="no" display-inline="no-display-inline" id="idF0EE7FEA01224D41B9FE1B3527809B3A"><enum>(h)</enum><header>Fiscal year

				<enum-in-header>2009</enum-in-header></header><text display-inline="yes-display-inline">For the program authorized under section

				7(a)(13) and the 504 Loan Program, the Administrator is authorized to make

				$10,500,000,000 in financings, and there are authorized to be appropriated to

				the Administrator such sums as are necessary to carry out such

				programs.</text>

				</subsection><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="IDfcc99da1d2544ba599469a6bd0290261" section-type="subsequent-section"><enum>4.</enum><header>Certified development

			 company economic development</header><text display-inline="no-display-inline">Section 504 of the Small Business Investment

			 Act of 1958 (15 U.S.C. 697a) is amended—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="idFFC78D4526D748989D93FF7D80F1786F"><enum>(1)</enum><text display-inline="yes-display-inline">by striking the section heading and

			 inserting the following: <quote><header-in-text level="section" style="OLC">Private Debenture Sales and Program

			 Name</header-in-text></quote>;</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idD9BCC108EBFA40A1BA6D24B3639CB636"><enum>(2)</enum><text display-inline="yes-display-inline">by redesignating subsections (a) and (b) as

			 subsections (b) and (c), respectively; and</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDe8d00c3309994bdaada6478267c3f075"><enum>(3)</enum><text display-inline="yes-display-inline">by inserting before subsection (b) the

			 following:</text>

				<quoted-block display-inline="no-display-inline" id="idE04C0EDB31844C64AF4746644DC4978F" style="OLC">

					<subsection commented="no" display-inline="no-display-inline" id="ID99a038ae1e6048da8d4fe746115c2449"><enum>(a)</enum><header>Program

				name</header><text display-inline="yes-display-inline">The program to provide

				financing to small business concerns by guarantees of loans under this title,

				which are funded by debentures guaranteed by the Administrator shall be known

				as the <quote>Certified Development Company Economic Development Loan

				Program</quote> or the <quote>504 Loan

				Program</quote>.</text>

					</subsection><after-quoted-block>.</after-quoted-block></quoted-block>

			</paragraph></section><section commented="no" display-inline="no-display-inline" id="IDc6d0fca0a932460fa9cb05c0a4a9a320" section-type="subsequent-section"><enum>5.</enum><header>Definitions</header><text display-inline="no-display-inline">Section 103 of the Small Business Investment

			 Act of 1958 (15 U.S.C. 662) is amended—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="id27E38C8BC70A4032B6DB516CD63F337A"><enum>(1)</enum><text display-inline="yes-display-inline">by striking paragraph (6) and inserting the

			 following:</text>

				<quoted-block display-inline="no-display-inline" id="id593BA21D0B234F2BB35C6A8A29F15F79" style="OLC">

					<paragraph commented="no" display-inline="no-display-inline" id="IDc62d562d66ac40e6a024152536e5ba75"><enum>(6)</enum><text display-inline="yes-display-inline">the term <term>development company</term>

				means an entity incorporated under State law with the authority to promote and

				assist the growth and development of small business concerns in the areas in

				which it is authorized to operate by the

				Administrator;</text>

					</paragraph><after-quoted-block>;</after-quoted-block></quoted-block>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id77C28C3407AE47B8BB512B0CA0943B4D"><enum>(2)</enum><text display-inline="yes-display-inline">in paragraph (16), by striking

			 <quote>and</quote> at the end;</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idEF8213B7AAB7429898C80A3CB8C7D8C7"><enum>(3)</enum><text display-inline="yes-display-inline">in paragraph (17), by striking the period

			 at the end and inserting <quote>; and</quote>; and</text>

			 development companies to be designated as certified development companies;

			 authority to issue debentures; providing an area of operational authority,

			 funding restrictions, and ethical requirements</header><text display-inline="no-display-inline">Section 506 of the Small Business Investment

			 Act of 1958 (15 U.S.C. 697c) is amended to read as follows:</text>

			<quoted-block display-inline="no-display-inline" id="id161F73E7CFAB49659C63419E44051ED0" style="OLC">

				<section commented="no" display-inline="no-display-inline" id="ID107fda5b734442c881e69dad13b5ccb9" section-type="subsequent-section"><enum>506.</enum><header>Certified

				development companies</header>

					<subsection commented="no" display-inline="no-display-inline" id="ID70a9b5632e3340508d04f1c7b9ecc97b"><enum>(a)</enum><header>Authority to

				issue debentures</header><text display-inline="yes-display-inline">A

				development company may issue debentures under this title if the Administrator

				certifies that the company meets the following criteria:</text>

						<paragraph commented="no" display-inline="no-display-inline" id="ID34600ed0941f4ec9b4ed1b5ddaa03a1a"><enum>(1)</enum><header>Size</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="idE727B207696847FA880B8E83FC8507FC"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">Except as provided in

				subparagraph (B), the development company shall be a small business concern

				with fewer than 500 employees, and shall not be under the control of any entity

				that does not meet the size standards established by the Administrator for a

				small business concern.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0EC4B831AC4141EAB3DF474177FFE3AA"><enum>(B)</enum><header>Exception</header><text display-inline="yes-display-inline">Any development company that was certified

				by the Administrator prior to December 31, 2005, may continue to issue

				debentures under this title.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDa7901a3705594760a834f9a2f4a95e08"><enum>(2)</enum><header>Purpose</header><text display-inline="yes-display-inline">A primary purpose of the development

				company shall be to benefit the community by fostering economic development to

				create and preserve jobs and stimulate private investment.</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDb6282d9bd14c4e73b62c15223443a1dc"><enum>(3)</enum><header>Primary

				function</header><text display-inline="yes-display-inline">A primary function

				of the development company shall be to accomplish its purpose by providing long

				term financing to small business concerns under the 504 Loan Program. The

				development company may also provide or support other local economic

				development activities to assist the community.</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDe4de64531cc34769b242e53561edc12c"><enum>(4)</enum><header>Nonprofit

				status</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="id6768BC95076342FABB6F31B9880460EF"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">Except as provided in

				subparagraph (B), the development company shall be a nonprofit

				corporation.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3F262004DBA74C628F06F464511FA927"><enum>(B)</enum><header>Exception</header><text display-inline="yes-display-inline">A development company certified by the

				Administrator prior to January 1, 1987, may continue to issue debentures under

				this title and retain its status as a for-profit enterprise.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID33043c25882e4934906a8ed532a6288a"><enum>(5)</enum><header>Good

				standing</header><text display-inline="yes-display-inline">The development

				company shall be in compliance with all laws, including taxation requirements,

				in the State in which such company is incorporated and in any other State in

				which it conducts business.</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDb4757b578afd4cab912bf3ca2e89cf19"><enum>(6)</enum><header>Membership of

				development company</header><text display-inline="yes-display-inline">There

				shall—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="id759E74E834114758BBD631C34037FF17"><enum>(A)</enum><text display-inline="yes-display-inline">be not fewer than 25 members of the

				development company (or owners or stockholders, if the corporation is a

				for-profit entity)—</text>

								<clause commented="no" display-inline="no-display-inline" id="id55AB1611324448FCB8FADCBEA9B52724"><enum>(i)</enum><text display-inline="yes-display-inline">none of whom may own or control more than

				10 percent of the voting membership of the company; and</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="idBC3D7417D97F4B089C827062E2E4FEF9"><enum>(ii)</enum><text display-inline="yes-display-inline">all of whom shall be residents of the area

				of operations of the development company, as specified by the Administrator

				under subsection (b); and</text>

								</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idFEE5B9CC68404186AD2324CCF1CD0C2A"><enum>(B)</enum><text display-inline="yes-display-inline">be at least 1 member of the development

				company from each of—</text>

								<clause commented="no" display-inline="no-display-inline" id="ID6c7d60fbf11e47189918639cb980ca45"><enum>(i)</enum><text display-inline="yes-display-inline">government organizations that are

				responsible for economic development;</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="ID9d42270f0fb34affbf8c40abeb2aaac3"><enum>(ii)</enum><text display-inline="yes-display-inline">financial institutions that provide

				commercial long term fixed asset financing;</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="IDe3b799ed5c6f47cda5062c199e435f99"><enum>(iii)</enum><text display-inline="yes-display-inline">community organizations that are dedicated

				to economic development; and</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="ID8726a4bb3073411cbc76026e3192e961"><enum>(iv)</enum><text display-inline="yes-display-inline">businesses.</text>

								</clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID8e0d63ff95354b8c9ffcfef793545b35"><enum>(7)</enum><header>Board of

				directors</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="idCFE34BEE48CD4C8A94CEA01C5834C9D8"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">The development

				company shall have a board of directors.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idBBC52DB7E942446EBEC2119E5A8D0351"><enum>(B)</enum><header>Members of

				board</header><text display-inline="yes-display-inline">Each member of the

				board of directors of the development company shall be—</text>

								<clause commented="no" display-inline="no-display-inline" id="id4489FE4DAB694D7EAA5B968EF1AA38C9"><enum>(i)</enum><text display-inline="yes-display-inline">a member of the development company;</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="id947B23095FF34FB7B438613D5062D1E0"><enum>(ii)</enum><text display-inline="yes-display-inline">elected by the members of the development

				company; and</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="id3B514513D4674AA48E92D17685D549AC"><enum>(iii)</enum><text display-inline="yes-display-inline">a resident of the area of operations of the

				development company, as specified by the Administrator under subsection

				(b).</text>

								</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="IDbd6bb4963fcb4812b47db23f85949d2b"><enum>(C)</enum><header>Representation

				of organizations and institutions</header><text display-inline="yes-display-inline">There shall be at least 1 member of the

				board of directors from not fewer than 3 of the 4 organizations and

				institutions described in paragraph (6)(B), none of whom is in a position to

				control the development company.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID8891cde30830484ba5d8e23fe1cc1b2e"><enum>(D)</enum><header>Meetings</header><text display-inline="yes-display-inline">The board of directors of the development

				company shall meet on a regular basis to make policy decisions for such

				company.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID7aa1d6c3d2464b8f801a92f4fbaecd91"><enum>(8)</enum><header>Professional

				management and staff</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="id9BE300D02A1444208D722BFB61B5C2AE"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">The development

				company shall have full-time professional management, including a chief

				executive officer to manage daily operations, and a full-time professional

				staff qualified to market the 504 Loan Program and handle all aspects of loan

				approval and servicing, including liquidation, if appropriate.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idBCDBBAF312F2475E912C9112A59C178B"><enum>(B)</enum><header>Independence</header><text display-inline="yes-display-inline">Except as provided in subparagraph (C), the

				development company shall be independently managed and operated to pursue the

				economic development mission of the company and shall employ its chief

				executive officer directly.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="IDd52b0af1a45048bfb1c57dd4be4fa70e"><enum>(C)</enum><header>Exceptions</header>

								<clause commented="no" display-inline="no-display-inline" id="id371913D2E00942138A4C89DFA3BB2857"><enum>(i)</enum><header>Affiliation</header><text display-inline="yes-display-inline">A development company may be an affiliate

				of another local nonprofit service corporation (other than a development

				company) whose mission is to support economic development in the area in which

				the development company operates.</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="id6032A6776D3048DF86E802377116B04B"><enum>(ii)</enum><header>Members of

				board</header><text display-inline="yes-display-inline">A development company

				and a local nonprofit service corporation with which it is affiliated may have

				in common some, but not all, members of their respective boards of

				directors.</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="ID8a98d3db30144161bdd6239a96de4566"><enum>(iii)</enum><header>Staffing</header><text display-inline="yes-display-inline">Except as provided in clause (iv), a

				development company may satisfy the requirement for full-time professional

				staff under subparagraph (A) by contracting for the required staffing with an

				entity with which the development company is affiliated, including—</text>

									<subclause commented="no" display-inline="no-display-inline" id="IDadc6a0a4429442e58b8157393ad59f4c"><enum>(I)</enum><text display-inline="yes-display-inline">a local nonprofit service

				corporation;</text>

									</subclause><subclause commented="no" display-inline="no-display-inline" id="ID231f1963e29540a6b53a74f06e76ad85"><enum>(II)</enum><text display-inline="yes-display-inline">a nonprofit affiliate of a local nonprofit

				service corporation;</text>

									</subclause><subclause commented="no" display-inline="no-display-inline" id="IDc2ee6c6db07d49b48dcd752fabc24ae5"><enum>(III)</enum><text display-inline="yes-display-inline">an entity wholly or partially operated by a

				governmental agency; or</text>

									</subclause><subclause commented="no" display-inline="no-display-inline" id="IDb74439e3705d4e1c8a95afdf172eda93"><enum>(IV)</enum><text display-inline="yes-display-inline">another entity approved by the

				Administrator.</text>

									</subclause></clause><clause commented="no" display-inline="no-display-inline" id="ID7c0c4207535741819d436cd685741463"><enum>(iv)</enum><header>Rural

				areas</header><text display-inline="yes-display-inline">A development company

				located in a rural area, as defined in section 501(f), may satisfy the

				requirements of a full-time professional staff and professional management

				ability under subparagraph (A) by contracting with another certified

				development company that has such staff and management ability and is located

				in the same general area in which the development company is located.</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="IDcea7f3b86f0c4cafa07c0ff16e1635ee"><enum>(v)</enum><header>For-profit

				companies</header><text display-inline="yes-display-inline">A development

				company that was certified by the Administrator prior to January 1, 2006, and

				that has contracted with a for-profit company to provide professional staff as

				of such date may continue to contract for staffing with a for-profit

				company.</text>

								</clause></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="IDfc943f39be4b469f9c3dc2ec0edd9592"><enum>(b)</enum><header>Area of

				operations</header>

						<paragraph commented="no" display-inline="no-display-inline" id="idA5F66684F758498FAB607EEE380478AE"><enum>(1)</enum><header>In

				general</header><text display-inline="yes-display-inline">The Administrator

				shall specify the area in which an applicant is certified to provide assistance

				to small business concerns under this title.</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8321B732E77C4DF48A76C56501C8BB15"><enum>(2)</enum><header>Initial

				area</header><text display-inline="yes-display-inline">The Administrator shall

				not authorize an applicant to provide assistance under paragraph (1) outside of

				the State of incorporation of the development company when first authorizing an

				applicant to provide assistance under this title, unless it proposes to operate

				in a local economic area under subsection (c).</text>

						</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID68be19f316de4cd69424187841efcc8e"><enum>(c)</enum><header>Local economic

				area requirement and exemption</header>

						<paragraph commented="no" display-inline="no-display-inline" id="id415F7B65270F4BC09F4DD3B41FE253D0"><enum>(1)</enum><header>Definition</header><text display-inline="yes-display-inline">In this subsection, the term <term>local

				economic area</term> means an area, as determined by the Administrator,

				that—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="idFC3D6E0F8F6947569A41D51FF7FB4340"><enum>(A)</enum><text display-inline="yes-display-inline">is in a State other than the State in which

				a development company is incorporated;</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5CF62117B0B2468FB4E6C0943647A703"><enum>(B)</enum><text display-inline="yes-display-inline">shares a border with the area of operations

				of the development company; and</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id1D3CC966D9DD42D487D77B3A57705A3C"><enum>(C)</enum><text display-inline="yes-display-inline">is a part of a local trade area (including

				a city that is bisected by a State line and a metropolitan statistical area

				that is bisected by a State line) that is contiguous to the area of operations

				of the development company.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id9CC15DCA8753483CB43BEA7DF3ACC1C7"><enum>(2)</enum><header>Exemption</header><text display-inline="yes-display-inline">An applicant operating in a local economic

				area shall not be deemed to be operating in a multistate area, and shall not be

				required to comply with the requirements of multistate operation.</text>

						</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="IDf418d00f71c049538524c2993fae5410"><enum>(d)</enum><header>Multistate

				operation</header><text display-inline="yes-display-inline">After a development

				company has demonstrated its ability to provide financial assistance in its

				area of operations, it may request the Administrator to authorize the

				development company to operate as a multistate certified development company

				and to finance small business concerns under this title in a State other than

				the State in which the development company is incorporated, if —</text>

						<paragraph commented="no" display-inline="no-display-inline" id="ID26adf48753c1420492f07006e94809f4"><enum>(1)</enum><text display-inline="yes-display-inline">such State is contiguous to the State in

				which the development company is incorporated, except that the States of Alaska

				and Hawaii shall be deemed to be contiguous to any State abutting the Pacific

				ocean;</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDd68690da7058405ba320196ee6be1ed7"><enum>(2)</enum><text display-inline="yes-display-inline">the development company demonstrates its

				proficiency in making and servicing loans under the 504 Loan Program by—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="IDf4efa3d9c48b4bceb59138e677cce220"><enum>(A)</enum><text display-inline="yes-display-inline">requesting and receiving designation as an

				accredited lender under section 507 or a premier certified lender under section

				508; and</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID437d4c1d56b744b3a14513977b45c396"><enum>(B)</enum><text display-inline="yes-display-inline">meeting or exceeding performance standards

				established by the Administrator;</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDf58a5f4514d749bbbba4be3dfc54906a"><enum>(3)</enum><text display-inline="yes-display-inline">the development company adds additional

				members of the development company from such State that—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="IDf28d7cb12a7747b0b238b5c55b0298bc"><enum>(A)</enum><text display-inline="yes-display-inline">meet the requirements of subsection (a)(6);

				and</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="IDa284d267d34e44fc90152fd7b8a5a520"><enum>(B)</enum><text display-inline="yes-display-inline">are residents of such State;</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID6e2e2c8f5e284792876049481e58688c"><enum>(4)</enum><text display-inline="yes-display-inline">the development company adds at least 1

				member to its board of directors from such State; and</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID76d9b560583c4685902ab1bf4d067e24"><enum>(5)</enum><text display-inline="yes-display-inline">the development company meets such other

				criteria or comply with such conditions as the Administrator may

				require.</text>

						</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID0e61d42c50e64ec988c5b05b931b4db1"><enum>(e)</enum><header>Processing of

				expansion applications</header><text display-inline="yes-display-inline">Not

				later than 30 days after the date of receipt of an application under subsection

				(d), the Administrator shall determine whether the development company meets

				the requirements of subsection (d) and accept or reject the request of a

				development company for approval as a multistate company in writing.</text>

					</subsection><subsection commented="no" display-inline="no-display-inline" id="ID185bf54a0ec5469a88fcbf4d517a402a"><enum>(f)</enum><header>Use of excess

				funds</header><text display-inline="yes-display-inline">Any funds generated by

				a development company from making 504 loans which remain after payment of

				staff, operating and overhead expenses shall be retained by the development

				company as a reserve for—</text>

						<paragraph commented="no" display-inline="no-display-inline" id="id0AC64C5B3DE64C10A5F5FBEFED2C2A13"><enum>(1)</enum><text display-inline="yes-display-inline">future operations;</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID63c7faf3f1ed419abe3f0d58d821db62"><enum>(2)</enum><text display-inline="yes-display-inline">expanding the area in which the certified

				development company operates or proposes to operate as a multistate development

				company under subsection (d); or</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID267585c7e23c4eb3963196f2f1863be7"><enum>(3)</enum><text display-inline="yes-display-inline">investment in other local community or

				economic development activity in the State from which such funds were generated

				or in a local economic area which includes part of the State of

				incorporation.</text>

						</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID5f1537dc336046a6954b82c4ac846f4c"><enum>(g)</enum><header>Ethical

				requirements</header>

						<paragraph commented="no" display-inline="no-display-inline" id="id1AC0269358FD4792881D60E0D6C41561"><enum>(1)</enum><header>Definitions</header><text display-inline="yes-display-inline">In this subsection—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="idB98B32AB79D1486B9045780881891093"><enum>(A)</enum><text display-inline="yes-display-inline">the term <term>close relative</term> means

				a spouse, parent, child, sibling, or the spouse of a parent, child, or sibling;

				and</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idD93239BC0ED64CE9BC15D438CB809D9E"><enum>(B)</enum><text display-inline="yes-display-inline">the term <term>position of control</term>

				means an officer, member of the board of directors, manager, chief executive

				officer, agent involved in the loan process, key employee or similar management

				position of a certified development company and, if the development company is

				a for-profit entity, a holder of 20 percent or more of the value of the stock

				of the certified development.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDf267dcac1fda4e2dbd0e2ec734d4a061"><enum>(2)</enum><header>Conflict of

				interest</header><text display-inline="yes-display-inline">A certified

				development company, and the officers, employees, and other staff of a

				certified development company, shall at all times act ethically and avoid

				activities which constitute a conflict of interest or appear to constitute a

				conflict of interest.</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID2a1b2f0beabb4031a89d3ba304e20094"><enum>(3)</enum><header>Control of

				multiple companies</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="IDe1c84b74c81148aeb7376e45d54a5ac7"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">No person, either

				directly or indirectly, may hold a position of control on more than 1 certified

				development company.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID1ee362949e5e4cb4bef65daa1ecc5333"><enum>(B)</enum><header>Relatives</header><text display-inline="yes-display-inline">No close relative of an individual who

				holds a position of control in a certified development company may hold a

				position of control in a certified development company, except for the

				certified development company in which the individual serves.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID872b970d72e345ebbd71b4dc2727b087"><enum>(4)</enum><header>Prohibited

				conflict in project loans</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="id9749CB1110DB47D88A98037065BAA015"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">Except as provided in

				subparagraph (B), no certified development company may—</text>

								<clause commented="no" display-inline="no-display-inline" id="id100167EF1A3648259CCFCB98DE47BE96"><enum>(i)</enum><text display-inline="yes-display-inline">recommend or approve a guarantee of a

				debenture by the Administrator as part of a project under the 504 Loan Program

				that is collateralized by a second lien position on the property being

				constructed or acquired; and</text>

								</clause><clause commented="no" display-inline="no-display-inline" id="idD16CFD672EE944AFA452AD0260799505"><enum>(ii)</enum><text display-inline="yes-display-inline">provide, or be affiliated with a

				corporation or other entity which directly or indirectly provides financing

				collateralized by a first lien on the same property.</text>

								</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id27665F5CC44C41319BA8D832FC6CFAA6"><enum>(B)</enum><header>Exception</header><text display-inline="yes-display-inline">A business development company that was

				participating as a first mortgage lender under the 504 Loan Program in fiscal

				year 2004 or 2005, either directly or through an affiliate, may continue to do

				so.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDad31d3d35448403ba18c68ea11f6f258"><enum>(5)</enum><header>Other economic

				development Activities</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="id36187A83EBD04B0E8B4FAEB301612A78"><enum>(A)</enum><header>Multiple

				programs</header><text display-inline="yes-display-inline">Operation of

				multiple programs to assist small business concerns in order for a certified

				development company to carry out its economic development mission shall not be

				deemed a conflict of interest for purposes of this section.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9473190351E54EF5AADCAA700537DA89"><enum>(B)</enum><header>Other sources

				of funding</header>

								<clause commented="no" display-inline="no-display-inline" id="idD37DA436903C4CCDA5AA44382227B814"><enum>(i)</enum><header>In

				general</header><text display-inline="yes-display-inline">Except as provided in

				clause (ii), and notwithstanding any other provision of law, no certified

				development company may accept funding from any source, including any

				department or agency of the Federal Government—</text>

									<subclause commented="no" display-inline="no-display-inline" id="IDdab0d101ba604cc196029548f99f008a"><enum>(I)</enum><text display-inline="yes-display-inline">if such funding includes any conditions,

				priorities or restrictions upon the types of small business concerns to which

				the certified development company may provide financial assistance under this

				title; or</text>

									</subclause><subclause commented="no" display-inline="no-display-inline" id="IDbae75e454e7d4fbe95e0584042ca056e"><enum>(II)</enum><text display-inline="yes-display-inline">if such funding includes any conditions or

				imposes any requirements, directly or indirectly, upon any recipient of

				assistance under this title.</text>

									</subclause></clause><clause commented="no" display-inline="no-display-inline" id="ID195493cc74804c5a8b50b61f05b95e55"><enum>(ii)</enum><header>Exception</header><text display-inline="yes-display-inline">Clause (i) shall not apply if the source of

				funding described in clause (i) provides all of the financial assistance to be

				delivered by the certified development company to the small business concern

				and such conditions, priorities, or restrictions are limited solely to the

				financial assistance so provided.</text>

								</clause></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idBB399773EE774A039ED14D751F5B2469"><enum>(h)</enum><header>Reporting</header><text display-inline="yes-display-inline">A certified development company shall

				submit an annual report to the Administration regarding—</text>

						<paragraph commented="no" display-inline="no-display-inline" id="idB082DB46C5324F679FEC7634DA4C4B60"><enum>(1)</enum><text display-inline="yes-display-inline">the use of excess funds by the company

				under subsection (f); and</text>

						</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id24E025123C0F4FA38569EBF84C6A4588"><enum>(2)</enum><text display-inline="yes-display-inline">the involvement of the company with local

				economic development activities in every State in which the certified

				development company

				operates.</text>

						</paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="IDbfbce334d9064eafa22a5db5fa387914" section-type="subsequent-section"><enum>7.</enum><header>Conforming

			 amendments</header><text display-inline="no-display-inline">Section 503 of the

			 Small Business Investment Act of 1958 (15 U.S.C. 697) is amended—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="IDbbef9fba5b34424384ef712ce337b0d5"><enum>(1)</enum><text display-inline="yes-display-inline">in subsection (a)(1), by striking

			 <quote>qualified State or local development company</quote> and inserting

			 <quote>certified development company</quote>; and</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID7763b5f7c5e9474cb1684d0609e3d739"><enum>(2)</enum><text display-inline="yes-display-inline">by striking subsection (e) and inserting

			 the following:</text>

				<quoted-block display-inline="no-display-inline" id="id88E0BA546A664922BD15FF882E3607DA" style="OLC">

					<subsection commented="no" display-inline="no-display-inline" id="ID942c9b155cb94d8b83b70e3c4dbf425d"><enum>(e)</enum><text display-inline="yes-display-inline">Notwithstanding any other provision of law,

				a certified development company is authorized to prepare applications for

				deferred participation loans under section 7(a) of the Small Business Act, to

				service such loans, and to charge a reasonable fee for servicing such

				loans.</text>

					</subsection><after-quoted-block>.</after-quoted-block></quoted-block>

			</paragraph></section><section commented="no" display-inline="no-display-inline" id="IDa49bb918c5da49d1ae656ec7bd089a63" section-type="subsequent-section"><enum>8.</enum><header>Definition of rural

			 areas</header><text display-inline="no-display-inline">Section 501 of the Small

			 Business Investment Act of 1958 (15 U.S.C. 695) is amended by adding at the end

			 the following:</text>

				<subsection commented="no" display-inline="no-display-inline" id="ID85f47633652a45048bbb01deb318e2ac"><enum>(f)</enum><text display-inline="yes-display-inline">As used in this section, the terms

				<term>rural</term> and <term>rural area</term> include any area other

				than—</text>

					<paragraph commented="no" display-inline="no-display-inline" id="id399B6186CBB64473BCF3B91827C2FA97"><enum>(1)</enum><text display-inline="yes-display-inline">a city or town that has a population

				greater than 50,000 inhabitants; and</text>

					</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id4544411FC4934CF4BCD03DA5B75ABAE2"><enum>(2)</enum><text display-inline="yes-display-inline">the urbanized area contiguous and adjacent

				to such a city or

				town.</text>

					</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="ID5a8d23d9ce504f1cab9a81aeceff071a" section-type="subsequent-section"><enum>9.</enum><header>Businesses in

			 low-income areas</header><text display-inline="no-display-inline">Section

			 501(d)(3) of the Small Business Investment Act of 1958 (15 U.S.C. 695(d)(3)) is

			 amended—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="id4B815A700C4D43BFB1E4FD9F343A334B"><enum>(1)</enum><text display-inline="yes-display-inline">in subparagraph (G), by striking

			 <quote>or</quote> at the end;</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id3ED58A23BA714AD3B5D10241632CA14A"><enum>(2)</enum><text display-inline="yes-display-inline">in subparagraph (H), by striking the period

			 at the end and inserting <quote>, or</quote>; and</text>

			</paragraph></section><section commented="no" display-inline="no-display-inline" id="IDf2e93f94119e496a9b15464011794224" section-type="subsequent-section"><enum>10.</enum><header>Combinations of

			 certain goals</header><text display-inline="no-display-inline">Section 501(d)

			 of the Small Business Investment Act of 1958 (15 U.S.C. 695(d)) is amended by

			 inserting before the undesignated matter at the end the following:</text>

			<quoted-block display-inline="no-display-inline" id="id8EC27AFE1B434135B97DA4EFB3189FE7" style="OLC">

				<paragraph commented="no" display-inline="no-display-inline" id="IDd422b57b26174aaca29a4c42efb97b14"><enum>(4)</enum><text display-inline="yes-display-inline">A small business concern which is owned by

				more than 1 individual, or a corporation whose stock is owned by more than 1

				individual, shall be deemed to have achieved a public policy goal under

				paragraph (3) if not less than 51 percent of the small business concern is

				owned by individuals who are in 1 or a combination of the groups described as

				public policy goals in subparagraph (C) and (E) of paragraph

				(3).</text>

				</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="IDc3c901c02e854c3d9b628966bafba177" section-type="subsequent-section"><enum>11.</enum><header>Repeal of sunset on

			 reserve requirements for premier certified lenders</header><text display-inline="no-display-inline">Section

			 508(c)(6)(B) of the Small Business Investment Act of 1958 (15 U.S.C.

			 697e(c)(6)(B)) is amended—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="ID87be78b9d4514bb4b8a2dd4c2106633f"><enum>(1)</enum><text display-inline="yes-display-inline">in the subparagraph heading, by striking

			 <quote><header-in-text level="subparagraph" style="OLC">Temporary

			 reduction</header-in-text></quote> and inserting <quote><header-in-text level="subparagraph" style="OLC">Reduction</header-in-text></quote>; and</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDa8dde63e49a54c239f0f2739211373bc"><enum>(2)</enum><text display-inline="yes-display-inline">by striking <quote>Notwithstanding

			 subparagraph (A), during the 2-year period beginning on the date that is 90

			 days after the date of the enactment of this subparagraph, the</quote> and

			 inserting <quote>The</quote>.</text>

			</paragraph></section><section commented="no" display-inline="no-display-inline" id="ID14ed9ee26fb143df9066fa6adc2e033e" section-type="subsequent-section"><enum>12.</enum><header>Refinancing</header><text display-inline="no-display-inline">Section 502 of the Small Business Investment

			 Act of 1958 (15 U.S.C. 696) is amended by adding at the end the

			 following:</text>

			<quoted-block display-inline="no-display-inline" id="id5C43A044FF084C28938AFBB26A389EAB" style="OLC">

				<paragraph commented="no" display-inline="no-display-inline" id="ID1b57dcd45d7048c4b735a7f97041651c"><enum>(7)</enum><header>Permissible

				debt refinancing</header>

					<subparagraph commented="no" display-inline="no-display-inline" id="ID66fb859d25d149f887825115a9865f4a"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">Any financing

				approved under this title may also include a limited amount of debt

				refinancing, as described in subparagraph (B).</text>

					</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID4f23f2755d2c4c9688f3858d7235200b"><enum>(B)</enum><header>Expansions</header><text display-inline="yes-display-inline">If the project for which a financing under

				this title is sought involves the expansion of a small business concern which

				has existing indebtedness collateralized by fixed assets, any amount of

				existing indebtedness that does not exceed <fraction>1/2</fraction> of the

				project cost of the expansion may be refinanced and added to the expansion

				cost, if—</text>

						<clause commented="no" display-inline="no-display-inline" id="ID09c068b885694ddeac5a1ed9ebe1cb04"><enum>(i)</enum><text display-inline="yes-display-inline">the existing indebtedness was not financed

				under the 504 Loan Program or under section 7(a) of the Small Business

				Act;</text>

						</clause><clause commented="no" display-inline="no-display-inline" id="IDae3c7d3998994da98695444734bba6c7"><enum>(ii)</enum><text display-inline="yes-display-inline">the proceeds of the indebtedness were used

				to acquire land, including a building situated thereon, to construct a building

				thereon or to purchase equipment;</text>

						</clause><clause commented="no" display-inline="no-display-inline" id="ID2c1c63b460d54fb387a4e4733c6c6d3a"><enum>(iii)</enum><text display-inline="yes-display-inline">the borrower has been current on all

				payments due on the existing debt for the 1-year period prior to the date on

				which the application is submitted; and</text>

						</clause><clause commented="no" display-inline="no-display-inline" id="ID476a3462ef2c477badf939c00ea21d85"><enum>(iv)</enum><text display-inline="yes-display-inline">the financing under the 504 Loan Program

				will provide better terms or rate of interest than exists on the existing

				debt.</text>

						</clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="IDd3fd918ef46949e5861d7b3f3f1499fc" section-type="subsequent-section"><enum>13.</enum><header>Fees</header>

			<subsection commented="no" display-inline="no-display-inline" id="ID466071f0bbc745a2a19a9fa5f81e4cbb"><enum>(a)</enum><header>In

			 General</header><text display-inline="yes-display-inline">Section 503(d) of the

			 Small Business Investment Act of l958 (15 U.S.C. 697(d)) is amended—</text>

				<paragraph commented="no" display-inline="no-display-inline" id="ID264dbc64c47844e6bd210e5f6cc2c74c"><enum>(1)</enum><text display-inline="yes-display-inline">by striking paragraph (2);</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id230DDC53CCA74A688E025750BA01C593"><enum>(2)</enum><text display-inline="yes-display-inline">by redesignating paragraph (3) as paragraph

			 (2); and</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDb249fdfeecd94b46aaddcbafb0982ddd"><enum>(3)</enum><text display-inline="yes-display-inline">in paragraph (2), as so redesignated, by

			 striking “0.125 percent” and inserting <quote>0.155 percent</quote>.</text>

				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id1B0EBC9739B24C38B9C22C2C4DF29123"><enum>(b)</enum><header>Reporting</header><text display-inline="yes-display-inline">Not later than 2 years after the effective

			 date under subsection (c), the Administrator shall submit to the Committee on

			 Small Business and Entrepreneurship of the Senate and the Committee on Small

			 Business of the House of Representatives a report assessing the impact of the

			 change in fees under subsection (a)(3) in fostering economic

			 development.</text>

			</subsection><subsection commented="no" display-inline="no-display-inline" id="idD4307EEC7024417A850061C6FBF3AD55"><enum>(c)</enum><header>Effective

			 Date</header><text display-inline="yes-display-inline">The amendments made by

			 subsection (a) shall take effect and apply to loans approved under the 504 Loan

			 Program, on or after the date that is 30 days after the date of enactment of

			 this Act.</text>

			</subsection><subsection commented="no" display-inline="no-display-inline" id="ID1991f0cf1c114f8a9a4e70fd75b89cf1"><enum>(d)</enum><header>Recomputation</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law,

			 the Administrator shall recalculate the amount of the fee to be paid by a

			 borrower under section 503(b)(7) of the Small Business Investment Act of 1958

			 (15 U.S.C. 697(b)(7)) such that the cost of making guarantees under the 504

			 Loan Program is zero after the effective date under subsection (c).</text>

			</subsection></section><section commented="no" display-inline="no-display-inline" id="IDd779fb0d13184f5bad72d6eeb89060f6" section-type="subsequent-section"><enum>14.</enum><header>Additional equity

			 injections</header><text display-inline="no-display-inline">Section

			 502(3)(B)(ii) of the Small Business Investment Act of 1958 (15 U.S.C.

			 696(3)(B)(ii)) is amended to read as follows:</text>

			<quoted-block display-inline="no-display-inline" id="idD76931436E464AB281A064929EF25914" style="OLC">

				<clause commented="no" display-inline="no-display-inline" id="ID5c1ba76a3b084c34800fe8af47bc32df"><enum>(ii)</enum><header>Funding from

				institutions</header><text display-inline="yes-display-inline">If a small

				business concern that is required to provide a contribution under clause (i),

				(ii) or (iii) of subparagraph (C)—</text>

					<subclause commented="no" display-inline="no-display-inline" id="IDa83ea76cdbd14a3e90589ae4b567318e"><enum>(I)</enum><text display-inline="yes-display-inline">provides the minimum amount required under

				such subparagraph, not less than 50 percent of the total cost of the project

				shall come from financing provided by an institution described in subclause

				(I), (II), or (III) of clause (i) of this subparagraph; or</text>

					</subclause><subclause commented="no" display-inline="no-display-inline" id="IDb0259bf4791b4f96841a210306a8992e"><enum>(II)</enum><text display-inline="yes-display-inline">provides more than the minimum amount

				required under such subparagraph, any contribution in excess of such minimum

				amount may be used to reduce the amount required from an institution described

				in subclause (I), (II), or (III) of clause (i) of this subparagraph, except

				that the amount from such institution may not be reduced to an amount equal to

				or less than the amount of the loan made by the

				Administrator.</text>

					</subclause></clause><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="IDcd67be9697d1478b85bf0588b1f4cc84" section-type="subsequent-section"><enum>15.</enum><header>Loan

			 liquidations</header><text display-inline="no-display-inline">Section 510 of

			 the Small Business Investment Act of 1958 (15 U.S.C. 697g) is amended—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="idA70A397D5313414BBAFF679D54584369"><enum>(1)</enum><text display-inline="yes-display-inline">by redesignating subsection (e) as

			 subsection (g); and</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id08E5232825F4470DB63A1FCBA5D5811C"><enum>(2)</enum><text display-inline="yes-display-inline">by inserting after subsection (d) the

			 following::</text>

				<quoted-block display-inline="no-display-inline" id="idF4197A92953E4D88909096503530C399" style="OLC">

					<subsection commented="no" display-inline="no-display-inline" id="ID463838c834ad47a3b409478a1a93fab7"><enum>(e)</enum><header>Participation</header>

						<paragraph commented="no" display-inline="no-display-inline" id="ID0eae3cb696c9467daf21427c4a94b4f1"><enum>(1)</enum><header>Mandatory</header>

							<subparagraph commented="no" display-inline="no-display-inline" id="id9F856126EF3F40F984E67FA4FF700CED"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">Any certified

				development company that elects not to apply for authority to foreclose and

				liquidate defaulted loans under this section, or that the Administrator

				determines to be ineligible for such authority, shall contract with a

				third-party to perform foreclosure and liquidation of defaulted loans in its

				portfolio.</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id14717AAC30B44A4D88ABBC0BDAAF90ED"><enum>(B)</enum><header>Approval of

				qualifications and terms</header><text display-inline="yes-display-inline">A

				contract under subparagraph (A) shall be contingent upon approval by the

				Administrator of the qualifications of the contractor and the terms and

				conditions of liquidation activities.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDd3d810d3c6f841c3bed391b8d6468d6d"><enum>(2)</enum><header>Commencement</header><text display-inline="yes-display-inline">This subsection shall not require any

				certified development company to liquidate defaulted loans until after the date

				on which the Administrator implements a program to compensate and reimburse

				certified development companies under subsection (f).</text>

						</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ID1cc21fda075b42fdab2d805db37d630c"><enum>(f)</enum><header>Compensation

				and reimbursement</header>

						<paragraph commented="no" display-inline="no-display-inline" id="IDd7476ac82ed141c9821338d3f05e18cc"><enum>(1)</enum><header>Reimbursement

				of expenses</header><text display-inline="yes-display-inline">The Administrator

				shall reimburse each certified development company for all expenses paid by

				such company as part of foreclosure and liquidation activities if the

				expenses—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="ID15d5221f75d64edaab978962ee9e2c42"><enum>(A)</enum><text display-inline="yes-display-inline">were approved in advance by the

				Administrator, either specifically or generally; or</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="IDf5155158d46b403087144f555f22bdaa"><enum>(B)</enum><text display-inline="yes-display-inline">were incurred by the certified development

				company on an emergency basis without prior approval from the Administrator, if

				the Administrator determines that the expenses were reasonable and

				appropriate.</text>

							</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDd6e3e956d2a44c94ab00cb68d884d63d"><enum>(2)</enum><header>Compensation

				for results</header><text display-inline="yes-display-inline">The Administrator

				shall develop a schedule to compensate and provide an incentive to certified

				development companies that foreclose and liquidate defaulted loans, which

				schedule shall—</text>

							<subparagraph commented="no" display-inline="no-display-inline" id="idE23EB932D9D5424BA370262076A99BBA"><enum>(A)</enum><text display-inline="yes-display-inline">be based on a percentage of the net amount

				recovered;</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id25AB4914979B4F5597712ACECD067268"><enum>(B)</enum><text display-inline="yes-display-inline">not exceed a maximum amount; and</text>

							</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idE21B9D10FA6B4891883DD9D86168F61E"><enum>(C)</enum><text display-inline="yes-display-inline">not apply to any foreclosure which is

				conducted under a contract between a development company and a qualified

				third-party to perform the foreclosure and

				liquidation.</text>

							</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

			</paragraph></section><section commented="no" display-inline="no-display-inline" id="ID20f0fea8d4e14f04ac358741d32f7c7b" section-type="subsequent-section"><enum>16.</enum><header>Closing

			 costs</header><text display-inline="no-display-inline">Section 503(b)(4) of the

			 Small Business Investment Act of 1958 (15 U.S.C. 697(b)(4)) is amended to read

			 as follows:</text>

			<quoted-block display-inline="no-display-inline" id="id056DD0ECD0EB4CFFA4A35959DAE44BAE" style="OLC">

				<paragraph commented="no" display-inline="no-display-inline" id="ID3a5311916935436093aef8b15db0f6a7"><enum>(4)</enum><text display-inline="yes-display-inline">the aggregate amount of such debenture does

				not exceed the amount of the loans to be made from the proceeds of such

				debenture plus, at the election of the borrower, other amounts attributable to

				the administrative and closing costs of such loans, except for the attorney

				fees of the

				borrower;</text>

				</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="IDce9699c82e734dd58b0f4667ba713856" section-type="subsequent-section"><enum>17.</enum><header>Maximum 504 and 7(a)

			 loan eligibility</header><text display-inline="no-display-inline">Section

			 502(2) of the Small Business Investment Act of 1958 (15 U.S.C. 696(2)) is

			 amended by adding at the end the following:</text>

			<quoted-block display-inline="no-display-inline" id="id9684C4EB36AF4D36AEE28A92AF645C9E" style="OLC">

				<subparagraph commented="no" display-inline="no-display-inline" id="IDf5fcf522873d47579f53955e326657af"><enum>(C)</enum><header>Combination

				financing</header><text display-inline="yes-display-inline">Financing under the

				504 Loan Program may be provided to a borrower in the maximum amount provided

				in this subsection, and a loan guarantee under section 7(a) of the Small

				Business Act may be provided to the same borrower, up to the maximum amount

				provided in section 7(a)(3)(A) of such

				Act.</text>

				</subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="ID4d4b9341ddc543fd8714659d85a751c9" section-type="subsequent-section"><enum>18.</enum><header>Technical

			 correction</header><text display-inline="no-display-inline">Section 501(e)(2)

			 of the Small Business Investment Act of 1958 (15 U.S.C. 695(e)(2)) is amended

			 by striking <quote>outstanding</quote>.</text>

		</section><section commented="no" display-inline="no-display-inline" id="idE20822F2B3A4465F896AF7426BFFA516" section-type="subsequent-section"><enum>19.</enum><header>Premier Certified

			 Lenders Program report</header>

			<subsection commented="no" display-inline="no-display-inline" id="idE2C846B0EEB146609B7CA8F863D72E85"><enum>(a)</enum><header>In

			 general</header><text display-inline="yes-display-inline">Not later than 90

			 days after the date of enactment of this Act, the Administrator shall submit to

			 the Committee on Small Business and Entrepreneurship of the Senate and the

			 Committee on Small Business of the House of Representatives a report regarding

			 the operation of the Premier Certified Lenders Program, during the 3-year

			 period ending on the date of enactment of this Act.</text>

			</subsection><subsection commented="no" display-inline="no-display-inline" id="id8ADBE7CD0B904AA881E8E59AED125013"><enum>(b)</enum><header>Contents</header><text display-inline="yes-display-inline">The report submitted under subsection (a)

			 shall—</text>

				<paragraph commented="no" display-inline="no-display-inline" id="idC5141ABD6FF44D59B8318EEE79A248EB"><enum>(1)</enum><text display-inline="yes-display-inline">include the number of loans made under the

			 Premier Certified Lenders Program;</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idBC88271D6FCD4D46B51877DA2670D0EC"><enum>(2)</enum><text display-inline="yes-display-inline">describe any difficulties encountered in

			 making such loans; and</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id48BBCDEAFCB04FD4AD3C91EA39F54EE9"><enum>(3)</enum><text display-inline="yes-display-inline">make recommendations, if any, regarding how

			 to increase the number of loans made under the Premier Certified Lenders

			 Program or streamline such program.</text>

				</paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="ID8f471312d8514d60b52c6f29da92edf9" section-type="subsequent-section"><enum>20.</enum><header>Regulations</header><text display-inline="no-display-inline">The Administrator shall—</text>

			<paragraph commented="no" display-inline="no-display-inline" id="idA78E31D13EE74DA48A9A93F73BE518C6"><enum>(1)</enum><text display-inline="yes-display-inline">publish proposed regulations to implement

			 this Act and the amendments made by this Act not later than 120 days after the

			 date of enactment of this Act; and</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id4B62C71673A4435EA51121149F6DFEFD"><enum>(2)</enum><text display-inline="yes-display-inline">publish such regulations in final form not

			 later than 120 days after the date on which proposed regulations are published

			 under paragraph (1).</text>
