		<official-title>To add the heads of certain Federal intelligence agencies

		  to the Committee on Foreign Investment in the United States, to require

		  enhanced notification to Congress and for other purposes.</official-title>

		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short

			 title</header><text display-inline="no-display-inline">This Act may be cited as

			 the <quote><short-title>U.S. National Security Protection

			 Act of 2006</short-title></quote>.</text>

		</section><section id="id646C41C9B2B44336894851B55E058215"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">As used in this Act—</text>

			<paragraph id="idB40043F48A4E49FA86547DA6819BA31A"><enum>(1)</enum><text>the term

			 <quote>Committee on Foreign Investment in the United States</quote> or

			 <quote>CFIUS</quote> means the committee established by the President under

			 Executive Order 11858, May 7, 1975, and any successor thereto; and</text>

			</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id1A486B5978D047B993476B8DAC0D8AE6"><enum>(2)</enum><text>the term

			 <quote>intelligence community</quote> has the same meaning as in section 3(4)

			 of the National Security Act of 1947 (50 U.S.C. 401a(4)).</text>

			</paragraph></section><section id="idFA4D2120876E4F15AC7EBA48E03A1D33"><enum>3.</enum><header>Committee on

			 foreign investment in the United States</header>

			<subsection id="idD2B2954E1D4C46F0995A8DAD028426E0"><enum>(a)</enum><header>CFIUS

			 membership</header>

				<paragraph id="idB1E33775B12D47CC8C80DB68B69FCCA0"><enum>(1)</enum><header>Directors of

			 National intelligence and central intelligence</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law,

			 the Director of National Intelligence and the Director of Central Intelligence

			 shall be members of the Committee on Foreign Investment in the United

			 States.</text>

				</paragraph><paragraph id="idCC1C52E2E3204623AA27F39E1C81118D"><enum>(2)</enum><header>Vice

			 chairs</header><text display-inline="yes-display-inline">The Secretary of

			 Homeland Security and the Secretary of Defense shall serve as vice chairs of

			 the Committee on Foreign Investment in the United States.</text>

				</paragraph></subsection><subsection id="id5FDF6B3E114B4392960C7C826FE118D0"><enum>(b)</enum><header>Subcommittee on

			 Intelligence</header><text>Not later than 30 days after the date of enactment

			 of this Act, the President shall establish within the Committee on Foreign

			 Investment in the United States a Subcommittee on Intelligence, which shall

			 be—</text>

				<paragraph id="idB5FB1112A806444C8B23D55EB8A389EF"><enum>(1)</enum><text>chaired by the

			 Director of National Intelligence; and</text>

				</paragraph><paragraph id="id2CD33CF1B7384451B37969737BA03EB4"><enum>(2)</enum><text>comprised of the

			 head of each member of the intelligence community.</text>

				</paragraph></subsection></section><section id="id59917A586AD447E98F467332A740D748"><enum>4.</enum><header>Subcommittee

			 Review of CFIUS Investigations</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of

			 1950 (50 U.S.C. App. 2170) is amended by adding at the end the

			 following:</text>

			<quoted-block display-inline="no-display-inline" id="id141B6CA493FE4296AFEED97A4CCD71CD" style="OLC">

				<subsection commented="no" display-inline="no-display-inline" id="idB804163BEF8C45BAB938AA13D62FB562"><enum>(l)</enum><header>Intelligence

				Subcommittee Reviews of investigations</header>

					<paragraph commented="no" display-inline="no-display-inline" id="idD0F6D093198640CBBBEFD26DB14DB4A7"><enum>(1)</enum><header>Pre-investigation

				review and comment</header><text>The Subcommittee on Intelligence of the

				Committee on Foreign Investment in the United States shall—</text>

						<subparagraph commented="no" display-inline="no-display-inline" id="idE46B02A6F1C5489C8AB1649BAEEF4E6E"><enum>(A)</enum><text>review

				information relating to a proposed merger, acquisition, or takeover, during the

				15-day period following the date of receipt of such information, and before the

				commencement of any investigation under subsection (a) or (b); and</text>

						</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idA4663173A9724E81A1354AAA6D6434C1"><enum>(B)</enum><text>provide written

				comments on any determination by the President or CFIUS not to conduct an

				investigation under subsection (a).</text>

						</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idAB7FEEEC8280444B93BB25D3A214EBEF"><enum>(2)</enum><header>Post-investigation

				review and comment</header><text>The Subcommittee on Intelligence of the

				Committee on Foreign Investment in the United States shall—</text>

						<subparagraph commented="no" display-inline="no-display-inline" id="id4D89DA096FA245B599A879CEA640CE89"><enum>(A)</enum><text>review each

				investigation conducted by the President or CFIUS under subsections (a) and

				(b); and</text>

						</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idE5CDDD100D6543869A0C4AD780CB8110"><enum>(B)</enum><text>provide written

				comments on the results of each such

				investigation.</text>

						</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section id="id0343A5D05948434C9F9F6051C0845344"><enum>5.</enum><header>Treatment of

			 critical infrastructure as affecting national security</header><text display-inline="no-display-inline">Section 721(b) of the Defense Production Act

			 of 1950 (50 U.S.C. App. 2170(b)) is amended by inserting after <quote>commerce

			 in the United States</quote> the following: <quote>, including any person that

			 owns, controls, or operates any critical infrastructure, as defined in section

			 1016(e) of the USA PATRIOT Act (42 U.S.C. 5195c(e)),</quote>.</text>

		</section><section commented="no" display-inline="no-display-inline" id="idF3BE662E6EC64366962C3AC94387287E"><enum>6.</enum><header>Certification of

			 national security determinations</header>

			<quoted-block display-inline="no-display-inline" id="idF0AF0239FD6C4CEC895C90E7FD31B8E1" style="OLC">

				<subsection commented="no" display-inline="no-display-inline" id="idCEF97976421D424EA9E7F9F4248E77FF"><enum>(m)</enum><header>Presidential or

				chair certification of threat determinations</header>

					<paragraph commented="no" display-inline="no-display-inline" id="id92CEFA8B66DA4686B314C45B11B51EC9"><enum>(1)</enum><header>In

				general</header><text>Notwithstanding any other provision of law, a final

				determination that an investigation under subsection (a) is not required with

				respect to a merger, acquisition, or takeover may be made only—</text>

						<subparagraph commented="no" display-inline="no-display-inline" id="id8E3FAD588B7E4C44B0B7CE895251AD5B"><enum>(A)</enum><text>by the President,

				in any case in which the President is acting on the President's own behalf

				under subsection (a); or</text>

						</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3AED5F21567147CFB5A437A7029E90FE"><enum>(B)</enum><text>by the Secretary

				of the Treasury, with the concurrence of the Secretary of Homeland Security and

				the Secretary of Defense, in their respective capacities as chair and vice

				chairs of CFIUS, in any case in which CFIUS is acting as the President's

				designee under subsection (a).</text>

						</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id491942DF840248F59736195CCAC153AA"><enum>(2)</enum><header>Certifications

				required</header>

						<subparagraph commented="no" display-inline="no-display-inline" id="id05F1A14BB901454F865283B1AE2F4542"><enum>(A)</enum><header>Presidential

				determinations</header><text>In any instance in which the President is acting

				on his or her own behalf under subsection (a), the President shall certify in

				writing to a final determination that an investigation under subsection (a) is

				not required with respect to a merger, acquisition, or takeover, and such

				certification requirement may not be delegated to any person.</text>

						</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5348D3FEC9EB403EA3D2D462C1846866"><enum>(B)</enum><header>CFIUS

				determinations</header><text>In any instance in which CFIUS is acting as the

				President's designee under subsection (a), the Secretary of the Treasury, the

				Secretary of Homeland Security, and the Secretary of Defense shall each certify

				in writing to a final determination that an investigation under subsection (a)

				is not required with respect to a merger, acquisition, or takeover, and such

				certification requirement may not be delegated to any person.</text>

						</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id03ADCAD8AE864E44ABD9281F3A32CA22"><enum>(3)</enum><header>Nonconcurrence</header><text>If

				there is not concurrence among the chair and vice chairs of CFIUS for purposes

				of paragraph (1)(B), the President shall make the final determination that an

				investigation under subsection (a) is not required with respect to a merger,

				acquisition, or takeover, and the President shall certify such determination in

				writing.</text>

					</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section commented="no" display-inline="no-display-inline" id="id60A103A27EAA4574961E9B9703AB33EF"><enum>7.</enum><header>Mandatory

			 submission of information</header><text display-inline="no-display-inline">Section 721(c) of the Defense Production Act

			 of 1950 (50 U.S.C. App. 2170(c)) is amended—</text>

			<paragraph id="id0E3CCF3726974FE995A48F87F6BB10AA"><enum>(1)</enum><text>in the subsection

			 heading, by striking <quote><header-in-text level="subsection" style="OLC">Confidentiality of</header-in-text></quote> and inserting

			 <quote><header-in-text level="subsection" style="OLC">Submission

			 of</header-in-text></quote>;</text>

			</paragraph><paragraph id="idE0D958B044B04964806CB1DD314E5EEA"><enum>(2)</enum><text>by striking

			 <quote>Any information or documentary material filed</quote> and inserting the

			 following:</text>

				<quoted-block display-inline="no-display-inline" id="id99FACD56C635428DBD6295FF2A70B85B" style="OLC">

					<paragraph commented="no" display-inline="no-display-inline" id="id0A4CCEDB01C346AD8462256A23AF1B95"><enum>(1)</enum><header>Required

				submissions</header><text display-inline="yes-display-inline">Each person

				controlled by or acting on behalf of a foreign government or foreign person

				shall—</text>

						<subparagraph commented="no" display-inline="no-display-inline" id="idAA9C4DB87C0A4A158E95F029713F9238"><enum>(A)</enum><text display-inline="yes-display-inline">notify the President or the President's

				designee in writing of any proposed merger, acquisition, or takeover of any

				United States critical infrastructure (as defined in section 1016(e) of the USA

				PATRIOT Act (42 U.S.C. 5195c(e))); and</text>

						</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idEC069379517848278331DDBC75D65262"><enum>(B)</enum><text display-inline="yes-display-inline">provide such information to the President

				or the President's designee with respect to such proposed transaction as may be

				necessary for purposes of this section.</text>

						</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id139D4CC2E678476AAEAFA0099264657F"><enum>(2)</enum><header>Confidentiality

				of information</header><text>Any information or documentary material filed,

				either voluntarily or under paragraph

				(1),</text>

					</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

			</paragraph></section><section id="id61EA97B2BF954D04945EABEB5DE38013"><enum>8.</enum><header>Notices of

			 reviews and investigations and Quarterly reports required</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of

			 1950 (50 U.S.C. App. 2170) is amended by adding at the end the

			 following:</text>

			<quoted-block act-name="" display-inline="no-display-inline" id="id5A36C1D78DBD4C2CBA31607815832DB2" style="OLC">

				<subsection id="idD26C3B8022A04D0380ABEE5F2C13D10E"><enum>(n)</enum><header>Notices of

				Reviews and investigations and quarterly Reports to Congress</header>

					<paragraph id="idD3FAE3079D564D6A89CCA265E3B98BE5"><enum>(1)</enum><header>Notices to

				congress</header><text>The President or the President's designee shall notify

				the appropriate committees of Congress—</text>

						<subparagraph id="idAFF30308B7364BFBBCB03579D6EE360C"><enum>(A)</enum><text>not later than 15

				days after the date of receipt of written notification of a proposed or pending

				merger, acquisition, or takeover described in subsection (a) or (b); and</text>

						</subparagraph><subparagraph id="id08740419FCB84EBBB66599318A85AB86"><enum>(B)</enum><text>at the

				commencement of each investigation under subsection (a) or (b).</text>

						</subparagraph></paragraph><paragraph id="id7CA467D7485043EAB57880B27F15D69D"><enum>(2)</enum><header>Quarterly

				reports to congress</header>

						<subparagraph id="idCBD15699FD4D49499BE51B2750489C97"><enum>(A)</enum><header>In

				general</header><text>The President shall, on a quarterly basis, submit to

				Congress a report on all mergers, acquisitions, and takeovers that were the

				subject of investigation or review under this section during the quarter,

				including any comments submitted under subsection (l)(2).</text>

						</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id9AD85FDA567847A9A38E53BBD401F7EF"><enum>(B)</enum><header>Form</header><text>Each

				report required under subparagraph (A) may be submitted in unclassified form,

				and may contain a classified

				annex.</text>

						</subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section id="id584CB716619748C6B52AD5191626C63B"><enum>9.</enum><header>CFIUS as

			 President's designee under defense production act</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of

			 1950 (50 U.S.C. App. 2170) is amended by adding at the end the

			 following:</text>

			<quoted-block display-inline="no-display-inline" id="idE42315C656BD4BBE81F0065F850E0A0F" style="OLC">

				<subsection commented="no" display-inline="no-display-inline" id="idE2B6BA84AA1B477FA9F87998942E5061"><enum>(o)</enum><header>Designee</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law,

				the President's designee for purposes of this section shall be the Committee on

				Foreign Investment in the United States, established by order of the President

				in Executive Order 11858, May 7, 1975 (in this section referred to as

				<quote>CFIUS</quote>), or any successor

				thereto.</text>

				</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
