		<official-title>To clarify the role of the Director of National

		  Intelligence, amend the Defense Production Act of 1950 to clarify the

		  notification and investigation requirements, and for other

		  purposes.</official-title>

		<section id="id937C88202BAF4AC687262C42364A30C3" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the

			 <quote><short-title>Smart and Secure Foreign Investment

			 Act</short-title></quote>.</text>

		</section><section id="id674443575CB94E37BF3760C7EDFBE2C3"><enum>2.</enum><header>Director of

			 National Intelligence</header><text display-inline="no-display-inline">Section

			 102A(a) of the National Security Act of 1947 (50 U.S.C 403–1(a)) is amended by

			 adding at the end the following:</text>

			<quoted-block display-inline="no-display-inline" id="idB8D30476DA2B4F569D16F907DD35D587" style="OLC">

				<paragraph id="idA4E7AA8795754326A02F3985DEAAFCB4" indent="up1"><enum>(3)</enum><text display-inline="yes-display-inline">The Director of National Intelligence

				shall—</text>

					<subparagraph id="id774ECA43154D4BF5BFA4D7DACC3B1ADF"><enum>(A)</enum><text display-inline="yes-display-inline">assist the President in conducting

				investigations under section 721(b) of the Defense Production Act of 1950 (50

				U.S.C. App. 2170(b);</text>

					</subparagraph><subparagraph id="id3BDABF727A564A9D8D959751666B5BC6"><enum>(B)</enum><text>serve as a member of the Committee on

				Foreign Investment in the United States (or any successor committee);

				and</text>

					</subparagraph><subparagraph id="id926CE804037B48478513D5DA5D70AF50"><enum>(C)</enum><text>certify to the President and the

				Committee that there are no national security implications in connection with a

				proposed merger, acquisition, or takeover described in section 721(b) of the

				Defense Production Act of 1950 before the proposed merger, acquisition, or

				takeover is reviewed by the

				Committee.</text>

					</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

		</section><section id="id22CC367CE0794B809A7E565236F34BA7"><enum>3.</enum><header>Defense

			 production act</header>

			<subsection id="id5B1D242ECA804A928EA92BF944CF53EF"><enum>(a)</enum><header>In

			 general</header><text display-inline="yes-display-inline">Section 721 of the

			 Defense Production Act of 1950 (50 U.S.C. App. 2170) is amended—</text>

				<paragraph id="idBAC1C6F4D6A24397AA49968E623D394E"><enum>(1)</enum><text>by redesignating

			 subsections (g) through (k) as subsections (i) and (m), respectively;

			 and</text>

				</paragraph><paragraph id="id9BE9B99244D84F6D8CF601E9E537B8C9"><enum>(2)</enum><text>by inserting

			 after subsection (f) the following:</text>

					<quoted-block display-inline="no-display-inline" id="id3FE4972036B145118E92A83785C08977" style="OLC">

						<subsection id="id6304203C41594C95ADCDEDE21B0C1B82"><enum>(g)</enum><header>Notification

				and investigation</header>

							<paragraph id="id4F5A48360C214130B94D306B236E8ED6"><enum>(1)</enum><header>Notification</header>

								<subparagraph id="idDB40AFD8DC834214B38190C2796A11A9"><enum>(A)</enum><header>In

				general</header><text>Any entity described in subparagraph (B) shall notify the

				President at least 60 days before a proposed merger, acquisition, or takeover

				described in subparagraph (B)(ii).</text>

								</subparagraph><subparagraph id="idC35BA2EA5FE44DB4A1FF5A65DF4C5429"><enum>(B)</enum><header>Entity

				described</header><text>An entity described in this subparagraph is an entity

				that—</text>

									<clause id="id159A5DEA002D49B1B684F155E4D03742"><enum>(i)</enum><text>is controlled by,

				or acting on behalf of, a foreign government; and</text>

									</clause><clause id="id2867FADD4EE9474E9F66624B56331A5B"><enum>(ii)</enum><text>seeks to engage

				in a merger, acquisition, or takeover of a United States entity or any other

				entity that has energy assets valued at $1,000,000,000 or more or that operates

				a critical infrastructure, if that merger, acquisition, or takeover could

				result in control of a person engaged in interstate commerce in the United

				States that could affect the national security of the United States.</text>

									</clause></subparagraph></paragraph><paragraph id="idAE199C009036407CAE652387859243B5"><enum>(2)</enum><header>Investigation</header><text>A

				mandatory investigation under subsection (b) shall be required in the case of a

				merger, acquisition, or takeover described in paragraph (1)(B)(ii) by an entity

				described in paragraph (1)(B).</text>

							</paragraph></subsection><subsection id="id994FC2B7AD6E4DE3976E41B4091591AC"><enum>(h)</enum><header>President's

				designee defined</header><text>In this section, the term <quote>President's

				designee</quote> means the Secretary of Commerce, the Secretary of Defense, the

				Secretary of Homeland Security, the Secretary of State, the Secretary of the

				Treasury, the Attorney General, the Director of National Intelligence, and

				appropriate employees of the Executive Office of the

				President.</text>

						</subsection><after-quoted-block>.</after-quoted-block></quoted-block>

				</paragraph></subsection><subsection id="idC4C13FA6044D4272928EC12235C3D8C8"><enum>(b)</enum><header>Notification</header><text>Section

			 721(i) of the Defense Production Act of 1950 (50 U.S. C. App. 2170(i)), as

			 redesignated by subsection (a)(1), is amended—</text>

				<paragraph id="id0D8C50671B6047589146ED73F2666385"><enum>(1)</enum><text>by striking

			 <quote>The President</quote> and inserting the following: <quote>(1)

			 <header-in-text level="paragraph" style="OLC">Report on

			 action.—</header-in-text>The President</quote>; and</text>

				</paragraph><paragraph id="id40D838568E9D47A58F1034B77102845A"><enum>(2)</enum><text>by adding at the

			 end the following:</text>

					<quoted-block display-inline="no-display-inline" id="id85DD5335AF75476EBD54A429352EAC94" style="OLC">

						<paragraph id="idF426DF3C726245DBB3DB1B083C1953DB"><enum>(2)</enum><header>Report on

				notification</header><text>The President shall immediately transmit to the

				Secretary of the Senate and the Clerk of the House of Representatives and to

				appropriate State officials written notification as soon as the President

				receives a notification under subsection (b) or (g).</text>

						</paragraph><paragraph id="idAD1A5C8009A844F8A1C423C869D3885D"><enum>(3)</enum><header>Public

				hearings</header><text>The President shall hold public hearings on any proposed

				merger, acquisition, or takeover described in subsection (b) or

				(g)(1).</text>

						</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

				</paragraph></subsection><subsection id="id2B34E0DAFE9E48B1AA81C7715CDB2955"><enum>(c)</enum><header>Factors

			 <enum-in-header>T</enum-in-header>o Be considered</header><text>Section 721(f)

			 of the Defense Production Act of 1950 (50 U.S.C. App. 2170(f)) is

			 amended—</text>

				<paragraph id="id9B465B91A12E4B65A7FAEA1745F8A858"><enum>(1)</enum><text>by striking

			 <quote>and</quote> at end of paragraph (4);</text>

				</paragraph><paragraph id="id33E89F4F534C41DB9D822182B71CE96C"><enum>(2)</enum><text>by striking the

			 period at the end of paragraph (5) and inserting <quote>;</quote>; and</text>

				</paragraph><paragraph id="id0DFD04B34F604AD28B04A4070E7A4BF5"><enum>(3)</enum><text>by adding at the

			 end the following:</text>

					<quoted-block display-inline="no-display-inline" id="idA6E2CB77F4F945A6856952E938F82BCB" style="OLC">

						<paragraph id="id67E9811F780E4F5AACCF59EADB79A1DB"><enum>(6)</enum><text>the robust and

				expanding defense capabilities of the country in which the acquiring entity is

				located; and</text>

						</paragraph><paragraph id="idFA7062DA0C8645C9A576D910339C9756"><enum>(7)</enum><text>the nature of the

				bilateral relationship of the United states with the country in which the

				acquiring entity is

				located.</text>
