		<official-title display="yes">To provide for an economic analysis of the

		  impact on small business concerns and small governmental jurisdictions of

		  agency and other decisions that result in a net loss of at least 1,000 jobs,

		  and for other purposes.</official-title>

		<section commented="no" display-inline="no-display-inline" id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the

			 <quote><short-title>Small Business Economic Impact

			 Analysis Act of 2005</short-title></quote>.</text>

		</section><section commented="no" display-inline="no-display-inline" id="id682927AAEB2E4C2F9A8C968E55E05A67" section-type="subsequent-section"><enum>2.</enum><header>Agency restructuring

			 or termination of use of facility</header>

			<subsection commented="no" display-inline="no-display-inline" id="idFDA53C3A3C3C4D6CBDE5D5F8B3DBCA9E"><enum>(a)</enum><header>In

			 general</header><text display-inline="yes-display-inline">The Small Business

			 Act (15 U.S.C. 631 et seq.) is amended—</text>

				<paragraph commented="no" display-inline="no-display-inline" id="id7717B535A2C1498A9841AEA80E4181EE"><enum>(1)</enum><text display-inline="yes-display-inline">by redesignating section 37 as section 38;

			 and</text>

				</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id13F3BF10BFF142999B9047E3D8E21055"><enum>(2)</enum><text display-inline="yes-display-inline">by inserting after section 36 the

			 following:</text>

						<section commented="no" display-inline="no-display-inline" id="id231CF37814CE424A924210019A600BBB" section-type="subsequent-section"><enum>37.</enum><header>Agency restructuring

				or termination of use of facility</header>

							<subsection commented="no" display-inline="no-display-inline" id="idC7F2EFF964874200B4163691BB56097A"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">As used in this section, the following

				definitions apply:</text>

								<paragraph commented="no" display-inline="no-display-inline" id="id980D9E9449AD4D989389E0413321FBF4"><enum>(1)</enum><header>Agency</header><text display-inline="yes-display-inline">The term <term>agency</term> has the

				meaning given the term in section 551(1) of title 5, United States Code.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id525FD16F3523488887453DEF3DF1A7E9"><enum>(2)</enum><header>Qualifying

				termination or restructuring</header><text display-inline="yes-display-inline">The term <term>qualifying termination or

				restructuring</term> means any termination of the use of a facility or

				restructuring that will result in the net loss of at least 1,000 governmental

				and nongovernmental jobs in any State.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id157B63770A7842D4AD84192EBEF8955B"><enum>(3)</enum><header>Restructuring</header><text display-inline="yes-display-inline">The term <term>restructuring</term> means

				any action by an agency that both reduces and relocates functions and

				personnel, but does not include a reduction in personnel resulting from

				workload adjustments, reduced funding levels, or skill imbalances.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idBAF9977F73AC45D790B6F3025D09A381"><enum>(4)</enum><header>Small

				governmental jurisdiction</header><text display-inline="yes-display-inline">The

				term <term>small governmental jurisdiction</term> has the meaning given the

				term in section 601(5) of title 5, United States Code.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id3A69A73948F34F789DE6D271C496B65B"><enum>(5)</enum><header>State</header><text display-inline="yes-display-inline">The term <term>State</term> means each of

				the several States of the United States, the District of Columbia, and the

				Commonwealth of Puerto Rico.</text>

								</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idFE1D2F4430BC4B47AEB50C84778E80BC"><enum>(b)</enum><header>General

				requirement</header>

								<paragraph commented="no" display-inline="no-display-inline" id="idDA8C89F3A75C4F78BADA726D837F30E1"><enum>(1)</enum><header>Agencies</header><text display-inline="yes-display-inline">An agency may not make a qualified

				termination or restructuring until after complying with the requirements of

				subsections (c) through (e).</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id1B7C9F71AC1E4EBE835021C7D31F8A20"><enum>(2)</enum><header>Other

				entities</header><text display-inline="yes-display-inline">An entity that is

				statutorily authorized to recommend a qualified termination or restructuring

				may not finalize its recommendation until after complying with the requirements

				of subsections (c) through (e).</text>

								</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id900FCDCB78C246638423F37499450E8D"><enum>(c)</enum><header>Economic

				analysis</header>

								<paragraph commented="no" display-inline="no-display-inline" id="ID3754F942F19B45ECBEA76734FEE3B3E7"><enum>(1)</enum><header>Economic

				analysis required</header>

									<subparagraph commented="no" display-inline="no-display-inline" id="id6F9E2FD5B3A54DAABE489C1E1A867114"><enum>(A)</enum><header>Agencies</header><text display-inline="yes-display-inline">Prior to making any qualifying termination

				or restructuring, an agency shall conduct a detailed analysis of the impact on

				small business concerns and small governmental jurisdictions of the proposed

				termination or restructuring.</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id070BB59E95DD42BBB5D62E66254C817E"><enum>(B)</enum><header>Other

				entities</header><text display-inline="yes-display-inline">Prior to

				recommending a qualifying termination or restructuring, any entity statutorily

				authorized to make such recommendations shall conduct a detailed analysis of

				the impact on small business concerns and small governmental jurisdictions of

				the proposed termination or restructuring.</text>

									</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="IDFA82E45344414A729E023D7FACBCC39E"><enum>(2)</enum><header>Scope of

				economic analysis</header><text display-inline="yes-display-inline">The

				analysis required under paragraph (1) shall include—</text>

									<subparagraph commented="no" display-inline="no-display-inline" id="IDD886B353797C4BB4ABB40944C11121E8"><enum>(A)</enum><text display-inline="yes-display-inline">a description of the small business

				concerns and small governmental jurisdictions that will be affected by the

				proposed termination or restructuring and an estimate of the number of such

				small business concerns and small governmental jurisdictions;</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="IDB244013747CB421D954AA747A0C1F99F"><enum>(B)</enum><text display-inline="yes-display-inline">a description of the efforts by the agency

				or entity to minimize the significant adverse economic impact on small business

				concerns and small governmental jurisdictions of the proposed termination or

				restructuring; and</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="IDA681A1F43E8F469095CE40DFA274EED8"><enum>(C)</enum><text display-inline="yes-display-inline">a description of any alternative

				termination or restructuring that would reduce the overall impact of the

				proposed termination or restructuring on small business concerns, together with

				an explanation of the reasons for not proposing such alternative termination or

				restructuring.</text>

									</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ID1DC0C3C73D574C2F98FF76EA257FC210"><enum>(3)</enum><header>Cost-benefit

				analysis of impact on certain States</header>

									<subparagraph commented="no" display-inline="no-display-inline" id="id7EFA6C9081694492A6A160B56E9A9671"><enum>(A)</enum><header>In

				general</header><text display-inline="yes-display-inline">In conducting the

				analysis required under paragraph (1), the agency or entity shall also conduct,

				consistent with the principles stated in Office of Management and Budget

				Circular A–4 (September 17, 2003), a quantitative cost-benefit analysis of the

				economic impact upon small business concerns and small governmental

				jurisdictions of the proposed termination or restructuring in any State where

				the agency or entity determines the economic impact of such termination or

				restructuring would exceed $100,000,000.</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID14FCC8C5E5F34FD1BFE2C2E1C8B14D06"><enum>(B)</enum><header>Scope of

				cost-benefit analysis</header><text display-inline="yes-display-inline">In

				conducting a cost-benefit analysis under subparagraph (A), the agency or entity

				shall—</text>

										<clause commented="no" display-inline="no-display-inline" id="ID3411523AFF614E438DCB7DBB7E77D3D3"><enum>(i)</enum><text display-inline="yes-display-inline">evaluate and compare the costs and benefits

				to small business concerns and small governmental jurisdictions of the proposed

				termination or restructuring, quantifying and expressing in monetized values to

				the maximum extent possible such costs and benefits;</text>

										</clause><clause commented="no" display-inline="no-display-inline" id="ID93FDB542C2184FE1AD4D8F2845B39DDE"><enum>(ii)</enum><text display-inline="yes-display-inline">provide clearly stated alternatives to the

				proposed termination or restructuring; and</text>

										</clause><clause commented="no" display-inline="no-display-inline" id="ID934FB779D2CE4F5491E4818C246B05A9"><enum>(iii)</enum><text display-inline="yes-display-inline">prepare a summary report of the costs and

				benefits to small business concerns and small governmental jurisdictions of the

				termination or restructuring proposed under each such set of alternate

				proposals.</text>

										</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="ID14A18B4E3F504941910791ACDD28FE05"><enum>(C)</enum><header>Transparency of

				cost-benefit analysis</header>

										<clause commented="no" display-inline="no-display-inline" id="id7D00BA62F0354957A679AA135F675D2F"><enum>(i)</enum><header>In

				general</header><text display-inline="yes-display-inline">In conducting a

				cost-benefit analysis under subparagraph (A) or preparing a summary report

				under subparagraph (B)(iii), the agency or entity shall take measures to ensure

				the transparency of such actions, including the bases for making estimates and

				forming conclusions for purposes of such analysis or report.</text>

										</clause><clause commented="no" display-inline="no-display-inline" id="id37A8E0C217B04FDF95752A7303717FF8"><enum>(ii)</enum><header>Required

				measures</header><text display-inline="yes-display-inline">The measures an

				agency or entity takes to ensure transparency shall include—</text>

											<subclause commented="no" display-inline="no-display-inline" id="IDE677B9BBBE334EA29736971815171E89"><enum>(I)</enum><text display-inline="yes-display-inline">incorporating an executive summary;</text>

											</subclause><subclause commented="no" display-inline="no-display-inline" id="ID36BE756BE1C64252993133C8635D8EE6"><enum>(II)</enum><text display-inline="yes-display-inline">detailing the assumptions that were used in

				the analysis and the discount rates applied to future costs and

				benefits;</text>

											</subclause><subclause commented="no" display-inline="no-display-inline" id="ID9E75EC1917C742EA9B6DC87637B2DBE5"><enum>(III)</enum><text display-inline="yes-display-inline">specifically referencing all sources of

				data;</text>

											</subclause><subclause commented="no" display-inline="no-display-inline" id="IDD1F09E3AED83467D89270E18E183A4DF"><enum>(IV)</enum><text display-inline="yes-display-inline">providing appendices with documentation of

				any models used; and</text>

											</subclause><subclause commented="no" display-inline="no-display-inline" id="ID11F81F07B59E47D0B6DEF1A08C8BD5F3"><enum>(V)</enum><text display-inline="yes-display-inline">including the results of formal sensitivity

				and other uncertainty analyses.</text>

											</subclause></clause></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id355AA11A718A42B49CD4530D0C87F7BB"><enum>(d)</enum><header>Publication of

				economic analysis</header>

								<paragraph commented="no" display-inline="no-display-inline" id="idFC28C1B398D94839ABF03BC510AB7099"><enum>(1)</enum><header>Draft economic

				analysis</header><text display-inline="yes-display-inline">Not later than 180

				days before taking final action on a qualifying termination or restructuring,

				an agency or entity shall—</text>

									<subparagraph commented="no" display-inline="no-display-inline" id="id689526CD647E457BB6039EFEC80EE05E"><enum>(A)</enum><text display-inline="yes-display-inline">publish a draft of its economic analysis

				under subsection (c) on its website; and</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idCAF89FDA328143C1A7196FFD5BA818E0"><enum>(B)</enum><text display-inline="yes-display-inline">provide notice of the draft economic

				analysis in the Federal Register with at least a 60-day period for public

				comment.</text>

									</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id97FF9508AD4846378F472A8E7F5651E6"><enum>(2)</enum><header>Final economic

				analysis</header><text display-inline="yes-display-inline">After due

				consideration of any comments, the agency or entity shall publish—</text>

									<subparagraph commented="no" display-inline="no-display-inline" id="id1E574742DE144D7990B41888169026BD"><enum>(A)</enum><text display-inline="yes-display-inline">a final economic analysis on its web site;

				and</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id7F8E719CD79641B8AB8F0817626E62CE"><enum>(B)</enum><text display-inline="yes-display-inline">a notice regarding the final economic

				analysis in the Federal Register.</text>

									</subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id000538F7AA9F4F6AAED4EE8CC140F52B"><enum>(e)</enum><header>GAO

				Review</header>

								<paragraph commented="no" display-inline="no-display-inline" id="id7E2DC092BC45460D81B07B7620840FEA"><enum>(1)</enum><header>In

				general</header><text display-inline="yes-display-inline">After publishing the

				final economic analysis under subsection (d), an agency or entity shall submit

				its final economic analysis to the Comptroller General of the United States for

				review of the analysis.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="idE099401DA11B4866A86F5DD148508DF4"><enum>(2)</enum><header>Deadline</header><text display-inline="yes-display-inline">Not later than 90 days after receiving a

				final economic analysis under paragraph (1), the Comptroller General of the

				United States shall complete an analysis of the submission and publish a report

				regarding the sufficiency of the analysis.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id712DACED17374744987EA61CA9BEE5C4"><enum>(3)</enum><header>Revised

				economic analysis required upon determination of insufficient

				analysis</header><text display-inline="yes-display-inline">If the Comptroller

				General of the United States determines that the final economic analysis is

				insufficient, the agency or entity shall repeat the procedures required under

				subsections (c) and (d) and paragraph (1).</text>

								</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id8DD4D145B13044FB9E30A61BAF050D49"><enum>(f)</enum><header>Final

				action</header><text display-inline="yes-display-inline">An agency or entity

				may not take final action on a qualifying termination or restructuring until

				after receiving a satisfactory review from the Comptroller General of the

				United States under subsection (e).</text>

							</subsection><subsection commented="no" display-inline="no-display-inline" id="ID22B66D3D91F24943B661A730192C5645"><enum>(g)</enum><header>Judicial

				review</header>

								<paragraph commented="no" display-inline="no-display-inline" id="id4D8C8FBD88F044F1857A55C50AB4F583"><enum>(1)</enum><header>In

				general</header><text display-inline="yes-display-inline">Not later than 90

				days after the notice regarding the final economic analysis is published in the

				Federal Register under subsection (d)(2)(B), any small business concern or

				small governmental jurisdiction adversely affected or aggrieved by the

				qualifying termination or restructuring may file a petition for judicial review

				of the qualifying termination or restructuring with the United States Court of

				Appeals for the circuit in which the small business concern or small

				governmental jurisdiction is located.</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id57B901F9B0EA4579BF44B393D322B6F0"><enum>(2)</enum><header>Expedited

				review</header><text display-inline="yes-display-inline">The Court of Appeals

				shall provide for expedited review of a petition under paragraph (1).</text>

								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="id11C536FF0DCD4A53B869E003241F08EF"><enum>(3)</enum><header>Scope of

				review</header><text display-inline="yes-display-inline">Any review under

				paragraph (1) shall be limited to determining whether—</text>

									<subparagraph commented="no" display-inline="no-display-inline" id="idC5DD83C4ED934B9FB99586D0E6D858D8"><enum>(A)</enum><text display-inline="yes-display-inline">the qualifying termination or restructuring

				constitutes an agency action that is arbitrary, capricious, an abuse of

				discretion, or otherwise not in accordance with law; and</text>

									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0E9D5903F9A644AF80FB9A02255F9298"><enum>(B)</enum><text display-inline="yes-display-inline">the economic analysis under subsection (c)

				was

				insufficient.</text>

									</subparagraph></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>

				</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idD912BB152B2B4073A0F07054E148359B"><enum>(b)</enum><header>Applicability</header><text display-inline="yes-display-inline">The requirements of section 37 of the Small

			 Business Act, as added by subsection (a), shall apply to any qualifying

			 termination or restructuring (as that term is defined in subsection (a) of such

			 section) for which final action has not occurred as of the date of the

			 enactment of this Act.</text>
