			 <quote><short-title>Mutual Fund Transparency Act of

			 2005</short-title></quote>.</text>

		</section><section id="IDEFB5C88983A44238A943E95C18C0001D"><enum>2.</enum><header>Disclosure of

			 financial relationships between brokers and mutual fund companies</header>

			<subsection id="ID62CEA9C531C8498FAE14C379915763A2"><enum>(a)</enum><header>In

			 general</header><text><external-xref legal-doc="act" parsable-cite="SEA34/15(b)">Section 15(b)</external-xref> of the

			 <act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name>

			 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o(b)">15 U.S.C.

			 78o(b)</external-xref>) is amended by adding at the end the following:</text>

				<quoted-block act-name="Securities Exchange Act of 1934" id="IDFFD338895D3741DBA1B0A219F5E6074C">

					<paragraph id="ID5BAB899715744856ABC150C1EF7F24AF"><enum>(13)</enum><header>Confirmation

				of transactions for mutual funds</header>

						<subparagraph id="ID9CCD1B479AC44A1F80A79E3E0395CF5C"><enum>(A)</enum><header>In

				general</header><text>Each broker shall disclose in writing to customers that

				purchase the shares of an open-end company registered under section 8 of the

				<act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>

				(<external-xref legal-doc="usc" parsable-cite="usc/15/80a">15 U.S.C.

				80a</external-xref>–8)—</text>

							<clause id="ID1203633DC32946E39DE5149048C32EB6"><enum>(i)</enum><text>the amount of any

				compensation received or to be received by the broker in connection with such

				transaction from any sources; and</text>

							</clause><clause id="ID5144D3EB9696420CB0E62C6CEAD5AC17"><enum>(ii)</enum><text>such other

				information as the Commission determines appropriate.</text>

							</clause></subparagraph><subparagraph id="idF1C338D422784C57AB72881016C747A6"><enum>(B)</enum><header>Revenue

				sharing</header><text>The term <quote>compensation</quote> under subparagraph

				(A) shall include any direct or indirect payment made by an investment adviser

				(or any affiliate of an investment adviser) to a broker or dealer for the

				purpose of promoting the sales of securities of an open-end company.</text>

						</subparagraph><subparagraph id="id6FB10622C2714E55881463110D5F0C99"><enum>(C)</enum><header>Timing of

				disclosure</header><text>The disclosure required under subparagraph (A) shall

				be made to a customer not later than as of the date of the completion of the

				transaction.</text>

						</subparagraph><subparagraph id="ID981DD35D3A4D49A0A275154085C291D3"><enum>(D)</enum><header>Limitation</header><text>The

				disclosures required under subparagraph (A) may not be made exclusively

				in—</text>

							<clause id="IDC7A60879B8F1453CA9E442339B37ACC3"><enum>(i)</enum><text>a

				registration statement or prospectus of an open-end company; or</text>

							</clause><clause id="ID9A819057311E482CA3D2FE44944DD757"><enum>(ii)</enum><text>any other filing

				of an open-end company with the Commission.</text>

							</clause></subparagraph><subparagraph id="IDBE89AE7F41E049B982B6C5E511F19442"><enum>(E)</enum><header>Commission

				authority</header>

							<clause id="IDF6F60EE8D1384975BD041EA25563B433"><enum>(i)</enum><header>In

				general</header><text>The Commission shall promulgate such final rules as are

				necessary to carry out this paragraph not later than 1 year after the date of

				enactment of the Mutual Fund Transparency Act of 2005.</text>

							</clause><clause id="IDEE2A5BD498B3477DBEDE3B8C891F8681"><enum>(ii)</enum><header>Form of

				disclosure</header><text>Disclosures under this paragraph shall be in such form

				as the Commission, by rule, shall require.</text>

							</clause></subparagraph><subparagraph id="IDCA5D95ED7DCD456DB7EB75785086E000"><enum>(F)</enum><header>Definition</header><text>In

				this paragraph, the term <term>open-end company</term> has the same meaning as

				in section 5 of the <act-name parsable-cite="ICA40">Investment Company Act of

				1940</act-name> (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-5">15

				U.S.C.

				80a–5</external-xref>).</text>

						</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

			</subsection><subsection id="ID6EAE3BFD0B4F4D7BB98B7BB57023DCC2"><enum>(b)</enum><header>Disclosure of

			 brokerage commissions</header><text><external-xref legal-doc="act" parsable-cite="ICA40/30">Section 30</external-xref> of the

			 <act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>

			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-29">15 U.S.C.

			 80a–29</external-xref>) is amended by adding at the end the following:</text>

					<subsection id="IDCBBF9DA8C3AE409BA5BBA0A13D759273"><enum>(k)</enum><header>Disclosure of

				brokerage commissions</header><text>The Commission, by rule, shall require that

				brokerage commissions as an aggregate dollar amount and percentage of assets

				paid by an open-end company be included in any disclosure of the amount of fees

				and expenses that may be payable by the holder of the securities of such

				company for purposes of—</text>

						<paragraph id="IDF59FA66F0A12415787BB6DD448120057"><enum>(1)</enum><text>the registration

				statement of that open-end company; and</text>

						</paragraph><paragraph id="ID1B32D8904FAB4D78B000AC8D6E9E1E74"><enum>(2)</enum><text>any other filing

				of that open-end company with the Commission, including the calculation of

				expense

				ratios.</text>

						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

			</subsection></section><section id="IDD55B515AF7DF46AEB79598BE120075B3"><enum>3.</enum><header>Mutual fund

			 governance</header>

			<subsection id="ID46E41D4ACFDC4D34A03147A93DE6DCFC"><enum>(a)</enum><header>Independent

			 fund boards</header><text><external-xref legal-doc="act" parsable-cite="ICA40/10(a)">Section 10(a)</external-xref> of the

			 <act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>

			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-10(a)">15 U.S.C.

			 80a–10(a)</external-xref>) is amended—</text>

				<paragraph id="IDD880505981D64D19953500F5BE342C7D"><enum>(1)</enum><text>by striking

			 <quote>shall have</quote> and inserting the

			 following:</text>

					<quoted-block display-inline="yes-display-inline" id="IDEF5A64C630F64553846DB9A32497B362">

						<text>shall—</text><paragraph id="IDFA1EBC3BCB0C48DBA7E13CE325795EFD"><enum>(1)</enum><text>have</text>

			 period at the end and inserting a semicolon; and</text>

				</paragraph><paragraph id="IDD08D38930C4D40EEB1E77B143E77D51F"><enum>(4)</enum><text>by adding at the

			 end the following:</text>

						<paragraph id="ID279987C191424CBEBE7D472D18F543CE"><enum>(2)</enum><text>have as chairman

				of its board of directors an interested person of such registered company;

				or</text>

						</paragraph><paragraph id="IDDDB9C3E87A064AF59F5E3027D1AFA933"><enum>(3)</enum><text>have as a member

				of its board of directors any person that is an interested person of such

				registered investment company—</text>

							<subparagraph id="ID81FE759F7704473CA87E7B2FECBC944B"><enum>(A)</enum><text>who has served

				without being approved or elected by the shareholders of such registered

				investment company at least once every 5 years; and</text>

							</subparagraph><subparagraph id="IDDDB3371F46254F568C9D36FBE7C700F3"><enum>(B)</enum><text>unless such

				director has been found, on an annual basis, by a majority of the directors who

				are not interested persons, after reasonable inquiry by such directors, not to

				have any material business or familial relationship with the registered

				investment company, a significant service provider to the company, or any

				entity controlling, controlled by, or under common control with such service

				provider, that is likely to impair the independence of the

				director.</text>

							</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

				</paragraph></subsection><subsection id="IDA09077A8321D4F1BA6BF8FD3008635C7"><enum>(b)</enum><header>Action by

			 independent directors</header><text><external-xref legal-doc="act" parsable-cite="ICA40/10">Section 10</external-xref> of the

			 <act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>

			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-10">15 U.S.C.

			 80a–10</external-xref>) is amended by adding at the end the following:</text>

				<quoted-block act-name="Investment Company Act of 1940" id="IDAE856656510E4C3497D9896000C2D7B1">

					<subsection id="ID05A8F9B480CC4D1E9BD2E7A9A3FEED2B"><enum>(i)</enum><header>Action by board

				of directors</header><text>No action taken by the board of directors of a

				registered investment company may require the vote of a director who is an

				interested person of such registered investment company.</text>

					</subsection><subsection id="IDD9DC169530844EE09BBB5B46A36DBB13"><enum>(j)</enum><header>Independent

				committee</header>

						<paragraph id="ID7A80846105A74E788700A8C361DE8FF8"><enum>(1)</enum><header>In

				general</header><text>The members of the board of directors of a registered

				investment company who are not interested persons of such registered investment

				company shall establish a committee comprised solely of such members, which

				committee shall be responsible for—</text>

							<subparagraph id="ID7508807BCEBF41F38CDF00BC8E45B803"><enum>(A)</enum><text>selecting persons

				to be nominated for election to the board of directors; and</text>

							</subparagraph><subparagraph id="IDC3AAA7D8841F47C9BD6B0054B3DB53F8"><enum>(B)</enum><text>adopting

				qualification standards for the nomination of directors.</text>

							</subparagraph></paragraph><paragraph id="ID18B575CBD4524A51AFCD47DE28412145"><enum>(2)</enum><header>Disclosure</header><text>The

				standards developed under paragraph (1)(B) shall be disclosed in the

				registration statement of the registered investment

				company.</text>

						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>

			</subsection><subsection id="ID245767738E894DD58D911EFB71EFC72E"><enum>(c)</enum><header>Definition of

			 interested person</header><text><external-xref legal-doc="act" parsable-cite="ICA40/2(a)(19)">Section 2(a)(19)</external-xref> of the

			 <act-name parsable-cite="ICA40">Investment Company Act of 1940</act-name>

			 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-2">15 U.S.C.

			 80a–2</external-xref>) is amended—</text>

				<paragraph id="IDCAE5F118F6F24D4CABDA77BA46621856"><enum>(1)</enum><text>in subparagraph

			 (A)—</text>

					<subparagraph id="ID7C7FD88D480B4725B1A034E9D57F5643"><enum>(A)</enum><text>in clause (iv),

			 by striking <quote>two</quote> and inserting <quote>5</quote>; and</text>

					</subparagraph><subparagraph id="IDBAF64BC19F4C474282A8418CC200FD1E"><enum>(B)</enum><text>by striking

				person who has served as an officer or director, or as an employee within the

				preceding 10 fiscal years, of any entity that has within the preceding 5 fiscal

				years acted as a significant service provider to such registered investment

				company, or of any entity controlling, controlled by, or under the common

				control with such service provider;</text>

							</clause><clause id="IDD274D9E03E564E51AB2BE3D38445F245"><enum>(ix)</enum><text>any natural

				person who is a member of a class of persons that the Commission, by rule or

				regulation, determines is unlikely to exercise an appropriate degree of

				independence as a result of—</text>

								<subclause id="ID67EF71AD10E748F0978CB7EE0708B8B1"><enum>(I)</enum><text>a material

				business relationship with the investment company or an affiliated person of

				such investment company;</text>

								</subclause><subclause id="IDEA2C50FD6CBA4352BA83BD805FADD744"><enum>(II)</enum><text>a close familial

				relationship with any natural person who is an affiliated person of such

				investment company; or</text>

								</subclause><subclause id="ID576911831BAA44AEA14FC4AA46991DA5"><enum>(III)</enum><text>any other

				reason determined by the

				Commission.</text>

								</subclause></clause><after-quoted-block>;</after-quoted-block></quoted-block>

					</subparagraph></paragraph><paragraph id="IDB35CEE79C7DB46CE9C7CC7FB1CA2CC26"><enum>(2)</enum><text>in subparagraph

			 (B)—</text>

					<subparagraph id="IDC6FA3CF73A974C12BB3C2D9CC3DCD2CB"><enum>(A)</enum><text>in clause (iv),

			 significant service provider</header><text><external-xref legal-doc="act" parsable-cite="ICA40/2(a)">Section 2(a)</external-xref> of the

			 <act-name parsable-cite="ICA40">Investment Company Act of 1940 (15 U.S.C.

			 80a–2(a))</act-name> is amended by adding at the end the following:</text>

				general</header><text>Not later than 270 days after the date of enactment of

				the Mutual Fund Transparency Act of 2005, the Securities and Exchange

				Commission shall issue final rules defining the term <term>significant service

				provider</term>.</text>

						</subparagraph><subparagraph id="ID472AE5D56B444577B85D3E3D7DAC32A4"><enum>(B)</enum><header>Requirements</header><text>The

				definition developed under paragraph (1) shall include, at a minimum, the

				investment adviser and principal underwriter of a registered investment company

				for purposes of paragraph

				(19).</text>

						</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

			</subsection></section><section id="ID76F04355C7AA4B6EA56466F833AD636B"><enum>4.</enum><header>Financial

			 literacy among mutual fund investors study</header>

			<subsection id="IDC0E39AA41C1B41618E9F5D07D82022E0"><enum>(a)</enum><header>In

			 general</header><text>The Securities and Exchange Commission shall conduct a

			 study to identify—</text>

				<paragraph id="ID734BA75EBB804536B3A3CFB9A340E3BB"><enum>(1)</enum><text>the existing

			 level of financial literacy among investors that purchase shares of open-end

			 companies, as that term is defined under

			 <external-xref legal-doc="act" parsable-cite="ICA40/5">section

			 5</external-xref> of the <act-name parsable-cite="ICA40">Investment Company Act

			 of 1940</act-name>, that are registered under section 8 of that Act;</text>

				</paragraph><paragraph id="ID204806B6533249E39F5E646693B348D3"><enum>(2)</enum><text>the most useful

			 and understandable relevant information that investors need to make sound

			 financial decisions prior to purchasing such shares;</text>

				</paragraph><paragraph id="ID505EB3E054E84D0E81F8089D8EE29116"><enum>(3)</enum><text>methods to

			 increase the transparency of expenses and potential conflicts of interest in

			 transactions involving the shares of open-end companies;</text>

				</paragraph><paragraph id="ID127A3D6CE7E645369F09F011224CFE1B"><enum>(4)</enum><text>the existing

			 private and public efforts to educate investors; and</text>

				</paragraph><paragraph id="ID1C5CFB39F4D14B4CBF3D70F7B7512890"><enum>(5)</enum><text>a strategy to

			 increase the financial literacy of investors that results in a positive change

			 in investor behavior.</text>

				</paragraph></subsection><subsection id="ID125DD648D2104F4E836581523500CE05"><enum>(b)</enum><header>Report</header><text>Not

			 later than 1 year after the date of enactment of this Act, the Securities and

			 Exchange Commission shall submit a report on the study required under

			 subsection (a) to—</text>

				<paragraph id="IDEB4B86FDEB044B0CA484BFE579F9BD6B"><enum>(1)</enum><text>the Committee on

			 Banking, Housing, and Urban Affairs of the Senate; and</text>

				</paragraph><paragraph id="ID3BA41F4898C94D2BAE6894786F5FEEB7"><enum>(2)</enum><text>the Committee on

			 Financial Services of the House of Representatives.</text>

				</paragraph></subsection></section><section id="IDF160394B85614895846D7773ADC241E8"><enum>5.</enum><header>Study regarding

			 mutual fund advertising</header>

			<subsection id="ID805B205FB0564ABF94F166B162F05DA8"><enum>(a)</enum><header>In

			 general</header><text>The Comptroller General of the United States shall

			 conduct a study on mutual fund advertising to identify—</text>

				<paragraph id="ID2CE521B6D92E4398B83505A866699900"><enum>(1)</enum><text>existing and

			 proposed regulatory requirements for open-end investment company

			 advertisements;</text>

				</paragraph><paragraph id="ID8B41DA4D0A07431AA6326BB062DB91B0"><enum>(2)</enum><text>current marketing

			 practices for the sale of open-end investment company shares, including the use

			 of unsustainable past performance data, funds that have merged, and incubator

			 funds;</text>

				</paragraph><paragraph id="ID1B6F419D83E84507A33F86280043BFF3"><enum>(3)</enum><text>the impact of

			 such advertising on consumers; and</text>

				</paragraph><paragraph id="IDB53DBF24B39244FFA4E09E59B8301023"><enum>(4)</enum><text>recommendations

			 to improve investor protections in mutual fund advertising and additional

			 information necessary to ensure that investors can make informed financial

			 decisions when purchasing shares.</text>

				</paragraph></subsection><subsection id="IDE4E4B5881CD44BDAB8266494C283DCF0"><enum>(b)</enum><header>Report</header><text>Not

			 later than 1 year after the date of enactment of this Act, the Comptroller

			 General of the United States shall submit a report on the results of the study

			 conducted under subsection (a) to—</text>

				<paragraph id="ID104622C9037F40ADADC600BBC1A72D8B"><enum>(1)</enum><text>the Committee on

			 Banking, Housing, and Urban Affairs of the United States Senate; and</text>

				</paragraph><paragraph id="ID17027E13EEB142F0B0A26B070072AFB3"><enum>(2)</enum><text>the Committee on

			 Financial Services of the House of Representatives.</text>

				</paragraph></subsection></section><section id="id8C51C7A34C094F36B809C8407125BCA7"><enum>6.</enum><header>Point-of-sale

			 disclosure</header>

			<subsection id="idB3A74D304ADD45F2BE9131E2728075B0"><enum>(a)</enum><header>In

			 general</header><text><external-xref legal-doc="act" parsable-cite="SEA34/15(b)">Section 15(b)</external-xref> of the

			 <act-name parsable-cite="SEA34">Securities Exchange Act of 1934</act-name>

			 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o(b)">15 U.S.C.

			 78o(b)</external-xref>), as amended by section 2, is amended by adding at the

			 end the following:</text>

						<subparagraph id="id9A7E5F48DB024B0C854824B47FB7E90B"><enum>(A)</enum><header>In

				general</header><text>Each broker shall disclose in writing to each person that

				purchases the shares of an investment company registered under section 8 of the

				Investment Company Act of 1940 (15 U.S.C. 80a-8)—</text>

							<clause id="ID925e3255d65141eca58471cd77cc2b83"><enum>(i)</enum><text>the source and

				amount, in dollars and as a percentage of assets, of any compensation received

				or to be received by the broker in connection with such transaction from any

				sources;</text>

							</clause><clause id="IDb7dc8b8b64c1457fb0f3199157f19259"><enum>(ii)</enum><text>the amount, in

				dollars and as a percentage of assets, of compensation received in connection

				with transactions in shares of other investment company shares offered by the

				broker, if materially different from the amount under (i);</text>

							</clause><clause id="ID055a15e8dfdc444db05132f00d5f151b"><enum>(iii)</enum><text>comparative

				information that shows the average amount received by brokers in connection

				with comparable transactions, as determined by the Commission; and</text>

							</clause><clause id="IDc106115cbbfd4dba93bac6bb5297f93f"><enum>(iv)</enum><text>such other

				information as the Commission determines appropriate.</text>

							</clause></subparagraph><subparagraph id="id75BAD7C91D704CB58044955D319A9887"><enum>(B)</enum><header>Revenue

				sharing</header><text>The term <quote>compensation</quote> under subparagraph

				(A) shall include any direct or indirect payment made by an investment adviser

				(or any affiliate of an investment adviser) to a broker or dealer for the

				purpose of promoting the sales of securities of a registered investment

				company.</text>

						</subparagraph><subparagraph id="id396724C4099249578C803CFA35B358B3"><enum>(C)</enum><header>Timing of

				disclosure</header><text>The disclosures required under subparagraph (A) shall

				be made to permit the person purchasing the shares to evaluate such disclosures

				before deciding to engage in the transaction.</text>

						</subparagraph><subparagraph id="idE33E2E8B745E4BCEB04E658206E179AB"><enum>(D)</enum><header>Limitation</header><text>The

				disclosures required under subparagraph (A) may not be made exclusively

				in—</text>

							<clause id="ID0bfef4a289ef49348ee7d1676389f2bf"><enum>(i)</enum><text>a

				registration statement or prospectus of a registered investment company;

				or</text>

							</clause><clause id="IDa1f555ea9e0744d88ac9075aa7baf4ec"><enum>(ii)</enum><text>any other filing

				of a registered investment company with the Commission.</text>

							</clause></subparagraph><subparagraph id="id8C6049DD2DCA42ED81238791B1544A57"><enum>(E)</enum><header>Commission

				authority</header><text>The Commission shall promulgate such final rules as are

				necessary to carry out this paragraph not later than 1 year after the date of

				enactment of the Mutual Fund Transparency Act of

				2005.</text>

						</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>

			</subsection><subsection id="id093E1C3E8ADC49B7BDE9D3B3530214F4"><enum>(b)</enum><header>National

			 securities association requirements</header><text>Section 15A of the Securities

			 Exchange Act of 1934 (15 U.S.C. 78o-3) is amended by adding at the end the

			 following:</text>

				<quoted-block display-inline="no-display-inline" id="id9BFAAEFCBADB4FECA40A3BFD352B3E7B" style="OLC">

					<subsection id="id70B9D9C9F9E44F14909704A5DD5008D0"><enum>(n)</enum><header>National

				securities association requirements</header><text>Each national securities

				association registered pursuant to this section shall issue such rules as

				necessary not later than 1 year after the date of enactment of the Mutual Fund

				Transparency Act of 2005 to require that a broker that provides individualized

				investment advice to a person shall—</text>

						<paragraph id="IDf9bb946039524c97ad04c4993f0a1459"><enum>(1)</enum><text>have a fiduciary

				duty to that person;</text>

						</paragraph><paragraph id="IDf11830fd5c054e3e94d07558a03d087b"><enum>(2)</enum><text>act solely in the

				best interests of that person; and</text>

						</paragraph><paragraph id="ID58adbdf6d856442790df59d51b76a901"><enum>(3)</enum><text>fully disclose

				all potential conflicts of interest and other information that is material to

				the relationship to that person prior to the time that the investment advice is

				first provided to the person and at least annually

				thereafter.</text>

						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
