		<official-title>To make all civil penalties collected by the Securities
		  and Exchange Commission in securities law enforcement actions available for the
		  benefit of victims of securities law violations, and for other
		  purposes.</official-title>

		<section display-inline="no-display-inline" id="HB060F22BB2104B51B4D3F4425809BC59" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Fair Fund Improvement
			 Act</short-title></quote>.</text>
		</section><section id="H6084F1F778E9401F8B872DC629EBADC1"><enum>2.</enum><header>Fair Fund
			 Improvements</header>
			<subsection id="H570314A2408A4FD3A46F23CDFB97B02F"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">Subsection (a) of section 308 of the
			 Sarbanes-Oxley Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/15/7246">15 U.S.C. 7246(a)</external-xref>) is amended to read as
			 follows:</text>
				<quoted-block display-inline="no-display-inline" id="H256CFC5C46274EEA82BE3BDCBA48E18" style="OLC">
					<subsection id="H943ED00B7D504EB0BE6520E7D24D55AF"><enum>(a)</enum><header>Civil Penalties
				To Be Used for the Relief of Victims</header><text display-inline="yes-display-inline">If in any judicial or administrative action
				brought by the Commission under the securities laws (as such term is defined in
				section 3(a)(47) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c(a)(47)</external-xref>),
				the Commission obtains a civil penalty against any person for a violation of
				such laws, the amount of such civil penalty shall, on the motion or at the
				direction of the Commission, be added to and become part of a disgorgement fund
				or other fund established for the benefit of the victims of such
				violation.</text>
					</subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H09B85E933A4F4524915C93F793B104E5"><enum>(b)</enum><header>Conforming
			 Amendments</header>
				<paragraph id="HE613AB67F06245ADA12F006E240080EB"><enum>(1)</enum><text>Section 308(b) of
			 such Act is amended—</text>
					<subparagraph id="H5470EEDA2FB8416E81E9A7B881FB97A4"><enum>(A)</enum><text>by striking
			 <quote>for a disgorgement fund described in subsection (a)</quote> and
			 inserting <quote>for a disgorgement fund or other fund described in subsection
			 (a)</quote>; and</text>
					</subparagraph><subparagraph id="H6B3D14C361104E8599764D729E81F966"><enum>(B)</enum><text>by striking
			 <quote>in the disgorgement fund</quote> and inserting <quote>in such
			 fund</quote>.</text>
					</subparagraph></paragraph><paragraph id="HA789D4B44B1242FC8F459EB5B9DDA1A9"><enum>(2)</enum><text>Section 308 of
			 such Act is further amended by striking subsection (e).</text>
				</paragraph></subsection></section><section id="H1458E792978544449B753879EFD3D173"><enum>3.</enum><header>Authority to
			 contract with private counsel for legal services to collect delinquent
			 judgments and orders</header><text display-inline="no-display-inline">Subsection (b) of section 4 of the
			 Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78d">15 U.S.C. 78d(b)</external-xref>) is amended—</text>
			<paragraph id="H6832679D90CE41C28500B3D5FF52CC4"><enum>(1)</enum><text>in
			 the subsection heading by striking <quote><header-in-text level="subsection" style="OLC">and leasing authority</header-in-text></quote> and inserting
			 <quote><header-in-text level="subsection" style="OLC">, leasing authority, and
			 contracting authority</header-in-text></quote>; and</text>
			</paragraph><paragraph id="H6E0DAAE0B40E4267855698D7D44E27DB"><enum>(2)</enum><text>by adding at the
			 end of such subsection the following new paragraph:</text>
				<quoted-block id="H272B8BEF0ADC4BE8AAC8C0502061F5E" style="OLC">
					<paragraph id="HC80DA6DC2E9A4C2683CC620483F44DC7"><enum>(4)</enum><header>Contracting
				authority</header>
						<subparagraph id="HE8410332E96A4D3CBA8CF25098CBBB27"><enum>(A)</enum><header>In
				general</header><text>Notwithstanding any other provision of law, the
				Commission is authorized to enter into contracts to retain private legal
				counsel to furnish legal services, including representation in litigation,
				negotiation, compromise, and settlement, in the case of any claim of
				indebtedness resulting from any judgment or order (either by litigation or
				settlement) obtained by the Commission in any judicial action or administrative
				proceeding brought by or on behalf of the Commission. Private counsel retained
				under this paragraph may represent the Commission in such debt collection
				matters to the same extent as the Commission may represent itself.</text>
						</subparagraph><subparagraph id="HFAA7D019F0F34E5C84A72DE069C20548"><enum>(B)</enum><header>Terms and
				conditions of contract</header><text>Each such contract shall include such
				terms and conditions as the Commission considers necessary and appropriate, and
				shall include provisions specifying—</text>
							<clause id="H3F9B087429BC44E2AB9C5B6E90CD81A0"><enum>(i)</enum><text>the amount of the
				fee to be paid to the private counsel under such contract or the method for
				calculating that fee;</text>
							</clause><clause id="HFF7F3C3E74C242039418007300DA00F0"><enum>(ii)</enum><text>that the
				Commission retains the authority to represent itself, resolve a dispute,
				compromise a claim, end collection efforts, and refer a matter to other private
				counsel or to the Attorney General; and</text>
							</clause><clause id="HF5EB1A1069CD4B63BA5824A3F8DE482E"><enum>(iii)</enum><text>that the
				Commission may terminate either the contract or the private counsel’s
				representation of the Commission in particular cases for any reason, including
				for the convenience of the Commission.</text>
							</clause></subparagraph><subparagraph id="HFC9EC3CFB96343F1A43300ACC2FBCA5"><enum>(C)</enum><header>Payment of
				fees</header><text>Notwithstanding <external-xref legal-doc="usc" parsable-cite="usc/31/3302">section 3302(b)</external-xref> of title 31, United States
				Code, a contract under this paragraph may provide that fees and costs incurred
				by private counsel under such contracts are payable from the amounts
				recovered.</text>
						</subparagraph><subparagraph id="H681EBD6FE71A40F186EA5F46525F0083"><enum>(D)</enum><header>Competition
				requirements</header><text>Nothing in this paragraph shall relieve the
				Commission of the competition requirements set forth in title III of the
				Federal Property and Administrative Services Act of 1949 (41 U.S.C. 251 et
				seq.).</text>
						</subparagraph><subparagraph id="HB1999AC3364049D1AEF27F7398F26C66"><enum>(E)</enum><header>Counterclaims</header><text>In
				any action to recover indebtedness which is brought on behalf of the Commission
				by private counsel retained under this paragraph, no counterclaim may be
				asserted against the Commission unless the counterclaim is served directly on
				the Commission. Such service shall be made in accordance with the rules of
				procedure of the court in which the action is
				brought.</text>
						</subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
