<official-title>To modify the application of the antitrust laws to permit collective development and implementation of a standard contract form for playwrights for the licensing of their plays.</official-title>

<section id="H32AE2087046A48C0975F99AA8BC5A575" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Playwrights Licensing Antitrust Initiative Act of 2005</short-title></quote>.</text> </section> 
<section id="HCC63C8A99CA546C8003B3570FB2ECFD0"><enum>2.</enum><header>Nonapplication of antitrust laws</header> 
<subsection id="H9D98CBC9BF1D41839711DC22B8D21906"><enum>(a)</enum><header>In general</header><text>Subject to subsection (c), the antitrust laws shall not apply to any joint discussion, consideration, review, action, or agreement for the express purpose of, and limited to, the development of a standard form contract containing minimum terms of artistic protection and levels of compensation for playwrights by means of—</text> 
<paragraph id="H61980C2529A34DA3888592CE2FBE57F"><enum>(1)</enum><text>meetings, discussions, and negotiations between or among playwrights or their representatives and producers or their representatives; or</text></paragraph> 
<paragraph id="H0F86CB3416114ED19D03F692EE005814"><enum>(2)</enum><text>joint or collective voluntary actions for the limited purposes of developing a standard form contract by playwrights or their representatives.</text></paragraph></subsection> 
<subsection id="H0327546BC2474B179EF0F4988774609D"><enum>(b)</enum><header>Adoption and implementation</header><text>Subject to subsection (c), the antitrust laws shall not apply to any joint discussion, consideration, review, or action for the express purpose of, and limited to, reaching a collective agreement among playwrights adopting a standard form contract developed pursuant to subsection (a) as the participating playwrights sole and exclusive means by which participating playwrights shall license their plays to producers.</text></subsection> 
<subsection id="H46A98C0CFF2048FB893FAF76F2E81B06"><enum>(c)</enum><header>Amendment of contract</header><text>A standard form of contract developed and implemented under subsections (a) and (b) shall be subject to amendment by individual playwrights and producers consistent with the terms of the standard form contract.</text></subsection></section> 
<section id="H723DCA55385145228E8C967CAAC44DE7"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline"> In this Act:</text> 
<paragraph id="H2530AB72EB5D4032B49493F4E711D551"><enum>(1)</enum><header>Antitrust laws</header><text>The term <quote>antitrust laws</quote> has the meaning given it in section (a) of the first section of the Clayton Act (<external-xref legal-doc="usc" parsable-cite="usc/15/12">15 U.S.C. 12</external-xref>), except that such term includes section 5 of the Federal Trade Commission Act (<external-xref legal-doc="usc" parsable-cite="usc/15/45">15 U.S.C. 45</external-xref>) to the extent that such section applies to unfair methods of competition.</text></paragraph> 
<paragraph id="HBCB6D8E1DD8C4C8EB26FE69421CB00D4"><enum>(2)</enum><header>Playwright</header><text>The term <quote>playwright</quote> means the author, composer, or lyricist of a dramatic or musical work intended to be performed on the speaking stage and shall include, where appropriate, the adapter of a work from another medium.</text></paragraph> 
<paragraph id="H54FBBA6337D34DC396D2D9D0B098D975"><enum>(3)</enum><header>Producer</header><text>The term <quote>producer</quote>—</text> 
<subparagraph id="H39A5C5A82F514BBF98686E7573DE3E11"><enum>(A)</enum><text>means any person who obtains the rights to present live stage productions of a play; and</text></subparagraph> 
<subparagraph id="H2EE946AA26EE404E984E00E19F382130"><enum>(B)</enum><text>includes any person who presents a play as first class performances in major cities, as well as those who present plays in regional and not-for-profit theaters.</text></subparagraph></paragraph></section>
