<official-title>To prohibit securities trading based on nonpublic information relating to Congress, and to require additional reporting by Members and employees of Congress of securities transaction, and for other purposes.</official-title>

<section id="H31AE40CE5B07496E911B008594DBD2E9" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stop Trading on Congressional Knowledge Act</short-title></quote>.</text></section> 
<section id="HE9A3456CC35A49B6B64EF1246FD3EE55"><enum>2.</enum><header>Nonpublic information relating to Congress</header> 
<subsection id="H63533D4616BD45A9AC0542A454754F99"><enum>(a)</enum><header>Securities transactions</header><text display-inline="yes-display-inline">Section 10 of the Securities Exchange Act of 1934 is amended by adding at the end the following:</text>

<subsection id="HCF13CD49693B42A3B085049029D6A5E"><enum>(c)</enum><header>Nonpublic information relating to Congress</header> 
<paragraph id="HCBC2DBCCEBE34288AB1005C878B0D706"><enum>(1)</enum><header>Prohibition</header><text display-inline="yes-display-inline">Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any person from buying or selling the securities of any issuer while such person is in possession of material nonpublic information relating to any pending or prospective legislative action relating to such issuer if—</text> 
<subparagraph id="HCAB5F0A0A276476383E005C1294CD84"><enum>(A)</enum><text>such information was obtained by reason of such person being a Member or employee of Congress; or</text></subparagraph> 
<subparagraph id="H0E7858FE4C664BB9B1A5C923AC1C3928"><enum>(B)</enum><text>such information was obtained from a Member or employee of Congress, and such person knows that the information was so obtained.</text></subparagraph></paragraph> 
<paragraph id="HC827F938CC594847BE15EE49A11566D1"><enum>(2)</enum><header>Disclosure</header><text display-inline="yes-display-inline">Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any Member or employee of Congress, or any other person from disclosing material nonpublic information relating to any pending or prospective legislative action relating to any issuer if that Member, employee, or other person has reason to believe that the information will be used to buy or sell the securities of such issuer based on such information.</text> </paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HC5FDD41819EA4001A479DFC1A765C7F8"><enum>(b)</enum><header>Commodities transactions</header><text>Section 4c of the Commodities Exchange Act (<external-xref legal-doc="usc" parsable-cite="usc/7/6c">7 U.S.C. 6c</external-xref>) is amended by adding at the end the following:</text>

<subsection id="HF091B98A27E54326BDEFFA328F6733FF"><enum>(h)</enum><header>Nonpublic information relating to Congress</header> 
<paragraph id="H63EB6A1827974F3281ABA0E1F2DDE42"><enum>(1)</enum><header>Prohibition</header><text display-inline="yes-display-inline">Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any person from buying or selling any commodity for future delivery while such person is in possession of material nonpublic information relating to any pending or prospective legislative action relating to such commodity if—</text> 
<subparagraph id="H977FBED8963442B600C761F1C35B9D76"><enum>(A)</enum><text>such information was obtained by reason of such person being a Member or employee of Congress; or</text></subparagraph> 
<subparagraph id="HBC05FF64B58848A095E6F0C3501CD21D"><enum>(B)</enum><text>such information was obtained from a Member or employee of Congress, and such person knows that the information was so obtained.</text></subparagraph></paragraph> 
<paragraph id="HAADFDA71730A4D0B8DCBFE9F5D000816"><enum>(2)</enum><header>Disclosure</header><text display-inline="yes-display-inline">Not later than 270 days after the date of enactment of this subsection, the Commission shall by rule prohibit any Member or employee of Congress, or any other person from disclosing material nonpublic information relating to any pending or prospective legislative action relating to any commodity if that Member, employee, or other person has reason to believe that the information will be used to buy or sell such commodity for future delivery based on such information.</text> </paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection></section> 
<section id="H7794E4FA42CF480CBCC683BB1C90ECA1" section-type="subsequent-section"><enum>3.</enum><header>Timely reporting of securities transactions</header> 
<subsection id="H3B2C4B8D0FBF4AC1A9755BCC0069D752"><enum>(a)</enum><header>Amendment</header><text display-inline="yes-display-inline">Section 103 of the Ethics in Government Act of 1978 is amended by adding at the end the following subsection:</text> 
<quoted-block style="OLC" id="HF6077973FE1F40EE00CE0047628E67F" display-inline="no-display-inline"> 
<subsection id="HABE259A029824841A0EFAFD99755F34F"><enum>(l)</enum><text>Within 30 days after the purchase, sale, or exchange of any stocks, bonds, commodities futures, or other forms of securities that are otherwise required to be reported under this Act and the transaction of which involves at least $1000 by any Member of Congress or officer or employee of the legislative branch required to so file, that Member, officer, or employee shall file a report of that transaction with the Clerk of the House of Representatives in the case of a Representative in Congress, a Delegate to Congress, or the Resident Commissioner from Puerto Rico, or with the Secretary of the Senate in the case of a Senator.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H04879A26D367456BB09F2122C2025BB"><enum>(b)</enum><header>Effective date</header><text>The amendment made by subsection (a) shall apply to transactions occurring on or after the date that is 90 days after the date of the enactment of this Act.</text> </subsection></section> 
<section id="H742688C65B9C4EF4A584DEBA571FB9B2"><enum>4.</enum><header>Registration of political intelligence firms</header> 
<subsection id="HFFE1356F987E4029001906623ED778C2"><enum>(a)</enum><header>Definitions</header><text display-inline="yes-display-inline">Section 3 of the Lobbying Disclosure Act of 1995 (<external-xref legal-doc="usc" parsable-cite="usc/2/1602">2 U.S.C. 1602</external-xref>) is amended—</text> 
<paragraph id="H3C396B0EA96D4FFFB739C0CDD1670425"><enum>(1)</enum><text>in paragraph (2)—</text> 
<subparagraph id="HCBA8CD09F3AF470887D957F6218BF63B"><enum>(A)</enum><text>by inserting after <quote>lobbying activities</quote> both places such term appears the following: <quote>or political intelligence activities</quote>; and</text></subparagraph> 
<subparagraph id="H3DDCF4FEC4DA4EBD89A4AE50A63E9FE4"><enum>(B)</enum><text>by inserting after <quote>lobbyists</quote> the following: <quote>or political intelligence consultants</quote>; and</text></subparagraph></paragraph> 
<paragraph id="HAE268488617646D195F40426ABC8D9E1"><enum>(2)</enum><text>by adding at the end the following new paragraphs:</text>

<paragraph id="H18F2A0A18DBF4788BBE9E3C159BBEC58"><enum>(17)</enum><header>Political intelligence activities</header><text>The term <quote>political intelligence activities</quote> means political intelligence contacts and efforts in support of such contacts, including preparation and planning activities, research and other background work that is intended, at the time it is performed, for use in contacts, and coordination with the political intelligence activities of others.</text></paragraph> 
<paragraph id="H41BAF4C8FDE3445C985CA200C1FF02D9"><enum>(18)</enum><header>Political intelligence contact</header> 
<subparagraph id="HF420CFC1E3794F24BAF851831900D37"><enum>(A)</enum><header>Definition</header><text>The term <quote>political intelligence contact</quote> means any oral or written communication (including an electronic communication) to or from a covered legislative branch official, the information derived from which is intended for use in analyzing securities or commodities markets, that is made on behalf of a client with regard to the formulation, modification, or adoption of Federal legislation (including legislative proposals).</text></subparagraph> 
<subparagraph id="H6852AEEB6D5F4C779558BC784905EA1C"><enum>(B)</enum><header>Exception</header><text>The term <quote>political intelligence contact</quote> does not include a communication that is made by or to a representative of a media organization if the purpose of the communication is gathering and disseminating news and information to the public.</text></subparagraph></paragraph> 
<paragraph id="H0E4DCB3140D44990BA1161BC88E1A3B9"><enum>(19)</enum><header>Political intelligence firm</header><text>The term <quote>political intelligence firm</quote> means a person or entity that has 1 or more employees who are political intelligence consultants to a client other than that person or entity.</text></paragraph> 
<paragraph id="H85FD2473896E4606A5908FB900C18650"><enum>(20)</enum><header>Political intelligence consultant</header><text>The term <quote>political intelligence consultant</quote> means any individual who is employed or retained by a client for financial or other compensation for services that include one or more political intelligence contacts.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H0D8F98D3E33E4A8798E3301354347C9D"><enum>(b)</enum><header>Registration requirement</header><text>Section 4 of that Act (<external-xref legal-doc="usc" parsable-cite="usc/2/1603">2 U.S.C. 1603</external-xref>) is amended—</text> 
<paragraph id="H6913E91AD0B04B35ACDEAFA4E4573174"><enum>(1)</enum><text>in subsection (a)(1)—</text> 
<subparagraph id="H5812D4E756D04047B600BC8D717EF747"><enum>(A)</enum><text>by inserting after <quote>whichever is earlier,</quote> the following: <quote>or a political intelligence consultant first makes a political intelligence contact,</quote>; and</text></subparagraph> 
<subparagraph id="H24CB4A74A9C64C109877CCA630C7295F"><enum>(B)</enum><text>by inserting after <quote>such lobbyist</quote> both places such term appears the following: <quote>or consultant</quote>;</text></subparagraph></paragraph> 
<paragraph id="H00300FC88FE345E5A34BFCEB70B83421"><enum>(2)</enum><text>in subsection (a)(2), by inserting after <quote>lobbyists</quote> both places such term appears the following: <quote>or consultants</quote>;</text></paragraph> 
<paragraph id="HEBE9D141B29D4C3BBFF61214386C0045"><enum>(3)</enum><text>in subsection (a)(3)(A)—</text> 
<subparagraph id="H422ADD1063A4406D90381700D3099F2B"><enum>(A)</enum><text>by inserting after <quote>lobbying activities</quote> each place such term appears the following: <quote>and political intelligence activities</quote>; and</text></subparagraph>
