<official-title>To amend the Defense Production Act of 1950 to require notification to Congress after receipt of written notification of proposed or pending mergers, acquisitions, or takeovers subject to investigation under such Act, and for other purposes.</official-title>

<section id="H39E4CF4AAEB04ED2AFD50061554BEED7" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Protect America First Act of 2006</short-title></quote>.</text></section> 
<section id="H3CBE31134F28498DAA7B56F17F0029A9"><enum>2.</enum><header>Amendments to the Defense Production Act of 1950</header> 
<subsection id="H8B3BD6D5570E4E39B8FE66F6FDB44F10"><enum>(a)</enum><header>Notification to Congress</header><text display-inline="yes-display-inline">Section 721(c) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(c)</external-xref>) is amended—</text> 
<paragraph id="H7863DD3A17474DFEA6509BCD7BB776CF"><enum>(1)</enum><text>in the heading, by inserting <quote><header-in-text level="subsection" style="OLC">Notification requirements;</header-in-text></quote> before <quote><header-in-text level="subsection" style="OLC">Confidentiality</header-in-text></quote>;</text></paragraph> 
<paragraph id="H04BF96EDEFA8481A8C9C79A297A40093"><enum>(2)</enum><text>by inserting after the heading the following new paragraph:</text>

<paragraph id="H1C93382D8F6D469194B101CD66B003C"><enum>(1)</enum><header>Notification to congress</header> 
<subparagraph id="H22C1EA007DF94C2A8F6376A6B3D4E79C"><enum>(A)</enum><header>Receipt of written notification</header><text>Not later than five days after receipt of written notification of a proposed or pending merger, acquisition, or takeover that may be subject to an investigation under subsection (a) or is subject to an investigation under subsection (b), the President or the President’s designee shall provide notice of the receipt of such written notification to the Members of Congress specified in subparagraph (D).</text></subparagraph> 
<subparagraph id="H39857A01E21C470F85142CF7928EEB1F"><enum>(B)</enum><header>Commencement of investigation</header><text>Not later than one day after commencing an investigation under subsection (a) or (b), the President or the President’s designee shall provide notice of the investigation and relevant information regarding the proposed or pending merger, acquisition, or takeover, including relevant ownership records, to the Members of Congress specified in subparagraph (D).</text></subparagraph> 
<subparagraph id="HB17191BF71BC4CEC92DFF8F663CFA580"><enum>(C)</enum><header>Access to investigation</header><text>The President or the President’s designee shall—</text> 
<clause id="H2AF79CEBA49E448F94CD46E31E6F3F8"><enum>(i)</enum><text display-inline="yes-display-inline">provide responses in a timely manner to any inquiries made by the Members of Congress specified in subparagraph (D) regarding an investigation carried out under subsection (a) or (b); and</text></clause> 
<clause id="HC06B9D0D2D904E8E90335E24FCBCB897"><enum>(ii)</enum><text>notify such Members of Congress promptly of the decision of the President or the President’s designee upon completion of the investigation.</text></clause></subparagraph> 
<subparagraph id="H01350C60753B482DB295C5AC45ECFA5C"><enum>(D)</enum><header>Members of congress</header><text>The Members of Congress referred to in this paragraph are the following:</text> 
<clause id="HC6CBC0FC4EE44F0590F819C3687E947B"><enum>(i)</enum><text>The Speaker and Minority Leader of the House of Representatives.</text></clause> 
<clause id="HE219C986A6D84099AFB8E829F497B9B2"><enum>(ii)</enum><text>The Majority and Minority Leader of the Senate.</text></clause> 
<clause id="HE6EABCE71ECE4EF28434443658867917"><enum>(iii)</enum><text>The Chairmen and Ranking Members of the Committee on Financial Services, the Committee on Homeland Security, the Committee on Armed Services, the Committee on Energy and Commerce, the Committee on Transportation and Infrastructure, and the Permanent Select Committee on Intelligence of the House of Representatives.</text></clause> 
<clause id="HC705DE46A3F5441E94E25810E9FC9B9"><enum>(iv)</enum><text>The Chairmen and Ranking Members of the Committee on Finance, the Committee on Homeland Security and Governmental Affairs, the Committee on Armed Services, the Committee on Commerce, Science, and Transportation, and the Select Committee on Intelligence of the Senate.</text></clause> 
<clause id="H5CA5D697F50D4096A5A2CED29059B82E"><enum>(v)</enum><text display-inline="yes-display-inline">The Senators representing States and the Members of Congress representing districts affected by the proposed transaction.</text></clause></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> 
<paragraph id="HC360B8A6BAFB46710055A4964861E0D8"><enum>(3)</enum><text>by striking <quote>Any information</quote> and inserting the following new paragraph: </text>

<paragraph id="H513609940D2A459F8DD7C2F305B88DD8"><enum>(2)</enum><header>Confidentiality of information</header><text>Any information</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H0C10B75DBC214B8F83621B0028A5F058"><enum>(4)</enum><text>by striking <quote>Nothing in this subsection</quote> and inserting <quote>Nothing in this paragraph</quote>. </text></paragraph></subsection> 
<subsection id="H12E28C2E0623424786B46DF8ED5EB54E"><enum>(b)</enum><header>Technical amendments</header><text display-inline="yes-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) is amended—</text> 
<paragraph id="H821E1FE4B60F475BA1AB002FD51FF185"><enum>(1)</enum><text>in subsection (d), by striking <quote>subsection (d)</quote> and inserting <quote>subsection (e)</quote>;</text></paragraph> 
<paragraph id="H50B7834A191A4A3C005E51ABAA07D335"><enum>(2)</enum><text>in subsection (e), by striking <quote>subsection (c)</quote> and inserting <quote>subsection (d)</quote>; and</text></paragraph> 
<paragraph id="HFC5A9AC3EB8F42D1B0F06881BB045DAC"><enum>(3)</enum><text>in subsection (g), by striking <quote>of this Act</quote> and inserting <quote>of this section</quote>. </text></paragraph></subsection> 
<subsection id="H6C731E341B864EB18EFE73C78448E834"><enum>(c)</enum><header>Effective date</header><text display-inline="yes-display-inline">The requirements of section 721(c)(1) of the Defense Production Act of 1950, as added by subsection (a) of this section, apply with respect to any written notification of a proposed or pending merger, acquisition, or takeover that may be subject to an investigation under section 721(a) of such Act or is subject to an investigation under section 721(b) of such Act that is received on or after the date of the enactment of this Act. </text></subsection></section> 
<section id="HBEF4361C82F3427DA72407F77F4DA662"><enum>3.</enum><header>Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that—</text> 
<paragraph id="H2FDC46ACEE9C4A3591DF152DE7A15F9D"><enum>(1)</enum><text display-inline="yes-display-inline">the Committee on Foreign Investment in the United States (CFIUS), established under Executive Order 11858 (40 Fed. Reg. 20263), should be transferred from the Department of the Treasury to the Department of Homeland Security; and</text></paragraph> 
<paragraph id="H47499DD9F94D4C69A81CF4F68790B98B"><enum>(2)</enum><text>the Secretary of Homeland Security should serve as the Chairman of CFIUS.</text> </paragraph></section>
