<official-title>To amend section 721 of the Defense Production Act of 1950 to implement certain recommendations relating to the review of certain mergers, acquisitions, or takeovers by or with any foreign person, and for other purposes.</official-title>

<section id="H2B45D19B3E834EEC8CA34753FE1185A0" section-type="section-one" display-inline="no-display-inline"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Committee on Foreign Investment in the United States Reform Act</short-title></quote>.</text></section> 
<section id="H32CF48775EE94B5496A1BD52CF6979F"><enum>2.</enum><header>Clarification of review and investigation process</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) is amended by striking subsections (a) and (b) and inserting the following new subsections:</text>

<subsection id="H3B8126A9104048ADA6ECE5CF04900A4"><enum>(a) </enum><header>National security review</header> 
<paragraph id="H0E74F99D3BAC42F600C17EEA82FD229C"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Upon receiving written notification, as prescribed by regulations under this section, of any proposed or pending merger, acquisition, or takeover by or with any foreign person which could result in foreign control of any person engaged in interstate commerce in the United States, the President or the President's designee shall review the proposed or pending merger, acquisition, or takeover to determine whether the proposed or pending merger, acquisition, or takeover may possibly have an effect on the national security of the United States.</text></paragraph> 
<paragraph id="H28A2EC688A614570AF61FF6BE7B8C068"><enum>(2)</enum><header>Procedure</header><text display-inline="yes-display-inline">The President or the President's designee shall establish, by regulation, procedures that—</text> 
<subparagraph id="H0F33BCDDA5E44BA49BC2073728E44800"><enum>(A)</enum><text display-inline="yes-display-inline">require each of the factors listed in subsection (f) to be considered in the course of a review under paragraph (1); and</text></subparagraph> 
<subparagraph id="HB4AB40D9504A458CBEE49E964CB3804E"><enum>(B)</enum><text>require a specific response to be prepared with respect to the applicability of each such factor to the proposed or pending merger, acquisition, or takeover under review.</text></subparagraph></paragraph> 
<paragraph id="H48D385E1873147C686CC014BB1055BC3"><enum>(3)</enum><header>Involvement of foreign government</header><text display-inline="yes-display-inline">If the review under paragraph (1) determines that the merger, acquisition, or takeover could result in the control, directly or indirectly, of any person engaged in interstate commerce in the United States by a foreign government or an entity controlled by or acting on behalf of a foreign government, the merger, acquisition, or takeover shall be treated as possibly having an effect on the national security of the United States for purposes of requiring an investigation under subsection (b).</text></paragraph> 
<paragraph id="HCBC5224A1F7140099FE95C1897E5012"><enum>(4)</enum><header>Approval of secretary</header><text display-inline="yes-display-inline">In the case of any review of a merger, acquisition, or takeover under paragraph (1) that involves or has resulted in any agreement that establishes any conditions on the transaction, or any requirements for any person involved in the transaction, in order to mitigate against any possible effect of the transaction on the national security of the United States, any determination resulting from the review shall not be treated as final until the determination is approved by the President, the Secretary of the Treasury, or the Deputy Secretary of the Treasury.</text> </paragraph> 
<paragraph id="HDEBF95370B524BC99D9B2600F6F0D44E"><enum>(5)</enum><header>Timing</header><text display-inline="yes-display-inline">Any review required under paragraph (1) shall be completed before the end of the 30-day period beginning on the date of the receipt by the President or the President's designee of written notification of the proposed or pending merger, acquisition, or takeover.</text></paragraph></subsection> 
<subsection id="H019590EEE86E41689B5E43E5237625FD"><enum>(b)</enum><header>National security investigation</header> 
<paragraph id="H28A9C1E168E649D5A7C9569E8D6DFB"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">If any review of any proposed or pending merger, acquisition, or takeover under subsection (a) results in a determination that the merger, acquisition, or takeover may possibly have an effect on the national security of the United States, the President or the President’s designee shall conduct an investigation of—</text> 
<subparagraph id="HC8A4B584BC0C4C1D8351B6DBA54B9E7"><enum>(A)</enum><text>the possible effects of the merger, acquisition, or takeover on the national security of the United States; and</text></subparagraph> 
<subparagraph id="H5A396C5C13FF4C798E84D2DCDE93D331"><enum>(B)</enum><text>possible actions to protect the national security of the United States in connection with the merger, acquisition, or takeover.</text></subparagraph></paragraph> 
<paragraph id="HB2D9E0DF13EE4A65A6546E30B11FA261"><enum>(2)</enum><header>Procedure</header><text display-inline="yes-display-inline">The President or the President's designee shall establish, by regulation, procedures that—</text> 
<subparagraph id="HB7B8B0653F774D68A4BEFAD7B7389BEC"><enum>(A)</enum><text display-inline="yes-display-inline">require any investigation under paragraph (1) to analyze the proposed or pending merger, acquisition, or takeover on the basis of each of the factors listed in subsection (f); </text></subparagraph> 
<subparagraph id="H3BF1863E6DD74C3BAAC9B21008C17EA"><enum>(B)</enum><text>require a specific response to be prepared with respect to the applicability of each such factor to the proposed or pending merger, acquisition, or takeover under review, the concerns that any such applicability raises with regard to the transaction, and any possible actions to address such concerns;</text></subparagraph> 
<subparagraph id="H1AE55E4038B446E7B1F34F6807083FC6"><enum>(C)</enum><text display-inline="yes-display-inline">subject to paragraph (3), establish appropriate time frames for an investigation that ensures sufficient time to address relevant issues concerning any proposed or pending merger, acquisition, or takeover;</text></subparagraph> 
<subparagraph id="H78F915AFE461430096C147009475748C"><enum>(D)</enum><text>take into account the impact of investigations on the open investment policy of the United States; and</text></subparagraph> 
<subparagraph id="HAA211E94D2F646F79200EFDBF6C400E1"><enum>(E)</enum><text>in any case in which the investigation under paragraph (1) is conducted by a designee of the President, provide guidance to the designee for determining the manner and under what circumstances the designee shall report the results of the investigation and the recommendations of the designee to the President for the President’s consideration.</text></subparagraph></paragraph> 
<paragraph id="HAD50909EC24E420AA28EED127852B8EC" display-inline="no-display-inline"><enum>(3)</enum><header>Timing</header><text display-inline="yes-display-inline">Any investigation required under paragraph (1) shall be completed before the end of the 45-day period beginning on the date of the determination under subsection (a) that the merger, acquisition, or takeover may possibly have an effect on the national security of the United States.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section> 
<section id="H255B398DB24C45B1A905A93FE71E009B"><enum>3.</enum><header>Authority to take certain actions after withdrawal of notice</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) is amended—</text> 
<paragraph id="H8527044535314C4499963F8F0046F398"><enum>(1)</enum><text>by redesignating subsection (k) as subsection (o); and</text></paragraph> 
<paragraph id="HA6B1CA1AC6C541B18C77E2BEE5F157A"><enum>(2)</enum><text display-inline="yes-display-inline">by inserting after subsection (j) the following new subsection:</text> 
<quoted-block style="OLC" id="HCE480CC5F68A486EBDD1A51D01BE0086" display-inline="no-display-inline"> 
<subsection id="H79CDEA1E8E154DBF90304505B5D6587F"><enum>(k)</enum><header>Authority in case of withdrawal of notice</header><text display-inline="yes-display-inline">In the case of any withdrawal of written notice submitted by a person or entity under subsection (a)(1) of any proposed or pending merger, acquisition, or takeover before any review or investigation under subsection (a) or (b), as the case may be, is completed, the President or the President's designee shall establish—</text> 
<paragraph id="H333A3B64A3A04760B520977D5D563DFA"><enum>(1)</enum><text display-inline="yes-display-inline">interim protections to address specific concerns with such merger, acquisition, or takeover that have been raised in connection with any such review or investigation pending any resubmission of such written notice by such person or entity and further action by the President under this section;</text></paragraph> 
<paragraph id="H5BFDD0DC4BB2464B9973BF7473CB8E8F"><enum>(2)</enum><text>specific timeframes for resubmitting any such written notice; and</text></paragraph> 
<paragraph id="H54E7446FD38A442EAD864DC404DE1C95"><enum>(3)</enum><text display-inline="yes-display-inline">a process for tracking any actions that may be taken by such person or entity in connection with such merger, acquisition, or takeover prior to resubmitting any such written notice.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section> 
<section id="H665B9DDEBECD46C9BFD713DC73BE8F60"><enum>4.</enum><header>Additional factors required to be considered</header><text display-inline="no-display-inline">Section 721(f) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(f)</external-xref>) is amended—</text> 
<paragraph id="HAC9904F353D84BDAB4F72E76A86C194C"><enum>(1)</enum><text>in the matter preceding paragraph (1)—</text> 
<subparagraph id="HE9525498616F4A479218C9D7EE107C4"><enum>(A)</enum><text>by striking <quote>may</quote> and inserting <quote>shall</quote>; and</text></subparagraph> 
<subparagraph id="H02B2BA878D714B44AAAD00CFAD125074"><enum>(B)</enum><text>by striking <quote>among other factors</quote>;</text></subparagraph></paragraph> 
<paragraph id="H253420146BC74174A747E2EC43EE6253"><enum>(2)</enum><text>by striking <quote>and</quote> at the end of paragraph (4);</text></paragraph> 
<paragraph id="H6A9AB5B6DD1B4B8BAF3F4F60CB6B64B1"><enum>(3)</enum><text>by striking the period at the end of paragraph (5) and inserting a semicolon; and</text></paragraph> 
<paragraph id="HCC2DEA6D25644BB39BD2955B4FDDC422"><enum>(4)</enum><text>by adding at the end the following new paragraphs:</text> 
<quoted-block style="OLC" id="HEF1E0329CD5449379B8F2D9F2B998E00" display-inline="no-display-inline"> 
<paragraph id="H50BC59ED34AD4185AE0076493DAFA149"><enum>(6)</enum><text display-inline="yes-display-inline">whether the acquisition affects the critical infrastructure of the United States;</text></paragraph> 
<paragraph id="HAB1FBC4894C0413FB4601FC7CEB8E422"><enum>(7)</enum><text display-inline="yes-display-inline">whether an entity controlled by or acting on behalf of a foreign government is involved in the transaction; and</text></paragraph> 
<paragraph id="HCCE6BEE16FE34F40AED7D4360064AC6D"><enum>(8)</enum><text>such other factors as the President or the President’s designee may determine to be appropriate, generally or in connection with a specific investigation.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section> 
<section id="HB8B87502151F4E53B7F6C2311BF8438"><enum>5.</enum><header>Increased oversight by the congress</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) is amended by inserting after subsection (k) (as added by section 3 of this Act) the following new subsections:</text> 
<quoted-block style="OLC" id="H0EC07DF6AB284AC08DEE09B7726EC700" display-inline="no-display-inline"> 
<subsection id="H1B4A708D435D48F1B6C9C709CC3F44AA"><enum>(l)</enum><header>Annual report to the congress</header> 
<paragraph id="HC050A9EC89DA47FE89A84F617654198E"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The President or the President's designee shall transmit a report to the Congress before January 31 of each year on all the reviews under subsection (a) and the investigations under subsection (b) conducted during the preceding year.</text></paragraph> 
<paragraph id="HBAAE715FF6AD4B08B94D71ABAA207434"><enum>(2)</enum><header>Contents of report</header><text display-inline="yes-display-inline">The report under paragraph (1) shall contain the following information with respect to each proposed or pending merger, acquisition, or takeover covered by the report which was reviewed under subsection (a) or investigated under subsection (b):</text> 
<subparagraph id="HC2A65DCEEF774515861EF8DDE4D48CF7"><enum>(A)</enum><text>The national security concerns, if any, raised by any agency contacted in connection with or involved in any aspect of such review and investigation.</text></subparagraph> 
<subparagraph id="H26F5F0C3FC8C446084DA82D75D16E833"><enum>(B)</enum><text display-inline="yes-display-inline">The manner in which any such concerns were mitigated either by action of the President or the President's designee or by the action of any party to the merger, acquisition, or takeover.</text></subparagraph> 
<subparagraph id="HEF9E7FA07EE5420EAC00DF6BD0EDC4EC"><enum>(C)</enum><text display-inline="yes-display-inline">Whether the merger, acquisition, or takeover was consummated, abandoned, or remained pending at the end of the year covered by the report.</text></subparagraph></paragraph></subsection> 
<subsection id="HDA7FE31DF15D4B53AB7FE6E1127B89C5"><enum>(m)</enum><header>Quarterly report on transactions under consideration</header> 
<paragraph id="HC51E05E4F19A42F5A2A653BBD6DA0BB"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Before the end of the 10-day period beginning on the 1st day of each calendar quarter, the President or the President's designee shall transmit a report to the Congress on all transactions which, as of the last day of the preceding calendar quarter, were under review under subsection (a) or under investigation under subsection (b).</text></paragraph> 
<paragraph id="HA7C916B4F2E0495F8B856127929BD7CC"><enum>(2)</enum><header>Contents</header><text display-inline="yes-display-inline">The report under paragraph (1) shall contain such information as may be necessary to inform the Congress of the nature and scope of each transaction, the national security implications of each transaction, the parties to each transaction, the possible terms of any contemplated, pending, or completed mitigation agreement or other limitations or requirements that may be imposed as a condition for approval of the transaction, and such other information that may be useful to the Congress or requested by the Congress in reviewing such transaction.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block> </section> 
<section id="HF09352C86E8E4D44A9D36B10EE9E3C3C"><enum>6.</enum><header>Statutory establishment of the Committee on Foreign Investment in the United States</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) is amended by inserting after subsection (m) (as added by section 5 of this Act) the following new subsection:</text>

<subsection id="H1AFE90CD52F54097A6263E823071E363"><enum>(n)</enum><header>Committee on foreign investment in the United States</header> 
<paragraph id="HFDAB7A74F9954682B76FBEE9C7B6D69E"><enum>(1)</enum><header>Establishment</header><text display-inline="yes-display-inline">The Committee on Foreign Investment in the United States established pursuant to Executive Order No. 11858 (hereafter in this section referred to as the <quote>Committee</quote> shall be a multi-agency committee to carry out this section as the designee of the President and such other assignments as the President may designate.</text></paragraph> 
<paragraph id="H58B882BFC1AB423B833B573C6EA728B1"><enum>(2)</enum><header>Membership</header><text>The Committee shall be comprised of the following members or their designee:</text> 
<subparagraph id="HBEC788DD42614C558569F7EA00685CAC"><enum>(A)</enum><text>The Secretary of the Treasury.</text></subparagraph> 
<subparagraph id="HC33FDF4AA1584A92953F94D064D5149D"><enum>(B)</enum><text>The Secretary of Commerce.</text></subparagraph> 
<subparagraph id="H3F4CCAD32DAD4116BF2E8B8647120013"><enum>(C)</enum><text>The Secretary of Defense.</text></subparagraph> 
<subparagraph id="HCA22440F3FC745A88DEC0F83BD464AB"><enum>(D)</enum><text>The Secretary of State.</text></subparagraph> 
<subparagraph id="H0511047D6CA8419F8BB265E07025F95"><enum>(E)</enum><text>The Attorney General.</text></subparagraph> 
<subparagraph id="HCD93C932A32B4B039FDCABEFBDE381BA" display-inline="no-display-inline"><enum>(F)</enum><text>The Secretary of Homeland Security.</text></subparagraph>

<subparagraph id="H2F56CE9CC4B045329B485BB785C80348"><enum>(J)</enum><text>The Director of the National Economic Council.</text></subparagraph> 
<subparagraph id="H5E920EF2021146A8B4F8960307C1B541" display-inline="no-display-inline"><enum>(K)</enum><text>The Director of the Office of Science and Technology Policy.</text></subparagraph> 
<subparagraph id="H639572729B8D4CE980D27C3DBC1946DA"><enum>(L)</enum><text>Any other designee of the President from the Executive Office of the President.</text></subparagraph> 
<subparagraph id="H0A430F0A21FB4F33B386F6362DF7001B"><enum>(M)</enum><text>The Director of National Intelligence.</text></subparagraph></paragraph> 
<paragraph id="HD457CAAB7F8045C984784294ADB3893F" display-inline="no-display-inline"><enum>(3)</enum><header>Chairperson</header><text>The Secretary of the Treasury shall be the Chairperson of the Committee.</text></paragraph> 
<paragraph id="HBD4B2C21E4504145AEF3E80184DD47D1"><enum>(4)</enum><header>Other members</header><text display-inline="yes-display-inline">The Chairperson of the Committee shall involve the heads of such other Federal agencies in any investigation under subsection (a) as the Chairperson determines to be appropriate on the basis of the facts and circumstances of the transaction under investigation or the designee of any such agency head.</text></paragraph> 
<paragraph id="H05413F5D48FF48D6862706EB43CDB13D"><enum>(5)</enum><header>Meetings</header><text display-inline="yes-display-inline">The Committee shall meet upon the direction of the President or upon the call of the Chairperson of the Committee.</text></paragraph> 
<paragraph id="HDC8191C6F683491588D77B32D745FC55"><enum>(6)</enum><header>Hearings and evidence</header><text>The Committee may, for the purpose of carrying out this section—</text> 
<subparagraph id="H284AEBD2D7B147728B87685FB3459316"><enum>(A)</enum><text>hold such hearings and sit and act at such times and places, take such testimony, receive such evidence, administer such oaths; and</text></subparagraph> 
<subparagraph id="H189B0F2D0B9C4A8B815323FA20C694F5"><enum>(B)</enum><text>subject to paragraph (7)(A), require, by subpoena or otherwise, the attendance and testimony of such witnesses and the production of such books, records, correspondence, memoranda, papers, and documents as the Chairperson of the Committee may determine advisable.</text></subparagraph></paragraph> 
<paragraph id="HC39CB454A98F478B831E93CE6DB1EF95" display-inline="no-display-inline"><enum>(7)</enum><header>Subpoenas</header> 
<subparagraph id="H745BA6981ED54720004F92195B755900"><enum>(A)</enum><header>Issuance</header> 
<clause id="HA6553EE8FDD049C3819E336D16B11266"><enum>(i)</enum><header>In general</header><text>A subpoena may be issued under this subsection only by direction of the President or the Chairperson.</text> </clause> 
<clause id="H210EA2DEF8344123B4587075A1DCFBF3"><enum>(ii)</enum><header>Signature</header><text>Subject to clause (i), subpoenas issued under this subsection may be issued under the signature of the Chairperson and may be served by any person designated by the Chairperson or by a member designated by a majority of the Committee.</text></clause></subparagraph> 
<subparagraph id="H85524E72ECB5436B91F4F235FD430800"><enum>(B)</enum><header>Enforcement</header><text display-inline="yes-display-inline">In the case of contumacy or failure to obey a subpoena issued under subparagraph (A), the United States district court for the judicial district in which the subpoenaed person resides, is served, or may be found, or where the subpoena is returnable, may issue an order requiring such person to appear at any designated place to testify or to produce documentary or other evidence. Any failure to obey the order of the court may be punished by the court as a contempt of that court.</text> </subparagraph></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></section>
