<official-title>To amend the Defense Production Act of 1950 to strengthen the requirements relating to investigations under such Act, and for other purposes.</official-title>

<section id="HBDBCC2E756804CD69336E3C15EB443E" section-type="section-one"><enum>1.</enum><header>Short title</header> <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Port Operations Require Tough Scrutiny (PORTS) Act of 2006</short-title></quote>.</text></section> 
<section id="HFA4241B20F52479FA26FF33DB4978C14"><enum>2.</enum><header>Commencement of investigations</header> 
<subsection id="HCF3A47FA758A4761BE2C00E0D5314989"><enum>(a)</enum><header>Discretionary investigations</header><text>Section 721(a) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(a)</external-xref>) is amended—</text> 
<paragraph id="H47CAA432EA8E412FBEF69ECC713C9EBD"><enum>(1)</enum><text>in the second sentence, by striking <quote>30 days</quote> and inserting <quote>60 days</quote>; </text></paragraph> 
<paragraph id="H5F65A6C45A3E481196D0827CB9C99527"><enum>(2)</enum><text>by inserting after the second sentence the following new sentence: <quote>The 60-day period specified in the preceding sentence may be extended by an additional 10 days if the President or the President’s designee determines that it is appropriate to do so.</quote>; and</text></paragraph> 
<paragraph id="H380B8BD024414FDCAAC22900E7007C73"><enum>(3)</enum><text>in the fourth sentence (as so redesignated), by striking <quote>such determination</quote> and inserting <quote>a determination is made under this subsection that an investigation should be undertaken</quote>.</text></paragraph></subsection> 
<subsection id="HDDE6FE3E034E411F955DB4D2F0F05800"><enum>(b)</enum><header>Mandatory investigations</header><text>Section 721(b) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(b)</external-xref>) is amended—</text> 
<paragraph id="HD8A4C2B429D644E79862D15EC8F1C812"><enum>(1)</enum><text>in paragraph (1), by striking <quote>30 days</quote> and inserting <quote>60 days</quote>; and</text></paragraph> 
<paragraph id="H2FA5B8E0865249FFBDC9EA5C2D2AEC"><enum>(2)</enum><text>by adding at the end the following new sentence:</text>

<subsection id="HE357746EC1004624A166DCA2811FDCC9"><enum>(c)</enum><header>Effective date</header><text display-inline="yes-display-inline">The amendments made by subsections (a) and (b) apply with respect to written notifications of proposed or pending mergers, acquisitions, or takeovers received pursuant to section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) on or after the date of the enactment of this Act.</text></subsection></section> 
<section id="H4456DECB2CC94748A600A07C82DD7E55"><enum>3.</enum><header>Additional mandatory investigations</header> 
<subsection id="HEB2152E19F4C4F9D98C1CD9547B19728"><enum>(a)</enum><header>Amendments</header><text display-inline="yes-display-inline">Section 721(b) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(b)</external-xref>), as amended by section 2(b) of this Act, is further amended—</text>

<subparagraph id="HDCE0CE12571C492C9F32F2BD0910B27F"><enum>(B)</enum><text>a foreign person seeks to engage in any merger, acquisition, or takeover which could result in foreign control of persons engaged in interstate commerce in the United States that could affect the critical infrastructure of the United States.</text></subparagraph><after-quoted-block>; </after-quoted-block></quoted-block></subparagraph></paragraph> 
<paragraph id="H1B5AAF52B1354AD58B8D132CC0B8FA27"><enum>(2)</enum><text>in the second sentence—</text>

<subparagraph id="HAF773BBED5E24F2381C2D000EB45C7E0"><enum>(B)</enum><text>by redesignating paragraphs (1) and (2) as clauses (i) and (ii), respectively, and moving the margins of clauses (i) and (ii) (as so redesignated) 4 ems to the right; </text></subparagraph></paragraph> 
<paragraph id="HACDCCD07D5584AFBAB9335716B3994D0"><enum>(3)</enum><text>in the third sentence (as added by section 2(b)(2) of this Act), by striking <quote>The 60-day period specified in paragraph (1)</quote> and inserting the following new subparagraph: </text>

<subparagraph id="HAAC9DC8F0E554D77A0065F83C200903D"><enum>(A)</enum><text>has the meaning given the term in section 2(4) of the Homeland Security Act of 2002 (<external-xref legal-doc="usc" parsable-cite="usc/6/101">6 U.S.C. 101(4)</external-xref>); and</text></subparagraph> 
<subparagraph id="HA9AF6D6F39164757A8DD09A61483A4FF"><enum>(B)</enum><text>includes seaports in the United States.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H02979427D8D24F090091C9000000E954"><enum>(b)</enum><header>Effective date</header><text>The amendments made by subsection (a) apply with respect to written notifications of proposed or pending mergers, acquisitions, or takeovers received pursuant to section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) on or after the date of the enactment of this Act.</text></subsection></section> 
<section id="H3145D7A6DF34412EA405A44763651088"><enum>4.</enum><header>Report; action with respect to certain mandatory investigations</header> 
<subsection id="H4A06DDF5EF4D4BAAB405A3816E3C5D8D"><enum>(a)</enum><header>Amendments</header><text>Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>) is amended—</text> 
<paragraph id="H720041155A414390BC86DCB47FCB63F8"><enum>(1)</enum><text>by redesignating subsections (g) through (k) as subsections (h) through (l), respectively; and</text></paragraph> 
<paragraph id="HCB76814BCAC343E5A594D2E2FA819171"><enum>(2)</enum><text>by inserting after subsection (f) the following new subsection:</text>

<subsection id="H9A71CF681F6A4C4AB03E358E667DE596"><enum>(g)</enum><header>Report; action with respect to certain mandatory investigations</header> 
<paragraph id="H3AB029CFBA3A4E9694A7D346B5E07BD"><enum>(1)</enum><header>Report</header><text>If the determination of the President or the President’s designee pursuant to an investigation described in subsection (b)(1)(A)(ii) of this section is that the President or the President’s designee, as the case may be, approves or does not otherwise object to the merger, acquisition, or takeover which is the subject of the investigation and the President decides not to take action pursuant to subsection (d) of this section with respect to the merger, acquisition, or takeover, as the case may be, then the President shall, not later than 30 days after the date on which the investigation is completed, transmit to the Congress a report that contains the decision of the President not to take action pursuant to subsection (d) of this section with respect to the merger, acquisition, or takeover, as the case may be.</text></paragraph> 
<paragraph id="H632C1F3D5C40434C9018C122CC69E559"><enum>(2)</enum><header>Action pursuant to joint resolution</header><text>If, not later than 45 days after the date on which the Congress receives the report referred to in paragraph (1), a joint resolution described in paragraph (3) is enacted into law, then the President shall take such action under subsection (d) of this section as is necessary to prohibit the merger, acquisition, or takeover which is the subject of the investigation, including, if the merger, acquisition, or takeover, as the case may be, has been completed, directing the Attorney General to seek divestment or other appropriate relief in the district courts of the United States.</text></paragraph> 
<paragraph id="HA1E449844D47411B8300C27CB1A67597"><enum>(3)</enum><header>Joint resolution described</header><text>For purposes of paragraph (2), the term <quote>joint resolution</quote> means a joint resolution of the Congress, the sole matter after the resolving clause of which is as follows: <quote>That the Congress disapproves the decision of the President contained in the report transmitted to the Congress pursuant to section 721(g)(1) of the Defense Production Act of 1950 on _________.</quote>, with the blank space being filled with the appropriate date.</text></paragraph> 
<paragraph id="H1BD4566FA9E34340A1049ED6576268B1"><enum>(4)</enum><header>Computation of review period</header><text>In computing the 45-day period referred to in paragraph (2), there shall be excluded any day described in section 154(b) of the Trade Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/19/2194">19 U.S.C. 2194(b)</external-xref>).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="HBE9B7BAC777E43529F35231899E192B5"><enum>(b)</enum><header>Effective date</header><text>The amendments made by subsection (a) apply with respect to investigations commenced under section 721(b)(1)(A)(ii) of the Defense Production Act of 1950 (as added by section 3(a)(1)(D) of this Act) on or after the date of the enactment of this Act.</text> </subsection></section>

<subsection id="HDA6F02AA61714ACFBB9412E28983F208"><enum>(a)</enum><header>Amendments</header><text display-inline="yes-display-inline">Subsection (h) of section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(g)</external-xref>), as redesignated by section 2(a)(1) of this Act, is amended—</text>

<clause id="HFACF3067A5074966833D9ED1C5D3B114"><enum>(i)</enum><text display-inline="yes-display-inline">a description of each written notification of a proposed or pending merger, acquisition, or takeover received pursuant to this section during the preceding year, including, with respect to each such written notification involving a merger, acquisition, or takeover described in subsection (b)(1)(A)(ii), an analysis of the corporate structure of the entity controlled by or acting on behalf of a foreign government, including whether or not the entity is a publicly-traded corporation, and an identification of the majority shareholder or shareholders; and</text></clause> 
<clause id="HF8F86FE0FA8E4B1591E3D6DDF031512D"><enum>(ii)</enum><text>a description of the determination to undertake or not undertake an investigation of the merger, acquisition, or takeover referred to in clause (i) and the reasons therefor.</text></clause></subparagraph> 
<subparagraph id="H86A820C57FDE4B2CABBE9DFDC596F20"><enum>(B)</enum><header>Definition</header><text>In this paragraph, the term <quote>appropriate congressional committees</quote> means—</text> 
<clause id="H19DDC915056542AEBA708DC5E10707A6"><enum>(i)</enum><text>the Committee on Homeland Security and the Permanent Select Committee on Intelligence of the House of Representatives; and</text></clause> 
<clause id="HD6E896F4E6974C73A879668510214000"><enum>(ii)</enum><text>the Committee on Homeland Security and Governmental Affairs and the Select Committee on Intelligence of the Senate.</text></clause></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H0F469A6A4F754317838B1BDBED517B2"><enum>(b)</enum><header>Effective date</header><text>The report required to be transmitted to Congress under section 721(h)(2) of the Defense Production Act of 1950 (as added by subsection (a) of this section) shall be transmitted beginning in 2007 and each subsequent calendar year.</text></subsection></section> 
<section id="H35A0AE2DE8D641198938EA7BD36C24CB"><enum>6.</enum><header>Technical amendments</header><text display-inline="no-display-inline">Section 721 of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170</external-xref>), as amended by this Act, is further amended—</text> 
<paragraph id="HEE161C03C63B48D6B4EE2BD18B3BB6C"><enum>(1)</enum><text>in subsection (d), by striking <quote>Subject to subsection (d)</quote> and inserting <quote>Subject to subsection (e)</quote>; </text></paragraph> 
<paragraph id="HC5C64868036E43DB8651ACB6FF593A4"><enum>(2)</enum><text>in subsection (e), by striking <quote>the authority conferred by subsection (c)</quote> and inserting <quote>the authority conferred by subsection (d)</quote>; and </text></paragraph> 
<paragraph id="HB17383C55D9A4268ACD62690AF1540D2"><enum>(3)</enum><text display-inline="yes-display-inline">in subsection (h)(1) (as redesignated by section 2(a)(1) and further amended by section 3(a)(2) of this Act), by striking <quote>subsection (c) of this Act</quote> and inserting <quote>subsection (c) of this section</quote>.</text></paragraph></section> 
<section id="H2239AD6E07F143AE847B92D049F3E676" section-type="subsequent-section"><enum>7.</enum><header>Verification of security measures under the Customs-Trade Partnership Against Terrorism (C–TPAT) program and the Free and Secure Trade (FAST) program</header> 
<subsection id="HB185E5A8A01949DFBC31C3D651473CA"><enum>(a)</enum><header>General verification</header><text display-inline="yes-display-inline">Not later than one year after the date of the enactment of this Act, and on a biannual basis thereafter, the Commissioner of the Bureau of Customs and Border Protection of the Department of Homeland Security shall verify on-site the security measures of each individual and entity that is participating in the Customs-Trade Partnership Against Terrorism (C–TPAT) program and the Free And Secure Trade (FAST) program.</text></subsection> 
<subsection id="H0BB557CA2BF74891967FDF41C69C2150"><enum>(b)</enum><header>Policies for noncompliance with C–TPAT program requirements</header><text display-inline="yes-display-inline">The Commissioner shall establish policies for non-compliance with the requirements of the C–TPAT program by individuals and entities participating in the program, including probation or expulsion from the program, as appropriate.</text></subsection></section>
