<official-title>To amend section 721 of the Defense Production Act of 1950 to suspend all proposed mergers, acquisitions, or takeovers by foreign persons until certain determinations are made.</official-title>

<section id="H08AFB3D6AEAC4012BBD47D2E25E890F0" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Safe and Accountable Foreign Enterprises Proving Other Requirements To Secure (SAFE PORTS) Act</short-title></quote>.</text></section> 
<section id="H1D73EEF2D3414C958EEC3815267B425F"><enum>2.</enum><header>Modification of procedures for proposed mergers, acquisitions, or takeovers by foreign persons</header> 
<subsection id="HD87B2725DDAE479A00C329847DBB1D8B"><enum>(a)</enum><header>Suspension of mergers, acquisitions, and takeovers</header><text>Section 721(a) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(a)</external-xref> is amended—</text> 
<paragraph id="HDB5B3E461EBC4F2D94E5509803820718"><enum>(1)</enum><text>by striking—</text> 
<quoted-block style="OLC" id="H07A4AABE684A4C0CBDB1B1B9EF3E584F" display-inline="no-display-inline"> 
<subsection id="H180A0B3E175A401B81DB0049007F19BD"><enum>(a)</enum><header>Investigations</header><text>The President</text></subsection><after-quoted-block> and inserting</after-quoted-block></quoted-block> 
<quoted-block style="OLC" id="HDBF65115601B475C94E41CD1DB73ECC2" display-inline="no-display-inline"> 
<subsection id="H3B6DCC9B653A4450986D5600197F7EC9"><enum>(a)</enum><header>Investigations</header> 
<paragraph id="H44D045C0BFC64B1BAD07EA0060E9D46D"><enum>(1)</enum><header>In general</header><text>The President</text></paragraph></subsection><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph> 
<paragraph id="HFEB18B1E98B047ACA5CC9CFAD81E883E"><enum>(2)</enum><text>by adding at the end the following:</text> 
<quoted-block style="OLC" id="HED51BE1902F44A08B8E36EE240C0FA3E" display-inline="no-display-inline"> 
<paragraph id="HDBDA080EB78E430496EE8C4F36A82F4"><enum>(2)</enum><header>Required determinations</header><text>No proposed or pending merger, acquisition, or takeover to which paragraph (1) applies may become effective unless approved by the President or the President’s designee, and no such merger, acquisition, or takeover may be so approved unless the President has determined that—</text> 
<subparagraph id="H92766E65C1D7461D93F4886F5F1D74DB"><enum>(A)</enum><text>there is no credible evidence that leads the President to believe that the foreign interest that would exercise control of persons engaged in interstate commerce in the United States might take action that would threaten to impair the national security of the United States; and</text></subparagraph> 
<subparagraph id="H9032940DB691487A0086EE9E0F92E96"><enum>(B)</enum><text>provisions of law other than this section and the International Emergency Economic Powers Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701–1706</external-xref>) provide adequate and appropriate authority for the President to protect the national security with respect to the proposed merger, acquisition, or takeover.</text></subparagraph></paragraph> 
<paragraph id="H4CC7080C89494B3180E8EFDD009178B"><enum>(3)</enum><header>Required investigation</header><text display-inline="yes-display-inline">If the President is unable to make the determination required under paragraph (2) with respect to a merger, acquisition, or takeover, then an investigation shall be made under subsection (b) with respect to that merger, acquisition, or takeover.</text></paragraph> 
<paragraph id="HBD9274D313AA47428DB76D2610278224"><enum>(4)</enum><header>Judicial review</header><text>Any determination of the President under paragraph (2) is not subject to judicial review.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H640098EC7E674C8D8FEAC142C306637"><enum>(b)</enum><header>Conforming amendments</header><text>Section 721 of the Defense Production Act of 1950 is amended—</text> 
<paragraph id="HB2BC841751A84EDCAB9945E9D34355B7"><enum>(1)</enum><text>in subsection (d), by striking <quote>Subject to subsection (d), the</quote> and inserting <quote>The</quote>;</text></paragraph> 
<paragraph id="HCC327312364343D190CE90C2E7F8D58"><enum>(2)</enum><text>by striking subsection (e) and redesignating subsections (f) through (k) as subsections (e) through (j), respectively; and</text></paragraph> 
<paragraph id="H623FC7EB0D2149D193EB02682438E742"><enum>(3)</enum><text>in subsection (f), as redesignated—</text> 
<subparagraph id="HF639DF3C63FC46C48EAE893533331857"><enum>(A)</enum><text>in the heading, by striking <quote><header-in-text level="subsection" style="OLC">Report</header-in-text></quote> and inserting <quote><header-in-text level="subsection" style="OLC">Reports</header-in-text></quote>;</text></subparagraph> 
<subparagraph id="H62BE8C8CB4DD40FA8732F2E2AD0013E"><enum>(B)</enum><text>by striking <quote>The President</quote> and inserting—</text>

<subparagraph id="H6BBD6F08658F411B8775BCD339FCCC23"><enum>(C)</enum><text display-inline="yes-display-inline">by striking <quote>findings made under subsection (e) and the factors considered under subsection (f)</quote> and inserting <quote>the factors considered under subsection (e)</quote>; and</text></subparagraph> 
<subparagraph id="HF3A7AB3FF9584186AD0809CB76FB9955"><enum>(D)</enum><text>by adding at the end the following:</text>

<subparagraph id="H39A46B28E3C54EB4BCDDE03429B316B0"><enum>(A)</enum><header>Reports</header><text>Not later than the 30 days after the end of each calendar quarter, the President shall transmit to the Congress a report on the actions taken under subsection (a) during that calendar quarter on all proposed mergers, acquisitions, and takeovers.</text></subparagraph> 
<subparagraph id="H5FB3A292E0044763B75D0042BF5D1CF0"><enum>(B)</enum><header>Definition</header><text>In this paragraph, the term <quote>calendar quarter</quote> means the 3-month period beginning on January 1, April 1, July 1, and October 1 of each year.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subparagraph></paragraph></subsection></section>
