<official-title>To amend the Defense Production Act of 1950 to improve national security and clarify congressional intent with respect to the review process for certain mergers and acquisitions, and for other purposes.</official-title>

<section id="H79004741E6744ECDBC258D45CEE91F82" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>United States Security Improvement Act of 2006</short-title></quote>.</text></section> 
<section id="H1E0D1B4062734F7093F641E781781FB"><enum>2.</enum><header>Amendments to Defense Production Act of 1950 relating to mandatory investigations</header><text display-inline="no-display-inline">Section 721(b) of the Defense Production Act of 1950 (<external-xref legal-doc="usc-appendix" parsable-cite="usc-appendix/50/2170">50 U.S.C. App. 2170(b)</external-xref>) is amended—</text> 
<paragraph id="H48319165DC954B0F8B6D4DBE67C08622"><enum>(1)</enum><text>by redesignating paragraphs (1) and (2) as subparagraphs (A) and (B), respectively, and moving the left margin of such provisions 4 ems to the right;</text></paragraph> 
<paragraph id="HB66288D799BC455D8B5F15BD3311D7D1"><enum>(2)</enum><text>by striking <quote><header-in-text level="subsection" style="OLC">Mandatory investigations</header-in-text>.—The President</quote> and inserting </text> 
<quoted-block style="OLC" id="H0E531F57F2A64BA789814DA5E03D7A0" display-inline="yes-display-inline"><text display-inline="yes-display-inline"><header-in-text level="subsection" style="OLC">Mandatory investigations</header-in-text>.—</text> 
<paragraph id="H2B17609C2ACF40EBA0EAB04DEB3DB7D"><enum>(1)</enum><header>In general</header><text>The President</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H0DF9D7D5D08C4C808C97D884BE008FF5"><enum>(3)</enum><text>by striking <quote>that could affect the national security of the United States</quote> at the end of the 1st sentence;</text></paragraph> 
<paragraph id="H94FD559A52B24DBE8EA7FF27667E33B9"><enum>(4)</enum><text>by inserting after the 1st sentence the following new paragraph:</text> 
<quoted-block style="OLC" id="H2A304F57203F4FAD95B406D5E897006E" display-inline="no-display-inline"> 
<paragraph id="H027D8A42C9D2445AB66E1E2776A80020"><enum>(2)</enum><header>Purpose of investigation</header><text display-inline="yes-display-inline">The purpose of a mandatory investigation under this section shall be to determine whether the merger, acquisition, or takeover referred to in paragraph (1) could affect the national security of the United States.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></paragraph> 
<paragraph id="HCF4218437B1742B386402C5E066005B5"><enum>(5)</enum><text>by striking <quote>Such investigation shall—</quote> and inserting the following: </text>

<paragraph id="HCF8F662D62AE43F79E00D97EC820009E"><enum>(3)</enum><header>Timing of investigation</header><text>Subject to paragraph (4), a mandatory investigation under this section shall—</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></paragraph> 
<paragraph id="H2BA33A97C52A4C79BCB5043FD2BDA0D7"><enum>(6)</enum><text>by adding at the end the following new paragraph:</text>

<paragraph id="H033D9D71752443D3AEFDE164EF19A84F"><enum>(4)</enum><header>Notice and wait requirements</header> 
<subparagraph id="H20277F3DEDF342D9B8DF65FB9D4BC17D"><enum>(A)</enum><header>Notice to the congress</header> 
<clause id="H0D88A407C37A4B98B00094A849B8699B"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">Within 5 days after initiating a mandatory investigation under paragraph (1), the President or the President’s designee shall transmit a notice of the transaction being investigated to each House of the Congress.</text></clause> 
<clause id="H58DAF60B95094F4CA1E9A3B7C16E44DC"><enum>(ii)</enum><header>Distribution</header><text>Any notice received under clause (i) shall be promptly transmitted to the appropriate committees of the House of Representatives and the Senate, including the Permanent Select Committee on Intelligence, the Committee on Homeland Security, and the Committee on Financial Services of the House of Representatives and the Select Committee on Intelligence, the Committee on Homeland Security and Governmental Affairs, and the Committee on Banking, Housing, and Urban Affairs of the Senate.</text></clause> 
<clause id="HB2E69DFEF8864FB893F15700AF489767"><enum>(iii)</enum><header>Contents of notice</header><text display-inline="yes-display-inline">The notice shall include such details of the transaction as will enable committees of the House of Representatives and the Senate to deliberate on the transaction.</text></clause></subparagraph> 
<subparagraph id="H360B3F13C5BB4FF18334C75D09B685EF"><enum>(B)</enum><header>Delayed period for action</header><text display-inline="yes-display-inline"> The President shall not make a determination to take action or not take action under subsection (d) with respect to a transaction for which notice to the Congress is required under subparagraph (A), other than to suspend the proposed transaction pending the outcome of the investigation, until 14 days after such notice is transmitted to the Congress in accordance with such subparagraph.</text></subparagraph> 
<subparagraph id="H2D515882383148A8B1CB98613FF9299F"><enum>(C)</enum><header>Consideration of congressional response</header><text display-inline="yes-display-inline">Any comments on the transaction provided by any committee of the House of Representatives or the Senate to which a notice was transmitted under subparagraph (A) shall be considered and taken into account by the President in making any determination under this section.</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section>
