<legis-type>A BILL</legis-type> 
<official-title>To amend title 11 of the United States Code with respect to avoidable preferences; and to amend title 28 of the United States Code with respect to venue for proceedings to avoid preferences under <external-xref legal-doc="usc" parsable-cite="usc/11/547">section 547</external-xref> of title 11 of the United States Code.</official-title>

<section id="HFAFAEAEEAB5445BCA01D9D8CD682878B" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as <quote><short-title>Innocent Supplier Fairness Act</short-title></quote>. </text></section> 
<section id="HFD9253D08C6E4FA1B2F9F35235144E79"><enum>2.</enum><header>Amendments</header> 
<subsection id="H27D2DABB1C3C4975BE69A2D5467D9538"><enum>(a)</enum><header>Amendment to title 11 of the United States Code</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/11/547">Section 547</external-xref> of title 11, United States Code, is amended by adding at the end the following:</text> 
<quoted-block style="OLC" id="HD09758972E9D444FBBF69F80C4878E54" display-inline="no-display-inline"> 
<subsection id="H7DCB0439048748E2BA260428EE87AE"><enum>(j) </enum><text>For the purposes of this section, the creditor or party in interest against whom recovery or avoidance is sought is presumed to have carried the burden of proving the nonavoidability of a transfer under subsection (c) unless the trustee proves that such creditor or such party is an insider or that the debtor has a special relationship with such creditor or such party that consists of—</text> 
<paragraph id="H4E985404C3F74F8ABF1CE9E3971E9D2F"><enum>(1)</enum><text>common ownership of the debtor and such creditor or such party; </text></paragraph> 
<paragraph id="H1FF7F1A89CE646DE83F93B008BF5E500"><enum>(2)</enum><text>common management of the debtor and such creditor or such party consisting of overlapping senior management or directors;</text></paragraph> 
<paragraph id="HA683D2B5CE454B16A14186D29039507C"><enum>(3)</enum><text>explicit notice from the debtor to such creditor or such party that the filing of a petition is contemplated or imminent before the date of the transfer; or</text></paragraph> 
<paragraph id="HAC63F9F3C32B46F2006C581CA0038B54"><enum>(4)</enum><text display-inline="yes-display-inline">the use by such creditor or such party of judicial process, in the 90-day period ending on the date of the filing of a petition, against the debtor to collect a debt with respect to which a transfer described in subsection (b) may have been made.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H251BD9BC468449FDAF48AB0082DD0002"><enum>(b)</enum><header>Amendment to title 28 of the United States Code</header><text><external-xref legal-doc="usc" parsable-cite="usc/28/1409">Section 1409(b)</external-xref> of title 28, United States Code, is amended—</text> 
<paragraph id="HB9A17A3623104D8E94501778E011443B"><enum>(1)</enum><text>by inserting <quote>(1)</quote> after <quote>(b)</quote>, and</text></paragraph> 
<paragraph id="H16BA9F465B4E4913927E4079F8C85C84"><enum>(2)</enum><text>by adding at the end the following:</text> 
<quoted-block style="OLC" id="H89DA521C6CBB4EB3B6B53006751D3F" display-inline="no-display-inline"> 
<subsection id="HE64A4E548AC54CB29D3CDEF8435E622"><enum>(2)</enum><text display-inline="yes-display-inline">Except as provided in subsection (d) of this section, a trustee in a case under title 11 may commence a proceeding under section 547 of such title only in the district court for the district in which the defendant resides.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection></section> 
<section id="H5B457436E322465BBA1B1F95A7B7830"><enum>3.</enum><header>Effective date; application of amendments</header><text display-inline="no-display-inline">The amendments made by this Act shall take effect on the date of the enactment of this Act and shall apply only with respect to cases commenced under title 11 of the United States Code after such date.</text> </section>
