<official-title>To amend the Internal Revenue Code of 1986 and the Employee Retirement Income Security Act of 1974 to provide for protections with respect to the accrued benefits of participants during conversions of pension plans to cash balance plans.</official-title>

<section id="H52AB4C4092304D0CBC1BBB5F015851A5" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Preservation of Defined Benefit Plans Act of 2005</short-title></quote>.</text></section> 
<section id="H60E4A60280164051ADE0957F7303D619"><enum>2.</enum><header>Rules relating to reduction in accrued benefits because of attainment of any age</header> 
<subsection id="HAE2C16E9A47C4B0AB3D5EA418FB2018C" display-inline="no-display-inline"><enum>(a)</enum><header>Amendment to Internal Revenue Code of 1986</header><text>Subparagraph (H) of <external-xref legal-doc="usc" parsable-cite="usc/26/411">section 411(b)(1)</external-xref> of the Internal Revenue Code of 1986 (relating to continued accrual beyond normal retirement age) is amended—</text> 
<paragraph id="HA29377B324E24B9782C6E512B1C3A00"><enum>(1)</enum><text>by striking the heading and inserting the following: <quote><header-in-text level="subparagraph" style="OLC">Rules relating to reduction in accrued benefits because of attainment of any age.—</header-in-text></quote>; and</text></paragraph> 
<paragraph id="H8EAD50CFD30740B3A401ECB6B46DBB7"><enum>(2)</enum><text>by adding at the end the following:</text>

<clause id="H4222470A25D141EC875C7875E1EFB0EF"><enum>(vi)</enum><header>Comparison to similarly situated, younger individuals</header> 
<subclause id="H113D613B480D497CBEC77055C15EE097" display-inline="no-display-inline"><enum>(I)</enum><header>In general</header><text display-inline="yes-display-inline">A defined benefit plan under which the accrued benefit payable under the plan upon distribution (or any portion thereof) is expressed as the balance of an account maintained for the participant shall not be treated as age discriminatory under the rules set forth in this subsection if the participant’s accrued benefit under the plan, as determined as of any date under the formula as set forth in the plan documents, would be equal to or greater than that of any similarly situated younger individual.</text></subclause> 
<subclause id="HEF9DFE7864524A31A8008C191CB385E8"><enum>(II)</enum><header>Similarly situated individual</header><text>For purposes of this clause, an individual is similarly situated to a participant if such individual is identical to such participant in every respect (including period of service, compensation, position, date of hire, work history, and any other respect) except for age.</text></subclause></clause><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection> 
<subsection id="H6F7FCCFC136D40AC87413602B19071EC"><enum>(b)</enum><header>Amendment to the Employee Retirement Income Security Act of 1974</header><text>Section 204(b)(1)(H) of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1054">29 U.S.C. 1054(b)(1)(H)</external-xref>) is amended by adding at the end the following new clause:</text>

<clause id="H85EA1FC5D91C44B5B5007ED713F2EBA7" indent="up2"><enum>(vii)</enum> 
<subclause id="H6D9B5C241BC04EFA8B6C10393F26159D" display-inline="yes-display-inline"><enum>(I)</enum><text display-inline="yes-display-inline">A defined benefit plan under which the accrued benefit payable under the plan upon distribution (or any portion thereof) is expressed as the balance of an account maintained for the participant shall not be treated as age discriminatory under the rules set forth in this subsection if the participant’s accrued benefit under the plan, as determined as of any date under the formula as set forth in the plan documents, would be equal to or greater than that of any similarly situated younger individual.</text></subclause> 
<subclause id="HAC2291FB8440451484469D3F2BC5DF68" indent="up1"><enum>(II)</enum><text>For purposes of this clause, an individual is similarly situated to a participant if such individual is identical to such participant in every respect (including period of service, compensation, position, date of hire, work history, and any other respect) except for age.</text></subclause></clause><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HE85C5B97FC4F415B877165E040971666"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply to plan years beginning before, on, or after the date of the enactment of this Act.</text></subsection></section> 
<section id="HECAA5179BBE24818AC3B083FEEDC801C"><enum>3.</enum><header>Determinations of accrued benefit as balance of benefit account</header> 
<subsection id="HE7B4996B1472487F8037EF192FF3F6E9" display-inline="no-display-inline"><enum>(a)</enum><header>Amendment to Internal Revenue Code of 1986</header><text>Subsection (a) of <external-xref legal-doc="usc" parsable-cite="usc/26/411">section 411</external-xref> of the Internal Revenue Code of 1986 (relating to minimum vesting standards) is amended by adding at the end the following new paragraph:</text> 
<quoted-block style="traditional" display-inline="no-display-inline" id="H76B698378D784B908BF0EDE62472AFE0"> 
<paragraph id="HDAA8C1B11B064EFC80E022E59D43AE52"><enum>(13)</enum><header>Maintenance of nonforfeitability of benefits expressed as account balance</header> 
<subparagraph id="H83503B0560EE4DC3008088001433D3C5"><enum>(A)</enum><header>In general</header><text>A defined benefit plan under which the accrued benefit payable under the plan upon distribution (or any portion thereof) is expressed as the balance of an account maintained for the participant shall not be treated as failing to meet the requirements of paragraph (2) or 417(e) solely because of the amount actually made available for such distribution under the terms of the plan, in any case in which—</text> 
<clause id="H3BB155110A964552AAB2A803962D0087"><enum>(i)</enum><text>the applicable interest rate that would be required to discount the participant’s accrued benefit projected under the terms of the plan to normal retirement age to a present value equal to the amount actually made available for distribution under the plan is not greater than</text></clause> 
<clause id="HF7B419B4351D42569EFCFEE0BF79A3AF"><enum>(ii)</enum><text>a market rate of return.</text></clause></subparagraph> 
<subparagraph id="H17C4F083E20F47FEA89B991F43C11107"><enum>(B)</enum><header>Regulations</header><text>The Secretary may provide by regulation for rules governing the calculation of a market rate of return for purposes of subparagraph (A) and for permissible methods of crediting interest to the account (including variable interest rates) resulting in effective rates of return meeting the requirements of subparagraph (A).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HEDDA3C32A19A427AAECA4C64896E8EA9"><enum>(b)</enum><header>Amendment to Employee Retirement Income Security Act of 1974</header><text>Section 203 of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1053">29 U.S.C. 1053</external-xref>) is amended by adding at the end the following new subsection:</text> 
<quoted-block style="traditional" display-inline="no-display-inline" id="HB014221CBE6C488BAE884F50CCABCBC3"> 
<subsection id="H017F7600DA8B455CB3124EF40015A98D"><enum>(f)</enum> 
<paragraph id="H75FE5FEA3FDB4749A98CEAADBC951534" display-inline="yes-display-inline"><enum>(1)</enum><text>A defined benefit plan under which the accrued benefit payable under the plan upon distribution (or any portion thereof) is expressed as the balance of an account maintained for the participant shall not be treated as failing to meet the requirements of subsection (a)(2) and section 205(g) solely because of the amount actually made available for such distribution under the terms of the plan, in any case in which—</text> 
<subparagraph id="H52F0A2499F8F41629B58CD6EA0EEFBF9" indent="up1"><enum>(A)</enum><text>the applicable interest rate that would be required to discount the participant’s accrued benefit projected under the terms of the plan to normal retirement age to a present value equal to the amount actually made available for distribution under the plan is not greater than</text></subparagraph> 
<subparagraph id="H7AE53A2213E649A5BDFF673FA35B257F" indent="up1"><enum>(B)</enum><text>a market rate of return.</text></subparagraph></paragraph> 
<paragraph id="HC7CDB06B1FC3409993D55E37CFF4003E" indent="up1"><enum>(2)</enum><text>The Secretary of the Treasury may provide by regulation for rules governing the calculation of a market rate of return for purposes of paragraph (1) and for permissible methods of crediting interest to the account (including variable interest rates) resulting in effective rates of return meeting the requirements of paragraph (1).</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection>

<section id="HA007002898094F4E84057978F55C5253"><enum>4.</enum><header>Age discrimination protections for pension plan participants from cash balance conversions</header> 
<subsection id="HE80F98FA5AF34BD58F4DEF4EABB2EEB6"><enum>(a)</enum><header>Amendment to Internal Revenue Code of 1986</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/411">Section 411</external-xref> of the Internal Revenue Code of 1986 (relating to special rules) is amended by adding at the end the following new subsection:</text>

<subsection id="H0F232A108C434BEF83E003A187284E9E"><enum>(f)</enum><header>Age discrimination safe harbor rules for certain plan conversions</header> 
<paragraph id="H867A64F211CC4F1F919BF89FF9FCF801"><enum>(1)</enum><header>Age discrimination</header><text display-inline="yes-display-inline">An applicable plan amendment adopted by a defined benefit plan shall not be treated as satisfying the requirements of this section unless the opening account balance of each participant under the plan after the adoption of the amendment is equal to at least the present value of the participant’s retirement benefit at age 65 before the effective date of the amendment, determined under the terms of the plan as in effect immediately before the effective date.</text></paragraph> 
<paragraph id="H8A28C66F289146BF9FF5CBEC32638F5F" display-inline="no-display-inline"><enum>(2)</enum><header>Applicable plan amendment</header><text>For purposes of this subsection, the term <term>applicable plan amendment</term> means a plan amendment which has the effect of converting a defined benefit plan to a plan under which the accrued benefit is expressed to participants and beneficiaries as an amount other than an annual benefit commencing at normal retirement age (or which has a similar effect as determined under regulations of the Secretary under subsection (b)(1)(I)(iv)). </text> </paragraph> 
<paragraph id="HAE2503E1628B4F9E9BB4A6E700D1F703"><enum>(3)</enum><header>Special transition rules</header> 
<subparagraph id="H508A5CB30F09431D9CB65B8E9775F4C3"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Paragraph (1) shall not apply with respect to an applicable plan amendment adopted on or after January 1, 1997, and before November 9, 2005, until the date which is 2 years after the date of the enactment of this subsection.</text></subparagraph> 
<subparagraph id="H3ABDDB71E18F4B849D00B377F91C405"><enum>(B)</enum><header>Participants separated from service before enactment</header><text display-inline="yes-display-inline">A participant who is separated from service before November 9, 2005, need not be taken into account for purposes of applying paragraph (1) until the date which is 3 years after the date of the enactment of this subsection.</text></subparagraph></paragraph> </subsection> <after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H6A2630686F294F9DBB3500783ED92E5D"><enum>(b)</enum><header>Employee Retirement Income Security Act of 1974</header><text>Section 203 of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1053">29 U.S.C. 1053</external-xref>) is amended by adding at the end the following new subsection:</text>

<subsection id="H26AF0ABB56A44D55B435247C74CDDECB"><enum>(f)</enum> 
<paragraph id="HC81BCB2E88E24F9BAAF5E75007F1CFD" display-inline="yes-display-inline"><enum>(1)</enum><text display-inline="yes-display-inline">An applicable plan amendment adopted by a defined benefit plan shall not be treated as satisfying the requirements of this section unless the opening account balance of each participant under the plan after the adoption of the amendment is equal to at least the present value of the participant’s retirement benefit at age 65 before the effective date of the amendment, determined under the terms of the plan as in effect immediately before the effective date.</text></paragraph> 
<paragraph id="HC8930ADB21784CAEB35EB1028F05B88F" display-inline="no-display-inline" indent="up1"><enum>(2)</enum><text>For purposes of this subsection, the term <term>applicable plan amendment</term> means a plan amendment which has the effect of converting a defined benefit plan to a plan under which the accrued benefit is expressed to participants and beneficiaries as an amount other than an annual benefit commencing at normal retirement age (or which has a similar effect as determined under regulations of the Secretary of the Treasury under subsection (b)(1)(I)(iv)). </text> </paragraph> 
<paragraph id="H0FDD0F089EAC437FBCBBE1ACC1A5E7D" indent="up1"><enum>(3)</enum> 
<subparagraph id="H27AF0CA7E59C45789066D717DBC3E6F6" display-inline="yes-display-inline"><enum>(A)</enum><text display-inline="yes-display-inline">Paragraph (1) shall not apply with respect to an applicable plan amendment adopted on or after January 1, 1997, and before November 9, 2005, until the date which is 2 years after the date of the enactment of this subsection.</text></subparagraph> 
<subparagraph id="HF769DA061C7E4153BB579684CEC475EA" indent="up1"><enum>(B)</enum><text display-inline="yes-display-inline">A participant who is separated from service before November 9, 2005, need not be taken into account for purposes of applying paragraph (1) until the date which is 3 years after the date of the enactment of this subsection.</text></subparagraph></paragraph> </subsection> <after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H092FA92BBBC34C8CA7D9B00EEC94F7E"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall take effect on the date of the enactment of this Act.</text> </subsection></section> 
<section id="H7E9B5423383F488981B1CFB4081170C"><enum>5.</enum><header>Wear away protections in pension plan cash balance conversions</header> 
<subsection id="H58C53041022F440D99C5ED38007EFFFE"><enum>(a)</enum><header>Amendment to Internal Revenue Code of 1986</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/26/411">Section 411</external-xref> of the Internal Revenue Code of 1986 (relating to special rules), as amended by section 4, is amended by adding at the end the following new subsection:</text> 
<quoted-block style="OLC" id="H5AFCDB57D1EA4BE89EDED2FDC1E304E" display-inline="no-display-inline"> 
<subsection id="H675D045C90BB4C278B26417638B0E694"><enum>(g)</enum><header>Treatment of plan amendments wearing away accrued benefit</header> 
<paragraph id="H45967613153D4451932BD7C007C10D2"><enum>(1)</enum><header>In general</header><text>An applicable plan amendment adopted by a defined benefit plan shall not be treated as satisfying the requirements of this section unless the applicable plan amendment meets the requirements of paragraphs (2) and (3).</text></paragraph> 
<paragraph id="H3C184C94EC854F7EBEFE6BEC8F111129"><enum>(2)</enum><header>Wear away prevented</header><text>For purposes of paragraph (1), an applicable plan amendment meets the requirements of this paragraph if, under the terms of the plan after the adoption of the amendment, the accrued benefit of the participant at any time is not less than the sum of—</text> 
<subparagraph id="H183991DAA0784E389E4ECA38538DC020"><enum>(A)</enum><text>the participant’s accrued benefit for years of service before the effective date of the amendment, determined under the terms of the plan as in effect immediately before the effective date, plus </text></subparagraph> 
<subparagraph id="H60BB3F95B65B426B88C0EB341DBD43E8"><enum>(B)</enum><text>the participant’s accrued benefit determined under the formula applicable to benefit accruals under the current plan as applied to years of service after such effective date.</text></subparagraph></paragraph> 
<paragraph id="HF8415BF5D5394317B428BDCA611CBB5"><enum>(3)</enum><header>Employer choice of method to protect certain participants</header><text>For purposes of paragraph (1), an applicable plan amendment meets the requirements of this paragraph if the plan to be amended provides each participant who has at least 10 years of service (as determined under subsection (a)) under the plan at the time such amendment takes effect and is within 5 years of eligibility for retirement under the plan with one of the following:</text> 
<subparagraph id="HFDF6DC62E42C49FEAE921228F4CC805"><enum>(A)</enum><header>Participant election to maintain rate of accrual in effect before plan amendment</header><text>Each such participant—</text> 
<clause id="H187CAF48EEAC4202001F50485FFB3EE2"><enum>(i)</enum><text>is provided with notice of the plan amendment, including a comparison of the present and projected values of the accrued benefit determined both with and without regard to the plan amendment, and </text></clause> 
<clause id="H18E25CFB02F649FC969808959E5EEFC4"><enum>(ii)</enum><text>may elect upon retirement to either receive benefits under the terms of the plan as in effect at the time of retirement or to receive benefits under the terms of the plan as in effect immediately before the effective date of such plan amendment (taking into account all benefit accruals under such terms since such date).</text></clause></subparagraph> 
<subparagraph id="HF823E5EB5AD94C0686009ED1F432BE4D"><enum>(B)</enum><header>Benefits of amended plan do not decrease</header><text>For each such participant, the benefits after the plan amendment takes effect are not less than the greatest benefits the participant would have received by reason of the election described in subparagraph (A)(ii).</text></subparagraph> 
<subparagraph id="H05A66E4ED044406482219512C83EEDC3"><enum>(C)</enum><header>Maintenance of effort</header><text display-inline="yes-display-inline">For each such participant, for at least the first 5 years after the plan amendment takes effect, benefits under the terms of the plan as in effect immediately before the effective date of such plan amendment (taking into account all benefit accruals under such terms since such date).</text></subparagraph> </paragraph> 
<paragraph id="H48FED2D1EFFC4E9891C0C37641EE82C1"><enum>(4)</enum><header>Definitions</header><text>For purposes of this subsection—</text> 
<subparagraph id="H1488B694AC734FE7903B5CC854EEAFDD"><enum>(A)</enum><header>Applicable plan amendment</header><text>The term <term>applicable plan amendment</term> has the meaning given such term by subsection (f).</text></subparagraph> 
<subparagraph id="HB080BC10E09F4DDE90C4FDADF0A29F19"><enum>(B)</enum><header>Protected accrued benefit</header><text display-inline="yes-display-inline">An accrued benefit shall include any early retirement benefit or retirement-type subsidy (within the meaning of subsection (d)(6)(B)(i)), but only with respect to a participant who satisfies (either before or after the effective date of the amendment) the conditions for the benefit or subsidy under the terms of the plan as in effect immediately before such date.</text></subparagraph></paragraph> </subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="HB91458D7ED5847D09BC7D806E8FAB00"><enum>(b)</enum><header>Employee Retirement Income Security Act of 1974</header><text display-inline="yes-display-inline">Section 203 of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1053">29 U.S.C. 1053</external-xref>), as amended by section 4, is amended by adding at the end the following new subsection:</text>

<subsection id="H667954EA795347F98300EF26A3D25082"><enum>(g)</enum> 
<paragraph id="H0653F7C24B6746EFA43F2F574B2C82F8" display-inline="yes-display-inline"><enum>(1)</enum><text>An applicable plan amendment adopted by a defined benefit plan shall not be treated as satisfying the requirements of this section unless the applicable plan amendment meets the requirements of paragraphs (2) and (3).</text></paragraph> 
<paragraph id="HE856DE67F65241E7AE1F006222003FFF" indent="up1"><enum>(2)</enum><text>For purposes of paragraph (1), an applicable plan amendment meets the requirements of this paragraph if, under the terms of the plan after the adoption of the amendment, the accrued benefit of the participant at any time is not less than the sum of—</text> 
<subparagraph id="H37C81BE84D8841EC8359552E41A74B8E"><enum>(A)</enum><text>the participant’s accrued benefit for years of service before the effective date of the amendment, determined under the terms of the plan as in effect immediately before the effective date, plus </text></subparagraph> 
<subparagraph id="H1E96E31D4DA64B07B87CB479E038A2B5"><enum>(B)</enum><text>the participant’s accrued benefit determined under the formula applicable to benefit accruals under the current plan as applied to years of service after such effective date.</text></subparagraph></paragraph> 
<paragraph id="H0557C6CD625749AABCF7EAE371021DC5" indent="up1"><enum>(3)</enum><text display-inline="yes-display-inline">For purposes of paragraph (1), an applicable plan amendment meets the requirements of this paragraph if the plan to be amended provides each participant who has at least 10 years of service (as determined under subsection (a)) under the plan at the time such amendment takes effect and is within 5 years of eligibility for retirement under the plan with one of the following:</text> 
<subparagraph id="H003CDE836D974DBE81D0566700557281"><enum>(A)</enum><text>Each such participant—</text> 
<clause id="HCE3B91A5FB4B44ECAA72C699CED1E85C"><enum>(i)</enum><text>is provided with notice of the plan amendment, including a comparison of the present and projected values of the accrued benefit determined both with and without regard to the plan amendment, and </text></clause> 
<clause id="HFA1CE9D678A34B67A9D509493040002C"><enum>(ii)</enum><text>may elect upon retirement to either receive benefits under the terms of the plan as in effect at the time of retirement or to receive benefits under the terms of the plan as in effect immediately before the effective date of such plan amendment (taking into account all benefit accruals under such terms since such date).</text></clause></subparagraph> 
<subparagraph id="H8971629274A6470D9DA12D9B00FFBF40"><enum>(B)</enum><text>For each such participant, the benefits after the plan amendment takes effect are not less than the greatest benefits the participant would have received by reason of the election described in subparagraph (A)(ii).</text></subparagraph> 
<subparagraph id="HB1FB2BFE9FC54E4ABB5683973299A3F2"><enum>(C)</enum><text display-inline="yes-display-inline">For each such participant, for at least the first 5 years after the plan amendment takes effect, benefits under the terms of the plan as in effect immediately before the effective date of such plan amendment (taking into account all benefit accruals under such terms since such date).</text></subparagraph> </paragraph> 
<paragraph id="H5E505F53282A485FB4B1B65E92B8B800" indent="up1"><enum>(4)</enum><text>For purposes of this subsection—</text> 
<subparagraph id="H975E2158EBF340FF88F1EE005D8124E6"><enum>(A)</enum><text>The term <term>applicable plan amendment</term> has the meaning given such term by subsection (f).</text></subparagraph> 
<subparagraph id="H247E032C35254B94B0D6B6C93D47FFE9"><enum>(B)</enum><text display-inline="yes-display-inline">An accrued benefit shall include any early retirement benefit or retirement-type subsidy (within the meaning of subsection (d)(6)(B)(i)), but only with respect to a participant who satisfies (either before or after the effective date of the amendment) the conditions for the benefit or subsidy under the terms of the plan as in effect immediately before such date.</text></subparagraph></paragraph> </subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection> 
<subsection id="H118235D0E59341A3B5E55EA4253C26F"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply with respect to any amendment to a plan adopted after the date of the enactment of this Act.</text></subsection></section>
